RESOLUTION NO.:098-15-14437 A Resolution authorizing the City Manager to execute a notice to proceed to Goldin Solar,LLC,to initiate a Solar Panel Purchase and Installation Program for residential and business properties. WHEREAS,the City issued an RFP tosolicitlicensed solar installers toinstall rooftop photovoltaic ("PV")systems for residential and commercial property owners ("Owners"),at volume and discounted pricing;and WHEREAS,the program willbe made availableto Owners forasix(6)month period from the date of the issuance of the Notice to Proceed to enter into contracts with the solar panel Contractor; and WHEREAS the decision to enter into a contract toinstall solar panels is solely at the option of individual Owner;and WHEREAS,YGRENE Green Corridor Financing Program ("YGRENE Program")provides 100% financing to qualified commercial and residential property owners for energy efficiency,renewable energy and water conservation improvements.The contractor who provided the lowest price per kilowatt was Goldin Solar,LLC,who is certified by the YGRENE Program.The decision to utilize YGRENE for financing is solely up to individual City residents and businesses. NOW,THEREFORE,BEIT RESOLVED THE MAYOR AND CITY COMMISSION OFTHECITYOF SOUTH MIAMI,FLORIDA: Section 1.The City Manager is authorized execute a notice to proceed to Goldin Solar,LLC, to start the Solar Panel and Installation Program for residential and business owners.The decision to install solar panels and to contract with Goldin Solar,LLC,is solely that of the individual residential and business owner.TheCityshallhaveno responsibility or liabilityfor the work, including the goods and services provided,workmanship,or warranty for the work,norfor the payment for services provided byGoldinSolar,LLC.A more detailed description of the responsibilities of the Owners'and the City's disclaimers are set forth in the attached memorandum from the City Attorney to the City Commission. Section 2.Severability.Ifany section,clause,sentence,or phrase of this resolution isforany reason heldinvalid or unconstitutional bya court of competent jurisdiction,this holding shall not affect the validity of the remaining portions of this resolution. Waiver of prohibition.The requirements ofthis subsection may be waived for a particular transaction only by four affirmative votes ofthe city commission after public hearing upon finding that: (1)An open-to-all sealed competitive proposal has been submitted by acity person as defined in paragraphs (b)(2), (3)and (4); (2)The proposal has been submitted by a person or firm offering services within the scope ofthe practice of architecture,professional engineering,or registered land surveying,as defined by the laws ofthe state and pursuant tothe provisions ofthe Consultants'Competitive Negotiation Act,and when the proposal has been submitted by a city person defined in paragraphs (b)(2),(3)and (4); (3)The property or services to be involved in the proposed transaction are unique and the city cannot avail itself of such property or services without entering atransaction which would violate this subsection but for waiver of its requirements;and (4)That the proposed transaction will be in the best interest ofthe city. This subsection shall be appficable only to prospective transactions,and the city commission may in no case ratify a transaction entered in violation of this subsection. Additionally,noperson included in the term defined in paragraph (b)(I)shall voteonorparticipateinanywayin anymatterpresentedtothecity commission ifthatpersonhasanyofthe following relationships withanyofthe persons or entitieswhichwouldbe or might bedirecdy or indirealy affected byanyactionofthecity commission: (1)Officer,director,partner,of counsel,consultant,employee,fidudary or benefidary;or (2)Stockholder,bondholder,debtor,or creditor,ifinanyinstancethetransactionormatterwouldaffectthe person defined in paragraph (b)(I)inamanner distinct fromthemannerin which it would affect the public generally.Any person included intheterm defined in paragraph (b)(I)whohasanyofthe specified relationships or who would ormightdirecdyor indirectly,realize a profit bytheactionofthecity commission shall notvoteon or participate inanywayin the matter. (E)Gifts. (l)DefinhiQn.Theterm "gift"shall referto die transferof anything ofeconomicvalue,whetherintheformof money,service,loan,travel,entertainment hospitality,item or promise,orinanyother form,without adequate andlawful consideration. (g)Exploitation of officialpositionprohibited. No person included in the terms defined in paragraphs (b)(1)through (6)shall corruptly use or attempt to use an official position tosecure special privileges or exemptions forthat person orothers. (h)Prohibition on use ofconfidential information. No person induded in the terms defined in paragraphs (b)(1)through (6)shall accept employment or engage in any business or professional activity which one might reasonably expectwouldrequireor induce onetodisdose confidential information acquired byreasonofan official position,nor shall thatperson in fact everdisdose confidential information garnered or gained through an official position with the city,nor shall that person ever use such information,directly or indirectly,for personal gain or benefit. (i)Conflicting employment prohibited. 24 No person induded in the terms defined in paragraphs (b)(1)through (6)shall accept other employment which would impair independence of judgment inthe performance of any public duties. (j)Prohibitionon outside employment. (1)Nopersonindudedin the terms defined in paragraphs (b)(6)shall receiveany compensation for services asan officer oremployeeofthecity from anysourceotherthanthe chy,exceptasmaybe permitted as follows: a.Generally prohibited No full-time cityemployee shall acceptoutsideemploymenteither incidental,occasional or otherwise,where city time,equipment or material istobe used orwhere such employment or any part thereof is tobe performed oncity time. b.When permitted.A full-time cityemployeemayaccept incidental or occasional outsideemploymentsolongas such employment isnotcontrary,detrimentaloradversetotheinterestofthe chy oranyof "its departmentsand the approvalrequiredin subparagraph c.isobtained. c Approval of department head required.Anyoutside employment by any fell-time dty employee must first be approvedinwritingby the employee'sdepartmentheadwho shall maintain acompleterecordofsuch employment. d.Penalty.Anypersonconvicted of violatinganyprovisionofthissubsection shall bepunishedasprovidedin section I-I I of the Code of Miami-Dade County and,inadditionshallbesubject to dismissal by the appointing authority.The citymayalsoassessagainstaviolatorafine not to exceed $500.00 and the costs of investigation incurredby the dty. (2)Allfull-time dty employees engagedinany outside employment foranyperson,firm,corporation or entity other than the city,orany of itsagenciesorinstrumentalities,shall file,underoath,an annual report indicating the source of the outside employment the nature of the work being done andany amount of money or other consideration receivedby the employeefromtheoutsideemployment.Cityemployeereports shall be filed with thecity derk.Thereports shall be available ata reasonable timeand place for inspection bythepublicThecity managermay require monthly reports fromindividual employees or groups of employees forgood cause. (k)Prohibited investments. Nopersonindudedin the terms definedin paragraphs (b)(1)through(6)oramember of the immediate family shall havepersonal investments inany enterprise whichwillcreatea substantial conflict between privateinterests and the public interest (I)Certain appearances and payment prohibited. (1)No person induded intheterms defined in paragraphs (b)(1),(5)and (6)shall appear before any city board or agencyandmakea presentation onbehalf of athirdpersonwith respect toany matter,license,contract certificate,ruling,decision,opinion,rate schedule,franchise,orotherbenefitsoughtbythethirdperson.Nor shall the personreceiveanycompensationor gift,direcdyorindirealy,forservicesrendered to athirdperson,who has applied fororis seeking somebenefit from thecityoradty agency,in connection withthe particular benefit soughtby the thirdperson.Norshall the personappearinany court or before anyadministrativetribunalas counselor legal advisor toa party whoseeks legal relief from thedtyora chy agency through thesuitin question. (2)No person indudedintheterms defined in paragraphs (b)(2),(3)and (4)shall appear beforethecity commissionor agency onwhich the person serves,eitherdirecdyorthroughan associate,andmakea presentation on behalf ofa third person with respeato any matter,license,contract certificate,ruling,decision, opinion,rate schedule,franchise,orother benefit sought bythe third person.Nor shall such person receive any compensation or gift,directly or indirecdy,for services rendered toa third party who has applied for oris seeking some benefit from thecitycommission or agency on which the person serves in connection with the particular benefit sought bythe third party.Nor shall the person appear in any court or before any administrative tribunal as counselor legal advisor toa third party who seeks legal relief from the city commission or agency on which such person serves through the suitin question. (m)Actions prohibited when financial interests involved. No person induded in the terms defined in paragraphs (b)(1)through (6)shall partidpate in any official action direcdy or indirecdy affecting a business in which that person or any member ofthe immediate family has a finandal interest A financial interest is defined in this subsection to indude,but not be limited to,any direa or indirectinterestinany investment equity,ordebt. (n)Acquiring finandalinterests. No person induded in the terms defined in paragraphs (b)(1)through (6)shall acquire a financial interest in a project business entityor property atatimewhenthe person believes or has reason to bdieve thatthe finandal interest may be direcdy affected by official actions orby official actions bythecityorcity agency of which the personisan official,officer or employee. (0)Recommendingprofessional services. No person induded in the terms defined in paragraphs (b)(I)through (4)may recommend the services of any lawyer or law firm,architect or architertural firm,public relations firm,or any other person or firm,professional 25 orotherwise,to assistinanytransaction involving the chy oranyofits agencies,providedthatarecommendation mayproperlybemadewhenrequiredtobemadeby the dutiesof officeandin advance ata public meetingattendedbyothercity officials,officers oremployees. (p)Continuingapplicationaftercity service. (1)Nopersonindudedinthetermsdefinedin paragraphs (b)(l),(5)and(6)shall,foraperiodof two yearsafter hisorhercityserviceoremploymenthasceased,lobbyanycity official [as definedin paragraphs (b)(1)through (6)]in connection withany judicial orother proceeding,application,RFP,RFQ,bid,requestfor ruling orother determination,contract daim,controversy,charge,accusation,arrestorother particular subjea matter inwhich the chy oroneofitsagenciesisapartyorhasany interest whatever,whether direa or indirect. Nothing contained inthis subsection shall prohibit any individual from submitting a routine administrative request or application toacitydepartmentor agency during the two-year period afterhisorherservicehas ceased.
