WHEREAS,theCitydesirestoamend Chapter 2 of theCode of Ordinances to
provideforstandardsandtocreateprocedurestoauthorizetheuseforpublicprivate
partnershipasaprocurementmethodandproceduretoenabletheCitytoenterintopublic
private partnership agreements thatmaybedeemedinthe City's bestinterests;and
WHEREAS,theCitydesiresto authorize the adoption of administrative
GuidelinesandtoprovidetheCityManagerwiththeauthoritytorevisetheGuidelines
herein approved bytheCity Commission toenablethe flexibility of submission,review,
and evaluation of public-private partnership proposals;and
WHEREAS,the City Commission desires to create an initial set of Guidelines
for public private partnerships;
NOW,THEREFORE,BE IT ORDAINED BY THE MAYOR AND CITY
COMMISSION OF THE CITY OF SOUTH MIAMI,FLORIDA:
Section 1.Chapter 2 titled "Administration and City Government",Article VI,
Sections 2-81—2-90,titled -"Reserved",of the Code of Ordinances,City of South
Miami,Florida,are hereby amended andshallreadas follows:
2-81 PUBLIC PRIVATE PARTNERSHIP
2-81.1 INTRODUCTION,POLICY AND INTENT
A.A public-private partnership isacontractual agreement between apublic
agency(federal,stateorlocal)andaprivatesectorpersonorentityorganizedforthe
purpose of timelydeliveringservicesorfacilitiesinacost-effectivemannerthatmight
nototherwisebepossibleusingtraditionalsources of publicprocurement.Throughthis
contractualagreement,theassetsandprofessionalskills of eachsector(publicand
private)aresharedandleveragedtodeliveraserviceorfacilitytobeusedbythegeneral
public.Eachsectorsharesinthepotentialrisksofthetimelyandefficientdeliveryand
operations of theserviceorfacility.TobeconsideredundertheCity of SouthMiami's
Public/Private Partnership Program (hereinafter "P3 Program"),allpartiesmustcomply
withthisSectionandanyadoptedGuidelinesforP3ApplicationsandEvaluationProcess
(hereinafter "Guidelines").

B.TheP3Programisintendedtocreateaprocesstoguidethe City's
evaluation of potentiallycompetingproposalsfromtheprivatesectorthatoffersolutions,
privatefinancing,innovationsandefficienciesinsupportofaproposedproject,allocate
risk amongst theCityandthe private entity,and benefit thepublic.
C.Apublicprivatepartnership ("P3")isanalternativetootherdelivery
methods otherwise available totheCity.WhentheCity determines itwantstoconsider
orexploretheuse of aP3,itmayproceedin accordance withthisSectioninsteadof
followingprocurementproceduresusedforprojectsinvolvingotherdeliverymethods.
D.The City Manager is hereby authorized to adopt Guidelines that are
consistent with this Section andas may be necessary to further implement this Section.
2-81.2 PROPOSALS
A.SOLICITED PROPOSALS
(1)The City may advertise for competitive proposals foraP3
project.The terms,evaluation criteria and selection process
shall be outlined inthe solicitation which may be made by a
request for proposals,invitation to negotiate or other method as
deemed appropriate bytheCity Manager and hereinafter
referred to as a "Solicitation".
(2)Responses toa Solicitation shall comply with all requirements
of the soliciting document(s)andshall comply with any
applicable laws,statutes,rules,regulations,adopted Guidelines,
and ordinances pertaining thereto.
(3)All Responses toa Solicitation foraP3 project shallbe
evaluated bythe City asset forth inits Guidelines.Final award
decisions forP3 projects initiated bya Solicitation shallbe
made by the City Commission,and as determined tobein the
best interests of theCity.
B.UNSOLICITED PROPOSALS
(1)TheCitymaypublicizeitsneedsandencourageinterested
partiestosubmitunsolicited proposals subjecttothetermsand
conditions of theP3Program.If anyproposalsarereceived
without issuance of a Solicitation,the proposals maybe treated
asan unsolicited proposal andmaybe evaluated through the
City's approvedP3Program,andas prescribed initsGuidelines.

(2)Contemporaneously withthe submission of an unsolicited
proposal,the Proposer shallpayan initial unsolicited proposal
application feetotheCityinthe amount of Ten Thousand
Dollars ($10,000.00),or such other amount as the Guidelines
may prescribe,to cover the costs of processing,reviewing and
evaluating the proposal,including the feesand costs for private
consultants to assist in the evaluation.The initial unsolicited
proposal application feeis non-refundable.TheCityshall
require additional feesfromthe Proposer if the initial
unsolicited proposal application feeis insufficient to pay forthe
City's evaluation costs.
(3)If the City determines that itis interested in further considering
any unsolicited proposal,it shall publish a Notice of Receipt of
same and invite competing bids during a competitive bidding
period.The publication shallbe accomplished ina manner that
encourages competition to provide Private Entities interested in
submitting alternative and perhaps competing proposals to
provide a reasonable opportunity to submit abid.
(4)Bidders submitting competitive bids in response tothe Notice of
Receipt shall comply with the requirements specified inthe
notice and pay abid application feeas specified inthe notice or
the Guidelines.The amount of the application feeshallbe
determined by the City Manager,ona case by case basis,andbe
reasonably calculated to cover the costs tobe incurred by the
City.The initial Proposer(s)shallalso submit a bid in response
to the notice providing such further details about the unsolicited
proposal as may be required by the notice.The initial
Proposer(s)shall receive a credit against thebid application fee
forits initial unsolicited proposal application fee.
(5)Bidders shall comply with all requirements of the Notice of
Receipt aswellas with any applicable laws,statutes,rules,
regulations,adopted Guidelines,and ordinances pertaining
thereto.
(6)All unsolicited proposalsandbidsforaP3 project shallbe
evaluated bytheCityassetforthinits Guidelines.Final award
decisions forP3 projects shall be made bythe City Commission,
andas determined tobeinthe best interests of theCity.

Section 2.The Guidelines attached hereto are not tobe codified but are hereby being
approved bytheCityCommissionasbeing consistent withthis ordinance andmaybe
amendedbytheCity Manager fromtimetotimeasnecessary,torespondtothevarious
needsanddemands of the City's interestsinpublicprivatepartnerships,providedsaid
amendments are consistent with this Section 2-81.
Section 3.Codification.Theprovisions of thisordinanceshallbecomeandbemade
part of theCode of Ordinances of theCity of SouthMiamiasamended.
Section 4.Severability.If any section,clause,sentence,or phrase of this ordinance
isforany reason held invalid or unconstitutional byacourt of competent jurisdiction,this
holding shall not affect the validity of the remaining portions of this ordinance orthe
Guidelines adopted hereunder.
Section 5.Ordinances in Conflict.All ordinances or parts of ordinances andall
sections and parts of sections of ordinances in direct conflict herewith are hereby
repealed.
Section 6.Effective Date.This ordinance shall become effective upon enactment.

TheMayor and City Commission requested the City Manager to draft
public private partnership guidelines and amend Chapter 2of the
Code of Ordinances to provide standards and to create procedures
enabling the City with the option to enter into public private
partnership agreement that maybe held in the City's best interests.
A public-private partnership isa contractual agreement between a
public agency and a private sector person or entity organized for the
purpose of timely delivering services or facilities ina cost-effective
manner that might not otherwise be possible using traditional sources
of public procurement.Through this contractual agreement,the
assets and professional skillsofeach sector [public and private)are
shared and leveraged to deliver a service or facility to be used by the
general public.
These proposed Guidelines have been extensively vetted by the City's
expert legal team specializing in public-private partnerships withthe
intent of protecting the Cityand enabling afair and competitive
process.Additionally,theyhave been vetted inthe private
development sector to ensure their viability as efficient and functional
in scope.
Staff recommends passage of the attached Ordinance and Guidelines
to enable the City with a vetted process by which to evaluate potential
public-private partnerships.
Guidelines
GUIDELINES FOR PUBLIC/PRIVATE PARTNERSHIPS,
SOLICITED AND UNSOLICITED PROPOSALS AND EVALUATION PROCESS
L INTRODUCTION,POLICY AND INTENT
TheCityofSouthMiami,Florida encourages redevelopment of underdeveloped and
underutilizedpropertiesthrough pubic/private partnerships (hereinafter "?3")whereappropriate.
TheCityrecognizesproperlystructuredP3sshareriskandexpense amongst publicandprivate
partners;encourage efficiencies andinnovationindesign,construction,operations and
maintenance;andmaximizefundingandcashflowinitiatives.
A public-private partnershipisacontractualagreementbetweenapublicagency(federal,
stateorlocal)andaprivatesectorpersonorentityorganizedforthepurposeoftimelydelivering
servicesorfacilitiesinacost-effectivemannerthatmightnototherwisebe possible using
traditionalsources of public procurement.Throughthiscontractualagreement,theassetsand
professionalskillsofeachsector(publicandprivate)aresharedandleveragedtodelivera
serviceorfacilitytobe used bythegeneralpublic.Eachsectorsharesinthe potential risks of
thetimelyandefficientdeliveryandoperationsoftheserviceorfacility.Tobeconsideredunder
theCity of SouthMiami's Public/Private Partnership Program,allpartiesmustcomplywiththe
followingGuidelinesforP3ApplicationsandEvaluationProcess(hereinafter"Guidelines")
DL DEFINITIONS
Unlessotherwisespecified,wheneverthefollowingtermsareusedintheseGuidelines,
theyhavethemeaningssetforthbelow:
"Bid"meansaresponsetoasolicitationforproposals,forqualifications,forbidsora
responsetoaNotice of Receipt bytheCity of SouthMiamiofanunsolicitedproposal,andfor
the purposes of these guidelines isalsosynonymous with theword "proposal".
"Bidder"meansthepersonwhorespondstoaNotice of Receiptofanunsolicited
proposal.
"Certify"meanstoattest,underpenaltyofperjury,thattheinformationbeingcertifiedis
true and correct.
"City"meanstheCity of SouthMiami,Florida,whichmayactthroughitsCity
CommissionorCityManager,asthecontextandapplicablelawpermits.
"Comprehensive Agreement"meanstheagreementbetweentheContractingPerson
andtheCitythatisrequiredbeforethe development oroperationofaProposed Project.
"Commission"shall meanthe City of South Miami City Commission.
"Contracting Person"meansan individual person,corporation,general partnership,
Umited liability company,hmited partnership,joint venture,businesstrust,publicbenefit
corporation,nonprofitentity,orotherbusinessentitythatentersintoa Comprehensive or Interim
Agreement withtheCity.
"DetailedProposal"means a proposal foraProposedProjectaftertheInitialStage
review,that definesandestablishesmorespecificproposedtermsrelatedtocosts,payment
schedules,financing,deliverables,design,plansforoperationsandmaintenance,andproject
schedule,amongotherfactors.
"Detailed Stage"meansthephaseofProposedProjectevaluationwheretheCityhas
completedtheInitialStage,buthasrequestedadditionalinformationregardingproposalsfora
Proposed Projects.
"Develop"or "Development"meanstoplan,design,develop,finance,lease,acquire,
install,construct,operate,maintain,and/or expand afacilityforpublicuseor benefit.
"Fee"means arate,fee,orothercharge associated withtheuse of aProposed Project,as
defined bya Comprehensive Agreement.
"Initial Proposal"meansanunsolicitedproposalforaProposedProjectacceptedfor
consideration and evaluation bytheCity.
"Initial Stage"meanstheinitialphase of ProposedProjectevaluationwhentheCity
assesseswhetheraProposedProjectservesapublicpurposeandappearstomeettheminimum
criteria fora Proposed Project orcertaingoals of theCityandtheCityreviewsandevaluates
proposals receivedfromtheprivatesectorforpursuingaProposedProjectasaP3.
"Interim Agreement"meansanagreement,before orin connection withthenegotiation
ofa Comprehensive Agreement,between the City anda Contracting Person whereby theJ
Contracting PersonmaybeauthorizedbytheCitytoconductduediligenceorfurtherstudiesor
investigations relatedtotheProposedProjectwhichmayinclude,butnotbelimitedto,project
planninganddevelopment,design,engineering,environmentalanalysisandmitigation,
surveying,financialandrevenueanalysis,ascertainingtheavailabilityoffinancing,oranyother
aspect of theProposed Project TherightsoftheContractingPersonandtheCitywillbe
governedbytheterms of theInterimAgreement,whichmustbeinwriting.Nopurported
Interim Agreementor terms relatingtheretoshallbeeffective,bindingorvaliduntilapprovedby
theCityand signed in writing.
"Lease Payment"meansanyformofpayment,includingalandlease,bya
governmentalorprivateentitytotheContractingPersonand/ortheCityfortheuseofa
Proposed Project
"Lifecycle Cost Analysis"meansananalysis calculating thecost of anasset over its
entirelifespan,includingthecost of planning,constructing,operating,maintaining,and
replacingtheasset,estimates of sufficient capital improvement reserves,and,when applicable,
salvaging the asset The analysis must compare theproposedlifecyclecostofthe Proposed
ProjecttowhattheprojectwouldlikelycosttheCity if astandard,non-P3deliverymethodwas
used.TheComprehensiveAgreementmustidentifyifthereisnocosttotheCity of anasset
projected for the City.
"Notice of Receipt"shallmean,ata minimum,thenoticethattheCityshall publish to
advisethegeneralpublicthattheCityhas received an unsolicited proposal andtosolicitBids
forthesametypeof proj ectorconceptthatis reflected inthe unsolicited proposal.
"Operate"meanstooperateaProposedProject.
"Public-Private Partnership Program"or"P3 Program"meanstheCity of South
Miami's public-privatepartnershipprogramimplementedinaccordancewiththeseGuidelines.
"Private Entity"meansanyindividualperson,corporation,generalpartnership,limited
liabilitycompany,limitedpartnership,joint venture,businesstrust,publicbenefitcorporation,
nonprofitentity,orotherbusinessentity.Aprivateentityincludesa "Proposer"thatsubmitsan
unsolicitedproposalora"Respondent"that submits aproposalinresponsetoaSolicitation.
"PrivateEntity"alsomeanseachindividualentityparticipatinginorcomprisinga Proposer's or
Respondent's team.
"Proposer"meansa Private Entity thatsubmitsoris considering submitting an
unsolicited proposal."Proposer"isthePrivate Entity with whom theCityisexpectedtocontract
fora Proposed Project.If the Private Entityhasnotyet been formed,then "Proposer"shall mean
allentitiescollectivelywhoareknownandintendatthattimetoparticipateonthe Proposer's
team.
"Proposed Project(s)"means:
1.Afacihtyorprojectfulfillingapublicpurposeorgoal,including,butnot limited to,
anymasstransitfacihty,vehicleparkingfacility,rail facihty orproject,fuelsupplyfacihty,
medicalornursingcarefacility,recreational facility,sportingorculturalfacihty,pubhclibrary,
powergenerationfacility,wastetreatment facility,educationalfacility,civicfacihtyorother
buildingorfacilitythatisusedorwillbeusedbyapubhceducationalinstitution,oranyother
pubhc facihtyor infrastructure that isusedorwillbeusedbythepublicatlargeorin support of
an accepted publicpurposeoractivity;
2.Animprovement,including equipment,of a buildingthatwillbe principally usedbya
pubhcentityorthepublicatlargeorthat supports aservicedeliverysysteminthepubhcsector;
3.A water,wastewater,orsurfacewater management facihty orother related
infrastructure;or
4.Any other projecttheCitydesignatesasaProposedProject.
Notwithstandinganythinghereintothe contrary,aProposedProjectmayalsoinclude,in
additiontothe pubhc facilityorproject,residential,retail,commercial,hospitalityorother
private,revenuegeneratingfacilitiesandusesas appropriate andnecessaryto achieve the
publicpurposesintendedfortheProposed Project onacostmodelacceptabletothe City.
"Respondent"means a Private Entity thatsubmitsaproposalin response toa
Solicitation.
"Revenue"meansall revenue,income,earnings,Fees,Lease Payments,and/or other
payments supporting the development or operation of a Proposed Project,including money
receivedasagrantorotherwisefromthefederalgovernment,agovernmentalentity,orany
agency or instrumentality of the federal government or governmental entity inaid of the
Proposed Project.
"Solicitation"meansa written request forservicesissuedbytheCity soliciting
responses foraP3 project,including,butnot hmited to,business plans,expressions of interest,
ideas,offers,proposals,qualifications,orany combination thereof.
III.UNSOLICITED PROPOSALS
A.General
TheCity may publicize itsneedsand encourage interested partiesto submit unsolicited
proposals subjecttothe terms and conditions of theP3 Program.If any proposals are received
without issuance of a Solicitation,the proposals maybe treated asan unsolicited proposaland
maybe evaluated through the City's approved P3Program.
TheP3 Program isintendedtocreateaprocesstoguidethe City's evaluationof
potentiallycompetingproposalsfromtheprivatesectorthatoffersolutions,privatefinancing,
innovationsandefficienciesinsupport of theProposedProject,allocateriskamongsttheCity
andthePrivateEntity,andbenefitthe public.
B.Content of Unsolicited Proposals
1.General
AProposersubmittinganunsolicitedproposalrequestingapprovalofaProposedProject
asaP3projectshallspecificallyidentifyallfacilities,buildings,infrastructureandimprovements
includedintheproposal.AlthoughtheCitymayhaveidentifiedDevelopmentOpportunities,
theyarenotexclusiveandPrivateEntitiesareencouragedtosubmitproposalstheybelieveare
consistent with the City's goals.
PrivateEntitiesareurgedtoincludeintheirproposalinnovative financing methods,
includingtheimposition of Feesorother forms of payments inheuoforinadditionto payments
fromthe City.TheP3 Program isa flexible development tool allowing fortheuseof innovative
financingtechniques.Additionally,theProposercanstructureitsroleontheProposedProjectin
avariety of ways,fromdesigningthefacilityto undertaking itsfinancing,construction,
operation,maintenance,and management.Dependingonthe circumstances oftheProposed
Project,theProposerisencouragedtoconsider different types of pubhc-private partnership
structurestothe extent appropriate forthe project atissueandasallowedbylaw.
2.Summary of Content Requirements
Unsolicitedproposalsshouldbepreparedsimplyandeconomically.Theyshallprovidea
concise description oftheProposer's quahfications and capabihties to complete theProposed
ProjectandthebenefitstobederivedbytheCityfromtheProposed Project.Asdescribedin
moredetailbelow,proposals must include:
(a)adescription of theProposed Project,
(b)a description ofthemethodby which the Proposer plansto secure any necessary
propertyinterestsrequiredfortheProposed Project,
(c)adescription of theProposer's general plansfor financing the Proposed Project,i
(d)the name and address ofthe Proposers andthenameofthe project leaderwhomaybe
contactedforadditional information concerning the proposal,
(e)the sources of proposed Fees,Lease Payments,orother payments,the Proposer is
anticipating,and
(f)additional supplementalmaterialor information thattheCity reasonably requests.
3.Format
a.General
Unsolicitedproposalsshallbesubmittedinthefollowing format:
1.Pagesshallbenumberedandorganizedbypaginatedtableofcontents
corresponding to the tabbedsections identified below.
2.The submittal shall be divided into tabbed sections as follows:

TheProposermustprovide,astoeachPrivateEntityandconsultantparticipatingon
theProposer,astatementof qualifications;and experience in projects of similar
complexity,scopeandscaletotheProposedProject.Theunsolicitedproposalmust
alsodescribe,astoeachPrivateEntity participating ontheProposerteam,relevant
experience withrespectto other public-private partnership projectsofanytype.
e.TAB 4 -Proposal
The Proposer mustprovide:
i.An overview oftheProposedProject.
il Designconcept renderings andaconceptsiteplanand elevations that
collectivelyillustratethelocation,size,andcontextoftheProposedProject.
Hi.Summarize the preliminary programming of facilities,including,ifany,the
mixofuses,square footage(s),totalparking spaces,parking allocations
(specify if theyaresharedor exclusive),andtypesofparking (e.g.structured
orsurface).
iv.Identifyanyknownor suspected synergies and incompatibilities betweenthe
ProposedProjectandanyother existing,plannedor contemplated public
facihtywithintheCityoranyneighboringcityoraffectedjurisdictionandthe
mannerinwhichtheProposeranticipatesaddressingsame.
v.Identifyanyadditionaltermsorconditionstobeincludedaspart of the
negotiation process.
f.TAB 5 -Project Analysis
Thissectionofthe unsolicited proposalshouldstatethe financial business aspectsof
the Proposed Project and should generally summarize why the unsolicited proposal
offerstheCity value for money over the Proposed Project's lifecycleas opposed to
procuringthe project usingmoretraditionalprocurementmethods,includingtheCity
funding theproj ect itself

C.Flexibility in Structure
TheCityencourages creativity andflexibilityinthestructure of a Proposed Projectwhere
appropriate.Byway of example,whereappropriateandavailable,theCitymay contribute off-
siteparcelsofrealpropertytoaContractingPersoninexchangefortheContractingPersonto
design,construct,finance,operateandmaintainaProposed Project.Insuchanevent,thevalue
of theContracting Person's servicestotheProposedProjectmustbeequaltoorgreaterthanthe
fair market value of thereal property interest theyseektoobtain.TheCitywillexercisefulland
properdue dihgence intheevaluationandselection of ProposedProjects,includingthose
utilizing creative orflexiblestructures.
D.Request for Clarifications
TheCitymayrequestinwriting,clarificationstoanysubmission,includingunsolicited
proposals,whichshallbepromptlyprovidedbytheProposer.
E.Application Fee
Contemporaneouslywiththesubmission of anunsolicitedproposal,theProposer shall payan
applicationfeetotheCityintheamountofTenThousandDollars($10,000.00)tocoverthe
costsof processing,reviewingand evaluating the proposal,including thefeesandcostsfor
privateconsultantstoassistinthe evaluation.The application feeis non-refundable.TheCity
mayrequireadditionalfeesfromtheProposer if a supplemental paymentisrequireddueto
extraordinary costs associated with the City's evaluation.
F.Process for Submission and Evaluation
TheCityshallnotbe hable foranycostsincurredbythePrivateEntitiesinpreparing,submitting
or presenting anunsolicited proposal.
All unsolicited proposals mustbe organized inthe manner outlinedintheseGuidelinesand
submittedwiththeapphcableapplicationfeedefinedherein.Nopagelimitationisimposed,but
brevity isappreciated.Allproposalsshallbesubmittedasoneoriginal,thirteencopiesandone
electroniccopy (searchable PDFformatonCD).The original copy containing original
signatures shallbe marked ORIGINAL onthecoverletter.
Proposersmayassertthatsometradesecrets,financialrecords,andproprietaryorother
confidentialinformationintheirunsolicitedproposalare confidential informationthattheyclaim
tobeexemptfrom disclosure under applicable Floridapublic records laws.Such information
maybe included inthe unsolicited proposal,but submitted ina separate,sealed binder,
designated onthecoveras CONFIDENTIAL MATERIALS.Includeacoverletterlistingall
material designated as confidential and clearly mark each page ofany material believed tobea
tradesecretor confidential or proprietary information inall capital lettersandboldfontas
CONFIDENTIAL.If anypersonorentityrequeststheCitytoproduceordiscloseany of said
purported confidential information,theCitywill advise the Proposer and afford the Proposer an
opportunitytoprotectitsassertionthatsaidconfidentialinformationisexemptfromall
apphcableFloridapubhcrecordslaws.If Proposer fails totimelyproducethe documents and/or
failstotimelyseekaprotectiveorder,and/oris unsuccessful inobtaininga protective order,the
Citywillproducetherequested confidential information.TheCityshallnotactivelycontestany
requesttodisclosesuchalleged confidential information andtheCitycannot guarantee
confidential information maynotbedisclosedshoulditbe determined nottobeconfidential
underapphcableFloridapublicrecordslaws.TheProposershallindemnifytheCityforany
damagesandcoststheCitymayincurduetotheProposer'sclaimthatits documents are
confidential.TheCitycanonlyagreeto advise the Proposer ofsuch request andgivethe
Proposeranopportunity,atProposer'ssoleandexclusivecost,todefendtherequestfor
disclosure of confidentialinformationinaCourt of competent jurisdiction orotherapplicable
forum.
Only unsolicited proposals apparently complying withthese Guidelines and containing I
information sufficient for.meaningful evaluation will be considered.Within thirty days of I
receiving an unsolicited proposal,the City will preliminarily review itto determine whether to j
accept and recommend itforInitialStage evaluation.Afterthe City's Initial Stageevaluation,if
theCitywishestocontinueconsideringtheunsolicitedproposal,itmay,atitssoleandexclusive
option,eitheradvertiseitsreceiptoftheunsolicitedproposal (''Notice ofReceipt")and solicit
other proposals or first conduct a Detailed Stage evaluation of the unsolicited proposal before
advertising foralternativeandperhapscompetitivebids.
Undereitherscenario,oncetheCitydecidestoadvertiseforalternativeandperhaps competitive
bids,themannerandtimingforsaidadvertisementand competitive biddingprocess shall bein
accordance withsectionIV of theseGuidelines.Attheconclusionofthe competitive bidding
period,theCitywill commence InitialStage evaluation of any competing proposals timely
submitted.Upon completion of InitialStageevaluation of theproposal(s),the City may identify
a short list of proposers/bidders withwhomtocontinuethe process.Thatprocess may require
submissionofaDetailedProposalfromthecompetitiveproposers/biddersand,if not already
requiredfromtheunsolicitedProposer,aDetailedProposalmayberequiredfrom them aswell.
Atthatpoint,theCitymaycommenceaDetailedStageevaluationinaccordancewithSectionV
of these Guidelines.
IV.COMPETITIVE BIDDING
If the City determines theyare interested infurther considering any unsolicited proposal,they
shall pubhsh publicaNotice of Receiptofsameandinvitecompetingbidsduringacompetitive
bidding period.Saidperiodshallbenotlessthan twenty-one daysandshallbe of adurationthe
Cityshallspecifyinitssoleandexclusiveoption,typically120days.ThepublicNotice of
Receipt shall minimally statetheCityhasreceivedanunsolicitedproposalandwillacceptbids
forthesametype of projectorconcept.Ifmorethanoneunsolicitedproposalisreceivedforthe
sameorsimilarprojectorconcept,onlyonepublicnoticeshallberequiredfortheProposed
Project.Atthe City's soleandexclusiveoption,thepublicnoticemayprovidemoredetailstobe
requiredinresponsesthereto.ThenoticeshallbepostedontheCity'swebsite,publishedinthe
Florida Administrative Registerandanewspaper of generalcirculationatleastonceaweekfor
twoweeks,andadvertisedinanyothermannerconsideredappropriatebytheCitytoencourage
competition and provide maximum noticetoPrivateEntitiesinterestedinsubmittingalternative
andperhaps competing proposals.Acopy of thenoticewillalsobemailedtoeachlocal
governmentreasonablyidentifiedasonewhomaybeimpactedbytheProposedProject.
Bidderssubmittingcompetitivebidsinresponsetothenoticeshallcomplywithanyother
requirementsspecifiedinthenoticeandpayabidapplicationfeeof $20,000.Theinitial
Proposer(s)shallalsosubmitabidinresponsetothenoticeprovidingsuchfurtherdetailsabout
theunsolicitedproposalasmayberequiredbythenotice.TheinitialProposershallreceivea
creditforitsinitialunsolicitedproposal application feeandshallthusonlybe required topayan
additional $10,000 to submit itsbid.
Afterthepublicnotificationandbiddingperiodhasexpired,theCitymay determine:
a.Nottoproceedfurtherwithanyproposal/bids;

b.To proceed tothe Detailed Stageofreviewwithone of theoriginal unsolicited
proposals onlyandrejectanyother unsolicited proposals and competitive bids
received bytheCity;
c.ToproceedtotheDetailedStagewithacompetingbidonlyand reject theunsolicited
proposal(s)andothercompetitivebids;or
d.ToproceedtotheDetailedStagewithanyorall of theinitialunsolicitedproposal(s)
andanyorall of thecompetitivebids.Inthis event,theCityshallranktheproposals
andbidsreceivedinorder of preference.Inrankingtheproposals/bids,theCitymay
considerfactorsthatinclude,butarenotlimitedto,professionalquahfications,
general business terms,innovative designtechniquesor cost-reduction terms,and
finance plans andanyotherfactordeterminedbytheCity.Partoftheranking
process,attheCity'sdiscretion,mayrequire submission of aDetailedProposalfor
evaluationbytheCityfromeveryproposerandbidderwhoseproposals/bidstheCity
mayconsider.TheDetailedProposalsshallsupplementtheInitialProposaland
initialbid.DetailedProposalsshall comply withtherequirements of SectionV of
these Guidelines.
Beforeawardinga Comprehensive Agreement,theCityshallholdapubhchearingonthe
proposaltobe awarded.TheCitymayalsomake available tothepublicanyproposed
Comprehensive Agreement before accepting sameby posting thesameontheCity's website or
byanyothermannerconsideredappropriatebytheCitytoprovideappropriatenoticetothe
public.
V.DETAILED STAGE EVALUATION AND INTERVIEWS WITH BIDDERS
SomeProposedProjectsmay require more details from prospective bidders or Proposers and
moreevaluationbytheCity.Onthoseprojects,theCitymayrequesta Detailed Stage
Evaluation before awarding a contract.On projects forwhichtheCityhas enough information
from bidders/proposers inthe Initial Proposal/Bid,theCitymaywaivethe Detailed Stage
evaluation.
If theCityrequestsaDetailedStageevaluation,thentheCitymayrequiretheProposerorbidder
toprovideanyorallofthe following information aspartofaDetailed Proposal depending upon
theProposed Project's requirements orthe information receivedthusfarbytheCityinInitial
Proposalsorresponsesto Solicitations orBidsorother information as requested bythe City:
1.ALifecycleCostAnalysis specifying methodology and assumptions supporting
sameandtheproposedstartdate of construction;anticipatedroles of allparties;the
sourceandamount of allequity,debt,andotherfinancingmechanismsfundingthe
design,construction,operationsandmaintenance of theProposedProject;anda
schedule of anticipatedrevenuesandcostsduringprojectoperationsandthemanner
in which saidcostswouldbefundedandrevenuesdistributed.TheLifecycleCost
Analysisshallincludeadetailedanalysisofthe projected rateandamountofreturn,
expectedusefulhfe of thefacihty,andestimatedannualoperatingandmaintenance
expenses.

2.Detailed analysis of thefinancial feasibility of the Proposed Project,including
its impact onsimilarfacilitiesoperatedorplannedbytheCityor neighboring
jurisdictions andincludeadetaileddescription of anyfinancingplanfor the project,
comparing that plan with financing alternatives available tothe City,andall
underlyingdataandassumptionssupportinganyconclusionsreachedin the analysis
ofthefinancingplanproposedfortheProposedProject.Theanalysisshallalso
includeanyfeasibilitystudiesthatsupportassumptionsaboutprojectusage,revenue
and costs.
3.ForeachPrivateEntityparticipatingontheProposerteam,provideastatement
listingallpriorprojectsandclients'namesandcontactinformationforthepastfive
years.If any Private Entityhasworkedon more than ten projects during this period,
itmay limit itspriorprojectlisttotenmostrelevantprojects,butshall include first,
all projects similar inscopeandsizeto the ProposedProject;second,allother
public/private partnerships and,finally,asmany of itsothermostrecent projects as
possible.Foreachprojectidentified,provideatleastthefollowinginformation:
a.Chent and Project Identification:
i.Client's name,project nameand project location;
H.Primary contactname,address,telephone andfaxnumbers,ande-mail
address of the client;
ill-Therole of thePrivateEntityinthe project;and
iv.Project description,includingyearcompleted,type,size,unitmixand
major tenants and theirpercentage of space plan allocation.
b.Identify the cumulativedollaramount of thePrivate Entity's involvement and
type of involvement,includingchanges,anda brief explanation of the
financialstructure usedtofinancethe project;and
c.Describe theextentofpublic involvement ineachofthe public private
partnership projects.
TheDetailedProposalshallalsoidentifythe Bidder/Proposer's financialcapacityto
developand operate theProposedProjectasproposed,byspecifyingthesourceand
amount of equityanddebtcapitaltheProposerintendstoaccesstodeliverthe
Proposed Project inacompliantandtimelymanner.EachBid/proposalmuststatethe
name of eachidentifiedinvestorandlenderontheProposedProject.
TheBidder/Proposermustidentifyits bonding capacity,insurancelimitsandany
factorimpactingtheabilitytocompletetheProposedProjectinatimelyand
professional manner;
4.Describe the plan forthedesign,construction,financing,operationand
maintenance of theProposedProject,includingtheanticipatedscheduleoffundsto
bepaidtotheProposerduringthe project's lifecycleandanyanticipated

performance-based conditionsonsaid payments andthemannerofmeasuring same.
5.DescribethetypeandamountofFees,LeasePayments,andotherpayments
anticipatedoverthetermofany applicable Interimor Comprehensive Agreementand
themethodologyandcircumstancesforchangestosameovertime.
6.Identify all necessary permits and approvals tobe obtained forthe Proposed
ProjectandhowlongtheProposer anticipates ittakingtosecuresame.
7.Identify the anticipated duration of design and construction,listing major
milestones foreachphaseand giving corresponding anticipated dates for same.Also
identify the anticipated duration during which the Bidder/Proposer will operate and
maintain the facility andthe nature of project ownership atall stages ofthe project
from inception to expiration ofthe Comprehensive Agreement.
8.Tothe greatest extent possible,the Bidder/Proposer must describe the
operational and management planforthe Proposed Project;other circumstances that
will increase the viability ofthe Proposed Project;adjacent uses and emerging
projects that could impact the value or influence theuseofthe Proposed Project;
connections topubhc transportation;availability and existing capacity of public
infrastructure and required extensions or improvements;any assumptions the
Bidder/Proposer is making to support anyofthe representations contained inthe
proposal andthe source of information giving risetoeach assumption;the means for
adding capacity tothe Proposed Project;andthe means for ensuring additional costs
or service disruptions willnotbe imposed onthe public intheeventof material
default or cancellation ofany Comprehensive Agreement.
9.Identify the sources and amount of debt and equity tobe used to capitalize the
Proposed Project andthe relationships ofthe funding sources tothe project (e.g.,
outside lender,parent company,institutional lender,private placement funding,etc.).
10.Identify the sources and anticipated amounts of working capital to cover
design,construction and operating costs and to adequately maintain the facility or
services from the start-up through completion ofthe project as defined bythe
Proposal.
11.Identify any parcels of land that must be acquired for the Proposed Project,the
anticipated means for acquiring same andall projected costs,both hard and soft,
necessary to acquire same.Also specify the anticipated timingfor acquisition.
12.Identifyall assumptions underlying the proposal.
13.Indicate opportunities thatexistfor increasing cost savings beyondtheinitial
proposedfinancialplan.
14.Outlinethefinancialpenalties,if any,thatwouldresultshouldthe
Bidder/Proposer failtomeet certain identified performance standards and milestones.

15.Identify anyworkrequiredfromorotherwisetobeperformedbytheCity.
16.Identify anyrestrictionsontheCity'suseoftheProposedProject.
17.Identify anyfederal,stateorlocal resources or commitment the
Bidder/Proposer contemplates requesting forthe Proposed Project.
18.Identify anyspecialuse of technology or innovations andefficienciesinproject
design,construction,operationsand/ormaintenance.
19.Identify all impacts onthe City's debt burden.
20.StatetheestimatedprojectcosttotheCityovertheProposed Project's lifecycle.
21.Identify theratio of debttoequityinthe Proposer's financingplananddiscuss
the stability and terms of loans and investments.
22.Project the number andvalue of subcontracts generated for area subcontractors
and/orsmallorminoritybusinessenterprises.
23.Identify anyanticipatedadversesocial,economic,environmentaland
transportationimpacts of theProposedProjectmeasuredagainstthe City's
comprehensiveplanandanyapphcableordinances.Specifythestrategiesoractions
tomitigateknownadverse impacts of theProposedProject.Indicate if necessary
environmental assessments havebeencompleted.
24.AnyinformationidentifiedintheInitialProposalthatwasdeferredtothe
DetailedProposalorwhichtheCityhasidentifiedasneedingfurtherdevelopmentor
assessment.
25.Design criteriaanticipatedfortheProposed Project asmayberequestedbythe
City,including,butnot limited to,finishes forthe structure and materials anddetails
of LEED compliance.
26.Additional materialandinformationastheCitydeemsappropriate.
Each bidder and/orinitialProposerinvitedtosubmitaDetailedProposalandparticipateinthe
DetailedStageshallpayaDetailedProposalapplicationfee of $25,000.
TheCityreservestherightatalltimestorejectanyorallbids/proposalsatanytimebefore
signing a Comprehensive Agreement foranyreasonandmay decline to pursue the Proposed
Project.Inthelatterevent,theCitymayacceptnewproposalsfortheProposed Project should
theCitychooseto restart theprocessatalaterdate.DiscussionsbetweentheCityandPrivate
Entitiesaboutneededinfrastructure,improvements,orservicesshallnotlimittheabihty of the
Citytolaterdecidetousestandard procurement procedurestomeetits infrastructure needs,
whetherthe project willbeapublic/privatepartnershipornot.

VI.RESPONSES TO CITY SOLICITATIONS
ResponsestoSolicitationsshallcomplywithallrequirements of thesoliciting document (Notice
of Receipt)andanyapphcablelaws,statutes,rules,regulationsandordinances pertaining
thereto.
Vn.INTERIM AND COMPREHENSIVE AGREEMENTS
A.General
Beforeenteringintothenegotiation of anInterimorComprehensiveAgreement,theCitywill
designatespecificCitystaffandconsultantstoreviewandnegotiateappropriateterms.The
terms tobe negotiated shall include,but notbe limited to,the scope,design,amenities,total cost,
and duration of the Proposed Project.Termswillalso include the City's review,approval and
control of project designand performance standardsforconstruction,operationsand
maintenance,for which compensationtotheProposermaybeadjustedshouldtheperformance
standardsnotbemet.TermswillalsoincludetheCity'srighttoinspectconstruction,operations
andmaintenanceaswellastherecordsrelatingtothecostofsuchoperations;periodicfinancial
reportingbytheContractingPersonof project financialperformance;eventsofdefaultandthe
parties'rights and responsibilities inthe event of same;fees,Lease Payments or service
payments tobe paid undertheagreement;andanyothertermstheCitydeemsappropriateforthe
ProposedProject.TimelinesforthenegotiationwiththeProposerorbidderwillbedeveloped
consistentwiththescopeandtiming of theProposedProject.
AnyInterimorComprehensiveAgreementshalldefinetherightsandobligationsoftheCityand
the Contracting PersonwithregardtotheProposedProject.Priortoenteringintoa
ComprehensiveAgreement,anInterimAgreementmaybeenteredintothatpermitsa
Bidder/ProposerorotherPrivateEntitytoperform activities,whichmaybecompensable,related
to the Proposed Project,usually inthenature of continued due diligence activities to inform the
ultimatedecisionmakerabouttheproject's feasibility.TheInterimAgreementisa discretionary
step,notnecessaryinallcases,butavailableshouldtheCitydeterminemoreinvestigationordue
diligenceisnecessaryabouttheProposedProjectbeforeenteringintoaComprehensive
Agreement.TheCityshallnotbeboundtoenterintoaComprehensiveAgreementmerely
becauseitenteredintoanInterimAgreement.However,priortodevelopingoroperatingthe
Proposed Project,theBidder/ProposershallenterintoaComprehensiveAgreementwiththe
City.
AnychangesinthetermsofanInterimorComprehensiveAgreement,asmaybeagreeduponin
writingbythepartiesfromtimetotime,andinordertobeenforceableshallbeaddedtothe
Interim or Comprehensive Agreement onlyby written amendment.Verbal changes shall not be
enforceable againsttheCity.Noactor omission orverbal representation orstatementshallbe
treatedasanexpressedorimpliedwaiverof this requirementandallwaiversshallbeinwriting
signedbythe party whoisallegedtohavewaivedanyofthetermsand/or conditions of the
Agreement.Therequirements of thisparagraphinparticular,shallnotbemodified,amendedor
waived exceptinwritingsignedbybothparties.AComprehensiveAgreementmayprovidefor
the development oroperation of separate phases orsegments of aProposedProject.Parties
submitting bids/proposalsunderstandthatrepresentations,informationanddatasuppliedin

support of,orin connection with,bids/proposals playa critical roleinthecompetitive evaluation
process andthe ultimate selection of abid/proposalbytheCity.Accordingly,as part of the
ComprehensiveAgreement,theBidder/Proposerandits team membersshall certify thatall
materialrepresentations,informationanddataprovidedinsupportoforin connection witha
proposalaretrueandcorrect.Suchcertificationsshallbemadebythe Bidder/Proposer's
authorized representative whoshallbean individual whohas knowledge of the information
provided inthe proposal.If materialchangesoccur with respecttoany representations,
information anddataprovidedfortheproposal,theBidder/Proposershallimmediately notify the
City of sameinwriting.Notwithstanding anylanguagecontainedwithinthe Interim or
Comprehensive Agreement,any violation of this Section shall givethe City therightto terminate
the Agreement,withhold payment,if anyisdue,andseek any other remedy available under the
law.
B.Interim Agreements
Thescope of an Interim Agreement mayinclude,butnotbe limited to:
1.Project planning and development;
2.Design and engineering;
3.Environmental analysis and mitigation;
4.Surveying;
5.Ascertaining the availability of financing forthe Proposed Project:
6.Geotechnical investigation ofsubsurfaceconditionsattheProposedProject
site;
7.Setting the timing of the negotiation of the Comprehensive Agreement;and
8.Anyotherprovisionsrelatedtoanyaspectofthedevelopmentoroperation
of aProposedProject that thepartiesdeemappropriatepriortoexecutinga
Comprehensive Agreement.
ThetermsofcompensationtotheBidder/Proposer,if any,underanInterim
AgreementshallbenegotiatedandspecificallyreferencedintheInterim Agreement.
C.Comprehensive Agreements
TheCommissionmustapproveanyComprehensiveAgreemententeredintopursuanttotheP3
Program between theCityanda Contracting Personbeforesaid agreement becomesenforceable.
The CityshallacceptnoliabilityfordevelopmentoroperationofaProposedProjectbefore
enteringintoa Comprehensive Agreement.Each Comprehensive Agreementshalldefinethe
rightsandobligationsoftheCityandthe Contracting Person regarding the Proposed Project.
Thetermsofthe Comprehensive Agreementshall be tailoredto address the specific Proposed
Project and may include,but not be limited to:

1.The delivery of security,includingperformanceandpaymentbonds,lettersof
credit andother security inconnectionwith,butnotlimitedto,any acquisition,
design,construction,improvement,renovation,expansion,equipping,
maintenance,oroperation of theProposedProject;
2.The City's review andapproval of thedesignoftheProposedProject;
3.Therights of theCitytoinspecttheconstruction,operationand maintenance of
the Proposed Projecttoensurecompliancewithspecified performance
standards andadjustmentsinthecompensationtobepaidtotheContracting
Person and/orliquidateddamagesduefromtheContractingPerson should they
failto meet specifiedperformancestandardsand/ordeadlines;
4.Themaintenanceof insurance policiesreasonablysufficienttoensurecoverage
of all aspects of the Proposed Project,includingdesign,construction and
operations;
5.The services tobe provided bytheCityandtheterms of compensation duethe
City for same;
6.The policy andproceduresthatwillgoverntherightsand responsibilities of the
parties if the Comprehensive Agreement isterminatedor there isamaterial
default bytheContractingPerson,includingtheconditionsgoverning
assumption of thedutiesandresponsibilitiesoftheContracting Person bythe
Cityandthetransferorpurchase of propertyorotherinterestsofthe
Contracting Person by the City;
7.The terms "under whichtheProposerwillfile,withtheCity,financial
statements pertaining totheQualifiedProjectpreparedinaccordancewith
generally acceptedaccountingprinciplesonaperiodicbasisbutnotlessthan
annually;
8.A schedule of FeesorLeasePaymentsandcircumstancesfor,and method of
calculating,anticipatedadjustmentstosameover the project hfecycle;
9.The mechanism by which Fees,LeasePayments,orpayments,if any,maybe
established fromtimetotimeuponagreementoftheparties.Anypaymentsor
feesshallbesetatalevelthatarethesameforallpersonsusingthefacility
under like conditions and that will not materially discourage use of the
Proposed Project;
10.Service or concession contracts;
11.Classifications according to reasonable categoriesfor assessment of Fees;
12.The terms and conditions under which the Citywill contribute financial
resources,if required for the Proposed Project;
13.Thetermsandconditionsunderwhichexistingsiteconditions will beassessed
and deficiencies thereinaddressed,includingidentification of theresponsible
partyforconductingtheassessmentand taking necessaryremedialaction;
14.ThetermsandconditionsunderwhichcapacityfortheProposedProjectmay
be increased or enlarged;

15.Aperiodic reporting procedureincorporatingadescription of the impact of the
Proposed Project,financially andsocially,on the City;and
16.Otherrequirements of theP3ProgramorapplicablelaworthattheCitydeems
appropriate.
Withrespecttothe construction component oftheProposedProject,theCitygenerally
anticipatesaddressingthefollowingintheComprehensiveAgreement:
1.TheContractingPersonwillbeexpectedtoassumesingle-point
responsibilityandliabilityforallplanning,designing,financing,constructing,
operating,and maintaining theProposed Project.
2.•Therisk of inadequategeotechnicalinvestigationorimproper
interpretation of the results of thegeotechnical investigation,aswellasallother
unforeseen site conditions,willbeallocatedtothe Contracting Personinthe
Comprehensive Agreement.
3.TheCity encourages theContracting Person to propose aformulaforthe
mutual sharing of cost savingsrealizedduring construction byvirtueofvalue
engineering initiatives andefficiencies.Mutually agreed upon termsforthe
sharing of such savings willbeincorporatedinthe Comprehensive Agreement.
4.TheCity may requirethatoneormore of thePrivateEntitiesand/ortheir
principal members provide performanceguaranties of all obligationsundertakenin
the Comprehensive Agreement.Thisrequirementisin addition tothestatutory
requirementforaperformance and paymentbondsandanyotherperformance
security required bythe Comprehensive Agreement.Private Entities interested in
enteringintoa public-private partnershipwiththeCityundertheP3Programmust
be willing to provide thissecurity.
Vm.GOVERNING PROVISIONS
Intheevent of anyconflictbetweentheseGuidelinesandtheCity Charter,orany
federal,state,countyorCitylawor administrative authority,thetermsofthe respective
Charter,lawsoradministrativerulesandregulationsshallcontrol.
As of thepromulgationofthese Guidelines,ArticleIV,Section4.,D.oftheCity
Charterrequiresanagreementinvolvingthepaymentofmoneyoutofthe appropriations of
morethanoneyeartobeapprovedbyresolution adopted bytheCommissionafterapublic
hearingand,inthatevent,appropriations maynotbeforaperiod of morethanfiveyears
unlesstheCityentersintoafranchiseagreement,asdefinedinArticleVI,Section4ofthe
CityCharter,withtheContractingPartyforagreaterterm.The Comprehensive Agreement
mustbedraftedinaformthatdoesnotviolatetheseprovisionsunlesssaidCharter
provisions are subsequently amended orwithdrawn.
