A RESOLUTION OF THE MAYOR AND CITY COMMISSION OF THE
CITY OF SOUTH MIAMI,FLORIDA,RELATING TO THE
COMMISSIONS FOR WOMEN;PROVIDING FOR APPROVAL OF
AMENDMENT TO BY-LAWS;AND,PROVIDING FOR AN
EFFECTIVE DATE.
WHEREAS,The Mayor and Commission recognize the important
contributions and commitment made by women to improve the
condition of women through community and other service;and
WHEREAS,Ordinance No.7-97-1628,adopted by the City
Commission established the Cityof South Miami's Commission on
the Status of Women and now desires to appoint appropriate
members to fill that Commission;and
WHEREAS,To conform with the State of Florida the City
Commission adopted Ordinance No.12-99-1685,on May 18,1999
changes the name from the Commission on the Status of Women to
the Commissions For Women;and
WHEREAS,TheCommissionsForWomenattheMay 24th
Commission meeting by unanimous consent amended its by-laws by
amending Article IV,Section by changing the term from one to two
years.
NOW THEREFORE BE IT RESOLVED BY THE
COMMISSION OF THE CITY OF SOUTH MIAMI,FLORIDA:
MAYOR AND CITY
Section 1.The City Commission hereby approved the by
laws for the Commissions For Women.
Section 2.The resolution shall take effect immediately
upon approval.

ARTICLE L
Thename of this organization shallbetheCity of SouthMiami Commissions For
Women,hereinafter knownastheSMCSOW,anorganizationestablishedbytheSouth
MiamiCityCommissionbyOrdinanceNo.7-97-1628,onApril1,1997.
ARTICLE H.
Section1.Theobject of thisassociationshallbetoseekforeverywomanprivilege
equaltoherpotentialandresponsibility;toinspireinwomenforself-improvementand
pride of being,regardless of race,color,creedorage;toencourageinvolvement of
womeninmatterspertainingtocommunityprogress;toencouragewomentorecognize
familyenvironmentasfundamentaltopreservation of ournationcultureandsecurity;to
work towardutilization of capablewomeninroles of leadership;andtoworktoward
legislationgrantingwomenequalitybeforethelaw.
Section2.TheSMCFWshallhavethefollowingduties,functions,powersand
responsibilities asestablishedintheCity of SouthMiamiOrdinanceNo.7-97-1628and
amended by Ordinance No.12-99-1685.
a.Toserveinan advisory capacitybymakinginvestigations,studies,reports
and recommendations totheCityCommission,andthecommunity,inrespect
toallmatterspertainingtothestatus of womeninSouthMiami,including,but
notlimitedto,thefairandequaltreatment of women;thosepoliciesand
practiceswhichdiscriminateagainstwomenwhetherpracticedbypublicor
privatepersons,individualsorcorporations;andthepublicandprivate
employment of women,theworkingandlivingconditions of women,the
delivery of publicandprivateservicestowomenandtheeducationand
training of womenandpublicaccommodations ofwomen;
b.Tomake continuing studiesand recommendations and reports of allcity
agencies,facilities,boards,servicesandprogramsdealingwithoraffecting
women,includingequalfunding of suchfacilities,servicesandprograms;
c.Tostudy,recommendandreportanyneededimprovementsandchangesto
citycodes,boards,ordinances,resolutions,andwrittenandunwrittenpolicies
and practices of theCity.
d.Toappearbeforethegovernmentalornon-governmentalagencytopresent
findingsand recommendations on behalf of the Commissions ForWomen,as
wellason behalf of theCitywithapproval of theCityCommission;

e.To solicitcontributions;servicesandfinancialsupport from other
governmental authorities,private businesses,groups,institutions andtrust
funds;
f.To serveasaliaisonorinformal mediator amongthe City Commission,the
city administration,the city employees and the users of city services and
facilities.The Commissions For Women mayconsultwithrepresentatives of
thesegroupsfrom time totimeasnecessarytocarryoutthe Commissions For
Women's duties andfunctions;and
g.Toperformotherduties,functionsandservesasmaybeassignedtoitbythe
Commission.
ARTICLE m.
Section1.Themembership oft hisorganizationshallconsist of 10members,all of
whom shallbepermanentresidentsoremployedinbusinessesinthecityfor two ormore
years.Each member shallhavedemonstrateda commitment to improve thecondition of
women through community andotherservices.Themembershipshallreflectthe racial
and ethnic diversity of theresidents oft heCity of SouthMiami.
Section2.Members,while serving,shallnot become candidatesforelectiontoany
public office.
Section3.Itshallbetheresponsibility of each member toattendall meetings of the
SMCFW and Task Forcemeetings,of herprimaryassignments.A member failingto
attendfour(4)consecutive regularmeetingshallberemovedbytheCity Commission
afterthe staff liaisonhas notified said member inwriting.
Section4.The members shallbedeemedtohavebeen removed andavacancy
created.Appointments to fill anyvacancyonthe Committee shallbefortheremainder of
the un-expected terms.
Section5.Membersmayspeakon behalf of theSMCFWonlywithexpress
permission ofthe Chairperson orwiththe approval ofthemembership.
Section6.Any member desiringtoresignfromtheorganizationshallsubmither
resignationinwritingtotheMayor,the Chairperson andthe staff liaison.
Section7.Allactions of thisCommission shall bewithinthepurview of thelaws,
charterandrulessetforthbythe citizens and Commissioners of the City of South
Miami.
ARTICLE IV.
Bylaws -City of SouthMiami
Commissions For Women
Section1.The officers of the SMCFW shallbeChairperson,andVice-Chairperson.
TheChairpersonandVice-Chairpersonshallbeelected by the members of the
Commission foraterm of two yearsoruntiltheirsuccessorsareelected,andtheirterm
of office shall begin attheclose ofthe meeting at which they areelected.
Section 2.The Vice-Chairperson shallbe of activeassistancetotheChairpersonand
shallperformtheduties of theChairpersoninherabsenceorinabilitytoserve.
Section3.At theregularmeetinginSeptember,theChairshallopenthefloorfor
nominations,starting with the office of Chairperson.Officersshallbeelectedbyavoice
vote ifthereisonlyonenomineeand if morethanonenomineebyasimultaneouswritten
ballot,signedbythe member castingtheballot,tobemadeapart of thepublicrecord.
No vote byproxyshallbepermitted.Electionshallbeamajority of the votes castby
members presentandvoting.
Section4.No member shallbeeligibletoservemorethan two consecutivetermsin
thesame office.A member canserveagaininsame office after two interveningyears.
Section5..Avacancyinthe office of Chairperson shallbefilledbytheVice-
Chairperson.If avacancyinthe office of Vice-Chairpersonoccursanelectionshallbe
heldatthefirst meeting followingthevacancy.
Section6.Inadditiontothoseduties prescribed bythe parliamentary authority
adopted by themembership,the Chairperson shallassign members toeachTaskForce
with due consideration for the desire of the member and the need of the Task Force;
shallpresentallreportstotheCityCommission;maydesignatearegistered
parliamentarianatherdiscretion;andshallserveasthe only official representative and
spokesperson for the SMCFW.
ARTICLE V.
Meetings
Section1.The regular meetings of theSMCFW shall bescheduled,andnotice of
such meetings shallbegiven,asprovidedbytheCity of SouthMiamiCode of
Ordinances formeetings of theCityCommission;provided,however,that scheduling
special meetings shallrequirethewrittenrequest of themajority of theCommission
members.Minutesshallbekeptbycity staff of allmeetings.
Section2.At theJulymeeting,anominating committee shallbecreatedconsisting of
thepast Chairperson,if sheacceptsandisnotgoingtorunforoffice,twomembers
appointedbythecurrent Chairperson,andtwomemberselectedbythemembership,to
serveforaperiod of oneyear,topresenttheslate of officersfortheSeptember annual
meeting.Thenomineesfor Chairperson and Vice-Chairperson shall bemailedtothe
membershipbytheAugustmeeting.Amember of thisnominatingcommitteemaynot
be considered a candidate for office.

andshallbethe purpose of electingofficers,receivingannual reports of officersand
Task forces,andforany other businessthatmayarise.
Section 4.Special meetings canbecalledbythe Chairperson orbythe staff liaison
andshallbecalleduponthe written request of themajority of themembers.Thepurpose
of themeetingshallbestatedinthecall.Exceptincases of emergency,atleastthree
daysnoticeshallbegiven.
Section5.Themajority ofthemembersthenappointedshall constitute aquorum.
Section6.Membersshallservewithoutcompensation,butshallbereimbursedfor
necessary expenses incurred intheperformance of theirofficialduties,asapprovedby
the Chairperson or Vice-Chairperson andforwardedtotheCityCommissionfor
approval,whenrequiredbytheCityCharter.
ARTICLES VL
Task Forces
Section 1.TaskForcesshallhavetheresponsibilityforperformingsuchdutiesasare
necessary toaccomplishthefunctions,powers of theSMCFWassetforthinthese
Bylaws.
Section2.EachTaskForceshallmeetregularlyuponthecall of itschair,andTask
Force meetingsshallbeannouncedandpublicized.
Section3.Comprehensive reports of TaskForce activities shallbeprovidedin
writing totheannual meeting andatsuch other timesastheyshallbe requested bythe
Chairperson.Copies of reports shallbedistributedwiththeminutes of themeeting.

Parliamentary Authority
Therules contained inthecurrentedition of Robert's Rule of Order shallgovernthe
organizationinallcasestowhichtheyareapplicableandinwhichtheyarenot
inconsistentwiththeseBylawsandanyspecialrules of ordertheorganizationmayadopt.

Amendment ofBylaws
These bylaws maybeamendedatany regular meetingbyatwo-thirds vote of the
members presentand voting,providedthatthe amendment hasbeen submitted inwriting
attheprevious meeting orhasbeenmailedorfaxedtothemembershipatleast (15)
fifteendayspriortothe meeting atwhichitwillbeconsidered.

andshallbethepurpose of electingofficers,receivingannualreports of officersand
Taskforces,andforanyotherbusinessthatmay arise.
Section4.SpecialmeetingscanbecalledbytheChairpersonorbythe staff liaison
andshallbecalleduponthewrittenrequest of themajority of themembers.Thepurpose
of themeetingshallbestatedinthecall.Exceptincases of emergency,atleastthree
days notice shallbegiven.
Section5.Themajority of themembersthenappointedshallconstituteaquorum.

writingtothe annual meetingandatsuchothertimesastheyshallberequestedbythe
Chairperson.Copies of reports shall bedistributedwiththeminutes of themeeting.
