BACKGROUND AND ANALYSTS The City of South Miami issued the Request for Proposals in June 1997 for the municipal parking lot located at SW 73rd Street and SW 58th Avenue.In September 1997 the City Commission awarded the proposed project for the design,construction,leasing and management ofthe mixed-use development and parking garage to Phase 1,Inc. The finalization of the contract and implementation of the project have been delayed due to a number of factors.The City Manager set a deadline date of January 30th,which was subsequently extended to February 28 ,to resolve all issues and conclude negotiations.All parties,with the assistance of Commissioner Oliveros,have come tothe table andwe now believethatalloutstandingissueshavebeen resolved. The attached Proposed Framework outlines all of the major parameters of the Lease Agreement for the project.These parameters include a definition of the project,payments to the City,term of the lease,exercise ofa lease extension option,air rights development on the adjoining Richmond parcel,financing,signage anda number ofother issues. If approved by the Commission the full Lease Agreement will be placed for first reading on the next Commission Meeting.The leasing of City propertv is done by Ordinance and requires a fourfifthsmajority. MEMORANDUM TO:CharlesScurr,City Manager FROM:Luis Figueredo DATE:February 25,1999 RE:Proposed Framework for Lease Agreement Between CityofSouth Miami and SPG PhaseOne,Ltd.("SPG") ******************************************** The provisions set forth below reflect thetentative agreement reachedbetween representativesfortheCity of SouthMiamiandSPG.SPGhasbeenadvisedand understands that the terms conceptually agreed to are not binding and must be approved bythe City commission. 1.Ground Lease.TheCity,aslandlord,andSPG,astenant,shall enter into a ground lease (the "Lease")fora parcel of land.(.70+/-acres)currently used asa municipal parking lot,owned bytheCityand bounded by S.W. 73rd Street on the south S.W.58th Avenue on the east,S.W.58th Court on thewestandanalleywayonthenorth(the"Land"). 2.Development.SPG will design,construct,lease,manage and operate a4 storymixeduseretailandgarageparkingfacilitycomprisedof approximately 20,000 (+/-)square feet ofretail space and approximately 378parkingspaces(the "Facility").SPGshallbe responsible forallcosts of building the Facility,and the City shall notbe responsible for paying any such costs. 3.Minimum Rent.SPG shall paytheCity $44,000 peryearas minimum rentinequalmonthly installments.Thepayment of MinimumRentshall commence when theCityturns over possession and control of the Land to SPG. 4.AdditionalRent.SPG shallpaytheCityan amount equal tofive(5%) percent of thegrossincomederivedfromtheretailspacerental(exclusive of standardtenantpassthroughexpensessuchasrealestatetaxesand insurance)andparkingincome. 5.Supplemental Rent,OwnershipoftheFacility,and Ad Valorem Taxes.TheCity shall ownthe Facility as provided in Paragraph 6 below. Fifty (50%)percent ofthead valorem real property tax savings fromCity ownership of theFacilityshallbepaidbySPGtotheCityas "Supplemental Rent."SPG shall assure itselfthatno portion ofthe real Page 1 of4 ATVD property and improvements willbe subject toad valorem taxation.The City agrees to cooperate with SPG in obtaining appropriate tax rulings withregardtoadvaloremtaxsavings.SPGshallbeartheriskand all responsibilities for an adverse decision. 6.DocumentaryStamp Tax.Duetothe documentary stamp taxonthe transferoftheFacility from SPGtotheCity,thepartiesagreethat:SPG shallbuildtheFacilityon behalf of theCitysoastonotincur documentary stamptax. 7.Amenities Fee.SPG shall pay a 1.5%amenities fee which the City recognizes SPG will satisfy withthedesign elements tobe incorporated intotheFacility. 8.Term.TheinitialtermoftheLeaseshallbethirty(30)yearswithone option to extend the term ofthe Lease,foran additional twenty (20)year period. 9.Exercise of Lease Option.The City Commission shallvote whether to exercisetheleaseextension option (effective atthe conclusion of the original thirty (30)year term)priortothe commencement ofyear twenty eight (28)ofthe Lease.AtthattimetheCityshallhavethe following options: (i)Exercise the lease option extending theterm of the original lease an additional twentyyears;or (ii)CompensateSPGforthevalue of theimprovements of theMRP PropertiesAirRightsandnet present value of the projected revenues which would be lost by SPG if the lease is not extended. The appraisals forthevalueofthedevelopment of theMRP Properties Air Rights and lost revenues shall be conducted in accordance with the then prevailingindustrystandards.TheCityandSPGhaveagreedtoeach selectone appraiser.Thetwoappraisersshallselectathirdappraiser.The threeappraisersshalldeterminethenetpresentvalue of therevenuesas wellasthevalue of theMRPPropertiesAirRightsandprovidethe Commission andSPGwithonereport.If thetwo appraisers cannotagree, theCityandSPGagreetobeboundbyanindependent appraisal prepared bythethirdappraiser. 10.MRPPropertiesBuildingand Air Rights.SPGwillcausetheairrights ("AirRights")overtheMRP Properties*siteproperty(locatedatthe corner of 58th Court and 73rd Street)to be deeded to the City as provided inthe separate development agreement betweenSPGandMRP Properties (the"MRPPropertiesAgreement"). Page 2 of4 11.Financing.SPG shall procure a construction loanto build the Facility froman institutional lenderwhich provides such loansinthenormal course of business.Theconstructionloanshallbereplacedbypermanent financing within 15 months ofSPGobtainingthecertificateof completion for the Facility. 12.Alleyway Issue.TheCityand SPG shall cooperate with each other to resolve the alleyway issue on the north side of the land to their mutual satisfaction. 13.Security.SPGshallcauseits contractor to provide theCitywitha Paymentand Performance Bondwithagoodandsufficientsurety,naming the City asan obligee ina commercially acceptable form. 14.Signage.Signage onthe Facility shall comply with the applicable codes of the City andanyother jurisdiction having authority.TheCityshallbe responsible for providing way-finding signs (not onthe Facility orLand but inthe vicinity of the Facility). 15.Environmental.SPGhas performed,atitscost,a Phase One Environmental Assessment of the Land.SPG advises that the Phase One Environmental Assessment has shown no adverse environmental conditions. 16.Late Payments.Maximum penalty is (5%)of amount overdue. 17.Insurance.SPGwillcarrythetypicalforms of insurance normally associated with a project of thistype. 18.Excess Payments.SPG shall continue tobe responsible for any andall expenditures.SPGagreesto release the City and hold it harmless forany excess costs. 19.Amendment to the City Charter.In the event that the Charter for the City of South Miami is amended toallowthe City tolease public grounds fora period of fiftyyearsormoretheleasetermshall automatically be extended tofiftyyearswithnorenewal option. 20.Project Schedule.The parties agree to develop a project schedule taking into account the following. A.The agreement between the general contractor and SPG; B.The requirements of the construction lender; C.The MRP Properties Agreement; Page 3 of4 D.Any commercially reasonable insurance or surety requirements; E.Items necessary for title insurance. 21.Default.The parties will agree toa default provision that protects SPG's equity inthe Facility andalso protects the City's right to receive income fromthe Facility as provided inthis memorandum. B.Physical Description:The project area consists of approximately .75 acres of land and includes 142.5 feet of frontage on S.W.73rf St and 150 feet of frontage along S.W.58th Avenue.The subject property is currently paved and is used as amunicipal metered parking lot C.Project Overview:In November of 1992,members ofthe community gathered for apublic "Charrette"or a design workshop on the future ofthe downtown area.The design workshop included several days of around-the-clock design sessions and discussions.This public process brought together people from all segments ofthe community,professionals from all levels of governments and a diverse group of consultants to develop a common vision for the downtown.This common vision is called the Hometown Plan which later was codified in the Hometown District.The plan is based on the concept that like a traditional,small-town downtown,South Miami downtown ought to be a neighborhood where a full range of uses exist and are juxtaposed to create a synergy that brings life and vitality to downtown.The plan is based on the concept that the streets belong to people and the awareness of how individual buildings relate to each other and how users collectively interact with the sidewalk and the street will determine the success of creating people friendly streets and public squares.The plan identified a series of "Initial Projects"to act as catalyst for re development 3,REQUEST FOR PROPOSAL REQUIREMENTS ANDGENERAL INFORMATION A Unified Development:The City is soliciting proposals from private developers or individuals who can provide the City with an integrated improvement package including but not limited to planning,design,construction,leasing and management for the City-owned property currently occupied bythe municipal metered parking lot. B.Commitment of Funds:The City shall provide no direct or indirect financing to the development.The City will enter into a long-term property lease agreement with the successful developer for an annual rent payment which may be comprised ofa minimum guaranteed rent and a percentage rent based on gross revenues.The terms and conditions of the property lease agreement shall be negotiated to complement the financing strategy and/or thedepreciationschedule. The successful developer is required to provide all the necessary financing for ail aspects of the proposed development. Phase Onehas reached an agreement with Mark Richman to purchase the air- rights overthe strip stores located directly behind thecity's parking \o\on 73rd street and58thcourt.With these air-rights thebuilding becomes a rectangle which makes tor a much more effieani building allowing for free flow ofthe parking of cars.Phase One would like to present this augmented proposal tothe City ot South Wlla»ti which usss approved bythe South Miami PlanningBoard. 1.Insteadofa$4,000,000.00 building,PhaseOnewould build a structure costing approximately $6,500,000.00 to $7,000,000.00. Z.Instead of257 parking places,Phase One would provide thecity with approximately358parkingplacesandincreasetheretail/office space to approximately 22,000 square feet. 3.Phase One would construct an arcade on 73rd street running from 58th avenue to58thcourt meeting mostofthe requirements oftheHomeTown Plan. 4.Phase One will redothefacadeofthe existing strip stores,matching the facadeofthe new rrrlxed-use parking garagestructure,whereby itwould have a unified look and become a Signature Building. 5.With the increased parkingandretail/office space the city should receive approximately 20%25%more revenue than in the initial proposal. •Factoring In thecostofthe air-rights andthecantilevered parking structure and redoing thefacadeofthe existing building andthearcade will cost PhaseOne approximately $3,000,000.00 more than the original proposal.In addition tothiscost,because ofthe anticipated shortageof parking space weareenlargingthe foundations andcolumnsofthebuilding.Thisisbeing done,at additional cost tous,intheeventthecitydesire additional levete ot parking to ameliorate the shortage of parking spaces. WHEREAS,the City of South Miami issued a request for proposals for design,construction,leasing andmanagementofa mixed-use development andparkinggaragewithaprimaryobjective to replace the existing parking,meet,parking requirements,of.the mixed-use element oftheproject,andto provide additional short-term parkingfortheareamerchants,tobelocatedoncity- owned property at S.W.73zd Street,S.W.58tVl Avenue,and siw.58th Court;and WHEREAS,two proposals were received by the city in response tothe Request for Proposal from?1)Tropicaire Development, Inc.,and 2)Phase 1,Inc.and, WHEREAS,both proposals have been reviewed by the city's consulting engineering firm,C3TS for technical compliance,with one proposal receiving 31.5 points and the other proposal receiving 80 points under their,scoring system (see attached correspondence from C3TS);and WHEREAS,both proposals have been reviewed by the Hometown District Parking Committee,a committee charged with,oversight of. thesupply,convenience,safety and management of parking inthe Hometown District.The Hometown District Parking Committee determined thatboth proposals submitted represent viable projects,witha 3-2_vote supporting their recommendation (see attached minutes);and WHEREAS,the below named project most closely meets the objective ofthe city to respond to an.existing and growing parking shortage inthe city's downtown retail district and provides strongest financial return tothecity. NOW THEREFORE BE IT RESOLVED BY THE MAYOR AND CITY COMMISSION OF THE CITY OF SOUTH MIAMI,FLORIDA: Section 1.Thatthe Mayor andCity Commission awardthe project to Phase Ifor design,construction,leasing and management ofa multi-use/parking garage development tobe located on city-owned property at S.W.73rd Street,S.W.58th Avenue,and S.W.58th Court.
