BACKGROUND:
The applicant, GRST SoMi Investors, LLC , owners of the property located 5958 South Dixie
Highway requested the review and approval of a Unity of Title for the above-mentioned
property (See Figure 1 for location) with the following legal description:
Lots 1, 2, 3 and 11, and the Northea sterly 35 feet of Lot 4, Block 2, Solovoff Subdivision,
according to the plat thereof as recorded in Plot Book 7, Pag e 11, Public Records of Miami-
Dade County, Florida ; Having 30,845 sq/ft more or less; Property address: 5958 South Dixi e

The owner submitted a unity of title request in preparation for a new mixed-use development
project that would encompass all of the property which was formerly occupied by the "New
Chinatown" restaurant and retail uses. As listed on the attached boundary survey, the site
consists of Lots 1, 2 3 and 11, and the northeasterly 35 feet of Lot 4, Block 2 of the Solovoff
Subdivision.
The property was platted in 1921 and consists of several abutting Lots within Block 2 of the
Amended Plat of the Solovoff Subdivision. In 1946 the existing building was constructed across
the various abutting lots on the property; however, an official unity of title has not been
recorded for such property. Therefore, the applicant supplied this request to the City to meet
the code requirements for unifying property and development. During staff review, no unity of
title was found in the city's records, hence the acceptance of this application to memorialize
and record this unity of title with the appropriate legal instrument.
The said property is located in the Specialty Retail (SR) zoning district and within the Hometown
District Overlay (HD-OV). Pursuant to Section 20-7.30(A)(1) ofthe Hometown District Overlay, if
the development project is to be built on two or more abutting platted lots then a unity of title
is required. Additionally, Section 20-5.16(C) of the City's land development code requires that
the City Commission review and approve the unity of title. The Planning & Zoning Department
and the City Attorney have reviewed the attached document as to form and content. Approval
of the unity of title does not imply approval of the development project. All development on
this site shall comply with the requirements of the City's land development code.
RECOMMENDATION:
Staff recommends that the Commission approve the attached resolution approving the unity of
title for the property located at 5958 South Dixie Highway.

WHEREAS, GRST SoMi, LLC, submitted a request for unity of title for a property
located at 5958 South Dixie Highway; and
WHEREAS, the Unity of Title request is in conjunction with a proposed new mixed use
development project; and
WHEREAS, the Planning & Zoning Department reviewed the unity of title request and
finds it in compliance with the requirements of Section 20-5.16 and 20-7.30 of the land
development code; and
WHEREAS, the unity of title must be approved by the City Commission and approved
by the City Attorney as to fonn and content, and shall then be recorded in the public records of
Miami-Dade County prior to the issuance of any building pennits.
NOW, THEREFORE, BE IT RESOLVED BY THE MAYOR AND CITY
COMMISSION OF THE CITY OF SOUTH MIAMI, FLORIDA:

Dear Ms. Kamali:
On behalf of GRST SoMi Investors, LLC, the developer of the proposed development,
located at the above-referenced address, we respectfully submit this Letter of Intent in
connection with the City of South Miami's (the "City") rules and regulations for filing an
Application for Public Hearing (the "Application"). The propeIty, which was formerly occupied
by the "New Chinatown" restaurant and retail uses, is anticipated to be redeveloped with a
beautiful mixed use development. On April 29, 2015, the City, pursuant to Section 20-7.3 of the
City Code of Ordinances (the "City Code"), approved an Application for Development Permit on
the property permitting the redevelopment.
The property was platted in 1921 and consists of several abutting Lots within Block 2 of
the Amended Plat of the Solovoff Subdivision recorded in Plat Book 7, Page II of the Public
RecOl'ds of Miami-Dade County, l'Iorida, a copy of which is enclosed is for your convenience.
In 1946, the existing building was constructed across the various abutting Lots on the propelty.
Similarly, the proposed development will also be developed across such Lots. Section 20-7.30 of
the City Code provides that a Unity of Title is required in such circumstances as set forth in
Section 20-5.16 of the City Code. Section 20-5.16 of the City Code requires that a Unity of Title
be reviewed and approved by the City Commission. Therefore, enclosed is our Application
requesting City Commission approval of our Unity of Title on the property.

WHEREAS, the undersigned is the Owner of that property ("Property") legally
described as:
Lots 1, 2, 3, and 11, and the Northeasterly 35 feet of Lot 4,
Block 2, in SOLOVOFF SUBDIVISION, according to the Plat
thereof, as recorded in Plat Book 7, at Page 11 of the Public
Records of Miami-Dade County, Florida.
The address of which is 5958 South Dixie Highway, South Miami, Florida, 33143.
Owner recognizes and acknowledges that for the public health, safety and welfare, the
herein-described property shall not be divided into separate parcels owned by several owners so
long as the same is put to the hereinafter use, and
In consideration of the issuance of permits for the subject property and for other good and
valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Owner
hereby agrees to restrict the use of the subject property in the following manner:
That the Property shall be considered as one plot and parcel of land
and that no portion of said plot and parcel of land shall be sold,
transferred, conveyed, mortgaged, devised or assigned separately,
except in its entirety as one plot or parcel of land; provided that no
provision of this instrument shall be construed as to prohibit a
declaration of condominium on the Property or the individual sale
or mortgage of condominium units.
City Inspection. As further part of this Unity of Title, it is hereby understood and
agreed that any official inspector of the City of South Miami, or its agents duly authorized, may

have the privilege at any time during normal working hours of entering and inspecting the use of
the premises to determine whether or not the requirements of the building and zoning regulations
and the conditions herein agreed to are being complied with.
Covcnant Running with the Land. This Unity of Title on the part of the Owner shall
constitute a covenant running with the land and shall be recorded, at the Owner's expense, in the
public records of Miami-Dade County, Florida and shall remain in full force and effect and be
binding upon the undersigned Owner, and its heirs, successors and assigns and upon all
mortgagees or lessees until such time as the same is modified or released. These restrictions
during their lifetime shall be for the benefit of, and limitation upon, all present and future owners
of the real property and for the public welfare.
Term. This Unity of Title is to run with the land and shall be binding on all parties and
all persons claiming under it for a period of thirty (30) years from the date this Unity of Title is
recorded after which time it shall be extended automatically for successive periods of ten (10)
years each, unless an instrument signed by the, then, owner( s) of the Property has been recorded
agreeing to change the covenant in whole, or in part, provided that the Unity of Title has first
been modified or released by resolution passed and adopted by the City Commission, after a
public hearing, and executed by the City Manager and the City Clerk.
Modification, Amendment, Release. This Unity of Title may be modified, amended or
released as to the land herein described, or any portion thereof, by a written instrument
executed by the, then, owner(s) of all of the Property, including joinders by all mortgagees, if
any, provided that the same is also approved by resolution passed and adopted by the City
Commission, after a public hearing, and executed by the City Manager and the City Clerk. A
release will be executed when the Property is made to conform with applicable zoning
regulations and the use or structure which caused the need for this Unity of Title is removed
from the premises and there is no further reason to maintain the Unity of Title on the public
records. The release of the Unity of Title is contingent upon the cessation of the conditions
and/or criteria which originally required the execution of the Unity of Title and the cessation
of any condition or criteria that occurs after the approval of the Unity of Title and which
condition and/or criteria requires a Unity of Title.
Enforcement. Enforcement shall be by action against any parties or person violating, or
attempting to violate, any covenants. This enforcement provision shall be in addition to any
other remedies available at law, in equity or both.
Authorization for the Citv to Withhold Permits and Inspections. In the event of any
non-compliance with any of the terms of this Unity of Title, the City is hereby authorized, in
addition to any other remedies available, to withhold any further permits, and refuse to make any
inspections or grant any approvals, until such time as the Property is in compliance.
Election of Remedies. All rights, remedies and privileges granted herein shall be
deemed to be cumulative and the exercise of anyone or more shall neither be deemed to
constitute an election of remedies, nor shall it preclude the party exercising the same from
exercising such other additional rights, remedies or privileges.

Severability. Invalidation of anyone of these covenants, by judgment of Court, shall not
affect any of the other provisions which shall remain in full force and effect.
