RESOLUTION NO.:086-15-14425 A Resolution repealing Resolution 062-15-14401 and authorizing the City Manager to enter into an agreement with GEI Consultants foraninitialsea level rise,storm surge,and inland riverine flooding study. WHEREAS,the City of South Miami approved Resolution 062-15-14401 to enter into an agreement with Catalysis Adaptation Partners,LLC for aninitial sea levelrise, storm surge,and inland riverine flooding study. WHEREAS,commencing April30,2015,Catalysis Adaptation Partners,LLC will operate as GEI Consultants;and WHEREAS,the City wishes to identify critical vulnerabilities to sea level rise, storm surge,and inland riverine flooding over time,but recognizes that a City-wide vulnerability assessment may require many types of data that do not exist;and WHEREAS,the City needs to commence the process of evaluating the city's critical vulnerabilities and should commence the process in phases;and WHEREAS,the City recognizes that GEI Consultants is uniquely able to provide the required suite of technical,analytic,andplanning services,needed forthis type of project;and WHEREAS,the City desires to beginwith Phase I of the process,whereby GEI Consultants will analyze the risksand the sequencing of those risksfrom sea levelrise and storm surge over time in three critical areas of the City;and WHEREAS,at the completion of the analysis,GEI Consultants will provide a comprehensive report that will detail the resultsandimplicationsof the study for the creation ofa general framework forconductinga City-wide vulnerability assessment whichshallbe designated asPhase II of the project. NOW,THEREFORE,BEIT RESOLVED THE MAYOR AND CITY COMMISSION OF THECITYOF SOUTH MIAMI,FLORIDA: Section1.The City Managerisauthorizedto enter intoan agreement with GEI Consultantsfor the completionofasealevelrisestudyfor the City,underPhase I of the project,in the amount of$15,000.Should the City decideto continue withPhase II of the project,whichwould involve the creationofa City-wide vulnerabilityassessment, Phase II will becoveredunderaseparateengagementagreement.Acopyofthe proposal for Phase I is attached. U CI co^,u Standard Professional Services Agreement 8.ALLOCATION OF RISKS. a)Indemnification.Tothe fullest extent permitted by law,GEI agrees to indemnify and hold CLIENT harmless from and against any liabilities,claims,damages,and costs (including reasonable attorney's fees)tothe extent caused by the negligence or willful misconduct of GEI inthe performance of services under this Agreement. *>)Limitation of Liability.To the fullest extent permitted by law,the total liability,in the aggregate,of GEI and its officers,directors,employees,agents,and independent professional associates and consultants, and any of them,to CLIENT and any one claiming by,through or under CLIENT,for any and all injuries, claims,losses,expenses,or damages whatsoever arising outoforin any wayrelatedto GEI's services,the projectorthis Agreement,will notexceedthetotal compensation received by GEI underthis Agreement, or available proceeds from GEI's insurance,whichever is less.This limitation will apply regardless of legal theory,and includes butisnot limited to claims oractions alleging negligence,errors,omissions,strict liability,breach ofcontract,breach of warranty of GEI orits officers,directors,employees,agentsor independent professional associates or consultants,oranyofthem.CLIENT furtheragreestorequirethat all contractors and subcontractors agreethatthis limitation of GEI's liability extendsto include any claims oractions that they mightbring In anyforum. c)Consequential Damages.GEI and CLIENT waive consequential damages,including butnot limited to damagesforlossof profits,lossofrevenues,andlossof business orbusinessopportunities,for claims, disputesor other matters inquestionarisingoutoforrelatingtothis Agreement 9.CONFIDENTIALITY. a)Unless compelledbylaw,governmentalagencyorauthority,ororderofacourtof competent jurisdiction, orunless required pursuant toa subpoena deemed by GEI tobedulyissued,orunless requested todoso inwritingby CLIENT,GEI agreesitwillnotconveyto others anyproprietarynon-publicinformation, knowledge,data or property relating to the businessoraffairsof CLIENT orofanyofitsaffiliates,whichis inanyway obtained by GEI duringits association with CLIENT.GEI further agrees to strive to limit,to a "need toknow"basis,access byits employees to information referred to above. b)Unlesscompelledbylaw,governmental agencyorauthority,ororderofacourtof competent jurisdiction, or unless required pursuant toa subpoena deemed by CUENT tobeduly issued,CLIENT will not release to its employees orany other parties any concepts,materials,or procedures of GEI deemed by GEI tobe proprietary and so explained to CLIENT. 10.OWNERSHIP OF DOCUMENTS. Drawings,diagrams,specifications,calculations,reports,processes,computer processes and software, operational and design data,andall other documents and information produced in connection with the project as instruments of service (Project Documents),regardless ofform,willbe confidential and the proprietary information of GEI,andwill remain the soleandexclusive property of GEI whether the project for which they are made is executed ornot.CUENT retains the righttouse Project Documents for the furtherance of the project consistent with the expresspurpose(s)oftheProjectDocuments,andfor CUENT s informationand reference inconnectionwith CLIENTs useandoccupancyof the project.AnyuseofProject Documents for purposes other than those forwhichthey were explicitiy prepared shallbeat CLIENT'S solerisk andliability.CLIENT agrees to defend,indemnify,andhold GEI harmless from and against anyclaims,losses, liabilities,and damages arising out ofor resulting from the unauthorized useofProject Documents. 11.TERMINATION AND SUSPENSION. a)This Agreement maybe terminated by CLIENT for any reason upon10 days written notice to GEI. b)This Agreement maybe terminated by GEI for cause upon 30days written notice to CLIENT. c)In the event that this Agreement is terminated forany reason,CLIENT agrees to remit just and equitable compensation to GEI forservices alreadyperformed in accordance withthis Agreement,subject tothe limitations givenin this Article11,Termination and Suspension. d)In the event Client terminates this Agreement for cause,in determining just and equitable compensation to GEI forwork already performed,CLIENT may reduce amounts dueto GEI by amounts equal to additional costs incurred by CLIENT to complete the Agreement scope.Such additional costsincurredby CLIENT may include but are not limited to:(1)the additional costs incurred by CLIENT to engage another Effective August 15,2009 Page2 of 7 GEI Consultants,Inc. G El SUSHJ Standard Professional Services Agreement qualified consultant to complete the unfinished scope;and (2)CLIENT'S laborcostsandexpensesto demobilizeandremobilizeitspersonneltothesitetocoordinatewiththenewconsultant. e)GEI maysuspendanyor all services underthis Agreement if CLIENT fails topay undisputed invoice amounts within 90days following invoice date,by providing a10-daywrittennoticeto CLIENT,until paymentsarerestoredtoacurrentbasis.Intheevent GEI engagescounseltoenforceoverduepayments, CLIENT will reimburse GEI forall reasonable attorney's feesandcourtcosts related to enforcement of overduepayments,providedthat CLIENT doesnothaveagoodfaithdisputewiththe invoice.CLIENT will indemnifyandsave GEI harmlessfromany claim or liability resultingfromsuspensionoftheworkdueto non-current,undisputed payments. 12.DISPUTE RESOLUTION. Exhibit G Special Provisions for Opinions of Probable Construction Costs GEI's OpinionsofProbableConstructionCostprovidedunderthisAgreementaremadeonthebasisof GEI's experience andqualifications,and represent GEI's best judgment asanexperiencedandqualifiedprofessional generallyfamiliarwiththeindustry.However,since GEI hasnocontrolover the costoflabor,materials,equipment orservicesfurnishedbyothers,orovera contractor's methodsofdeterminingprices,orovercompetitive bidding or market conditions,GEI cannot anddoesnot guarantee that proposals,bidsoractual construction costswillnot varyfromOpinionsofProbableConstructionCostpreparedby GEI. IfCUENT wishesgreaterassuranceastoprobable construction costs,CLIENT agreestoemployanindependentcost estimator. Exhibit H Special Provisions for Construction Services In accordancewiththescopeof services underthis Agreement,GEI will provide personneltoobservethe specific aspectsof construction statedinthe Agreement andto ascertain that construction isbeing performed,in general,in accordance with the approved construction Contract Documents. A.GEI cannot provide,itsopiniononthesuitabilityofanypartoftheworkperformedunless GEI's personnelmake measurements and observations of that partoftheconstruction.By performing constructionobservation services,GEI doesnotguaranteethecontractor's work.Thecontractor will remainsolelyresponsibleforthe accuracyandadequacyofallconstructionorotheractivitiesperformedby the contractor,including:methods of construction;supervision of personnel and construction;control of machinery;false work,scaffolding or other temporary construction aids;safety in,on,oraboutthejobsite;and compliance with OSHA and construction safety regulations andanyother applicable federal,state,or local laws or regulations. B.In considerationofanyrevieworevaluationby GEI ofthevariousbiddersandbidsubmissions,andtomake recommendations to CLIENT regarding theawardofthe construction Contract,CLIENT agreestohold harmless and indemnify GEI for all costs,expenses,damages and attorneys'fees incurred by GEI asaresultofanyclaims, allegations,administrative proceedings,or court proceedings arising outofor relating to any bid protest or suchotheractiontakenbyanypersonorentitywithrespecttothereviewandevaluationofbiddersandbid submissions or recommendations concerning the award ofthe construction Contract.This paragraph will not apply ifGEI is adjudicated by a court to have been solely negligent orto have actually engaged in intentional and willful misconduct without legitimate justification,privilege,or immunity;however,CUENT will be obligated to indemnify GEI until anysuch final adjudication byacourtofcompetent jurisdiction. EXHIBIT^(^ Insurance and Indemnification Insurance Requirements Without limiting its liability,thecontractor,consultantorconsulting firm (hereinafterreferredtoas "FIRM" withregardto Insurance andIndemnificationrequirements)shallberequiredtoprocureandmaintainat itsown expense duringthe life oftheContract,insurance ofthetypesandintheminimum amounts stated below as will protect the FIRM,fromclaimswhichmay arise outofor result from the contract or the performance of the contract with the Cityof South Miami,whether such claimis against the FIRMor any sub-contractor,orby anyone directlyorindirectly employed byanyof them orby anyone for whose acts any of them may be liable. No insurance requiredby the CITY shall be issued orwrittenbya surplus linescarrier unless authorized inwritingby the CITY and such authorization shallbeat the CITY's sole and absolute discretion.The FIRM shall purchase insurance from and shall maintain the insurance witha company or companies lawfully authorized tosell insurance in the State ofFlorida,onforms approved by the State ofFlorida,as will protect the FIRM,at aminimum,fromall claims as set forthbelow which may arise out ofor result from the FIRM'S operations under the Contract andforwhich the FIRM may belegallyliable,whether such operations beby the FIRMorbya Subcontractor orby anyone directlyorindirectly employed by any of them,orby anyone for whose acts any of them maybeliable:(a)claims under workers' compensation,disabilitybenefitand other similaremployeebenefit acts whichareapplicabletothe Workto be performed;(b)claims for damages because ofbodily injury,occupational sickness or disease,or death of the FIRM'S employees;(c)claimsfor damages because ofbodilyinjury,sickness or disease,or death ofany person other than the FIRM'S employees;(d)claimsfor damages insuredby usualpersonal injury liability coverage;(e)claimsfor damages,otherthantotheWorkitself,because of injury toordestructionoftangibleproperty,including lossofuseresulting there from;(f)claimsfor damages because ofbodily injury,deathofapersonorproperty damage arisingoutofownership, maintenance or use ofamotorvehicle;(g)claimsforbodilyinjuryorproperty damage arisingoutof completedoperations;and(h)claims involving contractual liability insuranceapplicabletothe FIRM'S obligations under the Contract. Firm's Insurance Generally.The FIRM shallprovideandmaintaininforceandeffect until alltheWork tobe performed underthisContracthasbeencompletedandacceptedby CITY (orforsuch duration as isotherwisespecifiedhereinafter),the insurance coverage writtenonFloridaapprovedformsandas set forth below: Workers'Compensation insuranceatthestatutoryamountastoallemployeesincompliance with the "Workers'Compensation Law"ofthe State of Florida including Chapter 440,FloridaStatutes,as presently written orhereafteramended,andall applicable federal laws.In addition,the policy (ies)must include:Employers'Liability atthestatutorycoverageamount.The FIRM shall further insurethatallof its Subcontractors maintain appropriate levelsof Worker's Compensation Insurance. Commercial Comprehensive GeneralLiability insurance with broad form endorsement,as well as automobile liability,completed operations and products liability,contractual liability,severability of interest with cross liability provision,andpersonal injury and property damage liability with limits of $1,000,000combinedsingle limit per occurrence and$2,000,000 aggregate,including: •Personal Injury:$1,000,000; •Medical Insurance:$5,000 per person; •PropertyDamage:$500,000 each occurrence; Umbrella Commercial Comprehensive GeneralLiability insurance shallbewrittenonaFlorida approved form with thesamecoverageasthe primary insurance policy butinthe amount of $1,000,000 per claim and $2,000,000 Annual Aggregate.Coverage mustbe afforded ona form nomore restrictive than the latest editionof the Comprehensive General Liabilitypolicy,without restrictive endorsements, as filedby the Insurance Services Office,and must include: (a)Premises and Operation (b)Independent Contractors (c)Products and/or Completed Operations Hazard (d)Explosion,Collapse and Underground Hazard Coverage (e)Broad Form Property Damage (f)Broad Form Contractual Coverage applicable tothis specific Contract,including any hold harmless and/or indemnification agreement.
