OF THE CITY OF SOUTH MIAMI,FLORIDA,RELATING TO
REAL PROPERTY;APPROVING AN AMENDMENT TO A

DATE.
WHEREAS,on January 16,2001the Mayor and City Commission of the
City of South Miami approved Resolution No.14-01-11162 approving an option
contract to purchase realestatelocatedat7800SW59 Avenue,commonly
referred toas the Hammock House;and,
WHEREAS,the contract grants the City an exclusive option to purchase
the property by December 31,2001upon payment bythe City of 1998 ad valorem
taxes,ata price tobe determined by averaging the estimated fair market value of
the property given by onetothreeappraisers,and upon the City accomplishing a
transfer of title by trust and probate proceedings,or otherwise as counsel forthe
City deems appropriate;and,
WHEREAS,the contract maybe extended to December 31,2002 upon
payment by the City of the 1999 ad valorem taxes;and,
WHEREAS,the City agreed to advance the cost of counsel for the Van
Smith heirs for an amount not to exceed $1,800;and,
WHEREAS,the costs of the1999and 2000 taxes,Vi of the appraisal fees
and the Van Smith counsel feeswillbe credited to the amount owed by the City at
the time of closing,or,inthe event the City does not purchase the property,the
taxes and counsel fees (but not appraisal fees)will be reimbursed to the City;and,
WHEREAS,the City desires to extend the option period to December 31,
2002 and to amend the contract to effect the extension and several other changes.

NOW THEREFORE BE IT RESOLVED BY THE MAYOR AND CITY
COMMISSION OF THE CITY OF SOUTH MIAMI,FLORIDA;
Section 1.The option period is extended to December 31,2002.The
Addendum to Option to Purchase Real Estate,which is attached to this resolution
as App.l is approved.The City Manager is authorized and directed to execute the
amendment on behalf of the City of South Miami.
Section 2.The City Manager is directed to pay the1999ad valorem
taxes and to redeem thetax certificate forthe amount of $7,283.30 plus additional
accrued interest from October 31,2001tothedate of payment,andto charge
Account No.2100-519-9920.
Section 3.This resolution shalltake effect immediately upon approval.

Addendum 10 Option toPurchaseRealEstate
Tnis Addendum 10 Option lo Purchase Real Estate (the "Addendum")is made and entered into
Mof**dfly of—»200J by and between Garrett Van Smith,Parris Van Smith.
Anthony Van Smith and William Van Smith ("Sellers),and Ihe Ciiy of South Miami,a Florida
municipalcorporation ("City").
WJTNESSETO:
WHEREAS,Sellers and City executed and entered into that certain Option to Purchase Real
Estate agreement dated as ofMarth 5,2001 (the "Agreement");and
WHEREAS,Sellers and Ciiy mutually desire to modify and amend certain terms and provisions
of the Agreement asmore particularly setforthherein.
NOW,THEREFORE,in consideration ofthe mutual covenants contained herein,and other
good and valuable consideration,the receipt and sufficiency of which is hereby acknowledged.Sellers
andCity hereby agree to modify and amend the Agreement asfollows:
1.All references in me Agreement to "Pearson and Mayer,P.A."are hereby deleted and replaced
withreferencesto"StephenD Peaison,Esq."
2.Sellers acknowledge that City has paid Ihe 1999 real estate taxes on the Property and dial Ihe
City shall have until December 31,2002 lo exercise its option and close on Ihe Property.City
agrees lo use its good faith efforts to exercise its option and lo close earlier if possible once all
outstanding ride issues air resolved in a reasonably satisfactory manner.City further agrees to
pursue resolution of such title issues ina diligent and good faith manner.
3.Sellers and City agree that the price of the Property shall be the (air market value of the Property
as established by appraisal.Upon execution and delivery of this Addendum,jelJers shall select
•one appraiser reasonably acceptable io City,and City shall select one appraiser reasonably
acceptable to Sellers,io appraise the value of the Property and the average of such appraisals
shall be the purchase price payable by Ciry for the Property,provided thai the appraisals do not
reflect a difference in valuation that is greater than ten percent (10%)of the valuation
determined by the lower of thB two appraisals.Sellers and City further agree that they will have
no direct contact wilh any of the appraisers;thai all contact with the appraiser*shall be by and
through Stephen D.Pearson,as anomcy for Sellers,and George J.Lott,as attorney for City,
pursuant to procedures that they shall mutually agree upon;and that the identity of Sellers and
City shall not be furnished to the appraisers until the appraisers have completed their appraisals.
Sellers and Ciry further agree that if there is a difference in valuation thai exceeds Ion percent
(10%)of the valuation determined by the lower ofihe iwo appraisals,then Sellers and City
agree that eiwer shall have the right to have both panics mutually select a third appraiser to
appraise the value of the Property and that the purchase price of the Property shall be the
average of ihe valuations established in the three appraisals.Sellers shall be permitted,through
the respective counsels for Sellers and City,to submit any hnna fifje written offers or other
wnnen evidence or interest in purchasing the Property to the appraisers for such consideration
as the appraisers choose to give such evidence.City shall pay the costs of the appraisals,but will
receive acredit for one half ofsuch costs at the closing of the purchase Tor purposes of rite
appraisals,there shall be no consideration given to the fact that Garrett Van Smith shall be
arnmed an irrevocable license in a portion of the Propeny upon closing.Between now and

closing,City shall not do anything that will adversely affect the valve ofthe Property,including,
butnotlimitedto,anychangeinitszoningtoamore restrictive classification.
I Sellers acknowledge that City has retained Loft &Levine as lead counsel in connection with the
ungao'on tobe instituted (as has and shall be mutually agreed upon by George J.Loft and
Stephen D.Pearson)io resolve the title issues required io be able io vest City with good and
marketable title to the Property upon closing,subject only to exceptions stated in Attorneys*
Title Insurance Fund,Inc.Comnutment No.CF-0442958 (or any replacement,endorsement or
re-certification issued by Stephen D.Pearson as a result of such commitment expiring,there
being any new requirements added to Schedule B-l or there being any new title exceptions Dial
do not affect good and marketable title added to Schedule B-ll).Sellers accept Loll &.Levine as
substitute counsel for Nagin,Gallop and Figutredo.P.A.with reaped lo such litigation,and City
agrees io pay all fees and costs of Lott &Levineinsuch litigation,notwithstanding that George
J.Lottshellbe appearing ascounselfortheSellersinthelitigation ,
The provisions of this*Addendum supercede and control any term or provision inthe
Agreement that are in conflict with the terms and provisions of this Addendum Except as
modified and amended herein,thetermsand provisions oftheAgreementcontinue if full force
and eflect.Unless expressly provided hereintothe contrary,all terms of thisAddendum shell
havethesame meanings as provided inthe Agreement ThisAddendummaybeexecutedin
counterparts and Sellers and Buyers hereby waiveanyrequirementforfurtherformalities in
connection with this Addendum,including any requirement for witnesses.

BACKGROUND AND ANALYSIS
The attached resolution amends a contract to purchase 7800 SW 59th Avenue [Hammock House].
ItextendstheoptionperiodtoDecember 31,2002andauthorizespayment of 1999ADValorem
taxesintheamount of $7,283.30,plusadditionalaccruedinterestfromOctober31,2001tothe
date of payment.
OnJanuary16,2001theMayorandCityCommissionadoptedResolutionNo.14-01-11162,
which approved an option contract to purchase real estate located 7800 SW 59th Avenue,
commonlyreferredtoasHammockHouse.ThecontractgrantedtheCity of SouthMiami
exclusive optiontopurchasethepropertybyDecember 31,2001 uponpaymentbytheCityofthe
1998 advaloremtaxes,atapricetobe determined byaveragingtheestimatedfairmarketvalue of
the property givenbyonetothreeappraisers.
TheCitydesirestoextendtheoptionperiodtoDecember 31,2002andtoamendthe contract to
