A RESOLUTION OF THE MAYOR AND CITY COMMISSION OF THE CITY OF
SOUTH MIAMI,FLORIDA,AUTHORIZING THE CITY MANAGER TO RENEW
THE CONTRACT WITH TEEN PREGNANCY PREVENTION CENTER,INC.FOR
AN ADDITIONAL 12 MONTHS TO PROVIDE COUNSELING,PREVENTION,
EDUCATION,REFERRAL SERVICES,PREGNANCY AND CONFIDENTIAL HIV
TESTING FOR RESIDENTS THROUGHOUT THE COMMUNITY IN NEED OF
THESE SERVICES;IN AN AMOUNT NOT TO EXCEED $30,000.00 FROM
ACCOUNT 01.2100.519.8310 SEED FUNDS FY 2001-02 ($15,000.00)
AND ACCOUNT 01.2100.519.8310 SEED FUNDS 2002-03 ($15,000.00)
WHEREAS,the City recognizes the need to deal with HIV infection
and teenage pregnancy;and
WHEREAS,the City recognizes the need to raise awareness and
provide education;and
WHEREAS,City is desirous to continue to provide social and
educational services through a community based organization (CBO)to
the residents of the City;and
NOW,THEREFORE,BE IT RESOLVED BY THE MAYOR AND CITY COMMISSION OF THE
CITY OF SOUTH MIAMI,FLORIDA:
Section 1.The City Manager be,and hereby is authorized to renew
the contract with Teen Pregnancy Prevention Center,Inc.to provide
these services in an amount not to exceed $30,000.00.
Section 2.The contract shall be effective March 15,2001 through
March 15,2002.
Section 3.This resolution shall take effect immediately upon
approval.

Background and Analysis
The Teen Pregnancy Prevention Center(TPPC)beganitstenureinthe campaign toreduce
teenagepregnancyandHIVawarenessinDecember1994.Thecenterisaprivatenonprofit
organizationthat pinpoints thefamilyand environmental conditions thatplace them atrisk of
teenagepregnancyand HIV infection.Theprogramfocusesits efforts in motivating teenyouths
toreturntoschool and/or participate intechnical programs withtheopportunityforupward
mobility.TheTeenPregnancyPreventionCenterwasfoundedby Kalenthia Nunnallywhohas
developedthisprojectbasedonherfirsthandknowledge of theneedsandgapsinserviceswithin
the community.
TheCityCommissionrecognizestheneedtoprovidingHIVandTeenage Pregnancy education,
counseling andawareness.This programwillassistthose individuals thatareinneed of
assistanceandguidanceaswellaspracticingpreventativemeasuresinan effort toreducethe
spread of HIVwithinour community.Providingtheseservices would beabenefittothe
residentsandthe community asa whole.
The City has considered the benefits of hiring a city staff person to provide these services versus
contracting witha non-profit.It appears advantageous to contract with TPPC.In addition to
their proven track record inthe community,they are committing to provide more than one staff
person for a minimum of 48 hours per week.The South Miami program will be physically
headquartered inthe South Miami Gardens /Miami-Dade HUD Development located at 5953
SW 61st Court.
ThisactionrenewsthecontractwithTeen Pregnancy Preventionforanadditionalyear.
The City's annual cost would be $30,000.One half will come from Seed Fund Account No.01-
2100-519-8310 forFY 2001-02 andone half fromthesame account intheFY 2001-02 fiscal
year.The current fund balance is $15,000.

AGREEMENT RENEWAL
This Agreement Renewal,made this day of,2000,by and between City of South
Miami,a political subdivision ofthe State of Florida (hereinafter referred toas "City"),
locatedat6130 Sunset Drive,Miami,Florida,33143,andTeen Pregnancy Prevention
Center,Inc.officeslocatedat5920Southwest67St,SouthMiami,Forida,33143,
(hereinafter referred toas "Provider"),state conditions and covenants for the rendering if
Socialand Human Services,hereinafter referredtoas "Services"fortheCity.
WHEREAS,theProviderwilldevelopand provide services of valuetotheCity;
WHEREAS,theProviderhasdemonstrateditsabilitytoprovidingthesetypes of
services;and
NOW,THEREFORE,inconsideration of themutualcovenantsrecordedherein,the
partiesagreeasfollows:
I.Scope of Services
The provider agrees torender services in accordance withthe Scope of Services
incorporated hereinand attached hereto as Attachment A.Theproviderwill
implement the Scope of Services as described in Attachment Aina manner thatis
satisfactorytotheCity.TheCitypriortoexecutionmustapproveanyrevisionsor
amendments.
II.Effective Term
Bothpartiesagreethattheeffectiveterm of thisAgreementshallbefromMarch 15,
2001 to March 15,2002.
IV.Amount Payable
Themaximumamountpayableforservicesrenderedshallnotexceed$30,000,
payableinequalmonthlypayments of $2,500.00.Paymentshallbemadepayable
one month in advance
V.Indemnification by Provider
Providershall indemnify andholdharmlesstheCityanditsofficersfromanyandall
liability,lossesordamages,including attorney's feesandcost of defensewhichmay
occur asa result of claims,demands,suits,causes of action or proceeding of any
kindorresultingfromtheperformance of thisAgreement.Providershallpayall
claimsandlossesin connection withandshallinvestigateanddefendallclaims,suits
oraction of anyinornatureinthename of theCity,includingappellate proceedings
andshallpaycosts,judgements andattorneysfees.Providerunderstandsthatand

insuranceprotectionrequiredbythisAgreementshallinnowaylimitthe
responsibilitytoindemnify,holdharmlessanddefendtheCityanditsofficers.
VI.Insurance /Licenses
The Provider shall furnish the City with Certificates of Insurance indicating that
insurance coverage hasbeen obtained whichmeetsthe requirements as outlined
below:
1.Worker's Compensationinsuranceforallemployees of theprovider.
2.Public Liability Insurance ona comprehensive basisinan amount notless
that$300,00.00combinedsinglelimitperoccurrenceforbodilyinjury
andpropertydamage.TheCityofMiamimustbeshownasanadditional
insured with respect tothiscoverage.
3.Automobile LiabilityInsurancecoveringallowned,non-owned andhired
vehicles used in connection with the work,inan amount not less than
$300,000combinedsinglelimitperoccurrenceforbodilyinjuryand
property damage.For providers usingvansor mini-vans withseating
capacities of fifteen (15)passengers ormore,thelimit of liabilityrequired
for automobile Liability insurance if $500,000.
Thecompanymustberatednolessthat"B"astomanagementandnolessthan
Class "V"astofinancialstrengthorthecompanymustholdavalidFlorida
Certificate of Authority.Certificates of Insurance shallindicatethatnomodification
orchangeinsuranceshallbemadewithoutthirty(30)dayswrittennoticein
advance to the certificate holder.
The Provider isshallberequiredtoobtainanyandallrequiredlicensesand
certificates.Failure todo provide suchlicensesor certificates may result in
immediate termination of this Agreement.
Allemployeesandsubcontractedpersonnelmustpassbackgroundcheckpriorto
workingdirectlyor indirectly fortheCity.
VIII.Civil Rights
TheProvideragreestoabidebylawswhichprohibitdiscrimination of anykind.
IX.Notices
Itisunderstoodandagreedbetweenthepartiesthatwrittennoticeaddressedtothe
Departmentandmailedordeliveredtotheaddressappearingonpageone(1)of the
Agreementshallconstitutesufficientnoticetoeitherparty.

X.Autonomy
Both parties agreethatthis Agreement recognizes the autonomy ofand stipulates or
implies no affiliation between the contracting parties.Itis expressly understood and
intended that the Provider isonlya recipient of funding support andis not anagent
or instrumentality of theCity.
XI.Termination by Either Party
Both parties agreethatthis Agreement maybe terminated byeitherparty hereto by
writtennoticetotheotherparty of suchintenttoterminateatleastthirty(30)days
priortothe effective dateofsuch termination.TheCity Manager is authorized to
terminatethisAgreementonbehalf of theCityatanytimehedeemsnecessary.
XII.Payment Procedures
Providershallsubmitmonthlyinvoicesintheamount of $2,500.00,payableone
monthin advance.Accompanying the invoice shallbeadetaileddescription of
Provideractivitiesduringtheprecedingmonth,includingbutnotlimitedto:actual
hoursofoperationandstaffingandcases processed duringthereportingperiod.
ThisinformationshallbeprovidedtotheHumanResourcesDirector,whoshall
serve as Contract Manager.

Duties/Responsibilities:
TeenPregnancy Prevention Centerwillberesponsibletoservicenolessthanfifty
(50)individuals weeklythatareinneed of testing,counseling,education,prevention
andassistanceinrelationtoHIVandTeenage Pregnancy.
Thecenterwillberesponsibleto provide testingfor Pregnancy andHIVonaregular
basistopreadolescentandteensthatliveinthetargeted community.Thegoalisto
provide assistanceandensureusageofservicesarebeing maximized.
Thecenterwillberesponsibletoprovidecasemanagementtoallthoseindividualsin
need of assistanceaswellas providing referral programandfollowup.

Project Description
Teen Pregnancy Prevention Ceriter isa Grassroots Community Service Center which targets
preadolescent andteenswho live inthe targeted community.This project isan evening after
school weekend support program,with an operational schedule of 10:00 a.m.to6:00p.m.
Monday through Friday,and 11:00 a.m.until 3:00 pm on Saturday and Sundays,including
specified holidays.Thecenter provides prevention education,Pregnancy andHIVtestingand
counseling,comprehensive Peer/Individual counseling.Abstinence,SexandHIV/AIDS
education.
These services are provided by a network of full/part time staff,professional,and paraprofessional
volunteers consisting of educators,counselors,Social Workers,Physicians,Teen Buddies,and
Peer Educators.
Scope of Deliverables
Pregnancy/HIV testing andCounseling
TPPC provides urine pregnancy testing (Quikview),and HIV testing (Orasure).These test are
performed by trained testing counselors certified by the Stateof Florida Dept.Of Health.
Individual Counseling
This services has been designed to focus on the individual and collective problems a client might
have.
Teen Peer Counseling
This service has been designed to provide a vehicle whereby male and female participants can
discuss their feelings about abstinence,early pressures of childhood sexual activity,teen
pregnancy,and HIV/AIDS with someone theirown age.
Health Education
This service has been designed to raise the functional knowledge and understanding of
Abstinence,Birth control,STI's HIV/AIDS,nutrition,and genetic diseases.
Cases Management
TPPC's case management service involves the assessment of the client's needs,and developing a
(Buddy support system).The development ofa comprehensive family service plan that focuses on
providing a vehicle whereby a much larger percentage ofthe targeted population infected with the
HIV virus will be linked to services,and receive propercare and treatment andother needed
services.
