"ADVANCE MURRAY PARK SAFE NEIGHBORHOOD GRANT",TO PIAZZA,
INC FOR THE DEMOLITION OF THE EXISTING TOT LOT,THE PURCHASE
AND INSTALLATION OF A STATE OF THE ART TOT LOT AND FITNESS
CENTER FOR MURRAY PARK.
WHEREAS,The renaissance continues as the City of South Miami Parks &
Recreation develops various Tot Lots in the City of Pleasant Living;and
WHEREAS,The Multipurpose Center shall be completed and a state-of-the-art Tot
Lot will be developed by Piazza,Inc.,to enhance Phase I;and
WHEREAS,This structure will not only complement the Multipurpose Center but is
theMercedes Benz of TotLots;and
WHEREAS,The following represents some significant features ofthe proposed play structure:
•Its'capacity for 75 children to play simultaneously.
•The variety ofcomponents includes bridges,slides and climbers.
•Custom facades including the South Miami palm surrounded by beautiful
sunbursts.
•ADA ramp where wheel chair bound participants can directly participate and
play onthe structure.
•The sturdiest ofgalvanizedsteel construction
and;
WHEREAS,All fabrication (including welding),is done prior to galvanization
insuring the rust coating with a warranty on the paint of 15 years against peeling and
corrosion.All hardware is stainless steel.All metal post,components and composite
platforms have a 15 year warranty;and
WHEREAS,Decking is 75%recyclable plastic and 25%cellulose (cotton husk)and;
WHEREAS,The fitness component insures usage for all ages;and
WHEREAS,Piazza,Inc.,has worked with the City of South Miami Parks &
Recreation Department although under a different corporation (Kompan Inc.),we are
working with the same individuals who provided materials and services for the Tot Lots at
Marshall Williamson andDanteFascellParks;and
WHEREAS,Their professionalism customer service and products provided to the
City of South Miami Parks &Recreation Department have been exceptional;and
WHEREAS.The City of South Miami Parks &Recreation would utilize the Miami
Dade Bid #4907-2/03-OTR-SW.established for this vendor.
NOW THEREFORE BE IT RESOLVED BY THE MAYOR AND CITY
COMMISSION OF THE CITY OF SOUTH MIAMI.FLORIDA:
Section 1.That a purchase order is awarded to Piazza,Inc.,for the amount of
$79,999.00 for Murray Park and releasing funds from account #001-0000-132-2050.
Advance Murray Park Safe Neighborhood Grant.
Section 2.This resolution shall take effect immediately upon approval.

The purpose of this memorandum is to recommend the approval of the attached resolution
to demolish,purchase equipment and install a new state-of-the-art Tot Lot at Murray Park.
BACKGROUND &ANALYSIS
The renaissance continues asthe City ofSouth Miami Parks &Recreation develops
various Tot Lots in the City of Pleasant Living.With the completion ofthe Multipurpose
Center this new TotLot will enhance Phase 1.ThisTotLotis considered theMercedes
Benz of Tot Lots.
The following representssome significant features oftheproposedplay structure:
•Its'capacityfor75childrentoplay simultaneously.

ofa new state-of-the-art Tot Lot in the amount of $79,999.00.Funding will come from
Account #001-0000-132-2050 "Advance Murray Park Safe Neighborhood Grant".The
City per the grant agreement,will expend the funds and be reimbursed by Safe
Neighborhood Parks as part of the Phase II Murray Park Project The TSNP grant is a
matching grant.As previously indicated and approved,the annual $150,000 from South
Miami Hospital will beusedasthe City match...

Overheads
Withoverheads,childrenhaveanopportunitytolearnaboutthephysics offorce through
their own bodies.Overheadsturn bodies intoforcesendersand receptors.Theenergy
thatchildrenexertontheoverheadgivesthemreal-time feedback aboutthe forces that
theycanandcannotcontrol.
When childrenuse overheads theyhaveopportunitiestolearnabouttiming for reaching,
grabbing,holdingonandletting go.Here are experiences in taking turns,trying to finish,to
makeittotheend.Asidefromthe philosophical or strategic timing ofsuch decisions,the
overheadprovidesreal physical challenges.Theupperbodymuscles rarely havethiskind
of workout inotherdailyactivities.
Inadditionto strength,practice and perseverance,the overheads alsocallforbelief.The
child'swill,musclesandskill must beinperfectbalancetoanswerthe challenge ofcurved
forms,swingingrings,gliding handlesand vertical ladders designed to create pendulums
frompeople.
Cumbers
Climbers are the opportunities thatplay structures offertocombinewholebody strength
training andsocial interaction.Children usetheirownweighttopull themselves up and
their own ideastotesttheirgrowing strength.Laddersor stairs seemtohave similar
attributes,buttheclimberisdesignedforamuchwider range ofmovementand playful
possibilities.
For childrento crawl upanddown,theirarmsmust grab andpull,legsmustpushand
hold,backsmust stretch andcurl,atthesametimethattheir stomachs mustbetightand
controlling.The design ofclimbers offers children waystobe wonderfully inventive about
their use ofmuscles.
Climbers are also designed tooffer social possibilities withinthe context ofmoving upor
downbetweenthe ground anda platform.A group ofchildren canplaysideby side,or
cross paths atthe same timewith enough room tomakelast minute changes inthe direc
tion,speedorstyletheywanttouse.

Roofs The roof design speaks ofavision.It is the microphone,the broadcast messenger of the
playground calling players to meet.The roof elements are the first thing children see as
they approach the play structure and the miniature replicas of architectural features
suggest this is their own special place.It is not like any other building or space that
children experience.The roofs also suggest the play structure offers protection,and that
children are expected to make their own decisions about how to find it Children under
stand that separate roofs function as markers for important areas.They anticipate the
challenge offinding their way from one roof space to another through whatever amazing
path theycaninvent.
Another function ofthe roof design is to support an important developmental concept.
Children need to experience that there are many ways to get to the same place.The idea
that children can choose one path one time,and another path to the same place another
time is central to their problem solving skills.The idea that they have the independent
power to adapt,change,repeat and demonstrate their journey is one of the most powerful
luresforanyplay structure.
The roof design supports thiskindof play especially well since itis such ahighly visible
feature in an environment that can contain many similar elements.Children will seek a
clearly defined area.The design of the roof might reflect local architectural features such
as Victorian houses,or fantasy features such as waves and step arches,or classical
pyramid features.Gingerbread roofs protect as well as arches or waves in motion,but
theysendouta very different message.
The roof must also function to differentiate between competing needs -the sun umbrella
and asheltered island -and competing challenges -the defining detail and the wayward
climbers.However,when the play structure is planned,the roots must be thought ofas the
announcement ofits personality.More than the dryness,shade,or security it provides,the
roofannounces asense ofplace.

Slides
For slides,the design problems resolve how much thrill achild can have and for how long
atimeby combining the forces of friction and gravity.On a slide,youcan adjust your
speed,enjoy theview and feel your weight working against the forces ofair pressure and
with the forces ofgravity.This is an opportunity not just to feel gravity butto play with it in
terms oftime and distance,with slope as the constant for each slide structure,and weight
and friction as two variables for individual children.
Slide designs have elaborated on the sensual and perceptual thrills they provide by
inventing manynew kinds of options.Some offer more risks than others,some have less
friction,some have greater height.They can be narrow or wide,spiral or sloped,tubes or
twins.Opportunities nowexist for several children to slide together.
Yet for themost part,slides are still single person activities,so children haveto learn to
wait in line,take turns and bepatient with the child at the top who maybe hasn't found the
courage to fly,orthe attention ofsomeone special to watch.These are still classic
lessons for social development
Bridges
The purpose ofhaving bridges as part ofa playground structure becomes clearer when
we look at the two main ways children use them;as important linking passageways and as
physical challenges.
Bridges are very special because of amagical quality that allows children to endowthem
with fantasy features in order to cross over everything from moats to boiling mud In
classic children's stories and games like "Three Billy Goats Gruff'or "London Bridge",
this often is ametaphor for critical,dangerous paths to success that require courage and
agility.The well designed bridges on the play structure suggest fantasy activities that are
also the bait to physical challenges for coordination and strength.
The designs for bridges and ramps on the play structure should provide for the widest
possible range ofexperiences with height,width,movement,materials and physical
possibilities.The purpose ofthe design is to convey the idea that there are many types of
opportunities,however tame or challenging,to get from one stationary spot to another.
Whether in awheelchair,or on crutches,in diapers or denims,crossing over means taking
ona new opportunity.

Walls
Walls have many functions in the play structure.The purpose ofeach element in the
structure and the type of wall that surrounds it must be acarefully designed match.Walls
that do not limit,but expand the child's imagination are well designed.
Walls are first thought of as protective.Walls also define spaces and provide physical

walls that are closely woven so no fall is possible.The walkway that is at groundlevel
might have wavy rails on alow wall that allows more informal access or egress.The
purpose of the wall that can be seen through is to allow both children and caretakers to

have the same imaginative features built to meet different needs.

Children love quick changes in their vertical and horizontal positions on the play struc
tures.They also love making and repeating circles of movement that create patterns The
steps,stairs and ladders are key components for activities that accommodate both the
changesmpositionandrepeu^onofcircularpatterns.Therefore,imaginative designs that
anticipate these activities will offer the best play value.
The two most important variables that affect steps,stairs and ladders are the degreeof

Bondproject(Project(s))fortheCounty.
WHEREAS,the citizens ofMiami-Dade County have authorized the issuance of general
obligation bonds for the purpose of financing capital improvement programs for certain parks,
beaches,naturalareasand recreation facilities;and
WHEREAS,to implement andgive effect tothe bond program,Miami-Dade County,Florida
enacted Ordinance 96^115,theSafe Neighborhood ParksOrdinance;and
WHEREAS,itisnecessaryanddesirabletoimprovethequality of life,topreserveproperty
values,to promote prevention of juvenile crime by providing positive recreation opportunities,
and to improve the recreation facilities for youth,adult,and senior citizens in this community
through the improvement of ourparksand natural areas;and
WHEREAS,inordertofosterthoseimportant values,the project(s)listedhereinhavebeen
identifiedforreimbursementpursuanttotheterms of the Ordinance;
NOW,THEREFORE,thepartiesagreeasfollows:
I.SCOPEOF SERVICE &BUDGETSUMMARY.TheGranteeagreestorenderservices
in accordancewiththe Brief GrantSummarystatement incorporated,andthatallexpendituresor
costsshallbemadeinaccordancewiththeBudget(s)whichisincorporatedandattachedas
Exhibit(s).(See Section XVnH ).
n.ADMINISTRATIVE RULES&BONDORDINANCE.TheGranteeagreestoabideby
and be governed bythe Administrative Rules for Specified Project Grants,Per CapitaAllocation
Grants,and Challenge Grants and the Bond Ordinance,copies of which have been provided the
Grantee bythe Office.Without limiting the generality of the preceding sentence,the Grantee

III.EFFECTIVE TERM.Both parties agreethatthe effective term ofthisAgreement shall
befromJanuary1.1999 to December 31.2001 Failure by the Grantee to
complete the project bythe aforementioned date,unless extended,shall be cause for the County
to terminate this Agreement.
IV.AMOUNT PAYABLE.The maximum amountpayablefortheproject(s)renderedunder
this Agreement,shall not exceed $1.478.600 >.unless otherwise amended.The Grantee
agrees to post a match whichwillbe subject to verification bytheCountyatthetime of payment
reimbursement.Expenditure match mustbeverifiedatthetime ofthe independent audit (Ord.,
Sec.l3&Rules,10B(8)).
V.FUNDING COMMITMENT.Intheeventthatthe project(s)requires further funding,
funding for subsequent years is conditioned upon appropriation bythe Board ofCounty
Commissioners of Miami-DadeCounty,Florida,withno representation that funds willbe
forthcoming.
VI.FUNDING REQUIREMENTS ®ULATIONS.
A.Establishment of residency requirements,imposition of npn-resident fees,or
failure of the Grantee to'comply with any other conditions established bytheSafeNeighborhood
Parks Citizens'OversightCommittee(OversightCommittee)shall becausefortheCountyto
terminate this Agreement unlessanexceptionis granted bytheOversightCommittee.
B.Failure toenterintocontractto commence theproject(s)whetherdesign,
construct,or purchase land(whicheveris appropriate)within120daysafterAgreement
execution,unless extendedbythe OversightCommittee for good cause,shall be cause forthe
County toterminate this Agreement.
C.Failure by Grantee to produce the dollar for dollar cash match as originally
pledged tothe project(s)by the Grantee shall result ina reduction inbond funds awarded under
this Agreement,equal tothecashmatchshortfall,or termination of thisAgreementbythe
County,attheoption oftheOversightCommittee.
Vn.CONDITIONS OF AWARD
A.Completed facility construction willhavea permanent plaque,approved bythe
Oversight Committee,asto material,form,and content,affixedtothe facility noting funding
throughtheSafeNeighborhoodParksbond program.
B.All fencing fundedwithSafe Neighborhood Parks bond proceeds willcomply
withthe current SouthFloridaBuildingCodespecificationsforsuch facilities.
C.Land acquired and/or facility development or improvement funded bythis
Agreementmustbevestedwithapublic agency.
Vffl INDEMNIFICATION BY GRANTEE.
A.Government Entity.
Government entity shall indemnify and holdharmless the County andits officers,
employees,agents,andinstrumentalitiesfromanyandallliability,lossesordamages,including
attorney'sfeesandcosts of defense,which theCountyor its officers,employees,agentsor
instrumentalities may incurasaresult of claims,demands,suits*causes of action,orproceedings
of anykindornaturearisingoutof,relatingtoorresultingfrom the performance of this
Agreementbythe government entity oritsemployees,agents,servants,partners,principalsor
subcontractors.Governmententityshallpayallclaimsandlossesinconnectiontherewith and
shallinvestigateand defend allclaims,suitsoractions of anykindornatureinthename ofthe
County,where applicable,includingappellate proceedings,and shall payallcosts,judgments,
andattorney'sfees which mayissuethereon.Provided,however,this indemnification shall only
betothe extent and within the limitations of Section768.28,Fla.Stat.,subjectto the provisions
of thatStatutewherebythe government entityshallnotbe held liabletopaya personal injuryor
propertydamageclaimor judgment byanyonepersonwhichexceedsthesum of $100,000,or

or paid bythegovernmententityarisingout of thesameincidentor occurrence,exceedthesum
of $200,000fromanyandall personal injuryor property damageclaims,liabilities,lossesor
causes of action which may ariseasaresult ofthenegligence ofthe government entity.
B.Not-For-Profit Organization.
Not-For-Profitorganizationsshall indemnify andholdharmlessthe County and
itsofficers,employees,agentsandinstrumentalitiesfromanyandallliability,lossesordamages,
includingattorney'sfeesandcosts of defense,which the County orits officers,employees,
agentsorinstrumentalitiesmayincurasaresult of claims,demands,suits,causes of actionsor
proceedings of any kind ornaturearisingoutof,relatingtoorresultingfromtheperformance of
this Agreement by the Grantee orits employees,agents,servants,partners,principalsor
subcontractors.Granteeshallpayallclaimsandlossesinconnectiontherewithandshall
investigate and defend all claims,suitsoractions of anykindornaturein the name ofthe
County,where applicable,includingappellate proceedings,andshallpayallcosts,judgments,
andattorney'sfees which may issue thereon.Granteeexpresslyunderstandsandagreesthatany
insuranceprotectionrequiredbythis Agreement orotherwiseprovidedbygranteeshallinno
waylimittheresponsibilityto indemnify,keepandsaveharmlessanddefendthe County orits
officers,employees,agentsandinstrumentalitiesashereinprovided.
IX.INSURANCE.
A.Government Entity.
If theGranteeistheState of Florida oranagencyor political subdivision oftheStateas
definedbySection768.28,Florida Statutes,the Grantee shall furnish theCounty,upon request,
written verification of liability protection inaccordance with Section 768.28,FloridaStatutes.
Nothing herein shall beconstruedtoextendany party's liability beyondthat provided inSection
768.28,Florida Statutes.
B.Not-For-Profit Organizations.
1.Modification andChanges
TheGranteeshall notify theCounty of anyintendedchangesininsurance
coverage,including butnotlimitedtoany renewals of existing insurance policies.Uponreview
ofthe Grantee's Scope of Services(Exhibits)bytheCounty's Risk ManagementDivision,the
County may increase,decrease,waiveormodifyany ofthe following insurance requirements.
Any request byaGranteeto decrease,waiveormodifyany ofthe following insurance
requirements mustbeapproved in writingbythe County's Risk Management Division.
2.Minimum Insurance Requirements:Certificates of Insurance
The GranteeshallfurnishtoMiami-DadeCounty,c/o Beverly N.Mirman,
D.P.A,Director,Office of SafeNeighborhoodParks,111 N.W.1st Street,Suite 1740,Miami,
Florida 33128-1989,Certificate(s)of Insurance which indicate that insurance coverage hasbeen
obtained which meets therequirementsasoutlinedbelow:
a.Worker'sCompensation Insurance for allemployees ofthe provider as
required by FloridaStatute440.
b.PublicLiability Insurance ona comprehensive basisinanamountnotlessthan
$300,000combinedsinglelimitper occurrence forbodilyinjuryand property
damage.Miami-Dade Countymustbeshownasan additional insured with
respectto this coverage.
c.Automobile Liability Insurancecoveringallowned,non-owned andhired
vehicles used in connection with the work,inanamount not lessthan $300,000*
combinedsinglelimitper occurrence for bodilyinjuryand property damage.For
Grantees supplyingvansormini-buseswith seating capacities of 15 passengers
ormore,thelimit of liabilityrequiredfor Automobile Liability is$500,000.
d.Errorsand Omissions Insuranceinthename ofthegrantee,when applicable,
in the amount not less than $300,000.
3.Classifications and Ratings
All insurance policies required shall includethose classifications,aslistedin
standard liability insurance manuals,whichmost nearly reflectthe operations of the Grantee.
All insurance policies required above shall be issued by companies authorized to do business
under the laws oftheState ofFlorida,with the following qualifications:
Thecompanymustbe rated nolessthan"B"asto management,andno
lessthan "Class V"asto financial strength,by the latestedition of Best's
InsuranceGuide,publishedby AM.BestCompany,Oldwick,New
Jersey,orits equivalent subject tothe approval oftheCounty's Risk
ManagementDivision.

Thecompanymustholda valid Florida Certificate of Authority as shown
inthelatest"List of All Insurance Companies Authorized or Approved to
DoBusinessin Florida",issuedbytheState of Florida Department of
Insurance andare members oftheFloridaGuarantyFund.
Certificates will indicatethatnomodificationorchangeininsuranceshallbe
made without thirty (30)days written advance notice tothe certificate holder.All insurance
requirements are subject to review and approval by the County's Risk Management Division.
C.Failure to Provide Certificates of Insurance
If theGrantee'failstofurnishtheCountywiththe Certificate of Insurance orwritten
verification required under this section or as determined bythe County's Risk Management
Division after review oftheScope of Services (Exhibit(s)),the County shall not disburse any
funds until itis provided withthe necessary Certificates of Insurance or written verification.
Failure to provide the Certificates of Insurance orwritten verification within sixty (60)days of
execution ofthisAgreementmayresultin termination of thisAgreement.
X.CIVILRIGHTS.The Grantee agrees to abide by Chapter 11 A,ArticleIV oftheCode of
Miami-Dade County ('County Code'),as amended,which prohibits discrimination in
employment;Title VII ofthe Civil Rights Act of 1968,as amended,which prohibits
discrimination inemploymentand public accommodation;theAge Discrimination Act of 1975,
42 U.S.C,as amended,which prohibits discrimination inemploymentbecause of age;Section
504 oftheRehabilitation Act of 1973,29 U.S.C,Section794,asamended,whichprohibits
discrimination onthebasis of disability;andtheAmericanswithDisabilitiesAct,42 U.S.C,
Section 12103 et seq.,which prohibits discrimination in employment and accommodation
because of disability.
Itis expressly understood that upon receipt of evidence of discrimination under any of these
laws,the County shall have the right to terminate this Agreement.Itis further understood that
the Grantee mustsubmitanaffidavit attesting thatitisnotin violation ofthe Americans with
Disability Act,the Rehabilitation Act,the Federal Transit Act,49U.S.C Section 1612,and the
Fair Housing Act,42 U.S.C.Section 3601 et seq.Ifthe Grantee orany owner,subsidiary,or
otherfirmaffiliated with,orrelatedtothe Grantee,is found bythe responsible enforce ment
agency,the Courts ortheCountytobein violation oftheseActs,theCountywillconductno
further businesswiththe Grantee.Any agreement entered into based upona false affidavit shall
bevoidablebythe County.If theGranteeviolatesany of the Acts duringtheterm of any
agreement the Grantee haswiththeCounty,such agreement shall bevoidablebytheCounty,
even if the Grantee was not in violation at the time it submitted its affidavit.
XI.CONFLICT OF INTEREST.TheGranteeagreestoabidebyandbegovernedbyMiami-
Dade County Ordinance No.72-82(Conflict of Interest Ordinance codifiedatSection 2-11.1 et
al.of theCode of Miami-Dade County),asamended,whichisincorporatedherein by reference
as if fullyset forth herein,inconnectionwithits contract obligations hereunder.
XII.INDEPENDENT PRIVATE-SECTOR INSPECTOR GENERAL.The County shall have
the right,but notthe obligation to require the Grantee,atthe Grantees owncost,to retain the
services of anindependent private-sector inspector general (IPSIG)whomaybeengaged to
audit,investigate,monitor,oversee,inspect and reviewthe operations,activitiesand
performance ofthe Grantee and Countyin connection withthis agreement.Thescope of
services performed byan BPSIG mayinclude,but are notlimitedto,monitoring and investigating
compliance withAgreement;project costs;and investigating and preventing corruption and
fraud.
TheIPSIGmayperformitsservicesat all levels of the contracting and procurement process
including butnot limited to project design,establishment of bid specifications;bid submittals,
activities of Grantee,itsofficers,agentsandemployees,lobbyists,county staff andelected
officials.
Upon ten (10)days written notice to Grantee from an IPSIG,the Grantee shall make all
requested records and documents available tothe IPSIG for inspection and copying.The IPSIG
shall have the right to examine all documents and records inthe Grantee's possession,custody or
control whichinthe IPSIG's solejudgment pertain to performance ofthe Agreement,including
butnot limited to original estimate files,bid and change order estimates,worksheets,proposals
and agreements from and with successful and unsuccessful subcontractors and suppliers,all
project-related correspondence,memoranda,instructions,financial documents,construction
documents,bid and agreement documents,back-charge document,all documents,and records
whichinvolve cash,trade orvolume discounts,insurance proceeds,rebates,or dividends
received,payroll and personnel records,and supporting documentation for the aforesaid
documents and records.
The provisions in this section shall apply to the Grantee,its officers,agents and employees.The
Grantee shall incorporate the provisions in this section in all subcontracts and all other
agreements executed by Grantee in connection withthe performance of the Agreement.
Nothing in this Agreement shall impair any independent right of the County to conduct an audit
or investigate activities.The provisions of this section are not intended nor shall they be
construedtoimposeanyliabilityontheCountyby Grantee orthird parties.
XIII.OFFICE OF THE MIAMI-DADE INSPECTOR GENERAL.Pursuant to Ordinance No.
97-215,theOffice oftheMiami-Dade County Inspector General (IG)shall havetheauthority
and power to review past,present and proposed County programs,accounts,records,contracts
and transactions.TheIGshallhavethepowerto report and/or recommendtotheBoard of
County Commissioners whethera particular project,program,agreement or transaction isorwas
necessary and,if deemed necessary,whether the method used for implementing the project or
program isorwasefficientboth financially and operationally.Monitoring of an existing project
or program may include reporting whetherthe project isontime,withinbudget and in
conformity with plans,specifications,and applicable law.TheIG shall have the power to
analyze theneed for,and reasonableness of,proposed change orders.
TheIG shall,onarandombasis,perform audits on all County contracts throughout the duration
of said contractshereinafter"mandatoryrandom audits").Thecost of mandatoryrandomaudits
shall be incorporated intothe agreement award and shall beone quarter of one percent ofthe
agreement award.Uponten (10)days written notice to Grantee from IG,the Grantee shall make
all requested records and documents available totheIG for inspection and copying.
TheIG shall havethepowerto retain and coordinate the services of anIPSIGwhomaybe
engaged to perform said mandatory random audits,aswell as audit,investigate,monitor,
oversee,inspect and reviewthe operations,activities and performance and procurement process
including butnot limited to project design,establishment ofbid specifications;bid submittals,
activities,of Grantee,itsofficers,agentsandemployees,lobbyists,county staff andelected
officials in order to ensure compliance with agreement specifications and detect corruption and
fraud.This mandatory random auditis separate and distinct from anyother audit bytheCounty
of any audit performed under Section XI "Independent Private-Sector Inspector General".
The provisions inthis section shall apply tothe Grantee,its officers,agents and employees.The
Grantee shall incorporate the provisions inthis section in all subcontracts and all other
agreements executed by Grantee in connection withthe performance ofthe Agreement.

investigate activities.The provisions ofthis section are not intended nor shall theybe construed
toimposeanyliabilityontheCountyby Grantee or third parties.
XIV.NOTICES.Itisunderstoodand agreed betweenthe parties thatwrittennotice
addressed totheOfficeandmailed (certified/return receipt)or delivered tothe address appearing
on page one (1)ofthe Agreement and written notice addressed tothe Grantee and mailed
(certified/return receipt)of delivered tothe address appearing on page one(l)ofthisAgreement
shall constitute sufficient notice toeitherparty.
XV.AUTONOMY.Both parties agree that this Agreement recognizes the autonomy of
and stipulates or implies no affiliation between the contracting parties.Itis expressly understood
and intended thattheGranteeisonlya recipient of funding support andisnotan agent or
instrumentality ofthe County.Furthermore,theGrantee'sagentsand employees arenotagents
oremployees ofthe County.
XVI.TERMINATION If the Granteeshallfailtofulfillina timely andproper manner its
obligations underthisAgreement,or shall violateany ofthe covenants,agreements,stipulations,
representations or warranties herein,theCounty shall havetherighttoterminatethisAgreement
bygiving at leastten (10)dayspriorwrittennoticetotheGrantee (Rules*11E).
XVn.MISCELLANEOUS.
A.GoverningLaw.TheGrantee agrees tocomply with allapplicable federal,state
and countylaws,rulesand regulations whichare incorporated byreferenceor fiilly set forth.
This Agreement is made in the State of Florida and shall be governed according to the laws of
theState of Florida.PropervenueforthisAgreement shall beMiami-Dade County,Florida.
B.Modifications.Any alterations,variations,modifications,extensionsorwaivers
of provisions ofthisAgreementincludingbutnotlimitedtoamount payable and effective term
shall only bevalidwhentheyhavebeen reduced towriting,dulyapprovedandsignedbyboth
parties andattachedtotheoriginal ofthisAgreement.
C.Counterpart.This Agreement issigned in.
counterpartshall constitute anoriginal ofthisAgreement.

D.Headings.Use of Singular and Gender.Paragraph headings areforconvenience

F.Fringe Benefits.Intheevent that a percentage of actual salary willbe utilized as
themethodto claim eligible fringe benefitcosts pursuant to Section 10 (D)(2)(c)ofthe Rules,
such percentage shall not exceed 0 %.This percentage shall be demonstrated tothe
reasonable satisfaction ofthe County.Documentation in support of this percentage shall be
submitted totheOffice for approval contemporaneously withthe execution ofthis Agreement.
G.Subcontracts.Any subcontracts written under the provisions of the Ordinance
(Sections 5 (b)(5)and 8(c))require prior review and written approval ofthe County.
H.Totality of Agreement/Severability of Provisions.This 14 page
Agreement with its recitals onthe first page of the agreement and withits attachments as
