The City of South Miami approved Resolution 062-15-1440 I on April 21, 2015, which authorized the City Manager to enter into an agreement with Catalysis Adaption Partners, LLC for an initial sea level rise, storm surge and inland riverine flooding study. On April 30, 2015, Catalysis Adaption Partners, LLC will operate as GEl Consultants. Therefore, the original agreement needs to be repealed and a new agreement with GEl needs to be executed. GEl is uniquely able to provide the required technical, analytic, and planning services, as GEl is using the same people and providing the same services as Catalysis Adaption Partners, LLC. The agreement with GEl Consultants for the completion of a sea level rise study for the City, under Phase I of the project, will not exceed $15,000. Should the City decide to continue with Phase II of the project, which would involve the creation of a City-wide vulnerability assessment, Phase II will be covered under a separate engagement agreement. WHEREAS, the City of South Miami approved Resolution 062-15-14401 to enter into an agreement with Catalysis Adaptation Partners, LLC for an initial sea level rise, storm surge, and inland riverine flooding study. WHEREAS, commencing April 30, 2015, Catalysis Adaptation Partners, LLC will operate as GEl Consultants; and 14 WHEREAS, the City wishes to identify critical vulnerabilities to sea level rise, 15 storm surge, and inland riverine flooding over time, but recognizes that a City-wide 16 vulnerability assessment may require many types of data that do not exist; and 17 18 WHEREAS, the City needs to commence the process of evaluating the city's 19 critical vulnerabilities and should commence the process in phases; and 20 21 WHEREAS, the City recognizes that GEl Consultants is uniquely able to provide 22 the required suite of technical, analytic, and planning services, needed for this type of 23 project; and 24 25 WHEREAS, the City desires to begin with Phase I of the process, whereby GEl 26 Consultants will analyze the risks and the sequencing of those risks from sea level rise 27 and storm surge overtime in three critical areas of the City; and 28 29 WHEREAS, at the completion of the analysis, GEl Consultants will provide a 30 comprehensive report that will detail the results and implications of the study for the 31 creation of a general framework for conducting a City-wide vulnerability assessment 32 which shall be deSignated as Phase II ofthe project. 33 34 NOW, THEREFORE, BE IT RESOLVED THE MAYOR AND CITY COMMISSION OF 35 THE CITY OF SOUTH MIAMI, FLORIDA: 36 37 Section 1. Project Understanding and Scope of Work The City of South Miami (City) wishes to identify critical vulnerabilities to sea level rise, storm surge, and inland riverine flooding over time, but recognizes that a City-wide vulnerability assessment may require many types of data that do not exist and cost more than available resources will support. As an interim step, and recognizing that GEl Consultants, Inc. is uniquely able to provide the required suite oftechuical, analytic, and planning services, GEl is being contracted to: l. In collaboration with City staff, identify three small sections of the City (roughly 3-5 blocks in area each) where a detailed evaluation of risks to vulnerable assets will be conducted. 2. Conceptualize and draft a risk -categorization and vulnerability analysis method tailored to the identified sections, and revise and confirm the method in collaboration with City staff. 3. In collaboration with City staff, select the assets to include in the vulnerability analysis and secure appropriate data layers to be used (or, for necessary data layers that are incomplete or non-existent, and within the budget constraints, create the necessary data through field surveys such as determining the elevation of houses in each area). 4. Conduct the analysis to identify relative levels of risk and sequencing ofthese risks from sea level rise, storm surge, and inland riverine flooding over time, in each section for the collection of assets identified. 5. Produce a report detailing each of the above steps and their results and implications. Specify requirements for scaling the study up to the whole city, including: a.) identification of data sets to secure or create if they do not currently exist; and b.) creation ofa general framework for conducting a city-wide vulnerability assessment, to include elaboration of possible analytic and other approaches to include in Phase II of the project. www.geiconsultants.com GEl Consultants, Inc. AGREEMENT. This Agreement is made and entered into by and between GEl Consultants, Inc. (GEl), 5 Milk Street, Portland, Maine and City of South Miami 6130 Sunset Drive, South Miami, FL 33143 By this Agreement, the parties do mutually agree as follows: 2. SCOPE OF SERVICES. GEl shall perform the services described herein and in Exhibit A. 3. EFFECTIVE DATE. The effective date of this Agreement shall be the latter of the acceptance dates indicated in Article 16, Acceptance. Acceptance of this Agreement by both parties shall serve as GEl's Notice to Proceed with the services described in Exhibit A. 4. TIMES FOR RENDERING SERVICES. a) GEl shall endeavor to perform the services under this Agreement in an orderly and efficient manner, consistent with the schedule or milestone dates provided in Exhibit A. b) GEl shall not be responsible for delays caused by factors beyond GEl's reasonable control. When such delays beyond GEl's reasonable control occur, CLIENT agrees that GEl shall not be responsible for damages, nor shall GEl be deemed in default of this Agreement. 5. COMPENSATION. a) CLIENT agrees to pay GEl in accordance with the payment terms provided in Exhibit B. b) GEl will submit invoices monthly or upon completion of a specified scope of service in accordance with GEl's standard invoicing practices, or as otherwise provided in Exhibit B. c) Payment is due upon receipt of the invoice. Payments will be made by either check or electronic transfer to the address specified by GEl, and will reference GEl's invoice number. d) Interest will accrue at the rate of 1% per month of the invoiced amount in excess of 30 days past the invoice date, or as otherwise provided in Exhibit B. e) In the event of a disputed or contested invoice, only that portion so contested will be withheld from payment, and the undisputed amounts will be paid. 6. PERFORMANCE STANDARDS. a) GEl will perform its services under this Agreement in a manner consistent with that degree of skill and care ordinarily exercised by members of GEl's profession currently practicing in the same locality under similar conditions. GEl makes no other warranties or representations, either expressed or implied, regarding the services provided hereunder. b) GEl shall correct deficiencies in services or documents provided under this Agreement without additional cost to CLIENT; except to the extent that such deficiencies are directly attributable to deficiencies in CLIENT-furnished information. c) Unless otherwise specifically indicated in writing, GEl shall be entitled to rely, without liability, on the accuracy and completeness of information provided by CLIENT, CLIENT's consultants and contractors, and information from public records, without the need for independent verification. 7. INSURANCE. a) GEl will carry the types and amounts of insurance in the usual form as provided in Exhibit C. b) Upon written request of CLIENT, GEl will furnish Certificates of Insurance indicating the required coverages and conditions. To the fullest extent permitted by law, GEl agrees to indemnify and hold CLIENT harmless from and against any liabilities, claims, damages, and costs (including reasonable attorney's fees) to the extent caused by the negligence or willful misconduct of GEl in the performance of services under this Agreement. b) Limitation of Liability. To the fullest extent permitted by law, the total liability, in the aggregate, of GEl and its officers, directors, employees, agents, and independent professional associates and consultants, and any of them, to CLIENT and anyone claiming by, through or under CLIENT, for any and all injuries, claims, losses, expenses, or damages whatsoever arising out of or in any way related to GHs services, the project or this Agreement, will not exceed the total compensation received by GEl under this Agreement, or available proceeds from GEl's insurance, whichever is less. This limitation will apply regardless of legal theory, and includes but is not limited to claims or actions alleging negligence, errors, omissions, strict liability, breach of contract, breach of warranty of GEl or its officers, directors, employees, agents or independent professional associates or consultants, or any of them. CliENTfurther agrees to require that all contractors and subcontractors agree that this limitation of GEl's liability extends to include any claims or actions that they might bring in any forum. c) Consequential Damages. GEl and CLIENT waive consequential damages, including but not limited to damages for loss of profits, loss of revenues, and loss of business or business opportunities, for claims, disputes or other matters in question arising out of or relating to this Agreement. 9. CONFIDENTIALITY. a) Unless compelled by law, governmental agency or authority, or order of a court of competent jurisdiction, or unless required pursuant to a subpoena deemed by GEl to be duly issued, or unless requested to do so in writing by CLIENT, GEl agrees it will not convey to others any proprietary non-public information, knowledge, data or property relating to the business or affairs of CLIENT or of any of its affiliates, which is in any way obtained by GEl during its association with CLIENT. GEl further agrees to strive to limit, to a "need to known basis, access by its employees to information referred to above. b) Unless compelled by law, governmental agency or authority, or order of a court of competent jurisdiction, or unless required pursuant to a subpoena deemed by CLIENT to be duly issued, CLIENT will not release to its employees or any other parties any concepts, materials, or procedures of GEl deemed by GEl to be proprietary and so explained to CLIENT. 10. OWNERSHIP OF DOCUMENTS. Drawings, diagrams, speCifications, calculations, reports, processes, computer processes and software, operational and design data, and all other documents and information produced in connection with the project as instruments of service (Project Documents), regardless of form, will be confidential and the proprietary information of GEl, and will remain the sale and exclusive property of GEl whether the project for which they are made is executed or not. CLIENT retains the right to use Project Documents for the furtherance of the project consistent with the express purpose(s) of the Project Documents, and for CLIENT's information and reference in connection with CLIENT's use and occupancy of the project. Any use of Project Documents for purposes other than those for which they were explicitly prepared shall be at CLIENT's sole risk and liability. CLIENT agrees to defend, indemnify, and hold GEl harmless from and against any claims, losses, liabilities, and damages arising out of or resulting from the unauthorized use of Project Documents. 11. TERMINATION AND SUSPENSION. a) This Agreement may be terminated by CLIENT for any reason upon 10 days written notice to GEL b) This Agreement may be terminated by GEl for cause upon 30 days written notice to CLIENT. c) In the event that this Agreement is terminated for any reason, CLIENT agrees to remit just and eqUitable compensation to GEl for services already performed in accordance with this Agreement, subject to the limitations given in this Article 11, Termination and Suspension. d) In the event Client terminates this Agreement for cause, in determining just and equitable compensation to GEl for work already performed, CLIENT may reduce amounts due to GEl by amounts equal to additional costs incurred by CLIENT to complete the Agreement scope. Such additional costs incurred by CLIENT may include but are not limited to: (1) the additional costs incurred by CLIENT to engage another Effective August 15, 2009 Page2of7 GEl Consultants,lnc. • GEl,,,.,,,,, STANDARD PROFESSIONAL SERVICES AGREEMENT qualified consultant to complete the unfinished scope; and (2) CLIENT's labor costs and expenses to demobilize and remobilize its personnel to the site to coordinate with the new consultant. e) GEl may suspend any or all services under this Agreement if CLIENT fails to pay undisputed invoice amounts within 90 days following invoice date, by providing a 10-day written notice to CLIENT, until payments are restored to a current basis. In the event GEl engages counsel to enforce overdue payments, CLIENT will reimburse GEl for all reasonable attorney's fees and court costs related to enforcement of overdue payments, provided that CLIENT does not have a good faith dispute with the invoice. CLIENT will indemnify and save GEl harmless from any claim or liability resulting from suspension of the work due to non-current, undisputed payments. 12. DISPUTE RESOLUTION. Both parties agree to submit any claims, disputes, or controversies arising out of or in relation to the interpretation, application, or enforcement of this Agreement to non-binding mediation pursuant to the Rules for Commercial Mediation of the American Arbitration Association, as a condition precedent to litigation or any other form of dispute resolution. 13. GENERAL CONSIDERATIONS. a) Authorized Representatives. Any notice required under this Agreement will be in writing, submitted to the respective party's Authorized Representative at the address provided in this Article 13, General Considerations. Notices shall be delivered by registered or certified mail postage prepaid, or by commercial courier service. All notices shall be effective upon the date of receipt. d) Controlling law. This Agreement is to be governed by the laws of the Commonwealth of Massachusetts. e) Survival. All express representations, indemnifications, or limitations of liability included in the Agreement will survive its completion or termination for any reason. However, in no event shall indemnification obligations extend beyond the date when the institution of legal or equitable proceedings for professional negligence would be barred by an applicable statute of repose or statute of limitations. f) Severability. Any provision or part of this Agreement held to be void or unenforceable under any law or regulation shall be deemed stricken and all remaining provisions shall continue to be valid and binding upon GEl and CLIENT. g) Waiver. Non-enforcement of any provision by either party shall not constitute a waiver of that provision, nor shall it affect the enforceability of that provision or of the remainder of this Agreement. h) Headings. The headings used in this Agreement are for general reference only and do not have special significance. i) Certifications. GEl shall not be required to sign any documents, no matter by whom requested, that would result in GEl having to certify, guaranty, or warrant the existence of conditions or the suitability or performance of GEl's services or the project, that would require knowledge, services or responsibilities beyond the scope of this Agreement. j) Third Parties. Nothing contained in this Agreement shall create a contractual relationship with, or a cause of action in favor of, a third party against either CLIENT or GEl. GEl's services hereunder are being performed solely for the benefit of CLIENT, and no other entity shall have any claim against GEl because of this Agreement or GEl's performance of services hereunder. ADDITIONAL PROVISIONS. a) If Field Services are provided under this Agreement, the additional provisions included in Exhibit D shall apply. Field Services are defined as services performed on property owned or controlled by CLIENT, any federal, state, or local government or governmental agency, or other third party, and include, but are not limited to: site inspection, site investigation, subsurface investigation, sample collection, or sample testing. b) If the services of a Licensed Site Professional (LSP) or Licensed Environmental Professional (LEP) are provided under this Agreement, the additional provisions included in Exhibit E shall apply. c) If Engineering Design Services are provided under this Agreement, the additional provisions included in Exhibit F shall apply. d) If Opinions of Probable Construction Cost are provided under this Agreement, the additional provisions included in Exhibit G shall apply. e) If Construction Services are provided under this Agreement, the additional provisions included in Exhibit H shall apply. 15. Professional Liability Insurance: 1. $1,000,000 per claim and in aggregate. EXHIBITD Special Provisions for Field Services A. Right of Entry. CLIENT agrees to furnish GEl with right-of-entry and a plan of boundaries of the site where GEl will perform its services. If CLIENT does not own the Site, CLIENT represents and warrants that it will obtain permission for GEl's access to the site to conduct site reconnaissance, surveys, borings, and other explorations of the site pursuant to the scope of services in the Agreement. GEl will take reasonable precautions to minimize damage to the site from use of equipment, but GEl is not responsible for damage to the site caused by normal and customary use of equipment. The cost for restoration of damage that may result from GEl's operations has not been included in GEl's fee, unless specifically stated in Exhibit B. B. Underground structures. CLIENT will identify locations of buried utilities and other underground structures in areas of subsurface exploration. GEl will take reasonable precautions to avoid damage to the buried utilities and other underground structures noted. If locations are not known or cannot be confirmed by CLIENT, then there will be a degree of risk to CLIENT associated with conducting the exploration. In the absence of confirmed underground structure locations, CLIENT agrees to accept the risk of any damages and losses resulting from the exploration work. C. Presence of Hazardous Materials. If the services under this Agreement do not include services relating to hazardous waste, oil, asbestos, or other hazardous materials, as defined by federal, state, or local laws or regulations, and if such materials are discovered during GEl's work, CLIENT agrees to negotiate appropriate revisions to the scope, schedule, budget, terms, and conditions of this Agreement. When such hazardous materials are suspected, GEl will have the option to stop work, without financial penalty, until a modification to this Agreement is made or a new Agreement is reached. If a mutually satisfactory Agreement cannot be reached between both parties, this Agreement will be terminated, and CLIENT agrees to pay GEl for all services rendered up to the date of termination, including any costs associated with termination. Effective August 15, Z009 Page 50f7 GEl Consultants, Inc. • GEl", ... ,,, STANDARD PROFESSIONAL SERVICES AGREEMENT EXHIBITSA-H 0, Disposal of Samples and Wastes Containing Regulated Contaminants, In the event that samples collected by GEl or provided by CLIENT, or wastes generated as a result of site investigation activities, contain or potentially contain substances or constituents which are or may be regulated contaminants as defined by federal, state, or local statutes, regulations, or ordinances, including but not limited to samples or wastes containing hazardous materials, said samples or wastes remain the property of CLIENT and CLIENT will have responsibility for them as a generator, If set forth in the Agreement, GEl will, at CLIENT's expense, perform necessary testing, and either (a) return said samples and wastes to CLIENT, or (b) using a manifest signed by CLIENT as generator, have said samples and/or wastes transported to a location selected by CLIENT for disposal. CLIENT agrees to pay all costs associated with the storage, transport and disposal of said samples and/or wastes. Unless otherwise provided in the Agreement, GEl will not transport, handle, store, or dispose of waste or samples or arrange or subcontract for waste or sample transport, handling, storage, or disposal. CLIENT recognizes and agrees that GEl is working as a bailee and at no time assumes title to said waste or samples or any responsibility as generator of said waste or samples. E. Contribution of Hazardous Materials. CLIENT agrees that GEl has not contributed to the presence of hazardous wastes, oils, asbestos, biological pollutants such as molds, fungi, spores, bacteria, and viruses, and by-products of any such biological organisms, or other hazardous materials that may exist or be discovered in the future at the site. GEl does not assume any liability for the known or unknown presence of such materials. GEl's scope of services does not include the investigation or detection of biological pollutants such as molds, fungi, spores, bacteria, and viruses, and by-products of any such biological organisms. CLIENT agrees to indemnify and hold harmless GEl, its subconsultants, subcontractors, agents, and employees from and against all claims, damages, losses, and costs (including reasonable attorneys' fees) that may result from the detection, failure to detect, or from the actual, alleged, or threatened discharge, dispersal, release, escape, or exposure to any solid, liquid, gaseous or thermal irritant, asbestos in any form, or contaminants including smoke, vapor, soot, fumes, acids, alkalies, chemicals, waste, oil, hazardous materials, or biological pollutants. CLIENT's obligations under this paragraph apply unless such claims, damages, losses, and expenses are caused by GEl's sole negligence or willful misconduct. EXHIBITE Special Provisions for Services of Licensed Site/Environmental Professionals For services under this Agreement that require the engagement of a Licensed Site Professional (LSP) or a Licensed Environmental Professional (LEP) registered with and subject to the laws and regulations promulgated by the state in which the services are provided (collectively the LSP/LEP Program), the following will apply: A. Under the LSP/LEP Program, the LSP/LEP owes professional obligations to the public, including, in some instances, a duty to disclose the existence of certain contaminants to the state in which the services are provided. B. CLIENT understands and acknowledges that in the event that the licensed professional's obligations under the LSP/LEP Program conflict in any way with the terms and conditions of this Agreement or the wishes or intentions of CLIENT, the licensed professional is bound by law to comply with the requirements of the LSP/LEP Program. CLIENT recognizes that the licensed professional is immune from civil liability resulting from any such actual or alleged conflict. C. CLIENT agrees to indemnify and hold GEl harmless from any claims, losses, damages, fines, or administrative, civil, or criminal penalties resulting from the licensed professional's fulfillment of the licensed professional's obligations under the LSP/LEP Program. EXHIBIT F Special Provisions for Engineering Design Services A. Design Without Construction Phase Services. CLIENT understands and agrees that if GEl's services under this Agreement include engineering design and do not include Construction-Related Services, then CLIENT: 1. Assumes all responsibility for interpretation of the construction Contract Documents. 2. Assumes all responsibility for construction observation and review. 3. Waives any claims against GEl that may be in any way connected thereto. B. Use of Documents. 1. The actual signed and sealed hardcopy construction Contract Documents including stamped drawings, together with any addenda or revisions, are and will remain the official copies of all documents. 2. All documents including drawings, data, plans, specifications, reports or other information recorded on or transmitted as Electronic Files are subject to undetectable alteration, either intentional or unintentional, due to transmission, conversion, media degradation, software error, human alteration, or other causes. 3. Electronic Files are provided for convenience and informational purposes only and are not a finished product or Contract Document. GEl makes no representation regarding the accuracy or completeness of any accompanying Electronic Files. GEl may, at its sole discretion, add wording to this effect on electronic file submissions. 4. CLIENT waives any and all claims against GEl that may result in any way from the use or misuse, unauthorized reuse, alteration, addition to, or transfer of the Electronic Files. CLIENT agrees to indemnify and hold harmless GEl, its officers, directors, employees, agents, or subconsultants, from any claims, losses, damages or costs (including reasonable attorney's fees) which may arise out of the use or misuse, unauthorized reuse, alteration, addition to, or transfer of Electronic Files. EXHIBITG Special Provisions for Opinions of Probable Construction Costs GEl's Opinions of Probable Construction Cost provided under this Agreement are made on the basis of GEl's experience and qualifications, and represent GEl's best judgment as an experienced and qualified professional generally familiar with the industry. However, since GEl has no control over the cost of labor, materials, equipment or services furnished by others, or over a contractor's methods of determining prices, or over competitive bidding or market conditions, GEl canr~ot and does not guarantee that proposals, bids or actual construction costs will not vary from Opinions of Probable Construction Cost prepared by GEL If CLIENT wishes greater assurance as to probable construction costs, CLIENT agrees to employ an independent cost estimator. EXHIBITH Special Provisions for Construction Services In accordance with the scope of services under this Agreement, GEl will provide personnel to observe the specific aspects of construction stated in the Agreement and to ascertain that construction is being performed, in general, in accordance with the approved construction Contract Documents. A. GEl cannot provide, its opinion on the suitability of any part of the work performed unless GEl's personnel make measurements and observations of that part of the construction. By performing construction observation services, GEl does not guarantee the contractor's work. The contractor will remain solely responsible for the accuracy and adequacy of all construction or other activities performed by the contractor, including: methods of construction; supervision of personnel and construction; control of machinery; false work, scaffolding or other temporary construction aids; safety in, on, or about the job site; and compliance with OSHA and construction safety regulations and any other applicable federal, state, or local laws or regulations. B. In consideration of any review or evaluation by GEl of the various bidders and bid submissions, and to make recommendations to CLIENT regarding the award of the construction Contract, CLIENT agrees to hold harmless and indemnify GEl for all costs, expenses, damages and attorneys' fees incurred by GEl as a result of any claims, allegations, administrative proceedings, or court proceedings arising out of or relating to any bid protest or such other action taken by any person or entity with respect to the review and evaluation of bidders and bid submissions or recommendations concerning the award of the construction Contract. This paragraph will not apply if GEl is adjudicated by a court to have been solely negligent or to have actually engaged in intentional and willful misconduct without legitimate justification, privilege, or immunity; however, CLIENT will be obligated to indemnify GEl until any such final adjudication by a court of competent jurisdiction. EXHIBIT! /c( 1/ ~ Insurance and Indemnification ~ Insurance Requirements Without limiting its liability, the contractor, consultant or consulting firm (hereinafter referred to as "FIRM" with regard to Insurance and Indemnification requirements) shall be required to procure and maintain at its own expense during the life of the Contract, insurance of the types and in the minimum amounts stated below as will protect the FIRM, from claims which may arise out of or result from the contract or the performance of the contract with the City of South Miami, whether such claim is against the FIRM or any sub-contractor, or by anyone directly or indirectly employed by any of them or by anyone for whose acts any of them may be liable. No insurance required by the CITY shall be issued or written by a surplus lines carrier unless authorized in writing by the CITY and such authorization shall be at the CITY's sole and absolute discretion. The FIRM shall purchase insurance from and shall maintain the insurance with a company or companies lawfully authorized to sell insurance in the State of Florida, on forms approved by the State of Florida, as will protect the FIRM, at a minimum, from all claims as set forth below which may arise out of or result from the FIRM's operations under the Contract and for which the FIRM may be legally liable, whether such operations be by the FIRM or by a Subcontractor or by anyone directly or indirectly employed by any of them, or by anyone for whose acts any of them may be liable: (a) claims under workers' compensation, disability benefit and other similar employee benefit acts which are applicable to the Work to be performed; (b) claims for damages because of bodily injury, occupational sickness or disease, or death of the FIRM's employees; (c) claims for damages because of bodily injury, sickness or disease, or death of any person other than the FIRM's employees; (d) claims for damages insured by usual personal injury liability coverage; (e) claims for damages, other than to the Work itself, because of injury to or destruction of tangible property, including loss of use resulting there from; (I) claims for damages because of bodily injury, death of a person or property damage arising out of ownership, maintenance or use of a motor vehicle; (g) claims for bodily injury or property damage arising out of completed operations; and (h) claims involving contractual liability insurance applicable to the FIRM's obligations under the Contract. Firm's Insurance Generally. The FIRM shall provide and maintain in force and effect until all the Work to be performed under this Contract has been completed and accepted by CITY (or for such duration as is otherwise specified hereinafter), the insurance coverage written on Florida approved forms and as set forth below: Workers' Compensation insurance at the statutory amount as to all employees in compliance with the "Workers' Compensation Law" of the State of Florida including Chapter 440, Florida Statutes, as presently written or hereafter amended, and all applicable federal laws. In addition, the policy (ies) must include: Employers' Liability at the statutory coverage amount. The FIRM shall further insure that all of its Subcontractors maintain appropriate levels of Worker's Compensation Insurance. Commercial Comprehensive General Liability insurance with broad form endorsement, as well as automobile liability, completed operations and products liability, contractual liability, severability of interest with cross liability provision, and personal injury and property damage liability with limits of $1,000,000 combined single limit per occurrence and $2,000,000 aggregate, including: • Personal Injury: $1,000,000; • Medical Insurance: $5,000 per person; • Property Damage: $500,000 each occurrence; Umbrella Commercial Comprehensive General Liability insurance shall be written on a Florida approved form with the same coverage as the primary insurance policy but in the amount of $1 ,000,000 per claim and $2,000,000 Annual Aggregate. Coverage must be afforded on a form no more restrictive than the latest edition of the Comprehensive General Liability policy, without restrictive endorsements, as filed by the Insurance Services Office, and must include: (a) Premises and Operation (b) Independent Contractors (c) Products and/or Completed Operations Hazard (d) Explosion, Collapse and Underground Hazard Coverage (e) Broad Form Property Damage (f) Broad Form Contractual Coverage applicable to this specific Contract, including any hold harmless and/or indemnification agreement. (g) Personal Injury Coverage with Employee and Contractual Exclusions removed, with minimum limits of coverage equal to those required for Bodily Injury Liability and Property Damage Liability. Business Automobile Liability with minimum limits of One Million Dollars ($1,000,000.00) plus an additional One Million Dollar ($1,000,000.00) umbrella per occurrence combined single limit for Bodily Injury Liability and Property Damage Liability. Umbrella coverage must be afforded on a form no more restrictive than the latest edition of the Business Automobile Liability policy, without restrictive endorsements, as filed by with the state of Florida, and must include: (a) Owned Vehicles. (b) Hired and Non-Owned Vehicles (c) Employers' Non-Ownership Subcontracts: The FIRM agrees that if any part of the Work under the Contract is sublet, the subcontract shall contain the same insurance provision as required by the General Contractor, other than the Fire and Extended Coverage Insurance and substituting the word Subcontractor for the word FIRM and substituting the word FIRM for CITY where applicable. Fire and Extended Coverage Insurance (Builders' Risk), IF APPLICABLE: In the event that this contract involves the construction of a structure, the CONTRACTOR shall maintain, with an Insurance Company or Insurance Companies acceptable to the CITY, ."Broad" form/All Risk Insurance on buildings and structures, including Vandalism & Malicious Mischief coverage, while in the course of construction, including foundations, additions, attachments and all permanent fixtures belonging to and constituting a part of said buildings or structures. The policy or policies shall also cover machinery, if the cost of machinery is included in the Contract, or if the machinery is located in a building that is being renovated by reason of this contract. The amount of insurance must, at all times, be at least equal to the replacement and actual cash value of the insured property. The policy shall be in the name of the CITY and the CONTRACTOR, as their interest may appear, and shall also cover the interests of all Subcontractors performing Work. All of the provisions set forth in the Miscellaneous section below shall apply to this coverage unless it would be clearly not applicable. Miscellaneous: If any notice of cancellation of insurance 9F s~aA~e iA 69 ... eFa~9 is issued by the insurance company or should any insurance have an expiration date that will occur during the period of this contract, the FIRM shall be responsible for securing other acceptable insurance prior to such cancellation, s~aA~e, or expiration so as to provide continuous coverage as specified in this section and so as to maintain coverage during the life of this Contract. All deductibles must be declared by the FIRM and must be approved by the CITY. At the option of the CITY, either the FIRM shall eliminate or reduce such deductible or the FIRM shall procure a Bond, in a form satisfactory to the CITY covering the same. The policies shall contain waiver of subrogation against CITY where applicable, shall expressly provide that such policy or policies are primary over any other collectible insurance that CITY may have. The 2 CITY reserves the right at any time to request a copy of the required policies for review. All policies shall contain a "severability of interest" or "cross liability" clause without obligation for premium payment of the CITY as well as contractual liability provision covering the Contractors duty to indemnify the City as provided in this Agreement. Before starting the Work, the FIRM shall deliver to the CITY and CONSULTANT, if any, certificates of such insurance, acceptable to the CITY, as well as the insurance binder, if one is issued, the insurance policy, including the declaration page and all applicable endorsements and provide the name, address and telephone number of the insurance agent or broker through whom the policy was obtained. The insurer shall be rated AVII or better per A.M. Best's Key Rating Guide, latest edition and authorized to issue insurance in the State of Florida. All insurance policies must be written on forms approved by the State of Florida and they must remain in full force and effect for the duration of the contract period with the CITY. The FIRM may be required by the CITY, at its sole discretion, to provide a "certified copy" of the Policy (as defined in Article 1 of this document) which shall include the declaration page and all required endorsements. In addition, the FIRM shall deliver, at the time of delivery of the insurance certificate, the following endorsements: a policy provision or an endorsement with substantially similar provisions as follows: "The City of South Miami is an additional insured. This insurance shall be maintained for four years after completion of the construction and acceptance of any Project covered by this Agreement. However, the FIRM may purchase Specific Project Professional Liability Insurance, in the amount and under the terms specified above, which is also acceptable. No insurance shall be issued by a surplus lines carrier unless authorized in writing by the city at the city's sole, absolute and unfettered discretion. Contractor's Responsibility Prior to Receiving a Notice to Proceed Prior to the City issuing a Notice to Proceed, the contractor shall deliver a copy (either hard copyor, preferably, electronically) of the policy, including the declaration page of the policy and all endorsements to the poflcy and provide the City with the name, address, including email address, and phone number of the contractor's insurance agent. The Contractor's insurance agent must provide the City with evidence that the insurer issuing the policy is licensed and authorized to do business in Florida, that the form of the policy being issued has been approved by the State of Florida and that the insurance carrier that is issuing the policy is not issuing the policy as a surplus lines carrier. It may be that some of these provisions are combined into one endorsement or contained in the policy itself. If the policy does not have a provision or endorsement that provides the City with advanced notice of cancellation as required by the City, the contractor may still comply with the City's insurance requirement if the contractor provides the City with proof that the policy premium has been paid in full and provided the contractor makes arrangements with its insurance company to allow the City to confirm, monthly, that the policy is in full force and effect. In addition, the Contractor must either pay the City a monthly monitoring fee, currently set at $25 per month, or have the amount deducted from the Contractor's draws/payments. Indemnification Requirement to the extent A. The Contractor accepts and voluntarily incurs all risks of any injurie amages, or harm which might arise during the work or event that is occurring on the CITY's property cue to the negligence or other fault of the Contractor or anyone acting through or on behalf of the Contractor. B. The Contractor shall indemnify, defend, save and hold CITY, its officers, affiliates, employees, successors and assigns, harmless from any and all damages, claims, liability, losses, claims, demands, suits, fines, judgments or cost and expenses, including reasonable attorney's fees, paralegal fees and investigative costs incidental there to and incurred prior to, during or following any litigation, mediation, arbitration and at all appellate levels, which may be suffered by, or accrued against, charged to or recoverable from the City of South Miami, its officers, affiliates, employees, successors and assigns, by reason of any causes of actions or claim of any kind or nature, including claims for injury to, or death of any person or persons and for the loss or damage to any property arising out of a negligent error, omission, misconduct, or any gross negligence, intentional act or mful conduct of the Contractor, its contractor/subcontractor or any of their officers, directors, agents, re esentatives, employees, or assigns, or anyone acting through or on behalf of any of them, arising t of this Agreement, incident to it, or resulting from the performance or non-performance of the Contract's 0 Ii' der this AGREEMENT. . to the extent C. In reviewing, approving or rejecting any submissions or acts of the Contractor in no way assumes or shares responsibility or liability for the acts or to the extent they 4 omissions of the Contractor, its contractor/subcontractor or any of their agents, representatives, employees, or assigns, or anyone acting through or on behalf of them. E. The Contractor has the duty to provide a defense with an attorney or law firm approved by the City of South Miami, which approval will not be unreasonably withheld. F. However, as to design professional contracts, and pursuant to Section 725.08 (1), Florida Statutes, none of the provisions set forth herein above that are in conflict with this subparagraph shall apply and this subparagraph shall set forth the sole responsibility of the design professional concerning indemnification. Thus, the design professional's obligations as to the City and its agencies, as well as to its officers and employees, is to indemnify and hold them harmless from liabilities, damages, losses, and costs, including, but not limited to, reasonable attorneys' fees, to the extent caused by the negligence, recklessness, or intentionally wrongful conduct of the design professional and other persons employed or utilized by the design professional in the performance of the contract. 5 RESOlUTION NO.: __ 0_6_2_-_1_5_-_1_4_4_0_1 __ A Resolution authorizing the City Manager to enter into an agreement with Catalysis Adaptation Partners, LLC for an initial a sea level rise, storm surge, and inland riverine flooding study. WHEREAS, the City's wishes to identify critical vulnerabilities to sea level rise, storm surge, and inland riverine flooding over time, but recognizes that a City-wide vulnerability assessment may require many types of data that do not exist; and WHEREAS, the City needs to commence the process of evaluating the city's critical vulnerabilities and should commence the process in phases; and WHEREAS, the City recognizes that Catalysis Adaptation Partners, LLC is uniquely able to prdvide the required suite of technical; analytic, and planning services, needed for this type of project; and WHEREAS, the City desires to begin with Phase I of the process, whereby Catalysis Adaptation Partners, LLC will analyze the risks and the sequencing of those risks from sea level rise and storm surge over time in three critical areas of the City; and WHEREAS, at the completion of the analysis, Catalysis Adaptation Partners, LLC will provide a comprehensive report that will detail the results and implications of the study for the creation of a general framework for conducting a City-wide vulnerability assessment which shall be designated as Phase II of the project. It not only calculates damages from sIngle storms, but also cumulative damages from multiple storms over a given time period. This provides our clients with a more realistic estimate of potential damages for nOt adapting their vulnerable assets. The COAST Approach (TM) is the way In which we use COAST to engage In a stakeholder-driVen process. Our clients determine which assets they consider important and which sea level rise and extreme storm scenarios they want to model: not us. This way our process is a-polltlcal and discussions and debates about climate change can be avoided. Service Tiers Tier 1: Vulnerability Assessment. This Is the "no-actIon" phase of the COAST Approach (TM). It encompasses the following steps, which Catalysis will do in collaboration with the client 1) Select appropriate data layers and vulnerable asset(s). 2} Determine how to value the selected asset(s). 3) Select planning tlmeframes and appropriate future conditions. such as mean high water levels over time, storm flOODwater elevations, and associated probabilities. 4) Select discount rates and rate(s) of growth for asset(s). 5) Run COAST software, provide maps ~nd tabies of designed events; and produce narrative-and presentation-based Interpretation of these results to address local concerns. Tier 2: Benefit-Cost Analysis. Most communities beginning this work als'o want to evaluate actions regarding the particular asset(s) they have chosen. actions they select from among the wide range of options in the categories of fortify, accommodate, and relocate. Catalysis will restructure the model to determine relative cost efficiencies ofthose client-selected adaptation strategies, both for individual storms of concern and on a cumulative-cost basis.
