No. 061-00-10954RESOLUTION NO.61-00-10954 A RESOLUTION OF THE MAYOR AND CITY COMMISSION OF THE CITY OF SOUTH MIAMI,FLORIDA,AUTHORIZING APPLICATION FOR GRANT FROM THE SAFE NEIGHBORHOOD PARKS BOND PROGRAM. WHEREAS,the citizens of Miami-Dade County have authorized the issuance of general obligation bonds (the "Bonds")forthe purpose of financing capital improvement programs for certain parks,beaches,naturalareasand recreation facilities;and WHEREAS,to implement andgiveeffecttothebondprogram,Miami-Dade County,Florida enacted Ordinance No.96-115,theSafe Neighborhood Parks Ordinance (the "Ordinance");and WHEREAS,itisnecessaryanddesirabletoimprovethequality of life,tobenefit property values,to promote prevention of juvenile crimeby providing positive recreation opportunities,andto improve therecreationfacilitiesforyouth,adult,and senior citizens in this community through the improvement of our parks and natural areas;and WHEREAS,in order tofosterthose important values,the projects more specificallylistedbelowhavebeenidentifiedforreimbursementpursuanttotheterms of the Ordinance;and WHEREAS,pursuant totheterms of theOrdinance,thepassage of thisresolution andtheacts contemplated bythis resolution are conditions to obtaining agrant;and WHEREAS,theCity of SouthMiamiwishestomake application forthegrant monies forthe project listedbelowsubjecttoalltermsand conditions of the Ordinance. NOW,THEREFORE,BE IT RESOLVED BY MAYOR AND CITY COMMISSION OF THE CITY OF SOUTH MIAMI: Section 1.TheCity Commission hereby authorizes theCity Manager tomake applicationforagrantfortheprojectsandintheamountlistedbelow,andinconnection withsuch application to execute suchgrantagreementand other contracts and documents, toexpendSafe Neighborhood Parksbondfundsreceivedforthepurposesdescribedin thefundingrequest,to execute anynecessaryamendmentstothegrant application and contracts,and take such other actsasmaybenecessarytobindtheCity of South Miami and accomplish the intent of thisresolution.Application shallbemadewith respect to the following project intheamountssetforthbelow. Grant Title Total Grant City of SouthMiamiMultipurposeCenter$1,478,600 Section 2.TheCity of Southshall complete theProjectin accordance with the terms of the grant agreement,the Ordinance,andthe administrative rules authorized bythe Citizens"Oversight Committee (the "Committee")to implement the Ordinance.If the total cost of a Project exceeds thevalue allocated inthe grant,then theCity of South Miami will provide any supplemental funds required to complete the Project.Inthe event that supplemental fundsare necessary for completion of a Project,as of thepointintime thatitis known that supplemental fundsare needed,theCity of South Miami will demonstrate that such supplemental funds have been committed tothe Project prior to andasa condition of disbursement or further disbursement of grant funds.The requirement fortheCity of SouthMiamitoprovideany supplemental fundsrequiredto complete the Project may,atthesolediscretion of the Commitlee,be modified inwhole orinpartbya reduction inscope of work consistent withthe Ordinance. Section 3.The City of South Miami recognizes and directs thatany beach, park,or other publicfacility acquired,developed,rehabilitated or restored withbond funds,including the Project,shallbe open and accessible tothe public without discrimination asto race,color,gender,age,religion,belief,residence,national origin, marital status or disability. Section 4.Tothe extent allowed bylaw.theCity of South Miami shall commit anyandallfunds which maybe required to operate,maintain and provide programming atthe Project uponits completion. Section 5.No substitution in capital project funding bythe City of South Miami shall occur asa result of the grant for which theCity of South Miami is applying. BACKGROUND AND ANALYSIS TheCity of SouthMiami hasbeen awarded $1,478,600 fromtheSafe Neighborhood Parks Challenge Grants Program forthedesignand construction of the Multipurpose Center atMurray Park.Upon notification of theaward,theCity earmarked themoneyfor those costs which would be associated with Phase II,as Phase Iwas being funded through Community Development Block Grants which the City had already received. The Multipurpose Center hasrapidlyprogressed,andtheCitywillsoonbegin contract negotiations forthe design of Phase II.TheOffice of Safe Neighborhood Parks has informed the City that before theCity may draw upon itsSafe Neighborhood Parks Challenge Grant,it must approvetheattached Resolution andexecutetheattachedSafe Neighborhood ParksBond Program Challenge Grant Agreement (the "Agreement"). Approval of the attached resolution wouldallowtheCityManagerto execute the Agreement and other contracts and documents necessarytoexpendfundsfromthe Challenge Grant.The Agreement includes the following: 1.Grant Amount Section IV of the Agreement statesthatthecurrent maximum amount payableforthe projectshallnotexceed$1,478,600.ThegrantrequiresthattheCitypostadollarto dollarmatch.Therefore,thetotalfundingforPhaseIIwillbe$2,957,200. Page1 of2 2.Funding Commitment SectionV of theAgreement states:"Intheeventthatthe project requires further funding, fundingforsubsequentyearsisconditionedupon appropriation bytheBoard of County Commissioners of Miami-DadeCounty,Florida,with norepresentationthatfundswillbe forthcoming." Therefore,thePhaseIIdesignconsultantswillbeinstructedto(1)designPhaseII within the$2,957,200budget;or(2)designitin phases whichallowthecompletedportions of the Multipurpose Center tobe completely functional while fundingisattainedforthe remaining phases. 3.Local Match As was noted above,theCity must postadollartodollarmatch.The match must be verifiedatthetime of payment reimbursement,andSectionVI(C)of theAgreement statesthe City's "failureto produce thematchasoriginallypledgedtotheprojectshall resultinareductioninbondfundsawardedunder [the]Agreement,equaltothecash matchshortfall,ortermination of thisAgreementbytheCounty,attheoption of the Oversight Committee". Asyouknow,theCityhas already receivedprivatelender commitments forthenearly $1.5millionmatch.The private lendercommitments are allsimilarinthatthey feature a loan which uses South Miami Hospital's annual $150,000 contribution ascollateral. However,the City is currently evaluatingother,less costly financial instruments,suchas (1)theHospitalprovidingthematchon behalf of theCityinexchangefor appropriate modification totheir existing contribution scheduleand(2)bond programs. Although the City hasnot yet selectedafinancial instrument,execution of the Agreement essentially commits the City todecidinguponone.Without thefinancial instrument to provide therequired match,theCitywillnot receive grantfunding. City staff will bring the best financial options totheMayorand City Commission for consideration well priortotheneedfor payment reimbursement. RECOMMENDATION Approval of the agreement will allow theCitytotakeadditionalsteps towards realizinga longstanding dream.Therefore,yourapprovalis recommended. II.ADMINISTRATIVE RULES &BOND ORDINANCE.The Grantee agrees toabideby andbegovernedbythe Administrative Rulesfor Specified Project Grants,PerCapita Allocation Grants,andChallengeGrantsandtheBond Ordinance,copies of whichhavebeenprovidedthe GranteebytheOffice.Withoutlimitingthegenerality of thepreceding sentence,theGrantee agreesto:PaymentProcedures(Ord.,Sec.6&Rules,10B);Breach of Agreement(Rules, 10B(6)&1IE);Termination(Rules,1IE);ProhibitedUse of Funds(Rules,10E);Required Documentation (Rules,11C &12);OperatingFunds(Ord.,Sec.5(b)(1));Completion of Project 1 and Supplemental Funding(Rules,10B(11));and Audits (Ord.,Sec.13&Rules,10B(8)). III.EFFECTIVE TERM.Both partiesagreethatthe effective term of this Agreement shall befromJanuary1.1999to December 31.2001 .Failure by theGranteeto complete theproject by the aforementioned date,unless extended,shallbecauseforthe County to terminate this Agreement. IV.AMOUNT PAYABLE.The maximum amount payableforthe project(s)renderedunder this Agreement,shallnot exceed $1.478.600 unless otherwise amended.The Grantee agreestopostamatch which willbesubjecttoverificationbythe County atthe time of payment reimbursement.Expenditure match must be verified atthe time of the independent audit(Ord., Sec.13&Rules,10B(8)). V.FUNDING COMMITMENT.Inthe event thattheproject(s)requiresfurtherfunding, fundingforsubsequentyearsisconditioneduponappropriationbytheBoard of County Commissioners of Miami-Dade County,Florida,with norepresentationthatfunds will be forthcoming. VI.FUNDING REQUIREMENTS &REGULATIONS. A.Establishment of residency requirements,imposition of non-resident fees,or failure of theGranteeto comply with anyother conditions established by the Safe Neighborhood Parks Citizens'Oversight Committee (Oversight Committee)shallbecauseforthe County to terminatethis Agreement unlessan exception isgrantedbytheOversight Committee. B.Failuretoenterintocontractto commence theproject(s)whether design, construct,orpurchaseland (whichever isappropriate)within 120 daysafter Agreement execution,unless extended by the Oversight Committee forgoodcause,shallbecauseforthe County to terminate thisAgreement. C.Failure by Granteetoproducethedollarfordollarcashmatchasoriginally pledgedtotheproject(s)bytheGranteeshallresultinareductioninbondfunds awarded under thisAgreement,equaltothecashmatch shortfall,ortermination of this Agreement bythe County,attheoption of the Oversight Committee. VII.CONDITIONS OF AWARD A.Completed facility construction will havea permanent plaque,approved by the Oversight Committee,astomaterial,form,and content,affixed tothefacility noting funding through theSafe Neighborhood Parksbondprogram. B.All fencingfunded with Safe Neighborhood Parks bond proceedswill comply with thecurrentSouthFlorida Building Code specifications forsuchfacilities. C.Landacquiredand/orfacility development or improvement fundedby this Agreement must be vested with apublicagency. VIII.INDEMNIFICATION BY GRANTEE. A.Government Entity. Government entity shall indemnify andhold harmless the County andits officers, employees,agents,andinstrumentalitiesfromanyandallliability,lossesordamages,including attorney'sfeesandcosts of defense,whichtheCountyoritsofficers,employees,agentsor instrumentalities may incurasaresult of claims,demands,suits,causes of action,orproceedings of anykindornature arising outof,relating toorresultingfromtheperformance of this Agreement bythe government entityoritsemployees,agents,servants,partners,principals or subcontractors.Government entityshallpayallclaimsandlossesin connection therewithand shall investigateanddefendallclaims,suitsor actions of anykindor nature inthename ofthe County,where applicable,including appellate proceedings,and shall payallcosts,judgments, andattorney'sfees which mayissuethereon.Provided,however,thisindemnificationshallonly betothe extent and within the limitations of Section 768.28,Fla.Stat.,subject tothe provisions ofthatStatutewherebythegovernmententityshallnotbeheldliabletopaya personal injuryor propertydamageclaimorjudgmentbyanyonepersonwhichexceedsthesum of $100,000,or anyclaimorjudgmentorportionthereof,which,whentotaledwith all otherclaimsorjudgment or paid bythegovernmententity arising out of thesameincidentor occurrence,exceedthesum of $200,000fromanyandall personal injuryorpropertydamageclaims,liabilities,lossesor causes of action which may ariseasaresult of thenegligence ofthe government entity. B.Not-For-Profit Organization. Not-For-Profit organizationsshall indemnify andholdharmlessthe County and itsofficers,employees,agentsandinstrumentalitiesfromanyandallliability,lossesor damages, includingattorney'sfeesandcosts of defense,whichtheCountyoritsofficers,employees, agentsorinstrumentalitiesmayincurasaresult of claims,demands,suits,causes of actionsor proceedings of anykindornature arising outof,relating toorresultingfromthe performance of this Agreement by theGranteeorits employees,agents,servants,partners,principalsor subcontractors.Granteeshallpayallclaimsandlossesin connection therewith andshall investigate anddefendallclaims,suitsoractions of anykindornatureinthename ofthe County,where applicable,including appellateproceedings,andshallpayallcosts,judgments, andattorney'sfees which mayissuethereon.Granteeexpresslyunderstandsandagreesthatany insuranceprotectionrequired by this Agreement orotherwiseprovidedbygranteeshallinno waylimittheresponsibilityto indemnify,keepandsaveharmlessanddefendtheCountyorits officers,employees,agentsand instrumentalities ashereinprovided. IX.INSURANCE. A.Government Entity. If theGranteeistheState of Floridaoranagencyorpolitical subdivision of theStateas definedbySection768.28,FloridaStatutes,theGranteeshallfurnishtheCounty,uponrequest, written verification of liability protection in accordance with Section 768.28,Florida Statutes. Nothing hereinshallbe construed to extend anyparty'sliability beyond thatprovidedinSection 768.28,Florida Statutes. B.Not-For-Profit Organizations. 1.Modification and Changes TheGranteeshall notify the County of anyintendedchangesininsurance coverage,including butnot limited toanyrenewals of existing insurancepolicies.Upon review of theGrantee's Scope of Services (Exhibits)by theCounty's Risk Management Division,the Countymayincrease,decrease,waiveor modify any of thefollowinginsurancerequirements. Any requestbyaGranteeto decrease,waiveor modify any ofthefollowinginsurance requirements must beapprovedin writing bytheCounty's Risk Management Division. 2.Minimum InsuranceRequirements:Certificates of Insurance The Granteeshallfurnishto Miami-Dade County,c/o Beverly N.Mirman, D.P.A.,Director,Office of Safe Neighborhood Parks,111 N.W.1stStreet,Suite1740,Miami, Florida 33128-1989,Certificate (s)of Insurance which indicate thatinsurance coverage has been obtained which meets the requirements as outlined below: a.Worker's Compensation Insuranceforall employees of theprovideras required by FloridaStatute440. b.Public Liability Insuranceona comprehensive basisinanamountnotlessthan $300,000 combined singlelimitperoccurrencefor bodily injuryandproperty damage.Miami-DadeCountymustbeshownasanadditionalinsuredwith respecttothiscoverage. c.Automobile Liability Insurancecoveringall owned,non-owned andhired vehicles used in connection with the work,inan amount not less than $300,000* combined singlelimitperoccurrenceforbodilyinjuryandpropertydamage.For Grantees supplying vansor mini-buses with seatingcapacities of 1.5 passengers ormore,thelimit of liabilityrequiredfor Automobile Liability is$500,000. d.Errorsand Omissions Insuranceinthename of thegrantee,when applicable, in the amount not less than $300,000. 3.Classifications and Ratings Allinsurancepoliciesrequiredshallincludethoseclassifications,aslistedin standard liabilityinsurancemanuals,which mostnearlyreflecttheoperations ofthe Grantee. Allinsurancepoliciesrequiredaboveshallbeissuedbycompaniesauthorizedtodobusiness underthelaws of theState of Florida,with the following qualifications: The company must beratednolessthan"B"asto management,andno less than "ClassV"astofinancialstrength,by the latest edition of Best's Insurance Guide,published by A.M.Best Company,Oldwick,New Jersey,orits equivalent subject totheapproval of the County's Risk Management Division. or The company must holdavalidFlorida Certificate of Authority as shown inthelatest"List of AllInsurance Companies Authorized or Approved to Do Business inFlorida",issued by the State of Florida Department of Insuranceandare members of the FloridaGuarantyFund. Certificates will indicate that no modification or change in insurance shall be made without thirty(30)days written advance notice to thecertificateholder.Allinsurance requirementsaresubjectto review andapprovalbytheCounty's Risk Management Division. C.Failure to Provide Certificates of Insurance If theGranteefailstofurnishthe County with the Certificate of Insuranceor written verification required under thissectionoras determined bythe County's Risk Management Division after review of the Scope of Services (Exhibit(s)),the County shallnotdisburseany fundsuntilitis provided with the necessary Certificates of Insuranceorwritten verification. Failuretoprovidethe Certificates of Insuranceorwritten verification within sixty (60)days of execution of this Agreement may resultin termination of this Agreement. X.CIVIL RIGHTS.The Granteeagreestoabide by Chapter 11A,Article IV of the Code of Miami-Dade County ('County Code'),as amended,which prohibits discrimination in employment;Title VII of theCivil Rights Act of 1968,asamended,which prohibits discrimination in employment andpublic accommodation;the Age Discrimination Act of 1975, 42 U.S.C,as amended,which prohibits discrimination in employment because of age;Section 504 of the Rehabilitation Act of 1973,29 U.S.C,Section794,asamended,which prohibits discrimination on the basis of disability;andthe Americans with Disabilities Act,42 U.S.C, Section12103etseq.,which prohibitsdiscriminationin employment and accommodation because of disability. Itis expressly understood thatuponreceipt of evidence of discrimination underany ofthese laws,the County shall have therighttoterminatethis Agreement.Itisfurther understood that the Grantee must submit an affidavit attesting thatitisnotin violation of the Americans with Disability Act,the Rehabilitation Act,the FederalTransit Act,49 U.S.C.Section 1612,andthe FairHousingAct,42U.S.C.Section3601etseq.If theGranteeoranyowner,subsidiary,or otherfirmaffiliated with,orrelatedtotheGrantee,isfoundbytheresponsibleenforce ment agency,theCourtsorthe County tobeinviolation oftheseActs,theCountywillconductno further business with the Grantee.Any agreement entered intobased upon afalse affidavit shall be voidable by the County.If theGrantee violates any of the Acts duringtheterm of any agreementtheGranteehas with theCounty,suchagreementshallbevoidablebytheCounty, even if the Grantee was not in violation at the time it submitted its affidavit. XI.CONFLICT OF INTEREST.The Granteeagreestoabide by andbe governed by Miami- DadeCountyOrdinanceNo.72-82(Conflict of InterestOrdinance codified atSection 2-11.1 et al.of the Code of Miami-Dade County),asamended,which isincorporatedherein by reference as if fullysetforthherein,inconnectionwithitscontractobligations hereunder. XII.INDEPENDENT PRIVATE-SECTOR INSPECTOR GENERAL.The County shallhave theright,butnottheobligationto require the Grantee,atthe Grantees owncost,to retain the services of anindependentprivate-sectorinspector general (IPSIG)whomaybeengagedto audit,investigate,monitor,oversee,inspectandreviewtheoperations,activitiesand performance of theGranteeandCountyinconnectionwiththis agreement.Thescope of servicesperformedbyanIPSIGmayinclude,butarenotlimitedto,monitoringandinvestigating compliancewithAgreement;projectcosts;andinvestigatingandpreventing corruption and fraud. TheIPSIGmayperformitsservicesatalllevels of thecontractingandprocurementprocess includingbutnotlimitedtoprojectdesign,establishment ofbid specifications;bidsubmittals, activities of Grantee,its officers,agentsand employees,lobbyists,county staff andelected officials. Uponten(10)dayswrittennoticetoGranteefromanIPSIG,theGranteeshallmakeall requestedrecordsanddocuments available totheIPSIGforinspectionandcopying.TheIPSIG shallhavetherightto examine all documents andrecordsintheGrantee'spossession,custody or control which in the JPSIG's sole judgment pertaintoperformance of the Agreement,including butnot limited to original estimate files,bidandchangeorderestimates,worksheets,proposals andagreementsfromandwithsuccessfulandunsuccessful subcontractors and suppliers,all project-relatedcorrespondence,memoranda,instructions,financial documents,construction documents,bidand agreement documents,back-charge document,all documents andrecords which involve cash,tradeor volume discounts,insuranceproceeds,rebates,or dividends received,payrollandpersonnel records,andsupportingdocumentationforthe aforesaid documents and records. TheprovisionsinthissectionshallapplytotheGrantee,itsofficers,agentsandemployees.The Granteeshallincorporatetheprovisionsinthissectioninallsubcontractsandallother agreements executed by Granteein connection with theperformance ofthe Agreement. Nothing inthis Agreement shallimpairany independent right of the County toconductanaudit or investigate activities.Theprovisions of thissectionarenotintendednorshall they be construedto impose any liability onthe County byGranteeorthirdparties. Xni.OFFICE OF THE MIAMI-DADE INSPECTOR GENERAL.Pursuant to Ordinance No. 97-215,the Office of the Miami-Dade County InspectorGeneral (IG)shallhavetheauthority and power to review past,presentandproposed County programs,accounts,records,contracts and transactions.The IGshall have the power toreportand/or recommend to the Board of County Commissioners whether aparticularproject,program,agreementortransactionisorwas necessaryand,if deemednecessary,whether themethodusedfor implementing theprojector programisorwas efficient bothfinanciallyand operationally.Monitoring of anexistingproject or program mayincludereportingwhethertheprojectisontime,withinbudgetandin conformity with plans,specifications,andapplicablelaw.TheIGshallhavethepowerto analyzetheneedfor,andreasonablenessof,proposedchangeorders. TheIGshall,onarandombasis,performauditsonall County contracts throughout theduration of saidcontracts hereinafter "mandatory randomaudits").The cost of mandatory randomaudits shall be incorporated intotheagreement award and shall beone quarter of onepercent of the agreementaward.Upon ten (10)days written noticetoGranteefromIG,theGranteeshallmake allrequestedrecordsanddocuments available totheIGforinspectionandcopying. TheIGshallhavethe power toretainandcoordinatetheservices of anIPSIG who maybe engagedtoperformsaidmandatoryrandomaudits,aswellasaudit,investigate,monitor, oversee,inspectandreviewthe operations,activitiesandperformanceandprocurementprocess including but not limited toprojectdesign,establishment ofbidspecifications;bidsubmittals, activities,of Grantee,its officers,agentsand employees,lobbyists,county staff and elected officialsinordertoensure compliance with agreement specifications anddetectcorruptionand fraud.Thismandatoryrandomauditisseparateanddistinctfromanyotheraudit by the County of anyauditperformedunderSectionXI"IndependentPrivate-SectorInspector General". Theprovisionsinthissectionshallapplytothe Grantee,itsofficers,agentsandemployees.The Granteeshallincorporatetheprovisionsinthissectioninallsubcontractsandallother agreementsexecutedbyGranteeinconnectionwiththeperformance of theAgreement. Nothing inthis Agreement shallimpairanyindependentright of the County toconductauditor investigate activities.The provisions of thissectionarenotintendednorshall they beconstrued toimposeanyliabilityontheCountybyGranteeorthird parties. XIV.NOTICES.Itis understood andagreed between the partiesthat written notice addressedtothe Office andmailed(certified/returnreceipt)ordeliveredtotheaddressappearing onpageone(1)ofthe Agreement andwrittennoticeaddressedtotheGranteeandmailed (certified/returnreceipt)of delivered totheaddressappearingonpage one(l)of this Agreement shall constitute sufficient noticetoeitherparty. XV.AUTONOMY.Both partiesagreethatthis Agreement recognizes the autonomy of andstipulatesorimpliesnoaffiliation between thecontracting parties.Itisexpresslyunderstood andintendedthattheGranteeisonlyarecipient of fundingsupportandisnotanagentor instrumentality of theCounty.Furthermore,theGrantee'sagentsand employees arenotagents or employees of theCounty. XVI.TERMINATION If theGranteeshallfailtofulfillina timely andpropermannerits obligationsunderthis Agreement,orshallviolateany of thecovenants,agreements,stipulations, representations orwarrantiesherein,the County shallhavetherightto terminate this Agreement by giving atleastten (10)daysprior written noticetotheGrantee(Rules,11 E). XVII.MISCELLANEOUS. A.Governing Law.The Granteeagreesto comply with allapplicable federal,state and county laws,rulesandregulations which areincorporatedbyreferenceorfullyset forth. This Agreement is made in the State of Floridaandshallbe governed accordingtothelaws of theState of Florida.Proper venue forthis Agreement shallbe Miami-Dade County,Florida. B.Modifications.Any alterations,variations,modifications,extensions or waivers of provisions of this Agreement including butnot limited to amount payableand effective term shall only be valid when they have been reducedtowriting,duly approved andsigned by both partiesandattachedtotheoriginal of this Agreement. Mirman,D.P.A.The Grantee's representative for this agreement is F.Fringe Benefits.In the event thata percentage of actualsalary will be utilized as the method toclaim eligible fringe benefit costspursuanttoSection 10 (D)(2)(c)oftheRules, such percentage shallnot exceed %.Thispercentageshallbe demonstrated tothe reasonable satisfaction ofthe County.Documentation in support of thispercentageshallbe submitted tothe Office forapproval contemporaneously with the execution ofthis Agreement. G.Subcontracts.Any subcontracts written under the provisions of theOrdinance (Sections 5(b)(5)and8(c))requireprior review and written approval of the County.
