A RESOLUTION OF THE MAYOR AND CITY COMMISSION
OF THE CITY OF SOUTH MIAMI,FLORIDA,RELATING TO
ETHICS;URGING LOCAL BUSINESSES,CHAMBER SOUTH
AND THE RED SUNSET MERCHANTS ASSOCIATION TO
REQUIRE THAT ALL OF ITS MEMBERS ADOPT THE MODEL
CODE OF BUSINESS ETHICS AND REQUIRING ALL
PERSONS TO ADOPT THE CODE OF ETHICS PRIOR TO OR
AT THE TIME OF ENTERING INTO CONTRACTS WITH THE
CITY;PROVIDING AN EFFECTIVE DATE.
WHEREAS,the Greater Miami Chamber of Commerce ("GMCC")has
adopted a Model Code of Business Ethics;and,
WHEREAS,the Model Code,which is annexed to this resolution,isa
statement of principals to guide decisions and actions based on respect forthe
importance of ethnical business standards inthe community;and,
WHEREAS,theGMCC encourages its members to adopt the principles
and practices outlined inthe Model Code;and,
WHEREAS,the Mayor and Commission believe that each person who does
business with the City of South Miami should be required to adopt andto adhere
to a Code of Business Ethics.
NOW THEREFORE BE IT RESOLVED BY THE MAYOR AND CITY
COMMISSION OF THE CITY OF SOUTH MIAMI,FLORIDA;
Section 1.Each person orentitythatseekstodo business withtheCity
of South Miami shall adopt aCode of Business Ethics ("Code")substantially
similar in form and content as the GMCC model Code of Business Ethics,and
submit the Code totheCity Manager prior to,oratthe time of,execution of any
contract between the contractor and the City.
Section 2.This resolution shalltake effect immediately upon approval.

ANALYSIS
The attached resolution was placed onthe Agenda atthe request of Mayor Robaina and
Commissioner Russell.
TheCity of SouthMiamihastakenaleadershiproleinthearea of ethicsin government.An
importantnewinitiativespearheadedbytheGreaterMiamiChamber of Commerce istorequest
that businesses in general,and specifically thosedoing business with governments,agree to
abidebya Model Code of Business Ethics.
This resolution calls for local businesses and members of Chamber South and the Red Sunset
Merchants Association to adopt theCode.Italso requires any company doing business with the
City of South Miami toadopttheCode.
RECOMMENDATION
Approval is recommended.

Commissioners requiring all businesses or persons seeking todo business withthe County to adopt a code of
business ethics.
I am writing to ask that your community consider passing a similar resolution.I serve as Co-Chair of"Doing
Business With Government Committee"of the Greater Miami Chamber of Commerce.This committee is
seekingtohave every community inMiami-Dade County endorse this effort.
Your local Chamber of Commerce isvery familiar withthis program.The Code has been endorsed bythe
Miami-Dade County Coalition of Chambers of Commerce.Feel free to contact meorthe leadership of your
localchamberinordertoansweranyquestionsyou may have.
TheGreaterMiamiChamber of Commerceisattemptingto expand theuse of theCodetoallbusinesseswhich
do business in Miami-Dade County.I believe that aneffectivewaytodothisis for all local governments to
require businesses toadopttheCodeinordertodo government business.

STATEMENT OF PURPOSE
TheGreater Miami ChamberofCommerce C'GMCC")seeks tocreateandsustainanethical business
climate for its members andthecommunitybyadoptingaCodeofBusiness Ethics.TheGMCC
encourages its members to incorporate the principles and practices outlined here in their individual
codesofethicswhich will guidetheir relationships with customers,clientsand suppliers.This Model
Codecanandshouldbe prominently displayed at all business locations andmaybe incorporated into
marketing materials.The GMCC believes that its members should use this Code asa model for the
development oftheirorganizations'businesscodesofethics.
This Model Codeisa statement of principles to help guide decisions and actions based on respect for the
importance of ethical business standards in the community.The GMCC believes the adoption of a meaningful code
of ethics isthe responsibility ofeverybusinessand professional organization.
Compliance with Government Rules &Regulations
We will properly maintain all records andpost all licensesand certificates
in prominent placeseasilyseenbyour employees andcustomers;
In dealing withgovernmentagenciesand employees,we will conduct businessin
accordance withallapplicablerules and regulations andin the open;
We will report contract irregularities,another improper or unlawful business
practices tothe Ethics Commission,the Office of Inspector General or
appropriatelaw enforcement authorities.
Recruitment.Selection &Compensation of Vendors and Suppliers
We will avoid conflicts of interest and disclose such conflicts when identified;
Giftswhichcompromisethe integrity ofa business transactionare unacceptable;
we will notkickbackany portion ofacontractpaymenttoemployeesoftheother
contracting party or accept such a kickback.
Business Accounting
Allour financial transactions will beproperlyand fairly recorded in appropriate
books of account,andthere will be no"off the books"transactions or secret
accounts.
Promotion and Sales of Products and Services
Our products will comply with all applicable safetyand quality standards;
We will promote and advertise our business and its products or services in a
manner which isnot misleading and doesnot falsely disparage our competitors;
Doing Business with the Government
We will conduct business with government agencies and employees ina manner
whichavoids even the appearance ofimpropriety.Effortstocurry political
favoritism are unacceptable;
Our bids will be competitive,appropriate to the bid documents andarrivedat
independently;
Any challenges to contracts awarded will have a substantive basis and not be
pursued merely because we are the unsuccessful bidder;
We will,to the best ofourability,perform government contracts awarded at the
price and under the terms provided forin the contract.We willnot submit inflated
invoices for goods provided or services performed under such contracts,and
claims will be made onlyfor work actually performed.We willabide by all
contracting and subcontracting regulations.
We willnot,directly orindirectly,offer to give a bribe or otherwise channel
kickbacks from contracts awarded,to government officials,theirfamily members
or business associates.
We willnot seek or expect preferential treatment onbids based onour
participationinpolitical campaigns.
Public Life and Political Campaigns
We encourage all employees to participate in community life,public service and
the political process;
We encourage all employees torecruit,support and elect ethicalandqualified
publicofficialsand engage them in dialogue and debate about business,and
community issues;
Our contributions topoliticalparties,committees or individuals willonly be made
in accordance with applicable lawandwill comply with all requirements forpublic
disclosure.All contributions made on behalf of the business must be reported to
senior company management;
We willnot contribute to the campaigns of persons who are convicted felonsor
those who do not sign the Fair Campaign Practices Ordinance.
We willnot knowingly disseminate false campaign information or support those
who do.
