RESOLUTION NO.:064-15-14403 A Resolution authorizing the City Manager to issue a notice to proceed to C.H.Perez &Associates Consulting Engineers,Inc.tocomplete engineering documents for SW 42nd Street Roadway &Drainage Improvements. WHEREAS,the Mayor and City Commission wishto provide roadway and drainage improvements forSW42 Street,between SW 65th Avenue fora half block within city boundaries.The road is in very poor condition and in need of drainage and asphaltic improvements.The project also includes engineering recommendations for sidewalk repair along SW43 Street.A section of the sidewalk isin proximity to an existing driveway that isheavily uplifting due to an oak tree,and WHEREAS,the City desires to hire a consultant to complete professional engineering documents for the City;and WHEREAS,in accordance with and pursuant to Florida Statute 287.055 for CCNA,the City Manager has negotiated an agreement with C.H.Perez &Associates Consulting Engineers,Inc.who was one of five(5) consultants previously selected to perform professional services for the City and who was next in the rotation for selection. WHEREAS,the City Manager has negotiated the price for the services to be render which does not exceed the sum of $19,434.36 NOW,THEREFORE,BE IT RESOLVED BYTHE MAYOR AND CITY COMMISSION OFTHECITYOF SOUTH MIAMI,FLORIDA THAT: Section 1:The City Manager is authorized to issue a notice to proceed to C.H.Perez &Associates Consulting Engineers,Inc.,foran amount not to exceed $19,434.36 in accordance with the formof Professional Service Agreement that was approved by the City Commission by resolution 151-13-13-969 to complete engineering documents forSW 42nd Street Roadway &Drainage Improvements.Funding for this project willbe charged $19,434.36 to Stormwater DrainTrustFund account number 111-1730-541-6490,whichhasa balance of $155,675 before this request wasmade. Section 2:Severability.If any section clause,sentence,or phrase of this resolution is for any reason held invalid or unconstitutional bya court of competent jurisdiction,the holding shall not affect the validity of the remaining portions of this resolution. The estimated staff hours and fee proposal are attached asExhibitA.The estimated total feeis $19,434.36.The tasks below are included to identify the scope of work required to provide roadway analysis and plans preparations services for the task work order. Surveying The consultant willcollect topographic survey data to create base maps to be used for the designof improvements including one (1)benchrunaswellascollectingutilityinformationfrommarkingsleftby811to delineate existingutility locations. General Tasks The consultant shallreviewand respond to comments madefrom City PMfor three (3)phase submittals (60/90/100). The consultant willnotperformpublicinvolvementservicesnor will prepareaspecificationspackagefortheproject. Field Reviews Theconsultantshallconduct field reviews togather existing utility information andtopreparethedesignplansforthe contract Roadway Analysis The consultant willnot prepare a pavement designpackage.1'millingwith1"resurfacing willbe assumed.The consultant will prepare basefilesforroadwayimprovementsand will performtrafficcontrolanalysisfortheplans preparation.The consultant willincludeexistingutilityinformation that is gathered bysurvey group aswellasfrom markingleftby811infield.No coordination withutilitycompaniesisexpected. Roadway Plans /Utilities The consultant shall prepare a construction plans set that include:akey sheet atypicalsection sheet,ageneralnotes sheet,plans sheets,asidewalkdetailat tree locationsheet,drainage structures sheets (2)includingaFrenchdrain system,aswellasTrafficControlPlan (TCP)notes.The TCP notes willfollow FDOT indexes to direct the contractor on whichindextouse.No TCP plan sheets will be prepared aspartofthiseffort. Existing pavement markings affected by milling wiltbedepictedtobereplacedin the roadwayplans.NoPavement Marking Sheets willbe prepared. Drainage Analysis The consultant shall use Geotechnical information to design one (1)French drainsystemto alleviate flooding atthe corner ofSW 42nd Street andSW65thAvenue. E.The Planping Summary (unless advised otherwise)shall consistofa vicinity plan andblow upoftheSite(if applicable)showingProjeaorientation,andabriefsummary of all pertinent planning criteriausedfortheProject F.TheSchematicDesignStudies(unlessadvisedotherwise)shall consistof all plans, elevations,seaions,etc.asrequiredtoshow the scaleand relationship ofthepartsand the design conceptofthewhole.Asimpleperspectivesketch,rendering,model or photograph thereof maybe provided to further showthe design concept G.The CONSULTANT shall presenttheSchematic design studiesto the appropriate commission,committee,agencyor board(hereinaftercolleaivelyreferred to as "Boards') fortheir approval whenthe projea requires such approval.The Consultant shall make copiesnecessaryforpresentation to the Boardatnoadditional cost toCity. H.TheCONSULTANT shall presentthe schematic design studiesto all the appropriate utility companies(suchas FPL,Southern Bell,DynamicCable,MDWASA,etc)foranyconflia with their utilities. J.The CONSULTANT shall submit and present two (2)copies of all documents required under this Phase,without additional charge,for approval bythe CITY and it shall not proceedwiththenext Phase until direaedbytheCITYin writing. 2.2.2 Phase II -Studyand Design Development A.From the approved Schematic Design documents,the CONSULTANT shall prepare Design Development Documents,comprising the drawings,outline specifications and otherdocuments to fixanddescribethesizeandcharaaeroftheentireProjeaastoconstruaionand finish materials and other items incidental theretoasmaybe appropriate and applicable. B.The Design DevelopmentDocuments shall comprisethe Proposed ProjeaTimetable (updated),Outline Specifications,Updated Statementof Probable ConstruaionCost,and Design Development Drawings,etct as required to clearly delineate theProjectIfthe Updated Statement ofProbable Construaion Cost exceeds the allocatedfunds,feasible cost or scope reduction options shall beincluded. CTheCONSULTANT shall submitandpresenttwo (2)setsof all documents required underthis Phase,without additional charge,for approval bytheCITYandnotproceedwith the next Phase until direaedbytheCITYin writing. D.The CONSULTANT shall at all times monitor the Probable Construaion Costs to make certaintheyremainwithinthetotal allocated budgetANoticeto Proceed to Phase III will not be issued If the latest statement of Probable Construaion Cost exceeds the total allocated funds. 2.2.3 Phase 111 -Final Design /Construaion Documents Development: A,Fromtheapproved Design DevelopmentDocuments,the CONSULTANT shall prepare Final ConstruaionDocumentssettingforthin detail therequirementsfortheconstructionof the Projea including the Proposal (Bid)Form andother necessary information forbidders, Conditions ofthe Contract,andComplete Drawings and Specifications.The CONSULTANT shall useConstruaion Specifications Institute (CSI)Standards andtheCityofSouth Miami Standard formsfor the preparation of the proposal (bid)forms,Instruaionsto Bidders, conditions of Cbntraa and Specifications.TheCONSULTANT shall review all existing City Specifications,forcompletenesspriortouseand shall supply all needed additional specifications.The final draft of the construaion documents shall meet the requirements of and beapprovedby the CityAttorney, B.The Construaion Documents shall be prepared inamannerthat will assure clarity ofline work,notes,and dimensions when the documents are reduced to 50%of their size.All drawings shall beon 24"x36"paper ("D"size),onthe CITY's standard sheetformatunless Page 4of32 Professional Service AGREEMENT Tpepe©l2-31-12 (Revised SK4-3-13,GM 6-18-13) approvedotherwise. C.AH constructiondocuments shall besubmittedinboth "hard copy"andelectronicmediaina mutuallyagreedupon elearonic format,but generally as follows: 1.Non-drawingsubmittalsinMicrosoftOffice Word format. 2.Drawingsin AutoCAD format 3.GIS files should be in ArcView format Version 3.2. D.When the development of the drawings hasprogressed to atleast50%completioninPhase III,the CONSULTANT shall submit two (2)copies to the CITYforapproval,without additional charge,alongwithupdatedoutlinespecifications.The CONSULTANT shallalso submitatthis time anupdated Statement of Probable Construaion cost asindicatedby time faaor,changesinrequirements,orgeneral market conditionsandanupdated Projea Schedule. EThe CONSULTANT shall notproceed with thefurtherdevelopment until approval of the documentsis received fromthe CITY in writing.The CONSULTANT shall make all changes todocumentsrequiredby the CITYbeforeproceedingfurther.Asetof the revised documents shall bereturnedtotheCITYafter incorporating all ofthe changes,if any. F.ANotice to ProceedforthecompletionofPhase III willnotbeissuedif the latest Statement of Probable Construaion Cost exceeds the total allocatedfunds,unless the CITY increases the total allocated funds ortheCONSULTANTandtheCITY agrees onmethodsofcost reduaions sufficient to enable construaion within theprojea budget. G.Upon 100%completionofthe Construaion Documents,the CONSULTANT shall submitto theCITYa final,updated Statement of Probable ConstruaionCost along withtwo(2)copies each ofthe final draftof all drawings,specifications,reports,programs,etc,without additional charge,fora final reviewandcommentsor approvals. H.TheCONSULTANT shall make all the necessary presentations tothe appropriate CITY Boards which wouldbe normally required ofanyconstruaionprojea (such as Environmental Review Board,Historical Preservation Board etc)forthe final approval. I TheCONSULTANT,atnoextracosttotheCITY,shall make all required changes or additions and resolve all questions resulting from Board review(see paragraph H)ifthe changes or additions donotalterthescopeofthe projea as determinedunder paragraph 2.2.1 A.The 100%complete final Construaion Documents shall be returned tothe CITY for final approval. Upon final approval bythe CITY,the CONSULTANT shall furnish totheCITY drawings and specifications,without additional charge totheCITYfor bidding purposes,unlessinstruaed otherwise. J.The CONSULTANT shall arrange for "dry runs"and/or make final submissions to appropriate authorities (regulatory agencies to include and not limited to City,County,State or Federal)as necessary,to ascertain thatthe Construaion Documents meetthe necessary requirements to obtain all the necessary permits for construaion.TheCONSULTANT shall respond to all technical questionsfrom regulatory agencies.TheCONSULTANT shall modify,atno additional costtoCITY,inorderto acquire the necessary permits. Page 5 of 32 Professional Service AGREEMENT Tpepe©!2-31-12 (Revised SK 4-3-13,GM 6-18-13) 2.2.4 Phase IV ~Bidding and Negotiation Phase: A.Upon obtaining all necessary approvals ofthe Construaion Documents,and approval by the CITYof the latest Statement of Probable Construaion Cost,the CONSULTANT shall furnish the drawings and specifications as indicated above for bidding and assist theCITYin obtaining bidsas well as awarding and preparing construaion contracts.The CONSULTANT shall attend all pre-bid conferences.TheCONSULTANT shall bepresent during the bid opening and aspartofits assistance totheCITY will tally,evaluate and issue a recommendation totheCITYafter verifying bond,insurance documents,questionnaire andreferencesubmittedby the constructor. B.TheCONSULTANT shall issue Addenda totheConstruaionDocumentsthroughthe CITYas appropriate to clarify,correa or change Bid Documents. C.If Pre-Qualification of bidders is required asset forth intheRequestfor Qualification,the CONSULTANT shall assist Cityin developing qualification criteria,review qualifications of prospectivebidders,and recommend acceptanceor rejeaion of the prospectivebidders. D.Ifthelowest responsible Base Bid received exceedstheTotal Allocated Funds theCITY may: 1.Approvethe increase inProjeaCostand award aconstructioncontraaor, 2.rejea all bidsandrebidtheProjeawithina reasonable timewithnochangeinthe Project,or 3.Direa the CONSULTANT to revise the Projeascope or quality,or both,as approvedby the CITYand nebid the Project or 4.Suspendor abandon the Projea,or 5.Exerciseall optionsundertheCityCharterandState Law. NOTE:Under,item(2)and (3)above,the CONSULTANT shall,without additional compensation, assisttheCITYin obtaining re-bids,and awarding the re-bid oftheprojectUnderitem(3)above, the CONSULTANT shall,without additional compensation,modify the ConstructionDocuments asnecessary to bring the Probable Construaion Cost within the TotalAllocated Funds when the lowest responsiblebidisover 15%of the CONSULTANT estimate.AH construction contracts mustbe approved bytheCityCommissionaftertheCity awards the contraa forcommission E.Forthepurposeofpayment to theCONSULTANT,the Bidding Phase willterminateand the services of the CONSULTANT will beconsideredcompleteupon signing of an AGREEMENTwitha Contraaor.Rejection of bidsbythe CITY does not constitute cancellation of the project 2.2.5 Phase V -General Administration ofthe Construaion Contract: A.The Construaion Phase willbeginwiththeCityCommissionapprovaloftheaward of the Construction Contraa andwillendwhen the Contraaor's final Payment Certificateis approvedand paid by the CITY. D.The CONSULTANT shallat all timeshaveaccess to the projea wherever itisin preparation or progress. EThe CONSULTANT shall visitthesiteatleastweeklyandat all key construaion events to ascertain the progressofthe Projea andto determine ingeneralif the WORK is proceedinginaccordancewith the Contraa Documents.On the basisofon-site observations,the CONSULTANT willusereasonableand customary care to guard the CITYagainstdefectsanddeficienciesin the WORK.The CONSULTANT mayberequired toprovidecontinuous daily on-siteobservations to check the qualityorquantityofthe .WORK assetforthinthis AGREEMENT and defined by the Scope of WORK issuedfor the individual project Onthebasis of the on-site observations,the CONSULTANT will advise the CITYas to the progressofandanyobserveddefectsanddeficienciesinthe WORK immediatelyinwriting. F.The CONSULTANT shall furnish the CITYwithawritten report of all observations of the WORK madebyhimduringeachvisitto the WORK.He shall alsonote the general status andprogress of the WORK,and shall submitsameinatimelymanner.The CONSULTANT shall ascertain at feast monthlythat the Contraaor is making timely, accurate,and complete notationsonrecord drawings. G.Based onobservationsat the siteandonthe Contraaor's Payment Certificate,the CONSULTANT shall determine the amount due the Contraaor on account and he shall recommend approval of the Certificateinsuchamounts.The recommendation of approval ofaPaymentCertificate shall constitutearepresentationbythe CONSULTANT tothe CITYthat,the CONSULTANT certifies to the CITY that the WORK hasprogressedto thepoint indicated,andthe quality of the WORK isin accordance withthe Contraa Documents subjea to: 1.An evaluation ofthe WORK for conformance withthe Contraa Documentsupon substantialcompletion. 2.The resultsofanysubsequent tests requiredbythe Contraa Documents. 3.Minor deviations fromthe Contraa Documentscorrectablepriortocompletionand acceptanceof the project H.The CONSULTANT shall havean affirmative duty to recommend rejectionofWORK, which does not conform to the Contraa Documents.Whenever,inits reasonable opinion,the CONSULTANT considersitnecessaryor advisable to insurecompliancewith the Contraa Documents,itwillhaveauthority(with the City'sprior approval)to recommend special inspeaionsortesting of any WORK deemed not tobein accordance with the Contraa Documents whether or not such WORK has been fabricated and deliveredtothe Project,or installed andcompleted. 1.The CONSULTANT shall promptlyreviewandapproveshop drawings,samples,and other submissions of the Contraaor forconformancewith the design concept ofthe Projea and forcompliancewith the Contract Documents.Changes or substitutionsto the Contraa Documents shall not be authorized without concurrence with the CITY. K.The CONSULTANT shall examine theWORK upon receipt ofthe Contractor's Certificate of Substantial CompletionoftheProjectA Punch Listofanydefectsand discrepancies in the WORK requiredtobecorrectedbythe Contraaor shall be prepared by the CONSULTANTinconjunaionwith representatives oftheCITYand satisfaaoryperformanceobtainedbefore the CONSULTANT recommends execution of Certificate of Final Acceptance and final payment to theContraaor.He shall obtain fromthe Contraaor all warranties,guarantees,operating and maintenance manuals for equipment,releases of lien andsuch other documentsandcertificatesasmaybe requiredby applicable codes,laws,policy regulations,the specifications andthe other Contraa Documents and deliver them to the CITY. LThe CONSULTANT shall provide assistance in obtaining Contraaor's compliance withthe Contraa Documents relative to,I)initial instruction ofCITY personnel intheoperation and maintenance ofany equipment or system,2)initial start-up and testing,adjusting and balancing ofequipment and systems,and,3)final clean-up oftheproject M.TheCONSULTANT shall provide thecontractorwiththreesetsof drawings labeled "Construaion Plans"for permit from Public Works. 2.2.6 Phase VI -Post Construction Administration A.TheCONSULTANT shall prepare and provide theCITYwithawritten manual,tobeused bythe CITY,outlining the implementation plan of aB the required maintenance necessary to keeptheproposedWORK operational inasafeandeffectivemanner. A Special analysis ofthe CITY'S needs,and special programming requirements for aprojea. B.Financial feasibility,lifecyclecostingorother special studies. C.Planning surveys,site evaluations,or comparative studiesofprospective sites. D.Design services relative tofuture facilities,systemsand equipment,whicharenotintendedto be construaed aspart of a specific Projea. E.Services to investigateexistingconditions (excluding utilities)or facilities ortomakemeasured drawings thereof,ortoverifythe accuracy of drawings orother information furnished by the CITY. F.Professional detailedEstimates of Construction Cost consisting of quantitysurveys Itemizing allmaterial,equipment andlaborrequiredfora Project G.Consultationconcerning replacement ofany WORK damagedbyfireorothercauseduring construaion,and furnishing professional services of thetypesetforthin Basic Services as mayberequired relative to replacement of such WORK,providingthecauseisfoundby the CITY tobe other thanbyfaultofthe CONSULTANT. H.Professional servicesmadenecessarybythedefault of the Contraaor orbymajordefectsin the WORK undertheConstructionContract,providing thecauseIs found by the CITYto be other thanby fault of the CONSULTANT. I.Making majorrevisions changing the Scopeofa project to drawingsand specifications when suchrevisionsareinconsistentwithwrittenapprovalsor instruaion previouslygivenbythe CITYandareduetocausesbeyondthecontrolof the CONSULTANT. (Major revisionsaredefinedas those changing the Scopeandarrangementofspacesand/or scheme or anyportion). J.Theservicesof one or more full-timeProjeaRepresentatives. K.Preparing to serveorservingasanexpertwitnessin conneaion withany arbitration proceeding or legal proceeding inconneaionwithaProject L Professional servicesrequiredafter approval by the CITYor the Contraaor's Requisitionfor Final Payment,except as otherwise requiredunder Basic Services. A reasonable extension oftime will be granted in theeventthereisa delay onthe part oftheCITY in fulfilling its part ofthe AGREEMENT,change of scope ofworkor should any other events beyond the controloftheCONSULTANTrender performance ofhisduties impossible. 4.0 Basis of Compensation The CONSULTANT agrees to negotiatea "not toexceed"fee or afixedsumfeeforeachofthe WORK assigned tohim based ontheScopeof such WORK.Upon AGREEMENT ofafee,theCITY will issuea written authorization to proceed to the CONSULTANT.In case of emergency,the CITYreservesthe righttoissue oral authorization totheCONSULTANT,withthe understanding thatwritten confirmation . will follow immediately thereafteras possible.For reproduaionof plans and specifications,beyondthe requirements as identified underthis AGREEMENT theCITY will paythe direa costs. Thefeesfor Professional Services foreachProjea shall bedeterminedbyoneofthe following methodsor a combination thereof,asmutuallyagreeduponbytheCITYand the CONSULTANT. Therequestforpayment shall includethe following information: ProjeaNameand CONSULTANTS Name. Total Contraa amount (CONSULTANTS lumpsum negotiated),if applicable. Percent of work completed. Amount earned. Amount previously billed. Due this invoice. Balance remaining. Summaryof work donethis billing period. Invoice number and date CONSULTANTS W-9 WORK refleaing salaries andhourlyrates. 6.0Right of Decisions Allservices shall beperformedbythe CONSULTANT to the satisfaction of the CITTs representative,who shall decide all questions,difficulties and disputes ofwhatever nature which may arise underorbyreasonof this AGREEMENT,the prosecution and fulfillment ofthe services,and the character,quality,amountand value andthe representative's decisions upon all claims,questions,and disputes shall be final,conclusive and binding uponthe parties unless such determination is clearly arbitrary or unreasonable,intheeventthatthe CONSULTANT doesnotconcurin the judgmentoftherepresentativeastoanydecisionsmadebyhim,he shall presenthiswrittenobjeaions to the City Manager and shall abide bythe decision ofthe Chy Manager. Nothinginthisseaion shall meantodenytherightto arbitrate,byeither party,in accordance with the appropriateArbitrationRules of the AmericanArbitrationAssociation. When each individual seaion of the WORK underthisAGREEMENTis complete all of theabove applicable data shall be delivered to the CITY. 8.0 Court Appearances.Conferences and Hearings Nothinginthis contraa shall obligate theCONSULTANTtoprepareforor appear in litigation onbehalfof the CITYwithout additional compensation except foranydispute arising out ofthis contraa unlessthe CONSULTANT oritsemployeeissubpoenaedtotestifyasafaawitness.Theamountofsuch compensationfor expert preparation andtestimonyorconsultation shall bemutually agreed uponandbe subjeatoa supplemental AGREEMENT approved bytheCity Commissioners anduponreceiptofwritten authorization fromtheCITYpriorto performance ofacourt appearance and conference.
