RESOLUTION NO.:057-15-14396 A Resolution authorizing the City Manager to issue a notice to proceed to T.Y.Lin International to complete engineering documentsforSW 78th Street Roadway &Drainage Improvements. WHEREAS,the Mayor and City Commission wish to provide roadway and drainage improvements to SW 78th Street,between SW 63rd Avenue,West towards SW 63rd Place (City of South Miami Dog Park),and WHEREAS,the City desires to hire a consultant to complete professional engineering documents for the City;and WHEREAS,in accordance with and pursuant toFlorida Statute 287.055 for CCNA,the City Manager has negotiated an agreement with T.Y.Lin International who was one of five(5)consultants previously selected to perform professional services for the City and who was next in the rotation for selection. I.&The CITY agrees to issue all directives and approval in writing. 2.0 Professional Services 2.1 General Services The professional services tobe provided bythe consultant may beoneor more ofthe following, and include but not limited to: A.Roadway Engineering to include streets,sidewalk,curb,gutter,drainage,associated traffic control devices,stripping,lighting,irrigation,speed reduction devices and residential landscaping. B.DrainageDesign includes the necessary analysis needed to implement proposed drainage improvements,preparationof paving anddrainageplanfor municipal building and facilities. C.Civil Engineering,to include Distribution Systems Improvement /Analysis and design and Sanitary Sewer System Evaluation and design. D.Environmental Engineering,including,site investigation and design needed to prepare remediation plans to mitigate underground storage tanks,hazardouswaste materials and asbestos materials. E.Traffic Engineering Services wilt include dailyvolumecounts,data analysis,preparation of conceptual,improvements plan,present reports andrecommendationstostakeholders and preparation of final traffic engineering report F.Architectural Services to provide drawingsand specifications fornewconstructionsas well as additions and renovations:attend meetings yjdtirQ^ Comlffislsi^on AutoCAD latest version andcopiesof reproduciblehardcopyanddisketteof plans in the requested format. G.Landscape Architecture including providing drawings and specifications for landscape projects;site master planning,analysis anddesign,urbandesignplans/concept diagrams, openspace planning,analysis and design;community planning,analysis and design;natural resource planning analysis and design;Parks design;renderings/modeling;provide plans developed on AutoCAD latest version andcopiesof reproducible hardcopyanddiskette of plans in the requestedformat. H.Registered Surveying and Mapping Other incidental services associated to the above items. Professional Service AGREEMENT Tpepe@12-31-12(RevisedSK 4-3-13,GM 6-8-13) 2.2Design&Construction -BasicServices The Basic Services,for design andconstruction,consistofsix(6)phasesdescribedin Paragraph 2.2,1 through 2.2.6.Thescope outlined belowis applicable in its entirety to projects for which completed Basic Servicesareauthorized. Upon authorization toproceedfromtheCITY,the CONSULTANT agrees toprovidecomplete professional services for any portionor all ofthesix Phases outlined below applicable toits profession.TheCONSULTANT agrees to co-ordinate itseffortwiththatofanyother providers of professional services toassurea coordinated andcompleteWORK.In a multr-professionally consulted project,the lead CONSULTANT,as designated bytheCITY,shall preparethe final bid package including bid documents and specifications,which shall be prepared by,and bethe responsibility of the respective disciplines. 2.2.1 Phase^PreliminaryandSchematic Design: A.The CONSULTANT shall confer withrepresentatives of the CITYand the enduser to determine the full scopeoftheProjectthat will meetthe program requirements,and shall advise the CITYif,in the CONSULTANTS opinion,the allocated fundsareadequate to accomplish the program requirements,as defined byan individual purchase orderforthe specific work tobe performed. B.The CONSULTANT shall useproperandadequate design control to assuretheCITYthat the program requirements willbemet. C.The CONSULTANT shall prepare a Design Conceptand Schematic Report,comprising of the ProjectTimetable(Master Schedule),Planning Summary (unless advisedotherwise), Schematic Design Studies (unless advised otherwise)asdefinedbelow,andtheStatement of Probable Construction Cost D.The Proposed Project Timetable shall consist of ascheduleshowing the proposed completiondateoneachPhase of the Projectthrough design,bidding,construction,and proposed date of completion. E.The Planning Summary (unless advised otherwise)shall consistofa vicinity plan andblow up of the Site(if applicable)showingProjectorientation,andabriefsummaryof all pertinent planning criteriausedfortheProject. F.The Schematic Design Studies(unlessadvisedotherwise)shall consistof all plans, elevations,sections,etc asrequiredtoshowthe scale and relationship ofthe parts andthe design concept ofthe whole.Asimpleperspectivesketch,rendering,modelorphotograph thereof maybeprovided to further show the designconcept. G.The CONSULTANT shall present the Schematic designstudies to the appropriate commission,committee,agencyorboard (hereinafter collectivelyreferred to as "Boards") fortheir approval whentheprojectrequiressuch approval.TheConsultant shall make copiesnecessaryforpresentationtotheBoardatno additional cost to City. H.The CONSULTANT shall presenttheschematic design studies to all theappropriate utility companies(suchas FPL,Southern Bell,Dynamic Cable,MDWASA,etc.)forany conflict with their utilities. Professional Service AGREEMENT Tpepe@12-3M2(Revised SK 4-3-13,GM 6-8-13) I.The Statement of Probable Construction Cost shall include estimated costofthe Project including fixed equipment,professional fees,contingencies (if any),escalation factors adjusted tothe estimated bid date,movable estimate (if any),and utility service extensions (if applicable).The CONSULTANTS opinions of probable Total Project Costsand Construction Costaretobe made onthe basis ofthe CONSULTANTS experience and qualifications and represent CONSULTANTS best judgment as an experienced and qualified professional,familiar withthe local construction industry and prices. J.The CONSULTANT shall submit and present two (2)copies of all documents required under this Phase,without additional charge,for approval bythe CITY and it shall not proceed withthenext Phase until directed bytheCITYin writing. 2.2.2 Phase II -Studyand Design Development A.From the approved Schematic Design documents,theCONSULTANT shall prepare Design Development Documents,comprising the drawings,outline specifications andother documentstofixand describe thesizeand character oftheentire Project as to construction and finish materials and otheritems incidental theretoasmaybe appropriate and applicable. B.The Design Development Documents shall comprise the Proposed Project Timetable (updated),Outline Specifications,Updated Statementof Probable Construction Cost,and Design Development Drawings,etc.,as required to clearly delineate the Project.If the Updated Statement of Probable Construction Cost exceeds theallocatedfunds,feasible cost orscope reduction options shall beincluded. C TheCONSULTANT shall submitand present two (2)setsof all documents required under this Phase,without additional charge,for approval bytheCITYandnot proceed withthe next Phase untildirectedby the CITYin writing. D.The CONSULTANT shall at all times monitor the Probable Construction Costs to make certaintheyremainwithin the total allocated budget ANoticetoProceed to Phase III will not be issued if the latest statement of Probable Construction Cost exceeds the total allocated funds. 2.2.3 Phase III -Final Design/ConstructionDocuments Development A.From theapproved Design DevelopmentDocuments,theCONSULTANT shall prepare Final ConstructionDocumentssettingforthin detail therequirementsfortheconstruction of the Project including the Proposal (Bid)Formand other necessaryinformationfor bidders,Conditions of the Contract,andComplete Drawings and Specifications.The CONSULTANT shall useConstruction Specifications Institute (CSI)Standards and the City of South Miami Standardformsfor the preparation of the proposal (bid)forms,Instructions to Bidders,conditions of Contract and Specifications.The CONSULTANT shall review all existingCity Specifications,forcompletenessprior to useand shall supply all needed additional specifications.The final draft of the construction documents shall meet the requirements of andbeapprovedbytheCity Attorney. B.TheConstruction Documents shall bepreparedinamannerthatwillassure darity of line work,notes,and dimensions when the documents are reduced to 50%of their size.All drawings shall beon 24"x36"paper ("D"size),onthe CITTs standard sheet format, unlessapprovedotherwise. Professional Service AGREEMENT Tpepe@12-3 l-12(Revised SK4-3-13,GM6-8-13) C..Allconstruction documents shall besubmittedinboth "hard copy"andelectronicmediain amutuallyagreeduponelectronic format,but generally as follows: 1.Non-drawing submittalsinMicrosoftOffice Word format. 2.Drawingsin AutoCAD format 3.GIS files should be in ArcView format Version 3.2. D.When the development of the drawingshasprogressed to atleast50%completion in Phase III,the CONSULTANT shall submit two (2)copies to the CITY forapproval, without additionalcharge,alongwithupdated outline specifications.The CONSULTANT shall alsosubmitatthis time anupdated Statement of Probable Construction cost asindicatedbytimefactor,changesinrequirements,or general market conditions andan updated ProjectSchedule. E.The CONSULTANT shall not proceedwith the furtherdevelopment until approval ofthe documents isreceivedfrom the CITYinwriting.The CONSULTANT shall makeall changes to documents requiredbytheCITYbeforeproceedingfurther.A set of the reviseddocuments shall bereturnedto the CITYafter incorporating all of the changes,if any. F.ANotice to Proceedfor the completionof Phase 111 will not beissued if thelatest Statement of Probable Construction Cost exceeds the total allocated funds,unless the CITYincreases the totalallocatedfunds or the CONSULTANT andthe CITY agreeson methods of costreductions sufficient toenableconstructionwithintheproject budget. G.Upon 100%completion of the ConstructionDocuments,the CONSULTANT shall submit totheCITYa final,updatedStatementof Probable ConstructionCostalongwithtwo(2) copieseachof the final draftof all drawings,specifications,reports,programs,etc,without additional charge,fora final reviewand comments or approvals. H.TheCONSULTANT shall make all the necessary presentations tothe appropriate CITY Boards whichwouldbe normally required ofany construction project (such as Environmental Review Board,Historical Preservation Board etc.)forthe final approval. I.TheCONSULTANTatnoextracosttothe CITY shall make all required changes or additions and resolve all questions resulting from Board review(see paragraph H)ifthe changes or additions donotalterthescopeofthe project as determined under paragraph 2.2.1 A.The 100%complete final ConstructionDocuments shall bereturned to theCITY for final approval.Upon final approval bytheCITY,theCONSULTANT shall furnish to theCITY drawings and specifications,without additional charge totheCITYfor bidding purposes,unless instructed otherwise. J.The CONSULTANT shall arrange for"dry runs"and/ormake final submissions to appropriate authorities (regulatory agencies to include and not limited toCity,County, Stateor Federal)as necessary,to ascertain thattheConstructionDocuments meet the necessaryrequirements to obtain all the necessarypermitsforconstruction.The CONSULTANT shall respond to all technical questions from regulatory agencies.The CONSULTANT shall modify,atno additional costto CITY,inorderto acquire the necessary permits. 2.2.4 Phase IV-Bidding andNegotiation Phase: Professional Service AGREEMENT Tpepe@12-31-12(Revised SK 4-3-13,GM 6-8-13) A Upon obtaining all necessary approvals oftheConstructionDocuments,and approval by the CITY of the latest Statement of Probable Construction Cost,the CONSULTANT shall furnish the drawings and specifications as indicated abovefor bidding,and assist theCITYin obtaining bids aswellas awarding and preparing construction contracts.The CONSULTANT shall attend all pre-bid conferences.The CONSULTANT shall bepresent during the bidopeningandaspartofits assistance to the CITY will tally,evaluateandissue a recommendation to the CITYafter verifying bond,insurancedocuments,questionnaire andreferencesubmittedbytheconstructor. B.The CONSULTANT shall issueAddendatotheConstruction Documents through the CITYasappropriate to clarify,correctorchangeBidDocuments. C If Pre-Qualification of bidders is required assetforthintheRequestfor Qualification,the CONSULTANT shall assistCityin developing qualification criteria,review qualifications of prospectivebidders,andrecommend acceptance orrejectionoftheprospectivebidders. D.If the lowest responsibleBaseBidreceived exceeds the TotalAllocated Funds the CITY may: 1.Approve the increaseinProject Cost andawarda construction contractor, 2.Reject all bidsandrebidtheProjectwithina reasonable timewithno change in the Project,or 3.Directthe CONSULTANT torevisetheProjectscopeor quality,orboth,as approvedby the CITYandrebidthe Project,or 4.Suspendorabandon the Project,or 5.Exercise all optionsunder the CityCharterandState Law. NOTE:Underitem(2)and(3)above,the CONSULTANT shall,without additional compensation, assisttheCITYin obtaining re-bids,and awarding the re-bid of the projectUnderitem(3)above, the CONSULTANT shall,without additional compensation modifytheConstructionDocumentsas necessary to bringtheProbableConstructionCostwithin the TotalAllocated Funds when the lowest responsiblebidis over 15%of the CONSULTANT estimate.Allconstruction contracts ^rnus^J^^^avecL^ approval. E.For die purpose of paymenttotheCONSULTANT,the Bidding Phase will terminateand the servicesof the CONSULTANT willbeconsideredcompleteupon signing of an AGREEMENTwithaContractor.Rejection of bidsby the CITYdoesnot constitute cancellation of die project 2.25 Phase V-General Administration of the Construction Contract A.TheConstruction Phase willbeginwith the CityCommission approval of theaward of the Construction Contract andwillendwhen the Contractor's final PaymentCertificateis approvedand paid bytheCITY. B.The CONSULTANT,asthe representative oftheCITY during theConstruction Phase, shall adviseand consult withtheCITYand shall haveauthority to actonbehalfof the CITY to the extent providedinthe General Conditions andas modified inthe Supplementary Conditions of the Construction Contract Professional Service AGREEMENT Tpepe@12-3l-12(Revised SK4-3-13,GM6-8-13) C.The CONSULTANT shall attendpre-constructionmeetings. D.The CONSULTANT shall atalltimeshaveaccessto the project wherever itisin preparation or progress. E.The CONSULTANT shall visitthesiteatleastweeklyandat all keyconstructioneventsto ascertain the progressof the Projectand to determinein general if the WORK is proceedinginaccordancewiththeContractDocuments.On the basis of on-site observations,the CONSULTANT willusereasonableand customary care to guard the CITY against defects anddeficienciesin the WORK.The CONSULTANT mayberequired toprovidecontinuous daily on-siteobservations to check the qualityorquantity of the WORK assetforthinthis AGREEMENT anddefinedbytheScope of WORK issued for the individual project Onthe basis oftheon-site observations,the CONSULTANT will advisethe CITY as to the progress of andanyobserveddefectsanddeficienciesin the WORK immediately inwriting. F.The CONSULTANT shall furnish the CITY witha written report of all observations of the WORK madebyhimduringeachvisit to the WORK.Heshallalso note the generalstatus andprogress of the WORK,and shall submitsameinatimelymanner.The CONSULTANT shall ascertainatleast monthly thatthe Contractor ismakingtimely, accurate,and complete notationsonrecord drawings. G.Based on observations atthesite and onthe Contractor's Payment Certificate,the CONSULTANT shall determine the amount due the Contractor on account and he shall recommend approval ofthe Certificate insuch amounts.The recommendation of approval of a Payment Certificate shall constitutea representation by the CONSULTANT tothe CrTY that,the CONSULTANT certifies totheCITYthat the WORK has progressed to thepoint indicated,and the quality of the WORK isinaccordancewith the Contract Documents subject to: 1 An evaluation ofthe WORK for conformance withtheContractDocuments upon substantial completion. 2Theresultsofanysubsequenttests required bytheContractDocuments. 3 Minor deviations fromtheContract Documents correctable priortocompletion and acceptance of the project. H.The CONSULTANT shall havean affirmative dutytorecommendrejection of WORK, which does not conform to the Contract Documents.Whenever,inits reasonable opinion,theCONSULTANT considers it necessary or advisable toinsure compliance with theContract Documents,it will have authority (with the City's prior approval)to recommend special inspections ortesting of any WORK deemednottobein accordance with the Contract Documents whether or not such WORK has been fabricated and delivered to the Project,or installed andcompleted. I.The CONSULTANT shall promptlyreviewand approve shop drawings,samples,and other submissions oftheContractorfor conformance withthe design conceptofthe Project and for compliance withthe Contract Documents.Changes or substitutions to the Contract Documents shall not be authorized without concurrence with the CITY. Professional Service AGREEMENT Tpepe@12-3M2(Revise4 SK 4-3-13,GM6-8-13) J.The CONSULTANT shall review and recommend action on proposed Change Orders initiated by others,and initiate proposed change ordersas required byitsown observations ortherequirementoftheCITY. K.TheCONSULTANT shall examine theWORKuponreceiptoftheContractor's Certificate of Substantial Completion ofthe Project.A Punch List ofanydefectsand discrepancies in the WORK required to becorrectedbytheContractor shall be preparedbythe CONSULTANT in conjunction withrepresentatives of theCITYand satisfactoryperformanceobtainedbeforethe CONSULTANT recommends execution of Certificate of Final Acceptanceand final payment to theContractor.He shall obtain fromtheContractor all warranties,guarantees,operating and maintenance manuals for equipment,releases of lien andsuch other documentsandcertificatesasmaybe requiredby applicable codes,laws,policy regulations,the specifications andthe other Contract Documents and deliver them to the CITY. L.TheCONSULTANT shall provide assistance in obtaining Contractor's compliance withthe Contract Documents relative to,I)initial instruction ofCITY personnel inthe operation and maintenance of anyequipmentorsystem,2)initial start-upand testing,adjusting and balancing of equipment and systems,and,3)final dean-up oftheproject M.TheCONSULTANT shall provide the contractor withthreesets of drawings labeled "Construction Plans"forpermitfrom Public Works. 2.2.6 Phase VI -Post Construction Administration A.The CONSULTANT shall prepare and provide theCITYwithawritten manual,tobeused bytheCITY,oudining the implementation plan of all the required maintenance necessary to keep the proposed WORK operational inasafeandeffectivemanner. B.The CONSULTANT shall furnish tothe CITY,reproducible record (as-built)drawings updatedbasedoninformation furnished bytheContractor:such drawings shall become the propertyoftheCITY. C*tt^ expiration of anyguaranteeperiodor the sixthmonthwhicheverisearlierandreportany defective WORK inthe Project undertermsofthe guarantee/warranties forcorrection. The CONSULTANT shall assisttheCITYwith the administration of guarantee/warranties forcorrectionofdefective WORK that maybe discovered during thesaid period. The CONSULTANT shall furnish theCitywitha 3-ring binder labeled "Close-out Documents"thatwill include,asa minimum^acopyof: Certificates of completion As-Buitts (1/2 size) Test Results Daily constructioninspectionreports Progress meeting minutes Approvedshop drawings Warranty manualsas applicable Final release of liens Final payment to contractor Professional Service AGREEMENT Tpepe@12-31-l2(RevisedSK4-3-13,GM 6-8-13) 2.3 Additional Professional Services AdditionalServicesaslistedbeloware normally considered to bebeyondthescopeof the Basic Servicesfor design andconstruction,asdefinedinthis AGREEMENT,butwhichare additional serviceswhichmaybe authorized within the Scopeof Work giventhe CONSULTANT. A.Special analysis of the CITY'Sneeds,and special programming requirementsfora project. B.Financial feasibility,lifecyclecostingor other special studies. C.Planning surveys,siteevaluations,orcomparativestudies of prospective sices. D.Designservicesrelative to future facilities,systemsandequipment,whicharenotintended to be constructed aspart of aspecificProject. E.Services to investigateexistingconditions (excluding utilities)or facilities ortomakemeasured drawingsthereof,or toverifytheaccuracyof drawings or other information furnished by the CITY. F.ProfessionaldetailedEstimates of Construction Cost consisting of quantitysurveysitemizing all material,equipment andlaborrequiredforaProject G.Consultationconcerningreplacementofany WORK damaged byfireorothercauseduring construction,and furnishing professional servicesof the type set forthin Basic Services asmay berequiredrelative to replacement of such WORK,providingthecauseis found by the CITY to be other thanbyfault of the CONSULTANT. H.Professional servicesmadenecessaryby the default of the Contractor or bymajordefectsin the WORK underthe Construction Contract,providing the causeisfoundby the CITY to be other thanby fault of the CONSULTANT. I.Making major revisions changing theScopeofa project,to drawings and specifications when such revisions areinconsistentwithwritten approvals or instruction previously given bythe CITY andaredue to causesbeyond the controlof the CONSULTANT. (Majorrevisionsaredefinedas those changing theScopeandarrangementof spaces and/or scheme or anyportion). J.The servicesof one or more full-time ProjectRepresentatives. K.Preparing toserveor serving asanexpertwitnessinconnectionwithany arbitration proceedingor legal proceedinginconnectionwithaProject. L Professional servicesrequiredafter approval bytheCITYortheContractor's Requisition for final Payment,except as otherwise required under Basic Services. M.Preparing supporting data,drawings,and specifications asmaybe required for Change Orders affecting thescopeofaProject provided the Changes aredueto causes foundby the CITY-to be beyond the control of the CONSULTANT. 3.0TimeforCompletion Professional Service AGREEMENT Tpepe@12-3l-12(RevisedSK4-3-13,GM6-8-13) The services tobe rendered bythe CONSULTANT for any WORK shall be commenced upon written Notice to Proceed from the CITY subsequent tothe execution ofthis AGREEMENT and shallbe completed within the timebasedonreasonabledetermination,statedin the said Notice to Proceed. A reasonable extension oftime will be granted in theeventthere is a delay onthe part oftheCITY in fulfilling its part ofthe AGREEMENT,change of scope ofworkor should any otherevents beyondthecontroloftheCONSULTANT render performance of his duties impossible. 4.0 Basis ofCompensation The CONSULTANT agrees to negotiatea"notto exceed"feeorafixedsumfeeforeach of the WORK assigned tohim based onthe Scope ofsuchWORK.Upon AGREEMENT ofa fee,the CITY will issue awritten authorization to proceed tothe CONSULTANT.In case of emergency, the CITYreserves the righttoissueoral authorization to the CONSULTANT,with the understanding thatwritten confirmation will follow immediately thereafteras possible.For reproduction of plans and specifications,beyond the requirements as identified underthis AGREEMENT theCITY will paythedirectcosts.
