The meeting was called to order by lies. Barrow with hayor Clark Councilmen Bryant, Atwood, Shafer! Pressley and Barrow responding to roll call. A letter from J. R hurrance, of P 0. Box 622, Miami, Fla. etting forth a proposal for a eater and sewage disposal system for South I-liami was presented by his representative, V.. Doherty, who further discussed the subject. He also submitted a prepared resolution, which Pres. Barrow asked the Clerk to read,, as follows: RESOLUTION NO, A 'RESOLUTION ACCEPTING PROPOSAL OF J. R. DURRANCE TO ACT AS AGEVT IN THE ISSUANCE! R. urrance has submitted a proposal to this Council to act as agent for the City of South Miami, in the issuance of Mater and Sewer Revenue.Bonds to cover the cost of building a water distribution system and ;sanitary sever systems and WHEREAS, this Council believes it to be for the best ,interest of the City of South Miami that said proposal be accepted! A; NOW. THEREFORE BE IT RESOLVE D• that the proposal of J. R Durrance be and the same is 'hereby accepted; said proposal being in- corporated in this resolution and made a part hereof as follows. h.o. Box 622 M ami,, Florida July 202 1948 Honorable kayor and City Councilmen South Miami, Florida Gentlemen: S understand the City of South Miami wishes to build a water distribution system and a sanitary sewer system2 providing a satisfactory ;contract can be made with the .later Department of the City of Iliami to tap its mains for a source of supply of water, and also provided a satisfactory con. tract can be made with the City of Miami to connect the sanitary savior lines of South Miami with the Miami sowdr systom, and also provided the water distribution system and the sanitary savior system can be financed through the issuance and sale of water and savior rovonuo bonds. In view Hof my experience in the issuing and marke -titig of this cjass of securities, I believe 'i can render the City a valuable service in these undertakings. T therefore submit for your consideration and inmiediate acceptance, my proposal to act as agent for the city of South Miami, as follows,; FIRST' SEe T will, with the cooperation of the officials and employees including the engineers that will be employed by the city, make a thor6ugh check of the prospective number of customers for water and sewer service that the City can reasonably expect when the proposed ,improvements have been made, as well as an estimate showing future growth during the life of the securities to be issued. 'Then this investigation has been com- pleted, S will have sufficient data to advise the City whether I think the plan is feasible, and recommend a schedule of minimum charges, which would be required to ,produce sufficient revenues (a') to operate and maintain the 'waterworks system and sewer system, (b) to pay the interest on and the principal of the revenue bonds as they mature: (c) tosreate and maintain ;a surplus for emergency purposes. This report is intended to enable the officials to decide whether the cost of the proposed improvements can be financed through the issuance of water and sewer revenue bonds and, if soy the rate of interest and the maturities of the bonds to be in linevith the ability of the City 1 to pay and at the same time offer 'a marketable security. TIMD T will pay the cost of all of the forogoung9 including legal advertising, and delivery of the bonds to the purchaser, but 1 do not agree to pay the following: the fees of the Attorneys representing the Cityg the tees of the engineers, the fees charged by the County Clerk-9 nor the filing feeo in the validation proceedings. uUpon acoeritance of this pro".'"al vtill proceed to perform alb, of the z I services above outlined, and I agree to have a report for your considera- tion! of the FIRST secticn,within thirty,(30) days from the date of acceptaixce After this report has been made by me and after due consideration of the same by the City, and the off'icia'ls decide to go ahead with the improve- ments, '1 shall forthwith proceed with the SECOND section, As compensation to me for services performed as agent and my expenses in connection therewith, the officials agree to pay me five per cent (5%) of the par value of the securities issuedg payment to be made to me or to my order at the time of delivery of the securities to the purchaser, otherwise the City of South Miami will not be indebted to me for any amount whatsoever. Acceptance of the above proposal by resolution duly adopted will con- stitute an agreement between the City of South Dliami and the under signed. H.F. °ffard struck the phrase "including the engineers that wiii be employed by the city" in the first sentence of the first section of the proposal, but approved the balance. Following discussion on the request of t. L. Carballo for the use of the Community Building by the Knights of Iythias and the Legion for 4 Saturday nights in August for dances to raise funds for the new Legion Home furnishings, Councilman Atwoodq ,seconded by Councilman 8ryant2 moved that they be permitted to use the Community Building at a charge of o1O OG per might and be responsible for the condition of the hall, so that it will be ready for the Sunday school classes for the nest morning. It was pointed out that prints could be sold, which would help defray some of the cost,. Councilman Shafer, seconded by Councilman Pressley,, moved that the 0otulcil author- ize the making of these maps. %notion carried. It was also suggested that the Chamber of Commerce be contacted for help in paying' for this work.. 1` Mr. Brewer also submitted a new plat of "SOUTH MIAMI VILLAS" for approval.
