Uponauthorizationtoproceedfrom the CITY,the CONSULTANT agrees to provide complete professional servicesforanyportionor all ofthesix Phases outlinedbelow applicable to itsprofession.The CONSULTANT agreestoco-ordinateitseffortwiththatofanyother providers of professional servicesto assure a coordinated and complete WORK.In a multi-professionally consulted project,the lead CONSULTANT,as designated by the CITY,shall prepare the final bid package including biddocumentsand specifications,which shall bepreparedby,andbethe responsibility of therespective disciplines. 2.2.1 Phase 1-Preliminary andSchematic Design: A The CONSULTANT shall conferwithrepresentativesoftheCITYandtheenduser to determine the full scope of theProjectthatwill meet the programrequirements,and shall advisetheCITY if,inthe CONSULTANT'S opinion,the allocated fundsareadequate to accomplish the program requirements,as defined byan individual purchase orderforthe specific work to beperformed. B.The CONSULTANT shall useproper and adequate design control to assuretheCITYthat the program requirements willbe met C.The CONSULTANT shall prepare a Design Conceptand Schematic Report,comprising of theProjectTimetable (Master Schedule),Planning Summary (unless advisedotherwise), Schematic Design Studies (unless advised otherwise)as defined below,and theStatement of Probable Construction Cost D.The ProposedProjectTimetable shall consistofascheduleshowing the proposed completiondateoneach Phase ofthe Project through design,bidding,construction,and proposeddateofcompletion. E.The Planning Summary (unless advised otherwise)shall consistofavicinity plan andblow upoftheSite(if applicable)showing Project orientation,andabriefsummaryof all pertinent planning criteriausedfortheProject F.TheSchematicDesignStudies(unlessadvised otherwise)shall consistof all plans, elevations,sections,etc.asrequiredtoshowthescaleand relationship ofthepartsandthe design concept of the whole Asimple perspective sketch,rendering,modelor photograph thereof maybeprovidedtofurthershowthe design concept G.The CONSULTANT shall presentthe Schematic design studies to theappropriate commission,committee,agency orboard (hereinafter collectively referred to as "Boards") fortheir approval whentheproject requires such approval.TheConsultant shall make copiesnecessaryfor presentation tothe Board atno additional cost to City. H.TheCONSULTANT shall present the schematic design studies to all the appropriate utility companies (such as FPL,Southern Bell,Dynamic Cable,MDWASA,etc)forany conflict with their utilities. I.TheStatementof Probable Construction Cost shall include estimatedcostof the Project including fixed equipment,professional fees,contingencies ("if any),escalation factors adjusted to the estimatedbiddate,movableestimate(if any),andutilityservice extensions (if applicable).The CONSULTANTS opinions of probable Total Project Costsand Construction Cost are to bemadeon the basis of the CONSULTANTS experience and qualifications andrepresent CONSULTANTS bestjudgmentasanexperiencedand qualified professional,familiar withthe local constructionindustryand prices. J.The CONSULTANT shall submit and present two (2)copiesof all documentsrequired underthis Phase,without additional charge,for approval by the CITYandit shall not proceed with thenext Phase until directed bytheCITYinwriting. 2.2.2 Phase II -Studyand Design Development A From theapproved Schematic Design documents,the CONSULTANT shall prepare Design Development Documents,comprising the drawings,outline specifications and otherdocuments to fixanddescribethesizeand character of the entireProjectas to constructionand finish materials and otheritems incidental theretoasmaybe appropriate and applicable. B.The Design DevelopmentDocuments shall comprisethe Proposed ProjectTimetable (updated),Outline Specifications,Updated Statementof Probable ConstructionCost,and Design Development Drawings,etc,asrequiredto clearly delineate theProjectIfthe Updated Statement of Probable Construction Cost exceeds the allocatedfunds,feasible cost or scopereductionoptions shall be included. C.TheCONSULTANT shall submit and presenttwo (2)setsof all documents required underthis Phase,without additional charge,for approval bytheCITYandnotproceedwiththe next Phase until directedbytheCITYin writing. D.The CONSULTANT shall at all times monitor the Probable Construction Costs to make certain they remainwithin the totalallocated budget A Notice to Proceed to Phase Ell will not be issued if the latest statement of Probable Construction Cost exceeds the total allocated funds. 2.2.3 Phase III -Final Design /ConstructionDocumentsDevelopment A From theapproved Design Development Documents,the CONSULTANT shall prepare Final Construction Documentssettingforthin detail the requirements fortheconstructionofthe Project including the Proposal (Bid)Form and other necessary information for bidders, Conditions of the Contract,andComplete Drawings and Specifications.The CONSULTANT shall useConstruction Specifications Institute (CSI)Standards andtheCityofSouth Miami Standard formsforthe preparation ofthe proposal (bid)forms,Instructions to Bidders, conditionsofContractand Specifications.The CONSULTANT shall review all existingCity Specifications,forcompletenessprior to useand shall supply all needed additional specifications.The final draft of the construction documents shall meet the requirements of and beapprovedby the City Attorney. B.TheConstructionDocuments shall be prepared inamannerthatwillassure clarity ofline work,notes,and dimensions when the documents are reduced to 50%of their size.All drawings shall beon24"x 36w paper ("DH see),onthe CITYs standard sheetformatunless Page 4of 31 Professional Service AGREEMENT Tpepe©12-31-12 (RevisedSK 4-3-13,GM 6-18-13) approved otherwise. C.All construction documents shall be submitted inboth "hard copy"andelectronicmediaina mutually agreeduponelectronicformatbut generally as follows: 1.Non-drawing submittalsinMicrosoftOffice Word format 2.Drawings in AutoCAD format 3.GIS files should be in ArcView format Version 3.2. D.When the developmentofthe drawings has progressed to atleast 50%completionin Phase III,the CONSULTANT shall submit two (2)copiestotheCITYfor approval,without additional charge,alongwithupdatedoutline specifications.The CONSULTANT shall also submitatthis time anupdatedStatementof Probable Construction cost asindicatedby time factor,changes inrequirements,or general marketconditionsandanupdatedProject Schedule. E.The CONSULTANT shall notproceedwith the further development untilapprovalof the documents isreceivedfrom the CITYinwriting.The CONSULTANT shall make all changes to documents requiredby the CITY beforeproceedingfurther.Asetof the revised documents shall bereturned to theCITYafter incorporating all of the changes,if any. F.ANotice to Proceedfor the completionof Phase III will notbeissuedifthelatestStatementof Probable Construction Cost exceeds the total allocated funds,unless the CITY increases the totalallocatedfundsor the CONSULTANT andthe CITY agreeson methods of cost reductions sufficient to enable construction withintheprojectbudget G.Upon 100%completion of the ConstructionDocuments,the CONSULTANT shall submit to theCITYa final,updated Statementof Probable Construction Cost along withtwo (2)copies eachof the final draftof all drawings,specifications,reports,programs,etc,without additional charge,fora final reviewand comments or approvals. H.The CONSULTANT shall make all the necessary presentations tothe appropriate CITY Boardswhichwouldbenormallyrequired of anyconstructionproject(suchas Environmental ReviewBoard,Historical Preservation Board etc)forthe final approval. I.The CONSULTANT atnoextracost to the CITY shall make all requiredchangesoradditions andresolve all questions resulting from Board review(see paragraph H)if the changes or additions do not alter the scopeoftheprojectasdeterminedunder paragraph 2.2.1 AThe 100%complete final ConstructionDocuments shall bereturned to theCITYfor final approval. Upon final approval by the CITY,the CONSULTANT shall furnish to theCITY drawings and specifications,without additional chargetotheCITYforbiddingpurposes,unlessinstructed otherwise. j.TheCONSULTANT shall arrange for "dry runs"and/or make final submissions to appropriate authorities (regulatory agencies to include and not limited to City,County,Stateor Federal)as necessary,to ascertainthat the ConstructionDocuments meet the necessaryrequirements to obtain all the necessarypermitsforconstruction.The CONSULTANT shallrespond to all technical questionsfrom regulatory agencies.The CONSULTANT shall modify,atno additional costtoCITY,inorderto acquire the necessary permits. Page5 of 31 Professional Service AGREEMENT Tpepe©12-31 -12 (Revised SK 4-3-13,GM 6-18-13) 2.2.4PhaseIV-Bidding andNegotiation Phase: AUpon obtaining all necessary approvals oftheConstructionDocuments,and approval by the CITY of the latest Statement of Probable Construction Cost the CONSULTANT shall furnish the drawings and specifications as indicated abovefor bidding,andassisttheCITYin obtainingbidsaswellas awarding and preparing constructioncontracts.The CONSULTANT shall attend all pre-bid conferences.The CONSULTANT shall bepresent duringthebidopeningandaspartof its assistance totheCITYwill tally,evaluateandissue arecommendation to the CITYafter verifying bond,insurancedocuments,questionnaire andreferencesubmittedbytheconstructor. B.The CONSULTANT shall issueAddendatotheConstructionDocumentsthrough the CITYas appropriate to clarify,corrector change Bid Documents. C.If Pre-Qualification of biddersisrequiredassetforthintheRequestfor Qualification,the CONSULTANT shall assist City indeveloping qualification criteria,review qualifications of prospectivebidders,andrecommendacceptanceorrejection of the prospectivebidders. D.If the lowestresponsible Base Bid receivedexceeds the TotalAllocated Funds the CITY may: 1.Approve the increase in Project Cost andawardaconstructioncontractor, 2.reject all bidsandrebidtheProjectwithinareasonabletimewithnochangein the Project,or 3.Directthe CONSULTANT to revise theProjectscopeor quality,orboth,as approvedby the CITYandrebid the Project,or 4.Suspendorabandon the Projector 5.Exercise all optionsunderthe City CharterandState Law. NOTE:Under item (2)and(3)above,the CONSULTANT shall,without additional compensation, assisttheCITYin obtaining re-bids,and awarding the re-bid of theprojectUnderitem (3)above, theCONSULTANT shall,without additional compensation,modifytheConstructionDocuments as necessary to bring the Probable Construction Cost within the Total Allocated Funds when the lowest responsible bidis over 15%of the CONSULTANT estimate.All construction contracts mustbeapprovedbytheCityCommissionaftertheCityawardsthecontractforcommission approval. E.For thepurposeof payment totheCONSULTANT,the Bidding Phase will terminateand the services oftheCONSULTANT will beconsideredcompleteupon signing ofan AGREEMENT withaContractor.Rejection of bidsbythe CITY doesnotconstitute cancellation,ofthe project 2.2.5 Phase V-General Administration of the Construction Contract ATheConstruction Phase will begin withtheCityCommission approval of the award of the Construction Contract andwillendwhenthe Contractor's final PaymentCertificateis approvedand paid by the CITY. B.The CONSULTANT,astherepresentativeoftheCITYduringtheConstruction Phase, shall adviseandconsultwith the CITYand shall haveauthority to actonbehalfoftheCITY Page6 of 31 Professional Service AGREEMENT Tpepe©12-31-12 (RevisedSK 4-3-13,GM 6-18-13) to the extent providedin the GeneralConditionsandasmodifiedin the Supplementary Conditions of the Construction Contract C.The CONSULTANT shall attendpre-constructionmeetings. D.The CONSULTANT shall at all times have accesstotheprojectwhereveritisin preparation or progress. EThe CONSULTANT shall visit the siteat least weeklyandat all keyconstructioneventsto ascertaintheprogress of the Projectand to determine ingeneralif the WORK is proceedingin accordance with the Contract Documents.On the basis of on-site observations,the CONSULTANT willusereasonableand customary caretoguardthe CITY against defectsand deficiencies inthe WORK The CONSULTANT mayberequired to providecontinuousdailyon-siteobservations to check the qualityorquantity of the WORK assetforthinthisAGREEMENTanddefinedby the Scopeof WORK issuedfor the individual project.On the basisof the on-siteobservations,the CONSULTANT will advisetheCITYastotheprogressofandanyobserveddefectsand deficiencies in the WORK immediatelyinwriting. F.The CONSULTANT shall furnish the CITYwitha written report of all observations of the WORK madebyhimduringeachvisit to the WORK.He shall also note the generalstatus and progress of the WORK,and shall submitsameinatimelymanner.The CONSULTANT shall ascertain atleastmonthlythattheContractoris making timely, accurate,and complete notationsonrecord drawings. G.Based onobservationsatthesiteandon the Contractor'sPayment Certificate,the CONSULTANT shall determine the amount due the Contractor on account and he shall recommendapprovaloftheCertificateinsuchamounts.The recommendation of approval ofa Payment Certificate shall constitutearepresentationby the CONSULTANT to the CITY that the CONSULTANT certifiestotheCITYthat the WORK hasprogressed to thepoint indicated,andthe quality ofthe WORK isinaccordancewiththeContract Documents subject to: 1.An evaluation ofthe WORK forconformancewiththeContractDocumentsupon substantial completion. 2.Theresultsofany subsequent tests requiredby the ContractDocuments. 3.Minordeviationsfrom the Contract Documents correctablepriortocompletionand acceptance of the project H.The CONSULTANT shall havean affirmative duty to recommend rejection of WORK, which does not conform to the Contract Documents.Whenever,inits reasonable opinion,the CONSULTANT considersit necessary or advisable to insure compliance with theContractDocuments,itwillhaveauthority(withtheCity'sprior approval)to recommend special inspectionsortestingofany WORK deemednot to beinaccordance with the Contract Documents whether or not such WORK has been fabricated and delivered to the Project or installedand completed. I.The CONSULTANT shall promptly reviewandapproveshop drawings,samples,and other submissions of the Contractor forconformancewith the design concept of the ProjectandforcompliancewiththeContract Documents.Changesorsubstitutions to the Contract Documents shall not be authorized without concurrence with the CITY. K.The CONSULTANT shall examinethe WORK uponreceiptof the Contractor's Certificateof Substantial CompletionoftheProjectA Punch Listofanydefectsand discrepanciesinthe WORK required to be corrected by the Contractor shallbe preparedby the CONSULTANT in conjunction with representatives of the CITY and satisfactory performance obtained before the CONSULTANT recommends execution ofCertificate of Final Acceptanceand final payment to the Contractor.He shall obtain fromtheContractor all warranties,guarantees,operatingand maintenance manualsfor equipment,releases of lien andsuch other documentsandcertificatesasmaybe requiredby applicable codes,laws,policy regulations,the specifications and the other Contract Documents and deliver them to the CITY. LTheCONSULTANT shall provide assistance in obtaining Contractor's compliance withthe ContractDocuments relative to,I)initial instruction ofCITY personnel intheoperation and maintenance ofanyequipmentorsystem,2)initial start-upand testing,adjusting and balancing ofequipmentandsystems,and,3)final clean-up of theproject M.TheCONSULTANT shall provide the contractor withthreesetsof drawings labeled "Construction Plans"forpermitfrom Public Works. 2.2.6 Phase VI-Post Construction Administration AThe CONSULTANT shall prepare and providetheCITYwithawritten manual,to beused bytheCITY,outlining the implementation plan of all the required maintenance necessary to keeptheproposed WORK operational inasafeandeffectivemanner. B.The CONSULTANT shall furnish tothe CITY,reproducible record (as-builti drawings updatedbasedon information furnished bythe Contractor such drawings shall become the property of the CITY. C.The CONSULTANT shall assistintheinspectionofthe WORK onemonthbeforethe expiration ofany guarantee period orthesixthmonthwhicheveris earlier andreport any defective WORK inthe Project undertermsofthe guarantee/warranties for correction. The CONSULTANT shall assisttheCITYwiththe administration of guarantee/warranties forcorrectionofdefectiveWORK thatmaybe discovered during the said period. D.TheCONSULTANT shall furnish theCity with a 3-ring binder labeled "Close-out Documents"that will include,asa minimum,acopyof. •Certificates of completion •As-Builts (1/2 size) •Test Results •Daily constructioninspection reports •Progressmeetingminutes •Approvedshop drawings Page8 of 31 Professional Service AGREEMENT Tpepe©12-31-12 (RevisedSK 4-3-13,GM 6-18-13) •Warranty manuals as applicable •Final release of liens •Final payment to contractor 2.3 Additional Professional Services AdditionalServicesaslisted below arenormallyconsidered to bebeyond the scopeof the Basic Services fordesignand construction,asdefinedinthisAGREEMENT,but whichareadditionalserviceswhich maybeauthorizedwithintheScopeof Work giventhe CONSULTANT. A Special analysis ofthe CITY'S needs,and special programming requirementsforaproject B.Financial feasibility,lifecyclecostingorother special studies. C.Planning surveys,site evaluations,or comparative studiesofprospectivesites. D.Design services relative to future facilities,systemsandequipmentwhicharenot intended to beconstructedaspartofa specific Project E Services to investigate existing conditions (excluding utilities)or facilities or to makemeasured drawings thereof,orto verify the accuracy of drawings orother information furnished by the CITY. F.Professional detailed Estimates of Construction Cost consisting of quantity surveys itemizing all material,equipmentand labor required foraProject G.Consultation concerning replacement of any WORK damaged by fire orother cause during construction,and furnishing professional servicesofthetypesetforthin Basic Servicesas maybe required relative to replacement of such WORK,providing the cause is found by the CITY to be other thanby fault ofthe CONSULTANT. H.Professional services made necessary bythe default oftheContractororby major defectsin theWORK under the Construction Contract providing the cause is found bytheCITYto be other thanbyfault of the CONSULTANT. I.Making major revisions changing the Scope ofaprojectto drawings and specifications when such revisions are inconsistent with written approvals or instruction previously given bythe CITYandareduetocausesbeyondthecontrol of the CONSULTANT. (Major revisions are defined as those changing the Scope and arrangement of spaces and/or scheme oranyportion). J.The services ofoneormore full-time Project Representatives. K Preparing to serve or serving as an expert witness in connection with any arbitration proceedingor legal proceeding inconnectionwitha Project. L Professional services required after approval bytheCITYorthe Contractor's Requisition for Final Paymentexceptasotherwise required under Basic Services. Areasonableextensionoftime will begrantedintheevent there isadelayon the partof the CITYin fulfilling its partofthe AGREEMENT,changeofscopeofwork or shouldany other eventsbeyondthe control oftheCONSULTANT render performanceofhisdutiesimpossible 4.0 Basis ofCompensation TheCONSULTANTagrees to negotiatea "not to exceed"fee or afixedsumfeeforeachof the WORK assigned to himbasedontheScopeofsuchWORK,Upon AGREEMENT ofafee,theCITYwillissuea written authorizationto proceed to theCONSULTANT.In caseofemergency,the CITY reserves the right to issueoralauthorization to theCONSULTANT,with the understanding that written confirmation will follow immediately thereafter as possible.Forreproductionofplansand specifications,beyondthe requirements asidentified under this AGREEMENT theCITYwillpay the direct costs. The CONSULTANT shall submitan original invoicetotheCity'sprojectrepresentativeforeachpayment certifyingthe percentageofthe WORK completedbythe CONSULTANT. The amount oftheinvoices submitted shall be the amount dueforall WORK performed to date,as certifiedby the CONSULTANT The request forpayment shall includethe following information: ProjectNameand CONSULTANTS Name. TotalContractamount (CONSULTANTS lumpsumnegotiated),ifapplicable Percentof work completed. Amount earned. Amount previouslybilled. Due this invoice. Balanceremaining. Summary of work donethis billing period. Invoice number and date. CONSULTANTS W-9 Upon request by the CITY the CONSULTANT shall providetheCITYwithcertified payroll datafor the WORK reflecting salaries andhourlyrates. 6.0Right of Decisions Allservices shall beperformedbythe CONSULTANT tothe satisfaction of the CITYs representative,who shall decide all questions,difficulties anddisputesof whatever naturewhichmayariseunderorbyreasonof thisAGREEMENT,the prosecutionand fulfillment of the services,andthecharacter,quality,amountand valueandtherepresentative'sdecisionsupon all claims,questions,anddisputes shall be final,conclusive and binding uponthe parties unlesssuch determination is clearly arbitrary or unreasonable.In theeventthatthe CONSULTANT does not concurin the judgmentoftherepresentativeas to anydecisionsmadeby him,he shall presenthis written objections to the City Manager and shall abideby the decision of the City Manager. Nothing in this section shall mean todenythe right to arbitrate,byeither party,in accordance with the appropriate Arbitration Rules of the American ArbitrationAssociation.
