A Resolution authorizing the City Manager to enter into an agreement with
Bicycle Action Committee ("BAC")to use the South Miami Citylogo on bicycle
clothing to be sold by BAC.
WHEREAS,BicycleAction Committee ("BAC")isa nonprofit entity and Mr.Richard
Cahlin is its Chairman;and
WHEREAS,BicycleAction Committee intends touse the South MiamiCitylogoon
bicycle clothing to be sold to raise money forpublicbicycling initiatives;and
WHEREAS,BAC intends to spit the net profits from the sale of the clothing equally
between the City and BAC.
NOW,THEREFORE,BEITRESOLVEDBYTHE MAYOR AND CITY COMMISSION OFTHE
CITYOF SOUTH MIAMI,FLORIDA,THAT:
Section 1.The Mayor and City Commission hereby authorizes the City Manager to
enter into a licensing agreement with the Bicycle Action Committee (BAC)for the use of the
City'slogo,according with Section 13-31,and in accordance with the intent set forth in the
above recitals for a period of two years.
Section 2.Mr.Cahlin must complete an application,provide an
indemnification/hold harmless agreement,and proof of insurance naming the Cityof South
Miamias an additional named insured in amounts and types required by the City Manager,not
to exceed those required for a special event.
Section 3.Severability.If any section,clause,sentence,or phrase of this resolution is
forany reason heldinvalidor unconstitutional bya court of competent jurisdiction,thisholding
shall not affect the validity of the remaining portions of this resolution.
Section 4.Effective Date:This resolution shall take effect immediately upon
enactment.

AGREEMENT FOR USE OF CITY NAME AND LOGO
THIS AGREEMENT,made andenteredintoonthis y±day of December,2014,byand
betweentheCity of SouthMiami,Miami-DadeCounty,Florida,party of the first part (hereinafter
called "CITY"),and Richard A.Cahlin,located at/W.M'<&^44fLM:+Miami,Florida
33/5 >,Miami-Dade County,Florida,party of thesecond part (hereinafter called "Contractor");
RECITALS:
TheCITYdesiresto engage the Contractor to perform certain services as specifically
described herein andthe Contractor desirestoprovidesuch services forthe City of South Miami.
In consideration of the mutual covenants set forth in this Agreement,the
parties agree as follows:
1.Scope of Services The following outlinesthe arrangement between the
CITY andthe Contractor for fund-raising forthe CITY's bicycle initiatives:
•The CITY will allow the non-exclusive use of the CITY name and logoto
beusedon jersey and shorts ("kits")tobemanufacturedlocallyby
v ^^li^lggglMfk").
•All proceeds raised in excess of the amount needed to produce thekitswill
be donated tothe CITY andtotheBikeAction Committee in equal shares.
•Contractor shall provide CITYwitha monthly detailed list of monies raisedfromthe
sale of the jerseys as well asa detailed list of all of the disbursements involved inthe
matter.
•Bicycle Action Committee is certified asa501(c)(3)organization under theinternal
revenue service codeandBicycle Action Committee shallbethefiscalagentforthese
sales.
•Allthe proceeds shall besplit equally between the Bicycle Action Committee and
CITY.
•Basedontheinitialset of clothingmanufactured,Contractoranticipatesraising
sufficientfundssothatapproximately$1,000willbepaidtotheCity of SouthMiami
from sales.
•CONTRCTOR shallhavethelimited,non-exclusive righttouse of thecity'snameand
logofor imprinting onthebicyclejerseyssolelyduringthe term of thisagreement.
2.Compensation _There arenofeesorcoststobepaidbythe CITY totheContractorfor
thespecifiedservices.Contractorshallpayallprofitsassetforthabove.Allproceedsduetothe
CITYshallbedeliveredtotheFinanceDirectorforCITYatCityHallinSouthMiami,Florida.
3.TermTheterm of thisAgreementshallcommenceonthedate of thisAgreementand
continue fora pencil
4.Assignment This Agreement shallnotbeassignablebythe Contractor.
5.Prohibition Against Contingent FeesThe Contractor,warrants thathehasnot
employed orretainedanycompanyorperson,otherthanabonafideemployeeworkingsolelyfor
the Contractor,tosolicitorsecurethis Agreement,andthathehasnotpaidor agreed topayany
person(s),company,corporation,individualorfirm,otherthana bona fideemployeeworking
solelyforthe Contractor any fee,commission,percentage,gift,oranyother consideration,
continentuponorresultingfromtheawardormaking of this Agreement unlessapprovedbythe
Manager of theCITY.
6.Termination This Agreement may be terminated by either party upon 30 days written
notice with or without cause.If this Agreement is terminated,the Contractor shall immediately
cease using the CITY name and logo,shall provide written notice tohis vendors or
subcontractors that the CITY name andlogomayno longer be used andshall,contemporaneously
provideCITY with a copy of thenotice.
7.Nonexclusive Agreement Theservicestobe provided bythe Contractor pursuant to
this Agreement shallbe nonexclusive and nothing herein shall preclude theCITY engaging other
persons orfirmsto perform the same or similar servicesforthe benefit of the CITY within the
CITY'S sole and absolute discretion.
8.Entire Agreement This agreement,together with all pertinent documentation shall
constitute the entire agreement which may onlybe amended,modified or extended upon written
agreement between the parties.
9-Warranties Of Contractor Contractor andany companies working with him assub
contractors,hereby warrants and represents thatatall times during the term of this Agreement he
shallmaintainingood standing all required licenses,certifications andpermits required under
Federal,Stateandlocallaws necessary to perform the specified services.
10.Notices:Any notice,demand,offer or other written instrument required or
permitted to begiven,made or sent (hereinafter referred to as "Notice")shall beinwriting,
signed bytheparty giving ormakingitand shall besentby facsimile transmission,e-mail,courier,
Federal Express,andany other means that providesfor proof ofdelivery.The Notice shall be
senttothe facsimile telephone number,e-mail address,street addressorpostoffice box asset
forthherein below and hereinafter referred toasa "Party's Address"for the purposes of this
paragraph.Refusal toaccept delivery or failure to pick-up aNoticewithinten (10)afterthe first
notification bythedeliveryserviceis sent ("First Notification"),shall beconstruedasreceiptof
same.AnyNotice given orsenttotheestateof any deceasedperson shall be signed andsentin
alikemanner,addressed to the personal representativeofthedeceasedpersonatthe personal
representative's address,or,ifthereisno personal representativeoftheestate,thenit shall be
senttothe decedent Party's Address.The parties shall havetherighttochange the place to
whichtheNotice shall besentto them by giving Noticeasrequiredfor all other Noticesand
sentto all of the parties to thisAgreement.ThedateofdeliveryoftheNotice,thedateof
refusal toacceptdeliveryorthedate following 10 days fromthedate of First Notification shall
be deemed to be the date of the offer,demand,notice or other writing for the purpose of
enforcingthis agreement andit shall beeffectivefrom that date.

11.Licenses and Certifications:Contractor shall secure all necessary business and
professional licensesatitssole expense priorto executing the Agreement or commencing the
Work.
12.Taxes:Contractor shallberesponsibleforall payments of federal,state,and/orlocal
taxes related tothe Operations,inclusive of salestax if applicable.
13.1ndependent Contractor:Contractor isan independent entity under this Agreement and
nothinghereinshallbe construed tocreateapartnership,joint venture,or agency relationship
between the parties.
14.Entire Agreement,Modification,And Binding Effect:This Agreement constitutes the
entireagreement of the parties,incorporatesallthe understandings of thepartiesandsupersedes
any prior agreements,understandings,representation or negotiation,written ororal.This
Agreement maynotbe modified or amended exceptin writing,signed by both partieshereto.
This Agreement shall be binding upon andinuretothe benefit of the City and Contractor andto
their respective heirs,successors andassigns.No modification or amendment of anytermsor
provisions of this agreement shallbevalidorbindingunlessitcomplieswiththisparagraph.This
agreement,ingeneral,andthisparagraph,inparticular,shallnotbemodifiedoramendedbyacts
or omissions of the parties.
15,Non-Waiver:CityandContractoragreethatnofailuretoexerciseandnodelayin
exercisinganyright,power orprivilegeunderthisAgreementonthepart of eitherpartyshall
operateasawaiver of any right,power,orprivilege under this Agreement.Nowaiver of this
Agreement,inwholeorpart,includingtheprovisionsofthisparagraph,maybeimpliedbyany
actoromissionandwillonlybevalidandenforceable if inwritinganddulyexecutedbyeach of
thepartiestothisagreement.Anywaiverofanyterm,conditionorprovision of thisAgreement
willnotconstitutea waiver of anyotherterm,condition or provision hereof,norwillawaiver of
anybreachofanyterm,conditionorprovisionconstituteawaiver of any subsequent or
succeedingbreach.Thefailuretoenforcethisagreementastoany particular breach ordefault
shallnotactasa waiver of any subsequent breachordefault..Nodelayor omission toexercise
anyrightorpower accruing uponanydefaultshallimpairanysuchrightorpowerorshallbe
construedtobea waiver thereof,butanysuchrightand power may be exercised fromtimeto
timeas often as may be deemed expedient.
16.Rules of Interpretation:Throughoutthisagreementthemalepronounmaybe
substitutedforfemaleandneuterandthesingularwordssubstitutedforpluralandpluralwords
substituted forsingularwherever applicable.Thepartiestothis agreement havehadan
opportunity to seek legal counsel and to draft this agreement ina manner to avoid any ambiguity.
The parties also acknowledge that all terms of this Agreement were negotiated atarm's length
and thatthis Agreement andall documents executed in connection herewith were prepared and
executed without undue influence exerted byany party oronany party.Further,this Agreement
wasdraftedjointlybyailparties,andnopartyisentitledtothebenefitofanyrulesof
construction withrespecttothe interpretation ofany terms,conditions or provisions of this
Agreementinfavor of oragainstanypersonorpartywhodraftedthisAgreement.
17.Cumulative Remedies:Thedutiesandobligationsimposedbythecontract
documents,ifany,andtherightsand remedies available hereunder,and,inparticularbutwithout
limitation,the warranties,guarantees and obligations imposed upon Contractor bytheContract
DocumentsandtherightsandremediesavailabletotheCityhereunder,shallbeinadditionto,
andshallnotbeconstruedinanywayasalimitationof,anyrightsandremediesavailableatlaw
orinequity,byspecialguaranteeorbyotherprovisions of theContractDocuments.Inorderto
entitleanypartytoexerciseanyremedyreservedtoitinthisAgreement,orexistinginlaworin
equity,itshallnotbenecessarytogive notice,otherthansuchnoticeasmaybehereinexpressly
required.Noremedyconferreduponorreservedtoanypartyhereto,orexistingatlaworin
equity,shallbeexclusiveofanyother available remedy or remedies,buteachandeverysuch
remedyshallbecumulativeandshallbeinadditiontoeveryotherremedygivenunderthis
Agreementor hereafter existingatlaworinequityorbystatute
18,Waiver JuryTrial:CityandContractorknowingly,irrevocablyvoluntarilyand
intentionally waiveanyright either mayhavetoatrialby jury inStateorFederalCourt
proceedingsinrespecttoanyaction,proceeding,lawsuitorcounterclaimarisingout of the
Contract Documents orthe performance of the Work thereunder.
19.Indemnification:The Contractor acceptsandvoluntarilyincursallrisks of any
injuries,damages,orharmwhichmightariseduringtheworkoreventthatisoccurringonthe
CITY's propertyduetothenegligenceorotherfault of theContractororanyoneactingthroughor
on behalf of the Contractor.TheContractorshallindemnify,defend,saveandholdCITY,its
officers,affiliates,employees,successorsand assigns,harmlessfromanyandalldamages,
claims,liability,losses,claims,demands,suits,fines,judgmentsorcostandexpenses,including
reasonable attorney's fees,paralegal feesand investigative costs incidental there toand incurred
priorto,duringor following any litigation,mediation,arbitration andatallappellatelevels,
whichmaybe suffered by,or accrued against,chargedtoor recoverable fromtheCity of South
Miami,itsofficers,affiliates,employees,successorsandassigns,by reason of anycauses of
actionsorclaim of anykindornature,includingclaimsfor injury to,ordeath of anypersonor
personsandforthelossor damage toanypropertyarisingout of a negligent error,omission,
misconduct,or any gross negligence,intentional actor harmful conduct of the Contractor,its
contractor/subcontractor orany of their officers,directors,agents,representatives,employees,or
assigns,oranyone acting through oron behalf of any of them,arising out of thisAgreement,
incident toit,or resulting fromthe performance or non-performance of the Contractor's
obligations under this AGREEMENT.The Contractor shall pay all claims,losses and expenses
of any kind or nature whatsoever,in connection therewith,including the expense orloss of the
CITYand/orits affected officers,affiliates,employees,successors and assigns,includingtheir
attorney's fees,inthe defense of any actioninlawor equity brought against them and arising
from the negligent error,omission,oract of the Contractor,its Sub-Contractor orany of their
agents,representatives,employees,orassigns,and/or arising outof,orincidentto,this
Agreement,or incident toor resulting fromthe performance or non-performance of the
Contractor's obligations under this AGREEMENT.The Contractor agrees and recognizes that
neithertheCITYnorits officers,affiliates,employees,successors and assigns shallbe held liable
or responsible foranyclaims,includingthecostsandexpensesofdefendingsuchclaimswhich
mayresultfromorariseout of actionsor omissions oftheContractor,its contractor/subcontractor
orany of theiragents,representatives,employees,orassigns,oranyoneactingthroughoron
behalf of thethem,andarisingout of orconcerningtheworkoreventthatis occurring onthe
CITY's property.Inreviewing,approving orrejectinganysubmissionsoracts of theContractor,
CITYinnowayassumesorsharesresponsibilityor liability fortheactsoromissions of the
Contractor,its contractor/subcontractor orany of their agents,representatives,employees,or
assigns,oranyoneactingthroughoron behalf of them.TheContractorhasthedutytoprovidea
defensewithan attorney orlawfirm approved bythe City of South Miami,which approval will
notbe unreasonably withheld.
20.Severability:If anytermor provision of this Agreement orthe application thereof to
anypersonorcircumstanceshall,toanyextent,beillegal,invalid,againstpublicpolicyor
otherwise unenforceable,the remainder of thisAgreement,orthe application of suchtermor
provisiontopersonsor circumstances otherthanthosetowhichitisheldinvalidor
unenforceable,shall notbe affected thereby andeach term and provision of this Agreement shall
be valid and enforceable tothe fullest extent permitted bylaw.
21,Governing Laws and Venue:This Agreement andthe performance of services
hereunder willbe governed by thelaws of theState of Florida,with exclusive venueforthe
resolution of anydisputebeingacourt of competent jurisdiction in Miami-Dade County,Florida.

Section 3.Severability.If any section,clause,sentence,orphrase of.this
ordinance isforany reason held invalid or unconstitutional byacourt of competent
jurisdiction,this holding shall notaffectthevalidity of the remaining portions of this

Section 4*Ordinancesin Conflict All ordinances or parts of.ordinances and
all section and parts of sections of ordinances in direct conflict herewith are hereby
repealed.However,itisnottheintent ofthis section to repeal entire ordinances,or parts
of ordinances,thatgivethe appearance of beinginconflictwhenthetwo ordinances can
be harmonized orwhenonlya portion of the ordinance inconflictneedstobe repealed to
harmonize the ordinances*If the ordinance in conflict canbe harmonized by amending

USE OF VILLAGE SEAL
THIS AGREEMENT,made and entered into on the ll day of HUtott .2012,by and
between the Village of Pinecrest,Miami-Dade County,Florida,p&ty of the first part
(hereinafter called "VILLAGE"),and Richard A.Cahlin,1001 Brickell Bay Drive,Suite 1400,
Miami,Florida 33131,Miami-Dade County,Florida,party ofthesecondpart (hereinafter called
"CONTRACTOR");
RECITALS:
The VILLAGE wantsto engage theCONTRACTORto perform certain services as
specifically described hereinandthe CONTRACTOR wantsto provide suchservicesforthe
Village of Pinecrest
In consideration ofthe mutual covenants set forth inthisAgreement,the parties agree
as follows:
I.SCOPE OF SERVICES
The following outlinesthearrangement between the VILLAGE and the CONTRACTOR
for fund-raising forthe Village's bicycle initiatives:
•The VILLAGE will allow the non-exclusive use of the VILLAGE seal to be used on bike
kits(jerseyandshorts)tobe manufactured locally withVeloceSpeedwear.
•VeloceSpeedwearwillbe responsible for manufacturing thekits.The CONTRACTOR
will be responsible for raising the funds to purchase thekits and for purchasing thekits.
•Moneywillbe raised bythe CONTRACTOR throughdonationsfromtheprivate
sector.Donorscandonatemoneyandputtheir logo'onthekits,or donateand elect
not tohaveanythingplacedonthekits.Theratesvarydependingonsize and locationof
thelogosinthediscretionofthe CONTRACTOR.The VILLAGE is not responsiblefor
any fund-raising.Once all sponsorshavebeenobtained,the CONTRACTOR willget
written approvalfromthe VILLAGE priortousing the VILLAGE sealon the bikekits.
•A 501 (c)(3)entitywillbeusedasthe fiscal agent At thistime,the CONTRACTOR has
identified FHAME afoundationsupportingthe rebuilding of Haiti as the fiscal agent.The
VILLAGE shall benotifiedifthe fiscal agentis changed*
•Allproceedsraisedinexcessoftheamountneeded to producethekitswillbedonated
tothe VILLAGE for bicycle initiatives programs.
•ThekitscanbepurchasedontheVeloceSpeedwear website andsoldatvariousbicycle
stores inMiami-Dade County.In addition,the kitscanberaffled or givenawayby the
VILLAGE to support the cause.

2.FEES FOR SERVICES
There arenofees to bepaidbythe VILLAGE to the CONTRACTOR for the specified
services.All proceeds due to the VILLAGE shall bedelivered to the Finance Director,Village
of Pinecrest,12645 Pinecrest Parkway,Pinecrest,Florida 33156.
3.TERM
The term ofthis Agreement shall commenceon the dateofthis Agreement and
continueforaperiodofone(I)year,automatically renewingeveryyearforanotherperiodof
one (f)yearunless terminated pursuant to paragraph 6or extended pursuant to paragraph 8.
TheTERMofthis Agreement isnotexceed five (5)yearsfromthedateofthis Agreement
4.ASSIGNMENT
This Agreement shall not be assignable bythe CONTRACTOR.
5.PROHIBITION AGAINST CONTINGENT FEES
The CONTRACTOR,warrantsthathe has notemployedorretainedanycompanyor
person,other thanabonafide employee workingsolelyfor the CONTRACTOR,to solicit or
securethisAgreement,andthathe has not paid or agreed topayany person(s),company,
corporation,individual orfirm,other thanabona fide employee workingsolelyfor the
CONTRACTOR any fee,commission,percentage,gift,oranyother consideration,continent
uponor resulting from the award or making ofthisAgreement unless approved bythe Manager
of the VILLAGE.
6.TERMINATION
This Agreement maybeterminatedbyeither party upon60 days writtennoticewithor
withoutcause.IfthisAgreementisterminated,the CONTRACTOR shall immediately cease
usingthe VILLAGE seal,shall providewrittennoticetohisvendorsorsubcontractorsthatthe
VILLAGE seal maynolongerbeused and shall provide evidenceofsuch notification tothe
VILLAGE
7.NONEXCLUSIVE AGREEMENT
The services tobe provided bytheCONTRACTOR pursuant tothisAgreement shall
be nonexclusive and nothing herein shall preclude the VILLAGE engaging other persons or firms
to perform the same or similarservicesfor the benefit of the VILLAGEwithintheVILLAGE'S
sole and absolute discretion.
8.ENTIRE AGREEMENT
This agreement,togetherwith all pertinent documentation shall constitutetheentire !
agreement which may notonlybe amended,modified orextended upon written agreement |
between theparties.
9.WARRANTIES OF CONTRACTOR
The CONTRACTOR,and any companies working with him as sub-contractors,hereby
warrantsandrepresentsthatat all times during theterm of thisAgreementhe shall maintain in
good standing all required licenses,certifications and permits required under Federal,Stateand
local laws necessary to performthe specified services.
10.ATTORNEY'S FEES
In connection withany litigation arising outofthisAgreementthe prevailing party shall
beentitledtorecover reasonable attorney's fees andcosts.This provision shall exclude all
litigation resolvedbyagreementofthe parties.
11.NOTICES
Allnoticesandcommunicationstothe VILLAGE shall beinwritingand shall be deemed
to have been properly given if transmitted by registered or certified mail or hand delivery.All
notices and communications shall beeffectiveuponreceiptNotices shall beaddressedas

Pinecrest records no income from you per an email they sent us.
I am concerned that you offer no accountability to us such as how much the shirts cost you and
how many you sell.
We have repeatedly asked for such basic information but have yet to receive such.
We did receive the following email message which has no financials init whatsoever:
Per your request,here Is a brief summary of the program that I have been doing with Cities to raise
money for their bike initiatives:
After I receive the City Seal and the color coordinates,Igo to the private sector and raise
approximately $6000to make 100 bike kits (jerseys andshorts).The monies I raise allow the j
business to put their 'logo or brand1 on the clothing in exchange for the donation.I use different j
fiscal agent for each City.I reach out to friends,clients,previous donors and the Chamber of
Commerce from each City to solicit the funds.
OnceI raise the money the bike kits are made.Upon delivery,the kits together with each of the
Cities brief description of their bikeinitiatives is posted on our website and there isalink to the
manufacturer to order the bike kits.
I provide the kits to the Cities for any of their bike events to either give them way or raffle them etc.

In addition,the kits are provided tobicycle stores in the participating Citieson consignment tobe
sold.
All of the monies raised is then givenbackto the participating cities tobe used for their bike
initiatives programs.

I have been placed ina fiduciary positionwith the commission which I take veryseriously and I
need to have an understanding of the economics ofthis deal before I authorize your use of the
CityLogo.Where you state,"allof the monies raised is given back to the participating cities"it
makes me wonder who is actually paying for the kits and their printing?
Im sure neither youor Veloce speedware are donating the shirts,production and shipping.The
impression is given that ALL of the fundsraised come back to the City.Without basic knowledge
as we have requested,I have no way to adequately evaluate the economics.How many shirts
have been sold and how many have been given at no charge?
What control do I have on other shirt sponsors?i.e.Tobacco orliquor companies,strip clubs
petroleum or other energy companies
Please enlighten me as to these simple requests.
Additionally almost 3 years ago you were authorized to go forward by resolution of the
commission subsequent to your provisionof providing anapplication,anindemnification/holdharmless
agreement,andproofof insurance.Itismy understanding that the CityAttorneymaynownot require logo
insurance but that wouldinvalidate the reso that isnowprobablyinvalidduein part to changes in our
applicable laws.
Once I have received suitable financialand business related information fromyou we can evaluate how to
proceed.
