RESOLUTION NO.019-15-14358 A Resolution authorizing the City Manager to negotiate and enter into a contract with Sanchez Arango Construction,for the repair of the brick pavers. WHEREAS,theMayorandCityCommissionwishtoprovideroadwayimprovementsalong Sunset Drive, SW 64th Street&SW 67th Avenue,andSW 58th Court and SW 73rd Avenue,and WHEREAS,pursuant toa competitive selection process in accordance withtheCity Charter,it was determined that Sanchez Arango Construction submitted a proposal in the amount of $10,695 that was themost comprehensive and cost effective inits construction approach;and WHEREAS,theCity desires toprovidea contingency of $1,069.50 over the proposal amount for unknown factors that may arise during the work;and WHEREAS,the total expenditure isnotto exceed $10,695,absent unforeseen circumstances;and WHEREAS,the Mayor and City Commission desire to authorize the City Manager to negotiate and enter intoa contract with Sanchez Arango Construction for the repair ofbrick pavers foratotal amount notto exceed $10,695. NOW,THEREFORE,BE IT RESOLVED BY THE MAYOR AND CITY COMMISSION OF THE CITY OF SOUTH MIAMI,FLORIDA THAT: Section 1:The City Manager is authorized to negotiate the terms and conditions and to execute a contract with Sanchez Arango Construction fortherepairofbrick pavers foran amount notto exceed $10,695.00, and heis authorized to expend upto $1,069.50 for unforeseen conditions.A copy of the proposal is attached. Section 2:The expenditure shall be charged to the Local Option Gas Trust account number 112-1730-541-6210 which has a balance of $285,000,before this request was made. Section 3:If any section clause,sentence,or phrase ofthis resolution isfor any reason heldinvalidor unconstitutional bya court of competent jurisdiction,the holdingshallnot affect the validityof the remaining portions of this resolution. In November,the scope was modified to include nightwork,and revised proposals were requested.Therevised proposals,which included nightwork,were received throughout December and January. Noticeto Proceed:Awrittennotice given byCITYto CONTRACTOR (withcopytoCONSULTANT) fixing thedateonwhichthe Contraa Time shall commencetorunandonwhich CONTRACTOR shall startto perform itsobligationsunder the Contraa Documents. Policy:The term "policy"as usedinthe Contraa Documents shall mean the insurance binder,ifitis issued,the declarationpageof the policyandthebodyof the policy,including all endorsements. RFP:Request for Proposal. Shop Drawings:All drawings,diagrams,illustrations,brochures,schedulesandotherdatawhichare prepared bytheCONTRACTOR,a Subcontractor,manufacturer,supplier,or distributor,and which illustrate the equipment,material orsome portion ofthework and as required bythe Contract Documents. Samples:Physical exampleswhich illustrate materials,equipmentorworkmanshipand establish standards bywhich the Work willbejudged. Specifications:Thoseportionsofthe Contraa Documents consisting ofwritten technical descriptions of materials,equipment,construaionsystems,standards and workmanship as applied totheWork. SubcontraaonAn individual,firm or corporation having adirect contraa with CONTRACTOR orwith anyotherSubcontraaorfortheperformanceofapartofthe Work atthe construaion site. Substantial Completion:Thedate,ascertifiedbytheCONSULTANT,whentheconstructionofthe Project ora certified partthereofis sufficiently completed,in accordance withtheContraa Documents,sothat the Project,ora substantial part,canbe utilized forthepurposesforwhichitwasintendedwithoutrestrictionor limitation toany degree,otherthanforthe repair of minor "punch list"items;oriftherebenosuch certification, thedatewhen final payment isduein accordance with paragraph 14.9.However,innoevent shall theprojector portion thereof,bedeemedtobe substantially completed until a certificate of occupancy or certificate ofuseis Thomas F.Pepe 2015 02/05/15 lawfully issuedbytheapplicablegovernmental agency.AcertificateofSubstantialCompletion,issuedby the CONSULTANT,shallbenullandvoidif it isbasedonfalse,misleading or inaccurate information,fromanysource, or when it would not have been issue but for the consideration of Work that is thereafter found to be defeaive to adegreegreaterthanthatwhichwould normally tobeconsideredbytheCitytobeminor"punchlist"work Supplier:Any person ororganizationwho supplies materialsorequipmentfortheWork,including the fabricationofanitem,butwhodoes not performlaborat the siteofthe Work. Surety:The individual orentitywhoisanobligoronaBondandwhoisboundwiththe CONTRACTOR for the fullandfaithful performance of the Contract andfor the paymentofalllabor,servicesandmaterialsused on the project. Work:Anyandallobligations,dutiesandresponsibilitiesnecessaryforthesuccessful performance and completion of the Contract. Notice:The term "Notice"as used herein shall mean and include all written notices,demands, instruaions,claims,approvals anddisapprovals required to obtain compliancewith Contraa requirements. Written noticeshallbe deemed tohavebeendulyservedifdeliveredin person to the individual or to a member of the firm or to anofficerof the corporation forwhomitis intended,or to an authorized representative ofsuch individual,firm,or corporation,or ifdeliveredat or sent by registered mail to the lastknownbusinessaddress. Unless otherwise stated inwriting,anynoticeto or demanduponthe OWNER under this Contract shallbe delivered to the CityManagerand the CONSULTANT. ARTICLE 2-PRELIMINARY MATTERS Award: 2.1 The CITY reservesthe right to reject anyandall Bids,atits sole discretion.Bids shallbeawarded bytheCITY to the lowest responsive and responsible Bidder.No Notice ofAwardshallbegivenuntilthe CITYhas concluded itsinvestigation,asitdeemsnecessary,toestablish,to the satisfaaion ofthe CITY, whichBidderisthemostresponsiveandresponsibleofalltheBidderstocomplete the Work withinthe timeprescribedandinaccordancewiththe Contraa Documents.The CITY reservestherightto rejea the Bid ofanyBidderwhoisnot believed tobe,inthesolediscretionandsatisfaaionofthe City,tobe sufficiently responsible,qualified and financial abletoperformthework.In analyzing a Bid,the CITY may alsotake into considerationalternateandunitprices,ifrequestedbythe Bid forms.Ifthe Contract is awarded,the CITYshallissue the NoticeofAwardandgivethesuccessfulBiddera Contract for executionwithinninety(90)dayafteropeningof Bids. Execution of Contraa: 2.2AtleastfourcounterpartsoftheContraa,the Performance and Payment Bond,the Certificates of Insurance,the Binder of Insurance if issued,the Insurance Declaration Page ifnot included inthe Policy of Insurance,the Policy of Insurance required by theContract Documents,the written notice of designated supervisor or superintendent as provided inSection 6.1 of the General Conditions andsuch other Documents as requiredbytheContract Documents shall be executed and delivered by CONTRACTOR tothe CITY within ten (10)calendar days of receipt ofthe Notice of Award.A Contract Document that requires the signature ofa party may be executed in counterparts separately by each ofthe parties and,in such event,each counterpart separately executed shall,withoutproofor accounting fortheothercounterpartbe deemed an original Contraa Document. Forfeiture of Bid Security/Performance and Payment Bond,if any are required bythe applicable RFP: 2.3Withinten (10)calendardaysofbeing notified oftheAward,CONTRACTOR shall furnisha Performance Bond and a Payment Bond containing all the provisions ofthe Performance Bond and Payment Bond attached. 2.3.1 Each Bond shall beinthe amount ofone hundred percent (100%)oftheContract Price guaranteeingtoOWNERthecompletionandperformanceofthe Work coveredinsuch Contract as well as full paymentof all suppliers,material man,laborers,orSubcontractor employed pursuanttothisProjea.Each Bond shall bewithaSurety company whose qualificationsmeettherequirementsofSections2.3.4,2.3.5,and2.3.6. 2.3.2 Each Bond shall continue ineffeafor five yearafter final completion and acceptance oftheWork withthe liability equaltoonehundredpercent (100%)oftheContract Sum. ThomasF.Pepe 2015 02/05/15 2.3.3 Pursuant tothe requirements of Seaion 255.05(I),Florida Statutes,CONTRACTOR shall ensure thatthe Bond(s)referenced above shall be recorded in the public records of Miami-Dade County and provide CITY with evidence of such recording. 2.3.4 Each Bond mustbe executed bya surety company authorized todo business inthe State of Florida as a surety,having a resident agent in the State of Florida and having been in business with a record of successful continuous operation for a least five (5)years. 2.3.5 The surety company shall hold a current certificate of authority as acceptable surety on federal bonds in accordance withthe United States Department of Treasury Circular 570,current revisions. 2.3.6 The CITY shall only be required to accept a surety bond from a company with a rating A.VII or better. 2.3.7 Failure ofthe successful Bidder to execute and deliver the Contraa,and deliver the required bonds andInsurance documents shallbecausefor the CITY to annul the Notice of Award and declarethe Bid andanysecuritytherefore forfeited. Contractor's Pre-Start Representation: 2.4 CONTRACTOR represents that it has familiarized itself with,and assumes full responsibility for having familiarized itselfwiththenature and extentoftheContraa Documents,Work,locality,and with all local conditions and federal,stateand local laws,ordinance,rules and regulations thatmayinany manner affea performance oftheWork,andrepresentsthatit has correlated itsstudy and observations withthe requirements oftheContraa Documents.CONTRACTOR also represents thatit has studied all surveys and investigations,reportsof subsurface andlatent physical conditionsreferred to inthe specifications andmadesuch additional surveysand investigations asitdeemsnecessaryforthe performance ofthe Work reflected in the Contraa Documents and that hehas correlated the results of all such data with the requirements of the Contraa Documents. Commencement of Contraa Time: 2.5 The Contraa Time shall commence to run on the date stated in the Notice to Proceed. Starting the Project: 2.6 CONTRACTOR shall start to performits obligations underthe Contraa Documentsonthedatethe ContractTimecommencestorun.No Work shall bedoneatthesite(asdefinedinArticle I),prior to thedateonwhichtheContractTimecommencestorun,exceptwiththewrittenconsentoftheCITY. BeforeStarting Construaion: 2.7Beforeundertakingeachpartof the Work,CONTRACTOR shall carefullystudyandcomparethe ContractDocumentsand check andverifypertinent figures shown thereon and all applicable field measurementsandconditions.It shall atonce report inwritingto CONSULTANT any conflict,error,or discrepancy whichitmaydiscover.Neitherthe OWNER northe CONSULTANT shall be liable forany harm,damageorlosssufferedby CONTRACTOR as a resultofits failure todiscoverany conflict,error, ordiscrepancyin the Drawings orSpecificationsnorshall the CONTRACTOR be entide to any compensation foranyharm,damageorlosssufferedby the CONTRACTOR due to any conflict,error, ordiscrepancyin the Contract Documents. Schedule ofCompletion: 2.8 Within Five(5)businessdaysafterdeliveryof the Notice to ProceedbyCITYto CONTRACTOR, CONTRACTOR shallsubmit to CONSULTANT forapproval,an estimated construaion schedule indicating the startingand completion datesof the variousstages of the Work,andapreliminaryschedule of ShopDrawingsubmissions.The CONSULTANT shall approvethisscheduleorrequirerevisions thereto withinseven(7)calendardays of its submittal.If there is more thanone CONTRACTOR involved in the Projea,the responsibilityforcoordinating the Work of all CONTRACTORS shallbe providedin the Special Conditions. 2.9Within five (5)business days after delivery oftheexecutedContraabyCITYtoCONTRACTOR,but before starting the Work at the site,a pre-construction conference shall beheld to review the above schedules,to establishproceduresfor handling Shop Drawings and othersubmissions,andfor processing Applicationsfor Payment,andtoestablishaworkingunderstanding between the partiesas to theProjea. Qualifications of Subcontraaors.MaterialmenandSuppliers: 2.10 Within five (5)business days afterbid opening,the apparent lowest responsive and responsible Bidder shall submitto the CITYandthe CONSULTANT foracceptancealistofthenamesof Subcontraaors and suchotherpersonsand organizations (including thosewhoareto furnish principal itemsof materials orequipment)proposedforthoseportionsofthe Work astowhichtheidentityofSubcontractorsand otherpersonsand organizations mustbesubmittedas specified intheContractDocuments.Within thirty(30)calendar days after receiving the list,theCONSULTANT will notifythe CONTRACTOR in writingifeithertheCITYortheCONSULTANThas reasonable objeaiontoany Subcontractor,person, or organization onsuchlist.The failure oftheCITYorthe CONSULTANT tomakeobjectiontoany Subcontractor,person,or organization onthelistwithinthirty(30)calendar daysofthereceipt shall constitute anacceptance of such Subcontraaor,personororganization.Acceptanceofanysuch Subcontraaor,person or organization shall not constitute awaiver of anyright of the CITYor the CONSULTANT to rejea defeaive Work,materialor equipment,orany Work,materialor equipment not in conformance with the requirements of the Contract Documents. 2.11 If,priorto the Notice of Award,theCITYor the CONSULTANT hasreasonable objection toany Subcontraaor,person or organizationlisted,theapparentlowBiddermay,prior to Notice ofAward, submit an acceptable substitute without anincreasein its bidprice. 2.12 The apparentsilenceof the Contraa Documents as to anydetail,or the apparentomissionfrom them of adetaileddescription concerning any Work to bedoneandmaterials to befurnished,shall beregardedas meaning that only best praaices are to prevailandonlymaterialsand workmanship of the best qualityare to beusedin the performance of the Work. ARTICLE 3-CORRELATlON.INTERPRETATION AND INTENT OF CONTRACT DOCUMENTS 3.1 Itis the intent of the SpecificationsandDrawings to describea complete Projea to be construaed in accordancewith the Contract Documents.The Contraa Documents comprise the entire Contract between the OWNER and the CONTRACTOR.Theymaybealteredonlybyamodificationasdefinedin Article I. 3.2The Contraa Documents arecomplementary;whatis called forbyoneisasbindingasifcalledforby all the documents.If CONTRACTOR finds aconflict,errorordiscrepancyinthe Contract Documents,it shall,before proceedingwiththe Work affeaed thereby,immediately call itto the CONSULTANT'S attention inwriting.Thevarious Contraa Documents are complementary;incaseofconflict,error or discrepancy,the more stringent interpretation and requirement thatshallprovide the maximum benefit to the Owner shallapply 3.3The words "furnish"and"furnishand install","install",and"provide"orwordswith similar meaning shall beinterpreted,unlessotherwise specifically stated,tomean"furnishand install completein place and readyforservice". 3.4 'Miscellaneous itemsand accessories which arenot specifically mentioned,butwhichare essential to producea complete andproperlyoperating installation,orusable struaure,providingthe indicated funaions,shall befurnishedand installed without change inthe Contraa Price.Such miscellaneous items andaccessories shall be of thesame quality standards,including material,style,finish,strength,class, weightand other applicable charaaeristics,as specified forthemajorcomponentofwhichthe miscellaneous itemoraccessoryisan essential part,and shall beapprovedbythe CONSULTANT before installation.Theaboverequirementisnotintendedto include majorcomponentsnotcoveredbyor inferablefrom the DrawingsandSpecifications. 3.5The Work of all tradesunderthisContract shall be coordinated bytheCONTRACTORin such a mannerasobtainthe best workmanshippossiblefortheentireProject,and all components ofthe Work shall be installed orerectedin accordance withthebest practices ofthe particular trade. 3.6The CONTRACTOR shall be responsible for making theconstructionof habitable structuresunderthis Contract rain proof,andfor making equipmentand utility installations properly performthe specified function.If the CONTRACTOR is prevented from complying withthis provision duetothe Drawings or Specifications,the CONTRACTOR shall immediately notifytheCONSULTANTinwritingofsuch limitations before proceeding withconstructioninthe area wherethe problem exists. Thomas F.Pepe20l5 02/05/15 3.7 Manufacturer's literature,when referenced,shall bedatedandnumberedandisintendedtoestablishthe minimum requirements acceptable.Whenever reference is given to codes,or standard specifications or other data published by regulating agencies or accepted organizations,including butnot limited to National Electrical Code,applicable State Building Code,Florida Building Code,Federal Specifications, ASTM Specifications,various institute specifications,andthe like,it shall beunderstoodthatsuch referenceistothelatestedition including addendaineffectonthedateofthe Bid. 3.8 Brand names where used in the technical specifications,are intended to denote the standard or quality required forthe particular material orprodua.Theterm "equal"or "equivalent",whenusedin connection with brand names,shall be interpreted to mean a material or product thatis similar and equal intype,quality,size,capacity,composition,finish,color and other applicable characteristics tothe material orprodua specified bytrade name,andthatis suitable forthesameuse capable of performing thesame function,inthe opinion ofthe CONSULTANT,as the material or product so specified.Proposed equivalent items mustbe approved byCONSULTANTbeforetheyare purchased or incorporated inthe Work.(When abrandname,catalog number,modelnumber,or other identification,isused without the phrase "or equal",theCONTRACTOR shall usethe brand,makeandmodel specified). 3.9Throughoutthisagreementthemalepronounmaybesubstitutedfor female andneuterandviceversa andthe singular wordssubstitutedfor plural and plural wordssubstitutedfor singular wherever applicable. 3.10 All technical interpretations shall bemadebythe CONSULTANT assetforthinSection9.3below. 3.11 TheCONTRACTOR shall advised the CONSULTANT,prior to performing anywork involving a conflict in the Contraa Documents and the CONSULTANT shall make the final decision as to which of the documents shall take precedence.In the event that there isa conflia between oramongthe Contraa Documents,only the latestversion shall applyandthelatestversion of the Contract Documents.The CONSULTANT shalluse the followinglist of Contraa Documents asaguide.These documents are set forth below in the order of their precedence sothatall the documents listedaboveagiven document shouldhave precedence over all the documents listed below it. (a)Change Orders (b)Amendments/addenda to Contraa (c)Special Conditions,if any (d)SupplementaryConditions,ifany (e)Contraa with allExhibits thereto (f)General Conditions (g)Written orfigureddimensions (h)Scaled dimensions (i)Drawings of alargerscale (j)Drawings of asmallerscale (k)Drawings and Specifications aretobeconsideredcomplementary to eachother ARTICLE 4-AVAILABILITY OF LANDS SUBSURFACE CONDITIONS REFERENCE POINTS Availability of Lands: 4.1 The OWNER shallfurnish,asindicatedin the Contract Documents,the landsuponwhichthe Work isto bedone,rights-of-wayforaccess thereto,andsuch other lands whicharedesignedfor the useof the CONTRACTOR.Easements forpermanentstructuresorpermanentchangesin existing facilities willbe obtainedand paid forbythe OWNER,unlessotherwisespecifiedintheContractDocuments.Other access to suchlandsorrights-of-wayfor the CONTRACTOR'S convenience shall betheresponsibilityof the CONTRACTOR. The CONTRACTOR shallprovidefor all additional landsandaccess thereto thatmayberequiredfor temporary construction facilities orstorageofmaterialand equipment. 4.2 The CITY will,uponrequest,furnish tothe Bidders,copiesof all available boundarysurveysand subsurface tests at no cost. Subsurface Conditions: 4.3The CONTRACTOR acknowledges thathehas investigated priorto bidding and satisfied himselfasto the conditions affeaing the Work,including but not limitedto those bearingupon transportation, disposal,handling andstorageof materials,availability of labor,water,electricpower,roadsand Thomas F.Pepe 2015 02/05/15 uncertainties ofweather,river stages,tides,watertablesor similar physical conditions atthesite,the conformation and conditions ofthe ground,thecharaaerofequipment and facilities needed preliminary to and during prosecution oftheWork.The CONTRACTOR further acknowledges thathe has satisfied himself astothe charaaer,quality and quantity of surface and subsurface materials or obstacles tobe encounteredinsofarasthisinformationisreasonably ascertainable fromaninspectionof the site, including all exploratoryworkdonebytheOWNER/CONSULTANTonthesiteoranycontiguoussite, aswellasfrominformationpresentedbythe Drawings and Specifications madepartofthisContract,or any other information made available toit prior toreceiptof bids.Any failure bytheCONTRACTORto acquaint itselfwiththe available information shall not relieve it from responsibility for estimating properly the difficulty orcostof successfully performing Work.The OWNER assumesno responsibility forany conclusions orinterpretationsmadebythe CONTRACTOR onthe basis oftheinformationmade available by the OWNER/CONSULTANT. DifferingSite Conditions: 4.4The CONTRACTOR shall withinfortyeight(48)hoursofitsdiscovery,andbeforesuchconditionsare disturbed,notify the CITYinwriting,of: 4.4.1 Subsurfaceorlatent physical conditionsat the sitedifferingmateriallyfrom those indicatedinthe Contract Documents,and 4.4.2 Unknown physical conditionsatthesite,of anunusualnature,differingmateriallyfrom those ordinarily encountered and generally inherentin Work of the characterprovidedforinthis Contract.The CITY shall promptly investigate the conditions,andifitfindsthatsuch conditions domateriallydifferto the extent astocauseanincreaseordecreaseinthe CONTRACTOR'S costof,or the time requiredfor,performanceofanypart of the Work underthisContract,an equitable adjustment shallbemadeandthe Contract modifiedinwriting accordingly. 4.5Noclaim of the CONTRACTOR under thisclauseshallbeallowedunless the CONTRACTOR hasgiven the notice required in4.4above;provided,however,the time prescribed therefore maybe extended by the CITY,but only if done in writing signedby the City Manageror the CONSULTANT. ARTICLE 5-INSURANCE 5.0The Contraaor shallpurchaseinsurancefromandshallmaintaintheinsurancewitha company or companieslawfully authorized todobusinessintheState of Florida aswill protect the Contraaor from claimsassetforth below whichmayarise out oforresultfromthe Contractor's operationsunder the Contraa andforwhich the Contractor maybe legally liable,whether suchoperationsbebythe Contractor orbya Subcontractor orbyanyone direaly orindirectly employed byany of them,orby anyonefor whose actsany of them maybe liable: 5.0.1 claimsunder workers'compensation,disability benefitand other similar employee benefit acts whichareapplicableto the Work tobeperformed; 5.0.2claimsfordamagesbecauseofbodily injury,occupationalsicknessordisease,ordeath of the Contraaor's employees; 5.0.3 claims for damages becauseofbodily injury,sicknessor disease,ordeathofanypersonother than the Contractor's employees; 5.0.4 claims fordamagesinsuredby usual personal injury liability coverage; 5.0.5 claims for damages,other thantothe Work itself,becauseofinjurytoordestructionof tangible property,includingloss of useresulting there from; 5.0.6 claims for damages becauseof bodily injury,deathofapersonorproperty damage arising out of ownership,maintenance or use of a motor vehicle; 5.0.7 claims forbodily injury orproperty damage arising outofcompleted operations;and 5.0.8 claims involving contractual liability insurance applicable totheContractor's obligations underthe Contract. Contractor's Liability Insurance: 5.1 CONTRACTOR shall provideand maintain inforceandeffectuntil all the Work tobeperformedunder thisContracthasbeen completed andacceptedby OWNER (orforsuchdurationasisotherwise specified hereinafter),the insurance coveragewrittenon Florida approvedformsandas set forthbelow: Thomas F.Pepe 2015 02/05/15 5.1.1 Worker's Compensation insurance atthe statutory amount as to all employees in compliance withthe "Workers*Compensation Law"ofthe State of Florida and all applicable federal laws.In addition,the policy(ies)must include:Employers'Liability atthe statutory coverage amount.The CONTRACTOR shall further insure that all ofits Subcontraaors maintain appropriate levels of Worker's Compensation Insurance. 5.1.2 Comprehensive General Liability insurance with broad form endorsement,ona Florida approved form including automobile liability,completed operations and products liability,contraaual liability, severability of interest with cross liability provision,and personal injury and property damage liability with limits of$1,000,000 combined single limit per occurrence and $2,000,000 aggregate,including: Personal Injury:$1,000,000; Medical Insurance:$5,000per person; Property Damage:$500,000each occurrence; Automobile Liability:$1,000,000 each accident/occurrence. Excess/Umbrella:$1,000,000 per claim 5.1.2.1 UmbrellaCommercialComprehensiveGeneral Liability insurance shall be written ona Florida approvedformwiththesamecoverageastheprimary insurance policybutin the amountof$1,000,000 perclaimand$2,000,000AnnualAggregate.Coveragemustbeaffordedonaformno more restriaive thanthelatesteditionoftheComprehensiveGeneral Liability policy,without restrictiveendorsements,as filedby the Insurance Services Office,and must include: (a)PremisesandOperation (b)Independent Contractors (c)Productsand/or Completed OperationsHazard (d)Explosion,CollapseandUnderground Hazard Coverage (e)BroadFormProperty Damage (f)BroadForm Contraaual Coverage applicable tothisspecificContract,including any hold harmless and/or indemnification agreement. (g)PersonalInjuryCoveragewithEmployeeand Contraaual Exclusions removed,with minimumlimits of coverageequalto those requiredforBodily Injury Liability and Property Damage Liability. 5.1.3 Business Automobile Liability withminimumlimitsofOne Million Dollars($1,000,000.00)plusan additional One Million Dollar($1,000,000.00)umbrellaperoccurrencecombinedsinglelimit for Bodily Injury Liability andPropertyDamage Liability.Umbrellacoverage must beaffordedonaformnomore restrictive than the latest edition of the Business Automobile Liability policy,without restriaive endorsements,asfiledby with the state of Florida,and must include: (a)Owned Vehicles. (b)Hiredand Non-Owned Vehicles (c)Employers'Non-Ownership 5.2 Before starting the Work,the CONTRACTOR shall deliverto the CITYand CONSULTANT certificates ofsuch insurance,acceptabletotheCITY,aswellasthe insurance binder,the declaration page and all applicable endorsementsand policies of insurance and provide thename,address and telephonenumber ofthe insurance agentorbroker through whomthe policy was obtained.Theinsurer shall berated A.VII or better perA.M.Best'sKey Rating Guide,latesteditionandauthorizedtoissue insurance inthe Stateof Florida and shall notbea surplus lines carrier astothe policies itissuespursuantthese insurance requirements.All insurance must remain in full force and effectforthe duration ofthecontraa period withtheOwner.All insurance policies mustbewrittenon forms approved bytheStateof Florida and theymust remain in full force andeffect for the duration ofthecontraa period withthe Owner.The CONTRACTOR mustprovidenotonlya "certified copy"ofthe Binder butalsothe Policy,as defined in Article I aboveaswellasthename,addressandphonenumber of theagent and agency procuring the insurance.Inaddition,the CONTRACTOR shalldeliver,at the time ofdeliveryoftheinsurance certificate,anendorsementtothe policy naming theOwnerasan additional named insured andan endorsementthat requires the insurer to provide theOWNERwith notice,asset forth below,of modification,lapse,terminationor cancellation (including cancellation fornon-paymentof premium)of the policy 10 days priortoeffective date ofthe modification,lapse,termination or cancellation,including cancellation fornon-paymentof premium.The notification shall bein writing andservedby certified mail, Thomas F.Pepe 2015 02/05/15 with proof of deliver,onthe OWNER.It shall bethe responsibility ofthe CONTRACTOR as well as the insurer to notify the Owner of modification,termination or cancellation,lapse or modification of any insurance coverage or policies insuring the CONTRACTOR,which relate tothe activities of such CONTRACTOR and theCityofSouth Miami.Therefore,theCONTRACTOR shall deliver,atthetime of delivery ofthe insurance policy,the following endorsements unless the policy contains substantially similarprovisions: (a)"The City of South Miami is an additional insured.The insurer shall pay all sums thatthe City of South Miami becomes legally obligated to pay as damages because of 'bodily injury",property damage', or "personal and advertising injury"and it will provide totheOwner all ofthe coverage thatis typically provided underthe standard Florida approved forms for commercial general liability coverage Aand coverage B"; (b)"This policy shall notbe cancelled (including cancellation for non-payment of premium),materially modifiedorterminated,without first giving theCityofSouth Miami ten (10)daysadvanced written noticeof the intent tocancelor terminate thepolicyforanyreason." 5.2.1.The Contraaor's insuranceagentmustprovidetheCitywithevidencethat the insurer issuing the policy is licensed and authorized todo business in Florida,thatthe form ofthe policy being issued has beenapprovedbytheStateof Florida and thatthe insurance carrierthatis issuing thepolicyisnot issuing the policy asa surplus lines carrier.The agent shall also providea citation tothe page numberofthe policy,ortheformnumberoftheendorsement,and highlight therelevant language oftheportionofthe policy and/ortheendorsementsthat,inhisorherestimation,meetsthe following Cityinsurance requirements.: a)the cityisanadditionalinsured; b)coverageincludescontractual liability; c)theCitywillbeprovidedatleast 10 days advanced noticeofany cancellation ofthe policy, including cancelation fornon-paymentofpremium,andatleast30days'advancednoticeofany materialchanges to the policyorofcancellationforanyreason other thannon-payment;and d)eitherapolicyprovisionoran endorsement providingthatthepolicyisprimaryandnon- contributory,suchasan endorsement thatprovides that the vendor'spolicyisprimaryoverallof the city'sapplicableinsuranceandthat treats the city'spoliciesas excess coverage. Itmaybe that some of these provisionsare combined into one endorsement or contained in the policy itself.If the policydoes not haveaprovisionor endorsement that provides the Citywithadvanced notice ofcancellationasrequiredby the City,the contractor maystillcomplywith the City'sinsurance requirement if the contraaor providestheCitywith proof that the policypremiumhasbeen paid in full andprovided the contraaor makesarrangementswithitsinsurancecompany to allow the Cityto confirm,monthly,that thepolicyisin full forceand effea.Inaddition,the Contractor must eitherpay the Citya monthly monitoringfee,currentlysetat$25permonth,orhavethe amount deducted from the Contraaor's draws/payments. 5.3 SUBCONTRACTS:The CONTRACTOR agreesthatifanypart of the Work under the Contraa is sublet,the subcontract shallcontain the sameinsuranceprovisionas set forthin seaion 5.1 and5.2above and substituting the word SUBCONTRACTOR forthe word CONTRACTOR and substituting the work CONTRACTOR forCITYor OWNER where applicable. FireandExtendedCoverageInsurance(Builders'Risk): 5.4 In the event that this contraa involves the construction of a struaure,the CONTRACTOR shall maintain,withanInsurance Company orInsuranceCompaniesacceptableto the CITY,Fire,Extended CoverageandVandalism&Malicious MischiefInsuranceonbuildingsand structures,whilein the courseof construction,includingfoundations,additions,attachmentsand all permanentfixturesbelongingtoand constitutingapartofsaid buildings orstructures.Thepolicyorpolicies shall alsocover machinery,ifthe cost of machineryisincludedintheContract,orifthemachineryislocatedina building thatisbeing renovatedbyreason of thiscontract.The amount ofinsurance must atalltimesbeatleastequalto the actualcashvalue of the insured property.The policyshallbeinthename of the OWNER and the CONTRACTOR,astheir interest mayappear,and shall also cover the interests ofallSubcontractors performing Work. Thomas F.Pepe 2015 02/05/15 5.5 The CONTRACTOR shall provide the CITY with evidence satisfaaory tothe CITY certifying thatthe foregoing insurance isin force;and such evidence shall include provisions thatthe insurance shall notbe canceled or materially changed until at least 10 calendar days prior written notice has been given bythe insurer to the OWNER bycertified mail. Miscellaneous; 5.6 If any notice of cancellation of insurance or change in coverage is issued bythe insurance company or should any insurance havean expiration datethat will occur during theperiodofthis contract,the CONTRACTOR shall be responsible for securing other acceptable insurance priorto such cancellation, change,or expiration soasto provide continuous coverage as specified inthissectionandsoasto maintain coverage during the life of this Contract 5.7All deductibles mustbe declared bytheCONTRACTORandmustbe approved bythe CITY.Atthe option of the CITY,either the CONTRACTOR shall eliminateor reduce suchdeductible or the CONTRACTOR shall procurea Bond,inaformsatisfaaorytotheCITYcoveringthe same. 5.8 The policies shall contain waiver of subrogation against Ownerwhere applicable,shall expressly provide thatsuch policy or policies are primary overanyother collectable insurance thatOwnermayhave.The Cityreserves the rightatanytimetorequestacopyoftherequired policies forreview.All policies shall contain a"severability of interest"or"cross liability"clause without obligation forpremiumpaymentof the OWNER. ARTICLE 6 -CONTRACTOR'S RESPONSIBILITIES SupervisionandSuperintendence: 6.1 TheCONTRACTOR shall supervise and directtheWork.It shall be solely responsible forthe means, methods,techniques,sequencesandproceduresof construaion.The CONTRACTOR shall employand maintainaqualified supervisor or superintendent (hereinafter referred to as "Supervisor"at the Work site who shallbedesignatedinwritingbythe CONTRACTOR,before the CONTRACTOR commences the Work andwithin the time requiredbytheContract,as the CONTRACTOR'S representative at the site.The Supervisororsodesignated shall have full authority to aa onbehalf of the CONTRACTOR and all communicationsgivento the Supervisor shall beasbindingasifgiven to the CONTRACTOR.The Supervisor(s)shall be present ateachsiteatalltimesasrequired to performadequatesupervisionand coordinationofthe Work.(Copiesof written communicationsgiventotheSupervisor shall bemailedto the CONTRACTOR'S home office). 6.1.1 The CONTRACTOR shall keeponerecordcopyofall Specifications,Drawings,Addenda, Modifications and Shop Drawings at the siteat all times and in good order and annotated to show all changesmadeduring the constructionprocess.These shall be available to the CONSULTANT andanyCITYRepresentative at all reasonable times.Asetof"As-Built" drawings,aswellas the original Specifications,Drawings,Addenda,Modifications andShop Drawings withannotations,shall bemade available to the Cityatalltimesandit shall be delivered to the CITYupon completion oftheProject. Labor.MaterialsandEquipment: 6.2The CONTRACTOR shall providecompetent,suitably qualified personneltolayoutthe Work and perform construaion asrequiredbytheContractDocuments.It shall at all times maintain good disciplineand order at the site. 6.3 The CONTRACTOR shallfurnishallmaterials,equipment,labor,transportation,construction equipment and machinery,tools,appliances,fuel,power,light,heat,local telephone,waterand sanitary facilities and all other facilities and incidentals necessary fortheexecution,testing,initial operationandcompletionof the Work. 6.4All materials andequipment shall benew,except asotherwiseprovidedin the Contraa Documents. When special makesor grades of material whichare normally packaged bythe supplier or manufacturer are specified or approved,such materials shall be delivered tothesiteintheir original packages or containers with seals unbroken and labels intaa. 6.5 All materials and equipment shall be applied,installed,connected,ereaed,used,cleaned and conditioned inaccordancewith the instruaions of the applicable manufacturer,fabricator,orprocessors,except as otherwise providedin the Contract Documents. Thomas F.Pepe 2015 02/05/15 Work.Materials.Equipment.Produas andSubstitutions: 6.6 Materials,equipment and produas incorporated in theWork must be approved for use before being purchased by the CONTRACTOR.The CONTRACTOR shall submit tothe CONSULTANT a list of proposed materials,equipment or produas,together with such samples as may be necessary for them to determine their acceptability and obtain their approval,within ninety (90)calendar days after award of Contract unless otherwise stipulated in the Special Conditions.No request for payment for "or equal" equipment will be approved until this list has been received and approved bythe CONSULTANT. 6.6.1 Whenevera material,article or piece ofequipmentis identified onthe Drawings or Specifications by reference to brand name or catalog number,it shall be understood that this is referenced forthe purpose of defining the performance orother salient requirements and that other products of equal capacities,quality and function shall be considered.The CONTRACTORmay recommend the substitution ofa material,article,or piece ofequipmentof equal substance and function for those referred tointheContraa Documents by reference to brand nameor catalog number,and if,inthe opinion oftheCONSULTANT,such material, article,or piece of equipment isof equal substance and funaiontothat specified,the CONSULTANTmay approve its substitution andusebytheCONTRACTOR.Incidental changes orextracomponent parts required to accommodate the substitute will be made bythe CONTRACTOR without achangeinthe Contraa Price or the Contraa Time. 6.6.2No substitute shall beorderedor installed without the written approvalofthe CONSULTANT who shallbe the judge of quality. 6.6.3 Delay caused by obtaining approvals forsubstitute materials shall notbe considered justifiable groundsforan extension of construction time. 6.6.4Shouldany Work or materials,equipmentorproductsnotconformtorequirementsofthe Drawings and Specifications orbecome damaged duringtheprogressoftheWork,such Work ormaterials shall beremovedand replaced,together withany Work disarranged bysuch alterations,atanytimebeforecompletionandacceptanceoftheProject.Allsuch Work shall be done at the expense ofthe CONTRACTOR. 6.6.5No materials or supplies forthe Work shall be purchased bythe CONTRACTOR orany Subcontraaor subjea toanychattelmortgageorunderaconditionalsaleor other agreement by whichan interest isretainedby the Seller.The CONTRACTOR warrantsthattheyhavegood title toallmaterialsandsuppliesusedby them in the Work. 6.6.6 Non-conforming Work:The CityofSouth Miami maywithholdacceptanceof,or rejea items whicharefounduponexamination,notto meet the specification requirements or conform to the plansanddrawings.Upon written notification of rejection,items shall be removed or uninstalled within five (5)business days bythe CONTRACTOR athisownexpense and redeliveredand/orreinstalledathisexpense.Rejeaed goodsleftlongerthanthirty(30)calendar days shall beregardedasabandonedandtheCITY shall havetheright to disposeofthemasits own property and the CONTRACTOR thereby waivesanyclaim to thegoodorto compensation of anykindforsaidgoods.Rejectionfor non-conformance or failure tomeet delivery schedules mayresultin the CONTRACTOR beingfoundindefault. 6.6.7 In case of defaultby the CONTRACTOR,the City of South Miami may procure thearticlesor services from other sources andholdthe CONTRACTOR responsible forany excess costs occasioned or incurred thereby. 6.6.8 The CITY reserves the right,in the event the CONTRACTOR cannot provideanitem(s)or service(s)inatimelymannerasrequested,to obtain the goodand/orservicesfromother sources and deduaing the cost fromthe Contraa Price without violatingthe intent of the Contract. Thomas F.Pepe 2015 02/05/15 Concerning Subcontraaors: 6.7 The CONTRACTOR shall not employ any Subcontractor,against whomthe CITY orthe CONSULTANT may have reasonable objeaion,nor will the CONTRACTOR be required to employ any Subcontractor who has beenacceptedbytheCITYandtheCONSULTANT,unless theCONSULTANT determinesthat there is goodcausefordoingso. 6.8TheCONTRACTOR shall be fully responsible for all acts and omissions ofits Subcontractors and of persons and organizations directly or indirectly employed byit and of persons and organizations for whose acts anyofthem may be liable tothe same extentthattheyare responsible fortheacts and omissions of persons directly employed by them.Nothing in theContraa Documents shall create any contractual relationship between OWNERor CONSULTANT and any Subcontractor orother person or organization having adireacontraawith CONTRACTOR,nor shall itcreate any obligation onthe part ofOWNERorCONSULTANTto pay ortosee to payment of any personsdue subcontractor orother person or organization,except asmayotherwiseberequiredbylaw.CITYor CONSULTANT may furnish toanySubcontraaororother person or organization,totheextent praaicable,evidence of amounts paid tothe CONTRACTOR onaccountof specified Work donein accordance withthe schedule values. 6.9The divisions andsectionsofthe Specifications andthe identifications ofany Drawings shall notcontrol theCONTRACTORin dividing the Work among Subcontractors or delineating the Work performed by anyspecific trade. 6.10 The CONTRACTOR agreestobind specifically everySubcontraaortothe applicable termsand conditions of the Contraa Documents for the benefit of the OWNER. 6.11 All Work performed fortheCONTRACTORby a Subcontractor shall be pursuant toan appropriate agreement between the CONTRACTOR and the Subcontraaor. 6.12 The CONTRACTOR shall beresponsibleforthe coordination ofthetrades,Subcontractors material and men engaged upon their Work. 6.12.1 The CONTRACTOR shall causeappropriateprovisionstobeinsertedinallsubcontracts relative to the Work tobindSubcontractors to the CONTRACTOR bythe terms of these GeneralConditionsand other Contraa Documents insofaras applicable to the Work of Subcontraaors,andgivethe CONTRACTOR thesame power asregards to terminatingany subcontraa that the OWNER may exercise over the CONTRACTOR underanyprovisions of the Contraa Documents. 6.12.2 The CITY or CONSULTANT will not undertake to settle anydifferences between the CONTRACTOR and their Subcontractors or between Subcontraaors. 6.12.3 If in the opinion of the CONSULTANT,any Subcontraaor on the Project proves tobe incompetent or otherwise unsatisfaaory,they shall bepromptlyreplacedbythe CONTRACTOR ifandwhendirectedbythe CONSULTANT inwriting. 6.12A Discrimination:No aaion shall betakenbytheany subcontraaor withregardto the fulfilmentofthe terms ofthesubcontract,including the hiring and retention ofemployeesfortheperformanceof Work thatwoulddiscriminate against anypersononthebasisofrace,color,creed,religion,national origin,sex, age,sexual orientation,familial statusor disability.This paragraph shallbemadeapartofthe subcontraaor's contract with the Contractor. PatentFeesandRoyalties: 6.13 TheCONTRACTOR shall pay all license fees and royalties and assume all costs incident totheuseof any invention,design,process ordevicewhichisthesubjectofpatentrightsorcopyrightsheldbyothers.He shall indemnify andhold harmless theOWNERandtheCONSULTANTandanyonedirectlyor indirectly employed byeitherofthemfrom against all claims,damages,losses and.expenses (including attorney's fees)arising out ofanyinfringementofsuch rights duringorafterthecompletionofthe Work,and shall defend all suchclaimsin connection withany alleged infringementofsuchrights. 6.14 The CONTRACTOR shall beresponsiblefordeterminingthe application of patentrightsand royalties materials,appliances,articlesorsystemspriorto bidding.However,he shall not beresponsibleforsuch determinationonsystemswhichdonotinvolve purchase bythemof materials,appliances and articles. Thomas F.Pepe 2015 02/05/15 Permits: 6.15 The CONTRACTOR shall secureand pay for all construction permitsand licenses and shall payfor all governmental charges and inspection fees necessary for the prosecution oftheWork,which are applicable atthetimeof his Bid.When such charges are normally made bythe CITY and when so stated inthe Special Conditions,there will beno charges tothe CONTRACTOR.TheCITY shall assist the CONTRACTOR,when necessary,in obtaining such permits and licenses.TheCONTRACTOR shall also payallpublicutilitycharges. Electrical Power andLighting: 6.16 Electrical power required during construction shall be provided byeachprimeCONTRACTORas required byit.Thisservice shall be installed bya qualified electrical Contractor approved bythe CONSULTANT.Lighting shall beprovidedbythe CONTRACTOR in all spacesat all timeswhere necessaryforgoodandproperworkmanship,for inspection orforsafety.Notemporarypower shall be used off temporary lighting lines without specificapproval of the CONTRACTOR. LawsandRegulations: 6.17 The CONTRACTOR shall comply with all notices,laws,ordinances,rulesandregulations applicable to the Work.If the CONTRACTOFL observes that the Specifications or Drawingsareatvariance therewith, itshallgive the CONSULTANT prompt written notice thereof,andanynecessarychanges shall be adjustedbyanappropriatemodification.Ifthe CONTRACTOR performs any Work knowingittobe contrary to suchlaws,ordinances,rulesandregulations,and without such notice to the CONSULTANT, itshallbearall costs arising there from;however,itshall not beitsprimaryresponsibility to makecertain that the DrawingsandSpecificationsareinaccordancewithsuchlaws,ordinances,rulesandregulations. Discrimination: 6.17A No actionshallbetakenby the Contractor withregard to the fulfilment of the terms of the Contract, including the hiringand retention of employees forthe performance of Work thatwoulddiscriminate againstanypersononthebasis of race,color,creed,religion,nationalorigin,sex,age,sexualorientation, familial status or disability. Taxes: 6.18 Cost of allapplicablesales,consumer use,and other taxesforwhich the CONTRACTOR isliableunder the Contraa shall beincludedinthe Contract Pricestatedbythe CONTRACTOR. SafetyandProtection: 6.19 TheCONTRACTOR shall be responsible for initiating,maintaining and supervising all safety precautions and programs inconneaionwiththeWork.They shall take all necessary precautions for the safety of, and shall providethe necessary protectiontoprevent damage,injuryorlossto: 6.19.1 Allemployees and other persons,whomaybe affected thereby, 6.19.2 AlltheWork and all materials or equipment tobe incorporated therein,whetherin storage on or off the site,and 6.19.3 Other property atthesiteor adjacent thereto,including trees,shrubs,lawns,walks,pavements, roadways,struaures and utilities not designated for removal,relocation or replacement inthe course of construction. 6.20 The CONTRACTOR shall designate a responsible member oftheir organization atthesite whose duty shall bethe prevention of accidents.This person shall betheCONTRACTOR'S Superintendent unless otherwise designatedinwritingbythe CONTRACTOR totheCITY. Emergencies: 6.21 In emergencies affeaing thesafetyof persons ortheWorkorpropertyatthesiteor adjacent thereto, the CONTRACTOR,without special instructionorauthorizationfrom the CONSULTANT orCITY,is obligated to act,at his discretion,toprevent threatened damage,injury or loss.He shall give the CONSULTANTpromptwrittennoticeofany significant changes inthe Work or deviations from the Contraa Documents caused thereby.Ifthe CONTRACTOR believes that additional Work done by him inanemergencywhicharosefromcausesbeyondhiscontrol entitles himtoanincreaseinthe Contraa Thomas F.Pepe 2015 02/05/15 Price or an extension ofthe Contract Time,he may make a claim therefore as provided in Articles 11 and 12. Shop Drawings and Samples: 6.22After checking and verifying all field measurements,theCONTRACTOR shall submittothe CONSULTANT for review,in accordance with the accepted schedule of shop drawing submissions,six (6)copies (oratthe CONSULTANT option,one reproducible copy)of all Shop Drawings,which shall have been checked by and stamped with the approval ofthe CONTRACTOR.The Shop Drawings shall be numbered and identified as the CONSULTANT may require.The data shown onthe Shop Drawings shall becompletewith respea to dimensions,design criteria,materials ofconstruction and theliketo enable the CONSULTANT to review the information without any unnecessary investigation. 6.23 The CONTRACTOR shall also submit tothe CONSULTANT for review,with such promptness as to causenodelayin Work,all samplesrequiredbytheContractDocuments. All samples shall have been checked by and stamped withthe approval ofthe CONTRACTOR,identified clearly asto material,manufacturer,any pertinent catalog numbersandtheuseforwhichintended. 6.24 Atthetimeof each submission,the CONTRACTOR shall notify the CONSULTANT,in writing,of any deviations betweentheShop Drawings or samples andtherequirementsofthe Contraa Documents. 6.25 TheCONSULTANT shall reviewwith responsible promptness Shop Drawings and Samples,but his review shall beonlyforconformancewiththe design conceptoftheProjeaandfor compliance withthe information given intheContractDocuments.Thereviewofa separate itemassuch will notindicate reviewof the assemblyinwhichtheitems functions.The CONTRACTOR shall makeany correaions requiredbytheCONSULTANT and shall return the required number of correaed copiesofShop Drawingsand resubmit new samples until the reviewis satisfaaory to the CONSULTANT.The CONTRACTOR shall notifytheCONSULTANT,in writing,ofanypriorShop Drawing orrevisionsto ShopDrawingsthatarein conflia witheachsubmissionorre-submission.The CONTRACTOR'S stamp of approval onanyShop Drawings orsample shall constitute representationto the CITYandthe CONSULTANT that the CONTRACTOR haseitherdeterminedand/orverified all quantities,dimension, field construaion criteria,materials,catalog numbersand similar dataortheyassume full responsibility fordoingso,and that they havereviewedorcoordinatedeachShop Drawing orsamplewiththe requirements of the Work and the Contract Documents. 6.26No Work requiringasubmittalofaShop Drawing orsampleshallbe commenced until the submissionhas been reviewed andapprovedinwritingby the CONSULTANT.AcopyofeachShopDrawingandeach approved sample shall bekeptingoodorder,inabookor binder,in chronological orderorinsuchother order required by the CONSULTANT inwriting,by the CONTRACTOR at the siteand shall be available to the CONSULTANT. 6.27The CONSULTANT'S reviewofShopDrawingsorsamples shall not relieve the CONTRACTOR from his responsibility foranydeviationsfrom the requirements of the Contraa Documents unless the CONTRACTOR has informed the CONSULTANT,inwriting,to eachdeviationatthe time of submissionand the CONSULTANT hasgiven written approval to the specificdeviation,nor shall any reviewby the CONSULTANT relieve the CONTRACTOR fromresponsibilityfor errors oromissionsin the ShopDrawingsorsamples. 6.271 The CONTRACTOR shallbeliableto the OWNER foranyadditional cost ordelay that iscausedbyits failure tonotify the CONSULTANT ofany of saiddeviationsor conflias between Shop Drawings ordue to errors in the ShopDrawingsorsamples. CleaningUp: 6.28The CONTRACTOR shallcleanupbehindthe Work asmuchasisreasonablypossibleasthe Work progresses.UponcompletionoftheWork,andbefore acceptance of final paymentfortheProjeabythe OWNER,the CONTRACTOR shall remove allhissurplusanddiscardedmaterials,excavated material andrubbishaswellasall other materialand equipment thatdoes not formapartof the Work,fromthe property,roadways,sidewalks,parking areas,lawn and all adjacent property.In addition,the CONTRACTOR shall cleanhisportionof Work involvedin any building underthisContract,sothatno further cleaning bythe OWNER isnecessarypriortoitsoccupancyandhe shall restore all property,both public and private,whichhasbeen disturbed or damaged during the prosecution ofthe Work soasto leave the whole Work and Work Siteina neat andpresentable condition. Thomas F.Pepe 2015 02/05/15 6.29 If the CONTRACTOR doesnotcleanthe Work site,theCITYmaycleanthe Work Siteofthe materials referredtoin paragraph 6.28 and charge thecosttotheCONTRACTOR. Public Convenience andSafety: 6.30 The CONTRACTOR shall,atall times,conduct the Work insucha manner as to insure the least praaicable obstruaionto public travel.The convenience ofthe general public and ofthe residents along and adjacent totheareaof Work shall be provided forina satisfactory manner,consistentwiththe operationand local conditions."StreetClosed"signs shall be placed immediately adjacent tothe Work,in a conspicuous position,atsuch locations as traffic demands.Atanytimethatstreetsarerequiredtobe closed,the CONTRACTOR shall notifylaw enforcement agencies andin particular,theCity of South Miami Police Department,beforethestreetisclosedand again assoonasitisopened.Accesstofire hydrantsandotherfire extinguishing equipment shall beprovidedand maintained at all times. SanitaryProvisions: 6.31 The CONTRACTOR shallprovideon-site office,andnecessarytoilet facilities,secludedfrompublic observation,foruse of allpersonnelonthe Work Site,whether or not inhisemploy.Theyshallbe kept inacleanandsanitaryconditionandshallcomplywith the requirements andregulations of the Public Authorities havingjurisdiction.Theyshall commit nopublicnuisance.Temporary field office andsanitary facilities shallbe removed upon completion ofthe Work andthepremisesshallbeleftclean. Indemnification: 6.32The CONTRACTOR shallindemnifyandholdharmless the OWNER andthe CONSULTANT,aswellas their officers,agentsand employees oranyof them fromandagainstclaims,damages,lossesand expenses (including but not limited to attorneys'fees)receivedorsustainedbyanypersonorpersons duringoron account of or arising out of any operations connected with the Work,butonly to the extent causedin whole or inpartby the negligent aas or omissions of the CONTRACTOR,a Subcontractor, oranyonedirectlyorindirectly employed bythemoranyonefor whose acts they are liable.This indemnificationprovisioniscumulativewith all other remediesor other indemnificationprovisions containedin the Contract Documents.The CONTRACTOR shall pay all claimsandlossesofanykindor nature whatsoever,inconnection therewith,including the CITY's attorney's fees andexpensesinthe defenseofany aaion inlaworequitybrought against theOwner arising fromeitherthe negligent,willful, wantonorintentionalerror,omission,or aa ofthe CONTRACTOR,its sub-contraaor orassignsas wellas all oftheir agents,representatives or employees,incident to,arising outofor resulting fromthe performance ofthe CONTRACTOR'S services under this Agreement.TheCONTRACTOR agrees and recognizesthatthe Owner shall notbeheld liable orresponsibleforany claims,including thecostsand expenses ofdefendingsuch claims whichmayresultfromorariseoutofactionsoromissionsofthe CONTRACTOR,its sub-contraaor or assigns as well as all of their agents,representatives or employees. Inreviewing,approvingor rejeaing anysubmissionsoractsofthe CONTRACTOR,the Owner inno way assumes or shares responsibility or liability oftheCONTRACTOR,orits sub-contractor or assigns, orany of theiragents,representativesoremployees 6.33 In theeventthat any action or proceeding is brought against OWNER or CONSULTANT by reason of anysuch claim ordemand,CONTRACTOR,uponwrittennoticefromCITY shall defendsuchaaionor proceeding by counsel satisfactory to CITY.The indemnification provided above shall obligate CONTRACTOR to defend atitsown expense orto provide for such defense,at CITY'S option,any and all claims of liability and ail suits and aaionsof every name and description that may be brought against OWNERorCONSULTANT,excluding onlythose claims that allege thatthe injuries aroseoutofthe solenegligence of OWNER or CONSULTANT. 6.34 The obligations ofthe CONTRACTOR under paragraph 6.33 shall not extend tothe liability ofthe CONSULTANT,its agents or employees arising outof (a)the preparation or approval of maps,drawings, opinions,reports,surveys,Change Orders,designs or specifications or(b)the giving oforthe failure to give direaionsor instructions by the CONSULTANT,its agents or employees provided such actor omissionistheprimarycauseofinjuryor damage. 6.34A Allofthe forgoing indemnification provisions shall survive thetermoftheContraato which these General Conditions area part.Indemnification shall notexceedanamount equal tothetotal value of all insurance coverage required by Section 5.1 ofthisdocument.Indemnification is limited to damages caused Thomas F.Pepe 2015 02/05/15 in whole or in part by any aa,omission,or default ofthe Contractor,the Contractor's subcontractors, sub-subcontraaors,materialmen,or agents of any tier or their respeaive employees totheextent caused by the negligence,recklessness,or intentional wrongful miscondua of the indemnifying party and persons employed or utilized bythe indemnifying party in the performance ofthe construction contract. Responsibility forConneaionto Existing Work: 6.35 It shall bethe responsibility ofthe CONTRACTOR to connect its Workto each part ofthe existing Work,existing building or struaure orWork previously installed as required bythe Drawings and Specifications toprovideacomplete installation. 6.36 Excavations,grading,fill,storm drainage,paving and any other construaion or installations in rights-of- waysofstreets,highways,public carrier lines,utility lines,either aerial,surface or subsurface,etc.,shall be done in accordance with requirements ofthe special conditions.TheOWNER will be responsible for obtaining all permits necessary fortheWork described inthis paragraph 6.36.Upon completion ofthe Work,CONTRACTOR shall present to CONSULTANT certificates,in triplicate,from the proper authorities,stating thatthe Work hasbeendonein accordance withtheir requirements. 6.36.1 TheCITY will cooperatewiththeCONTRACTORin obtaining aaion from any utilities or publicauthoritiesinvolvedin the aboverequirements. 6.36.2 The CONSULTANT shall be responsible for obtaining elevations ofcurbs and gutters,pavement, storm drainage structures,andotheritemswhichmustbe established by governmental departments assoonas grading operations are begun onthesite and,in any case,sufficiently earlyin the construction periodtopreventanyadverseeffecton the Project Cooperation withGovernmentalDepartments.Public Utilities.Etc.: 6.37The CONTRACTOR shall beresponsible for making all necessaryarrangementswithgovernmental departments,publicutilities,publiccarriers,servicecompaniesand corporations (hereinafter referred to as"thirdparties")owning orcontrollingroadways,railways,water,sewer,gas,electrical conduits, telephone,andtelegraph facilities suchaspavements,tracks,piping,wires,cables,conduits,poles,guys, etc.,includingincidental structures conneaed therewith,that are encountered in the Work in order that suchitemsareproperlyshored,supported and proteaed,thattheirlocationisidentifiedand to obtain authority from these thirdpartiesforrelocationif the CONTRACTOR desires to relocate the item.The CONTRACTOR shall give all proper notices,shall complywith all requirementsof such thirdpartiesin the performanceofhis Work,shall permitentranceofsuchthirdpartieson the Projea in order thatthey mayperformtheirnecessarywork,and shall pay all chargesandfeesmadebysuchthirdpartiesfortheir work 6.37.1 The CONTRACTOR'S attention iscalled to the faa that there maybedelayson the Project due to work to bedonebygovernmental departments,public utilities,and others inrepairingor moving poles,conduits,etc.TheCONTRACTOR shall cooperatewiththeabove parties in every way possible,sothattheconstruaioncanbecompletedintheleast possible time. 6.37.2 The CONTRACTOR shall have made itself familiar with all codes,laws,ordinances,and regulations whichinanymanneraffeathose engaged oremployedinthe Work,ormaterialsand equipmentuseinorupontheWork,orinanywayaffecttheconductofthe Work,andnoplea of misunderstanding willbeconsideredonaccountof damage ordelaycausedbyhisignorance thereof. Use Premises: 6.38 CONTRACTOR shall confineits apparatus,storageof materials,andoperationsofitsworkmentothe limits indicated by law,ordinances,permitsanddireaionsof CONSULTANT andCITY,and shall not unnecessarilyencumberanypartof the siteoranyareasoffsite. 6.38.1 CONTRACTOR shall not overloadorpermitanypartofany struaure tobeloadedwithsuch weightaswillendangeritssafety,nor shall it subjea any work tostressesorpressuresthatwill endanger it 6.38.2 CONTRACTOR shall enforcetherulesand regulation promulgated bythe CONSULTANT and OWNER aswellastheirinstruaionswith regard to signs,advertisements,fires andsmoking. Thomas F.Pepe 2015 02/05/15 6.38.3 CONTRACTOR shall arrange and cooperate with CITY in routing and parking of automobiles of its employees,subcontractors and other personnel,as well as thatofthe material delivery trucks and other vehicles that come to the Project site. 6.38.4 TheCity will designate specific areas onthesite for storage,parking,etc.and the job site shall be fencedtoprotectthejobsiteandthe general public. 6.38.5 The CONTRACTOR shall furnish,install and maintain adequateconstructionoffice facilities for all workers employed byitorbyits Subcontractors.Temporary offices shall be provided and located where directed and approved bythe CONSULTANT.All such facilities shall be furnishedinstrictaccordancewithexisting governing regulations.Field offices shall include telephone facilities. Protection of Existing Property Improvements: 6.39Anyexistingsurfaceor subsurface improvements,suchas pavements,curbs,sidewalks,pipesor utilities, footings,orstructures (including portionsthereof),treesand shrubbery,not indicated onthe Drawings ornotedinthe Specifications asbeingremovedoraltered shall be protected from damage during constructionofthe Project.Anysuchimprovements damaged during constructionoftheProjea shall be restored at the expense ofthe CONTRACTOR toaconditionequal to thatexistingatthetimeof award of Contract ARTICLE 7 WORK BY OTHERS 7.1 The CITY may perform additional Work related to the Projea ormay let other direct contracts therefor which shall contain General Conditions similar to these.The CONTRACTOR shall afford the other contractors who areparties to suchdirect contracts (or the OWNER,ifitis performing the additional Work itself),reasonable opportunity forthe introduction andstorageofmaterialsand equipment andthe execution of Work,and shall properlyconnectandcoordinateits Work withtheirs. 7.2Ifanypartofthe CONTRACTOR'S Work dependsuponproperexecutionorresultsofthe Work ofany other contractororthe OWNER,the CONTRACTOR shall promptly report tothe CONSULTANT in writing any defects or deficienciesinsuch Work that render it unsuitable for the CONTRACTOR'S Work. 7.3The CONTRACTOR shall do all cutting,fitting and patching ofthe Work thatmayberequiredtomake itsseveralparts come together properlyandfittoreceiveorbereceivedbysuch other Work.The CONTRACTOR shall not endanger anyWorkofothersby cutting,excavating or otherwise altering their Work andshallonly cut oralter their Work with the written consent of the CONSULTANT andof the other contractor whose work will be affected. 7.4Ifthe performance of additional Work byothercontractorsorthe OWNER isnotnotedintheContract Documentspriortotheexecutionofthe Contract,writtennoticethereof shall be given tothe CONTRACTOR priortostartinganysuch additional Work.Ifthe CONTRACTOR believesthatthe performanceof such additional Work bythe OWNER orotherswillcausethe CONTRACTOR additional expenseor entitles himtoanextensionoftheContractTime,hemaymakea claim therefore as provided in Articles 11 and 12. 7.5Where praaicable,theCONTRACTOR shall build around thework of other separate contraaors or shall leave chases,slotsandholesas required toreceive and to conceal withinthe general construaion Work theworkofsuchother separate contraaorsas directed bythem.Where such chases,slots,etc., are impracticable,the Work shall requirespecific approval ofthe CONSULTANT. 7.6 Necessary chases,slots,and holes not built or left bythe CONTRACTOR shall be cut by the separate contractor requiringsuchalterationsafterapprovalofthe CONTRACTOR.The CONTRACTOR shall do all patching and finishing ofthe work of other contractors where it is cut by them and such patching and finishing shall beatthe expense of CONTRACTOR 7.7Cooperationisrequiredintheuseofsite facilities andinthe detailed executionoftheWork.Each contraaor shall coordinate theiroperationwith those of the other Contractors for the best interestof the Work in order topreventdelayintheexecutionthereof. 7.8 Each of several contractors working onthe Project Site shall keep themselves informed ofthe progress of theworkofother contractors.Should lack of progress or defective workmanship onthe part of other contraaors interfere with the CONTRACTOR'S operations,the CONTRACTOR shall notify the Thomas F.Pepe 2015 02/05/15 CONSULTANT immediately andin writing.Lack ofsuchnoticetotheCONSULTANT shall be construed as acceptance bythe CONTRACTOR ofthe status ofthe work of other contractors as being satisfactoryforpropercoordinationof CONTRACTOR'S own Work. 7.9 The costof extra Work resulting from lack of notice,untimely notice,failure to respond to notice, Defeaive Work or lack of coordination shall be the CONTRACTOR'S cost. 7.10 The CITY reserves the right in the event the CONTRACTOR cannot provide an item(s)or service(s)in a timely manner as requested,to obtain thegood and/or services from other sources and deduaingthe costfromtheContract Price without violating theintentof the Contract ARTICLE 8-CITY'S RESPONSIBILITIES 8.1 TheCITY will issue all communications tothe CONTRACTOR throughtheCONSULTANT. 8.2 In cases of termination ofemploymentofthe CONSULTANT,the CITY will appoint aCONSULTANT whose status under the Contraa Documents shall be that of the former CONSULTANT. 8.3TheCITY shall promptly furnish the data required ofthemunderthe Contraa Documents. 8.4TheCITY'Sdutiesinrespectto providing lands andeasementsaresetforthin Paragraphs 4.1 and4.2. 8.5The CITY shall havetherighttotakepossessionofanduseanycompletedor partially completed portions of the Work,notwithstandingthefaathat the time for completing the entire Work orany portion thereof may not haveexpired;but suchtakingpossessionanduseshall not be deemed an acceptance of any Work not completed inaccordancewith the Contract Documents. ARTICLE 9-CONSULTANTS'STATUS DURING CONSTRUCTION City'sRepresentative: 9.1 The CONSULTANT shall betheCITY'Srepresentative during theconstructionperiod.Thedutiesand responsibilitiesand the limitationsofauthorityofthe CONSULTANT astheCITY'S representative during construction aresetforthin Articles I through 16 of these General Conditions andshall not be extended without written consent of the CITY and the CONSULTANT. 9.1.1 The CONSULTANT'S decision,inmattersrelatingtoaesthetics,shall be final,ifwithinthe terms of the Contraa Documents. 9.1.2 Exceptasmaybeotherwise provided inthiscontraa,all claims,counterclaims,disputes and othermattersinquestionbetweentheCITYandtheCONSULTANT arising outofor relating to this Contract or the breach thereof,shallbe decided ina court of competent jurisdiction within the State of Florida. Visits to Site: 9.2TheCONSULTANT shall provide an inspector tomake periodic visits tothesiteat each phase of construction toobservethe progress and quality oftheexecutedWork and todetermineifthe Work is proceeding in accordance withtheContraa Documents.His efforts shall bedireaed toward providing assurance for theOWNER and all applicable regulatory agencies that construction isin compliance with the Construction Documentsand applicable laws,rules and regulations.On the basis oftheseonsite- observations as an experienced and qualified design professional,he shall keepthe CITY informed ofthe progress of the Work and shall guard the OWNER against defects and deficiencies intheWorkof CONTRACTOR. Clarificationsand Interpretations: 9.3TheCONSULTANT shall issue,with reasonable promptness,suchwritten clarifications or interpretations oftheContraa Documents (in the form of Drawings or otherwise)asit may determine necessary,which shall be consistent with,or reasonably inferable from,the overall intentofthe Contract Documents.If the CONTRACTOR seeks an increase in the Contract Price or extension of Contract Time basedona written clarification and/or interpretation it shall be required tosubmitatimely claim as provided in Articles 11 and 12. Measurement of Quantities: 9.4 All Work completed under the Contraa shall be measured by the CONSULTANT according to the UnitedStatesStandardMeasures.Alllinearsurface measurements shallbemade horizontally orvertically asrequiredby the item measured. Thomas F.Pepe 2015 02/05/15 Rejecting Defective Work: 9.5TheCONSULTANT shall have authority to disapprove orrejeaWorkthatis "Defective Work"as defined inArticle I.It shall also have authority torequire special inspection ortestingofthe Work including Work fabricated onoroffsite,installed orcompletedas provided.In theeventthatthe CONSULTANTrequirestestingofcompletedWork,thecostofsuchinspeaionsand/ortesting shall be approved in writing bythe CITY.All consequential costofsuch inspeaions and testing,including butnot limited tothecostoftestingandinspeaion,thecostof repairing anyofthe Work,ortheworkofothers, thecosttomovefurnitureandequipmentand/orthecosttoprovide alternative facilities untilthe repair workcanbecompleted,shall paid bythe CONTRACTOR ifthe Work isfoundtobeDefeaive Work. ShopDrawings.Change Orders andPayments: 9.6In connection with the CONSULTANT responsibilityas to ShopDrawingsandsamples,see paragraphs 6.25 through 6.28,inclusive. 9.7 In conneaion with the CONSULTANT'S responsibilityforChangeOrdersseeArticles 10,II,and 12. 9.8In connection with the CONSULTANT responsibilitieswith respect totheApplicationforPayment,etc., see Article 14. Decisions on Disagreements: 9.10 The CONSULTANT shallbe the initial interpreter of the Construction Documents. Limitations on Consultant's Responsibilities: 9.11 The CONSULTANT will not beresponsibleforthe construction means,methods,techniques,sequences or procedures,or the safetyprecautionsandprograms incident thereto. 9.12 The CONSULTANT will not beresponsibleforthe aas oromissionsof the CONTRACTOR,orany Subcontraaors,oranyoftheiragent,servantsor employees,orany other personperforminganyofthe Work underor through them. ARTICLE 10 -CHANGES IN THE WORK 10.1 Without invalidating the Contract theCITYmay,atanytimeorfromtimetotime,order additions, deletions or revisions inortothe Work which shall onlybe authorized byawritten Change Orders. Uponreceiptofa Change Order,theCONTRACTOR shall proceedwiththe Work involved.All such Work shall be performed underthe applicable conditions ofthe Contract Documents.If any authorized written Change Order causesanincrease or decrease in the Contraa Priceoran extension or shortening oftheContract Time,an equitable adjustment will be made as provided in Article 11 or Article 12.Awritten Change Order signed bytheCITYandthe CONTRACTOR indicates their agreement tothetermsofthe Change Order.All Change Orders shall be certified bythe CONSULTANT as tothe appropriateness and value ofthe change intheWork as well as to any change in the time to complete the Work underthecircumstances.The failure to includeatime extension in the Change Orderorintherequestfora change order shall resultina waiver ofany extension oftime duetothe change intheworkas reflected inthe Change Order. 10.2 The CONSULTANT may authorize minor changes or alterations in theWorknot involving extracost and not inconsistent with the overall intent of the Contract Documents without the needforaformal written Change Order provided theCONTRACTORdoesnotrequest additional timeor additional compensation.Thesemaybe accomplished byawritten Field Order.Ifthe CONTRACTOR believes thatany change oralterationauthorizedbytheCONSULTANT'S Field Orderwouldentitlesthe CONTRACTOR toanincreaseintheContract Price or extension of Contraa Time,itmustsubmita writtennoticeofintentto demand a Change Orderwithintwentyfour (24)hoursofthe issuance ofthe Field Order and submitawritten proposal for Change Order within four (4)days thereafter,otherwise the CONTRACTOR shall be deemed to have waived such claim. 10.3 Additional Work performed bythe CONTRACTOR without authorization ofa written Change Order shall not entitle itto an increase in the Contract Price or an extension ofthe Contract Time,except in the case ofan emergency as provided in paragraph 6.22 and exceptas provided in paragraph 10.2. 10.4 The CITY will execute appropriate Change Orders prepared bythe CONSULTANT covering changes in theWork,tobe performed as provided in paragraph 4.4,and Work performed,in an emergency as Thomas F.Pepe 2015 02/05/15 provided in paragraph 6.22 and any other claim ofthe CONTRACTOR for a change in the Contract Time ortheContraa Price whichis approved bytheCONSULTANT. 10.5 It is the CONTRACTOR'S responsibility to notify its Surety of any changes affecting the general scope of theWorkor change in the Contract Price or Contraa Time and the amount ofthe applicable bonds shall be adjusted accordingly.The CONTRACTOR shall furnish proofof such an adjustment tothe CITY before commencement ofthe Change Order Work.TheWork shall be stopped until the CONTRACTOR provides such proofof adjustment inthe Bond amount and any such delay shall be charged to the CONTRACTOR. ARTICLE I I -CHANGE OF CONTRACT PRICE I I.I TheContract Price constitutesthetotal compensation payable totheCONTRACTORfor Performing theWork.All duties,responsibilities and obligations assigned toor undertaken bytheCONTRACTOR shall beatits expense without changing the Contraa Price. 11.2 TheCITYmay,atanytime,without written noticetothesureties,bywrittenorder designated or indicated tobeaChangeOrder,makeany change inthe Work withinthegeneralscopeoftheContract, includingbut not limited to changes to orin: 11.2.1 Specifications (including drawings and designs); 11.2.2 Methodor manner of performanceofthe Work. 11.2.3 CITY-furnished facilities,equipment,materials,services,orsite;or 11.2.4 Acceleration in the performance of the Work. 11.3 Exceptasprovidedinthissection,or seaions referredtointhissection,no order,statement,or conduct of the CITY shall betreatedasaChangeOrderorentitlethe CONTRACTOR toanequitable adjustment unlessanduntil the changeinthe Work isspecificallyand expressly providedforina written ChangeOrder,oras otherwise providedinanothersectionofthe Contract Documents. 11.4 When aChange Order isissuedby the CONSULTANT andsignedby the CITY orissuedby the CITYin writing,the CONTRACTOR shall perform the Work evenifthe CONTRACTOR does not agreewith the dollar amount of the Change Order.IfanyChange Order causesanincreaseor decrease in the CONTRACTOR'S cost of,or the time requiredfor,the performance ofanypartof the Work underthis Contract forwhich the CITY and the CONTRACTOR cannot reacha timely agreement,anequitable adjustmentbasedonthe cost ofthe Work shall bemadeandtheContractmodified accordingly. 11.5 Ifthe CONTRACTOR intendstoasserta claim foranequitableadjustmentor contest the equitable adjustmentmadebytheCONSULTANT,it shall,withinten (10)calendar daysafterreceiptofawritten ChangeOrder,submit to the CITYand CONSULTANT a written noticeincludinga statement setting forththegeneralnatureand monetary extent of suchclaimforequitable adjustment time extension requestedand supporting data.In determining thecostofthe Change Order,thecosts shall be limited to those listed in section 11.7 and 11.8. 11.6 No claim bythe CONTRACTOR foran equitable adjustmenthereunder shall be allowed ifnotsubmitted inaccordance with this seaion orifassertedafter final paymentunderthis Contraa. 11.7 Thevalueofany Work coveredbya Change Orderorofany claim foranincreaseordecreaseinthe Contraa Priceshallbe determined in one of the followingways: 11.7.1 By negotiated lumpsum. 11.7.2 Onthe basis ofthe reasonable cost and savings that results from the change in the Work plus a mutually agreeduponfeetothe CONTRACTOR tocoveroverheadandprofitnottoexceed 15%.Ifthe CONTRACTOR disagrees with the CONSULTANTSdeterminationof reasonable costs,the CONTRACT shall provide alistof all coststogetherwith backup documentation 11.8 The term costof the Work means the sumof all directextracostsnecessarilyincurredand paid bythe CONTRACTORintheproper performance ofthe Change Order.Except asotherwisemaybe agreed toinwritingby CITY,suchcosts shall beinamountsno higher thanthose prevailing in Miami-Dade County andshallinclude only the followingitems: 11.8.1 Payroll costsfor employees inthedirectemployofCONTRACTORinthe performance ofthe Work described intheChangeOrderunderschedulesofjob classifications agreed uponbyCITY andCONTRACTOR.Payroll costsforemployeesnot employed full timeonthe Work shall be apportioned onthe basis oftheirtimespentontheWork.Payroll costs shall be limited to: salaries and wages,plus thecostsof fringe benefits which shall include social security contributions,unemployment,exciseand payroll taxes,workers'compensation,health and Thomas F.Pepe 2015 02/05/15 retirement benefits,sickleave,vacationandholidaypay applicable thereto.Such employees shall includesuperintendentsandforemenat the site.The expenses ofperforming Work after regularworkinghours,onSundayor legal holidays shall beincludedintheaboveonlyif authorizedbyCITYandprovideditwas not inanyway,whether inwholeorinparttheresultof the fault of the CONTRACTOR duetonegligenceof the CONTRACTOR or those aaing byor through himorduein whole orinpartto Defective Work of the CONTRACTOR. 11.8.2 Cost of all materials andequipmentfurnishedandincorporatedin the Work,including costsof transportationandstorage,andmanufaaurers'field servicesrequiredin conneaion therewith. The CONTRACTOR shallnotifytheCITY of all cashdiscountsthatare available andofferthe CITY the opportunitytodeposit funds withthe CONTRACTOR forthepaymentforitemsthat offer a discount.Cash discounts shall accrue to CONTRACTOR unless the CONTRACTOR fails totimelynotifytheCITYofthediscountsorifthe OWNER depositsfundswith CONTRACTOR withwhichtomakepaymentsinwhichcases the cashdiscountsshallaccrueto the OWNER.Alltradediscounts,rebatesandrefunds,andall returns from saleofsurplus materialsand equipment shallaccrueto OWNER,and CONTRACTOR shall makeprovisionsso that they maybe obtained. 11.8.3 Paymentsmadeby CONTRACTOR to the Subcontraaors for Work performedby Subcontraaors.IfrequiredbyCITY,CONTRACTOR shallobtain competitive bidsfrom Subcontractorsacceptabletohimand shall deliversuchbidstoCITYwhowillthendetermine, with the adviceofthe CONSULTANT,whichBidswillbeaccepted.No subcontraa shall bea costplus contraa unlessapprovedinwritingbytheCITY.If a Subcontraa providesthatthe Subcontractor istobepaidonthebasis of Cost of Work plusafee,the cost of the Work shall be determined in accordance this section 11.8 and in such case the word "Subcontractor"shall be substituted for the word "CONTRACTOR". 11.8.4 Rentals of all construaion equipment andmachinery,except handtools,and the parts thereof whether rented from CONTRACTOR or others in accordance with rental agreements approved byCITYwith the adviceof CONSULTANT,and the costsof transportation,loading, unloading,installation,dismantlingandremoval thereof -allinaccordancewith terms of said rental agreements.The rentalofanysuch equipment machineryorpartsshallcease when the use thereof isnolongernecessaryfor the*Work. 11.8.5 Sales,use or similar taxes relatedto the Work,andforwhich CONTRACTOR isliable,imposed 'ty anv governmental authority. 11.8.6 Paymentsandfeesforpermitsand licenses.Costsforpermitsandlicenses must beshownasa separate item. 11.8.7 The cost of utilities,fuelandsanitary facilities at the site. 11.8.8 Minor expenses suchastelegrams,longdistance telephone calls,telephone service at the site, expressage andsimilar petty cashitemsin connection with the Work. 11.8.9 Cost of premiumsfor additional Bondsandinsurancerequiredsolelybecause of changesinthe Work,not toexceed two percent (2%)of the increaseinthe Cost of the Work. 11.9 The term Cost of the Work shall NOT includeany of the following: 11.9.1 Payroll costsandothercompensationof CONTRACTOR'S officers,executives,principals (of partnership andsole proprietorships),generalmanagers,engineers,architects,estimators, lawyers,agents,expediters,timekeepers,clerksand other personnel employed by CONTRACTOR whether at the siteorinits principal orabranchofficefor general administrationof the Work and not specificallyincludedin the schedule referred to in Subparagraph 11.5. 11.9.2 Expensesof CONTRACTOR'S principal andbranchoffices other thanitsofficeat the site. 11.9.3 Anypartof CONTRACTOR'S capital expenses,including interest on CONTRACTOR'S capital employed for the Work andchargesagainst CONTRACTOR fordelinquentpayments. 11.9.4 Cost of premiumsfor all bondsandfor all insurance policies whether ornot CONTRACTOR is requiredbythe Contraa Documentstopurchaseand maintain thesame (except asotherwise provided inSubparagraph 11.8.9). 11.9.5 Costs due to thenegligenceof CONTRACTOR,anySubcontractor,oranyonedirectlyor indirealy employed byanyof them orfor whose actsanyof them maybe liable,includingbut Thomas F.Pepe 2015 02/05/15 not limited to,thecorrectionofdefeaivework,disposal of materials orequipmentwrongly suppliedandmakinggoodany damage toproperty. 11.9.6 Other overheador general expensecostsofanykindandthecostsofanyitemnot specifically and expressly includedin Paragraph 11.8. 11.10 The CONTRACTOR'S feewhich shall beallowedto CONTRACTOR foritsoverheadandprofit shall be determined as follows: 11.10.1 Amutuallyacceptablefirmfixed price;orifnonecanbeagreedupon. 11.10.2 Amutuallyacceptablefixed percentage (nottoexceed 15%). 11.11 Theamountofcredittobeallowedby CONTRACTOR to OWNER foranysuchchangewhichresultsin a net decrease in cost will be the amount of the aaual net decrease in costs calculated in the same mannerasprovidedin 11.8.When bothadditionsandcreditsareinvolvedinany one change,the net shall be computed toincludeoverheadandprofit,identifiedseparately,forbothadditionsand credit provided however,the CONTRACTOR shall not beentitled to claimlostprofitsforany Work not performed. ARTICLE 12 -TIME FOR COMPLETION.LIQUIDATED DAMAGES AND CHANGE OF THE CONTRACT TIME 12.1 Timeisof the essencetothis contraa andthedateof beginning and the timeforcompletionof the Work areessentialconditionsof the Contract.Therefore,the Work shall becommencedon the datespecified in the Notice to Proceedandcompletedwithinthetimespecifiedforcompletionofthework. 12.2 The CONTRACTOR shall proceedwiththe Work atsuchrateofprogresstoensure full completion within the Contraa Time.Itisexpressly understood andagreed,byand between the CONTRACTOR and the OWNER,that the Contraa Timefor the completion of the Work describedhereinisa reasonable time,takinginto consideration theaverageclimaticand economic conditions and other faaors prevailing in the locality of the Work.No extension oftimeshallbegranteddue conditions that the Contractor knew of orshouldhaveknownof before biddingon the project ordue to inclement weather, except asprovidedinsection 12.7. 12.3 If the CONTRACTOR shall fail to complete the Work within the Contract Time,or extension of time grantedby the CITY,then the CONTRACTOR shall payto the OWNER the amount of liquidated damages as specifiedinthe Contraa Documentsforeachcalendardayafterthescheduleddatefor completion asadjustedby written ChangeOrdersthat extended the completion date. 12.3.1 These amounts are not penaltiesbutareliquidateddamagesincurredbythe OWNER forits inability toobtain full useoftheProject.Liquidated damagesareherebyfixedandagreedupon between the parties,recognizingtheimpossibility of preciselyascertaining the amount of damages that willbesustainedasa consequence of suchdelay,and both partiesdesiring to obviate any question or disputeconcerningthe amount of saiddamagesand the cost andeffect of the failure of CONTRACTOR tocomplete the Contraa ontime.Theabove-stated liquidated damagesshallapplyseparatelytoeachphaseof the Projectforwhichatimefor completion is given. 12.3.2 CITY is authorized to dedua the liquidateddamagesfrom monies due to CONTRACTOR for the Work under this Contract 12.4 The Contraa Time mayonlybechangedbya written Change Order.Anyclaimforan extension in the CONTRACT TIME shall be based on written notice delivered to the CITY and CONSULTANT within five(5)businessdays of the occurrence ofthe event giving rise to the claimandstating the generalnature of the claimincluding supporting data.All claims foradjustmentin the Contract Timeshallbeevaluated and recommended by the CONSULTANT,with final approvalby the CITY'S representative.Anychange in the Contraa Time resultingfromanysuchclaim shall be incorporated ina written Change Order. 12.5 All time limits stated in the Contract Documents are of the essence of the Contraa. 12.6 Noclaimfordelay shall beallowedbecause of failure to furnishDrawings before the expirationof fourteen (14)calendardaysafterdemandhasbeenmade in writing to the CONSULTANT forsuch Drawings.Furthermore,there shall beno monetary compensation forsuchdelayand the CONTRACTOR'S sole remedy shallbean extension of time for the period of delay. 12.7 Extensions to the Contract Time for delayscausedby the effectsofinclement weather shall notbe granted unless the weather wasunusualforSouth Florida andcould not have been anticipated,the abnormal weather is documented byrecordsfromthe national weather serviceandtheabnormal weather is documented to have had a substantial affected on the construction schedule. Thomas F.Pepe 2015 02/05/15 12.8 No Damages for Delay:TheCONTRACTOR agrees thathe shall not have any claim for damages dueto delay unless the delay exceeds6 months,whether individually or cumulatively,and thenthe damages shall belimitedtoincreased cost of materials that were unanticipated andthatwouldnothavebeenincurred but for the delay.Other than as set forth above,the only remedy for any delay shall be limited to an extension oftimeas provided forin Section 12.4 which shall bethesole and exclusive remedy for such resulting delay.Other than asset forth above,CONTRACTOR shall notbe entitled to an increase in the Contract Price or payment or compensation of any kind from OWNERfordirea,indirect consequential, impact orother costs,expenses or damages,including butnot limited to,costsof acceleration or inefficiency,overhead or lost profits,arising because of delay,disruption,interference or hindrance from any cause whatsoever,whethersuch delay,disruption,interferenceor hindrance be reasonable or unreasonable,foreseeable or unforeseeable,or avoidable or unavoidable. 12.9 The CONTRACTOR waives all claims thatarenotpresentedtotheCityinwritingonor before,the 21st day following thedateoftheeventuponwhichthe claim is based. 12.9 Dispute Resolution:Ifany dispute concerning a question offaa arises undertheContractother than terminationfordefaultorconvenience,the CONTRACTOR and the city department responsiblefor the administration ofthe Contract shall makeagood faith efforttoresolvethedispute.Ifthedisputecannot be resolved byagreementthenthe department withthe advice oftheCityAttorney and the CONSULTANT shall ruleonthedisputedissueandsenda written copyofitsdecisiontothe CONTRACTOR.CONTRACTOR shall complywithsuchdecisionand shall notdelaythe projea. ARTICLE 13 -GUARANTEE 13.1 The CONTRACTOR shall guarantee and unconditionally warrantthrougheitherthe manufacturer orthe CONTRACTOR directly,all materials andequipment furnished and Work performedforpatent Defective Work foraperiodofone(I)yearfromthedateof Final Acceptanceas indicated inthe CONSULTANT Letter of RecommendationofAcceptanceorfromthedatewhen the defea wasfirst observable,whicheverislater.Thesameguaranteeandunconditionalwarranty shall beextendforfive (5)years fromthedateof Final Acceptanceas indicated intheCONSULTANTLetterof Recommendationof Acceptance forlatentDefective Work.TheCITYwillgivenoticeofobserved defectswithreasonablepromptness.In theeventthatthe CONTRACTOR should fail tocommence to correa such Defective Work withinten (10)calendardaysafterhavingreceived written noticeofthe defect or should the CONTRACTOR commence the correaive work,but fail to prosecute the corrective work continuouslyand diligently andinaccordancewiththe Contraa Documents,applicable law,rulesand regulations,theCITYmaydeclareaneventof default,terminatetheContractinwholeor inpartandcausetheDefective Work toberemovedor correaed andtocompletethe Work atthe CONTRACTOR'Sexpense,andtheCITY shall charge the CONTRACTOR thecostthereby incurred. The PerformanceBondshallremainin full forceand effect through the guaranteeperiod. 13.2 The specific warrantyperiods listed intheContractDocuments,ifdifferentfromtheperiodoftimelisted in Seaion 13.1,shall take precedence overSection 13.1. 13.3 CONTRACTOR shall aa asagent,onalimited basis forthe OWNER,attheCITY'soption,solelyfor the follow-up concerning warranty compliance for all itemsunder manufacturer's Warranty/Guarantee andforthepurposeofcompleting all formsforWarranty/GuaranteecoverageunderthisContract. 13.4 In case of defaultbythe CONTRACTOR,theCityofSouth Miami mayprocure the articlesorservices from other sources andhold the CONTRACTOR responsible forany excess costsoccasionedor incurred thereby. 13.5 TheCITYmaywithholdacceptanceof,or rejea itemswhicharefounduponexamination,notto meet the specification requirements.Uponwrittennotificationofrejection,items shall beremovedwithinfive (5)businessdaysby the CONTRACTOR athisown expense andredeliveredathisexpense.Rejeaed goodsleftlongerthan thirty (30)calendardaysshallberegardedasabandonedand the City shall have the right to disposeof them asitsownpropertyandthe CONTRACTOR therebywaivesany claim to the goodor to compensation ofanykind.Rejeaion for Non-conforming Work or failure tomeetdelivery schedules may result in the Contraa beingfoundindefault. Thomas F.Pepe 2015 02/05/15 ARTICLE 14 -PAYMENTS AND COMPLETION Payments to Contraaor 14.1 TheContractor shall notbeentitledtoanymoney for anyworkperformedbeforethe issuance ofa Noticeto Proceed onthe form described intheContraa Documents and the issuance bytheCityofa "purchaseorder",orany other document doesnotand shall notauthorizethe commencement of the Work.Atleastten (10)calendar daysbeforeeachprogresspayment falls due(butnotmore often than onceamonth),the CONTRACTOR shall submittothe CONSULTANT a partial paymentestimate filled out and signed bytheCONTRACTOR covering theWork performed during the period covered bx the partial paymentestimateandsupportedbysuch data astheCONSULTANTmay reasonably require.All progresspayment applications afterthefirstprogresspayment shall beaccompaniedby partial releasesof lien executed by all persons,firmsandcorporationswhohavefurnishedlabor,servicesor materials incorporated intothework during theperiodoftimeforwhichthe previous progress payment was made, releasingsuch claims andlien rights,ifany,ofthosepersons. Ifpaymentisrequestedonthe basis of materials and equipment notincorporatedinthe Work but delivered and suitably storedator near site,the partial payment estimate shall also be accompanied by such supporting data,satisfactory to the CITY,whichestablishes the OWNER'S titleto the materialand equipment aswellascertificates of insurance providingcoveragefor 100%of the valueofsaidmaterial and equipment covering the materialand equipment fromallcasualtiesaswellas theft,vandalism,fire and flood.The CONTRACTOR shall replaceatitsexpenseanystored materials paid forwhichareeither damagedorstolenbefore installation.The CONSULTANT willwithin ten (10)calendar daysafter receiptofeach partial paymentestimate,either certifying inwritingitsapprovalofpaymentandpresent the partial paymentestimatetotheOWNER,orreturnthe partial paymentestimatetothe CONTRACTOR,indicating inwriting his reasonsforrefusingtoapprovepayment.Inthelattercase,the CONTRACTOR maymake the necessarycorrectionsandresubmitthe partial paymentestimate.The OWNER,willwithin thirty (30)calendardaysofpresentationtoitofanyapproved partial payment estimate,pay the CONTRACTOR aprogresspaymenton the basis of the approved partial payment estimate.The OWNER shallretain ten (10%)percent of the amount of each payment until Final Completion and Acceptance of all Work coveredbythe Contract Documents.Any interest earnedon the retainageshall accrue to the benefit of the OWNER. 14.2 TheCONTRACTOR,beforeit shall receive final payment,shall deliver totheCITYaContractor's Final PaymentAffidavitas set forthin the Florida Construaion Lien Statute aswellas final releases of lien executed byallpersons who have performed orfurnishedlabor,servicesormaterials,direaly or indirectly,whichwas incorporated intotheWork.If anypersonrefusestoprovidesuchareleaseor providesaconditionalrelease,theCITY shall havetherighttoissueajoint check made payable tothe CONTRACTOR andsuchperson. Contractor's Warranty of Title 14.3 The CONTRACTOR warrants andguaranteesthattitle to all Work,materialsand equipment covered by anApplication for Payment whether the Work,material orequipmentisincorporatedinthe Projea or not shall havepassedto the OWNER prior to themaking of the ApplicationforPaymentfreeandclear of allliens,claims,security interest andencumbrances (hereafter in these General Conditions referred to as "Liens");andthatno Work,materialsor equipment coveredbyanApplicationforPaymentwillhave been acquiredby the CONTRACTOR orbyany other personperforming the Work at the siteor furnishing materialsand equipment for the Projea,underorpursuant to an agreement underwhichan interest thereinorencumbrance thereon isretainedby the selleror otherwise imposedbythe CONTRACTOR orsuch other person. Thomas F.Pepe 2015 02/05/15 ApprovalofPayment 14.4 The CONSULTANTS approval ofanypaymentrequestedinan Application for Payment shall constitute a representation byhimtothe CITY,based onthe CONSULTANT'S onsite observations ofthe Work in progress as an experienced professional and on his review ofthe Application for Payment and supporting data,thatthe Work has progressed tothepoint indicated inthe Application forPayment that tothe besthis knowledge,information and belief,the quality ofthe Work isin accordance withthe Contraa Documents(subjecttoan evaluation ofthe Work asa functioning Projeaupon substantial completionas definedinArticle I,to theresultsofanysubsequent tests called forin the ContractDocumentsandany qualifications statedinhis approval);andthattheCONTRACTORisentitledto payment oftheamount approved.However,by approving,anysuchpaymentthe CONSULTANT shall nottherebybedeemed tohaverepresentedthathemadeexhaustiveorcontinuouson-siteobservationstocheckthequalityor thequantityofthe Work,orthathehasreviewedthe means,methods,techniques,sequencesand proceduresofconstructionorthathe had madeany examination to ascertain howorforwhatpurpose the CONTRACTOR hasusedthemoneys paid ortobe paid tohimonaccountoftheContract Price,or thattitletoany Work,materials,orequipmenthas passed tothe OWNER freeandclearofany liens.14.5 The CONTRACTOR shallmake the followingcertificationoneach request for payment "Iherebycertifythatthelaborand materials listedonthisrequestforpaymenthavebeenusedinthe construction of this Work and that allmaterialsincludedinthis request forpaymentand not yet incorporated'intothe construaion arenowonthesiteorstoredatanapproved location,andpayment receivedfromthelast request forpaymenthasbeenusedtomakepaymentsto all hisSubcontractors andsuppliers,except fortheamountslistedbelowbeside the namesof the personswhoperformed work orsuppliedmaterials". In the event that the CONTRACTOR withholds payment froma Subcontraaor orSupplier,the same amount of money shallbewithheldfrom the CONTRACTOR'S payment untiltheissueisresolvedby writtenagreement between them andthenajoint check shallbemadepayabletothepersoninquestion andthe CONTRACTOR inaccordancewiththe settlement agreement otherwise the money shallbe heldbythe OWNER untilajudgmentisenteredinfavor of the CONTRACTOR ortheperson,inwhich casethe money shallbe paid accordingwith said judgment.Nothingcontainedherein shall indicatean intent to benefit anythirdpersons who are not signatoriesto the Contract. 14.6 The CONSULTANT mayrefuse to approvethe whole oranypartofanypaymentif,initsopinion,itis unable to makesuch representations to the OWNER asrequiredthisSection 14.Itmayalsorefuseto approveany payment oritmayvoidanypriorpayment application certificationbecauseofsubsequently discovered evidence or the results of subsequent inspectionor tests to such extent asmaybenecessary initsopinion to protea the OWNER fromlossbecause: 14.6.1 of Defeaive Work,or completed Work hasbeen damaged requiringcorrectionor replacement 14.6.2 the Work forwhich payment is requested cannot beverified, 14.6.3 claims of Lienshavebeenfiledorreceived,or there isreasonableevidenceindicatingthe probable filing orreceipt thereof, 14.6.4 the Contraa Price has been reduced because of modifications, 14.6.5 the CITY has correct Defective Work or completed the Work inaccordancewith Article 13. 14.6.6 of unsatisfaaory prosecutionofthe Work,including failure tocleanupasrequiredby paragraphs 6.29 and 6.30, 14.6.7 of persistent failure to cooperate with other contraaors on the Projectand persistent failure to carry out the Work inaccordancewiththe Contraa Documents, 14.6.8 ofliquidateddamagespayablebythe CONTRACTOR,or 14.6.9 ofany other violationof,orfailuretocomplywithprovisions of the Contract Documents. 14.7 Priorto Final AcceptancetheOWNER,withthe approval oftheCONSULTANT,mayuseanycompleted orsubstantially completed portionsof the Work providedsuchusedoes not interfere withthe CONTRACTOR'S completionofthe Work.Such use shall notconstitutean acceptance ofsuchportions of the Work. 14.8 TheCITY shall have the rightto enter thepremisesfor the purpose of doing Work not coveredbythe Contraa Documents.Thisprovisionshall not be construed asrelieving the CONTRACTOR of the sole responsibilityfor the careandprotectionofthe Work,ortherestorationofany damaged Work except suchasmaybecausedbyagentsoremployeesofthe OWNER. Acceptance of Final PaymentasRelease 14.11 The Acceptance bythe CONTRACTOR of Final Payment shall beand shall operateasareleaseto the OWNER andawaiverof all claims and all liability tothe CONTRACTOR otherthan claims previously filedandunresolved.Thewaiver shall includeallthingsdoneorfurnishedin connection withthe Work andfor every actandneglect of the OWNER and others relatingtoorarising out ofthis Work.Any payment however,final or otherwise,shall not release the CONTRACTOR oritssuretiesfromany obligationsunder the Contract Documents or the PerformanceBondandPayment Bonds. 14.12 The CONSULTANT mayvoidany certification of Substantial Completionor Final Completionofthe Work asmaybenecessaryinhisopinionto protect the OWNER fromlossifhe determines,because of subsequently discovered evidence or the resultsof subsequent inspeaion or tests,that: 14.12.1 the Work isdefective,or that the completed Work hasbeendamageddue to the fault of the CONTRACTOR orany individual or entity operating under or through itrequiring correction or replacement to the extent that the projea isnolongerSubstantially Completed,orin the case of Final Completion certification,isnolonger Finally Competed. 14.12.2 the Work necessary to be completed for the purpose ofcertifying the work asbeing Substantially Completed or Finally Completed cannotbeverified, 14.12.3 claimsor Liens havebeen filed orreceived,orthereis reasonable evidence indicating the probable filing or receipt thereof that ifvalidand paid,would reduce the amount owing to the CONTRACTOR BY20%inthecaseof Substantial Completion and5%inthecaseof Final Completion. 14.12.5 there is Defeaive Work the value of which,if deduaed from the contraa price would reduce the amount owing to the CONTRACTOR BY20%in the case of Substantial Completion and5% in the caseof Final Completion. 14.13 If the CONSULTANT de-certifiesanyportionofthe Work thatwascertified ("Initial Certification")by the CONSULTANT,the CONTRACTOR shall repay to the City of South Miami any money paidasa result of said Initial Certificationbeingissuedwhich shall be paid only when the decertified work isre-certified. ARTICLE 15 -SUSPENSION OF WORK AND TERMINATION 15.1 TheCITYmay,atanytimeand without cause,suspendthe Work oranyportion thereof foraperiodof not more thanninety (90)calendar days bynoticeinwriting to the CONTRACTOR and the CONSULTANT,which shallfix the date on which Work shall be resumed.The CONTRACTOR shall be allowedan increase in the Contract Price or an extension of the Contract Time,orboth,direaly attributable to anysuspensionandifaclaimistimelymadeandif it isallowedunderthe terms ofArticles 11 or Article 12. CityMay Terminate 15.2 Ifthe CONTRACTOR is adjudged bankruptorinsolventorifhemakesa general assignment for the benefitofitscreditors,orifatrusteeorreceiverisappointed for the CONTRACTOR orforanyits property,orifhe files apetitiontotake advantage ofanydebtor'sact,orto reorganize under bankruptcy Thomas F.Pepe 2015 02/05/15 or similar laws,orifhe repeatedly fails to supply sufficient skilled workmenor suitable materials or equipmentorifhe repeatedly fails to make prompt payments to Subcontractors orfor labor,materials or equipment orhe disregards laws,ordinances,rules,regulations or orders of any public body having jurisdiction,orifhe disregards the authority ofthe CONSULTANT,orifheotherwise violates any provision of,the Contraa Documents,thentheCITY may,without prejudice toanyother right or remedyandafter giving theCONTRACTORandtheSuretyseven(7)calendar days written notice, terminatetheservicesofthe CONTRACTOR andtakepossessionofthe Projea andof all materials, equipment,tools,construction equipment and machinery thereonownedbytheCONTRACTOR,and finish the Work bywhatevermethoditmaydeemexpedient.In such case theCONTRACTOR shall not beentitledtoreceiveanyfurtherpaymentuntilthe Work is finished.Ifthe unpaid balance ofthe ContractPrice exceeds thedirectandindirectcostsofcompletingtheProject including compensation for additional professional services,such excess shall be paid totheCONTRACTOR.Ifsuchcosts exceedsuch unpaid balance,the CONTRACTOR ortheSuretyonthe Performance Bond shall paythe difference to the OWNER.Suchcostsincurredby the OWNER shallbe determined by the CONSULTANT and incorporated inaChange Order. Ifafter termination of the CONTRACTOR underthisSection,itis determined bya court of competent jurisdiction foranyreasonthatthe CONTRACTOR wasnotindefaulttherightsand obligations ofthe OWNER and the CONTRACTOR shallbe the sameasif the termination had been issued pursuant to Section 15.5 15.3 Where the CONTRACTOR'S serviceshavebeenso terminated by the CITY said termination shall not affectanyrightsofthe OWNER against the CONTRACTOR thenexistingorwhichmay thereafter accrue.Anyretentionorpaymentofmoneysbythe OWNER duethe CONTRACTOR shall notrelease the CONTRACTOR fromliability. 15.4 Uponseven(7)calendardays written noticeto the CONTRACTOR andthe CONSULTANT,the CITY may,without causeand without prejudice to any other rightorremedy,elect to terminate the Contract for the convenience of the OWNER.Insuchcase,the CONTRACTOR shallbepaidforall Work executed andacceptedbytheCITYasofthedateofthetermination,minusany deduaion for damage or Defective Work.Nopayment shall bemadeforprofitfor Work whichhasnotbeenperformed. I5.4A TheCITYreservestherightintheevent the CONTRACTOR cannotprovideanitem(s)orservice(s)ina timelymannerasrequested,toobtainthegoodand/or services fromothersourcesand deduaing the cost from the Contract Price without violating the intent of the Contract. Removal of Equipment 15.5 In the case of termination ofthis Contract before completion foranycausewhatever,the CONTRACTOR,ifnotifiedtodosoby the CITY,shall promptly remove anypartorallofits equipment andsuppliesfrom the property ofthe OWNER.Shouldthe CONTRACTOR not remove such equipment andsupplies,the CITY shall havetheright to remove them at the expense of the CONTRACTOR and the CONTRACTOR agreesthat the OWNER shallnotbeliableforlossordamage to such equipment orsupplies.Equipmentandsupplies shall not be construed to includesuchitemsfor which the CONTRACTOR hasbeen paid in whole orinpart. Contractor MayStop Work or Terminate 15.6 If,through noactorfaultof the CONTRACTOR,the Work issuspendedforaperiodof more than ninety(90)calendardaysby the CITY orby order of other publicauthority,orunderanorderof court or the CONSULTANT fails to actonanyApplicationforPaymentwithinthirty(30)calendardaysafterit is submitted,orthe OWNER fails topay the CONTRACTOR anysumapprovedbythe CONSULTANT, within thirty (30)calendardaysofits approval,andpresentation,thenthe CONTRACTOR may,upon twenty (20)calendardays written notice to the CITYand the CONSULTANT,terminate the Contraa. TheCITYmayremedythedelayorneglectwithinthe twenty (20)calendar daytime frame.Iftimely remedied by the CITY the Contract shall notbe considered terminated.Inlieuofterminating the Contract,if the CONSULTANT has failed toactonanApplicationforPaymentor the OWNER has failed tomakeanypaymentasaforesaid,the CONTRACTOR mayuponten (10)calendardays'notice to the CITYand the CONSULTANT stopthe Work untilithasbeenpaidallamounts then due. Thomas F.Pepe 2015 02/05/15 Indemnification ofIndependentConsultant. 15.7 The CONTRACTOR and the CITY hereby acknowledges that ifthe CONSULTANT is an independent contractor ofthe OWNER,the CONSULTANT may be reluctant to rule on any disputes concerning the Contract Documents oronthe performance ofthe CONTRACTOR ortheOWNER pursuant tothe terms ofthe Contraa Documents.Therefore,the OWNER,atthe CONSULTANT'S request agrees to provide the CONSULTANT with a written indemnification and hold harmless agreement to indemnify and hold the CONSULTANT harmless asto any decision inthis regard beforethe CONSULTANT makes an interpretation,de-certifies a payment application,decertifies Substantial Completion,decertifies Final Completion,certifies an eventof default,or approves any action which requires the approval ofthe CONSULTANT. ARTICLE 16 -MISCELLANEOUS 16.1 Whenever any provision ofthe Contract Documents requires the giving ofwritten notice it shall be deemedtohavebeen validly given ifdeliveredin person tothe individual ortoamemberofthe firm or to an officer ofthe corporation forwhomitis intended,orif delivered at or.sent by registered or certifiedmail,postageprepaid,to thelastknownbusinessaddress. 16.2 TheContractDocuments shall remain thepropertyoftheOWNER.TheCONTRACTOR and the CONSULTANT shall have the right tokeepone record setofthe Contract Documents upon completion of the Project. 16.3 The duties and obligations imposed bythese General Conditions,Special Conditions and Supplementary Conditions,ifany,andthe rights andremedies available hereunder,and,in particular butwithout limitation,the warranties,guarantees and obligations imposedupon CONTRACTOR bythe Contraa Documents and the rightsand remedies available to the OWNER and CONSULTANT thereunder,shall beinadditionto,and shall notbeconstruedinanywayasa limitation of,anyrightsandremedies available by law,by special guaranteeorbyother provisions oftheContractDocuments. 16.4 Should theOWNERortheCONTRACTOR suffer injury or damage toits person or property because of anyerror,omission,or aa oftheotherorofanyoftheiremployeesoragentsorothersforwhoseacts theyare legally liable,claim shall bemadein writing totheotherparty within twentyone (21)calendar days of thefirstobservanceofsuchinjuryor damage. ARTICLE 17 -WAIVER OFJURYTRIAL 17.1 OWNER and CONTRACTOR knowingly,irrevocably voluntarily and intentionally waive anyrighteither mayhavetoatrialbyjuryinStateor Federal Court proceedings in respea toanyaction,proceeding, lawsuitorcounterclaim arising out of the Contract Documentsor the performanceof the Work thereunder. ARTICLE18•ATTORNEYS FEES JURISDICTION/VENUE/GOVERNING LAW 18.1 The Contraa shall beconstruedinaccordancewithandgovernedbythelaw of theStateof Florida. 18.2 The parties submit to the jurisdiction ofanycourtof competent jurisdiaionin Florida regarding any claim or aaion arising out ofor relating to the Contract orContractDocuments.Venueofanyactionto enforce the Contract shall bein Miami-Dade County,Florida. 18.3 IfeithertheCITYor CONTRACTOR seekstoenforcethetermsofthe Contract bycourtproceedings, the prevailing party shall be entitled to recover all suchcostsandexpenses,including,butnotlimitedto, court costs,andreasonable attorney's fees. 18.4 Exceptasmaybe otherwise providedinthe Contraa Documents,all claims,counterclaims,disputesand other mattersinquestion between the OWNER and the CONTRACTOR arising out ofor relating to this Contract or the breach thereof,shallbedecidedina court of competent jurisdictionwithin the State of Florida. Thomas F.Pepe 2015 02/05/15 ARTICLE 19 -PROJECT RECORDS 19.1 The CITY shall have right to inspect and copy during regular business hours at OWNER'S expense,the booksandrecordsandaccountsof CONTRACTOR whichrelateinanywaytotheProjea,andtoany claim for additional compensation made by CONTRACTOR,and to conduct an audit ofthe financial and accounting records of CONTRACTOR which relate tothe Project.CONTRACTOR shall retain and make available toCITY all such books andrecordsandaccounts,financial or otherwise,whichrelate to the Project and to any claim for a period ofthree (3)years following final completion ofthe Project. During the Projea and thethree (3)year period following final completion ofthe Project, CONTRACTOR shall provide CITY access toitsbooks and records upon five (5)business day's written notice. 19.2 CONTRACTOR and all ofits subcontractors arerequiredtocomplywiththe public recordslaw (s.l 19.0701)while providing services on behalf ofthe OWNER and the CONTRACTOR,under such conditions,shall incorporate this paragraph in all ofits subcontracts for this Project CONTRACTOR and its subcontractors are specifically required to:(a)Keep and maintain public records that ordinarily and necessarily would be required bythe public agency inorderto perform the service;(b)Provide the public with access to public records onthe same terms and conditions thatthe public agency would provide the records and atacostthatdoesnotexceedthecost provided inthis chapter oras otherwise provided by law;(c)Ensure that public records thatareexemptor confidential and exempt from public records disclosure requirements arenot disclosed exceptas authorized by law;and(d)Meet all requirements for retaining public records and transfer,atnocost,tothe public agency all public records in possession ofthecontraaorupon termination ofthe contract and destroy any duplicate public records thatareexemptor confidential andexempt from public records disclosure requirements.Allrecords stored electronically mustbe provided tothe public agency inaformatthatis compatible withthe information technology systems of the publicagency. 19.3 If CONTRACCTOR oritssubcontractordoesnotcomplywithapublicrecordsrequest,theCITY shall havetherighttoenforcethis contraa provision byspecificperformanceandthepersonwhoviolatesthis provision shall be liable to OWNER foritscostsofenforcingthisprovision,including attorneyfees incurredin all proceedings,whether administrative or civil courtandin all appellate proceedings. ARTICLE 20 -SEVERABILITY 20.1 Ifanyprovisionofthe Contract or the application thereof toanypersonorsituation shall to any extent beheldinvalidor unenforceable,the remainder of the Contract and the application of suchprovisions to personsorsituationsotherthan those astowhichit shall havebeenheld invalid orunenforceable shall not be affeaed thereby,and shall continue in full forceandeffect,andbe enforced to the fullest extent permitted bylaw. ARTICLE 21 -INDEPENDENT CONTRACTOR 21.1 The CONTRACTOR isan independent CONTRACTOR under the Contraa.Services provided by the CONTRACTOR shall be by employees ofthe CONTRACTOR and subjea to supervisionby the CONTRACTOR,and not asofficers,employees,oragentsofthe OWNER.Personnelpolicies,tax responsibilities,socialsecurityandhealthinsurance,employee benefits,purchasingpoliciesand other similaradministrativeprocedures,applicable toservices rendered underthe Contract shall be those of the CONTRACTOR. ARTICLE 22 -ASSIGNMENT 22.1 The CONTRACTOR shall not transferor assign any of itsrightsorduties,obligationsandresponsibilities arisingunder the terms,conditionsandprovisionsofthis Contraa without prior written consent ofthe City Manager.The CITYwill not unreasonablywithholdand/ordelayits consent totheassignmentofthe CONTRACTOR'S rights.TheCITYmay,initssoleandabsolutediscretion,refusetoallowthe CONTRACTOR to assign itsduties,obligationsandresponsibilities.Inany event the CITY shall not consent to such assignment unless CONTRACTOR remainsjointlyandseverallyliableforanybreach of the Agreement by the assignee,the assignee meets allof the CITY's requirements to the CITY'ssole satisfactionand the assignee executes all ofthe Contract Documents that were required to be executed by the CONTRACTOR..
