A RESOLUTION OF THE MAYOR AND CITY COMMISSION OF
THE CITY OF SOUTH MIAMI,FLORIDA,AUTHORIZING THE
CITY MANAGER TO ENTER INTO A TWO YEAR LEASE AND
MAINTENANCE CONTRACT FOR TWO POLICE
MOTORCYCLES WITH FT.LAUDERDALE HARLEY-
DAVIDSON,DISBURSEMENT OF THE FUNDS FROM
ACCOUNT NUMBER 1910-521 -4450 (PURCHASE/LEASE-POLICE
VEHICLES).
WHEREAS,the police department must enforce the trafficlaws of the state of florida to
provideforthe public's safety,andpolicemotorcyclesplayan important partinthis enforcement;and
WHEREAS,motorcycles officers canquicklyandsafely respond to calls for traffic crashes
inheavy traffic,maintain preventive traffic enforcement programs,and provide escorts;and
WHEREAS,the enforcement of the traffic laws has been shown the reduce to number of
traffic crashes thereby making our community safer.
WHEREAS,the terms of thetwo year lease contracts requires that monthly payments must
be paid on each motorcycle;and
NOW,THEREFORE,BE IT RESOLVED BY THE MAYOR AND CITY COMMISSION
OF THE CITY OF SOUTH MIAMI,FLORIDA:
Section1.TheCityManagerbe,andherebyis authorized to disbursement of funds
payable toFt.Lauderdale Harley-Davidson and disbursement be charged
to account number 1910-521-4450 (Lease/Purchase-Police Vehicles).
Section 2.The City Manager is authorized to execute such contracts and documents
asare necessary to continue thelease of said vehicles.

BACKGROUND AND ANALYSIS
The Police Department has an obligation to enforce thetraffic laws ofthe State of Florida to provide
for the public safety.Motorcycles play an important part ofthis enforcement effort.The Police
Department leases it's motorcycles from Ft.Lauderdale Harley Davidson.This isthe forth year that
thePolice Department has leased motorcycles under Ft Lauderdale Harley Davidson*s Police Leasing
Program.Funding forthe leasing ofthe motorcycles forthe 2002/03 budget fiscal yearwill come
from account number 1910-521-4450,Purchase/Lease-Police Vehicles.The starting account
balancewas$6000.56,less$6,000.00leavesanendingaccountbalance of $0.56.

MOTORCYCLE LEASE AGREEMENT
This Motorcycle Lease Agreement (the "Lease")is made this 17th day ofApril,
2002 byand between Fort Lauderdale Harley Davidson,443 South State Road7,Fort
Lauderdale,FL33317,("Dealer"or "Lessor")andTheCity of SouthMiami,(the
"Department"or "Lessee"),whose address is 6130 Sunset Drive,South Miami,FL
33143,fortheleaseof police motorcycles as described inExhibit"A"attached hereto,
for use bythe Department's authorized employees inthe performance of police related or
law-enforcement duties.If department policy allows,police motorcycles maybeusedas
take home vehicles.The terms and conditions of the Lease are as follows:
1.Term:Theterm of thisLeaseshallbetwenty-four(24)months
commencing on May 1,2002 and ending on April 30,2004.Lessee shall have the right
to extend theterm of this Lease,provided that Lessor agrees,uponthesame terms and
conditions as provided inthe Lease.Inthe event Lessee elects to exercise its option to
renewtheterms of thisLease,thenLesseeshallprovideLessorwithwrittennotice of its
election.
2.Payment:LesseeshallmakemonthlyleasepaymentstoLessoronor
before thefirstday of each month tothe Lessor inthe amount of $250.00 foreach vehicle
commencing May 1,2002 which includes customary maintenance asper manufacturer's
recommendation.Maintenance will include all service,tires,brakes and cost of labor
except tothe extent that same are due to misuse,neglect or damage from accidents.
3.Miscellaneous Fees:Lesseeagreestopayforallofficialfeesin
connectionwiththecertificate of title,registration andlicensefeesandanyapplicable
taxes,foreach of theleased vehicles.Lessoragreestowaiveallchargeswithrespectto
freight and dealer prep ofthe vehicles except those cost associated with the installation of
a police package or any other additional equipment purchased bythe Department,forthe
vehicles.
4.Maintenance,RepairsandOperatingExpenses:Lesseeis responsible
tokeepthe vehicles ingood working order.Lessee agreestoservicethevehicles
according tothe manufacturer's recommendations as outlined intheowner's manual for
the vehicles,andas requested bythe manufacturer inanyrecall campaign.Lessee'suse
or repair ofthe vehicles mustnot invalidate any warranty.The Lessee has elected to
participate inaLeasethat includes maintenance byLessor of the vehicle.Thecost of
such maintenance isincludedinthe monthly lease payment.The maintenance plan
covers parts and labor forall service and maintenance recommendations asset forth in
the Harley Davidson Owner's Manual aswellastire replacement andbrake repair not
necessitated bymisuse,neglect,ordamagefrom accidents.
5.Useand Subleasing:Lesseeagreesthatthe vehicles (a)willbeoperated
only by authorized licensed drivers employed by Lessee as law-enforcement officers;(b)
willbekept free ofall fines,liens and encumbrances;(c)willnotbeused illegally,
improperly,for hire,or contrary tothe manufacturer's recommendations;and(d)will not
be altered,markedorhave equipment installed onthem without Lessor's consent.The
installation of police equipment and department's police markings willbe allowed.
6.Insurance:During thetermoftheLeaseLesseemustmaintainpublic
liability and physical damage insurance onthe vehicles that covers both Lessee and
Lessor.Lessee agrees thatthe Department's own liability and personal injury protection
insurance will provide primary insurance coverage uptoitsfull policy limits.Lessor
mustbenamedas"additionalinsured"onyourinsurancepolicyand"losspayee"for
physical damage tothe equipment.Lessee will provide Lessor will evidence of this
insurance.Lessee's insurance policy must provide that Lessor will be notified in writing
atleast10 days beforethe insurance is cancelled or coverage altered andthat Lessor,or
its representatives,may have full access to any claim file inthe event ofan insurable loss.
Intheevent of atotalloss,Lessee'smaximumexposureshallbethe Dealer's cost of the
vehicle.
7.Notice of Accidents andCooperation:Lesseeagreestocooperatefully
with Lessor andany insurance company inthe investigation and defense of anyandall
claims arising from possession anduseofthe vehicles.Lessee will make a complete
report to Lessor within a reasonable time period after any accident,theft or loss involving
the vehicles.
8.Indemnification:LesseeagreestoindemnifyandholdLessor,its
affiliates,assignees,officers,agents and employees harmless from all losses,liability,
damages,injuries,claims,demands and expenses arising outofthe use,maintenance or
condition ofthevehicles.Lessordoesnotwaiveitsrighttosovereignimmunityunder
768.28 of the Florida Statues.
Lessoragreesto indemnify andholdLessee,itsaffiliates,assignees,
officers,agentsand employees harmless fromall losses,liability,damages,injuries,
claims,demands and expenses,including attorneys fees,arisingout of theuse of the
vehicles whileinthecare,custodyorcontrol of theLessor.
9.Limitation of Liability:Lessorshallnotbeliableforanyindirector
Consequential damages or inconvenience (except for those relating to personal injury)
which mayresulttoLessor from any damages to,ordefect in,thevehiclesforthetime
needed to repair or service the vehicles.Monthly lease payments shall continue andnot
bereducedor delayed duringthistime.Lessor makes noexpress warranties covering the
vehicles.In particular,Lessormakesno express warranties of vehicle condition,
merchantability,durability or fitness fora particular purpose ofuse covering the vehicle,
andLessorexpresslydisclaimsanysuchexpress warranties.
10.Return of the Vehicles:At the end of the Lease,the Department must
returnthevehiclestoLessoringoodcondition,withoutdamage,excessivewearoruse
andwithalltheoriginalequipmentinstalledbythemanufacturer.
