BACKGROUND: As you know,a new development called Plaza 57 is proposed for the intersection of SW 73r StreetandSW 57 Court,within the downtown area.Duetothe magnitude of thestructure proposed onthe property,theCounty's Department of Environmental Resource Management did notallowon-site drainage systemonthe property.Theonlyalternativeforthedeveloper (7300 "f thahInvestments,Inc.)isto drain off-site (along SW 73ra Street,SW 74m Street and along SW57 Court).Staffhas worked withthe developer to allow the property todrain along the right-of- waysbyupgradingtheexistingdrainagesystemandtomaintaintheproposedsystem. Inadditiontothe right-of-way drainage system upgrade,7300 Investments,Inc.hasagreedto upgrade utilities within the right-of-way abutting their property,including andnot limited to, potable drinking water system and sanitary sewer system.7300 Investment,Inc.will also provide improvements alongthe right-of-ways,to include,wider sidewalks,landscaping,texture pavementsandstreetlighting. RECOMMENDATION: ItisrecommendedthattheCityCommissionauthorizetheCityManagertoexecutethe agreement. 3.1Ownershallconstructthedrainageimprovementsontheabove-describedright-of- wayinaccordancewiththeplansand specifications whichwerepreparedbyKeith&Ballbe Engineering, datedDecember 3,2002,andwhichwereapprovedbytheCityon December ,2002,andastheymay beamendedandapprovedbytheCityandOwnerfromtimetotime. 3.2Ownershallsatisfyallstate,countyandCityplanreview,permittingand constructionstandards,including,butnotlimitedto,limitingthelocationwheredrainagetrenchescanbe installedand specifying the standards fordrainagesystem construction. 3.3Ownershallmaintainthedrainageimprovementsingoodrepairatalltimes,atits soleexpense,and prevent the drainage improvements from becoming trafficand pedestrian hazards.The Ownershallbeentitledtoentertheright-of-wayasnecessarytoperformnecessarymaintenance,subject tostandardpermitrequirements.TheCityshallhavetheright,butnottheobligation,torepairthe drainageimprovementsupongivingtheOwner30-dayswrittennotice of any necessary repairs,and Owner's failureto perform therepairwithinanadditional 30-day period.Thecost of repairshallbe chargedtoandshallbereimbursedbytheOwnerwithin30days of receipt oftheinvoicefromtheCity. 3.4Ownershallhavetherighttoenterthe right-of-way forthepurpose of constructingand maintaining thedrainageimprovements.Ownershallsecure necessary permitsfrom theCityto perform the work andshallnotifythePublicWorks Department of its work schedule and work plans. 4.RESERVATION OF RIGHTS 4.1TheCityreservestherighttoenteruponthe right-of-way atanytimeforany municipalpurpose,including,butnotlimitedto,clearingaccidents,maintainingtheright-of-way,and placement of telecommunication cablesandequipment.TheCity,oritsagentsandlicensees,and independent contractors,shall disturb the drainage improvements as little as possible to accomplish the municipal purpose,and shall make anyandall repairs resulting therefrom. 5.CORRECTION OF UNSAFE CONDITION Page 2 of 7 5.1Thedrainageimprovementsshallbe maintained inasafe condition atalltimes byOwner.IntheeventtheCitydeterminesthatanunsafeordangerousconditionexistsinthe right-of- waywhichiscausedinwholeorinpartbythefailuretomaintainortorestoretheimprovements,the Cityhastheright,aftergivingtheOwner30-dayswrittennotice,tocure,repair,correctormodifythe drainage improvements andtheaffected right-of-way attheOwner'sexpense. 5.2 If theCity determines thattheunsafeordangerousconditionis of an emergency nature,whichthreatenspublicsafetyor damage to property,itmaytake immediate actionto remedy thesituation.TheCityshallgivenotice of the emergency conditionandthecorrectiveactiontothe Owneras soon asis practicable. 6.INDEMNIFICATION AND HOLD HARMLESS 6.1Ownershallindemnify,defendandholdtheCityharmlessforanyclaim, investigation,settlement,judgment orexpense,including reasonable attorney's feesandcosts necessarilyincurred,arisingout of orrelatingtoanyclaimfordeathorbodilyinjury,propertydamage, includingdamagetotheright-of-way,orpersonalinjurythatis caused bythe construction and maintenance,orthefailuretomaintainthedrainageimprovements. 7.UTILITY AND RIGHT OF WAY IMPROVEMENTS 7.1 Owner shallmakeallupgradestothe storm water systems around the property totheextentrequiredpursuanttotheapprovedplansandspecifications. 7.2 Sizing of thesystemshallbefor both the on-site needs andtheneeds of the publicright-of-wayfortheentireextentandwidth of the right-of-way describedabove,whichshall alsoincludeSW74thStreetfromthealleyontheeastside of thepropertytoSW57thCourt,SW57th CourtfromSW73rd Street toSW74thStreetandSW73rd Street fromthealleyontheeastside of the property toSW 57th Court,all pursuant totheplansand specifications. 7.3 Owner shallmakeallupgradestothe utilities within the right-of-way tothe extentrequiredpursuanttoandinaccordancewiththeapprovedplansandspecifications,asamended, including,but not limited to,potablewaterdistributionsystems,stormsewersystem(drainage)and sanitarysewersystems,totheextentsetforthinsaidplansand specifications. 7.4Ownershallmakeallupgradestothe right-of-way totheextentrequired pursuanttotheapprovedplansandspecifications,including streetscapes,wider sidewalks, landscaping,applicabletexturepavements,andstreetlighting,assetforthinsaidplansand specifications. 8.STORM WATER USER FEES 8.1Ownershallberesponsibleforpayment of Stormwater UserFeestotheextent, if any,requiredbytheCity of SouthMiamifortheproperty[whichshallbedeterminedbyincluding Page 3 of 7 thesum of the on-site andthe off-site impervious square footage of the property areas described above in paragraph 7.2.] 9.SPECIAL ASSESSMENT LIEN 9.1AnycostincurredbytheCitytomaintainor repair thedrainagesystem,either incidenttoanemergencyactionoruponthefailure of theOwnerto maintain orrepairthesystemafter receipt of written noticebytheCity,ortocorrectadangerousor unsafe condition,oranycostincurred bytheCitytodefendorpayanyclaim,investigation,settlement,judgment orexpense,including reasonable attorney's feesandcosts necessarily incurred,arising out of or relating toanyclaimfor deathorbodilyinjury,propertydamage,includingdamagetotheright-of-way,orpersonalinjurythat isallegedlycausedinwholeorinpartbytheconstructionand maintenance,orthefailuretomaintain thedrainageimprovementsshallconstitutealienagainsttheproperty.Thelienshallhavethestatus andpriority of aspecialassessmentlien,andshalltakeprecedence of mortgagesontheproperty.The Cityshallhavetherightandthepowertorecordthelien if thecostisnotpaidbytheOwnertotheCity within30days of issuingtheinvoiceforcostsandtothereafterenforcethelienbyforeclosureandby any other lawful means. 10.PERPETUAL DURATION OF RIGHTS AND OBLIGATIONS 10.1Therights,powersandobligations under this Agreement shallrunwiththe propertyintoperpetuityandshallbindthesuccessors,assignsandheirs of theOwner. 10.2This Agreement shallberecordedandthe property shallbe encumbered bythis Agreement. 11.NOTICES 11.1 All notices givenorrequiredunderthis Agreement shallbedeemedsufficient if sentby certified mail,return receipt requested,tothe addresses of the Owner specified inthis Agreement,unlessthe Owner shall specify inwritingdifferent address forthe giving of notices. 12.CONTRACTING OFFICER
