RESOLUTION NO.:208-14-14302 A Resolution authorizing the City Manager to negotiate and enter into a contract with Emerald Construction Corp.for restroom renovations at Dante Fascell Park and Palmer Park. WHEREAS,Citystafffrom the ParksandRecreation Department conducted an assessment at Dante FascellParkand Palmer Parkandfound that the two (2)restroom facilities are indireneedof improvements and are not incompliancewiththenationalADA standards;and WHEREAS,the Cityhireda consultant to complete architectural layoutdrawingsand product specificationsfor the restrooms at both facilities;and WHEREAS,withthis report complete,the City submitted a request forproposal,RFP #PR20l4-07,on Tuesday,September 9,2014 for "Bathroom Remodeling at Dante FascellParkand Palmer Park;"and WHEREAS,four (4)submittals were received;Emerald Construction Corp is the second lowest,most responsive bidder andisin compliance with the terms of the RFP. SubcontractorAn individual,firm or corporation having adirect contract withCONTRACTORorwith any other Subcontractor forthe performance ofa part oftheWorkatthe construction site. Substantial Completion:Thedate,as certified bytheCONSULTANT,whenthe construction ofthe Project ora certified partthereofis sufficiently completed,in accordance withtheContract Documents,sothat the Project,ora substantial part,can be utilized forthe purposes for which itwas intended without restriction or limitation toany degree,otherthanforthe repair ofminor"punch list"items;oriftherebeno such certification, the date when final payment is due in accordance with paragraph 14.9.However,in no event shall the project or portion thereof,be deemed tobe substantially completed until a certificate of occupancy or certificate ofuseis lawfully issued bythe applicable governmental agency.A certificate of Substantial Completion,issued by the CONSULTANT,shall be null and void ifit is based on false,misleading or inaccurate information,from any source, or when itwould not havebeenissuebutfortheconsiderationof Work thatis thereafter foundtobedefectiveto a degree greater than that which would normally tobe considered bythe City tobe minor "punch list"work. Supplier:Any person or organization who supplies materials or equipment for theWork,including the fabrication ofanitem,butwhodoesnotperform labor atthesiteoftheWork. Surety:The individual orentitywhoisanobligoronaBondandwhoisboundwiththe CONTRACTOR forthe full and faithful performance oftheContraa and forthe payment of all labor,services and materials used on the project. Work:Any and all obligations,duties and responsibilities necessary forthe successful performance and completion of the Contract. Notice:The term "Notice"asusedherein shall meanandinclude all written notices,demands, instructions,claims,approvals and disapprovals required to obtain compliance withContract requirements. ARTICLE 2-PRELIMINARY MATTERS Award: 2.1 The CITY reserves the right to reject any and all Bids,at its sole discretion.Bids shall be awarded by the CITY to the lowest responsive and responsible Bidder.No Notice of Award shall be given until the CITY has concluded its investigation,as it deems necessary,to establish,to the satisfaction ofthe CITY,which Bidder is the most responsive and responsible of all the Bidders to complete the Work within the time prescribed and in accordance with the Contraa Documents.The CITY reserves the right to reject the Bid ofany Bidder who is not believed to be,in the sole discretion and satisfaction of the City,to be sufficiently responsible,qualified and financial able to perform the work.In analyzing a Bid,the CITY may also take into consideration alternate and unit prices,if requested by the Bid forms.If the Contraa is awarded,the CITY shall issue the Notice of Award and give the successful Bidder a Contraa for execution within one hundred eighty (180)calendar day after opening of Bids. Execution of Contract: 2.2 At least four counterparts of the Contract,the Performance and Payment Bond,the Certificates of Insurance,the written notice of designated supervisor or superintendent as provided in Section 6.1 of the General Conditions and such other Documents as required by the Contract Documents shall be executed and delivered by CONTRACTOR to the CITY within ten (10)calendar days of receipt of the Notice of Award.A Contract Document that requires the signature of a party may be executed in counterparts separately by each of the parties and,in such event,each counterpart separately executed shall,without proof or accounting for the other counterpart bedeemedan original Contract Document. Forfeiture of Bid Security/Performance and Payment Bond: 2.3 Within ten (10)calendar days of being notified ofthe Award,CONTRACTOR shall furnish a Performance Bond and a Payment Bond containing all the provisions ofthe Performance Bond and Payment Bond attached. 2.3.1 Each Bond shall be in the amount ofone hundred percent (100%)ofthe Contraa Price guaranteeing to CITY the completion and performance oftheWork covered in such Contract as well as full payment of all suppliers,material man,laborers,or Subcontractor employed pursuant to this Project.Each Bond shall be with a Surety company whose qualifications meet the requirements of Sections 2.3.4,2.3.5,and2.3.6. 2.3.2 Each Bond shall continue in effect for five year after final completion and acceptance of the Work with the liability equal to one hundred percent (100%)of the Contract Sum.The Performance Bond shall be conditioned that CONTRACTOR shall,upon notification by CITY,correct any patent defective or faulty Work or materials which appear within one year after final completion of the Contraa and shall,upon notification by CITY,correct any latent defective or faulty Work or materials which appear within five year after final completion ofthe Contract. 2.3.3 Pursuant to the requirements of Section 255.05(I),Florida Statutes,CONTRACTOR shall ensure that the Bond(s)referenced above shall be recorded in the public records of Miami-Dade County and provide CITY with evidence of such recording. 2.3.4 Each Bond must be executed by asurety company authorized to do business in the State of Florida as a surety,having a resident agent in the State of Florida and having been in business with a record of successful continuous operation for a least five (5)years. 2.3.5 The surety company shall hold acurrent certificate of authority as acceptable surety on federal bonds in accordance with the United States Department of Treasury Circular 570,current revisions. 2.3.6 The CITY will accept a surety bond from acompany with a rating A.VII or better 2.3.7 Failure of the successful Bidder to execute and deliver the Contract and deliver the required bonds and Insurance Certificates as stipulated in Paragraph 2.2 shall be cause for the CITY to annul the Notice of Award and declare the Bid and any security therefore forfeited Contractor's Pre-Start Representation; 2.4 CONTRACTOR represents that it has familiarized itself with,and assumes full responsibility for having familiarized itself with the nature and extent of the Contraa Documents,Work,locality,and with all local conditions and federal,state and local laws,ordinance,rules and regulations that may in any manner affect performance ofthe Work,and represents that it has correlated its study and observations with the Page 44 of 77 Thomas F.Pepe 8-26-14 requirements ofthe Contract Documents.CONTRACTOR also represents that it has studied all surveys and investigations,reports of subsurface and latent physical conditions referred to in the specifications and made such additional surveys and investigations as it deems necessary for the performance ofthe Work reflectedintheContract Documents andthathe has correlated theresultsof all such data with the requirements of the Contract Documents. Commencement of Contract Time: 2.5TheContractTime shall commencetorunonthedatestatedintheNoticetoProceed. Starting the Project 2.6 CONTRACTOR shall startto perform its obligations under the Contract Documents onthe date the Contraa Time commences to run.No Work shall be done atthe site (as defined in Article I),prior to the date on which theContraaTime commences to run,exceptwiththe writtenconsent ofthe CITY BeforeStarting Construaion: 2.7 Before undertaking each part oftheWork,CONTRACTOR shall carefully study and compare the Contract Documents and check and verify pertinent figures shown thereon and all applicable field measurements and conditions.It shall at once report in writing to CONSULTANT any conflict,error,or discrepancy which it may discover.Neither the CITY nor the CONSULTANT shall be liable for any harm,damage or loss suffered by CONTRACTOR as a result ofits failure to discover any conflict,error, or discrepancy in the Drawings or Specifications nor shall the CONTRACTOR be entitle to any compensation for any harm,damage or loss suffered bythe CONTRACTOR dueto any conflict,error, ordiscrepancyin the Contract Documents. Schedule of Completion: 2.8 Within Five (5)business days after delivery ofthe Notice to Proceed by CITY to CONTRACTOR, CONTRACTOR shall submit to CONSULTANT for approval,an estimated construction schedule indicating the starting and completion dates ofthe various stages oftheWork,and a preliminary schedule of Shop Drawing submissions.The CONSULTANT shall approve this schedule or require revisions thereto withinseven(7)calendar days ofits submittal.If thereismorethanone CONTRACTOR involvedinthe Project,the responsibility for coordinating the Work of all CONTRACTORS shall be providedin the Special Conditions. 2.9Within five (5)business days after delivery ofthe executed Contract by CITY to CONTRACTOR,but before starting the Work atthesite,a pre-construction conference shall beheldtoreviewtheabove schedules,to establish procedures for handling Shop Drawings and other submissions,and for processing Applications for Payment,and to establish a working understanding between the parties astothe Project. Present atthe conference will bethe CITY'S representative,CONSULTANT,Resident Project Representatives,CONTRACTOR andits Superintendent. Qualifications of Subcontractors.Material men and Suppliers: 2.10 Within five (5)business days after bid opening,the apparent lowest responsive and responsible Bidder shall submittotheCITYandtheCONSULTANTfor acceptance alistofthenamesof Subcontractors andsuchotherpersonsand organizations (including thosewhoareto furnish principal itemsof materials orequipment)proposedforthoseportionsofthe Work astowhichtheidentityof Subcontractors and other personsand organizations mustbesubmittedas specified intheContractDocuments.Within thirty(30)calendar days after receiving the list,theCONSULTANTwillnotifythe CONTRACTOR in writing ifeithertheCITYortheCONSULTANT has reasonable objection toany Subcontractor,person, or organization onsuch list.The failure oftheCITYortheCONSULTANTtomake objection to any Subcontractor,person,or organization onthelistwithin thirty (30)calendar days ofthereceipt shall constitute anacceptanceofsuchSubcontraaor,personor organization.Acceptanceofanysuch Subcontractor,personor organization shall notconstituteawaiverofanyrightoftheCITYorthe CONSULTANTtoreject defective Work,material or equipment,oranyWork,material or equipment not in conformance with the requirements of the Contract Documents. 2.11 If,priortotheNoticeofAward,theCITYorthe CONSULTANT has reasonable objectiontoany Subcontractor,personor organization listed,theapparentlowBiddermay,priortoNoticeofAward, submitanacceptable substitute without anincreaseinitsbidprice. ARTICLE 3-CORRELATlON.INTERPRETATION AND INTENT OF CONTRACT DOCUMENTS 3.1 Itistheintentofthe Specifications and Drawings todescribeacompleteProjecttobeconstructedin accordancewith the Contract Documents.TheContractDocumentscomprisetheentire Contract Page 45of 77 Thomas F.Pepe 8-26-14 between the CITY and the CONTRACTOR.They maybealteredonlybyamodificationasdefinedin Article I. 3.2 The Contract Documents are complementary;whatiscalledforby one isasbindingasifcalledforby all the documents.If CONTRACTOR findsa conflict,error ordiscrepancyin the Contract Documents,it shall,before proceeding with the Work affeaed thereby,immediately callit to the CONSULTANT'S attention inwriting.The various Contract Documents are complementary;incase of conflict,error or discrepancy,the more stringent interpretation and requirement that shallprovide the maximum benefitto the City shall apply 3.3The words "furnish"and"furnishand install","install",and"provide"or words withsimilarmeaning shall be interpreted,unless otherwise specifically stated,tomean"furnishandinstall complete inplaceand readyforservice". 3.4 Miscellaneous itemsandaccessorieswhichare not specifically mentioned,butwhichareessentialto producea complete andproperlyoperating installation,orusablestructure,providing the indicated functions,shallbefurnishedandinstalled without changein the Contract Price.Such miscellaneous items andaccessories shall beofthesamequality standards,including material,style,finish,strength,class, weightand other applicablecharacteristics,asspecifiedfor the major component ofwhich the miscellaneousitem or accessoryisanessentialpart,and shall beapprovedby the CONSULTANT before installation.Theaboverequirementisnotintendedtoincludemajor components notcoveredbyor inferablefrom the DrawingsandSpecifications. 3.5The Work of all tradesunderthisContract shall becoordinatedbythe CONTRACTOR insucha mannerasobtain the bestworkmanshippossiblefor the entireProject,and all components ofthe Work shall beinstalledor erected inaccordancewith the bestpracticesofthe particular trade. 3.6The CONTRACTOR shall beresponsibleformakingthe construaion of habitable structures underthis Contract rain proof,andformakingequipmentandutility installations properlyperformthe specified function.Ifheispreventedfromsodoingbyany limitations ofthe Drawings or Specifications,the CONTRACTOR shall immediatelynotifythe CONSULTANT inwritingofsuch limitations before proceedingwith construction intheareawheretheproblem limitation exists. 3.7 Manufacturer's literature,when referenced,shallbe dated and numbered andis intended to establish the minimumrequirements acceptable.Whenever referenceisgiventocodes,or standard specifications or otherdata published by regulating agencies oraccepted organizations,including butnotlimitedto National Elearical Code,applicable State Building Code,Florida Building Code,Federal Specifications, ASTMSpecifications,various institute specifications,and the like,it shall be understood thatsuch reference is to thelatestedition including addendaineffectonthedateoftheBid. 3.8 Brand names whereusedinthe technical specifications,are intended todenotethe standard or quality requiredforthe particular materialorproduct.Theterm "equal"or "equivalent",whenusedin connection with brand names,shall beinterpretedto mean a material orproductthatis similar and equal intype,quality,size,capacity,composition,finish,colorand other applicable charaaeristies tothe material orproduct specified bytrade name,and thatis suitable forthesameuse capable of performing thesame function,inthe opinion ofthe CONSULTANT,asthe material or product so specified.Proposed equivalent itemsmustbeapprovedbyCONSULTANTbeforetheyare purchased or incorporated inthe Work.(When abrandname,catalognumber,modelnumber,or other identification,isused without the phrase "or equal",theCONTRACTOR shall usethe brand,make and mode!specified). 3.9Throughoutthisagreementthemalepronounmaybesubstitutedfor female andneuterandviceversa andthe singular wordssubstitutedfor plural and plural wordssubstitutedfor singular wherever applicable. 3.10 All technical interpretations shall bemadebytheCONSULTANTassetforthinSection9.3below. 3.11 TheCONTRACTOR shall advised the CONSULTANT,prior to performing any work involving a conflict in the Contract Documents and the CONSULTANT shall make the final decision as to which of the documents shall take precedence.In theeventthatthereisa conflict between or among the Contract Documents,only the latestversion shall applyand the latestversionof the Contract Documents.The CONSULTANT shall usethe following listofContractDocumentsasa guide.Thesedocumentsaresetforthbelowintheorderoftheir precedencesothat all thedocumentslistedabovea given document should haveprecedenceover all the documents listed below it. (a)Amendments andChange Orders (b)Addenda to Contract (c)Contract with allExhibits thereto (d)SupplementaryConditions Page 46 of 77 Thomas F.Pepe 8-26-14 (e)Special Conditions (f)General Conditions (g)Written or figured dimensions (h)Scaleddimensions (i)Drawings ofa larger scale (j)Drawings ofasmallerscale (k)Drawings and Specifications are tobe considered complementary to each other ARTICLE 4 -AVAILABILITY OF LANDS SUBSURFACE CONDITIONS REFERENCE POINTS Availability of Lands: 4.1 The CITY shall furnish,as indicated in the Contract Documents,the lands upon which theWork is tobe done,rights-of-way for access thereto,and such other lands which are designed for theuseofthe CONTRACTOR.Easements for permanent struaures or permanent changes in existing facilities will be obtained and paid forbythe CITY,unless otherwise specified intheContraa Documents.Other access to such lands or rights-of-way for the CONTRACTOR'S convenience shall bethe responsibility ofthe CONTRACTOR. The CONTRACTOR shall provide for all additional lands and access thereto that may be required for temporaryconstruction facilities or storage of material and equipment. 4.2 The CITY will,upon request,furnish tothe Bidders,copies of all available boundary surveys and subsurface tests at no cost. Subsurface Conditions: 4.3 The CONTRACTOR acknowledges thathe has investigated prior to bidding and satisfied himself as to the conditions affeaing theWork,including butnot limited tothose bearing upon transportation, disposal,handling and storage of materials,availability of labor,water,elearic power,roads and uncertainties ofweather,river stages,tides,water tables or similar physical conditions atthesite,the conformation and conditions ofthe ground,the character of equipment and facilities needed preliminary to and during prosecution oftheWork.The CONTRACTOR further acknowledges thathe has satisfied himselfastothecharaaer,quality and quantity of surface and subsurface materials or obstacles tobe encountered insofar asthis information is reasonably ascertainable from an inspection ofthe site, including all exploratory workdonebythe CITY/CONSULTANT onthesiteor any contiguous site,as well as from information presented bythe Drawings and Specifications made part of this Contract,or any other information made available toit prior to receipt of bids.Any failure bythe CONTRACTOR to acquaint itself with the available information shall not relieve it from responsibility for estimating properly the difficulty orcostof successfully performing Work.The CITY assumes no responsibility for any conclusionsorinterpretationsmadebythe CONTRACTOR onthe basis oftheinformationmade availableby the CITY/CONSULTANT. DifferingSite Conditions: 4.4The CONTRACTOR shall within forty eight (48)hours ofits discovery,and before such conditions are disturbed,notifytheCITYin writing,of: 4.4.1 Subsurface or latent physical conditions atthesite differing materially from those indicated inthe Contract Documents,and 4.4.2 Unknown physical conditions atthe site,of an unusual nature,differing materially from those ordinarily encounteredand generally inherentin Work ofthecharaaer provided forinthis Contraa.TheCITY shall promptly investigate theconditions,andifit finds thatsuchconditions domateriallydifferto the extent astocauseanincreaseordecreasein the CONTRACTOR'S costof,orthetime required for,performance ofanypartofthe Work underthis Contract,an equitable adjustment shall be made and the Contract modified in writing accordingly. 4.5 No claim ofthe CONTRACTOR under this clause shall be allowed unless the CONTRACTOR has given thenotice required in4.4 above;provided,however,thetime prescribed thereforemaybeextendedby the CITY,butonlyifdoneinwritingsignedbytheCity Manager orthe CONSULTANT. ARTICLE 5-INSURANCE AND INDEMNIFICATION 5.0 Insurance Page 47 of 77 Thomas F.Pepe 8-26-14 A.Without limitingits liability,thecontractor,consultantorconsultingfirm(hereinafterreferred to as "FIRM"withregardtoInsuranceand Indemnification requirements)shall berequiredtoprocureand maintainatitsown expense during the lifeof the Contract,insurance of the typesandin the minimum amounts statedbelowaswill protect the FIRM,fromclaimswhichmayarise out oforresultfromthe contractortheperformanceofthe contraa withtheCityofSouth Miami,whether such claim is against the FIRM oranysub-contractor,orbyanyonedirectlyor indirectly employedbyanyofthemorby anyonefor whose actsanyof them maybe liable. B.Noinsurancerequiredby the CITY shall beissuedor written byasurpluslinescarrierunlessauthorized in writing by the CITY andsuch authorization shallbeat the CITY'ssoleand absolute discretion.The FIRM shall purchase insurance from and shall maintain the insurance withacompanyor companies lawfully authorizedto sell insurance intheStateof Florida,on forms approved bytheStateof Florida,as willprotectthe FIRM,ata minimum,from all claims assetforthbelowwhichmayariseoutoforresult fromthe FIRM's operationsundertheContractandforwhichthe FIRM maybe legally liable,whether suchoperationsbebythe FIRM orbya Subcontractor orbyanyone directly orindirealyemployedby anyofthem,orbyanyoneforwhoseactsanyofthemmaybe liable:(a)claims under workers' compensation,disability benefitand other similar employeebenefitactswhichare applicable tothe Work tobeperformed;(b)claims for damages becauseofbodily injury,occupational sicknessor disease,or deathofthe FIRM's employees;(c)claims for damages because ofbodily injury,sickness or disease,or death ofany person otherthanthe FIRM's employees;(d)claims for damages insured by usual personal injury liability coverage;(e)claims for damages,otherthantothe Work itself,because of injury toor destruaionof tangible property,including lossofuse resulting there from;(f)claims for damages because ofbodily injury,deathofapersonorproperty damage arising outof ownership,maintenance oruseofa motor vehicle;(g)claims for bodily injury orproperty damage arising outof completed operations;and (h)claims involving contractual liability insurance applicable tothe FIRM's obligations undertheContraa. 5.1 Firm'sInsuranceGenerally The FIRM shall provide and maintain in force and effea until all the Work tobe performed underthis Contract has been completed and accepted by CITY (or for such duration as is otherwise specified hereinafter),the insurancecoverage written on Florida approvedformsandassetforthbelow: 5.1.1 Workers'Compensation Insurance atthe statutory amount as to all employees in compliance with the "Workers'Compensation Law"ofthe State of Florida including Chapter 440,Florida Statutes,as presently written orhereafteramended,and ail applicable federal laws. 5.1.2 Commercial Comprehensive General Liability insurance with broad form endorsement,aswellas automobile liability,completed operations and products liability,contractual liability,severability of interest with cross liability provision,and personal injury and property damage liability with limits of $1,000,000 combined single limit per occurrence and$2,000,000 aggregate,including: •Personal Injury:$1,000,000; •Medical Insurance:$5,000perperson; •Property Damage:$500,000eachoccurrence; •Automobile Liability:$1,000,000eachaccident/occurrence. •Umbrella:$1,000,000perclaim 5.1.3 Umbrella Comprehensive General Liability insurance shall be written ona Florida approved form with the same coverage asthe primary insurance policy butintheamountof$1,000,000 per claim and $2,000,000 Annual Aggregate.Coverage must be afforded ona form no more restrictive than the latest edition ofthe Comprehensive General Lability policy,without restrictive endorsements,as filed bythe Insurance Services Office,and must include: (a)Premisesand Operation (b)Independent Contractors (c)Products and/orCompleted Operations Hazard (d)Explosion,Collapse and Underground Hazard Coverage (e)Broad Form Property Damage (f)Broad Form Contractual Coverage applicable to this specific Contract,including any hold harmless and/orindemnificationagreement. (g)Personal Injury Coverage with Employee and Contractual Exclusions removed,with minimum limits of coverage equal tothose required for Bodily Injury Liability and Property Damage Liability. Page 48 of 77 Thomas F.Pepe 8-26-14 5.1.4 Business Automobile Liability with minimum limits of One Million Dollars ($1,000,000.00)plus an additional Five Million Dollar ($5,000,000.00)umbrella per occurrence combined single limit for Bodily Injury Liability and Property Damage Liability.Umbrella coverage mustbe afforded ona form nomore restrictive thanthe latest edition ofthe Business Automobile Liability policy,without restrictive endorsements,as filed by with the state of Florida,and must include: (a)Owned Vehicles. (b)Hiredand Non-Owned Vehicles (c)Employers'Non-Ownership 5.2 SUBCONTRACTS: The FIRM agreesthatifanypartofthe Work undertheContractissublet,thesubcontract shall contain thesame insurance provision as set forth inseaion 5.1 above and 5.4 below and substituting theword SUBCONTRACTOR for theword FIRM and substituting the word FIRM for CITY where applicable. 5.3 Fire and Extended Coverage Insurance (Builders'Risk).IF APPLICABLE: A.In theeventthat this contract involves the construction ofa structure bythe FIRM,the FIRM shall maintain,withan Insurance Company or Insurance Companies acceptable tothe CITY,"Broad"form/All Risk Property Insurance on buildings and struaures,while in the course of construaion,including foundations,additions,attachments and all permanent fixtures belonging to and constituting a part of said buildings or structures.The policy or policies shall also cover machinery,ifthe cost of machinery is included inthe Contract,orifthe machinery is located in a building thatis being renovated by reason of this contract.The amount of insurance must,at all times,beat least equal tothe replacement value ofthe insured property.The policy shall be in the name ofthe CITY and the FIRM,as their interest may appear, and shall also coverthe interests of^Subcontractors performing Work. B.Allofthe provisions set forth in Section 5.4 herein below shall apply to this coverage unless it would be clearly not applicable. 5.4 Miscellaneous: A.If any notice of cancellation of insurance or change in coverage is issued bythe insurance company or should any insurance have an expiration date that will occur during the period ofthis contract,the FIRM shall be responsible for securing other acceptable insurance prior to such cancellation,change,or expiration soastoprovide continuous coverage as specified inthissectionandsoasto maintain coverage during the life ofthisContraa.The CITY shall have the option,butnotthe duty,to pay any unpaid premium andthe right to terminate or cancel the policy thereafterwithoutnoticeto FIRM or liability on the part of the CITY to the FIRM forsuch cancellation. B.All deductibles mustbe declared bythe FIRM and mustbe approved bythe CITY.Atthe option ofthe CITY,eitherthe FIRM shall eliminate or reduce such deductible orthe FIRM shall procure a Bond,ina formsatisfactoryto the CITYcoveringthesame. C.The policies shall contain waiver of subrogation against CITY where applicable,shall expressly provide that such policy or policies are primary over any other collectible insurance thatCITYmay have.The CITY reserves the right at any timeto request a copy ofthe required policies for review.All policies shall contain a "severability of interest"or "cross liability"clause without obligation for premium payment of the CITY. D.Beforestarting the Work,the FIRM shall deliver to theCITYand CONSULTANT certificatesofsuch insurance,acceptable totheCITY,aswellasthe insurance binder,ifoneis issued,the insurance policy, including the declaration pageand all applicable endorsementsandprovidethename,addressand telephonenumberofthe insurance agentorbrokerthroughwhomthe policy wasobtained.Theinsurer shall berated A.VII or better perAM.Best'sKey Rating Guide,latesteditionandauthorizedtoissue insurance intheStateof Florida.All insurance policies mustbewrittenonformsapprovedbytheState of Florida andtheymust remain in full force and effectforthe duration ofthecontract period withthe CITY.The FIRM mustprovidea "certified copy"ofthe Policy (as defined inArticle I ofthis document) which shall includethe declaration page and all requiredendorsements.Inaddition,the FIRM shall deliver,at the timeofdeliveryof the insurancecertificate,thefollowing endorsements: (a)an endorsement to the policystating: "TheCityofSouth Miami isan additional namedinsuredwiththerightbutnotthe obligation to payany unpaid premiumand providing thatthecitydoesnothaveanydutyor obligation to providefirstnoticeofclaimforany liability itincursandthatarises out oftheacts,omissionsor operationsofthenamedinsured.Theinsurerwillpay all sumsthattheCityofSouth Miami becomes legally obligatedtopayas damages becauseof 'bodily injury",'property damage',or "personalandadvertising injury"andit will providetotheCity all ofthecoveragethatis typically Page49 of 77 Thomas F.Pepe 8-26-14 providedunderthe standard Florida approvedformsforcommercial general liability coverageA and coverage B"; (b)an endorsement that states: "Thispolicy shall notbe cancelled (including cancellation fornon-paymentof premium),terminated or materially modified without first giving theCityofSouth Miami 10 days advanced writtennoticeof theintentto materially modifythe policy orto cancel orterminatethe policy forany reason.The notification shall be delivered totheCityby certified mail,withproofof delivery tothe City." 5.5 Indemnification 5.5.1 TheContractoracceptsand voluntarily incurs all risksofany injuries,damages,orharmwhich mightariseduringthe work oreventthatis occurring onthe CITY's propertyduetothe negligence orother fault oftheContractororanyoneactingthroughoronbehalfoftheContractor. 5.5.2The Contraaor shall indemnify,defend,saveandholdCITY,its officers,affiliates,employees, successorsand assigns,harmlessfromanyand all damages,claims,liability,losses,claims,demands,suits,fines, judgmentsorcostandexpenses,including reasonable attorney'sfees,paralegal feesand investigative costs incidental there toandincurredpriorto,duringor following any litigation,mediation,arbitrationandat all appellate levels,whichmaybesufferedby,or accrued against,charged toorrecoverablefromtheCityof South Miami,itsofficers,affiliates,employees,successorsand assigns,byreasonofanycausesofactionsor claim ofanykindornature,including claims forinjuryto,ordeathofanypersonorpersonsandfortheloss or damage toanyproperty arising out ofa negligent error,omission,misconduct,oranygross negligence, intentional actor harmful conductofthe Contraaor,its contraaor/subcontractor oranyoftheir officers, directors,agents,representatives,employees,or assigns,oranyone acting throughoronbehalfofanyof them,arising outofthisAgreement,incidenttoit,or resulting fromtheperformanceor non-performance of theContractor's obligations underthis AGREEMENT. 5.5.3The Contractor shall pay all claims,lossesandexpensesofanykindornaturewhatsoever,in connection therewith,including the expense or loss of the CITYand/oritsaffectedofficers,affiliates, employees,successorsand assigns,including theirattorney'sfees,inthedefenseofany aaion inlaworequity brought against them andarisingfrom the negligent error,omission,oract of the Contractor,its Sub- Contractor oranyoftheiragents,representatives,employees,or assigns,and/or arising out of,orincidentto, thisAgreement,orincidenttoorresultingfromtheperformanceornon-performanceofthe Contraaor's obligations under this AGREEMENT. 5.5.4 The Contractor agreesandrecognizesthatneithertheCITYnoritsofficers,affiliates, employees,successorsand assigns shall beheld liable orresponsibleforany claims,including thecostsand expenses ofdefendingsuchclaimswhichmayresultfromorarise out ofactionsoromissionsofthe Contractor,its contraaor/subcontractor oranyoftheir agents,representatives,employees,or assigns,or anyoneactingthroughoronbehalfofthethem,and arising outoforconcerningthe work oreventthatis occurringontheCITY'sproperty.In reviewing,approving orrejectinganysubmissionsoractsofthe Contractor,CITYinnowayassumesorsharesresponsibilityor liability fortheactsoromissionsofthe Contractor,its contraaor/subcontractor oranyoftheir agents,representatives,employees,or assigns,or anyone acting through or onbehalf of them. 5.5.5 TheContractorhasthedutyto provide adefensewithanattorneyorlaw firm approved bythe CityofSouth Miami,which approval willnotbe unreasonably withheld. 5.5.6 The obligations ofthe CONTRACTOR under paragraph 5.5 shall notextendtothe liability of theCONSULTANT,itsagentsoremployees arising outof (a)the preparation or approval of maps,drawings, opinions,reports,surveys,ChangeOrders,designs or specifications or(b)the giving oforthe failure togive directionsorinstructionsby the CONSULTANT,itsagentsor employees providedsuchactoromissionis theprimarycauseofinjuryordamage. 5.5.7Alloftheforgoingindemnificationprovisions shall survivethetermoftheContracttowhich these General Conditions areapart. ARTICLE 6-CONTRACTOR'S RESPONSIBILITIES Supervision and Superintendence: 6.1 The CONTRACTOR shall supervise and direatheWork.It shall be solely responsible forthe means, methods,techniques,sequences and procedures of construction.TheCONTRACTOR shall employ and maintain a qualified supervisororsuperintendent (hereinafter referredtoas "Supervisor"atthe Work site who shall bedesignatedinwritingby the CONTRACTOR,beforethe CONTRACTOR commences the Work andwithinthetime required bythe Contract,astheCONTRACTOR'S representative atthe Page50 of 77 Thomas F.Pepe 8-26-14 site.The Supervisor orso designated shall have full authoritytoactonbehalfofthe CONTRACTOR and all communications given tothe Supervisor shall beas binding asif given totheCONTRACTOR.The Supervisor(s)shall be present at each siteat all timesas required to perform adequate supervision and coordination ofthe Work.(Copiesofwritten communications given tothe Supervisor shall be mailed to theCONTRACTOR'Shome office). 6.1.1 TheCONTRACTOR shall keepone record copyof all Specifications,Drawings,Addenda, Modifications andShop Drawings atthesiteat all timesandingoodorderandannotatedto show all changesmadeduringtheconstructionprocess.These shall be available tothe CONSULTANT andanyCITYRepresentativeat all reasonable times.Asetof"As-Built" drawings,as well asthe original Specifications,Drawings,Addenda,Modifications and Shop Drawings with annotations,shall bemade available totheCityat all timesandit shall be deliveredtotheCITYuponcompletionoftheProjea. Labor.Materials and Equipment: 6.2The CONTRACTOR shall provide competent,suitably qualified personnel to lay outtheWork and perform construaion as required bytheContraa Documents.It shall at all times maintain good disciplineand order at the site. 6.3 The CONTRACTOR shall furnish all materials,equipment,labor,transportation,construaion equipment and machinery,tools,appliances,fuel,power,light,heat,local telephone,water and sanitary facilities and all other facilities and incidentals necessary for the execution,testing,initial operation and completion of the Work. 6.4 All materials and equipment shall be new,except as otherwise provided in the Contract Documents. When special makes or grades of material which are normally packaged bythe supplier or manufacturer are specified or approved,such materials shall be delivered tothesiteintheir original packages or containers with seals unbroken and labels intact. 6.5All materials andequipment shall be applied,installed,connected,erected,used,cleaned and conditioned in accordance withthe instructions ofthe applicable manufacturer,fabricator,or processors,except as otherwise providedin the Contract Documents. Materials.Equipment.ProductsandSubstitutions: 6.6 Materials,equipment and products incorporated in theWork must be approved for use before being purchasedby the CONTRACTOR.The CONTRACTOR shall submit to the CONSULTANT alist of proposed materials,equipment or products,together with such samples as may be necessary for themto determine their acceptability and obtain their approval,within one hundred eighty (180) calendar days after award ofContraa unless otherwise stipulated inthe Special Conditions.No request for payment for "or equal"equipment will be approved until this list has been received and approved by the CONSULTANT. 6.6.1 Whenevera material,article or piece of equipment is identified onthe Drawings or Specifications byreferenceto brand nameor catalog number,it shall beunderstoodthatthisis referenced forthe purpose of defining the performance orother salient requirements and that otherproductsof equal capacities,quality and function shall beconsidered.The CONTRACTOR may recommend the substitution ofa material,article,or piece of equipment of equal substance and function forthose referred tointheContract Documents by reference to brandnameorcatalognumber,andif,intheopinionoftheCONSULTANT,such material, article,or piece of equipment isof equal substance and function tothat specified,the CONSULTANTmay approve its substitution and usebytheCONTRACTOR.Incidental changes orextracomponent parts required to accommodate the substitute will bemadebythe CONTRACTOR without achangeintheContractPriceorthe Contract Time. 6.6.2 Nosubstitute shall beorderedor installed withoutthewritten approval oftheCONSULTANT who shall be the judgeof quality. 6.6.3 Delay caused by obtaining approvals for substitute materials shall notbe considered justifiable grounds foran extension of construction time. 6.6.4 Should any Work or materials,equipment or products not conform to requirements ofthe Drawings and Specifications orbecome damaged during theprogressofthe Work,such Work or materials shall be removed and replaced,togetherwithanyWork disarranged by such alterations,atany time beforecompletionandacceptanceoftheProject.Allsuch Work shall be done at the expense of the CONTRACTOR. 6.6.5 No materials or supplies for theWork shall be purchased bythe CONTRACTOR or any Subcontractorsubjecttoanychattel mortgage orundera conditional saleorotheragreementby Page 51 of 77 Thomas F.Pepe 8-26-14 whichan interest isretainedbytheSeller.The CONTRACTOR warrantsthattheyhavegood title to all materialsandsuppliesusedby them inthe Work. Concerning Subcontractors; 6.7The CONTRACTOR shall notemployanySubcontractor,against whom theCITYorthe CONSULTANT mayhave reasonable objection,norwillthe CONTRACTOR berequiredtoemployany Subcontractor who hasbeenacceptedby the CITYandthe CONSULTANT,unless the CONSULTANT determines that there isgoodcausefordoingso. 6.8The CONTRACTOR shall be fully responsiblefor all actsandomissions of its Subcontraaors andof personsandorganizationsdirectlyorindirectlyemployedbyitand of personsandorganizationsfor whose actsany of them maybe liable tothesame extent that they areresponsiblefortheactsand omissionsofpersonsdirectlyemployedbythem.Nothingin the Contract Documents shall createany contractualrelationship between CITYor CONSULTANT andany Subcontractor or other personor organizationhavingadirect contract with CONTRACTOR,nor shall itcreateanyobligationonthepart of CITYor CONSULTANT to payortoseetopayment of anypersonsdue subcontraaor or other personororganization,except asmay otherwise berequiredbylaw.CITYor CONSULTANT may furnishtoany Subcontractor or other personororganization,tothe extent practicable,evidenceof amounts paid to the CONTRACTOR onaccountofspecified Work doneinaccordancewiththe schedule values. 6.9 The divisionsandsections of the Specifications and the identificationsofanyDrawingsshall not control the CONTRACTOR in dividing the Work amongSubcontractorsordelineatingthe Work performedby anyspecific trade. 6.10 The CONTRACTOR agrees to bind specifically every Subcontractor to the applicable terms and conditions of the Contract Documents for the benefit of the CITY. 6.11 All Work performedforthe CONTRACTOR byaSubcontractor shall bepursuanttoanappropriate agreement between the CONTRACTOR andthe Subcontractor. 6.12 The CONTRACTOR shallbe responsible forthe coordination of the trades,Subcontractors materialand men engagedupon their Work. 6.12.1 The CONTRACTOR shall causeappropriateprovisions to beinsertedin all subcontracts relative to the Work to bindSubcontractorsto the CONTRACTOR by the terms of these General Conditions and other Contract Documents insofarasapplicable to the Work of Subcontractors,andgivethe CONTRACTOR the same power asregardstoterminatingany subcontract that the CITYmayexercise over the CONTRACTOR underanyprovisionsof the Contract Documents. 6.12.2 The CITY or CONSULTANT will not undertake to settle any differences between the CONTRACTOR and their Subcontractors or between Subcontractors. 6.12.3 IfintheopinionoftheCONSULTANT,anySubcontractorontheProjectprovestobe incompetent or otherwise unsatisfactory,they shall be promptly replacedbythe CONTRACTOR ifandwhendirectedbythe CONSULTANT inwriting. PatentFeesandRoyalties: 6.13 The CONTRACTOR shall pay all licensefeesandroyaltiesandassume all costsincidenttotheuseofany invention,design,processordevicewhichisthesubjectofpatentrightsorcopyrightsheldbyothers.He shall indemnifyandholdharmlesstheCITYandthe CONSULTANT andanyonedirectlyorindirectly employedbyeitherof them from against all claims,damages,lossesandexpenses (including attorney's fees)arising out of anyinfringementofsuchrightsduringorafterthe completion ofthe Work,and shall defendallsuchclaimsin connection withany alleged infringementofsuchrights. 6.14 The CONTRACTOR shall beresponsiblefor determining the application ofpatentrightsand royalties materials,appliances,articlesorsystemspriorto bidding.However,he shall notberesponsibleforsuch determinationonsystemswhichdonotinvolvepurchasebythemof materials,appliances and articles. Permits: 6.15 The CONTRACTOR shall secureandpayfor all constructionpermitsand licenses and shall payfor all governmentalchargesandinspectionfeesnecessaryfortheprosecutionofthe Work,whichare applicableat the time ofhisBid. When suchchargesarenormallymadebytheCITYandwhensostatedinthe Special Conditions,there will beno charges tothe CONTRACTOR.TheCITY shall assistthe CONTRACTOR,when necessary, in obtaining suchpermitsand licenses.The CONTRACTOR shall alsopay all public utility charges. Electrical Powerand Lighting: Page52 of 77 Thomas F.Pepe 8-26-14 6.16 Electrical power required during construction shall be provided by each prime CONTRACTOR as required by it.This service shall be installed by a qualified electrical Contractor approved bythe CONSULTANT.Lighting shall be provided bythe CONTRACTOR in all spaces at all times where necessary for good and proper workmanship,for inspection or for safety.No temporary power shall be usedoff temporary lighting lines without specific approval oftheCONTRACTOR. Lawsand Regulations: 6.17 The CONTRACTOR shall comply with all notices,laws,ordinances,rules and regulations applicable to theWork.If the CONTRACTOR observes thatthe Specifications or Drawings are at variance therewith, it shall give the CONSULTANT prompt written notice thereof,and any necessary changes shall be adjusted by an appropriate modification.If the CONTRACTOR performs any Work knowing ittobe contrarytosuch laws,ordinances,rules and regulations,andwithoutsuchnoticetotheCONSULTANT, it shall bear all costs arising there from;however,it shall notbe its primary responsibility to make certain that the Drawings and Specifications are in accordance with such laws,ordinances,rules and regulations. Taxes: 6.18 Costof all applicable sales,consumeruse,andothertaxesforwhichthe CONTRACTOR is liable under the Contract shall be included inthe Contract Price stated bythe CONTRACTOR. SafetyandProtection: 6.19 The CONTRACTOR shall be responsible for initiating,maintaining and supervising all safety precautions and programs in conneaion with the Work.They shall take all necessary precautions for the safety of, and shall provide the necessary protection to prevent damage,injury or loss to: 6.19.1 All employees and other persons,who may be affeaed thereby, 6.19.2 All the Work and all materials or equipment tobe incorporated therein,whether in storage on or off the site,and 6.19.3 Other property at the site or adjacent thereto,including trees,shrubs,lawns,walks,pavements, roadways,structures and utilities not designated for removal,relocation or replacement in the course of construction. 6.20 The CONTRACTOR shall designate a responsible member of their organization at the site whose duty shall bethe prevention of accidents.This person shall bethe CONTRACTOR'S Superintendent unless otherwise designated inwritingbytheCONTRACTORtothe CITY. Emergencies: 6.21 In emergencies affecting the safety of persons or the Work or property atthe site or adjacent thereto, the CONTRACTOR,without special instruction or authorization from the CONSULTANT or CITY,is obligated to act,at his discretion,to prevent threatened damage,injury or loss.He shall give the CONSULTANT prompt written notice of any significant changes in theWorkor deviations from the Contract Documents caused thereby.If the CONTRACTOR believes that additional Work done by him inanemergencywhicharosefrom causes beyondhiscontrolentitleshimtoan increase intheContract Price or an extension ofthe Contract Time,he may make a claim therefore as provided in Articles 11 and 12. Shop Drawings and Samples: 6.22After checking and verifying all field measurements,theCONTRACTOR shall submittothe CONSULTANT for review,in accordance with the accepted schedule of shop drawing submissions,six (6)copies (or atthe CONSULTANT option,one reproducible copy)of all Shop Drawings,which shall have been checked by and stamped with the approval ofthe CONTRACTOR.The Shop Drawings shall be numbered and identified as the CONSULTANT may require.The data shown on the Shop Drawings shall be complete withrespectto dimensions,design criteria,materials of construction and the like to enable the CONSULTANT to review the information without any unnecessary investigation. 6.23 The CONTRACTOR shall also submit to the CONSULTANT for review,with such promptness as to causenodelayin Work,all samplesrequiredbytheContractDocuments. All samples shall have been checked by and stamped withthe approval ofthe CONTRACTOR,identified clearly asto material,manufacturer,any pertinent catalog numbers and theusefor which intended. 6.24 Atthe time of each submission,the CONTRACTOR shall notify the CONSULTANT,in writing,of any deviations between the Shop Drawings or samples and the requirements ofthe Contract Documents. 6.25 The CONSULTANT shall review with responsible promptness Shop Drawings and Samples,but his review shall be only for conformance with the design concept ofthe Project and for compliance with the information given inthe Contract Documents.The review ofa separate item as such will not indicate review ofthe assembly in which the items functions.The CONTRACTOR shall make any corrections required bythe CONSULTANT and shall return the required number of corrected copies of Shop Page 53of77 Thomas F.Pepe 8-26-14 Drawingsand resubmit newsamplesuntilthereviewissatisfactoryto the CONSULTANT.The CONTRACTOR shall notifytheCONSULTANT,in writing,ofanypriorShop Drawing or revisions to Shop Drawings thatarein conflict with each submission or re-submission.TheCONTRACTOR'Sstamp of approval onanyShop Drawings orsample shall constitute representationtotheCITYandthe CONSULTANTthatthe CONTRACTOR has eitherdeterminedand/or verified all quantities,dimension, field construction criteria,materials,catalog numbersand similar dataortheyassume full responsibility for doing so,andthattheyhave reviewed or coordinated eachShop Drawing or sample withthe requirements of the Work and the Contract Documents. 6.26No Work requiring a submittal ofaShop Drawing orsample shall becommenceduntilthe submission has beenreviewedandapprovedinwritingbytheCONSULTANT.AcopyofeachShop Drawing andeach approvedsample shall be kept ingoodorder,ina book orbinder,in chronological orderorinsuch other orderrequiredbythe CONSULTANT in writing,bythe CONTRACTOR atthesiteand shall be available to the CONSULTANT. 6.27The CONSULTANT'S reviewofShop Drawings orsamples shall not relievethe CONTRACTOR from hisresponsibilityforanydeviationsfromthe requirements of the Contract Documents unless the CONTRACTOR hasinformedthe CONSULTANT,inwriting,toeachdeviationatthetimeof submissionandthe CONSULTANT has given written approval tothe specific deviation,nor shall any reviewby the CONSULTANT relievethe CONTRACTOR fromresponsibilityforerrorsoromissionsin the ShopDrawingsorsamples. 6.271 The CONTRACTOR shall be liable totheCITYforany additional costordelaythatiscausedbyits failure tonotifytheCONSULTANTofanyof said deviations or conflicts betweenShop Drawings ordue to errors in the ShopDrawingsorsamples. CleaningUp: 6.28The CONTRACTOR shall cleanupbehindthe Work asmuchasisreasonablypossibleasthe Work progresses.Upon completion of the Work,andbeforeacceptanceof final paymentfortheProjectby the CITY,the CONTRACTOR shall remove allhissurplusanddiscardedmaterials,excavatedmaterialand rubbishaswellas all other materialandequipmentthatdoesnotformapartofthe Work,fromthe property,roadways,sidewalks,parking areas,lawnand all adjacentproperty.In addition,the CONTRACTOR shall cleanhisportionof Work involvedinany building underthisContract,sothatno further cleaning by the CITYisnecessarypriortoitsoccupancyandhe shall restore all property,both publicandprivate,whichhasbeendisturbedor damaged duringtheprosecutionofthe Work soasto leave the whole Work and Work Siteinaneatandpresentablecondition. 6.29Ifthe CONTRACTOR does not cleanthe Work site,theCITYmaycleanthe Work Siteofthe materials referredtoin paragraph 6.28andchargethecosttothe CONTRACTOR. Public Convenience andSafety: 6.30 The CONTRACTOR shall,at all times,conduct the Work in such a manner as to insure the least practicable obstruction to publictravel.Theconvenienceofthe general public andoftheresidentsalong andadjacent to the areaof Work shall beprovidedforinasatisfactorymanner,consistent withthe operationand local conditions."StreetClosed"signs shall be placed immediately adjacent tothe Work,in aconspicuousposition,atsuchlocationsastrafficdemands.At anytimethat streets arerequiredtobe closed,the CONTRACTOR shall notify law enforcement agencies andin particular,theCityofSouth Miami Police Department,beforethe street isclosedand again assoonasitisopened.Accesstofire hydrantsand other fire extinguishing equipment shall beprovidedandmaintainedat all times. SanitaryProvisions:, 6.31 The CONTRACTOR shall provideon-site office,and necessary toilet facilities,secluded from public observation,foruseof all personnel onthe Work Site,whetherornotinhisemploy.They shall bekept inacleanand sanitary conditionand shall complywiththerequirementsand regulations ofthe Public Authorities having jurisdiction.They shall commitno public nuisance.Temporary field office and sanitary facilities shall beremoveduponcompletionofthe Work andthepremises shall beleft clean. 6.32 through 6.34havebeen deleted. Responsibilityfor Connection to Existing Work: 6.35 It shall bethe responsibility oftheCONTRACTORtoconnectits Work to each partoftheexisting Work,existing building orstructureorWork previously installed as required bythe Drawings and Specificationstoprovidea complete installation. 6.36 Excavations,grading,fill,storm drainage,paving and any other construction or installations in rights-of- waysofstreets,highways,public carrier lines,utility lines,either aerial,surfaceor subsurface,etc.,shall be Page54 of 77 Thomas F.Pepe 8-26-14 donein accordance withrequirementsofthe special conditions.TheCITY will beresponsiblefor obtaining all permitsnecessaryforthe Work described inthis paragraph 6.36.Uponcompletionofthe Work,CONTRACTOR shall presenttoCONSULTANT certificates,in triplicate,fromtheproper authorities,stating thatthe Work has beendonein accordance withtheir requirements. 6.36.1 TheCITYwillcooperatewiththeCONTRACTORin obtaining actionfromany utilities or publicauthoritiesinvolvedin the aboverequirements. 6.36.2 TheCONSULTANT shall be responsible for obtaining elevations ofcurbs and gutters,pavement, storm drainage struaures,andotheritemswhichmustbe established by governmental departments assoonas grading operations are begun onthesite and,in any case,sufficiently earlyintheconstructionperiodtopreventanyadverseeffectonthe Project. CooperationwithGovernmentalDepartments.Public Utilities.Etc.: 6.37 TheCONTRACTOR shall be responsible for making all necessary arrangements with governmental departments,public utilities,public carriers,service companies and corporations (hereinafter referred to as"third parties")owning or controlling roadways,railways,water,sewer,gas,elearical conduits, telephone,and telegraph facilities such as pavements,tracks,piping,wires,cables,conduits,poles,guys, etc.,includingincidental structures conneaed therewith,thatare encountered inthe Work in order that suchitemsareproperlyshored,supportedandprotected,thattheir location is identified andtoobtain authorityfromthesethirdpartiesforrelocationif the CONTRACTOR desires to relocate the item.The CONTRACTOR shall give all proper notices,shall comply with all requirements of such third parties in the performance of his Work,shall permit entrance of such third parties onthe Project inorderthatthey may perform their necessary work,and shall pay all charges and fees made by such third parties fortheir work. 6.37.1 The CONTRACTOR'S attention is called tothe fact thatthere may be delays onthe Project due toworktobedoneby governmental departments,public utilities,and othersin repairing or moving poles,conduits,etc.The CONTRACTOR shall cooperate withthe above parties in everyway possible,sothattheconstruaion can be completed inthe least possible time. 6.37.2The CONTRACTOR shall havemadeitself familiar with all codes,laws,ordinances,and regulations whichinany manner affeathose engaged or employed intheWork,or materials and equipmentuseinorupontheWork,orinanywayaffecttheconductoftheWork,andno plea of misunderstanding will be considered on account of damage or delay caused by his ignorance thereof. Use Premises; 6.38 CONTRACTOR shall confine its apparatus,storage of materials,and operations ofitsworkmentothe limits indicated by law,ordinances,permitsanddireaionsof CONSULTANT andCITY,and shall not unnecessarily encumberanypartofthesiteorany areas offsite. 6.38.1 CONTRACTOR shall not overload orpermit any part of any struauretobe loaded with such weightas will endanger its safety,nor shall itsubjeaanyworktostressesor pressures that will endangerit. 6.38.2 CONTRACTOR shall enforcethe rules and regulation promulgated bytheCONSULTANT and CITYas well astheir instructions with regard to signs,advertisements,fires and smoking. 6.38.3 CONTRACTOR shall arrange and cooperatewithCITYin routing and parking of automobiles of its employees,subcontraaors and other personnel,as well asthatofthe material delivery trucks and other vehiclesthat come totheProjectsite. 6.38.4 TheCity will designate specific areas onthesitefor storage,parking,etc.and thejobsite shall be fencedto protect thejobsiteandthe general public. 6.38.5 The CONTRACTOR shall furnish,install and maintain adequate constructionoffice facilities for all workersemployedbyitorbyits Subcontractors.Temporary offices shall be provided and located where directedandapprovedbythe CONSULTANT.Allsuch facilities shall be furnished instrict accordance withexisting governing regulations.Field offices shall include telephone facilities. ProtectionofExistingPropertyImprovements: 6.39Any existing surface or subsurface improvements,suchas pavements,curbs,sidewalks,pipes or utilities, footings,orstructures (including portions thereof),trees and shrubbery,not indicated onthe Drawings ornotedinthe Specifications as being removedor altered shall beprotectedfrom damage during constructionoftheProject.Anysuchimprovements damaged duringconstructionoftheProject shall be restoredattheexpenseofthe CONTRACTOR toaconditionequaltothatexistingatthetimeofaward of Contract. Page 55 of 77 Thomas F.Pepe 8-26-14 ARTICLE 7-WORK BY OTHERS 7.1 TheCITYmayperform additional Work relatedtotheProjectormaylet other directcontractstherefor which shall contain General Conditions similar to these.The CONTRACTOR shall afford the other contractors who areparties to suchdirectcontracts(or the CITY,ifitisperforming the additional Work itself),reasonable opportunity forthe introduaion andstorageofmaterialsand equipment andthe execution of Work,andshall properly connect and coordinate its Work withtheirs. 7.2Ifanypartofthe CONTRACTOR'S Work dependsuponproperexecutionorresultsofthe Work ofany other contraaor ortheCITY,the CONTRACTOR shall promptly report tothe CONSULTANT in writinganydefectsordeficienciesinsuch Work thatrenderitunsuitableforthe CONTRACTOR'S Work. 7.3 The CONTRACTOR shalldoallcutting,fittingandpatching of the Work that mayberequired to make itsseveralparts come together properlyand tit toreceiveorbereceivedbysuch other Work.The CONTRACTOR shall not endangerany Work of others bycutting,excavatingor otherwise alteringtheir Work and shall onlycutoraltertheir Work with the written consent of the CONSULTANT and of the other contraaor whose work will be affected. 7.4Iftheperformanceof additional Work byothercontractorsortheCITYisnotnotedinthe Contraa Documents prior to the execution of the Contract,written notice thereof shall begiventothe CONTRACTOR prior to startinganysuch additional Work.If the CONTRACTOR believesthat the performance of suchadditional Work by the CITYor others willcause the CONTRACTOR additional expenseorentitleshimtoanextensionoftheContractTime,hemaymakea claim therefore asprovided in Articles 11 and 12. 7.5 Where practicable,the CONTRACTOR shall buildaround the work of other separate contractors or shall leavechases,slotsandholesasrequiredtoreceiveand to concealwithinthegeneralconstruction Work the work ofsuch other separatecontractorsasdirectedbythem.Where suchchases,slots,etc., areimpracticable,the Work shallrequirespecificapprovalof the CONSULTANT. 7.6 Necessary chases,slots,andholesnotbuiltorleftbythe CONTRACTOR shall becutbythe separate contractor requiringsuchalterationsafterapprovalof the CONTRACTOR.The CONTRACTOR shall do all patching and finishing oftheworkofother contractors whereitiscutbythemand such patching andfinishingshallbeat the expense of CONTRACTOR 7.7 Cooperation isrequiredin the useofsite facilities andinthedetailed execution ofthe Work.Each contractor shall coordinate their operation with those of the other Contraaors for the best interest of the Work in order to prevent delayintheexecutionthereof. 7.8 Each of several contraaorsworkingonthe Project Site shall keep themselves informed ofthe progress of theworkofothercontractors.Should lack of progress ordefectiveworkmanshiponthepartofother contractors interferewiththe CONTRACTOR'S operations,theCONTRACTOR shall notifythe CONSULTANT immediatelyandinwriting.Lackofsuchnoticetothe CONSULTANT shall be construedas acceptance bytheCONTRACTORofthestatusoftheworkofother contractors as being satisfactoryfor proper coordination of CONTRACTOR'S own Work. 7.9Thecostofextra Work resulting from lack of notice,untimely notice,failure to respond to notice, Defective Work or lack of coordination shall be the CONTRACTOR'S cost. ARTICLE 8-CITY'S RESPONSIBILITIES 8.1 TheCITY will issue all communications totheCONTRACTOR through the CONSULTANT. 8.2 In cases of termination ofemploymentofthe CONSULTANT,theCITY will appoint a CONSULTANT whose status under the Contract Documents shall be that of the former CONSULTANT. 8.3TheCITY shall promptly furnish thedatarequiredofthemundertheContractDocuments. 8.4The CITY'S duties inrespeato providing lands and easements are set forth in Paragraphs 4.1 and 4.2. 8.5 The CITY shall have the right to take possession of and use any completed or partially completed portions oftheWork,notwithstanding the fact thatthetimefor completing theentireWorkor any portion thereof maynothaveexpired;butsuchtakingpossessionanduse shall notbedeemedan acceptance of any Work not completed inaccordancewith the Contract Documents. Page56of77 Thomas F.Pepe 8-26-14 ARTICLE 9-CONSULTANTS'STATUS DURING CONSTRUCTION City'sRepresentative: 9.1 The CONSULTANT shall be the CITY'S representative during the construction period.The duties and responsibilities and the limitations of authority of the CONSULTANT as the CITY'S representative during constructionaresetforthinArticles I through 16 ofthese General Conditionsand shall notbeextended without written consent of the CITY and the CONSULTANT. 9.1.1 The CONSULTANT'S decision,in matters relating to aesthetics,shall be final,if within the terms of the Contract Documents. 9.1.2 Except as may be otherwise provided in this contract,all claims,counterclaims,disputes and other matters in question between the CITY and the CONSULTANT arising outofor relating to this Contraa orthe breach thereof,shall be decided in a court of competent jurisdiction within the State of Florida. Visits to Site: 9.2 The CONSULTANT shall provide an inspector to make periodic visits to the site at each phase of construction toobservethe progress and quality oftheexecuted Work andtodetermineifthe Work is proceeding in accordance with the Contraa Documents.His efforts shall be directed toward providing assurance for the CITY and all applicable regulatory agencies that construction is in compliance with the Construction Documents and applicable laws,rules and regulations.Onthe basis of these on site- observations as an experienced and qualified design professional,he shall keep the CITY informed ofthe progress ofthe Work and shall guard theCITY against defects and deficiencies inthe Work of CONTRACTOR. Clarifications and Interpretations: 9.3 The CONSULTANT shall issue,with reasonable promptness,such written clarifications or interpretations ofthe Contraa Documents (in the form of Drawings or otherwise)as it may determine necessary,which shall beconsistentwith,or reasonably inferable from,the overall intentoftheContraa Documents.If the CONTRACTOR seeksanincreaseinthe Contraa Priceor extension of Contract Timebasedona written clarification and/or interpretation it shall be required to submit a timely claim as provided in Articles II and 12. Measurement of Quantities: 9.4 All Work completed under the Contraa shall be measured by the CONSULTANT according to the United States Standard Measures.All linear surface measurements shall be made horizontally or vertically asrequiredby the item measured. Rejecting Defective Work: 9.5The CONSULTANT shall have authority to disapprove orrejectWorkthatis "Defective Work"as defined in Article I.It shall also have authority to require special inspection or testing oftheWork including Work fabricated onoroff site,installed or completed as provided.In theeventthatthe CONSULTANT requires testing of completed Work,thecostof such inspections and/or testing shall be approved in writing bythe CITY.All consequential costof such inspections and testing,including butnot limited tothecostof testing and inspection,thecostof repairing any oftheWork,ortheworkof others, thecostto move furniture and equipment and/or thecostto provide alternative facilities until the repair workcanbecompleted,shall paid bythe CONTRACTOR ifthe Work isfoundtobeDefective Work. Shop Drawings.Change Ordersand Payments: 9.6 In connection with the CONSULTANT responsibility as to Shop Drawings and samples,see paragraphs 6.25through6.28,inclusive. 9.7 In connection withthe CONSULTANT'S responsibility for Change Orderssee Articles 10,11,and 12. 9.8 In connection with the CONSULTANT responsibilities with respect tothe Application for Payment,etc., see Article 14. Decisionson Disagreements: 9.10 TheCONSULTANT shall bethe initial interpreteroftheConstructionDocuments. LimitationsonConsultant's Responsibilities: 9.11 The CONSULTANT will notbe responsible for the construction means,methods,techniques,sequences or procedures,or the safetyprecautionsandprogramsincident thereto. 9.12 The CONSULTANT will notbe responsible for the acts or omissions ofthe CONTRACTOR,or any Subcontractors,or any oftheir agent,servants or employees,or any other person performing any ofthe Work underorthroughthem. Page 57of77 Thomas F.Pepe 8-26-14 ARTICLE 10 -CHANGES IN THE WORK 10.1 Without invalidating the Contract,theCITYmay,atany time orfromtimetotime,order additions, deletionsorrevisionsinor to the Work which shall onlybeauthorizedbya written ChangeOrders. UponreceiptofaChangeOrder,the CONTRACTOR shall proceedwiththe Work involved.Allsuch Work shall beperformedunderthe applicable conditionsofthe Contract Documents.Ifanyauthorized written Change Order causesanincreaseor decrease in the Contract Priceoran extension or shorteningofthe Contract Time,anequitableadjustmentwillbemadeasprovidedinArticle 11 or Article 12.A written Change Order signedby the CITY MANAGER and the CONTRACTOR indicates their agreement to the terms of the Change Order.AllChange Orders shall becertifiedby the CONSULTANT as to the appropriateness andvalueof the changein the Work aswellas to anychange in the time to complete the Work under the circumstances.The failure to includea time extension in the Change Order orin the request forachange order shall resultinawaiverofany extension oftime due to the changein the work asreflectedin the Change Order. 10.2 The CONSULTANT mayauthorizeminor changes oralterationsin the Work not involving extracost and not inconsistent with the overall intent of the Contract Documents without the need for a formal written Change Order providedthe CONTRACTOR does not request additional timeoradditional compensation.These maybeaccomplishedbya written Field Order.If the CONTRACTOR believes thatanychangeoralteration authorized by the CONSULTANT'S Field Order would entitles the CONTRACTOR to an increase in the Contract Price or extension of Contract Time,it must submit a written noticeof intent todemandaChangeOrderwithin twenty four(24)hours of theissuanceofthe Field Orderandsubmitawritten proposal forChangeOrderwithinfour(4)daysthereafter,otherwise the CONTRACTOR shall be deemed to have waived such claim. 10.3 Additional Work performedbytheCONTRACTORwithout authorization ofawritten Change Order shall notentitleittoanincreaseintheContract Price oranextensionoftheContractTime,except in thecaseofanemergencyasprovidedin paragraph 6.22and except asprovidedin paragraph 10.2. 10.4 TheCITYwillexecute appropriate Change Orders prepared bytheCONSULTANTcovering changes in the Work,tobeperformedas provided in paragraph 4.4,and Work performedinanemergencyas providedin paragraph 6.22andanyother claim ofthe CONTRACTOR fora change inthe Contraa Time or the Contract Pricewhichis approved by the CONSULTANT. 10.5 It istheCONTRACTOR'S responsibility to notify itsSuretyofany changes affecting the general scopeof the Work or change inthe Contraa Price orContractTimeandtheamountofthe applicable bonds shall beadjusted accordingly.The CONTRACTOR shall furnish proofofsuchanadjustmenttotheCITY beforecommencementofthe Change Order Work.The Work shall bestopped until the CONTRACTOR provides such proofof adjustment inthe Bond amount and any such delay shall be charged to the CONTRACTOR. ARTICLE 11 -CHANGE OF CONTRACT PRICE I I.I The Contract Price constitutes the total compensation payable tothe CONTRACTOR for Performing theWork.All duties,responsibilities and obligations assigned toor undertaken bytheCONTRACTOR shall beatitsexpense without changing theContract Price. 11.2 The CITY may,at any time,without written notice tothe sureties,by written order designated or indicated tobea Change Order,makeany change inthe Work withinthe general scopeofthe Contract, including but not limited to changestoor in: 11.2.1 Specifications (including drawings and designs); 11.2.2 Methodormannerofperformanceofthe Work. 11.2.3 CITY-furnished facilities,equipment,materials,services,orsite;or 11.2.4 Accelerationin the performanceofthe Work. I 1.3 Exceptasprovidedinthissection,orsectionsreferredtointhissection,noorder,statement,orconduct ofthe CITY shall be treated as a Change Order or entitle the CONTRACTOR to an equitable adjustment unless and until the change intheWorkis specifically and expressly provided for inawritten ChangeOrder,oras otherwise providedinanothersectionoftheContractDocuments. I 1.4 Whena Change Order is issued bythe CONSULTANT and signed bythe CITY or issued bythe CITY in writing,the CONTRACTOR shall perform theWork even ifthe CONTRACTOR does not agree with the dollar amountofthe Change Order.Ifany Change Order causes an increase or decrease inthe CONTRACTOR'S costof,orthetime required for,the performance of any part oftheWork under this Page58 of 77 Thomas F.Pepe 8-26-14 Contract,for which the CITY and the CONTRACTOR cannot reach a timely agreement,an equitable adjustment based on the cost ofthe Work shall be made and the Contraa modified accordingly. 11.5 If the CONTRACTOR intends to assert a claim for an equitable adjustment or contest the equitable adjustment made by the CONSULTANT,it shall,within ten (10)calendar days after receipt ofa written Change Order,submit to the CITY and CONSULTANT a written notice including a statement setting forth the general nature and monetary extent of such claim for equitable adjustment,time extension requested and supporting data.In determining thecostofthe Change Order,thecosts shall be limited to those listed in seaion 11.7 and 11.8. 11.6 No claim bythe CONTRACTOR for an equitable adjustment hereunder shall be allowed ifnot submitted in accordance withthis section orif asserted after final payment under thisContraa. 11.7 The value of any Work covered by a Change Order orof any claim for an increase or decrease in the Contract Price shall be determined inoneofthe following ways: 11.7.1 Bynegotiatedlumpsum. 11.7.2 On the basis of the reasonable cost and savings that results from the change in the Work plus a mutually agreed upon fee tothe CONTRACTOR to cover overhead and profit notto exceed 15%.IftheCONTRACTOR disagrees withtheCONSULTANTS determination of reasonable costs,the CONTRACT shall provide a list of all costs together with backup documentation 11.8 The term cost of the Work means the sum of all direct extra costs necessarily incurred and paid by the CONTRACTOR in the proper performance ofthe Change Order.Except as otherwise may be agreed to in writing by CITY,such costs shall be in amounts no higher than those prevailing in Miami-Dade County and shall include onlythe following items: 11.8.1 Payroll costs for employees in the direa employ of CONTRACTOR in the performance ofthe Work described in the Change Order under schedules of job classifications agreed upon by CITY and CONTRACTOR.Payroll costs for employees not employed full timeontheWork shall be apportioned onthe basis oftheirtimespentontheWork.Payroll costs shall be limited to: salaries and wages,plus the costs of fringe benefits which shall include social security contributions,unemployment,excise and payroll taxes,workers'compensation,health and retirement benefits,sick leave,vacation and holiday pay applicable thereto.Such employees shall include superintendents and foremen atthe site.The expenses of performing Work after regular working hours,on Sunday or legal holidays shall be included in the above only if authorized by CITY and provided it was notin any way,whether in whole orin part the result of the fault ofthe CONTRACTOR due to negligence ofthe CONTRACTOR or those acting byor throughhimordueinwholeorinparttoDefectiveWork oftheCONTRACTOR. 11.8.2 Cost of all materials and equipment furnished and incorporated in the Work,including costs of transportationand storage,and manufacturers'field servicesrequiredinconnectiontherewith. The CONTRACTOR shall notifytheCITYof all cashdiscountsthatare available andofferthe CITYthe opportunity to deposit funds withtheCONTRACTORforthe payment foritemsthat offer a discount.Cash discounts shallaccrue to CONTRACTOR unless the CONTRACTOR fails totimely notify theCITYofthe discounts oriftheCITY deposits funds with CONTRACTOR withwhichtomakepaymentsinwhichcasesthecashdiscounts shall accrueto the CITY.Alltrade discounts,rebates and refunds,and all returns from sale of surplus materials and equipment shall accrue to CITY,and CONTRACTOR shall make provisions sothatthey maybe obtained. 11.8.3 Payments made by CONTRACTOR tothe Subcontractors for Work performed by Subcontractors.If required by CITY,CONTRACTOR shall obtain competitive bids from Subcontractors acceptable to himand shall deliversuchbidstoCITY who will then determine, withtheadviceoftheCONSULTANT,which Bids willbeaccepted.Nosubcontract shall bea cost plus contract unless approved in writing bytheCITY.Ifa Subcontract providesthatthe Subcontractoristobe paid onthe basis ofCostof Work plus a fee,thecostofthe Work shall be determined in accordance this section 11.8 andin such case the word "Subcontraaor"shall be substituted for the word "CONTRACTOR". 11.8.4 Rentals of all construction equipment and machinery,except hand tools,and the parts thereof whetherrented from CONTRACTORorothersin accordance with rental agreements approvedbyCITYwiththe advice ofCONSULTANT,andthecostsof transportation,loading, unloading,installation,dismantling andremoval thereof -all inaccordancewith terms ofsaid rentalagreements.The rental ofanysuchequipment,machinery orparts shall ceasewhenthe use thereof isnolongernecessaryforthe Work. Page 59of77 Thomas F.Pepe 8-26-14 11.8.5 Sales,useorsimilar taxes related to the Work,andforwhich CONTRACTOR is liable,imposed byany governmental authority. 11.8.6 Paymentsandfeesforpermitsandlicenses.Costs forpermitsandlicenses must beshownasa separate item. 11.8.7 The cost of utilities,fuelandsanitary facilities at the site. 11.8.8 Minor expenses suchastelegrams,longdistance telephone calls,telephone serviceatthesite, expressage andsimilar petty cashitemsin connection with the Work. 11.8.9 Cost ofpremiumsfor additional Bondsandinsurancerequiredsolelybecauseofchangesinthe Work,not to exceed two percent (2%)of the increasein the Cost of the Work. 11.9 The term Cost of the Work shall NOT includeanyof the following: 11.9.1 Payroll costsand other compensationof CONTRACTOR'S officers,executives,principals (of partnershipandsole proprietorships),generalmanagers,engineers,architects,estimators, lawyers,agents,expediters,timekeepers,clerksand other personnelemployedby CONTRACTOR whether at the siteorinits principal orabranchofficeforgeneral administrationof the Work and not specifically includedin the schedulereferred to in Subparagraphi 1.5. 11.9.2 Expenses of CONTRACTOR'S principal andbranchoffices other thanitsofficeatthesite. 11.9.3 Anypartof CONTRACTOR'S capital expenses,including intereston CONTRACTOR'S capital employedforthe Work and charges against CONTRACTOR fordelinquentpayments. 11.9.4 Cost of premiumsfor all bondsandfor all insurance policies whether ornot CONTRACTOR is requiredbythe Contraa Documentstopurchaseand maintain thesame(exceptasotherwise providedinSubparagraph 11.8.9). 11.9.5 Costsduetothe negligence ofCONTRACTOR,any Subcontractor,oranyonedirectlyor indirectlyemployedbyanyofthemorforwhoseactsanyofthemmaybe liable,including but not limited to,thecorrectionofdefectivework,disposal of materials orequipmentwrongly suppliedandmakinggoodany damage toproperty. 11.9.6 Other overhead or general expensecostsofany kind and thecostsofanyitemnot specifically and expressly includedin Paragraph 11.8. 11.10 TheCONTRACTOR'Sfeewhich shall be allowed to CONTRACTOR foritsoverheadandprofit shall be determined as follows: 11.10.1 A mutually acceptable firm fixed price;orifnone can be agreed upon. II.10.2 A mutually acceptable fixed percentage (nottoexceed 15%). Il.il Theamountofcredittobe allowed byCONTRACTORtoCITYforanysuch change whichresultsina net decrease in cost will be the amount of the actual net decrease in costs calculated in the same manner as provided in 11.8.Whenboth additions and creditsare involved inanyone change,thenet shall be computedto include overhead and profit,identified separately,forboth additions and credit,provided however,the CONTRACTOR shall notbeentitledto claim lost profits forany Work not performed. ARTICLE 12 -TIME FOR COMPLETION.LIQUIDATED DAMAGES AND CHANGE OF THE CONTRACT TIME 12.1 Timeisoftheessencetothiscontractand the date of beginning and thetimefor completion oftheWork are essential conditions ofthe Contract.Therefore,the Work shall becommencedonthedate specified intheNoticetoProceedandcompletedwithinthetime specified forcompletionofthework. 12.2 The CONTRACTOR shall proceed withtheWorkat such rateof progress to ensure full completion within theContractTime.Itis expressly understood and agreed,by and betweentheCONTRACTOR andtheCITY,thattheContractTimeforthecompletionofthe Work describedhereinisa reasonable time,taking into consideration the average climatic and economic conditions and other factors prevailing inthe locality ofthe Work.Noextensionoftime shall be granted dueconditionsthattheContractor knewofor should have known of before bidding onthe project or due to inclement weather,except as provided in section 12.7. 12.3 Ifthe CONTRACTOR shall fail tocompletethe Work withintheContractTime,orextensionoftime granted bythe CITY,thenthe CONTRACTOR shall pay tothe CITY theamountof liquidated damages as specified in the Contract Documents for each calendar day after the scheduled date for completion as adjusted bywritten Change Ordersthatextendedthe completion date. 12.3.1 These amounts are not penalties but are liquidated damages incurred bythe CITY for its inability to obtain full useofthe Project.Liquidated damages are hereby fixed and agreed uponbetween the parties,recognizing the impossibility of precisely ascertaining theamountof damages that will Page60 of 77 Thomas F.Pepe 8-26-14 be sustained as a consequence of such delay,and both parties desiring to obviate any question or dispute concerning the amount of said damages and thecost and effectofthe failure of CONTRACTOR to complete the Contract on time.The above-stated liquidated damages shall apply separately to each phase ofthe Project for which a time for completion is given. 12.3.2 CITY is authorized to deduct the liquidated damages from monies due to CONTRACTOR for the Work under this Contract. 12.4 The Contract Time may only be changed by a written Change Order.Any claim for an extension in the CONTRACT TIME shall be based onwrittennotice delivered totheCITYandCONSULTANTwithin five (5)business days ofthe occurrence ofthe event giving rise tothe claim and stating the general nature ofthe claim including supporting data.All claims for adjustment in the Contract Time shall be evaluated and recommended bythe CONSULTANT,with final approval by the CITY'S representative.Any change in the Contraa Time resulting from any such claim shall be incorporated in a written Change Order. 12.5 Alltimelimitsstatedinthe Contraa DocumentsareoftheessenceoftheContract. 12.6 No claim for delay shall be allowed because of failure to furnish Drawings before the expiration of fourteen (14)calendar days after demand has been made in writing tothe CONSULTANT for such Drawings.Furthermore,there shall be no monetary compensation for such delay and the CONTRACTOR'S sole remedy shall be an extension of time for the period of delay. 12.7 Extensions tothe Contract Time for delays caused bythe effects of inclement weather shall notbe granted unless the weather was unusual for South Florida and could not have been anticipated,the abnormal weatherisdocumentedbyrecordsfromthe national weatherserviceandthe abnormal weather is documented to havehadasubstantial affected on the construaion schedule. 12.8 No Damages for Delay:The CONTRACTOR agrees that he shall not have any claim for damages due to delay unless the delay exceeds 6 months,whether individually or cumulatively,and then the damages shall be limited to increased costof materials thatwere unanticipated and that would not have been incurred but for the delay.Other than as set forth above,the only remedy for any delay shall be limited to an extension of time as provided for in Section 12.4 which shall bethe sole and exclusive remedy for such resultingdelay.Other thanas set forthabove,CONTRACTOR shall not be entitled to anincreasein the Contraa Price or payment or compensation of any kind from CITY for direct,indirect,consequential, impactorothercosts,expensesor damages,including but not limited to,costsof acceleration or inefficiency,overhead orlost profits,arising because of delay,disruption,interference or hindrance from anycausewhatsoever,whethersuch delay,disruption,interferenceor hindrance be reasonable or unreasonable,foreseeable or unforeseeable,oravoidable or unavoidable. 12.9 The CONTRACTOR waives all claims that are not presented tothe City in writing onor before the 21st day following thedateoftheeventuponwhichthe claim is based. ARTICLE |3-GUARANTEE 13.1 TheCONTRACTOR shall guarantee and unconditionally warrant through eitherthe manufacturer orthe CONTRACTOR direaly,all materials and equipment furnished and Work performed for patent DefeaiveWorkfora period ofone(I)year from thedateof Final Acceptance as indicated inthe CONSULTANTLetterof Recommendation of Acceptance or from thedatewhenthedefectwas first observable,whichever is later.The same guarantee and unconditional warranty shall beextendfor five (5)yearsfromthedateof Final Acceptanceas indicated intheCONSULTANTLetterof Recommendation of Acceptance for latent Defective Work.The CITY will give notice of observed defectswith reasonable promptness.In theeventthatthe CONTRACTOR should fail tocommenceto correctsuchDefective Work withinten (10)calendar days after having received writtennoticeofthe defect,or should theCONTRACTOR commence the corrective work,but fail to prosecute the corrective work continuously and diligently and in accordance withthe Contract Documents,applicable law,rulesand regulations,theCITYmaydeclareaneventof default,terminatetheContractinwholeor inpartandcausetheDefective Work toberemovedorcorrectedandtocompletethe Word atthe CONTRACTOR'S expense,and the CITY shall charge the CONTRACTOR thecost thereby incurred. The Performance Bond shall remain in full force and effect through the guarantee period. 13.2 The specific warranty periods listed intheContract Documents,if different fromthe period oftime listed in Seaion 13.1,shall take precedence overSection 13.1. Page 61 of 77 Thomas F.Pepe 8-26-14 ARTICLE 14 -PAYMENTS AND COMPLETION Payments to Contractor 14.1 TheContractor shall notbeentitledtoanymoneyforanyworkperformedbeforethe issuance ofa NoticetoProceedontheformdescribedintheContractDocumentsandthe issuance bytheCityofa "purchaseorder",orany other document,does not and shall not authorize the commencement ofthe Work.Atleastten (10)calendar days before each progress payment falls due(butnotmoreoftenthan onceamonth),the CONTRACTOR shall submittothe CONSULTANT a partial paymentestimate filled outand signed bythe CONTRACTOR coveringthe Work performedduringtheperiodcoveredbythe partial paymentestimateandsupportedbysuch data astheCONSULTANTmay reasonably require.All progress payment applications afterthe first progress payment shall be accompanied by partial releases of lien executed by all persons,firmsandcorporations who havefurnishedlabor,servicesormaterials incorporatedintothe work during theperiodoftimeforwhichthepreviousprogresspaymentwasmade, releasingsuchclaimsandlienrights,ifany,of those persons. Ifpaymentisrequestedonthe basis of materials andequipmentnot incorporated in the Work but delivered and suitably storedator near site,the partial payment estimate shall also be accompanied by suchsupporting data,satisfactory to theCITY,whichestablishestheCITY'Stitle to thematerialand equipmentaswellascertificatesof insurance providing coveragefor 100%ofthevalueof said material and equipment coveringthematerialandequipmentfrom all casualtiesaswellas theft,vandalism,fireand flood.TheCONTRACTOR shall replace atits expense any stored materials paid for which are either damaged or stolen before installation.The CONSULTANT will within ten (10)calendar days after receiptof each partial payment estimate,either certifying in writing its approval of payment and present the partial payment estimatetothe CITY,orreturnthe partial payment estimatetotheCONTRACTOR, indicating inwritinghisreasonsforrefusingtoapprovepayment.In thelattercase,the CONTRACTOR maymakethenecessarycorrectionsandresubmitthe partial paymentestimate.TheCITY,will within thirty (30)calendar days of presentation toitof any approved partial payment estimate,pay the CONTRACTORa progress payment onthe basis ofthe approved partial payment estimate.TheCITY shall retain ten (10%)percent ofthe amount of each payment until Final Completion and Acceptance of all Work coveredbytheContract Documents.Anyinterest earned onthe retainage shall accrue tothe benefit of the CITY. 14.2 TheCONTRACTOR,beforeit shall receive final payment,shall deliver totheCITYa Contractor's Final PaymentAffidavitas set forthinthe Florida Construction LienStatuteaswellas final releasesoflien executedby ail persons who have performed or furnished labor,services or materials,directly or indirectly,which was incorporated intotheWork.If any person refuses to provide such a release or provides a conditional release,theCITY shall have the right to issue ajointcheck made payable tothe CONTRACTOR andsuchperson. Contractor's Warranty ofTitle 14.3 The CONTRACTOR warrants and guarantees that title to all Work,materials and equipment covered by an Application for Payment whethertheWork,material or equipment is incorporated in the Project or not,shall have passed totheCITY prior tothe making ofthe Application for Payment,free and clear of all liens,claims,securityinterestand encumbrances (hereafterintheseGeneralConditionsreferredtoas "Liens");and thatnoWork,materials or equipment,covered by an Application for Payment,will have been acquired bytheCONTRACTORorby any other person performing theWorkatthesiteor furnishing materials and equipment for the Project,under or pursuant to an agreement under which an interest therein or encumbrance thereon is retained bythe seller or otherwise imposed bythe CONTRACTOR orsuch other person. Approval of Payment 14.4 The CONSULTNT's approval of any payment requested in an Application for Payment shall constitute a representation byhim to the CITY,basedon the CONSULTANT'S onsite observations of the Work in progress as an experienced and qualified design professional and on his review ofthe Application for Payment and supporting data,that theWork has progressed tothe point indicated in the Application for Payment;that,tothebest his knowledge,information and belief,the quality oftheWorkisin accordance with the Contract Documents (subject to an evaluation oftheWork as a functioning Project upon substantial completion as defined inArticle I,tothe results of any subsequenttests called forinthe Contraa Documents and any qualifications stated in his approval);and thatthe CONTRACTOR is entitled to payment ofthe amount approved.However,by approving,any such payment the CONSULTANT shall not thereby be deemed to have represented thathe made exhaustive or continuous on-site observations tocheckthe quality orthe quantity oftheWork,orthathe has reviewedthe means, Page 62 of 77 Thomas F.Pepe 8-26-14 methods,techniques,sequences and procedures of construction or that he had made any examination to ascertain howor for what purpose the CONTRACTOR has used the moneys paid ortobe paid to him on account ofthe Contract Price,orthat title to any Work,materials,or equipment has passed tothe CITYfreeand dear ofany liens. 14.5 The CONTRACTOR shall make the following certification on each request for payment: "I hereby certify thatthe labor and materials listed on this request for payment have been used in the construction of this Work and that all materials included in this request for payment and notyet incorporated intothe construaion are nowonthe site or stored at an approved location,and payment received from the last request for payment has been used to make payments to all his Subcontractors and suppliers,except for the amounts listed below beside the names ofthe persons who performed work orsupplied materials". In theeventthatthe CONTRACTOR withholds payment from a Subcontractor or Supplier,the same amount of money shall be withheld from the CONTRACTOR'S payment until the issue is resolved by written agreement between them and thena joint check shall be made payable tothe person in question and the CONTRACTOR in accordance with the settlement agreement,otherwise the money shall be held bythe CITY until a judgment is entered in favor ofthe CONTRACTOR orthe person,in which case themoney shall be paid according with said judgment.Nothing contained herein shall indicate an intent tobenefitanythirdpersonswhoarenot signatories totheContract. 14.6 The CONSULTANT may refuse to approve the whole or any part of any payment if,in its opinion,it is unable to make such representations tothe CITY as required this Section 14.It may also refuse to approveany payment,oritmayvoidanyprior payment application certification becauseof subsequently discovered evidence orthe results of subsequent inspection orteststo such extentas may be necessary inits opinion to protea the CITY fromlossbecause: 14.6.1 of Defective Work,or completed Work has been damaged requiring correction or replacement, 14.6.2 the Work for which payment is requested cannotbe verified, 14.6.3 claims of Liens have been filed or received,orthereis reasonable evidence indicating the probable filing or receipt thereof, 14.6.4 theContract Price hasbeenreducedbecauseof modifications, 14.6.5 theCITY has correct Defective Workor completed the Work in accordance withArticle 13. 14.6.6 of unsatisfactory prosecution ofthe Work,including failure to clean up as required by paragraphs 6.29 and 6.30, 14.6.7 of persistent failure to cooperate with other contraaors onthe Project and persistent failure to carry out the Work inaccordancewith the Contraa Documents, 14.6.8 of liquidated damages payable bytheCONTRACTOR,or 14.6.9 ofanyother violation of,or failure to comply with provisions ofthe Contraa Documents. 14.7 Prior to Final Acceptance the CITY,with the approval ofthe CONSULTANT,may use any completed or substantially completedportionsofthe Work providedsuchusedoesnotinterferewiththe CONTRACTOR'S completion oftheWork.Such use shall not constitute an acceptance of such portions of the Work. 14.8 The CITY shall have the right toenterthe premises for the purpose of doing Worknot covered bythe ContractDocuments.This provision shall notbeconstruedas relieving the CONTRACTOR ofthesole responsibility forthecare and protection oftheWork,orthe restoration of any damaged Work except suchasmaybecausedbyagentsoremployeesoftheCITY. 14.9 Uponcompletionandacceptanceofthe Work the CONSULTANT shall issueaCertificateattachedto the Final Application for Payment thatthe Work has been accepted byitunderthe conditions ofthe Contract Documents.Theentire balance found tobeduetheCONTRACTOR,including the retained percentages,butexceptsuchsumsasmaybe lawfully retained bytheCITY,shall be paid tothe CONTRACTOR withinthirty (30)calendar days ofcompletionand acceptance ofthe Work. 14.10 UponThe awarded CONTRACTOR will be strongly encouraged to register asan ePayables Vendorwith theCity.TheBankofAmerica ePayables Solutionisanautomatedcardpaymentprocessthatshifts accounts payable disbursementstocorporate purchasing cards.ePayables,streamlinetheprocessof makingpaymentstoyour organization going forward,theCity will providethe CONTRACTOR witha creditcardaccountnumbertokeepon file.Thiscardhasuniquesecurity features,with$0of available funds until an invoice is approved for payment.Afteran invoice has received proper and complete approval,an electronic remittance advicewillbe sent viae-mail,or fax,whichnotifies the CONTRACTOR that the funds have been transferred in to the account linked to the card for the amount Page 63 of 77 Thomas F.Pepe 8-26-14 listedontheinvoiceand/orremittanceemail.Please refertothe ePayables Questions &Answers Form containedinthis RFP or contact the CITY's Finance department at(305)663-6343withanyquestions. Acceptance of Final PaymentasRelease 14.11 TheAcceptancebythe CONTRACTOR of Final Payment shall beand shall operateasareleasetothe CITYandawaiver of all claimsand all liability to the CONTRACTOR other thanclaimspreviously filed andunresolved.Thewaiver shall include all thingsdoneorfurnishedin connection withthe Work and foreveryactand neglea oftheCITYandothers relating toor arising out ofthis Work.Any payment, however,final orotherwise,shall notreleasethe CONTRACTOR oritssuretiesfromany obligations under the Contract Documents orthePerformanceBondandPaymentBonds. 14.12 TheCONSULTANTmayvoidany certification of Substantial Completionor Final Completionofthe Work asmaybenecessaryinhisopinionto protea theCITYfromlossifhedetermines,becauseof subsequentlydiscoveredevidenceortheresultsof subsequent inspeaion or tests,that: 14.12.1 the Work isdefeaive,orthatthecompleted Work hasbeen damaged duetothe fault ofthe CONTRACTOR orany individual orentityoperatingunderorthroughitrequiringcorrection orreplacementtothe extent thattheprojectisnolonger Substantially Completed,orinthe caseof Final Completion certification,isnolonger Finally Competed. 14.12.2 the Work necessary tobe completed forthe purpose of certifying theworkas being Substantially Completed or Finally Completedcannotbeverified, 14.12.3 claims or Liens havebeen filed or received,orthereis reasonable evidence indicating the probable filing orreceiptthereof that,if valid and paid,wouldreducetheamountowingtothe CONTRACTOR BY20%inthecaseof Substantial Completionand5%inthecaseof Final Completion. 14.12.5 thereis Defective Work the value of which,if deducted from thecontract price would reduce theamountowingtothe CONTRACTOR BY 20%inthecaseof Substantial Completionand 5% in the case of Final Completion. ARTICLE 15 -SUSPENSION OF WORK AND TERMINATION 15.1 The CITY may,at any time and without cause,suspend theWorkor any portion thereof for a period of notmorethanonehundredeighty (180)calendar days bynoticein writing tothe CONTRACTOR and the CONSULTANT,which shallfix the dateon which Work shallbe resumed.The CONTRACTOR shall be allowed an increase in the Contract Price or an extension ofthe Contract Time,or both,directly attributable to anysuspensionandifaclaimistimelymadeandifitisallowedunderthe terms ofArticles II or Article 12. CityMay Terminate 15.2 IftheCONTRACTORis adjudged bankrupt or insolvent,orifhe makes a general assignment forthe benefit ofits creditors,orifa trustee or receiver is appointed for the CONTRACTOR or for any its property,orifhe files a petition totake advantage of any debtor's act,orto reorganize under bankruptcy or similar laws,orifherepeatedly fails to supply sufficient skilled workmenor suitable materials or equipment,orifhe repeatedly fails tomakeprompt payments to Subcontractors orfor labor,materials or equipment orhe disregards laws,ordinances,rules,regulations or orders of any public body having jurisdiction,orifhe disregards the authority ofthe CONSULTANT,orifhe otherwise violates any provision of,theContraa Documents,then the CITY may,without prejudice to any other right or remedy and after giving the CONTRACTOR and the Surety seven (7)calendar days written notice, terminate the services oftheCONTRACTOR and take possession ofthe Project and of all materials, equipment,tools,constructionequipmentand machinery thereonownedbytheCONTRACTOR,and finish the Work bywhatevermethodit may deem expedient.In such casetheCONTRACTOR shall not be entitled to receive any further payment until theWork is finished.If the unpaid balance ofthe Contract Price exceeds thedirea and indirect costs of completing the Project,including compensation for additional professional services,such excess shall be paid tothe CONTRACTOR.If such costs exceed such unpaid balance,the CONTRACTOR orthe Surety onthe Performance Bond shall pay the difference tothe CITY.Such costs incurred bythe CITY shall be determined bythe CONSULTANT and incorporated inaChange Order. If after termination ofthe CONTRACTOR under this Section,it is determined by a court of competent jurisdiction for any reason thatthe CONTRACTOR was not in default,the rights and obligations ofthe Page64 of 77 Thomas F.Pepe 8-26-14 CITY and the CONTRACTOR shall be the same as if the termination had been issued pursuant to Section 15.5 15.3 Where the CONTRACTOR'S services have been so terminated by the CITY said termination shall not affea any rights ofthe CITY against the CONTRACTOR then existing or which may thereafter accrue. Any retention or payment of moneys bythe CITY duethe CONTRACTOR shall not release the CONTRACTOR from liability. 15.4 Upon seven (7)calendar days written notice tothe CONTRACTOR and the CONSULTANT,the CITY may,without cause and without prejudice to any other right or remedy,electto terminate the Contract for the convenience ofthe CITY.In such case,the CONTRACTOR shall be paid for all Work executed and accepted bythe CITY as ofthe date ofthe termination,minus any deduction for damage or Defective Work.No payment shall be made for profit for Work which has not been performed. RemovalofEquipment 15.5 In the case of termination of this Contraa before completion for any cause whatever,the CONTRACTOR,if notified to do so by the CITY,shall promptly remove any part or all of its equipment and supplies from the property ofthe CITY.Should the CONTRACTOR not remove such equipment and supplies,theCITY shall have the right to remove thematthe expense ofthe CONTRACTOR and the CONTRACTOR agrees that the CITY shall notbe liable for loss or damage to such equipment or supplies.Equipmentandsupplies shall not beconstruedtoincludesuchitemsforwhichthe CONTRACTOR has been paid in whole or in part. Contraaor May Stop Work orTerminate 15.6 If,through no act or fault ofthe CONTRACTOR,theWork is suspended for a period of more than one hundred eighty (180)calendar days bythe CITY orby order of other public authority,or under an order of court orthe CONSULTANT tails toaaon any Application for Payment within thirty (30)calendar days after itis submitted,orthe CITY fails to pay the CONTRACTOR any sum approved bythe CONSULTANT,within thirty (30)calendar days ofits approval,and presentation,then the CONTRACTOR may,upon twenty (20)calendar days written notice totheCITY and the CONSULTANT,terminate the Contract.The CITY may remedy the delay or neglea within the twenty (20)calendar day time frame.If timely remedied bytheCITYthe Contract shall notbe considered terminated.In lieu of terminating the Contract,ifthe CONSULTANT has failed toacton an Application for Payment orthe CITY has failed to make any payment as afore said,the CONTRACTOR may upon ten (10)calendar days'notice tothe CITY and the CONSULTANT stop theWork until it has been paid all amounts then due. Indemnification of Consultant. 15.7 The CONTRACTOR and the CITY hereby acknowledges that the CONSULTANT may be reluctant to ruleonany disputes concerning theContract Documents oronthe performance oftheCONTRACTOR or the CITYpursuant to the terms of the Contract Documents.Therefore,the CITY or the CONTRACTOR,atthe CONSULTANT'S request,agree to provide the CONSULTANT withawritten indemnification and hold harmless agreement to indemnify andholdtheCONSULTANT harmless before the CONSULTANT makes an interpretation,de-certifies a payment application,decertifies Substantial Completion,decertifies Final Completion,certifies an eventof default,or approves any action which requires the approval of the CONSULTANT. ARTICLE 16 -MISCELLANEOUS 16.1 Wheneverany provision ofthe Contract Documents requires the giving ofwrittennoticeit shall be deemedtohavebeen validly givenif delivered inpersontothe individual ortoamemberofthe firm or toanofficerofthe corporation forwhomitis intended,orif delivered atorsentby registered or certified mail,postageprepaid,to thelastknownbusinessaddress. 16.2 TheContractDocuments shall remain thepropertyoftheCITY.The CONTRACTOR andthe CONSULTANT shall havethe right tokeepone record setoftheContract Documents upon completion of the Project. 16.3 The duties and obligations imposed bythese General Conditions,Special Conditions and Supplemental Conditions,if any,andthe rights and remedies available hereunder,and,in particular butwithout limitation,the warranties,guarantees and obligations imposedupon CONTRACTOR bytheContract Documents and the rightsand remedies available totheCITYand CONSULTANT thereunder,shall bein addition to,and shall notbe construed in any wayasa limitation of,any rights and remedies available by law,by special guarantee orbyother provisions oftheContractDocuments. Page 65of77 Thomas F.Pepe 8-26-14 16.4 ShouldtheCITY or theCONTRACTORsuffer injury or damagetoitsperson or property becauseofany error,omission,or art of the other or ofanyoftheiremployees or agents or others for whose actsthey are legally liable,claim shall bemadein writing tothe other partywithintwentyone (21)calendardaysof the first observance ofsuchinjury or damage. ARTICLE 17 -WAIVEROFJURYTRIAL 17.1 CITY and CONTRACTOR knowingly,irrevocably voluntarily andintentionallywaiveanyright either may have to atrialbyjuryinState or FederalCourtproceedingsin respea toany aaion,proceeding,lawsuit or counterclaimarising out of the Contraa Documents or the performance of the Work thereunder. ARTICLE 18 •ATTORNEYS FEES JURISDICTION /VENUE/GOVERNING LAW 18.1 The Contract shall be construed in accordance withand governed by the lawof the Stateof Fbrida. 18.2 Thepartiessubmit to the jurisdiaion ofany court of competent jurisdiaion inFloridaregardinganyclaim or aaion arising out of or relating to the Contraa or Contraa Documents.Venueofany aaion to enforce the Contraa shallbeinMiami-DadeCounty,Florida. 18.3 If either the CITY or CONTRACTOR seeks to enforce the terms of the Contraa by court proceedings, the prevailingpartyshallbe entitled to recover allsuch costs and expenses,including,but not limitedto, court costs,and reasonable attorney's fees. 18.4 Exceptasmaybe otherwise providedin the Contraa Documents,allclaims,counterclaims,disputesand other matters in question between the CITYand the CONTRACTOR arising out of or relating to this Contraa or the breach thereof,shallbedecidedina court of competent jurisdiaion within the Stateof Florida. ARTICLE 19 -PROJECTRECORDS 19.1 TheCITYshallhaveright to inspea andcopyduringregularbusiness hours atCITY'S expense,the books and records and accounts of CONTRACTOR whichrelateinanyway to the Projea,and to any claim for additional compensation madeby CONTRACTOR,and to condua anauditof the financial and accounting records of CONTRACTOR which relate to the Project CONTRACTOR shallretainand make available to CITY all such books and records and accounts,financial or otherwise,which relate to the Projea and to anyclaimforaperiodof three (3)yearsfollowingfinal completion of the Project During the Projea and the three (3)yearperiodfollowingfinal completion of the Projea, CONTRACTOR shallprovideCITYaccess to itsbooksand records uponfive(5)businessday's written notice. 19.2 ACCESS TO PUBLIC RECORDS.CONTRACTORandallofits subcontraaors arerequired to comply withpublic records laws(s.l 19.0701)andthe CONTRACTOR agrees to incorporate thisparagraphinall ofits subcontraas forthis Projea.CONTRACTORandits subcontraaors are specifically requiredto: a.Keepand maintain public records thatordinarilyand necessarily wouldberequiredbythe public agencyin order to perform the service. b.Providethe public withaccessto public recordsonthesametermsandconditionsthatthe public agencywouldprovidethe records andatacostthatdoesnotexceedthecostprovidedinthis chapter or as otherwise providedbylaw. c.Ensurethatpublicrecordsthatareexempt or confidential andexemptfrompublicrecords disclosure requirements arenotdisclosedexceptasauthorizedbylaw. d.Meet all requirementsfor retaining public recordsandtransfer,atnocost,tothe public agency all public recordsin possession ofthe contraaor uponterminationofthe contraa anddestroy any duplicate public recordsthatareexempt or confidential andexemptfrom public recordsdisclosure requirements.Allrecordsstoredelearonicallymustbeprovidedtothepublicagencyinaformat thatiscompatiblewiththe information technologysystemsofthe public agency. e.If CONTRACCTOR or its subcontraaor doesnot comply witha public recordsrequest,the CITY shall havetherighttoenforcethis contraa provision by specific performanceandthepersonwho violates this provision shall be liable to CITY foritscostsof enforcing this provision,including attorneyfeesincurredinall proceedings,whether administrative or civil courtandin all appellate Page 66 of 77 Thomas F.Pepe 8-26-14 proceedings.TheCity shall also have the right to immediately terminatethis Agreement forthe refusal bytheContractortocomplywithChapter 119,Florida Statutes, f.TheContraaor shall retain all records associated with this Agreement fora period ofthree (3)years fromthedateofTerminationorasotherwiserequiredbyChapter 119. ARTICLE 20 -SEVERABILITY 20.1 If any provision oftheContraaorthe application thereoftoany person or situation shall toany extent, beheld invalid or unenforceable,the remainder oftheContract,andthe application ofsuch provisions to persons or situations other than those as to which itshall have been held invalid or unenforceable shall not be affeaed thereby,and shall continuein full forceand effea,andbe enforced to the fullest extent permitted bylaw. ARTICLE 21 -INDEPENDENT CONTRACTOR 21.1 The CONTRACTOR isanindependent CONTRACTOR underthe Contraa.Servicesprovidedbythe CONTRACTOR shall bebyemployeesofthe CONTRACTOR and subjea to supervision bythe CONTRACTOR,andnotasofficers,employees,oragentsoftheCITY.Personnel policies,tax responsibilities,socialsecurityandhealthinsurance,employee benefits,purchasingpoliciesand other similaradministrativeprocedures,applicable to services rendered under the Contract shallbe those of the CONTRACTOR.
