RESOLUTION NO.:207-14-14301 A Resolution authorizing the City Manager to negotiate and enter into a contract with FLAF Sports Services,Inc.for tennis,basketball and hand-ball court resurfacing at Brewer Park. WHEREAS,Citystafffrom the Parksand Recreation Department conducted an assessment at Brewer Parkand determined that two (2)tennis courts,one (I)basketballhalf court and two (2)hand ball courts require resurfacing andpainting;and WHEREAS,the City submitted anInvitation to Quote (ITQ)#PR20l4-08 onThursday, September 18,2014 for "Resurface Tennis,Hand-ball and Vi Basketball Courts at Brewer Park;"and WHEREAS,four (4)submittals were received;FLAF Sports Services,Inc.is the lowest bidder andisin compliance with the terms of ITQ #PR20l4-08. Thissection shall be designated andknownasthe nCity ofSouth Miami ConflictofInterestandCode of Ethics Ordinance."This section shall be applicable to all city personnel as defined below,and shall also constitutea standard of ethical conduct and behavior for all autonomous personnel,quasi-judicial personnel,advisory personnel and departmental personnel.The provisions of this section shall be applied in a cumulative manner.By way of example,and not as a limitation,subsections (c)and (d)may be applied tothe same contract or transaction. Wbiver of prohibition.The requirements ofthis subsection may be waived fora particular transaction only by four affirmative votesofthecity commission after public hearing upon finding that: (1)An open-to-ail sealed competitive proposal has been submitted bya city person as defined in paragraphs (b)(2), (3)and(4); (2)The proposal has been submitted bya person or firm offering services within thescopeofthe practice of architecture,professional engineering,or registered land surveying,as defined bythe laws ofthestateand pursuant tothe provisions ofthe Consultants'Competitive Negotiation Act,andwhenthe proposal hasbeen submittedbyacity person defined in paragraphs (b)(2),(3)and (4); (3)The property or services tobe involved inthe proposed transaction are unique and thecitycannotavail itself ofsuchpropertyorserviceswithoutenteringa transaction whichwouldviolatethissubsectionbut forwaiver of itsrequirements;and (4)Thatthe proposed transaction will beinthebestinterestofthe city. This subsection shall be applicable only to prospective transactions,and thecitycommission may inno case ratify a transaction entered in violation of this subsection. Provisions cumulative.This subsection shall be taken tobe cumulative and shall notbe construed to amend or repeal anyotherfew pertaining to the samesubjectmatter. (d)Further prohibition on transacting business withthecity. Noperson included in theterms defined in paragraphs (b)(1)through (6)andin paragraph (b)(9)shall enterinto anycontractor transact any business througha firm,corporation,partnership or business entityinwhichthat personorany member oftheimmediate family hasa controlling financial interest,director indirect,with the city oranypersonor agency actingforthecity,andanysuch contract;agreementorbusiness engagement:entered in violation ofthis subsection shall render the transaction voidable.The remaining provisions of subsection (c)will alsobe applicable tothissubsectionasthough incorporated by recitation. (f)Compulsory disclosure by employees of firms doing business with thecity. Contractor's Responsibility Prior to Receivinga Notice to Proceed Prior totheCity issuing aNoticeto Proceed,thecontractor shall deliver acopy(either hard copyor,preferably,electronically)ofthe policy,including the declaration page ofthe policy and all endorsementstothe policy and provide theCitywiththe name,address,including email address,and phonenumberofthe contractor's insurance agent. The Contractor's insurance agent must provide theCitywith evidence thatthe insurer issuing the policy is licensed and authorized todo business in Florida,thatthe form ofthe policy being issuedhasbeen approved bytheStateof Florida andthatthe insurance carrier thatis issuing the policy isnot issuing the policy asa surplus lines carrier.Theagent shall also provide a citation to the page numberofthe policy,ortheformnumberoftheendorsement,and highlight the relevant language oftheportionofthe policy and/ortheendorsementsthat,inhisorher estimation,meets the following Cityinsurancerequirements.: a)the cityisanadditionalinsured; b)coverageincludescontractual liability; c)theCity will be provided atleast 10 days advanced noticeofany cancellation ofthe policy,including cancelation fornon-paymentof premium,andatleast30 days'advanced noticeofany material changes tothe policy orof cancellation foranyreasonotherthan non-payment;and d)eithera policy provision oranendorsement providing thatthe policy is primary and non-contributory,suchasanendorsementthatprovidesthatthevendor's policy is primary over all ofthecity's applicable insurance andthattreatsthecity's policies as excess coverage. B.The Contractor shall indemnify,defend,saveandholdCITY,itsofficers,affiliates,employees, successorsand assigns,harmlessfromanyand all damages,claims,liability,losses,claims,demands,suits,fines, judgmentsor cost and expenses,includingreasonable attorney's fees,paralegal feesandinvestigativecosts incidental there toandincurredpriorto,duringorfollowingany litigation,mediation,arbitrationandat all appellatelevels,whichmaybesufferedby,oraccrued against,chargedtoorrecoverablefromtheCity of South Miami,itsofficers,affiliates,employees,successorsand assigns,byreasonofanycausesofactionsor claim ofany kind ornature,including claims for injury to,or death ofanypersonorpersonsandforthelossor damage toany property arising out of anegligenterror,omission,misconduct,oranygross negligence,intentionalactorharmful conductoftheContractor,itscontractor/subcontractororanyoftheir officers,directors,agents,representatives, employees,or assigns,oranyone acting throughoron behalf ofanyofthem,arising outofthisAgreement, incidentto it,orresultingfrom the performanceornon-performanceoftheContractor's obligations underthis AGREEMENT.
