A Resolution authorizing the City Manager to execute FY 2015 Metropolitan
Planning Organization (MPO)Grant agreement with Miami-Dade County
for the Pedestrian Safety and Mobility Infrastructure Improvements (Complete
Streets Policy)in the amount not to exceed $40,000,
WHEREAS,the Mayor andCity Commission desireto accept thegrantfromMiami-
Dade County inan amount nottoexceed $40,000;and
WHEREAS,the Agreement willprovidefundingforthe Pedestrian SafetyandMobility
Infrastructure Improvements (CompleteStreetsPolicy),whichaimstoprovidesafeaccessforall
users,including pedestrians,bicyclists,motoristsandtransitriders of allagesandabilitiesforan
estimated cost of $57,142.85;and
WHEREAS,the Agreement requires thattheCity contribute 30 percent of theactual
costs based onan estimate cost of $57,142.85 for the Pedestrian Safety and Mobility
Infrastructure Improvements (Complete Streets Policy);and
WHEREAS,the grant period begins upon the execution of this agreement andshallbe
completed within twelve (12)months from the date of execution and issuance of the Notice-to-
Proceed,but this period might be extended with the consent of MPO;and
WHEREAS,the Mayor andCity Commissioners desire to have the City Manager
execute the grant agreement.
NOW,THEREFORE,BE IT RESOLVED BY THE MAYOR AND CITY
COMMISSION OF THE CITY OF SOUTH MIAMI,FLORIDA THAT:
Section 1:TheCity Manager is hereby authorized to execute the grant agreement with
theMiami-Dade Metropolitan PlanningOrganization(MPO)forthe Pedestrian Safetyand
Mobility Infrastructure Improvements (Complete StreetsPolicy)inthe amount nottoexceed
$40,000.Thegrant agreement isattachedtothisresolution.
Section 2:This resolution shallbeeffectiveimmediatelyaftertheadoptionhereof.
Section 3.Severability.If anysectionclause,sentence,orphrase of thisresolutionisfor
anyreasonheld invalid or unconstitutional byacourt of competent jurisdiction,theholdingshall
notaffectthe validity of the remaining portions of this resolution.
Section 4.Effective Date.Thisresolutionshallbecomeeffectiveimmediatelyupon
adoption by vote of the City Commission.

Streets Policy upgrade,whichaimstoprovidesafeaccessforallusers,
including pedestrians,bicyclists,motoristsandtransitridersof all ages
and abilities.Asacorollarywith the goalsof the South Miami Intermodal
Transportation Plan (SMITP),this project will updateandamendthe
existing Land Development Code (zoningcode)toimplement smart
growth,complete streets policies,and where necessary,theCity's
comprehensive plan will beupdatedto address these policy guidelines.
The complete street policy measures wouldbe required ofallnew
development and redevelopment projects,where applicable.Where
possible,theCitywouldexaminethe feasibility ofretrofittingexisting
facilities andinfrastructure.ThegoalsoftheCityistoachieve meaningful
physical improvement whileproviding economic development toolsand
other meansof achieving long-termcommunity sustainability.
The grant requires a30%match,which totals to $17,143.
The grant period begins upontheexecutionofthis agreement and shall
be completed withintwelve (12)monthsfrom the date of execution and
issuance of the Notice-to-Proceed.

INTERLOCAL AGREEMENT
THIS AGREEMENT,madeandenteredintothis 21st day of October ,2014,by
andbetweentheMiami-DadeMetropolitanPlanningOrganization(MPO),hereinaftercalledthe
MPOandthe City ofSouth Miami,hereinafter called South Miami.
ThattheMPOand SouthMiami havedeterminedto jointly fundthe SouthMiamiPedestrian
Safety and Mobility Infrastructure Improvements Plan (Complete Streets Policy)and that
SouthMiami hasdeterminedtoprovidetheservicesforsuchstudyanditsshare of thecosts
thereof as providedbelow.
WITNESSETH:
ARTICLE 1.00:TheMPOdoesherebyretain SouthMiami toprovidetheservicesforthe
South Miami Pedestrian Safety and Mobility Infrastructure Improvements Plan (Complete
Streets Policy),whichservicesaredescribedinExhibit"A":"Scope of Services",andExhibit
"B":"TentativeProjectSchedule".Thepartiesfurtheragreethattheprojectcostsareprovidedin
Exhibit"C":"ProjectCost."Inaddition,the E-Verify CertificationprovidedinExhibit "D"must
besignedbytherecipient.Thereferencedexhibitsareattachedheretoand made part hereofas
thoughfullyrecitedherein.Article16.00 governs eachparty'sobligationsforitsportionofthe
Project Cost.
ARTICLE2.00:TheMPOand SouthMiami mutuallyagreetofurnish,eachtotheother,the
respective services,informationanditemsas described inExhibit"A"Scope of Services,Exhibit
"B"TentativeProjectSchedule,Exhibit"C"ProjectCostandExhibit "D"E-VerifyCertification.
TheMPO agrees to furnish South Miami anditsduly designated representatives'information
including,butnot limited to,existingdataand projects related tothestudyarea which maybe
available inother governmental offices.South Miami agreesto perform orcausetobe
performed,inatimelyand professional manner,thework elements setforthintheabove-
enumerated Exhibits,in accordance with the Schedule set forth in Exhibit "B".
Before initiating the work described in Exhibits "A","B"and"C",theMPO Director orhis
designee shall execute and issue South Miami a Notice-to-Proceed with the work described in
saidExhibits,suchworktoconstituteperformance of the SouthMiamiPedestrianSafetyand
Mobility Infrastructure Improvements Plan (Complete Streets Policy)as set forth in said
Exhibits.
ARTICLE 3.00:Theservicestobe rendered by SouthMiami shallbe commenced subsequent
tothe execution and issuance ofthe Notice-to-Proceed andshallbe completed within twelve (12)
months from the date of execution and issuance of the Notice-to-Proceed.
ARTICLE 4.00:SouthMiami agreestoprovideProjectScheduleprogressreportsona
quarterlybasisandinaformatacceptabletotheMPODirector.TheMPO Director shallbe
entitledatalltimestobe advised,athis request,astothestatus of workbeingdoneby South
Miami and of thedetailsthereof.Coordination shallbemaintainedby SouthMiami with
representatives'oftheMPO.Either parties tothe agreement may request andbe granted a
conference.
ARTICLE 5.00:IntheeventtherearedelaysonthepartoftheMPOastotheapproval of any of
thematerialssubmittedby SouthMiami oriftherearedelays occasioned by circumstances
beyondthecontrol ofSouthMiami whichdelaytheProjectSchedulecompletiondate,theMPO
Directororhisdesigneemaygrant South Miami,byaletteranextension of thecontracttime,
equaltothe aforementioned delays,provided thereareno changes in compensation orscopeof
work.
Itshallbethe responsibility of South Miami to ensure atall times that sufficient contract time
remainswithinwhichtocompleteservicesontheprojectandeachmajorTaskGroupas
designatedwith roman numeralsontheExhibits.Intheeventtherehavebeendelayswhich
wouldaffecttheprojectcompletiondateorthecompletiondate of anymajorTaskGroup,South

Miami shallsubmita written requesttotheMPO Director orhis designee twenty(20)days prior
tothe schedule completion date which identifiesthe reason(s)forthedelayandthe amount of
timerelatedtoeachreason.TheMPODirectororhisdesigneewillreviewtherequestandmake
a determination asto granting allorpart of the requested extension.Scheduled completion dates
shallbe determined by the elapsed times shown in Exhibit "B"and the issuedate of the Notice-
to-Proceed.
Inthe event contract time expires and South Miami hasnot requested,or if the MPO Director or
hisdesigneehasdeniedan extension of the completion date,partial progress paymentswillbe
stopped onthedate time expires.No further payment forthe project will be made untila time
extension is granted orall work hasbeen completed and accepted bytheMPO Director orhis
designee.
ARTICLE 6.00:South Miami shall maintain an adequate and competent professional staff and
may associate withit,forthe purpose of itsservices hereunder,without additional costtothe
MPO,otherthan those costs negotiated within thelimitsand terms of this Agreement andupon
approval by the MPO Director,such specialists as South Miami may consider necessary.
ARTICLE7.00:The MPO shall not beliableforusebythe South Miami of plans,documents,
studies or other dataforany purpose other than intended bythe terms of this Agreement.
ARTICLE8.00:All tracings,plans,specifications,maps,and/or reports prepared or obtained
underthis Agreement shall be considered research andshall become the property of the MPO
withoutrestrictionor limitation ontheiruse;andshallbemadeavailable,uponrequest,tothe
MPOatanytime.Copies of these documents andrecordsshallbe furnished totheMPOupon
request,verbalorwritten,allowing reasonable timeforthe production of suchcopies.
SUB-ARTICLE 8.10:Records of costs incurred by South Miami andall sub-consultants
performingworkontheproject,andallotherrecords of South Miami andsub-consultants

considerednecessarybytheMPOforproperaudit of projectcosts,shallbefurnishedtotheMPO
upon request.
Whenevertravelcostsareincludedintheperformance of servicessetforthinExhibits"A","B"
and "C",theprovisions of MetropolitanMiami-DadeCountyAdministrativeOrder6-1,shall
govern or Florida Statues,whichever is more restrictive.
SouthMiami shallallowpublicaccesstoall documents,papers,letters,orothermaterialsubject
totheprovisions of Chapter 119,FloridaStatutes,andmadeorreceivedby SouthMiami in
conjunctionwiththis Agreement.Failureby SouthMiami tograntsuchpublicaccessshallbe
groundsforimmediateunilateralcancellation of thisAgreementbytheMPODirector.
ARTICLE9.00:SouthMiami shallcomplywithallfederal,state,andlocallawsand
ordinancesapplicabletotheworkorpaymentforworkthereof,andshallnotdiscriminateonthe
grounds of race,color,religion,sex,ornationaloriginintheperformanceorworkunderthis
contract.
SUB-ARTICLE 9.10:OnJanuary4,2011,GovernorRickScottsignedExecutiveOrderNumber
11-02 relating to verification of employment status(the "Order").TheOrder directs all agencies
under the direction ofthe Governor to include asa condition ofallstate contracts a requirement
thatthe contracting partyutilizetheU.S.E-Verify system to"verifythe employment of:(a)all
personsemployedduringthecontracttermbythecontractortoperformworkpursuanttothe
contractwiththestateagency".SouthMiamiagreestocomplywiththerequirements of the
Order and execute Exhibit "D".
ARTICLE10.00:TheMPOagreestopay SouthMiami compensationasperArticle 16.00 of
thisAgreementandExhibits"A","B"and"C",attachedheretoandmadeaparthereof.
ARTICLE11.00:TheMPODirectormayterminatethisAgreementinwholeorinpartatany
timetheinterest oftheMPOrequiressuchtermination.

SUB-ARTICLE 11.10:If the MPO Director determines that the performance of South Miami is
not satisfactory,the MPO Director shall have the option of (a)immediately terminating the
Agreement or(b)notifying South Miami of the deficiency with a requirement that the deficiency
be corrected within a specified time,otherwise the Agreement willbe terminated at the end of
such time.
SUB-ARTICLE 11.20:If the MPO Director requires termination of the Agreement for reasons
other than unsatisfactory performance of South Miami,the MPO Director shall notify South
Miami of such termination,with instructions asto the effective date of termination or specify the
stage of work at which the Agreement istobe terminated.
SUB-ARTICLE 11.30:If the Agreement is terminated before performance is completed,South
Miami shall be paid for the work satisfactorily performed.Payment isnotto exceed the prorated
amount of thetotalshare of the project coststobepaidbyMPOas provided in Article 16.00
agreement amount based on work satisfactorily completed.Such determination shall be based
and calculated upon a percentage allocation of total project cost,by major Task Group.
ARTICLE 12.00:All words used herein inthe singular form shall extend toand include the
plural.Allwordsusedinthe plural formshall extend toand include the singular.Allwords
used in any gender shall extend to and include all genders.
ARTICLE 13.00:South Miami warrants that ithas not employed or retained any company or
person,other than a bona fide employee working solely for South Miami,to solicit or secure this
Agreement,and that it has not paid or agreed topayany person,company,corporation,
individual orfirmanyfee,commission,percentage,giftorany other consideration,contingent
upon or resulting from the award or making of this Agreement.Itis understood and agreed that
the term "fee"shallalso include brokerage fee,however denoted.

SUB-ARTICLE 13.10:For the breach or violation of Article 13.00,the MPO Director shall
have the right to terminate this Agreement without liability,and,atits discretion,to deduct from
thecontractprice,orotherwiserecover,thefullamount of suchfee,commission,percentage,gift
or consideration.
ARTICLE14.00:SouthMiami agreesthatitshallmakenostatements,pressreleasesor
publicityreleasesconcerningthis Agreement oritssubjectmatterorotherwisediscloseorpermit
tobedisclosedany of thedataorotherinformationobtainedorfurnishedincompliancewiththis
Agreement,orany particulars thereof,duringthe period of this Agreement,without first
notifyingtheMPODirectororhisdesigneeandsecuringitsconsent.SouthMiami alsoagrees
thatitshallnotcopyrightorpatentany of thedataand/orinformationfurnishedincompliance
withthis Agreement,itbeing understood that,under Article 8.00hereof,suchdataor information
istheproperty of theMPO.ThisSectionshallnotbeconstruedtolimitorrestrictpublicaccess
to documents,papers,lettersorother material pursuanttoArticle8.10 of this Agreement.
ARTICLE 15.00:TheMPOshallnotexpendmoney,incuranyliability,orenterintoany
contractwhich,byitsterms,involvestheexpenditure of moneyinexcess of theamounts
budgetedasavailableforexpenditure.Anycontract,verbalorwritten,madeinviolation of this
subsectionshallbenullandvoid,andnomoneyshallbepaidonsuchcontract.
ARTICLE 16.00:Payment of projectcosts -ItismutuallyagreedandunderstoodthattheProject
CostsshallbeasprovidedinExhibitC.MPOshallpay SouthMiami 70%of suchProject
Costs.SouthMiami shallberesponsibleforthe remaining Costs.SouthMiami shallinvoice
MPOquarterlyfor MPO's share ofProjectCostsinaformatacceptabletotheMPO Director or
hisdesigneeandshallbepaidthereforeonapercentage of completionbasisforeachTask
described in the Notice-to-Proceed executed in accordance with Article 2.00.South Miami
shallinvoice100%of the MPO's share oftheProjectCostupon completion of allTaskOrders,
asindicatedunderExhibit"A".ThetotalcompensationtobepaidbytheMPOto SouthMiami
hereunder shall not exceed $40,000.

SUB-ARTICLE 16.10:By executing this agreement South Miami commits tofundthe 30%
localshare minimum of this agreement as specified in Exhibit C.
SUB-ARTICLE 16.20:Itis agreed that said compensation provided in Article 16.00 hereof
shall be adjusted to exclude any significant sums where the MPO Director shall determine that
reported costs by South Miami reflect inaccurate,incomplete or non-current costs.Allsuch
adjustments shallbe made within 60daysfollowingtheend of the Agreement.For purpose of
this Agreement,theend of the Agreement shallbe deemed tobe the date of final billing or
acceptance of the work by the MPO Director orhis designee,whichever islater.
ARTICLE 17.00:Standards of Conduct -Conflict of Interest -South Miami covenants and
agrees that itandits employees shallbeboundbythe standards of conduct provided in Florida
Statutes 112.313 asit relates to work performed under this Agreement,which standards willbe
referredandmadea part of this Agreement as though setforthinfull.South Miami agreesto
incorporate the provisions of thisarticleinany subcontract into which it might enter with
reference tothe work performed.
ARTICLE 18.00:The MPO Director reserves the right to cancel and terminate this Agreement
inthe event South Miami orany employee,servant,or agent of South Miami is indicted orhas
directinformationissuedagainsthimforanycrimearisingout of orin conjunction withany
workbeingperformedby SouthMiami fororon behalf of theMPO,without penalty.Itis
understoodandagreedthatintheevent of suchtermination,alltracings,plans,specifications,
maps,anddata prepared or obtained underthis Agreement shall immediately beturnedoverto
the MPO Director in conformity with the provisions of Article 8.00 hereof.South Miami shall
be compensated forits services rendered uptothe time of anysuch termination in accordance
with Article 11.00 hereof.
ARTICLE19.00:To the extent permitted bylaw,and subject tothe limitations included within
FloridaStatutesSection768.28,SouthMiami shallindemnifyandsaveharmlesstheMPOfrom
anyandallclaims,liability,lossesandcauses of actionarisingout of South Miami9 negligence

orother wrongful actsinthe performance ofthis agreement.However,nothing herein shall be
deemed to indemnify the MPO for any liability or claims arising outofthe negligence,
performance,orlack of performance of theMPO.
Totheextentpermittedbylaw,andsubjecttothelimitationsincludedwithinFloridaStatutes
Section 768.28,the MPO shall indemnify and save harmless South Miami from any and all
claims,liability,losses and causes of action arising outofthe MPO's negligence or other
wrongful actsinthe performance ofthis agreement.However,nothing hereinshallbe deemed to
indemnify South Miami forany liability or claims arising outtothe negligence,performance,or
lack of performance of South Miami.
ARTICLE20.00:ThisAgreementshallbe governed byand construed in accordance withthe
laws of the State of Florida.

No alteration,changeor modification ofthetermsofthis Agreement shallbevalidunlessmade

This Agreement,regardless of where executed,shall be governed by and construed according to
the laws oftheStateof Florida and venue shall bein Miami-Dade County,Florida.

Exhibit A:Scope of Services
It should be the goal of every city to have complete streets forall users.Streets arean
important part of the livability of our communities.They ought to be for everyone,whether
youngorold,motorist orbicyclist,walker,wheelchairuserortransitrider.But too many ofour
streets are designed only for speeding cars,or worse,creeping traffic jams.
Incomplete streets -those designedwithonlycarsinmind-limit transportation choicesby
makingwalking,bicycling,andtakingpublic transportation inconvenient,unattractive,and,too
often,dangerous.Without the proper policies in place,manyuserswouldnothave the ability
tosafelywalkorbiketotheirdestinations,often leaving transportation-disadvantagedusers
without safe options to get to transit and their destinations.
Completestreetsaredesignedandoperatedtoenablesafeaccessfor all users,including
pedestrians,bicyclists,motoristsandtransit riders of all agesand abilities.Embracing the
Complete Streets principles would enhance the everyday qualify of lifeforSouthMiami
residents.Complete Streets drivebothinfrastructureand cultural changes.Shifting
demographic trends show more people arechoosing to liveinwalkableurbanareasanddesire
accesstoseveral modes of transportation.Thisgivesan increasing number of people the option
not to choose automobiles for everyday travel.
CompleteStreets principles improvesafety,lowertransportationcosts,providetransportation
alternatives,encouragehealth through walkingandbiking,stimulate local economies,createa
senseofplace,improve social interaction,andgenerallyimproveadjacentpropertyvalues.
Approach &Objectives
Theapproachentailssolicitingpublic involvement todevelop policies that would implement
the City's efforts to enhance its transportation system andmobilitychoicesfor residents and
visitors.Complete street policiesinvolve the integration of all aspects of mobility,including
vehicular,bicycle,pedestrian,and transit.The multidisciplinary approachwilllookat how to
integrate development requirements that focus on:
-Pedestrian infrastructure such as wider sidewalks;traditional and raised
crosswalks;median crossing islands and sidewalk bulb-outs
-Traffic calming measures suchas lowering speeds of automobiles and defining
the edges of automobile travel lanes,including center medians,shorter curb
corner radii,elimination of free-flow right-turn lanes,and installation of street
trees.
Bicycle accommodations such as protected or dedicated bicycle lanes,
neighborhood greenways,wide paved shoulders,and bicycle parking
Mass transit accommodations such as bus pullouts,transit signal priority and bus
shelters
Goals
Instituting a complete streets policy ensures that transportation planners and engineers
consistently design and operate the entire roadway with all users in mind -including bicyclists,
public transportation vehicles and riders,and pedestrians of all ages and abilities,increasing
access to physical activity opportunities forall users.Changing policy to routinely include the
needs of people on foot,public transportation,and bicycles would make walking,ridingbikes,
riding buses and trains safer and easier.People of all ages and abilities would have more
options when traveling to work,to school,to the grocery store,and to visit family.Making
these travel choices more convenient,attractive,and safe means people do not need to rely
solely on automobiles.They can replace congestion-clogged trips in their cars with swift bus
rides or heart-healthy bicycle trips.
This project will update and amend the existing Land Development Code (zoning code)to
implement smart growth,complete streets policies,and where necessary,the City's
comprehensive planwill be updated to address these policy guidelines.The complete street
policy measures would be required of all new development and redevelopment projects,where
applicable.Where possible,the City would examine the feasibility of retrofitting existing
facilities and infrastructure.
Thegoals of the Cityis to achieve meaningful physical improvement while providing economic
development tools and other means of achieving long-term community sustainability.The
following items will be conducted:
-Review and evaluate the City's existing comprehensive planand related goals,
objectives andpolicies,aswellasland development requirements,with the
intent of adopting complete street policies with an emphasis on safety.
-Review of earlieravailable transportation related documents andplans.
-Consider policy types and the various elements of effective complete streets
policy.
