Res No 175-14-14269RESOLUTION NO.:175-14-14269 A Resolution authorizing the City Manager to negotiate and enter into a contract with H&R Paving,Inc.fora total expenditure not to exceed $404,211.80 for Sunset Drive Improvements Phase V. WHEREAS,the Mayor and City Commission wishtoprovide roadway improvements to Sunset Drive, from SW 65th AvenuetoSW 69th Avenue,and WHEREAS,pursuant toa competitive selection process in accordance with the City Charter,it was determined that H&R Paving,Inc.submitted a proposal in the amount of $365,961.80 that was the most comprehensive and cost effective inits construction approach;and WHEREAS,the City desires to provide a contingency of $38,250.00 over the proposal amount for unknown factors that may arise during the work;and WHEREAS,the total expenditure,including the contingency amount,is not to exceed $404,211.80;and WHEREAS,the Mayor and City Commission desire to authorize the City Manager to negotiate and enter intoa contract withH&R Paving,Inc.for Sunset Drive Improvements Phase Vfora total amount not to exceed $404,211.80. NOW,THEREFORE,BE IT RESOLVED BY THE MAYOR AND CITY COMMISSION OF THE CITY OF SOUTH MIAMI,FLORIDA THAT: Section 1:The City Manager is authorized to negotiate the terms and conditions and to execute a contract withH&R Paving,Inc.for the Sunset Drive Improvements Phase Vfor an amount notto exceed $365,961.80 and he is authorized to expend upto $38,250.00 for unforeseen conditions.A copy of the proposal is attached. Section 2:The expenditure shall be charged to the People's Transportation Plan account number 124-1730-541-6490 which has a balance of $712,942.09,before this request was made. (a)Designation* Thissection shall be designated andknownasthe "City ofSouth Miami Conflict of Interest and Codeof Ethics Ordinance."Thissection shall be applicable to all citypersonnelas defined below,and shall alsoconstitutea standard of ethical conduct and behavior for all autonomous personnel,quasi-judfcial personnel,advisory personnel and departmental personnel.The provisions ofthis section shall be applied ina cumulative manner.By wayof example,andnotasa limitatbn,subsections (c)and (d)maybe applied tothesame contract ortransactbn. (b)Definitions.For the purposes ofthis section the folbwtng definitions shall be effective: (1)Trie term "commission members"shall refertothe mayor and the members ofthecity commission. (2)Theterm "autonomous personnel"shall refer tothe members of autonomous authorities,boards and agencies, suchasthecity community redevelopment agency and the health facilities authority. (3)Theterm "quasi-judicial personnel"shall refer tothe members ofthe planning board,the environmental review and preservation board,the code enforcement board and such other individuals,boards and agencies ofthe city as perform quasi-judicial functions. (4)Theterm "advisory personnel"shall refer tothe members ofthose city advisory boards and agencies whose soleor primary responsibility isto recommend legislation or give advice tothecitycommission. (5)Theterm "departmental personnel"shall refer tothe city clerk,the city manager,department heads,the city attorney,and all assistants tothecityclerk,city manager and city attorney,however titled. (6)Theterm "employees"shall refer to all other personnel employed bythe city. (7)Theterm "compensation"shall refer to any money,gift,favor,thing of value or financial benefit conferred,or to be conferred,in return for services rendered or to be rendered. (8)The term "controlling financial interest"shall refer to ownership,directly or indirectly,-of ten percent or more ofthe outstanding capital stock in any corporation ora direct or indirect interest often percent or more ina firm, partnership,orother business entityatthetimeof transacting business with thecity. (9)Theterm "immediate family"shall refer tothe spouse,parents,children,brothers and sisters ofthe person involved. (10)The term "transact any business"shall refer tothe purchase or sale bythe city of specific goods or services for consideration and to submitting a bid,a proposal in response toa RFP,a statement of qualrficatbns in response toarequestbythe city,or entering into contract negotiations forthe provision on any goodsor services, whichever first occurs. (c)Prohibition ontransacting business withthecity. No person included in theterms defined in paragraphs (b)(1)through (6)and in paragraph (b)(9)shall enter into anycontractor transact any business inwhichthatpersonoramemberofthe immediate family has a financial interest,direct or indirect withthecityor any person or agency acting forthe city,and any such contract, agreementorbusinessengagemententeredin violation ofthissubsection shall renderthe transaction voidable. Willful violatfon of this subsection shall constitute malfeasanceinofficeandshallaffectforfeitureofofficeor position.Nothinginthis subsection shall prohibit ormake illegal: (1)The payment of taxes,special assessments or fees for services provided bythecity government; (2)The purchase of bonds,anticipation notes orother securities that may be issued bythe city through underwritersordirectlyfromtimetotime. €>Thomas F.Pepe,2014 Page 34 of 73 4/28/2014 Waiver of prohibition.The requirements of this subsection may be waived for a partbular transaction only by four affirmative votesofthecity commission after public hearing upon finding that: (1)An open-to-all sealed competitive proposal has been submitted bya city person as defined in paragraphs (b)(2), (3)and(4); (2)The proposal has been submitted bya person or firm offering services within thescopeofthe practice of architecture,professional engineering,or registered land surveying,as defined bythe laws ofthestateand pursuant tothe provisions ofthe Consultants1 Competitive Negotiation Act,and whenthe proposal has been submitted byacity person defined in paragraphs (b)(2),(3)and (4); (3)Thepropertyor services tobe involved in the proposed transaction are unique and thecitycannot avail itself of suchproperty or serviceswithoutenteringatransactbnwhichwouldviolatethis subsectbn but forwaiverofitsrequirements;and (4)Thattheproposed transaction willbeinthebestinterestofthecity. This subsection shall be applicable onlyto prospective transactions,and thecity commission may innocase ratify a transaction entered in violation of this subsection. Provisions cumulative.This subsection shall betakentobe cumulative and shall notbe construed toamendor repeal any other lawpertainingtothesamesubject matter. (d)Further prohibition on transacting businesswith the city. Noperson included intheterms defined in paragraphs (b)(1)through(6)andin paragraph (b)(9)shall enterinto any contract ortransactanybusinessthrougha firm,corporation,partnership orbusinessentityinwhichthat personoranymemberofthe immediate family hasa controlling financial interest,director indirect,withthecity oranypersonoragencyactingfor the city,andanysuchcontract,agreementorbusinessengagemententeredin vblation ofthis subsectbn shall renderthetransactionvoidable.The remaining provisionsof subsectbn (c)will alsobeapplicable to this subsection as though incorporated byrecitation. Additionally,noperson included in the termdefinedin paragraph (b)(1)shall voteonor participate inanywayin any matter presented to the citycommissionifthatpersonhasany of die followingrelationshipswithany of the personsorentitieswhichwouldbeormightbedirectlyorindirectlyaffectedbyanyactionofthecitycommission: (I)Officer,director,partner,of counsel,consultant,employee,fiduciary or beneficiary;or (2)Stockholder,bondholder,debtor,or creditor,ifinanyinstance the transactionor matter wouldaffect the persondefinedin paragraph (b)(1)inamannerdistinctfrom the mannerinwhich it wouldaffect the public generally.Anyperson included inthetermdefinedin paragraph (b)(I)whohasanyofthespecifiedrelationships or who wouldormight,directlyor indirectly,realizeaprofitbytheactionofthecitycommission shall not vote on orparticipateinanywayin the matter. (E)Gifts. (2)All full-tone city empbyees engaged in any outside empfoyment for any person,firm,corporation or entity other than the chy,or any ofits agencies or instrumentalities,shall file,under oath,an annual report indicating the sourceoftheoutside employment,the nature ofthework being done and anyamountofmoneyorother considerationreceivedbytheemployeefromtheoutsideemployment.Cityemployeereports shall be filedwith •— thecity clerk.The reports shall be available ata reasonable time and place for inspection bythe public The city managermayrequiremonthlyreportsfrom individual employeesorgroupsofemployeesforgood cause.. (n)Acquiringfinancialinterests. Nopersonincludedinthetermsdefinedin paragraphs (b)(1)through(6)shall acquirea financial interest ina project,businessentityorpropertyata time whenthepersonbelievesorhasreasontobelievethat the financial interest maybedirectlyaffectedby official actionsorby official actionsbythe city orchyagency of which the personisan official,officeror empbyee. (0)Recommending professional services. Noperson included inthetermsdefinedin paragraphs (b)(1)through (4)mayrecommendtheservicesofany lawyerorlawfirm,architectorarchitecturalfirm,publicrelationsfirm,orany other person or firm,professional or otherwise,to assistinanytransactioninvolvingthechyoranyof its agencies,providedthata recommendation may properly bemade when required to be madeby the duties of officeandinadvanceatapublicmeetingattendedby other city officials,officersor empbyees. (p)Continuing application after city service. (1)Nopersonincludedinthe terms definedin paragraphs (b)(1),(5)and(6)shall,foraperiod of two yearsafter hisorhercityserviceor employment hasceased,bbby anycity official [as definedin paragraphs (b)(1)through(6)]inconnectionwithany judicial or other proceeding,application,RFP,RFQ,bid,request for rulingor other determination,contract,claim,controversy,charge,accusation,arrestor other particularsubject matterinwhichthecityoroneofitsagenciesisapartyorhasanyinterestwhatever,whether directorindirect Nothingcontainedinthissubsection shall prohibitany individual fromsubmittingaroutine administrative request orapplicationtoacity department oragencyduring the two-year periodafterhisorherservicehasceased. (2)Theprovisions of the subsectbn shall notapplytopersonswhobecomeemployed by governmentalentities, 501(c)(3)non-profitentitiesor educatfona!institutionsorentities,and who lobbyonbehalfof those entitiesin theirofficialcapacities. (3)The provisions of thissubsectionshallapply to all personsdescribedin paragraph (p)(l)whose chyservice or employment ceasedafter the effectivedate of the ordinancefromwhichthissectionderives. Specifications:Those portions oftheContraa Documents consisting of written technical descriptions of materials,equipment,construaionsystems,standards and workmanship as applied totheWork. Subcontraaor An individual,firm or corporation having a direa contraa with CONTRACTOR orwith anyother Subcontractor forthe performance ofapartofthe Work attheconstruaionsite. Substantial Completion:Thedate,as certified bytheCONSULTANT,whentheconstruaionofthe Projeaora certified partthereofis sufficiently completed,in accordance withthe Contraa Documents,sothat the Project,or a substantial part,canbe utilized forthe purposes forwhichitwasintendedwithout restriction or limitation toanydegree,otherthanforthe repair ofminor "punch list"items;oriftherebenosuch certification, the date when final payment isdue in accordance with paragraph 14.9.However,in noevent shall theprojeaor portionthereof,bedeemedtobe substantially completed until a certificate of occupancy or certificate ofuseis lawfully issued bythe applicable governmental agency.A certificate of Substantial Completion,issued bythe CONSULTANT,shall be null and void ifitis based on false,misleading or inaccurate information,from any source, or when it would not have been issue but for the consideration of Work that is thereafter found to be defeaive to a degree greater thanthat which would normally tobe considered bytheCitytobe minor "punch list"work. ©Thomas F.Pepe,2014 Page 43 of 73 4/28/2014 Supplier Any personor organization who supplies materials or equipment forthe Work,including the fabrication ofan item,butwhodoesnotperformlaboratthesiteoftheWork. Work:Any andall obligations,dutiesand responsibilities necessaryforthe successful performanceand completion of the Contract Notice:The term "Notice"asusedhereinshallmeanandincludeall written notices,demands, instruaions,claims,approvalsand disapprovals requiredtoobtain compliance with Contraa requirements. ARTICLE 2-PRELIMINARY MATTERS Award: 2.1 TheCITY reserves the right to reject any and all Bids,at its sole discretion.Bids shallbeawarded by the CITYtothelowestresponsiveandresponsible Bidder.NoNoticeofAwardshallbe given untilthe CITYhasconcludedits investigation,asitdeemsnecessary,toestablish,tothe satisfeaion ofthe CITY, whichBidderis the mostresponsiveandresponsibleofalltheBiddersto complete the Work withinthe time prescribed andin accordance withthe Contraa Documents.TheCITY reserves the right to rejea the Bid ofanyBidderwhois not believedtobe,in the solediscretionandsatisfactionof the City,to be sufficiently responsible,qualified and financial abletoperform the work.In analyzing a Bid,the CITY may also take into consideration alternate andunitprices,if requested by the Bid forms.If the Contraa is awarded,the CITYshallissue the Notice ofAwardandgive the successfulBiddera Contraa for execution withinninety(90)day after openingofBids. Execution of Contract: 2.2Atleast four counterparts of the Contract,the Performance andPaymentBond,the Certificatesof Insurance,the BinderofInsuranceifissued,theInsuranceDeclarationPageifnot included in the Policy of Insurance,the Policy ofInsurancerequiredbythe Contraa Documents,the written noticeofdesignated supervisor or superintendent as provided in Seaion 6.1 of the General Conditions andsuch other Documents as required by the Contraa Documents shallbe executed anddeliveredby CONTRACTOR to the CITYwithin ten (10)calendardaysof receipt of the Notice ofAward.A Contraa Document that requires thesignatureofaparty maybe executed in counterparts separately byeachof the partiesand,insuch event,each counterpart separately executed shall,without proof or accounting for the other counterpart be deemed anoriginal Contraa Document Forfeitureof Bid Security/PerformanceandPayment Bond,ifanyarerequiredbythe applicable RFP: 2.3 Within ten (10)calendar daysofbeingnotifiedof the Award,CONTRACTOR shallfurnisha Performance BondandaPaymentBondcontainingall the provisionsof the Performance BondandPaymentBond attached. 2.3.1 EachBondshallbein the amount of one hundred percent (100%)of the Contraa Price guaranteeing to OWNER the completion and performance of the Work covered insuch Contraa aswellasfull payment ofallsuppliers,materialman,laborers,or Subcontractor employed pursuant to this Projea.EachBondshallbe with a Surety company whose qualifications meet the requirements of Seaions 2.3.4,2.3.5,and2.3.6. 2.3.2EachBondshall continue in effea forfiveyearafterfinalcompletionand acceptance of the Work with the liability equal to one hundred percent (100%)of the Contraa Sum. 2.3.3 Pursuant to the requirements of Seaion 255.05(1),Florida Statutes,CONTRACTOR shall ensure that the Bond(s)referenced aboveshallbe recorded in the public records of Miami-Dade County and provide CITYwithevidence of such recording. ©Thomas F.Pepe,2014 Page 44 of 73 4/28/2014 2.3.4EachBond must be executed bya surety company authorized to dobusinessin the State of Florida asa surety,havinga resident agentin the State of Florida andhaving been inbusinesswith a record of successful continuous operation foraleastfive(5)years. 2.3.5 The surety company shallholda current certificate of authority as acceptable surety onfederal bonds in accordance with the UnitedStates Department of Treasury Circular570,current revisions. 2.3.6 The CITY shallonlyberequiredtoacceptasuretybondfromacompanywitharatingA.VIIor better. 2.3.7 Failure of the successfulBidderto execute anddeliver the Contract,anddelivertherequired bonds and Insurance documents shall be cause for the CITY to annul the Notice of Award and declare the Bidandanysecurity therefore forfeited. Contraaor's Pre-Start Representation: 2.4 CONTRACTOR representsthatithas familiarized itselfwith,andassumes full responsibility for having familiarized itselfwiththenatureand extent ofthe Contraa Documents,Work,locality,andwith all local conditionsand federal,stateand local laws,ordinance,rulesand regulations thatmayinanymanner affea performanceof the Work,andrepresentsthatithascorrelateditsstudyandobservations with the requirementsof the Contraa Documents.CONTRACTOR alsorepresentsthatithasstudied all surveys and investigations,reportsof subsurface andlatent physical conditions referredtointhe specifications andmadesuch additional surveysand investigations asitdeems necessary forthe performance ofthe Work refleaed in the Contraa Documents and that he has correlated the results of all such data with the requirements of the Contraa Documents. Commencement of Contraa Time: 2.5 The Contraa Time shall commence to run on the date stated in the Notice to Proceed. Starting the Projea: 2.6 CONTRACTOR shall starttoperformits obligations underthe Contraa Documentsonthedatethe ContraaTime commences to run.NoWork shall bedoneatthesite (as defined in Article I),prior to thedateonwhichtheContraaTime commences torun,exceptwiththewrittenconsentoftheCITY. Before Starting Construaion: 2.7 Before undertaking each part ofthe Work,CONTRACTOR shall carefully study and compare the Contraa Documents and check and verify pertinent figures shown thereon and all applicable field measurements and conditions.It shall atoncereportin writing toCONSULTANTany conflict,error,or discrepancy which it may discover.Neither the OWNER northe CONSULTANT shall be liable for any harm,damage orbss suffered by CONTRACTOR as a result ofits failure to discover any conflict,error, or discrepancy inthe Drawings or Specifications nor shall the CONTRACTOR be entitle to any compensation forany harm,damage or loss suffered bytheCONTRACTORdueto any conflict,error, or discrepancyin the Contraa Documents. Schedule of Completion: 2.8Within Five (5)business days after delivery oftheNoticeto Proceed byCITYto CONTRACTOR, CONTRACTOR shall submittoCONSULTANTfor approval,anestimatedconstruaion schedule indicating the starting and completion dates ofthe various stages oftheWork,and a preliminary schedule of Shop Drawing submissions.The CONSULTANT shall approve this schedule or require revisions thereto withinseven (7)calendar daysofits submittal.Ifthereismorethanone CONTRACTOR involved inthe Project,the responsibility for coordinating the Work of all CONTRACTORS shall be providedin the Special Conditions. 2.9 Within five (5)business days after delivery ofthe executed ContraabyCITYto CONTRACTOR,but before starting the Work atthesite,apre-construaionconference shall beheldtoreviewtheabove schedules,to establish procedures for handling Shop Drawings and other submissions,and for processing Applications for Payment,and to establish a working understanding betweenthe parties astothe Projea. Present atthe conference will bethe CITY'S representative,CONSULTANT,Resident Projea Representatives,CONTRACTOR and itsSuperintendent ©Thomas F.Pepe,2014 Page 45 of 73 4/28/2014 Qualifications of Subcontraaors.Material menand Suppliers: 2.10 Withinfive(5)businessdaysafterbid opening,theapparentlowestresponsiveandresponsible Bidder shall submitto the CITYand the CONSULTANT foracceptancealist of thenames of Subcontraaors andsuch other personsand organizations (including those whoare to furnish principal itemsof materials or equipment)proposedfor those portionsof the Work as to whichthe'identityof Subcontraaors and other persons andorganizations must be submitted asspecifiedin the Contraa Documents.Within thirty (30)calendardaysafterreceivingthelist,the CONSULTANT willnotify the CONTRACTOR in writingif either theCITYor the CONSULTANT hasreasonable objeaion toany Subcontraaor,person, or organizationonsuch list.The failure oftheCITYorthe CONSULTANT tomake objeaion to any Subcontraaor,person,ororganizationonthelistwithinthirty(30)calendardays of the receipt shall constitute an acceptance of such Subcontraaor,personororganization.Acceptance of anysuch Subcontraaor,personororganization shall not constitute awaiver of anyright of the CITYor the CONSULTANT to rejea defeaive Work,materialor equipment,or any Work,materialor equipment not in conformance with the requirements of the Contraa Documents. 2.11 If,prior to the Notice of Award,the CITYor the CONSULTANT hasreasonable objeaion to any Subcontraaor,person or organizationlisted,the apparent bw Biddermay,prior to Notice of Award, submit anacceptable substitute without anincreaseinitsbidprice. ARTICLE 3-CORRELATION.INTERPRETATION AND INTENT OF CONTRACT DOCUMENTS 3.1 Itis the intent of the SpecificationsandDrawings to describea complete Projea to be construaed in accordance with the Contraa Documents.The Contraa Documents comprise the entire Contraa between the OWNER and the CONTRACTOR.They maybealteredonlybya modification asdefinedin Article I. 3.2 The Contraa Documents are complementary;whatiscalledforby one isasbindingasifcalledforbyall the documents.If CONTRACTOR findsa conflia,error or discrepancy in the Contraa Documents,it shall,before proceedingwiththe Work affeaedthereby,immediately call ittothe CONSULTANTS attention inwriting.Thevarious Contraa Documentsare complementary;incase of conflict,error or discrepancy,the morestringentinterpretationandrequirementthat shall providethemaximumbenefit to the Owner shallapply 3.3 The words "furnish"and"furnishandinstall","install",and "provide"or words withsimilarmeaningshall beinterpreted,unless otherwise specifically stated,tomean"furnishand install completein place and readyforservice". 3.4Miscellaneousitemsand accessories whicharenot specifically mentioned,butwhichareessential to produceacompleteandproperlyoperating installation,or usable struaure,providing the indicated funaions,shallbefurnishedandinstalled without changeinthe Contraa Price.Suchmiscellaneousitems andaccessories shall be of the samequalitystandards,including material,style,finish,strength,class, weightand other applicable charaaeristics,as specified forthemajor component ofwhichthe miscellaneousitem or accessoryisanessentialpart,and shall beapprovedby the CONSULTANT before installation.Theabove requirement isnotintendedto include major components not coveredbyor inferablefrom the DrawingsandSpecifications. 3.5 The Work of all trades under this Contraa shall becoordinatedby the CONTRACTOR insucha mannerasobtain the bestworkmanshippossiblefortheentireProjea,and all components ofthe Work shall be installed or ereaed in accordance with the best praaices of the particulartrade. 3.6 The CONTRACTOR shall beresponsibleformakingthe construaion of habitable struaures underthis Contraa rainproof,andformakingequipmentandutility installations properlyperformthe specified funaion.If the CONTRACTOR is prevented fromcomplyingwiththisprovisiondueto the Drawingsor Specifications,the CONTRACTOR shall immediatelynotifythe CONSULTANT inwriting of such limitations before proceeding with construaion in the insofarasthisinformationisreasonablyascertainablefromaninspection of the site, includingall exploratory work done bythe OWNER/CONSULTANT onthesiteoranycontiguoussite, aswellasfrominformation presented bytheDrawingsandSpecificationsmadepart of this Contraa,or any other informationmade available toitprior to receipt of bids.Any failure by the CONTRACTOR to acquaintitselfwith the available information shall notrelieveitfromresponsibilityforestimatingproperly the difficultyor cost of successfullyperforming Work.The OWNER assumesnoresponsibilityforany conclusions or interpretations madeby the Contraaor's LiabilityInsurance: 5.1 CONTRACTOR shall provideand maintain inforceand effea until all the Work tobeperformedunder this Contraa hasbeen completed andacceptedby OWNER (orforsuchdurationasis otherwise specified hereinafter),the insurance coveragewrittenon Florida approvedformsandassetforth below: ©Thomas F.Pepe,2014 Page 48 of 73 4/28/2014 5.1.1 Worker's Compensation insurance atthestatutoryamountasto all employeesin compliance withthe"Workers'Compensation Law"oftheStateof Florida and all applicable federal laws.In addition,the policy(ies)must include:Employers'Liability atthestatutory coverage amountThe CONTRACTOR shall furtherinsurethat all of its Subcontraaors maintain appropriatelevelsof Worker's Compensation Insurance. 5.1.2 Comprehensive General Liability insurance with broad form endorsement,ona Florida approved form including automobile liability,completedoperations and products liability,contraaual liability, severability ofinterestwithcross liability provision,and personal injury and property damage liability with limitsof$1,000,000 combined single limitperoccurrenceand$2,000,000 aggregate,including: Personal Injury:$1,000,000; •MedicalInsurance:$5,000 perperson; Property Damage:$500,000each occurrence; •Automobile Liability:$1,000,000eachaccident/occurrence. 5.1.2.1 Umbrella CommercialComprehensive General Liability insurance shall bewrittenonaFbrida approvedform with thesame coverage asthe primary insurance policy butintheamountof $1,000,000 per claim and$2,000,000Annual Aggregate.Coveragemustbeaffordedonaformnomore restriaive thanthelatestedition of theComprehensiveGeneral Liability policy,without restriaive endorsements,as filedby the InsuranceServicesOffice,and must include: (a)Premisesand Operation (b)Independent Contraaors (c)Produas and/or Completed Operations Hazard (d)Expbsion,CollapseandUnderground Hazard Coverage (e)BroadFormPropertyDamage (f)BroadForm Contraaual Coverage applicable to thisspecific Contraa,including any holdharmless and/or indemnification agreement. (g)PersonalInjuryCoveragewithEmployeeand Contraaual Exclusions removed,with minimumlimitsofcoverageequal to those requiredforBodilyInjury Liability andProperty Damage Liability. 5.1.3 Business Automobile Liability withminimumlimits of One Million Dollars($1,000,000.00)plusan additional One Million Dollar($1,000,000.00)umbrellaper occurrence combinedsinglelimitforBodily Injury Liability andPropertyDamage Liability.Umbrellacoverage must beaffordedonaformno more restriaive than the latest edition of the Business Automobile Liability policy,without restriaive endorsements,asfiledby with the state of Florida,and must include: (a)Owned Vehicles. (b)Hiredand Non-Owned Vehicles (c)Employers'Non-Ownership 5.2 Before starting the Work,the CONTRACTOR shalldeliver to the CITY and CONSULTANT certificates of suchinsurance,acceptable to the CITY,aswellas the insurancebinder,the declarationpageandall applicable endorsements andpolicies of insuranceandprovide the name,addressand telephone number of the insuranceagent or broker through whom the policywasobtained.Theinsurershallberated A.VII or better perA.M.Best'sKeyRatingGuide,latesteditionandauthorizedtoissueinsurancein the State of Florida.Allinsurance must remainin full forceand effea for the durationof the contraa period with the Owner.Allinsurancepolicies must be written onformsapprovedby the State of Florida and they must remaininfullforceand effea for the duration of the contraa period with the Owner.The CONTRACTOR must provide not onlya"certifiedcopy"of the Binderbutalso the Policy,asdefinedin Article I above aswellas the name,addressandphone number of the agentandagencyprocuring the insurance.In addition,the CONTRACTOR shalldeliver,at the time of delivery of the insurance certificate,an endorsement to the policynaming the Owner asanadditionalnamedinsuredandan endorsement thatrequires the insurertoprovidethe OWNER withnotice,as set forthbelow,of modification,lapse,terminationor cancellation (including cancellation fornon-payment of premium)of the policy 10 daysprior to effeaive dateofthe modification,lapse,terminationorcancellatbn,including cancellation fornon-paymentofpremium.The notification shall beinwritingandservedbycertified mail, withproof of deliver,onthe OWNER.It shall bethe responsibility ofthe CONTRACTOR aswellas the ©Thomas F.Pepe,2014 Page 49 of 73 4/28/2014 insurertonotifythe Owner of modification,terminationor cancellation,lapseormodification of any insurance coverage or policiesinsuring the CONTRACTOR,whichrelate to the aaivities of such CONTRACTOR and the City of South Miami.Therefore,the CONTRACTOR shalldeliver,at the time of delivery of the insurancepolicy,thefollowing endorsements unlessthepolicycontains substantially similar provisions: (a)'The City of South Miami isanadditionalinsured.Theinsurer shall payallsumsthat the City of South Miami becomes legally obligatedtopayasdamagesbecauseof 'bodily injury",'property damage', or"personalandadvertisinginjury"anditwillprovide to the Owner all of the coveragethatis typicallyprovided under the standard Florida approvedformsforcommercialgeneral liability coverage Aand coverage B"; (b)"Thispolicyshall not becancelled(includingcancellationfor non-payment of premium),materially modifiedor terminated,without firstgiving the City of SouthMiami ten (10)daysadvanced written notice of the intent to cancel or terminate the policyforanyreason." 5.3 SUBCONTRACTS:The CONTRACTOR agrees that ifanypart of the Work under the Contraa is sublet,the subcontraa shall contain the sameinsuranceprovisionas set forthin seabn 5.1 and5.2 above and substituting the word SUBCONTRACTOR for the word CONTRACTOR and substituting the work CONTRACTOR for CITY or OWNER where applicable. Fireand Extended Coverage Insurance(Builders'Risk): 5.4 In the event that this contraa involves the construaion of a struaure,the CONTRACTOR shall maintain,with anInsurance Company orInsurance Companies acceptable to the CITY,Fire,Extended CoverageandVandalism&Malicious MischiefInsuranceon buildings and structures,whilein the course of construaion,including foundatbns,additions,attachments andall permanent fixturesbelonging to and constituting apart of said buildings or struaures.Thepolicyorpolicies shall alsocovermachinery,ifthe cost of machineryisincludedin the Contract,orif the machinery Is locatedinabuilding that isbeing renovatedbyreason of thiscontract.Theamount of insurance must atall times beatleastequal to the aaual cashvalue of the insuredproperty.Thepolicy shall beinthename of the OWNER andthe CONTRACTOR,as their interest mayappear,and shall also cover the interests of all Subcontractors performing Work. 5.5The CONTRACTOR shallprovidetheCITYwithevidence satisfaaory to theCITYcertifyingthat the foregoing insuranceisinforce;andsuchevidence shall include provisions thatthe insurance shall notbe canceledor materially changed untilatleast 10 calendar dayspriorwrittennoticehasbeengivenbythe insurer to the OWNER by certified mail. Miscellaneous: 5.6Ifanynoticeof cancellation of insuranceor change incoverageisissuedbythe insurance companyor shouldany insurance havean expiration datethat will occur during theperiodofthiscontraa,the CONTRACTOR shall beresponsiblefor securing other acceptable insurance prior to such cancellation, change,orexpirationsoas to providecontinuouscoverageasspecifiedinthis seabn andsoasto maintain coverage during the life of this Contraa 5.7All deduaibles mustbedeclaredbythe CONTRACTOR andmustbeapprovedbytheCITY.At the optionoftheCITY,eitherthe CONTRACTOR shall eliminate orreducesuchdeduaibleorthe CONTRACTOR shall procureaBond,inaformsatisfaaorytotheCITYcovering the same. 5.8The policies shall containwaiverof subrogation against Ownerwhere applicable,shall expresslyprovide thatsuchpolicyorpoliciesare primary overany other collectable insurance that Owner mayhave.The Chy reservestherightatanytimetorequestacopyoftherequired policies forreview.All policies shall containa"severability of interest"or"cross liability"clause without obligation forpremiumpaymentof the OWNER. ARTICLE 6•CONTRACTOR'S RESPONSIBILITIES Supervision and Superintendence: 6.1 The CONTRACTOR shallsuperviseand direa the Work.It shall besolelyresponsiblefor the means, methods,techniques,sequencesandproceduresof construabn.The CONTRACTOR shall employand ©Thomas F.Pepe,2014 Page 50 of 73 4/28/2014 maintaina qualified supervisoror superintendent (hereinafterreferred to as "Supervisor"atthe Work site who shall be designatedin writing by the CONTRACTOR,before the CONTRACTOR commences the Work andwithinthetimerequiredbythe Contraa,asthe CONTRACTOR'S representativeatthe site.The Supervisor orsodesignated shall have full authority to aa onbehalf of the CONTRACTOR and all communications given to the Supervisor shall beasbindingasifgiven to the CONTRACTOR.The Supervisor(s)shall bepresentateachsiteat all timesasrequired to performadequatesupervisionand coordinationof the Work.(Copiesofwritten communicatbns given to theSupervisor shall be mailed to the CONTRACTOR'S home office). 6.1.1 The CONTRACTOR shall keeponerecordcopyof all Specifications,Drawings,Addenda, Modifications andShop Drawings atthe site atalltimesandingood order andannotated to show all changesmadeduring the construaion process.These shall be available tothe CONSULTANT andany CITY Representative atallreasonabletimes.A set of "As-Built" drawings,aswellasthe original Specifications,Drawings,Addenda,Modifications andShop Drawings withannotations,shall bemade available to the Cityat all timesandit shall be delivered to the CITYuponcompletion of the Project. Labor.Materials andEquipment: 6.2The CONTRACTOR shall provide competent,suitably qualified personnel to lay outthe Work and performconstruaionas required bythe Contraa Documents.It shall at all times maintain good discipline and order at the site. 6.3 TheCONTRACTOR shall furnish all materials,equipment,labor,transportation,construaion equipment and machinery,tools,appliances,fuel,power,light,heat,local telephone,water and sanitary facilities and all other facilities and incidentals necessary forthe execution,testing,initial operation and completbnof the Work 6.4All materials and equipment shall benew,exceptasotherwise provided intheContraa Documents. When special makes or grades of material which are normally packaged bythe supplier or manufaaurer are specified or approved,such materials shall be delivered tothesiteintheir original packages or containers with seals unbroken and labels intact 6.5All materials andequipment shall be applied,installed,conneaed,ereaed,used,cleaned and conditioned in accordance withthe instruaions ofthe applicable manufaaurer,fabricator,or processors,except as otherwise providedin the Contraa Documents. Materials.Equipment Produas andSubstitutions: 6.6 Materials,equipment and produas incorporated in theWork must be approved for use before being purchasedby the CONTRACTOR.The CONTRACTOR shall submitto the CONSULTANT alist of proposed materials,equipment or produas,together with such samples as may be necessary forthemto determine their acceptability and obtain their approval,within ninety (90)calendar days after award of Contraa unless otherwise stipulated in the Special Conditions.No request for payment for "or equal" equipment will be approved until this list has been received and approved bytheCONSULTANT. 6.6.1 Whenever a material,article or piece of equipment is identified onthe Drawings or Specifications byreference to brand nameor catalog number,it shall beunderstoodthatthisis referenced forthe purpose of defining the performance or other,salient requirements and that other produas ofequal capacities,quality and funaion shall beconsidered.The CONTRACTOR may recommend the substitution ofa material,article,or piece of equipment of equal substance and funaion for those referred tointheContraa Documents by reference to brand nameor catalog number,and if,intheopinionoftheCONSULTANT,such material, article,orpieceofequipmentisof equal substance and funaiontothat specified,the CONSULTANTmayapproveits substitution and usebytheCONTRACTOR.Incidental changes orextracomponent parts required to accommodate the substitute will be made bythe CONTRACTOR without achangein the Contraa Price or the Contraa Time. 6.6.2Nosubstitute shall beorderedor installed withoutthewritten approval oftheCONSULTANT who shall bethejudge of quality. 6.6.3 Delay caused by obtaining approvals for substitute materials shall notbe considered justifiable grounds foran extension of construaion time. ©Thomas F.Pepe,2014 Page 51 of 73 4/28/2014 6.6.4Shouldany Work or materials,equipmentorproductsnotconformtorequirements of the DrawingsandSpecificationsor become damagedduringtheprogress of the Work,such Work or materials shall beremovedand replaced,together withany Work disarranged bysuch alterations,atany time before completion andacceptance of the Projea.Allsuch Work shall be done at the expense of the CONTRACTOR. 6.6.5Nomaterials or suppliesforthe Work shall bepurchasedbythe CONTRACTOR orany Subcontraaor subjea to anychattelmortgage or underaconditionalsaleor other agreementby whichan interest isretainedby the Seller.The CONTRACTOR warrantsthat they havegood title to all materialsandsuppliesusedby them in the Work. Concerning Subcontraaors: 6.7The CONTRACTOR shall not employany Subcontraaor,against whom theCITYor the CONSULTANT mayhavereasonable objeaion,norwill the CONTRACTOR berequiredtoemployany Subcontraaor who has been accepted by the CITYand the CONSULTANT,unless the CONSULTANT determines that there isgoodcausefordoingso. 6.8 The CONTRACTOR shallbefullyresponsibleforall aas and omissions of its Subcontraaors and of persons and organizations direaly or indirealy employed byitand of persons and organizations for whose aas any of them maybeliable to the same extent that they are responsible for the aas and omissions of persons direaly employed by them.Nothing in the Contraa Documents shall create any contraaual relationship between OWNER or CONSULTANT andany Subcontraaor or other person or organization havinga direa contraa with CONTRACTOR,nor shallit create anyobligation on the part of OWNER or CONSULTANT to payortoseetopayment of anypersonsdue subcontractor or other personororganization,except asmay otherwise berequiredbylaw.CITYor CONSULTANT may furnishtoany Subcontraaor or other personororganization,to the extent praaicable,evidence of amounts paid to the CONTRACTOR onaccountofspecified Work doneinaccordancewith the schedule values. 6.9Thedivisionsand seaions of the Specificationsand the identifications of anyDrawings shall not control the CONTRACTOR individing the Work among Subcontraaors or delineating the Work performedby anyspecific trade. 6.10 The CONTRACTOR agreestobind specifically every Subcontraaor to the applicable termsand conditions of the Contraa Documents for the benefit of the OWNER. 6.11 All Work performedfor the CONTRACTOR bya Subcontraaor shall bepursuant to anappropriate agreement between the CONTRACTOR and the Subcontraaor. 6.12 The CONTRACTOR shall beresponsiblefor the coordinationof the trades,Subcontraaors materialand men engagedupon their Work. 6.12.1 The CONTRACTOR shall causeappropriateprovisions to beinsertedin all subcontraas relative to the Work to bind Subcontraaors to the CONTRACTOR by the terms of these General Conditions and other Contraa Documents insofaras applicable to the Work of Subcontraaors,and give the CONTRACTOR the same power asregards to terminatingany subcontraa that the OWNER may exercise over the CONTRACTOR underanyprovisions of the Contraa Documents. 6.12.2 The CITY or CONSULTANT will not undertake to settle anydifferences between the CONTRACTOR and their Subcontractors or between Subcontraaors. 6.12.3 If in the opinionof the CONSULTANT,any Subcontraaor ontheProjeaprovestobe incompetent or otherwise unsatisfaaory,they shall bepromptlyreplacedbythe CONTRACTOR ifand when direaed by the CONSULTANT inwriting. 6.I2A Discrimination:No aaion shall betakenbytheany subcontraaor with regard to the fulfilment of the terms of the subcontract,includingthehiringand retention of empbyees for the performance of Work thatwoulddiscriminateagainstanypersonon the basis of race,color,creed,religbn,nationalorigin,sex, age,sexual orientatbn,familial statusor disability.This paragraph shall bemadeapart of the subcontraaor's contraa with the Contraaor. PatentFeesandRoyalties: ©Thomas F.Pepe,2014 Page52 of 73 4/28/2014 6.13 The CONTRACTOR shall pay all licensefeesandroyaltiesandassume all costsincidentto the useofany invention,design,processordevicewhichis the subjea of patentrightsorcopyrightsheldby others.He shall indemnifyandholdharmlessthe OWNER andthe CONSULTANT andanyonedirectlyorindirealy employedbyeither of them from against all claims,damages,lossesand expenses (including attorney's fees)arising out of anyinfringementofsuchrightsduringorafter the completion of the Work,andshall defendallsuchclaimsin conneaion withany alleged infringement of suchrights. 6.14 The CONTRACTOR shall be responsible for determining the application ofpatent rights and royalties materials,appliances,articlesorsystems prbr to bidding.However,he shall not beresponsibleforsuch determinationonsystemswhichdonotinvolve purchase bythemof materials,appliances and articles. Permits: 6.15 The CONTRACTOR shall secure and pay for all construaionpermitsand licenses and shall pay for all governmentalchargesand inspeaion feesnecessaryfortheprosecution of the Work,whichare applicable atthetime of his Bid.When such charges are normally madebytheCITYandwhensostated in the Special Conditions,there willbenochargesto the CONTRACTOR.The CITY shall assist the CONTRACTOR,when necessary,inobtainingsuchpermitsandlicenses.The CONTRACTOR shall also payallpublicutilitycharges. Elearical Powerand Lighting: 6.16 Electrical power required during construaion shall be provided by each primeCONTRACTORas required by it.This service shall be installed bya qualified electrical Contraaor approved bythe CONSULTANT.Lighting shall be provided bytheCONTRACTORin all spaces at all timeswhere necessary forgood and proper workmanship,for inspection orfor safety.Notemporarypower shall be usedofftemporary lighting lines without specific approval of the CONTRACTOR. LawsandRegulations: 6.17 The CONTRACTOR shall comply with all notices,laws,ordinances,rules and regulations applicable to the Work.IftheCONTRACTOR observes thatthe Specificatbns or Drawings areat variance therewith, it shall give theCONSULTANTpromptwritten notice thereof,and any necessary changes shall be adjusted by an appropriate modification.Ifthe CONTRACTOR performs any Work knowing ittobe contrary to such laws,ordinances,rulesandregulatbns,and without suchnoticeto the CONSULTANT, it shall bear all costs arising there from;however,it shall notbeits primary responsibility to make certain thatthe Drawings and Specifications are in accordance with such laws,ordinances,rules and regulations. Discrimination: 6.17A Noaaion shall betakenbytheContraaorwith regard tothe fulfilment ofthetermsofthe Contract, including the hiring andretentionof empbyees forthe performance of Work thatwould discriminate against anypersononthe basis of race,color,creed,religion,national origin,sex,age,sexual orientation, familial status or disability. Taxes: 6.18 Cost of all applicable sales,consumer use,and other taxesforwhich the CONTRACTOR is liable under the Contraa shall be included inthe Contraa Price statedbythe CONTRACTOR. Safetyand Proteabn: 6.19 The CONTRACTOR shall be responsible for initiating,maintaining and supervising all safety precautions and programs inconneaionwiththeWork.They shall take all necessary precautions forthe safety of, and shall providethe necessary proteabn toprevent damage,injury orlossto: 6.19.1 -All empbyees and other persons,whomaybe affected thereby, 6.19.2 Allthe Work and all materials or equipment tobe incorporated therein,whetherin storage on or off the site,and ©Thomas F.Pepe,2014 Page 53 of 73 4/28/2014 6.19.3 Other property atthesiteoradjacent thereto,including trees,shrubs,lawns,walks,pavements, roadways,struaures andutilities not designatedforremoval,relocationor replacement inthe course of construaion. 6.20The CONTRACTOR shall designatearesponsible member oftheirorganizationatthesite whose duty shall be the prevention of accidents.Thisperson shall bethe CONTRACTOR'S Superintendent unless otherwise designatedin writing by the CONTRACTOR to the CITY. Emergencies: 6.21 In emergencies affeaing the safety of persons or the Work or property at the site or adjacent thereto, the CONTRACTOR,without special instruaion or authorization from the CONSULTANT or CITY,is obligated to act,athis discretion,to prevent threatened damage,injury or loss.Heshallgive the CONSULTANT prompt written notice of anysignificantchangesin the Work or deviations from the Contraa Documents caused thereby.If the CONTRACTOR believes that additional Work done byhim inan emergency which arose fromcauses beyond his control entitles him to anincreasein the Contraa Price or an extension of the Contraa Time,hemay make aclaim therefore asprovidedin Articles 11 and 12. ShopDrawingsandSamples: 6.22 After checkingandverifyingall field measurements,the CONTRACTOR shallsubmit to the CONSULTANT for review,in accordance with the accepted schedule of shopdrawing submissions,six (6)copies(orat the CONSULTANT option,onereproduciblecopy)of allShop Drawings,which shall havebeencheckedbyandstampedwiththeapproval of the CONTRACTOR.TheShop Drawings shall be numbered andidentifiedas the CONSULTANT mayrequire.Thedata shown on the ShopDrawings shall becompletewith respea todimensions,design criteria,materials of construaion andtheliketo enable the CONSULTANT to review the information without any unnecessary investigatbn. 6.23 The CONTRACTOR shallalso submit to the CONSULTANT for review,with such promptness as to causenodelayin Work,allsamplesrequiredbythe Contraa Documents. Allsamples shall havebeencheckedbyandstampedwiththe approval ofthe CONTRACTOR,identified clearly asto material,manufaaurer,anypertinent catalog numbersandtheuseforwhichintended. 6.24 At the time of eachsubmission,the CONTRACTOR shallnotify the CONSULTANT,inwriting,of any deviations between the Shop Drawings or samples andtherequirements of the Contraa Documents. 625The CONSULTANT shall reviewwithresponsiblepromptnessShop Drawings and Samples,buthis review shall beonlyforconformancewiththe design conceptoftheProjea and for compliance with the information given inthe Contraa Documents.Thereviewofa separate itemassuchwillnot indicate reviewof the assemblyinwhichtheitems funabns.The CONTRACTOR shall makeany correabns required bytheCONSULTANT and shall returnthe required numberofcorreaedcopiesof Shop Drawings and resubmitnew samples until thereviewissatisfaaorytotheCONSULTANT.The CONTRACTOR shall notify the CONSULTANT,inwriting,of any prbr ShopDrawing or revisbns to Shop Drawings thatareinconfliawith each submission or re-submission.TheCONTRACTOR'S stamp of approval onanyShop Drawings or sample shall constitute representation totheCITY and the CONSULTANT that the CONTRACTOR has either determined and/orverifiedallquantities,dimensbn, field construabn criteria,materials,catalog numbersand similar dataortheyassume full responsibility for doing so,andthattheyhavereviewedor coordinated eachShop Drawing orsample with the requirements of the Work and the Contraa Documents. 626No Work requiring a submittal ofaShop Drawing or sample shall becommenceduntilthe submission has beenreviewedandapprovedinwritingbytheCONSULTANT.Acopy of eachShop Drawing andeach approvedsample shall bekeptingoodorder,inabookor binder,in chronological orderorinsuchother order required bythe CONSULTANT in writing,bytheCONTRACTORatthe site and shall be available to the CONSULTANT. 6.27The CONSULTANTS reviewofShop Drawings orsamples shall notrelievethe CONTRACTOR from his responsibility forany deviations fromtherequirementsofthe Contraa Documentsunlessthe CONTRACTOR hasinformedthe CONSULTANT,inwriting,to eachdeviationatthetimeof submissionand the CONSULTANT hasgivenwritten approval tothespecificdeviation,nor shall any ©Thomas F.Pepe,2014 Page 54 of 73 4/28/2014 review by the CONSULTANT relieve the CONTRACTOR fromresponsibilityfor errors or omissions in the ShopDrawings or samples. 6.271 The CONTRACTOR shallbe liable to the OWNER foranyadditional cost or delay that iscausedbyits failure to notify the CONSULTANT of any of saiddeviations or conflias between ShopDrawings or due to errors in the ShopDrawings or samples. CleaningUp: 6.28The CONTRACTOR shall cleanupbehind the Work asmuchasisreasonablypossibleasthe Work progresses.Upon completion of the Work,and before acceptance of final paymentfor the Projea bythe OWNER,the CONTRACTOR shall remove allhissurplusanddiscardedmaterials,excavatedmaterial andrubbishaswellasall other materialand equipment thatdoesnotformapart of the Work,from the property,roadways,sidewalks,parkingareas,lawnandalladjacent property.Inaddition,the CONTRACTOR shall cleanhisportion of Work involvedinany building underthis Contract,sothatno further cleaning bythe OWNER isnecessarypriortoits occupancy andhe shall restore all property,both publicand private,whichhasbeendisturbedor damaged during the prosecutionofthe Work soasto leave the whole Work and Work Siteinaneatandpresentablecondition. 6.29If the CONTRACTOR does not clean the Work site,the CITYmayclean the Work Siteof the materials referred to in paragraph 6.28andcharge the cost to the CONTRACTOR. Public Convenience andSafety: 6.30 The CONTRACTOR shall,atall times,condua the Work in such a manner as to insure the least praaicable obstruaionto public travel.The convenience ofthe general public andofthe residents along and adjacent to theareaof Work shall be provided forinasatisfaaorymanner,consistent with the operationand local conditions."StreetClosed"signs shall be placed immediatelyadjacentto the Work,in aconspicuousposition,atsuch locations astrafficdemands.At anytimethat streets arerequiredtobe closed,theCONTRACTOR shall notify law enforcement agencies and in particular,theCityof South Miami Police Department,beforethestreetis closed and again assoonasitisopened.Accessto fire hydrants and other fire extinguishing equipment shall be provided and maintained at all times. SanitaryProvisions: 6.31 TheCONTRACTOR shall provide on-site office,and necessary toilet facilities,secluded from public observation,foruseof all personnel ontheWork Site,whetherornot in his employ.They shall bekept ina clean and sanitary condition and shall complywiththerequirements and regulations ofthe Public Authorities having jurisdiaion.They shall commitno public nuisance.Temporary field office and sanitary facilities shall beremovedupon completion ofthe Work and the premises shall beleft clean. Indemnification: 6.32The CONTRACTOR shall indemnify andhold harmless the OWNER and the CONSULTANT,aswellas their officers,agents andemployeesoranyofthemfromand against claims,damages,lossesand expenses (including butnot limited to attorneys'fees)received or sustained byanypersonor persons during oron account ofor arising outof any operations conneaed with theWork,butonlytotheextent causedinwholeorinpartby the negligentactsoromissionsof the CONTRACTOR,a Subcontraaor, or anyonedirealyorindirealyemployedbythemoranyoneforwhoseactstheyare liable.This indemnification provision is cumulative with all otherremediesorother indemnification provisions contained inthe Contraa Documents.TheCONTRACTOR shall pay all claims andlossesofany kind or naturewhatsoever,inconneaiontherewith,including theCITY'sattorney'sfees and expensesinthe defenseofanyaaioninlaworequitybrought against theOwner arising fromeitherthe negligent,willful, wantonorintentionalerror,omission,or aa ofthe CONTRACTOR,its sub-contraaor or assigns as wellas all of their agents,representativesor empbyees,incident to,arising outofor resulting fromthe performanceof the CONTRACTOR'S servicesunderthisAgreement.The CONTRACTOR agreesand recognizesthat the Owner shall not beheld liable orresponsibleforany claims,including the costsand expenses of defendingsuch claims whichmayresultfromorarise out of aaions oromissionsofthe CONTRACTOR,itssub-contraaoror assigns aswellas all oftheir agents,representativesor empbyees. In reviewing,approvingor rejeaing anysubmissionsoracts of the CONTRACTOR,the Owner inno ©Thomas F.Pepe,2014 Page 55 of 73 4/28/2014 way assumes or shares responsibility or liability oftheCONTRACTOR,oritssub-contraaoror assigns, or any of their agents,representatives or employees 6.33 In theeventthatanyaaionor proceeding isbrought against OWNER or CONSULTANT byreasonof anysuchclaim or demand,CONTRACTOR,upon written noticefromCITYshalldefendsuch aaion or proceedingbycounselsatisfaaorytoCITY.The indemnification providedabove shall obligate CONTRACTOR todefendatitsownexpenseorto provide forsuchdefense,at CITY'S option,anyand all claims of liability and all suits and aaionsofeveryname and description thatmaybebrought against OWNER or CONSULTANT,excludingonly those claims thatallegethattheinjuriesarose out of the solenegligence of OWNER or CONSULTANT. 6.34The obligations ofthe CONTRACTOR under paragraph 6.33 shall notextendtothe liability ofthe CONSULTANT,itsagentsoremployees arising outof (a)the preparation or approval ofmaps,drawings, opinions,reports,surveys,ChangeOrders,designsorspecificationsor(b)the giving ofor the failure to give direaions or instruaions bythe CONSULTANT,itsagentsor employees providedsuch aa or omission is the primary cause of injury or damage. 6.34AAllof the forgoingindemnificationprovisions shall survivetheterm of the Contraa to which these General Conditions areapart.Indemnification shall not exceed an amount equalto the totalvalue of all insurancecoveragerequiredby Seaion 5.1 of this document.Indemnification islimited to damagescaused in whole or inpartbyany aa,omission,ordefault of the Contraaor,the Contraaor's subcontraaors, sub-subcontraaors,materialmen,oragents of anytierortheir respeaive employees to the extent caused bythe negligence,recklessness,orintentionalwrongful miscondua ofthe indemnifying partyandpersons employed or utilizedby the indemnifyingpartyin the performance of the construaion contraa. Responsibilityfor Conneaion to Existing Work: 6.35 It shall betheresponsibility of the CONTRACTOR to connea its Work toeachpartoftheexisting Work,existingbuildingor struaure or Work previously installed asrequiredby the Drawings and Specifications to provide a complete installation. 6.36 Excavations,grading,fill,storm drainage,paving andany other construaion orinstallatbnsinrights-of- waysof streets,highways,publiccarrierlines,utilitylines,either aerial,surface or subsurface,etc,shallbe done inaccordancewith requirements of the specialconditions.The OWNER willberesponsiblefor obtainingall permits necessary for the Work describedinthis paragraph 6.36.Upon completion of the Work,CONTRACTOR shall present to CONSULTANT certificates,intriplicate,from the proper authorities,stating that the Work hasbeen done in accordance with their requirements. 6.36.1 The CITY will cooperate with the CONTRACTOR inobtaining aaion fromanyutilities or public authorities involvedin the above requirements. 6.36.2 The CONSULTANT shall beresponsibleforobtainingelevations of curbsandgutters,pavement, storm drainage struaures,and other itemswhich must beestablishedby governmental departments assoonas grading operations arebegunon the siteand,inanycase,sufficiently earlyin the construaion period to prevent anyadverse effea on the Projea. Cooperatbn with Governmental Departments.PublicUtilities.Etc: 6.37The CONTRACTOR shallbe responsible formakingall necessary arrangements with governmental departments,publicutilities,publiccarriers,servicecompaniesand corporations (hereinafter referred to as"thirdparties")owning or controllingroadways,railways,water,sewer,gas,electricalconduits, telephone,andtelegraph facilities suchaspavements,tracks,piping,wires,cables,conduits,poles,guys, etc.,includingincidental struaures conneaed therewith,that are encountered in the Work in order that suchitemsare properly shored,supported and proteaed,that their locationisidentifiedand to obtain authority from these thirdpartiesforrelocationif the CONTRACTOR desires to relocate the item.The CONTRACTOR shall gjrve all proper notices,shall complywith all requirements of suchthirdpartiesin the performance of his Work,shallpermit entrance of suchthirdpartieson the Projea in order that they mayperform their necessary work,and shall payallchargesandfeesmadebysuchthirdpartiesfortheir work. 6.37.1 The CONTRACTOR'S attentionis called tothefaathat there maybedelaysonthe Projea due to work to bedonebygovernmentaldepartments,publicutilities,and others in repairing or ©Thomas F.Pepe,2014 Page 56 of 73 4/28/2014 movingpoles,conduits,etc The CONTRACTOR shall cooperate with the abovepartiesin every waypossible,so that the construaion canbe completed in the leastpossible time. 6.37.2 The CONTRACTOR shallhave made itself familiar with all codes,laws,ordinances,and regulationswhichinanymanner affea those engaged or employedin the Work,ormaterialsand equipment useinoruponthe Work,orinanyway affea the condua of the Work,andnoplea ofmisunderstandingwillbeconsideredonaccountofdamage or delaycausedbyhisignorance thereof. Use Premises: 6.38 CONTRACTOR shall confineits apparatus,storageof materials,andoperationsof its workmentothe limitsindicatedbylaw,ordinances,permitsand direaions of CONSULTANT andCITY,and shall not unnecessarily encumber anypart of the siteoranyareasoffsite. 6.38.1 CONTRACTOR shall notoverloadorpermitanypartofany struaure tobeloadedwithsuch weightaswillendangeritssafety,nor shall it subjea any work tostressesorpressuresthatwill endanger it. 6.38.2 CONTRACTOR shall enforcetherules and regulation promulgated bytheCONSULTANTand OWNER aswellastheir instructions with regard to signs,advertisements,fires and smoking. 6.38.3 CONTRACTOR shall arrange andcooperatewithCITYinroutingand parking ofautomobilesof its empbyees,subcontraaors and other personnel,aswellasthatof the material deliverytrucks and other vehicles that come to the Projea site. 6.38.4TheCitywill designate specific areas onthesitefor storage,parking,etc andthejobsite shall be fenced to protea thejobsiteandthegeneral public. 6.38.5The CONTRACTOR shall furnish,install and maintain adequate construaion office facilities for all workers employed byitorbyits Subcontraaors.Temporary offices shall be provided and located where direaed andapprovedbythe CONSULTANT.Allsuch facilities shall be furnished in stria accordance with existing governing regulations.Field offices shall include telephone facilities. Proteabn of Existing PropertyImprovements: 6.39 Any existing surface or subsurface improvements,such as pavements,curbs,sidewalks,pipes or utilities, footings,orstruaures (including portions thereof),trees and shrubbery,not indicated onthe Drawings ornotedinthe Specifications as being removed or altered shall beproteaed from damage during construaion ofthe Project Anysuchimprovements damaged during construaionoftheProjea shall be restoredattheexpenseoftheCONTRACTORtoa condition equal tothatexistingatthetimeof award of Contract ARTICLE 7 -WORK BY OTHERS 7.1 TheCITYmayperform additional Work related totheProjeaormayletotherdireacontractstherefor which shall contain General Conditions similar to these.The CONTRACTOR shall afford the other contraaors whoare parties to such direa contraas(ortheOWNER,if it is performing the additional Work itself),reasonable opportunity forthe introduaion and storage of materials and equipment and the execution of Work,and shall properly connea andcoordinateits Work withtheirs. 72 If any part ofthe CONTRACTOR'S Work depends upon proper execution or results oftheWorkof any other contraaor ortheOWNER,the CONTRACTOR shall promptlyreporttotheCONSULTANTin writing any defects or deficienciesinsuch Work that render itunsuitable for the CONTRACTOR'S Work. 7.3The CONTRACTOR shall do all cutting,fitting and patching ofthe Work thatmaybe required tomake its several partscome together properlyandfittoreceiveorbereceivedby such other Work.The CONTRACTOR shall not endanger any Work ofothersby cutting,excavating orotherwise altering their Work and shall only cut oraltertheir Work withthe written consent of the CONSULTANT and of the other contraaor whose work will be affeaed. 7.4 If the performance of additional Work byothercontraaorsorthe OWNER isnotnotedinthe Contraa DocumentspriortotheexecutionoftheContraa,writtennotice thereof shall be given to the ©Thomas F.Pepe,2014 Page 57 of 73 4/28/2014 CONTRACTOR prior to startinganysuchadditional Work If the CONTRACTOR believes that the performance of suchadditional Work by the OWNER or others willcause the CONTRACTOR additional expense or entitles him to an extension of the Contraa Time,hemay make aclaim therefore as provided in Articles I I and 12. 7.5 Where praaicable,the CONTRACTOR shallbuildaround the work of other separate contraaors or shallleavechases,slots andholesasrequired to receiveand to concealwithin the general construaion Work the work of such other separate contraaors as direaed by them.Where suchchases,slots,etc, are impraaicable,the Work shall require specificapproval of the CONSULTANT. 7.6Necessarychases,slots,andholes not builtorleftbythe CONTRACTOR shallbe cut by the separate contraaor requiring such alterations after approval of the CONTRACTOR.The CONTRACTOR shall do all patchingand finishing of the work of other contraaors where itis cut by them andsuchpatching and finishing shallbeat the expense of CONTRACTOR 7.7 Cooperation isrequiredin the use of site facilities andin the detailed execution of the Work Each contraaor shall coordinate their operation with those of the other Contraaors for the best interest of the Work in order to prevent delayin the execution thereof. 7.8Each of several contraaors working on the Projea Siteshall keep themselves informed of the progress of the work of other contraaors.Shouldlack of progressor defeaive workmanship on the part of other contraaors interfere with the CONTRACTOR'S operations,the CONTRACTOR shall notify the CONSULTANT immediately andinwriting.Lack of such notice to the CONSULTANT shallbe construed as acceptance by the CONTRACTOR of the status of the work of other contraaors asbeing satisfaaory for proper coordination of CONTRACTOR'S own Work 7.9 The cost of extra Work resulting fromlack of notice,untimely notice,failure to respond to notice, Defeaive Work or lack of coordination shall be the CONTRACTOR'S cost. 7.10 The CITY reserves the rightin the event the CONTRACTOR cannot provideanitem(s)or service(s)ina timely manner as requested,to obtain the goodand/orservicesfrom other sources and deduaing the cost from the Contraa Price without violating the intent of the Contraa. ARTICLE 8-CITY'S RESPONSIBILITIES 8.1 The CITYwillissueall communications to the CONTRACTOR through the CONSULTANT. 8.2Incases of termination of employment of the CONSULTANT,theCITYwillappointa CONSULTANT whose status under the Contraa Documents shall be that of the former CONSULTANT. 8.3 The CITY shall promptly furnish the datarequired of them under the Contraa Documents. 8.4 The CITY'S dutiesin respea to providinglandsandeasementsare set forthin Paragraphs 4.1 and 42. 8.5TheCITYshallhave the right to takepossessionofanduseany completed or partially completed portions of the Work,notwithstandingthefaathatthetimeforcompleting the entire Work orany portion thereof may not haveexpired;but such takingpossessionanduse shall not bedeemedan acceptance of any Work not completed inaccordance with the Contraa Documents. ARTICLE 9-CONSULTANTS'STATUS DURING CONSTRUCTION City's Representative: 9.1 The CONSULTANT shall be the CITY'S representative duringthe construaion period.Thedutiesand responsibilitiesand the limitations of authority of the CONSULTANT as the CITY'S representative during construabn are set forth-in Articles I through 16 of these General Conditions and shall not be extended without written 'consent of the CITY and the CONSULTANT. 9.1.1 The CONSULTANTS decision,in matters relating to aesthetics,shallbe final,ifwithin the terms of the Contraa Documents. 9.1.2 Exceptasmaybe otherwise providedinthis contraa,allclaims,counterclaims,disputesand other matters in question between the CITYand the CONSULTANT arising out oforrelating tothis Contraa or the breach thereof,shall bedecidedina court of competent jurisdiaion within the State of Florida. Visits to Site: ©Thomas F.Pepe,2014 Page 58 of 73 4/28/2014 9.2The CONSULTANT shall provideaninspeaortomake periodic visitstothe site ateach phase of construaion to observe the progressandquality of the executed Work and to determine if the Work is proceedinginaccordancewiththe Contraa Documents.Hisefforts shall be direaed toward providing assurancefor the OWNER and all applicable regulatory agencies that construaion isincompliancewith the Construaion Documents and applicable laws,rulesand regulations.On the basis of these onsite- observationsasanexperiencedand qualified design professional,he shall keeptheCITYinformedofthe progress of the Work and shall guard the OWNER against defectsanddeficienciesin the Work of CONTRACTOR. ClarificationsandInterpretations: 9.3TheCONSULTANT shall issue,with reasonable promptness,suchwritten clarifications or interpretations of the Contraa Documents (in theformof Drawings orotherwise)asitmaydetermine necessary,which shallbe consistent with,orreasonablyinferablefrom,theoverallintentof the Contraa Documents.If the CONTRACTOR seeks an increase in the Contraa Price or extension of Contraa Time based on a written clarification and/or interpretation it shall be required tosubmitatimely claim as provided in Articles 11 and 12. Measurement of Quantities: 9.4All Work completedundertheContraa shall be measured bytheCONSULTANT according tothe United States Standard Measures.All linear surface measurements shall bemade horizontally or vertically as required by the item measured. Rejeaing Defeaive Work 9.5The CONSULTANT shall haveauthorityto disapprove or rejea Work thatis "Defeaive Work"as defined inArticle I.It shall also have authority to require special inspeaionortestingofthe Work including Work fabricated onoroff site,installed orcompletedas provided.In theeventthatthe CONSULTANT requires testingof completed Work,thecostof such inspeaionsand/ortesting shall be approved in writing bythe CITY.All consequential costof such inspeaions and testing,including butnot limited tothecostoftesting and inspeaion,thecostof repairing anyoftheWork,ortheworkofothers, thecosttomove furniture and equipment and/or thecostto provide alternative facilities until the repair work canbecompleted,shall paid bythe CONTRACTOR ifthe Work isfound to be Defeaive Work Shop Drawings.ChangeOrdersand Payments: 9.6 In conneaion withthe CONSULTANT responsibility as to Shop Drawings and samples,see paragraphs 625 through 628,inclusive. 9.7 In conneaionwiththeCONSULTANTS responsibility for Change OrdersseeArticles 10,11,and 12. 9.8 In conneaionwiththe CONSULTANT responsibilities withrespeatothe Application for Payment,etc, see Article 14. DecisionsonDisagreements: 9.10 TheCONSULTANT shall bethe initial interpreteroftheConstruaionDocuments. Limitations onConsultant's Responsibilities: 9.11 The CONSULTANT will notbe responsible forthe construaion means,mahods,techniques,sequences or procedures,orthesafety precautions and programs incidentthereto. 9.12 The CONSULTANT will notbe responsible forthe acts or omissions ofthe CONTRACTOR,or any Subcontractors,oranyoftheir agent,servants or employees,oranyotherperson performing any ofthe Work under or through them. ARTICLE 10 -CHANGES IN THE WORK 10.1 Without invalidating theContraa,theCITY may,atanytimeorfromtimetotime,order additions, deletionsor revisions inortothe Work which shall onlybeauthorizedbyawritten Change Orders. Uponreceiptofa Change Order,the CONTRACTOR shall proceed with the Work involved.Allsuch ©Thomas F.Pepe,2014 Page59 of 73 4/28/2014 Work shall be performed under the applicable conditions oftheContraa Documents.If any authorized written Change Order causesanincreaseor decrease in the Contraa Price or an extension or shortening oftheContraaTime,an equitable adjustment will bemadeas provided in Article 11 or Article 12.AwrittenChangeOrder signed bytheCITYandthe CONTRACTOR indicates their agreement tothetermsofthe Change Order.All Change Orders shall be certified bythe CONSULTANT astothe appropriateness and value ofthe change in theWorkaswellasto any change in the time to complete the Work under the circumstances.The failure to includea time extension in the Change Orderor in therequestfora change order shall result in a waiver ofanyextensionoftime due to the changein the work as refleaed in the ChangeOrder. 10.2 The CONSULTANT may authorize minor changes or alterations in theWorknot involving extracost and not inconsistent with the overall intent of the Contraa Documents without the need for a formal written Change Order provided the CONTRACTOR doesnotrequestadditbnaltimeor additional compensation.These maybeaccomplishedbya written Field Order.Ifthe CONTRACTOR believes thatanychangeor alteratbn authorizedbythe CONSULTANTS Field Order wouldentitlesthe CONTRACTOR to anincreasein the Contraa Priceor extension of Contraa Time,it must submita written notice of intent to demandaChange Order within twenty four(24)hoursofthe issuance ofthe Field Orderandsubmitawritten proposal for Change Orderwithinfour (4)days thereafter,otherwise the CONTRACTOR shall be deemed to have waived such claim. 10.3 Additional Work performed bytheCONTRACTORwithout authorization ofawritten Change Order shall notentitleitto an increase in theContraa Price or an extension oftheContraa Time,except in thecaseofan emergency as provided in paragraph 6.22 and exceptas provided in paragraph 10.2. 10.4 TheCITY will execute appropriate Change Orders prepared bytheCONSULTANT covering changes in the Work,tobe performed as provided in paragraph 4.4,and Work performed in an emergency as provided in paragraph 6.22 and anyother claim oftheCONTRACTORfora change inthe Contraa Time or the Contraa Price whichisapprovedbythe CONSULTANT. 10.5 Itisthe CONTRACTOR'S responsibility to notify its Surety of any changes affeaing the general scopeof the Work or change inthe Contraa Price or Contraa Timeandtheamountofthe applicable bonds shall beadjusted accordingly.The CONTRACTOR shall furnish proofofsuchanadjustmenttotheCITY beforecommencementofthe Change Order Work The Work shall bestoppeduntilthe CONTRACTOR provides suchproofof adjustment inthe Bond amount and anysuch delay shall be charged to the CONTRACTOR. ARTICLE 11 -CHANGE OF CONTRACT PRICE 11.1 The Contraa Price constitutesthetotal compensation payable tothe CONTRACTOR for Performing the Work.Allduties,responsibilities and obligations assigned toorundertakenbythe CONTRACTOR shallbeatits expense without changing the Contraa Price. 112 TheCITYmay,atanytime,withoutwrittennoticetothe sureties,bywrittenorder designated or indicated to bea Change Order,makeany change inthe Work withinthe general scope of the Contract, including but not limited to changes to or in: 112.1 Specifications (including drawings and designs); 112.2 Methodormanner of performance of the Work 11.2.3 CITY-furnished facilities,equipment,materials,services,orsite;or 112.4 Accelerationintheperformanceof the Work 11.3 Exceptas provided inthis seaion,or seaions referred to inthis seaion,noorder,statement,or condua ofthe CITY shall betreatedasa Change OrderorentitletheCONTRACTORtoan equitable adjustmentunless and untilthe change inthe Work is specifically andexpressly provided forinawritten ChangeOrder,oras otherwise providedinanother seaion of the Contraa Documents. 11.4 Whena Change Orderis issued bythe CONSULTANT and signed bythe CITY or issued bythe CITY in writing,the CONTRACTOR shall performthe Work evenifthe CONTRACTOR doesnot agree with thedollaramountoftheChangeOrder.Ifany Change Ordercausesan increase ordecreaseinthe CONTRACTOR'Scostof,orthetime required for,the performance ofanypartofthe Work underthis Contract,for whbh theCITY and the CONTRACTOR cannot reach a timely agreement,an equitable adjustment based onthecostoftheWork shall be made and theContraa modified accordingly. ©Thomas F.Pepe,2014 Page 60 of 73 4/28/2014 11.5 Ifthe CONTRACTOR intendstoasserta claim foranequitableadjustmentor contest theequitable adjustmentmadebytheCONSULTANT,it shall,withinten (10)calendar days afterreceipt of awritten ChangeOrder,submit to theCITYand CONSULTANT awrittennotice including astatementsetting forth the general natureandmonetary extent ofsuch claim forequitableadjustment,timeextension requested andsupportingdata.In determiningthecost of the ChangeOrder,the costs shall belimitedto those listed in seaion 11.7 and I 1.8. 11.6 No claimbythe CONTRACTOR foranequitable adjustment hereunder shall beallowedif not submitted inaccordancewiththis seaion orifassertedafter final paymentunderthis Contraa. 11.7 The value ofany Work coveredbya Change Orderorofany claim foran increase ordecreaseinthe Contraa Price shall bedeterminedinoneofthe following ways: 11.7.1 Bynegotiatedlumpsum. I 1.7.2 Onthe basis ofthe reasonable cost and savings that results from the change in the Work plus a mutually agreed uponfeetothe CONTRACTOR tocoveroverheadandprofitnottoexceed 15%.If the CONTRACTOR disagreeswith the CONSULTANTS determination of reasonable costs,the CONTRACT shall providealistof all costs together withbackupdocumentation 11.8 Thetermcostofthe Work means thesumof all direaextracosts necessarily incurred and paid bythe CONTRACTOR intheproper performance ofthe Change Order.Exceptasotherwisemaybe agreed to inwritingbyCITY,suchcosts shall beinamountsnohigherthanthose prevailing in Miami-Dade County and shall includeonly the followingitems: I 1.8.1 Payroll costsfor empbyees inthedireaemployof CONTRACTOR inthe performance ofthe Work described inthe Change Orderunder schedules ofjob classifications agreed uponbyCITY and CONTRACTOR.Payroll costsforemployeesnot empbyed full timeonthe Work shall be apportionedonthe basis oftheirtimespentonthe Work Payroll costs shall be limited to: salaries and wages,plus thecostsof fringe benefits which shall include social security contributions,unemployment,excise and payroll taxes,workers'compensation,healthand retirement benefits,sbk leave,vacation and holiday pay applicable thereto.Such empbyees shall include superintendents and foremen atthesite.Theexpensesof performing Work after regular working hours,on Sunday or legal holidays shall be included intheaboveonlyif authorized byCITY and provided itwasnotinanyway,whetherinwholeorinparttheresultof the fault oftheCONTRACTORdueto negligence oftheCONTRACTORorthoseaaingbyor throughhimordueinwholeorinpartto Defeaive Work ofthe CONTRACTOR. 11.8.2 Costof all materials and equipment furnished and incorporated inthe Work,including costsof transportationandstorage,andmanufaaurers'field servicesrequiredin conneaion therewith. The CONTRACTOR shall notifytheCITYof all cashdiscountsthatare available andofferthe CITYthe opportunity to deposit funds withtheCONTRACTORforthe payment foritemsthat offer a discount Cash discounts shall accrue to CONTRACTOR unless the CONTRACTOR fails totimelynotifytheCITYofthe discounts oriftheOWNER deposits funds with CONTRACTOR withwhichtomakepaymentsinwhichcasesthecashdiscounts shall accrueto theOWNER.Alltrade discounts,rebates and refunds,and all returns from sale of surplus materials and equipment shall accrue toOWNER,and CONTRACTOR shall makeprovisbnsso that they maybeobtained. 11.8.3 Payments made byCONTRACTORtothe Subcontraaors for Work performed by Subcontraaors.If required byCITY,CONTRACTOR shall obtaincompetitivebidsfrom Subcontraaors acceptable to himand shall deliversuchbids to CITY who willthen determine, withtheadviceof the CONSULTANT,which Bids willbeaccepted.No subcontraa shall bea cost plus contraa unless approved in writing bytheCITY.If aSubcontraa provides thatthe Subcontraaoristobe paid onthe basis ofCostof Work plus afee,thecostofthe Work shall be determined in accordance this seaion 11.8 andin such case the word "Subcontraaor"shall be substituted for the word "CONTRACTOR". 11.8.4 Rentals of all constructbn equipmentand machinery,except hand tools,andtheparts thereof whetherrentedfrom CONTRACTOR orothersin accordance with rental agreements approvedbyCITY with theadviceofCONSULTANT,andthecostsoftransportation,loading, unloading,installation,dismantlingandremoval thereof -allinaccordancewith terms of said ©Thomas F.Pepe,2014 Page 61 of 73 4/28/2014 rentalagreements.Therentalofanysuchequipment,machinery or parts shall ceasewhenthe use thereof isnolonger necessary for the Work I 1.8.5 Sales,useor similar taxesrelatedtothe Work,and forwhich CONTRACTOR is liable,imposed byany governmental authority. I 1.8.6 Paymentsandfeesforpermitsand licenses.Costsforpermitsand licenses mustbeshownasa separate item. I 1.8.7 The cost ofutilities,fuelandsanitary facilities atthesite. I 1.8.8 Minorexpensessuchas telegrams,long distance telephone calls,telephoneserviceatthesite, expressage andsimilar petty cash items in conneaion with the Work I 1.8.9 Cost of premiumsfor additional Bondsand insurance requiredsolelybecauseof changes inthe Work,not to exceed two percent (2%)of theincreaseinthe Cost of the Work 11.9 ThetermCost of the Work shall NOT includeanyofthe following: I 1.9.1 Payroll costsand other compensationof CONTRACTOR'S officers,executives,principals (of partnershipandsoleproprietorships),generalmanagers,engineers,architects,estimators, lawyers,agents,expediters,timekeepers,clerksand other personnelemployedby CONTRACTOR whether at the siteorinits principal orabranchofficeforgeneral administration of the Work andnot specifically includedin the schedulereferred to in Subparagraph I 1.5. I 1.9.2 Expensesof CONTRACTOR'S principal andbranchoffices other thanitsofficeat the site. I 1.9.3 Anypartof CONTRACTOR'S capital expenses,including interest on CONTRACTOR'S capital employedfor the Work andcharges against CONTRACTOR fordelinquentpayments. I 1.9.4 Cost of premiumsfor all bondsandforallinsurancepolicies whether ornot CONTRACTOR is requiredby the Contraa Documents topurchaseandmaintain the same (except as otherwise providedinSubparagraph 11.8.9). 11.9.5 Costsduetothe negligence of CONTRACTOR,any Subcontraaor,or anyone direaly or indirealy employedbyany of them orfor whose actsany of them maybe liable,including but not limitedto,the correaion of defeaive work,disposal of materialsor equipment wrongly supplied andmakinggoodanydamage to property. I 1.9.6 Other overheadorgeneral expense costsofanykindand the costs of anyitem not specifically and expressly includedin Paragraph 11.8. 11.10 The CONTRACTOR'S feewhich shall beallowedto CONTRACTOR foritsoverheadandprofit shall be determined as follows: I 1.10.1 Amutuallyacceptable firm fixed price;orifnonecanbeagreedupon. 11.10.2 Amutuallyacceptablefixedpercentage(not to exceed 15%). 11.11 The amount of credit to beallowedby CONTRACTOR to OWNER foranysuchchangewhichresultsin a net decrease in cost will be the amount of the aaual net decrease in costs calculated in the same manner asprovidedin 11.8.When both additionsandcreditsareinvolvedinany one change,the net shallbe computed to include overhead and profit,identifiedseparately,for both additionsand credit, provided however,the CONTRACTOR shall not beentitledtoclaimlostprofitsforany Work not performed. ARTICLE 12 •TIME FOR COMPLETION.LIQUIDATED DAMAGES AND CHANGE OF THE CONTRACT TIME 12.1 Timeisoftheessencetothis contraa andthedateof beginning andthetimeforcompletion of the Work areessentialconditionsof the Contract Therefore,the Work shall becommencedon the date specified in the Notice to Proceedandcompletedwithinthetime specified forcompletionofthe work 12.2 The CONTRACTOR shall proceedwiththe Work atsuchrate of progress to ensure full completion within the Contraa Time.Itis expressly understood andagreed,byand between the CONTRACTOR and the OWNER,that the Contraa Timefor the completion of the Work describedhereinisa reasonable time,takinginto consideration the averageclimaticand economic conditions and other faaors prevailing in the locality of the Work No extension of time shall begranteddueconditionsthat the Contraaor knew oforshouldhaveknown of before bidding onthe projea ordue to inclementweather, except as provided in seaion 127. ©Thomas F.Pepe,2014 Page 62 of 73 4/28/2014 12.3 If the CONTRACTOR shall fail to completethe Work withinthe Contraa Time,or extension oftime granted bythe CITY,thentheCONTRACTOR shall pay totheOWNERtheamountof liquidated damages as specified inthe Contraa Documents foreach calendar day afterthe scheduled datefor completion as adjusted bywritten Change Ordersthatextendedthe completbn date. 12.3.1 Theseamountsarenot penalties butare liquidated damages incurred bytheOWNERforits inability to obtain full useofthe Projea.Liquidated damages arehereby fixed and agreed upon betweenthe parties,recognizing the impossibility of precisely ascertaining theamountof damages that will be sustained asa consequence of such delay,and both parties desiring to obviateanyquestionordispute concerning theamountof said damages and thecostand effea ofthe failure ofCONTRACTORto complete theContraaontime.The above-stated liquidated damages shall apply separately to each phase oftheProjeafor which atimefor completion is given. 12.3.2 CITYis authorized to dedua the liquidated damages frommoniesdueto CONTRACTOR for the Work under this Contract 12.4 TheContraa Time may onlybe changed bya written Change Order.Any claim for an extension in the CONTRACT TIMEshall be based on written notice delivered to the CITY and CONSULTANT within five (5)business days ofthe occurrence oftheevent giving rise tothe claim and stating the general nature of the claim including supporting data.All claims foradjustmentinthe Contraa Time shall be evaluated and recommended bythe CONSULTANT,with final approval bythe CITY'S representative.Any change intheContraaTime resulting from any such claim shall be incorporated in awritten Change Order. 12.5 All time limits stated in the Contraa Documents are of the essence of the Contract 12.6 No claim for delay shall be allowed because of failure to furnish Drawings before the expiratbn of fourteen (14)calendar days after demand has been made in writing tothe CONSULTANT for such Drawings.Furthermore,there shall beno monetary compensation for such delay and the CONTRACTOR'S sole remedy shall be an extension oftime for the period of delay. 12.7 Extensions totheContraaTime for delays caused bytheeffeasof inclement weather shall notbe granted unless the weather was unusual for South Florida and could not have been anticipated,the abnormal weatherisdocumentedbyrecordsfromthe national weather service andthe abnormal weather is documented to have hadasubstantial affected on the construaion schedule. 12.8 No Damages for Delay:The CONTRACTOR agrees that he shall not have any claim for damages due to delay unless the delay exceeds 6 months,whether individually or cumulatively,and then the damages shall be limited to increased costof materials thatwere unanticipated and that would not have been incurred but for the delay.Other than as set forth above,the only remedy for any delay shall be limited to an extension oftime as provided for in Seaion 12.4 which shall bethe sole and exclusive remedy for such resultingdelay.Other thanas set forthabove,CONTRACTOR shall not be entitled to anincreasein the Contraa Price or payment or compensatbn of any kind from OWNER for direct,indirea,consequential, impaa orothercosts,expensesor damages,including butnot limited to,costsof acceleration or inefficiency,overhead or bst profits,arising because of delay,disruption,interference or hindrance from anycausewhatsoever,whether such delay,disruption,interferenceor hindrance be reasonable or unreasonable,foreseeable or unforeseeable,or avoidable or unavoidable. 12.9 The CONTRACTOR waives all claims that are not presented tothe City in writing onor before the 21st day following thedateoftheeventuponwhichthe claim is based. ARTICLE 13 -GUARANTEE 13.1 The CONTRACTOR shall guarantee and unconditionally warrant through eitherthe manufaaurer orthe CONTRACTOR direaly,all materials and equipment furnished and Work performed for patent Defeaive Work fora period ofone(I)year from thedateof Final Acceptance as indicated inthe CONSULTANT Letterof Recommendation of Acceptance orfromthedatewhenthe defea wasfirst observable,whichever is rater.The same guarantee and unconditional warranty shall beextendfor five (5)years fromthedateof Final Acceptanceas indicated intheCONSULTANTLetterof Recommendation of Acceptance for latent Defeaive Work TheCITY will give noticeof observed defectswith reasonable promptness.In theeventthatthe CONTRACTOR should fail tocommenceto correa suchDefeaive Work withinten (10)calendar days after having received writtennoticeofthe ©Thomas F.Pepe,2014 Page 63 of 73 4/28/2014 defect,orshouldthe CONTRACTOR commencethe correaive work,but fail to prosecutethe correa'rve work continuouslyand diligently andin accordance withthe Contraa Documents,applicable law,rulesandregulations,the CITY maydeclarean event of default,terminate the Contraa in whole or inpartandcause the Defeaive Work to be removed or corrected and to complete the Work atthe CONTRACTOR'S expense,and the CITY shall chargethe CONTRACTOR thecost thereby incurred. The Performance Bond shall remainin full forceand effea throughthe guarantee period. 13.2 The specific warrantyperiods listed inthe Contraa Documents,ifdifferentfromthe period oftime listed in Seaion 13.1,shall take precedence over Seaion 13.1. 13.3 CONTRACTOR shall aa asagent,ona limited basis forthe OWNER,attheCITY'soption,solelyfor the follow-up concerningwarrantycompliancefor all itemsundermanufacturer'sWarranty/Guarantee andfor the purpose of completingallformsfor Warranty/Guarantee coverage under this Contraa 13.4 In caseofdefaultbythe CONTRACTOR,theCityofSouth Miami mayprocurethearticlesorservices from other sources andhold the CONTRACTOR responsibleforany excess costs occasionedor incurred thereby. 13.5 TheCITYmaywithholdacceptanceof,or rejea itemswhicharefounduponexamination,not to meet the specification requirements.Upon written notification of rejeaion,itemsshallbe removed withinfive (5)businessdaysbythe CONTRACTOR athisownexpenseandredeliveredathisexpense.Rejeaed goodsleftlongerthan thirty (30)calendardays shall beregardedasabandonedandtheChyshallhave the righttodispose of them asits own propertyandthe CONTRACTOR thereby waivesanyclaim to the goodor to compensation of anykind.Rejeaion for non-conformance or failure to meet delivery schedulesmay result in the Contraa beingfoundin defaultARTICLE 14-PAYMENTS AND COMPLETION Payments to Contraaor 14.1 The Contraaor shall not be entitled to any money forany work performed before the issuance of a Notice to Proceedon the formdescribedin the Contraa Documents and the issuanceby the City of a "purchase order",or any other document,does not andshall not authorize the commencement of the Work At least ten (10)calendardaysbeforeeachprogresspayment falls due(but not more often than once a month),the CONTRACTOR shall submit to the CONSULTANT a partial payment estimate filled out andsignedby the CONTRACTOR covering the Work performed during the period covered by the partial payment estimate and supported bysuchdataas the CONSULTANT mayreasonablyrequire.All progress payment applications after the firstprogress payment shallbeaccompaniedby partial releases of lien executed byall persons,firmsand corporations who havefurnishedlabor,services or materials incorporated into the work during the period of timeforwhich the previousprogresspaymentwasmade, releasingsuchclaimsandlien rights,ifany,of those persons. Ifpaymentis requested on the basis of materialsand equipment not incorporated in the Work but deliveredandsuitably stored at or nearsite,the partial payment estimate shallalsobeaccompaniedby such supporting data,satisfaaory to the CITY,whichestablishes the OWNER'S title to the materialand equipment aswellas certificates of insuranceprovidingcoveragefor 100%of the value of saidmaterial and equipment covering the materialand equipment from all casualtiesaswellastheft,vandalism,fireand flood.The CONTRACTOR shallreplaceatits expense any stored materialspaidforwhichare either damaged or stolen before installation.The CONSULTANT willwithin ten (10)calendardays after receipt of eachpartial payment estimate,either certifyinginwritingits.approval of payment and present the partial payment estimate to the OWNER,or return the partial payment estimate to the CONTRACTOR,indicatinginwritinghisreasonsforrefusing to approve payment In the latter case,the CONTRACTOR maymake the necessary correaions andresubmitthe partial paymentestimate.The OWNER,willwithinthirty(30)calendardaysofpresentation to it of anyapproved partial payment estimate,pay the CONTRACTOR aprogresspaymentonthebasis of the approvedpartialpayment estimate.The OWNER shallretainten (10%)percent of the amount of eachpaymentuntil Final Completion and Acceptance of all Work covered by the Contraa Documents.Any interest earnedon the retainageshall accrue to the benefit of the OWNER. 14.2 The CONTRACTOR,beforeit shall receive final payment,shall deliverto the CITYa Contraaor's Final Payment Affidavit as set forth in the Florida Construaion Lien Statute aswellas final releases of lien executed by all persons who have performed orfurnishedlabor,services or materials,direaly or indirealy,whichwasincorporatedintothe Work.Ifanypersonrefusestoprovidesuchareleaseor ©Thomas F.Pepe,2014 Page 64 of 73 4/28/2014 providesaconditionalrelease,theCITY shall havetheright to issueajointcheckmade payable tothe CONTRACTOR andsuch person. Contraaor's Warranty of Title 14.3 The CONTRACTOR warrantsandguaranteesthattitle to all Work,materialsand equipment covered by anApplicationforPayment whether the Work,material or equipment isincorporatedinthe Projea or not,shall havepassed to the OWNER priorto the makingoftheApplicationfor Payment,freeanddear of all liens,claims,security interest andencumbrances(hereafterin these GeneralConditionsreferredto as "Liens");andthatno Work,materialsorequipment,coveredbyanApplicationforPayment,willhave beenacquiredbythe CONTRACTOR orbyany other personperformingthe Work atthesite or furnishingmaterialsand equipment for the Project,under or pursuant to an agreement under whichan interest therein or encumbrance thereon isretainedby the seller or otherwise imposedby the CONTRACTOR or such other person. Approval of Payment 14.4 The CONSULTANTS approval of anypayment requested inanApplicationforPayment shall constitute a representation byhim to the CITY,basedon the CONSULTANTS onsite observations of the Work in progressasan experienced professionalandonhis review of the ApplicationforPaymentand supporting data,that the Work has progressed to the pointindicatedin the ApplicationforPayment;that,to the best his knowledge,information andbelief,the quality of the Work isinaccordance with the Contraa Documents (subject to anevaluation of the Work asa funaioning Projea uponsubstantial completion as definedin Article I,to the results of any subsequent tests calledforin the Contraa Documents andany qualifications stated inhisapproval);and that the CONTRACTOR is entitled to payment of the amount approved.However,byapproving,anysuchpayment the CONSULTANT shall not thereby be deemed to have represented that hemade exhaustive or continuous on-site observations to check the quality or the quantity of the Work,or that hehasreviewed the means,methods,techniques,sequences and procedures of construaion or that hehadmadeany examinatbn to ascertain how or for what purpose the CONTRACTOR hasused the moneys paid or to be paid to himonaccountof the Contraa Price,or that title to any Work,materials,or equipment haspassed to the OWNER freeandclear of anyliens.145 The CONTRACTOR shallmake the followingcertificationoneach request for payment "Iherebycertifythatthelaborandmaterialslistedonthis request forpaymenthavebeenusedinthe construaion of this Work andthatallmaterialsincludedinthis request forpaymentand not yet incorporatedinto the construaion are now on the site or stored atanapprovedlocation,andpayment receivedfrom the last request forpaymenthasbeenused to makepayments to all his Subcontractors andsuppliers,except for the amounts listed below beside the names of the persons who performed work or suppliedmaterials". In the event that the CONTRACTOR withholdspaymentfroma Subcontraaor or Supplier,the same amount of money shallbewithheldfrom the CONTRACTOR'S paymentuntiltheissueisresolvedby written agreement between them and then ajoint check shallbe made payable to the person in question and the CONTRACTOR inaccordancewith the settlement agreement,otherwise the money shallbe heldby the OWNER untila judgment is entered infavor of the CONTRACTOR or the person,inwhich case the money shallbe paid accordingwithsaid judgment -Nothing containedhereinshallindicatean intent to benefit anythird persons who are not signatories to the Contract 14.6 The CONSULTANT may refuse toapprove the whole or anypart of anypaymentif,initsopinion,itis unable to makesuch representations to the OWNER asrequiredthis Seaion 14.Itmayalsorefuse to approveany payment,or "it mayvoidanypriorpaymentapplication certificatbn because of subsequently discovered evidence or the results of subsequent inspection or tests to such extent asmaybe necessary initsopinion to protea the OWNER fromlossbecause: 14.6.1 of Defeaive Work,or completed Work hasbeendamagedrequiring correaion orreplacement, 14.6.2 the Work forwhichpaymentisrequestedcannotbeverified, 14.6.3 claims of Lienshave been filed or received,or there is reasonable evidence indicating the probable filing or receipt thereof, 14.6.4 the Contraa Price has been reduced because of modifications, 14.6.5 the CITYhas correa Defeaive Work or completed the Work inaccordance with Article 13. ©Thomas F.Pepe,2014 Page65 of 73 4/28/2014 14.6.6 of unsatisfeaory prosecution oftheWork,including failure to clean up as required by paragraphs 6.29 and 6.30, 14.6.7 ofpersistent failure tocooperatewithothercontraaorsontheProjea and persistent failure to carry out the Work in accordance with the Contraa Documents, 14.6.8 of liquidated damages payable bythe CONTRACTOR,or 14.6.9 of any other violationof,or failure tocomplywithprovisionsofthe Contraa Documents. 14.7 Prior to Final Acceptance theOWNER,withthe approval ofthe CONSULTANT,mayuseany completed or substantially completedportionsofthe Work providedsuchusedoes not interferewiththe CONTRACTOR'S completion oftheWork.Such use shall notconstitutean acceptance of such portions of the Work 14.8 TheCITY shall havethe right toenterthe premises forthe purpose of doing Work not covered bythe Contraa Documents.Thisprovision shall notbeconstruedas relieving the CONTRACTOR ofthesole responsibility forthecareand proteabn oftheWork,orthe restoration ofany damaged Work except suchasmaybecausedbyagentsoremployeesofthe OWNER. 14.9 Upon completion andacceptance of the Work the CONSULTANT shallissueaCertificateattached to the Final Application forPaymentthatthe Work hasbeenacceptedbyitunder the conditionsofthe Contraa Documents.Theentire balance found tobeduethe CONTRACTOR,including theretained percentages,but except suchsumsasmaybe lawfully retained bythe OWNER,shall be paid to the CONTRACTOR withinthirty(30)calendar days ofcompletionandacceptanceofthe Work 14.10 UponThe awarded CONTRACTOR will be strongly encouraged toregisterasan ePayables Vendorwith theOwner.The Bank ofAmerica ePayables Solution isanautomated card paymentprocessthat shifts accounts payable disbursements to corporate purchasing cards.ePayables,streamlinetheprocessof makingpaymentstoyourorganizationgoingforward,theCitywillprovidethe CONTRACTOR witha creditcardaccountnumber to keepon file.Thiscardhasuniquesecurityfeatures,with$0of available funds untilan invoice is approved forpaymentAfteran invoice hasreceivedproper and complete approval,an electronic remittance advicewillbe sent viae-mail,or fax,which notifies the CONTRACTOR that the funds have been transferred in to the account linked to the card for the amount listedon the invoiceand/orremittance email.Please refertothe ePayables Questions&Answers Form contained inthis RFP or contaa theOWNER'S Finance departmentat (305)663-6343 withanyquestions. ARTICLE 19 •PROIECT RECORDS 19.1 TheCITY shall have right toinspea and copy during regular business hours at OWNER'S expense,the books and records and accounts of CONTRACTOR which relate in any waytothe Project,and to any claim for additional compensationmadeby CONTRACTOR,and to condua anaudit of the financial and accountingrecords of CONTRACTOR whichrelateto the Project CONTRACTOR shall retainand make available to CITY allsuch books and records and accounts,financial or otherwise,whichrelate to theProjea and to any claim fora period ofthree (3)years following final completion oftheProjea During theProjea and thethree (3)year period following final completion ofthe Project, CONTRACTOR shall provide CITY access toitsbooks and records upon five (5)business day's written notice. 192 CONTRACTOR and all ofits subcontraaors are required to comply withthe public records law (s.l 19.0701)whileprovidingservicesonbehalf of the OWNER andthe CONTRACTOR,undersuch conditions,shall incorporate this paragraph in all ofits subcontracts forthisProjectCONTRACTOR and itssubcontraaorsare specifically required to:(a)Keep and maintain public records that ordinarily and necessarily would be required bythe public agency in orderto perform the service;(b)Provide the public with access to public records onthe same terms and conditions thatthe public agency would provide the records and atacostthatdoesnotexceedthecost provided inthis chapter orasotherwise provided by law;(c)Ensure that public records thatareexemptor confidential and exempt from public records disclosure requirements arenot disclosed exceptas authorized by law;and (d)Meet all requirementsfor retaining public recordsand transfer,atnocost,tothe publb agency all public records in possession ofthe contraaor upon termination ofthecontraaanddestroyany duplicate public records thatare .exempt or confidential and exempt from public records disclosure requirements.All records stored electronically mustbe provided tothe public agency ina format thatis compatible withthe information technologysystemsofthe public agency. 19.3 If CONTRACCTORorits subcontraaor doesnot comply withapublb records request,theCITY shall havethe right toenforcethiscontraa provision by specific performance and thepersonwho violates this provisfon shall be liable toOWNERforitscostsof enforcing this provisfon,including attorneyfees incurred in all proceedings,whether administrative or civil court and in all appellate proceedings. ARTICLE 20 -SEVERABILITY 20.1 If any provision oftheContraaorthe applicatbn thereoftoany person or situation shall toany extent, be held invalid or unenforceable,the remainder oftheContraa,and the application ofsuch provisions to persons or situations other than those as to which itshall have been heldinvalid or unenforceable shall not be affeaed thereby,andshall continue in full forceand effea,andbe enforced to the fullest extent permitted bylaw.
