Res No 158-14-14252RESOLUTIONNO.:158-14-14252 A Resolution authorizing the City Manager to make an emergency purchase of a security access control system forCityHall and Police Department facilities foran amount not to exceed $16,500 from Alfi Electronics,Inc.asa sole source procurement. WHEREAS,the Cityutilizesan outdated security access control system originally installed during the mid-1990's and subsequently upgraded in2007forCity Hall andPolice Department facilities;and WHEREAS,Alfi Electronics,Inc.was selected and approved through abid process to maintain the security access control equipment and other related security components under a three-year maintenance agreement expiring March 2015;and WHEREAS,the maintenance agreement with Alfi Electronics,Inc.will be voided if another entity or company installs or performs work on the security access control system,and related security equipment,which must be maintained to ensure the security systems are in good working order at CityHall and the Police Department facilities;and WHEREAS,the security access control system is currently out of service for the CityHall door openings limiting the Police Departments ability to override the timers for access to City Hall for public meetings scheduled after normal business and any holiday programming schedules;and WHEREAS,the Police Department is unable to quickly lock down CityHall remotely should an emergency situation arise such asan active shooter scenario on or near CityHall property thereby exposing staff and visitors to a potential emergency situation;and WHEREAS,the City Manager is authorized to declare an emergency for the purchase and installation of a security access control system since the Police Department is unable to adequately secure CityHalluntil the new security system is installed. NOW,THEREFORE,BEIT RESOLVED THE MAYOR AND CITY COMMISSION OFTHECITY OF SOUTH MIAMI,FLORIDA: Section 1.The recitals set forth above are true and correct and they are hereby adopted by reference.TheCity Manager is hereby authorized to purchase and install a security access control system forCityHall and Police Department facilities asa sole source procurement from Alfi Electronics,Inc.,foran amount nottoexceed $16,500 tobepaidfromand charged to account no.001-1910-521-5205 "Computer Equipment."A copy of the proposal from Alfi Electronics,Inc.is attached. Acomponentfromthecurrentsystemwasdamagedduetoalightning strikeandisnotcoveredunderthewarrantyprovidedinthemaintenance agreementfromdamageresultingfrom"Acts of God."Repairingthe damaged component,estimated at $6,000,isnot recommended duetothe age of the equipment,scarcity ofreplacementparts,andtheinabilityto expandthesystemforfuturedooropenings. In addition,acompetitivesolicitationinanon-emergencyscenario,would exceedthe$25,000 threshold fora formal RFPprocessforthe purchase of thesystemanda maintenance agreementand,amulti-year maintenance agreement requires 10-day advertising fortheaward recommendation.It is estimated thatprocesscouldtaketwotothreemonthsforanaward recommendation,therebyexposingstaffandvisitorsto potential security and emergency situations. D.Beforestarting the Work,the FIRM shall deliver to the CITY and FIRM certificates of such insurance,acceptable to the CITY,aswellas the insurance binder,if one isissued,the insurance policy,including the declaration page and all applicable endorsementsandprovide the name,addressandtelephonenumberofthe insurance agentorbrokerthroughwhom the policy wasobtained.Theinsurer shall berated A.VII or better perA.M.Best'sKey Rating Guide,latest edition and authorized to issueinsurancein the State of Florida.All insurance policies mustbewrittenonforms approved bytheStateof Florida andtheymust remain in full forceandeffectforthe duration ofthecontractperiodwiththeCITY.The FIRM maybe required bythe CITY,atitssole discretion,to provide a "certified copy"of the Policy (as defined in Article I ofthis document)which shall include the declaration page and all required endorsements.In addition,the FIRM shall deliver,atthetimeof delivery of the insurancecertificate,the following endorsements: (1)a policy provision oranendorsementwith substantially similar provisions as follows: "TheCityofSouth Miami isan additional insured.Theinsurer shall pay all sums thattheCityofSouth Miami becomes legally obligated to pay as damages becauseof'bodily injury",'property damage',or "personal and advertising injury"andit will providetotheCity all ofthecoveragethatis typically providedunderthe standard Florida approvedformsforcommercial general liability coverageAandcoverage B"; (2)(b)a policy provision oranendorsementwith substantially similar provisions as follows: "This policy shall notbe cancelled (including cancellation fornon-paymentof premium),without first giving theCityofSouth Miami ten (10)days advanced writtennoticeoftheintentto cancel or terminate the policyforanyreason." 6.1 Indemnification A.The FIRM acceptsand voluntarily incurs all risksofany injuries,damages,orharmwhich mightariseduringthe work oreventthatis occurring ontheCITY'spropertyduetothe negligenceor other fault of the FIRM oranyoneactingthroughoronbehalf of the FIRM. B.The FIRM shall indemnify,defend,saveandholdCITY,its officers,affiliates,employees, successorsand assigns,harmlessfromanyand all damages,claims,liability,losses,claims, demands,suits,fines,judgmentsorcostandexpenses,including reasonable attorney's fees, paralegal feesand investigative costs incidental theretoandincurredpriorto,during or following any litigation,mediation,arbitration andat all appellate levels,whichmaybe sufferedby,or accruedagainst charged toorrecoverablefrom the CityofSouth Miami,its officers,affiliates,employees,successorsand assigns,byreasonofanycausesofactionsor claim ofanykindor nature,including claims for injury to,ordeathofanypersonor personsandforthelossor damage toanyproperty arising out of a negligent error, omission,misconduct or anygrossnegligence,intentionalact or harmful conduct of the FIRM,itscontractor/subcontractororanyoftheir officers,directors,agents, representatives,employees,or assigns,oranyone acting throughoronbehalf of anyof them,arising outofthis Agreement incident to it or resulting fromthe performance or non-performance of the FIRM's obligationsunderthisAGREEMENTorwhicharises out of orisconcerningtheuseofCITYpropertyortheservice,operationorperformanceofany work thatisbeingperformedfortheCITYorofanyeventthatis occurring ontheCITY's property. C.The FIRM shall pay all claims,losses and expensesofany kind ornaturewhatsoever,in connection therewith,including the expense orloss of the CITY and/oritsaffectedofficers, affiliates,employees,successorsand assigns,including theirattorney's fees,inthedefense ofany action in law orequity brought against them and arising fromthe negligent error, omission,oractofthe FIRM,its Sub-Contractor oranyoftheir agents,representatives, employees,or assigns,and/or arising outof,or incident to,this Agreement or incident to or resultingfrom the performance or non-performance of the FIRM's obligations under this AGREEMENT.. The FIRM agreesandrecognizesthatneither the CITYnoritsofficers,affiliates,employees, successors andassigns shall beheld liable or responsibleforanyclaims,including the costs and expenses of defendingsuchclaimswhichmayresultfrom or arise out of actions or omissions of the FIRM,its contractor/subcontractor or any of their agents,representatives, employees,or assigns,oranyoneactingthroughoronbehalf of the them,and arising out oforconcerningthe work or event thatisoccurringontheCITY'sproperty.In reviewing, approving or rejecting any submissions or acts of the FIRM,CITY innoway assumes or sharesresponsibility or liability for the acts or omissions of the FIRM,its contractor/subcontractor oranyoftheiragents,representatives,employees,or assigns,or anyone acting through or onbehalf of them. The FIRM has the duty to provideadefensewithan attorney or lawfirmapprovedbythe City of South Miami,whichapprovalwillnotbeunreasonablywithheld.
