A Resolution authorizing the City Manager to make an emergency purchase of a
security access control system forCityHall and Police Department facilities foran
amount not to exceed $16,500 from Alfi Electronics,Inc.asa sole source
procurement.
WHEREAS,the Cityutilizesan outdated security access control system originally
installed during the mid-1990's and subsequently upgraded in2007forCity Hall andPolice
Department facilities;and
WHEREAS,Alfi Electronics,Inc.was selected and approved through abid process to
maintain the security access control equipment and other related security components under a
three-year maintenance agreement expiring March 2015;and
WHEREAS,the maintenance agreement with Alfi Electronics,Inc.will be voided if
another entity or company installs or performs work on the security access control system,and
related security equipment,which must be maintained to ensure the security systems are in
good working order at CityHall and the Police Department facilities;and
WHEREAS,the security access control system is currently out of service for the CityHall
door openings limiting the Police Departments ability to override the timers for access to City
Hall for public meetings scheduled after normal business and any holiday programming
schedules;and
WHEREAS,the Police Department is unable to quickly lock down CityHall remotely
should an emergency situation arise such asan active shooter scenario on or near CityHall
property thereby exposing staff and visitors to a potential emergency situation;and
WHEREAS,the City Manager is authorized to declare an emergency for the purchase
and installation of a security access control system since the Police Department is unable to
adequately secure CityHalluntil the new security system is installed.
NOW,THEREFORE,BEIT RESOLVED THE MAYOR AND CITY COMMISSION OFTHECITY
OF SOUTH MIAMI,FLORIDA:
Section 1.The recitals set forth above are true and correct and they are hereby
adopted by reference.TheCity Manager is hereby authorized to purchase and install a security
access control system forCityHall and Police Department facilities asa sole source procurement
from Alfi Electronics,Inc.,foran amount nottoexceed $16,500 tobepaidfromand charged to
account no.001-1910-521-5205 "Computer Equipment."A copy of the proposal from Alfi
Electronics,Inc.is attached.
Section 2.Severability.If any section,clause,sentence,or phrase of this resolution is
forany reason heldinvalidor unconstitutional bya court of competent jurisdiction,thisholding
shall not affect the validityof the remaining portions of this resolution.
Section 3.Effective Date:This resolution shall take effect immediately upon
enactment.

Background:
A Resolution authorizing the City Manager to make an emergency
purchase of a security access control system for City Hall and Police
Department facilities for an amount not to exceed $16,500 from Alfi
Electronics,Inc.,asa sole source procurement.
The current security accesscontrolsystemusedforCityHallandPolice
department facilitiesisoutdatedandtheabilityforPolicetooperateand
override timersthatlimitbuildingaccessiscurrentlyout of service.
Timers cannotbeoverriddenduetocriticalcomponentsthatarenolonger
manufactured andcanonlyberepairedoff-shore.Thesystemwas
purchased during the mid-1990's and upgraded in2007.
WhilePoliceisunabletooverridetimersforaccesstoCityHallforpublic
meetingsandholiday schedules;more importantly,theyareunabletoput
CityHallinalockdownmodeshouldanemergencysuchasanactive
shooterscenarioarise.Thereiscurrentlynocontrolonsiteforanysystem
emergency overridestherebyexposing staff andvisitorstopotential
emergency situations.
AlfiElectronics,Inc.wasselectedandapprovedthroughabidprocessto
maintaintheequipmentandotherrelatedsecuritycomponentsundera
three-year maintenance agreement authorized under Resolution 46-12-
13603,with the agreement expiringMarch 2015.
Acomponentfromthecurrentsystemwasdamagedduetoalightning
strikeandisnotcoveredunderthewarrantyprovidedinthemaintenance
agreementfromdamageresultingfrom"Acts of God."Repairingthe
damaged component,estimated at $6,000,isnot recommended duetothe
age of the equipment,scarcity ofreplacementparts,andtheinabilityto
expandthesystemforfuturedooropenings.
In addition,acompetitivesolicitationinanon-emergencyscenario,would
exceedthe$25,000 threshold fora formal RFPprocessforthe purchase of
thesystemanda maintenance agreementand,amulti-year maintenance
agreement requires 10-day advertising fortheaward recommendation.It
is estimated thatprocesscouldtaketwotothreemonthsforanaward
recommendation,therebyexposingstaffandvisitorsto potential security
and emergency situations.

Agreement between ALFI ELECTRONICS,INC..herein known as
"Company"and THE CITY OF SOPTH MIAMI,POLICE DEPARTMENT
herein known as "Subscriber".This agreement will encompass the
equipment throughout the Police Department andCityHall Building located at
6130 Sunset Drive,South Miami,Florida.
The COMPANY will provide the SUBSCRIBER maintenance service for the
Access Control System andCCTVSystem.The COMPANY will provide
materials and labor necessary tomaintain the system.Service will be
provided within 24 HOURS of the service call,MondaythruFriday,8:30am
thru5:00pm.PRIORITY for EMERGENCY SERVICESwill be provided.The
Company will provide a24Hour emergency telephone number in the event
of an emergency.Service for maintenance will include,but limited to
checking all readers,cleaning read heads where needed,checking all
electric locks and adjusting where needed.Service Schedule will be ata
frequency of at least every six months.
MAINTENANCE CHARGES:The Subscriber agreesto pay the Company
the sum of $14,400FOR3years.Billingprocedure:$1,200.00 per billed
quarter following the installation of the Access Control System and CCTV
System.($1,200.00x12 quarters forthe year =$14,400.00)All payments are
duebythe 18th ofthe first month for that quarter.For example...(Jan.-Mar.
billing period)-payment must be received by the 15th dayof January.
WARANTY!Any material and labor required to repair or replace defective
equipment only will be supplied free of charge for the term of this
agreement.
The company will provide a "CERTIFICATE OF INSURANCE"with the carrier
acceptable to The City of SouthMiamiPolice Department,providing liability
coverage of $1,000,000.00.
CONDITIONS AND SYSTEMS NOT COVERED BY WARRANTY:Damage
resulting from accidents,actsofGod,alterations,misuse,tampering,abuse,
electrical components or other security system

unauthorized repairs,failuretothe Subscriber to properly follow
operating instructions provided by the Company at the time of installation or
atalaterdate,trouble due to interruption of commercial power,telephone
lines or equipment,or batteries,lightning damage is specifically not covered
by this warranty.
This warranty will no longer be valid or enforceable for said eqiiipment if
serviced by another other than the Company,or if other security system
components not provided by the Company are installed or used in
conjunction with said equipment provided under this contract.
DISCLAIMERS Company does not represent or warrant the ACCESS
CONTROL SYSTEM AND CCTV SYSTEM may not be compromised or
circumvented,or that the system will prevent any loss by burglary,hold up,
or otherwise,or that the system in all cases provided the protection for which
it is installed or intended.
Theinitialtermofthis agreement shall begin on March 2012 foer signed
agreement)andwill end on March 201S.The City of South Miami Police
Department may elect to renew this agreement for an additional ONE (1)
YEAR term(s)by giving Alfi Electronics.Inc.notice of its intent to renew
within THIRTY (301 DAYS of the expiration of the then current term.Either
party may cancel this agreement at any time by giving the other party
THIRTY (301 DAYS'written notice.
Upon acceptance of this service agreement,Alfi Electronics,Inc.will perform
a complete inspection of all system components and parts to be covered
under this agreement at no cost to The City of South Miami Police Department.
Any components found not to meet manufacturer's specifications and/or not
functioning properly will be repaired or replaced at the expense of The City
Of South Miami Police Department.This agreement will begin only after all
repairs or replacements are complete,or the nonfunctioning equipment is
noted as such and not included with this agreement.

AGREEMENT FOR SECURITY ACCESS CONTROL SYSTFM
THIS AGREEMENT,entered into this 6 day of August.2014.by the CITY OF SOUTH
MIAMI through its City Manager,both of whom shall be hereinafter referred to as the "CITY"
where applicable;and Alfi Electronics.Inc.with an office and principal place of business
l0Cated at 285 NE 185 Street.Suite #15,Miami.FL 3317Q (hereinafter called the
"CONTRACTOR").
WITNESSETH:
WHEREAS,the CITY is in needofa Security Access Control System:and
WHEREAS,the CITY desires to retain the CONTRACTOR to provide the required good
and/or services based on the CONTRACTOR'S representations that it is qualified and capable of
providing said goods and/or services in a professional and timely manner and in accordance
withthe CITY's goalsandrequirements;and
WHEREAS,the CONTRACTOR has agreed to provide the required goods and/or services
in accordance with the terms andconditions set forthherein.
NOW,THEREFORE,in consideration ofthe mutual covenants and agreements herein
contained,the parties agree as follows:
1)ENGAGEMENT OF CONTRACTOR:Based on the representations ofthe

3)Date of Commencement:The Contractor shall commence the performance under
this Contract on a date to be specified in a Notice to Proceed,or Purchase Order ("Work
Commencement Date"),and shall complete the performance hereunder within TBD after
Purchase Order is issued,days or the length of time set forth in the Contract Documents,
whicheveristhe shorter periodoftime.Timeisoftheessence.
4)Primary Contacts:The person in charge of administering this Agreement on behalf
of the CITY is the City Manager or such other person as the City Manager may designate in
writing.The primary contactpersonforthe CONTRACTOR shall be Sam Benomrv.
5)Scope of Services:The goods and/or services tobe provided areasset forth in the
"checked documents".
6)Compensation:The Contractor's compensation for the performance of this contract
(hereinafter referred to as the Contract Price )shall be as set forth in Contractor's response to
the City's written solicitation,if any,or,if none,then as set out in Contractor's proposal or
quote,whichever is applicable,andas modified by the Contract Documents.
7)Hours of Work:In the event that this contract requires the performance of services,
it is presumed thatthe expenses of performing Work after regular working hours,and on
Sunday and legal holidays is included in the Contract Price.However,nothing contained herein
shall authorize work on days and during hours that are otherwise prohibited by ordinance
unless specifically authorized or instructed in writing by the City.
8)Time Provisions:The termofthis Agreement shall commenceonthe Work
Commencement Date and shall continue for N/A until it expires on N/A,unless earlier
terminated according to any ofthetermsof this Agreement.Notwithstanding the foregoing,
this Agreement may be extended by an additional N/A period if the extension is in writing and
signed by the City Manager.An extension ofthe term ofthis Contract isat the CITY's soleand
absolute discretion.
9)Termination:This contractmaybeterminatedwithoutcausebythe City with30
days of advanced written notice.This provision supersedes andtakes precedence overany
contrary provisions for termination contained in the Contract Documents.
10)ApplicableLawandVenue:Florida lawshallapplytothe interpretation and
enforcement ofthis contract.Venue for all proceedings shall be in Miami-Dade County,Florida.
11)Insurance,Indemnification &Bonding:CONTRACTOR shall comply withthe
insurance,indemnificationandbonding requirements setforthintheContractDocuments.

12)L.qu.dated Damages:In the event that the Contractor shall fail to complete the
Work w.thin the time limit set forth in the Contract Documents,or the extended time limit
agreed upon,in accordance with the procedure as more particularly set forth in the Contract
Documents,liquidated damages shall be paid at the rate of $N/A dollars per day until the Work
is completed.
13)Jury Trial Waiver:The parties waive their right to jury trial.
14)Entire Agreement,Modification,and Non-waiver:The Contract Documents
constitute the entire agreement of the parties and supersedes any prior agreements,written or
oral.The Contract Documents may not be modified or amended except in writing,signed by
both parties hereto.The Contract Documents,in general,and this paragraph,in particular,shall
not be modified or amended by any acts or omissions of the parties.No failure to exercise and
no delay in exercising any right,power or privilege shall operate as a waiver.No waiver of the
Contract Documents,in whole or part,including the provisions of this paragraph,may be
impliedbyanyactor omission.
15)Public Records:CONTRACTOR and all of its subcontractors are required to comply
with the public records law (s.119.0701)while providing goods and/or Services on behalf ofthe
CITY and the CONTRACTOR,under such conditions,shall incorporate this paragraph in all of its
subcontracts forthisProject.
16)IN WITNESS WHEREOF,the parties,have executed this Contract with full knowledge
of its content and significance and intending to be legally bound by the terms hereof.

I.I Insurance -
A.Without limiting its liability,the vendor,contractor,consultant or consultingfirm
(hereinafter referred to as "FIRM"withregard to InsuranceandIndemnification
requirements)shall berequiredtoprocureand maintain atitsown expense during the life
of the Contract,insuranceof the typesandin the minimum amounts stated below aswill
protect the FIRM,fromclaimswhichmayarise out of or resultfrom the contract or the
performance of thecontractwiththeCityofSouth Miami,whether such claim is against the
FIRM oranysub-contractor,orbyanyonedirectlyorindirectlyemployedbyany of them or
by anyone for whose actsany of them maybe liable.
B.NoinsurancerequiredbytheCITY shall beissuedor written byasurpluslinescarrier
unless authorized inwritingby the CITYandsuch authorization shallbeat the CITY's sole
and absolute discretion.The FIRM shall purchaseinsurancefromand shall maintain the
insurancewithacompanyorcompanies lawfully authorized to sellinsurancein the State of
Florida,onformsapprovedbytheStateof Florida,aswill protect the FIRM,ataminimum,
from all claimsassetforthbelowwhichmayarise out of orresultfrom the FIRM's
operations under the Contract andforwhich the FIRM maybe legally liable,whether such
operationsbeby the FIRM orbyaSubcontractororbyanyonedirectlyorindirectly
employedbyany of them,orbyanyoneforwhoseactsany of them maybe liable:(a)claims
under workers'compensation,disability benefitand other similar employeebenefitacts
whichare applicable to the Work tobeperformed;(b)claims for damages becauseofbodily
injury,occupationalsicknessordisease,ordeathof the FIRM's employees;(c)claimsfor
damagesbecauseofbodily injury,sicknessor disease,ordeathofanyperson other thanthe
FIRM's employees;(d)claims for damages insured by usual personal injury liability coverage;
(e)claims for damages,otherthantothe Work itself,becauseofinjurytoordestructionof
tangible property,including lossofuseresultingtherefrom;(f)claimsfor damages because
ofbodily injury,deathofapersonorproperty damage arising out ofownership,
maintenanceoruse of a motor vehicle;(g)claims forbodilyinjuryorproperty damage
arising out of completed operations;and(h)claims involving contractual liability insurance
applicable to the FIRM's obligationsunder the Contract.
2.1 Firm's InsuranceGenerally
The FIRM shall provideand maintain inforceandeffect until all the Work tobeperformed
underthisContracthasbeencompletedandacceptedbyCITY(orforsuch duration asis
otherwise specified hereinafter),the insurance coveragewrittenon Florida approvedforms
and as set forth below:
A.Professional Liability Insurance ona Florida approvedformintheamount of
$1,000,000withdeductibleper claim ifany,notto exceed 5%of the limitof
liability providing for all sumswhichthe FIRM shall become legally obligated to
payas damages for claims arising outoftheservicesor work performedbythe
FIRM its agents,representatives,Sub-Contractorsor assigns,orbyanyperson
employed or retainedbyhimin connection withthis Contact.Thisinsurance
shall be maintained forfouryearsaftercompletion of theconstructionand
acceptance ofany Project coveredbythisContact.However,the FIRM may
purchaseSpecificProjectProfessional Liability Insurance,in the amount and
under the terms specifiedabove,whichisalsoacceptable.
Workers'Compensation Insurance atthe statutory amountas to all employees
incompliancewiththe "Workers'Compensation Law"of the State of Florida
includingChapter440,Florida Statutes,aspresently written or hereafter
amended,and all applicable federal laws.In addition,the policy(ies)must include:
Employers'Liability atthestatutorycoverage amount The FIRM shall further
insure that all of its Subcontractors maintainappropriatelevels of Worker's
Compensation Insurance.
Commercial Comprehensive General Liability insurancewithbroadform
endorsement,aswellasautomobile liability,completedoperationsandproducts
liability,contractual liability,severability of interest withcross liability provision,
andpersonalinjuryandpropertydamage liability withlimits of $1,000,000
combined singlelimitper occurrence and$2,000,000 aggregate,including:
•Personal Injury:$1,000,000;
•Medical Insurance:$5,000perperson;
•Property Damage:$500,000each occurrence;
•Automobile Liability:$1,000,000 each accident/occurrence.
•Umbrella:$1,000,000perclaim
Umbrella Commercial Comprehensive General Liability insurance shall be
written ona Florida approvedformwith the samecoverageas the primary
insurancepolicybutin the amount of $1,000,000perclaimand $2,000,000
AnnualAggregate.Coverage must beaffordedonaformno more restrictive
than the latestedition of the Comprehensive General Liability policy,without
restrictive endorsements,as filed by the InsuranceServicesOffice,and must
include:
(1)Premisesand Operation
(2)Independent Contractors
(3)Productsand/or Completed Operations Hazard
(4)Explosion,CollapseandUnderground Hazard Coverage
(5)BroadFormPropertyDamage
(6)Broad Form ContractualCoverage applicable to this specific Contract
includinganyholdharmlessand/orindemnificationagreement.
(7)Personal Injury CoveragewithEmployeeandContractual Exclusions
removed,withminimumlimits of coverageequal to those requiredfor
BodilyInjury Liability andPropertyDamage Liability.
Business Automobile Liability withminimumlimits of One Million Dollars
($1,000,000.00)plus an additional Two Million Dollar ($2,000,000.00)umbrella
per occurrence combined single limitforBodily Injury Liability andProperty
Damage Liability.Umbrellacoverage must beaffordedonaformno more
restrictivethanthelatesteditionofthe Business Automobile Liability policy,
without restrictive endorsements,as filed bywith the state of Florida,and must
include:
(1)Owned Vehicles.
(2)Hiredand Non-Owned Vehicles

3.1 SUBCONTRACTS:
The FIRM agrees that ifanypart of the Work under the Contract issublet,the subcontract shall
contain the sameinsuranceprovisionassetforthinsection 5.1 aboveand5.4 below and
substitutingthewordSubcontractorfortheword FIRM andsubstitutingtheword FIRM for
CITY where applicable.
41 Fire andExtendedCoverage Insurance (Builders'Risk).IF APPLICABLE:
A.In theeventthatthiscontract involves the construction ofastructurebythe FIRM,the
FIRM shall maintain,withan Insurance Companyor Insurance Companies acceptable tothe
CITY,"Broad"form/All RiskProperty Insurance including Vandalism &Malicious Mischief
coverage,on buildings andstructures,whileinthecourseofconstruction,including
foundations,additions,attachments and all permanentfixtures belonging toandconstituting
apartof said buildings orstructures.The policy or policies shall alsocover machinery,if
thecostofmachineryis included intheContract,orifthemachineryislocatedina
building thatisbeingrenovatedbyreasonofthiscontract.The amount of insurance must
at all times,beatleastequal to the replacementandactualcashvalue of the insured
property.Thepolicy shall beinthenameoftheCITYandthe FIRM,astheirinterestmay
appear,and shall also cover theinterests of all Subcontractorsperforming Work
B.AlloftheprovisionssetforthinSection5.4hereinbelow shall apply to thiscoverage
unlessit would beclearly not applicable.
5.1 Miscellaneous:
A.Ifanynoticeof cancellation of insurance or change incoverageisissuedbythe insurance
companyorshouldanyinsurancehaveanexpirationdatethatwilloccurduringtheperiod of
this contract the FIRM shall beresponsiblefor securing other acceptable insurance prior to
such cancellation,change,orexpirationsoastoprovidecontinuouscoverageas specified in
this section andsoas to maintaincoverageduring the lifeofthis Contract.
B.Alldeductiblesmustbedeclaredbythe FIRM andmustbeapprovedbytheCITY.At the
option of the CITY,either the FIRM shalleliminate or reduce such deductible or the FIRM
shall procureaBond,inaformsatisfactoryto theCITYcovering the same.
C.The policies shall containwaiverof subrogation against CITY where applicable,shall
expresslyprovidethatsuchpolicyor policies areprimary over any other collectible
insurance thatCITYmay have.TheCITYreservestherightatanytime to requestacopy
oftherequired policies forreview.All policies shall containa "severability ofinterest"or
"cross liability"clause without obligation forpremiumpayment of the CITY,aswellas
contractual liability provisioncoveringthe Contractors duty to indemnify the CITYas
providedinthis Agreement.
D.Beforestarting the Work,the FIRM shall deliver to the CITY and FIRM certificates of such
insurance,acceptable to the CITY,aswellas the insurance binder,if one isissued,the
insurance policy,including the declaration page and all applicable endorsementsandprovide
the name,addressandtelephonenumberofthe insurance agentorbrokerthroughwhom
the policy wasobtained.Theinsurer shall berated A.VII or better perA.M.Best'sKey
Rating Guide,latest edition and authorized to issueinsurancein the State of Florida.All
insurance policies mustbewrittenonforms approved bytheStateof Florida andtheymust
remain in full forceandeffectforthe duration ofthecontractperiodwiththeCITY.The
FIRM maybe required bythe CITY,atitssole discretion,to provide a "certified copy"of
the Policy (as defined in Article I ofthis document)which shall include the declaration page
and all required endorsements.In addition,the FIRM shall deliver,atthetimeof delivery of
the insurancecertificate,the following endorsements:
(1)a policy provision oranendorsementwith substantially similar provisions as
follows:
"TheCityofSouth Miami isan additional insured.Theinsurer shall pay all sums
thattheCityofSouth Miami becomes legally obligated to pay as damages
becauseof'bodily injury",'property damage',or "personal and advertising
injury"andit will providetotheCity all ofthecoveragethatis typically
providedunderthe standard Florida approvedformsforcommercial general
liability coverageAandcoverage B";
(2)(b)a policy provision oranendorsementwith substantially similar provisions as
follows:
"This policy shall notbe cancelled (including cancellation fornon-paymentof premium),without
first giving theCityofSouth Miami ten (10)days advanced writtennoticeoftheintentto cancel
or terminate the policyforanyreason."
6.1 Indemnification
A.The FIRM acceptsand voluntarily incurs all risksofany injuries,damages,orharmwhich
mightariseduringthe work oreventthatis occurring ontheCITY'spropertyduetothe
negligenceor other fault of the FIRM oranyoneactingthroughoronbehalf of the FIRM.
B.The FIRM shall indemnify,defend,saveandholdCITY,its officers,affiliates,employees,
successorsand assigns,harmlessfromanyand all damages,claims,liability,losses,claims,
demands,suits,fines,judgmentsorcostandexpenses,including reasonable attorney's fees,
paralegal feesand investigative costs incidental theretoandincurredpriorto,during or
following any litigation,mediation,arbitration andat all appellate levels,whichmaybe
sufferedby,or accruedagainst charged toorrecoverablefrom the CityofSouth Miami,its
officers,affiliates,employees,successorsand assigns,byreasonofanycausesofactionsor
claim ofanykindor nature,including claims for injury to,ordeathofanypersonor
personsandforthelossor damage toanyproperty arising out of a negligent error,
omission,misconduct or anygrossnegligence,intentionalact or harmful conduct of the
FIRM,itscontractor/subcontractororanyoftheir officers,directors,agents,
representatives,employees,or assigns,oranyone acting throughoronbehalf of anyof
them,arising outofthis Agreement incident to it or resulting fromthe performance or
non-performance of the FIRM's obligationsunderthisAGREEMENTorwhicharises out of
orisconcerningtheuseofCITYpropertyortheservice,operationorperformanceofany
work thatisbeingperformedfortheCITYorofanyeventthatis occurring ontheCITY's
property.
C.The FIRM shall pay all claims,losses and expensesofany kind ornaturewhatsoever,in
connection therewith,including the expense orloss of the CITY and/oritsaffectedofficers,
affiliates,employees,successorsand assigns,including theirattorney's fees,inthedefense
ofany action in law orequity brought against them and arising fromthe negligent error,
omission,oractofthe FIRM,its Sub-Contractor oranyoftheir agents,representatives,
employees,or assigns,and/or arising outof,or incident to,this Agreement or incident to
or resultingfrom the performance or non-performance of the FIRM's obligations under this
AGREEMENT..
The FIRM agreesandrecognizesthatneither the CITYnoritsofficers,affiliates,employees,
successors andassigns shall beheld liable or responsibleforanyclaims,including the costs
and expenses of defendingsuchclaimswhichmayresultfrom or arise out of actions or
omissions of the FIRM,its contractor/subcontractor or any of their agents,representatives,
employees,or assigns,oranyoneactingthroughoronbehalf of the them,and arising out
oforconcerningthe work or event thatisoccurringontheCITY'sproperty.In reviewing,
approving or rejecting any submissions or acts of the FIRM,CITY innoway assumes or
sharesresponsibility or liability for the acts or omissions of the FIRM,its
contractor/subcontractor oranyoftheiragents,representatives,employees,or assigns,or
anyone acting through or onbehalf of them.
The FIRM has the duty to provideadefensewithan attorney or lawfirmapprovedbythe
City of South Miami,whichapprovalwillnotbeunreasonablywithheld.
