WHEREAS,Lewis,Longman&Walker,PA will provide the Cityadviceand
representation on pension matters as directed by the CityManager;and,
WHEREAS,the legal representation on pension matters is required for the
City's Police Benevolent Association (PBA)negotiations and American Federation of
State,County and Municipal Employees (AFSCME).
NOW THEREFORE BE IT RESOLVED BY THE MAYOR AND CITY
COMMISSION OF THE CITY OF SOUTH MIAMI,FLORIDA THAT;
Section I.The CityManageris authorized to expend an amount not to exceed
$25,000with Lewis,Longman&Walker,PA toprovide the CityofSouth Miami legal
representation onpension matters,charging account 001.1500.514.3410,Legal Service
Outside Litigation.
Section 2.This resolution shalltakeeffectimmediatelyupon adoption.

On behalf ofthelaw firm of Lewis,Longman &Walker,P.A.,thank you forthe opportunity to
work withyouontheabove matter.The terms and conditions ofour representation are outlined
below.
1.Services.Lewis,Longman &Walker,P.A.will provide advice and representation on
pension matters.Iwillbethe shareholder in charge ofthis matter andwillbe primarily
responsible for providing and supervising the legal services required.Iwillbe responsible for
ensuring thatthis matter is staffed ina manner adequate and appropriate tothe requirements of
the representation.Glenn Thomas,a shareholder who works withmeon pension matters,will
alsobeinvolvedinthismatter.Wewilluseourbestjudgmenttodeterminetheamount of time,
who isto perform specific tasksand work,andthe nature ofthe services tobe performed inyour
best interests.
2.Professional Fees.I will bethe primary attorney working on your matter andmy
standard hourly rateis $275.00.In addition tome,Imay assign worktoother attorneys or
paralegalswithintheoffice,depending uponwhocanbestdotheworkinthemostefficient
manner.Thehourlyratesforattorneysrangefrom $165.00 to$275.00perhour.Thehourly
ratesforparalegals/lawclerksrangefrom $110.00 to$165.00perhour.Theserateswillbein
effectthroughDecember2014andmaybe modified annually thereafterinJanuaryofeach

subsequent year.Wewill provide youwith our new rates along withthe Firm's statement of
services rendered inJanuary of eachyear.
3.CostsandExpenses.Thefirm charges for costsandexpenses incurred onyourbehalf for
this representation.Attachment1sets forth themostcommonly incurred costs and expenses.
Wemay advance thesecostsandseek reimbursement inourbillingsorwemayatour discretion
require youtodepositthesecosts with usbeforethecostsareincurred.
4.BillingandPayment.We will billyouona monthly basisforprofessionalservices
rendered andexpensesincurredinconnectionwiththis matter,lessany retainer amounts applied
againsttheseservicesandexpenses.You agreetopaythe amount of eachstatementinfull
within twenty (20)days of thebillingdate.Shouldyouquestionordisputeanyitemsorany
statement,youagreeto notify usinwriting of anysuchquestionordisputewithinfifteen (15)
days of thebillingdate,and we willassumeyoudonothaveanydispute if wedonothearfrom
youinthattime.Any amounts remaining unpaid for morethanthirty (30)days from the date of
billing shall bearinterestatthe rate of twelve (12%)percent perannum,compounded daily,until
paid.
5.Client Documents.Duringthecourse of yourmatter,you may berequiredtoprovideto
usdocumentssuchaspensionplandocuments,actuarial reports,etc.We willholdthese records
duringthe pendency of thismatter.At theconclusion of thismatter,youmaycontactusand
makearrangementsforthereturn of yourrecords.Itisyour responsibility tosecurethereturn of
your records.We willretainthebalance of yourfileforan appropriate timeperiod.If
arrangements arenotmadeforthereturn of yourrecordswithin six (6)yearsfollowingthe
conclusion of yourmatter,they will be destroyed accordingtothe guidelines setoutinour
Records Retention Policy.
