A Resolution authorizing the City Manager to execute a contract with
Harold V.Hickey,Esquire,as Special Master for the City of South Miami.
WHEREAS,pursuant toSection2-24and2-25oftheCityofSouth Miami Code of
Ordinances,the Cityhasa need for aSpecialMaster;and
WHEREAS,paymentfora Special Mastermaybemadefrom account No.001 -1640-
524-3111 Code Enforcement ProfessionalServicesSpecial Magistrate/Master,witha current
balance of $3,200;and,
WHEREAS,the useofSpecialMasterhas proven to bean expeditious,cost effectiveand
fairmeansof adjudicating issuesrelating to code violations;and,
WHEREAS,basedon Harold V.Hickey,Esq's background,experience,andpast
performance,the CityManager recommends HaroldV.Hickey,Esq.,to fill a term of one yearto
provide the Special Master services to the CityofSouth Miami commencing June20,2014,and
ending June 20,2015 unless terminated earlier;and,
WHEREAS,the MayorandCityCommission accept the above recommendation,
NOW THEREFORE BE IT RESOLVED BY THE MAYOR AND CITY
COMMISSION OF THE CITY OF SOUTH MIAMI,FLORIDA;
Section I.TheCityManagerisherebyauthorizedtonegotiateand enter intoa contract
withHarold V.Hickey,Esq.,toserveas Special MasterfortheCityofSouth Miami at the rateof
$150.00 per hour to be charged to account No.001 -1640-524-3 III,Code Enforcement Professional
ServicesSpecial Magistrate/Master.
Section 2.The Special Master'sservices shall remainineffectforaperiodofone-year
commencingJune20,2014 andendingJune20,2015 or until terminated asprovidedbythe Special
Master's contract.
Section 3,Harold V.Hickey,Esq.,isherebybeauthorizedtoconduct hearings as may
berequiredinaccordanceCityOrdinancesandconcerning issues thatariseundertheCity'sCode
ofOrdinances,Land DevelopmentCode,the Florida Building Codeandthe Miami-Dade County
Code.
Section 4,If anysection clause,sentence,orphraseofthisresolutionisforanyreason
held invalid or unconstitutional byacourtofcompetent jurisdiction,the holding shall not affect the
validityof the remaining portions ofthis resolution.
Section 5.This resolution shall become effective immediately uponadoptionbyvote
of the City Commission.

The City Commission adopted Ordinance No.6-03-1790,establishinga
Special Master inan effort to preside over code enforcement violation
hearings.The useofa Special Masterisa cost effectiveoptionof adjudicating
issues relating to code violations that has proven to befairand expeditious.
Harold V.Hickey,Esq.,maintains aprivatepracticefocusedinprobate,
guardianshipandreal estate matters and civil litigation.Healsopresides over
the OfficeofCriminalConflictand Civil Regional CounselThird Region,and
is the SpecialMasterof the Eleventh Judicial Circuit ofFlorida (December
1998-Present).Pursuant to the above-referenced ordinance,staff
recommends the re-appointment ofHaroldVHickey,Esq.;his resume is
attached.
HaroldV.Hickey,Esq.will beappointedtoserveforaperiodofone-year
commencing June20,2014,andendingJune20,2015,or until other
successor is appointed bytheCity Commission.Thenegotiatedfee to
provide saidservicesis $150.00 perhour.

CONTRACT BETWEEN CITY OF SOUTH MIAMI
ANDHAROLDV.HICKEY,ESQUIRE
This contract is made and entered into this 3£P^day ofOulu 2014 between the
City of South Miami,a Florida municipal corporation,located at 613CHSunset Drive,South
Miami,Florida 33143 through its City Manager (City),and Harold V.Hickey,Esq.(Special
Master),individually,located at 7800 Red Road,Suite 305,South Miami,FL 33043.
WITNESSTH:
WHEREAS,theCity desires to engage and retain the services ofthe Special Master
to perform Special Master services as described in this contract and the Special Master
desirestoaccepttheengagement;and,
NOW THEREFORE,in consideration ofthesumTen dollars ($10.00),the mutual
promises and covenants contained inthis contract,andforother good and valuable
consideration,the receipt and legal sufficiency of which is acknowledged by both parties,the
parties agree as follows,
1.RECITALS
1.1.Theabove whereas clauses are incorporated and made apartofthis contract.
2.SCOPE OF WORK
2.1.ThescopeofworkforthisprojectshallbeasprovidedwithintheCity'sCode of
Ordinances,section2-24and2-25andassetforthintheSpecialMaster'sagenda
issuedbytheCity.Workshallcommenceupontheissuance of anagendabythe
City.
3.COMMENCEMENT DATE AND TERM
3.1.Thetermshall commence upondate of theexecution of thiscontract,butnotearlier
thanGvifV ac^pc^H and it shall expire onl^ullj S^ylC)]^.
3.2.Work shallbein substantial compliancewiththeschedule of services contained in
thescope of workandasprovidedintheagendaissuedbytheCity.
4.PAYMENT
4.1.TheCityshall pay theSpecialMasteronehundredfiftydollars ($150.00)per houras
provided in 2-24(h)of theCity's code of ordinances.
4.2.TheCityshallnotbeliabletopay,andshallnotpay,chargesforextrawork,delay
charges,or additional work,unlesstheCityManagerspecificallyauthorizestheextra
oradditionalwork,inawrittenorderbeforethe commencement of thework.In no
eventshallthetotalamountpaidunderthiscontractexceedtheannual budgeted
amount of two thousand seven hundred dollars ($2,700.00)unless apgip*(ed_by

5.TRANSFER AND ASSIGNMENT
5.1.None of the work or services under this contract shall be subcontracted unless the
Special Master obtains prior written consent fromtheCity.Approved subcontractors
shallbe subject to each provision of his contract andthe Special Master shallbe
responsible and indemnify theCityforall subcontractors'acts,errors or omissions.
5.2.The Special Master shallnotassign,transfer or pledge any interest inthiscontract,
however,claims for money bythe Special Master fromthe City under this contract
maybe assigned,transferred orpledgetoabank,trust company,or other financial
institution without theCity'sapproval.Writtennotice of anyassignment,transferor
pledge of funds shall be furnished bytheSpecial Master tothe City within ten days
of the assignment,transfer or pledge.
6.REMEDIES
6.1.TheCityshallhavenoliabilitytotheSpecialMasterforfutureprofitsorlossesin
the event of termination or otherwise.
6.2.Therightsandremedies of theCityprovidedinthisAgreementshallnotbe
exclusive andareinadditiontoanyotherrightsandremediesprovidedbylawor
under this contract.
7.TERMINATION FOR CONVENIENCE
7.1.TheCitymay terminate thiscontractforconvenienceatanytimebygivingtenday
noticeinwritingtotheSpecialMaster.TheSpecialMasterwillbepermittedto
complete hearingsandshallbepaidfor all satisfactoryworkcompleted.TheCity
shallnotbe liable forfutureprofitsorlosses.
8.INTEREST PAYMENTS DUE TO LATE PAYMENT
8.1.TheCityshallmakepaymenttotheSpecialMasterwithinthirty(30)days of receipt
of theoriginalwritteninvoice.Interestshallaccrueonunpaidinvoicesasprovidedby
Florida Statute.
8.2.TheSpecialMastershallnotbeentitledtoanycarryingchargesorfinancefeedueto
late payment bytheCity.
9.LIENS
9.1.TheSpecialMasterisprohibitedfromplacingalienonCity'sproperty.
10.INDEPENDENT CONTRACTOR
10.1.TheSpecialMasterisfurnishinghisservicesasanindependentcontractorand
nothinginthiscontractshallcreateany employer-employee relationships,

association,partnership orjoint venture between parties..
10.2.Asan Independent contractor Special Master agrees and acknowledges that heis
notan employee of the City of South Miami and therefore not entitled to participate
in or benefit from City of South Miami Pension Plan or insurance plan.
11.INDEMNIFICATION
11.1.The Special Master shall defend,indemnify and hold the City harmless from any
andall claims,liability,losses,expenses,and cause of action arising solely outofany
negligent actsor omissions bythe Special Master orforany international misconduct
or malfeasance.
12.JURISDICTION AND VENUE
12.1.Forthepurposeofthis contract,Florida lawshall govern thetermsofthis contract.
VenueshallbeinMiamiDadeCounty,Florida.
13.SOVEREIGN IMMUNITY AND NON-JURY TRIAL
13.1.TheCitydoesnotwaivesovereignimmunityforanyclaimorforanaward of
prejudgment interest.
13.2.TrialbyJury.Thepartieswaivetheirrighttoajurytrialastoanymattersthatarise
out of this agreement
14.NOTICES
14.1.All notices givenor required under this contract shall be deemed sufficient ifsent
bycertifiedmail,returnreceiptrequested,totheaddresses of theSpecialMasterand
totheCityspecifiedinthiscontract,unlessapartyshallprovidenoticeinwritingto
theotherparty of adifferentaddressforthegiving of thenotices.

15.EXAMINATION AND RETENTION OF CONTRACTOR'S RECORD
15.1.TheCity,orany of itsduly authorized representative,shall,until3yearsafter final

payment underthis contract,haveaccesstoandtherightto examine any of theSpecial
Master's books,ledgers,documents,papers,or other records involving transactions related to
this contract forthe purpose of making,examination,excerpts,andcopies.
16.OWNERSHIP OF DOCUMENTS
16.1 All documents,reports,orotherrecords,including electronic records,resulting from
theservicesrenderedbytheSpecialMasterunderthiscontractshallbedeemedtheproperty
of theCityandtheCityshallhave all rightsincidenttothisownership.TheSpecialMaster
acknowledges thatalldocumentspreparedunderthiscontractshallbepublicrecords,and
shallbesubjecttopublicinspectionandcopying,asprovidedbytheFloridaStatutes
Chapter-}19.Uponconclusion of thiscontract,alldocumentsshallbedeliveredbythe
SpecialMastertotheCity.TheSpecialMastershallhavetherighttoretaincopies of the
documentsattheSpecialMaster'sexpense.
17.SEVERABILITY
17.1.Should any paragraph oranypart of anyparagraph of thiscontractbedeterminedto
bevoid,invalidorunenforceablebyanycourt of competentjurisdiction,foranyreason,that
determinationshallnotrendervoid,invalid or unenforceable anyothersectionorpartofany
section of this contract.
18.ENTIRE CONTRACT
18.1.Thecontract,whensignedby all oftheparties,constitutes thefulland complete
understanding of allpartiesandshallnotbeinanymanner interpreted in contradiction ofthe
expresstermsof.thecontract.Thiscontractandtheincorporatedattachments,ifany,
constitutetheentire understandings,oralor written,between the parties.
19.CONTINGENCY FEE AND CODE OF ETHICS WARRANTY
19.1.TheSpecialMaster warrants thatneitherhe,norany principal,employee,agent,
representativeorfamilymember of him,promisedtopay,andtheSpecialMasterhasnotand
willnotpaya fee thatis contingent upon the City awarding this contract to the Special
Master.
19.2.The Special Master warrants that neither he nor any of his principals,employees,
agents,representativesorfamilymemberhas procured,orattemptedtoprocure,thiscontract
in violation ofanyofthe provisions ofthe Miami-Dade County orthe City of South Miami
conflict of interest code or ethics ordinances.
19.3.A violation of this section shall result in the termination of the contract and
forfeiture of fundspaid,ortobepaid,totheSpecialMaster.
