Res. No. 104-08-12701WHEREAS, Section 2-4.7 titled: "Surplus city-owned property" of the City
of South Miami Code of Ordinances states that all personal property owned by
the city shall not be sold unless and until it is declared to be surplus property by
resolution of the city commission; and
WHEREAS, The City Manager is recommending that the attached list of
personal property items classified as "surplus" that serves no useful function for
any activity or in any location within the City and should be sold to the highest
bidder by way of a City Auction; and
WHEREAS, in accordance with city's competitive bidding procedures,
three quotes where obtained and Fisher Auction Co. Inc. was the lowest quote.
WHEREAS, The Fisher Auction Co. Inc. will be advertising and
conducting the City's Auction at the Public Works facility located at 4795 SW 75
Avenue, Miami, Florida; and
WHEREAS, The City Manager is authorized to sign a contract with Fisher
Auction Co. Inc.; and
WHEREAS, The City Manager is authorized to disburse an amount not to
exceed $1,800.00 to Fisher Auction Co. Inc. for advertising and administrative
expenses;

Personal property is defined as temporary or movable property. Any personal property
that is classified as obsolete, or no longer economical or efficient to keep, or that serves
no useful function for any activity or in any location within the city, needs to be declared
as "Surplus" by the City Commission per section 2-4.7 of the Code of Ordinances.
The accumulation of various assets over the past five years, includ-;.ng vehicles and
some heavy equipment has led to a need for an auction. Auctions can generate
revenue to the City for a comparatively low administration cost.
To simplify the auction process, a professional Auctioneer is recommended. The
auctioneer 's terms are simple: The fee of $1,800.00 covers advertising, marketing
expenses, staff, and managing of the auction on auction day. The fee charged in
terms of item sale is a ten-percent (10%) "buyers premium" which is added on to the
auction price. This is in effect their commission, which has no cost implication to the
city.
On auction day department heads or their designees will be at the auction to answer
questions. Public Works will provide staff from their different divisions to help and
answer questions regarding the items at the Public Works facility during the auction.
All Auction proceeds and expenses will be charged to the same account "Miscellaneous
Revenue Account".
Fisher Auction estimates that this auction could generate sufficient revenues to cover
all costs involved.

This Agreement by and between the above named individual(s)/entities hereinafter referred to as
"Seller(s)" and FISHER AUCTION CO., INC. hereinafter referred to as "Auctioneer".
The Seller and Auctioneer do hereby covenant and agree that the Seller shall employ the professional
services of the Auctioneer and authorizes Auctioneer to sell the inventory by the terms and conditions
of this Agreement, and outlined as follows:
1. INVENTORY:
A. Fourteen (14) days prior to each scheduled Auction Date, Seller shall deliver to
Auctioneer a complete inventory listing all items including Vehicle Identification
Numbers (VIN), when applicable, to be sold at Auction. Inventory must be
delivered by e-mail or computer disk in excel or similar database format utilizing
2 columns - one for Seller's internal identification number and one for the items
description.
B. Seller shall use their best effort not to add, withdraw or sell from said inventory 48
hours prior to the Auction. Inventory MUST BE available for set-up and cataloging 72
hours prior to Auction Event.
II. TITLE:
A. Seller warrants and guarantees that all inventory to be sold at Auction is free and clear
of all liens and encumbrances of any kind whatsoever and agrees to indemnify and
hold harmless Auctioneer against any claims from any purchaser.
B. Seller has full power and authority to- .enter into this agreement and convey title to the
inventory being sold.
C. Seller acknowledges that Auctioneer has not made any commitments as to price the
inventory will bring at Auction.
Ill. ABSOLUTE SALE:
All inventory is to be sold at "Absolute Auction" to the highest bidder(s) regardless of price
without restriction, reserve, or minimum price(s).
IV. MARKETING / ADVERTISING:
A. Seller agrees to pay for all advertising expenses necessary to promote Seller's Auction.
B. The amount of advertising expenses not to exceed: $1,800.00.
C. Auctioneer will advance the advertising expenses and will be reimbursed out of the
gross sales proceeds.
D. The amount of Police security services will be the City of South Miami's cost and will
be taken from the gross sales proceeds.
V. COMMISSION / FEES:
A. Auctioneer shall charge and collect a Ten Percent (10%) Buyer's Premium as earned
commission, for each item sold.
VI. AUCTION SERVICES:
A. Coordinate set-up of Auction Inventory.
B. Provide personnel to register bidders on Auction Day.
C. Print and distribute Auction Day Catalogue.
D. Collect all deposits and payments and distribute all invoices.
E. Coordinate and provide personnel for removal of Auction Inventory.
F. Provide Auctioneer Services.
VII. AUCTION SETTLEMENT:
All Auction proceeds, less the 10% Buyer's Premium, Marketing /Advertising Funds
Advanced, Security Services and any Sales tax collected will be paid to the City of South
Miami within five (5) Business days after the Auction Date.

X. ASSIGNMENT:
This Agreement shall not be.assigned by Auctioneer, in whole or in part, without prior written-.

Facsimile signatures of the parties to this Personal Property Auction Listing Contract shall be
treated as original signatures.

(a) Items of personal property owned by the city shall not be
sold unless and until it is declared to be surplus property by
resolution of the city commission.
(b) The city commission'shall not consider declaring any item
of personal property to be surplus unless the city manager has
affirmatively recommended such action thereon.
(c) Upon determination by resolution by the city commission
that an item of personal property is surplus, the city manager is
hereby- authorized to sell to the highest bidder at public sale or, if
approved by the commission by resolution, at public auction, said
item of personal property after, advertising the date; time and
place of said sale or auction once a week for three (3) consecutive
weeks in a newspaper of general circulation in the, city.' The city
manager shall have the right to accept or reject any or all bids. In
,the event the personal property shall be offered for sale or auc-
tion, and no bids. shall be received therefor, it shall be deemed
that such property has no value and the city manager in his
discretion may order it ' destroyed or otherwise disposed of.
(d) This section shall not apply to stolen, abandoned or con-
fiscated -personal property which has come into the city's
