A Resolution authorizing the City Manager to purchase a video
server, production switcher and application software from
Media Rushworks, LLC to support the broadcast of public
meetings through Granicus for an amount not to exceed
$20,000.
The City broadcasts pUblic meeting through a software program,
Granicus, with the broadcasts available through the City's website either
on demand or live streaming. The current video server production
switcher and application software system that interfaces with Granicus
that makes it possible to broadcast the City's public meetings has
exceeded its useful life.
Throughout the past year, the current video server has experienced
shutdowns while meetings were being broadcast. Fortunately, the system
was able to be re-started however, the concern is at some point, the
system will shut down for good and will not re-start. Should that occur,
the ability to broadcast and store public meetings will be lost. Repairing
the system is not feasible since the current system component hardware
is obsolete.
Quotations were obtained and Media Rushworks provided the lowest
cost fully integrated component system that provides mUltiple video and
streaming text capability. Granicus was consulted and advised other
clients utilize Media Rushworks and that the system meets the basic
video signal requirements and is fully compatible with Granicus software.
Media Rushworks, LLC is a registered company with the State of Texas
and in accordance with Florida Statute, Chapter 607.1 SO I, is exempt
from registering with the State of Florida. Included with this package is
an email confirmation from the Division of Corporations, Florida
Department of State that refers to Sub Section (2) of the statute, Sub
ATTACHMENTS:
Section (j) defines an activity that does not constitute transacting
business, and exempts the corporation from obtaining a certificate of
authority from the State of Florida. The type of purchase the City will
make is defined under Sub Section (j) below:
607.1501 Authority of foreign corporation to transact
business required.-
(I) A foreign corporation may not transact business in
this state until it obtains a certificate of authority from the
Department of State.
(2) The following activities, among others, do not
constitute transacting business within the meaning of
subsection (I):
(j) Conducting an isolated transaction that is
completed within 30 days and that is not one in the
course of repeated transactions of a like nature.
The expense will be charged to Account No. 001-1340-513-5205
($14,434.40) "Computer Equipment," with a balance of $14,434.40 and
Account No. 001-1320-513-3450 ($5,565.60) "Contractual Services,"
with a balance of $7,822.1 I.

23 Section 1. The City Manager is authorized to purchase a video server, production
24 switcher and application software from Media Rushworks, LLC to support the broadcast of
25 public meetings through Granicus for an amount not to exceed $20,000 and charged to
26 Account No. 001-1340-513-5205 "Computer Equipment," with a balance of $14,434.40 and
27 Account No. 001-1320-513-3450 "Contractual Services," with a balance of $7,822.11.

29 Section 2. Severability. If any section, clause, sentence, or phrase of this resolution is
30 for any reason held invalid or unconstitutional by a court of competent jurisdiction, this holding
31 shall not affect the validity of the remaining portions of this resolution.

The For-A HVS-350HS Type B 1.5 M/E Switcher supports 8 HO/SO-SDI inputs and 8 HO/SO-SDI outputs, and comes with the
HVS-35ROU 1.5 M/E 12 Button Panel. It enables frame synchronizer function for each input, which allows for switching of
asynchronous signals. Offering a re-size engine (expansion) on 4 of the 8 standard inputs, the unit enables mixing of SO and HD
environment with a switcher alone. The re-size engine allows re-sizing SD signals and PC video, and reduces the need of an external
device such as an up-converter.
Equipped with 2 keyer channels that have chroma key function, the HVS-350HS Type B 1.5 M/E Switcher also offers 4 DSK channels.
The keyer and DSK have dedicated 20 DVE that allows for adding scale effects or other 2D effects.
Enabling a maximum of 24 inputs and 12 outputs, the HVS-350HS Type B 1.5 M/E Switcher supports 2 channels with multi-viewing
function that is capable of displaying up to 16 splits. The 4 still store channels enable transferring of the externally created data to
the main unit via Ethernet.
When connected to the HVS-350U/35ROU/300U, the HVS-350HS Type B 1.5 M/E Switcher supports USB memory. The backup
function allows you to store and read the internally stored data. The HVS-350HS Type B 1.5 M/E Switcher supports 2 channels of
dedicated Picture-in-Picture (P-in-P) circuits that allow the picture to be enlarged, shrunk, repOSitioned, cropped, or given a border.

So to clarify, in accordance with FS Chapter 607.1501, under sub section (2) defines what
transactions do not constitute transacting business. If the City were to purchase goods from a foreign
corporation, under the scenario of sub section (j), the foreign corporation would .run be required to
obtain a certificate of authority from the State of Florida?

In addition, the City is considering purchasing a piece of equipment, one-time, from a State of Texas

(j) Conducting an isolated transaction that is completed within 30 days and that is

Thank you for your comments regarding the Rushworks 360 quote. Based on our conversation,
Granicus requires a solid video signal from SM in order to broadcast our meetings. While other
Granicus clients use the Rushworks system, Granicus could not comment on Rushworks as a vendor;
i.e., how they service an account. However, the Rushworks system meets the basic video signal
requirement. In addition, if the City moves forward and replaces the system, we need to ensure the
composite RCA video feed encoder located at the back of the unit remains consistent in order to run
Granicus software.

The City of South Miami is considering the attached Rushworks 360 automation
device quotation to replace the system that broadcasts our commission meetings.
The current system, which interfaces with Granicus, needs to be rebooted before
each commission meeting and has been locking up. Before purchasing, the City
wanted to get an opinion regarding the Rushworks System. Please review the
