BACKGROUND: In conjunction with the International Data Consultants (IDC) as the City's outsourced IT provider and end-user City Departments, the City's Purchasing Department solicited requests for quotations for GIS services for the City, to continue the outsourced GIS services that began in the previous fiscal year. On October 9, 2012 the City's Central Services Division (purchasing) submitted solicitations to eleven potential vendors. Two sealed bids were received and are summarized below. Documents pertaining to this award are also included in the backup material. This is a budgeted item in the amount not to exceed $24,000.00, that was approved by the Commission. Points 1-5 were discussed in the pre-bidders meeting. As such we accept each of those items as part of the normal monthly work, as long as the integration efforts are supported by the existing software and software API's. This does not include custom API work or custom software integration. Point 6 was not discussed in the pre-bidders meeting as part of the proposal scope. That being said we were asked by the City to provide separate hourly rates for any additional work fell outside of the scope of the RFQ. We are happy to assist the City integrate a Laserfiche instance with the City GIS Server on an hourly basis. Point 7 is agreed to restate and customer API or software development is not included in the scope of the RFQ. Any custom work can be accomplished using the separately defined hourly rate structure. I hope that the city agrees with my responses, the only noted exception we are making is with regard to Laserfiche because it was not discussed and agreed upon in the pre-bidders meeting. Menendez, CMC Immersive Solutions Corporation is pleased to provide this Letter Proposal for GIS Professional Services to the City of South Miami. This proposal assumes a one year Period of Performance {PoP} for GIS Professional Services from contract award. Immersive Solutions Corporation would like to enter into a partnership with the city to optimize the city's GIS support, improve and update existing GIS databases, provide common sense GIS solutions using industry standard practices, affordable software solutions, and save the city money. In this letter proposal we recommend that the city strongly consider our offer. ISC proposes the following solutions to the city. 1} Contract Kickoff. At the start of the contract ISC will provide a Senior GIS Analyst onsite at South Miami. The Analyst will inventory all current GIS data, data layers, and other GIS related information. They will also audit and provide a report of the current status of GIS in the City. The Analyst will also arrange for meeting with each of the City department heads to ensure that each of their individual GIS requirements are properly documented and prioritized. We feel it is critical for our Analyst to make this introduction to the staff, survey the environment, and audit the current state of GIS in the city. 2} Provide a tiered approach to GIS support. ISC will provide South Miami with GIS coordinator support from a pool of GIS coordinators managed by a senior GIS analyst. We will designate a South Miami" lead GIS Coordinator to act as your main point of contact. Our first priority will be to organize the city's GIS data and create new GIS layers based on departmental request received. ISC's support approach will insure that your data will be managed, always built correctly, and available in a timely manner per the terms of this agreement. 3} A dedicated support technician. South Miami will always work with the same staff person every day, unless surge support is required. We will also provide the city with a dedicated phone line and email account to contact the analyst. We will also work with the existing help desk dispatching systems in use by the city today. The GIS Coordinator will also be available via video chat using GotoMeeting or Skype upon scheduled request in addition to normal phone contact. ISC will also work with the City'S exiting help desk solution, and respond to all tickets within 24 hours of submission Monday through Friday, providing an estimated time to complete. 4) Full GIS mapping support. Your assigned GIS coordinator will create and distribute all maps and data layers as requested. AIIISC employees in support of South Miami will be familiar with and trained in the use of ESRI products. We will ensure that all information will meet any data or mapping requirements specified by the city, and be compatible with any future requirements which will arise. 5) Setup ESRI environment. ISC will setup and configure the ESRI Arc Server and GIS environment. We will perform the server installation tailoring the components, services and options to optimize the software and hardware to meet South Miami's requirements. ISC will maintain the GIS database, city and department maps and map updates, and new map layers on a quarterly basis or as requested by South Miami. ISC will maintain all layers as specified in Exhibit 1 (Scope of Services) Paragraph A. We will also work with the city to create, update, and maintain other layers as required by the city, not currently defined in this proposal, on an as needed basis. 7) Historical GIS. Development of historical information in spreadsheet and map formats for building permits, code compliance, and zoning. 8) Printing maps. ISC will develop all map output is printable in the resolutions and format designated by the City. 9) Map access to South Miami staff. All GIS product will be made available to City staff based on the rules and access policies defined by the City. City staff will have access to the free ESRI Desktop Explorer client be able to view and print all maps directly from the ESRI Arc Server. All original maps will be made available for duplication to be used for other purposes as needed. ISC will work with South Miami to tailor the map delivery solution to meet the specific requirements of the city. 10) Remote access and support. ISC will develop and work with all South Miami's GIS data, imagery and other data types off-site, unless an on site presence is specifically requested. All GIS data, data layers and map creation will take place at the ISC offices in Virginia. The resulting data output will be maintained and stored on the City's ESRI Arc Server. 11) Public map access. ISC will work with the city to publish designated maps for public access. These maps will be created in an Adobe PDF format in 8.5/1 x 11/1, 11/1 X 17/1 or other sizes as specified by the City. ISC will provide the City MIS department with the maps for publishing on the City of South Miami website. 12) Consulting and Recommendations. ISC will serve as a GIS consultant for the City and in that role make recommendations for GIS software and hardware purchases. ISC will also work with the City to identify, plan and develop future GIS projects. 13) Data Conversion. ISC will provide all data to the City in an industry standard digital format. All paper maps will be converted to geo rectified digital layers (shape files) in the same projection as the Cities existing basemap to the same projection (State Plane Florida East NAD83 FIPS0901 Feet). In the conversion process all data layers and maps will be properly geo-referenced to the same projection as 14) Quality Assurance/Quality Control. ISC will continue to provide Quality Assurance/Quality Control testing of all data provided to the City and maintain our track record of 100% accuracy. 15) ISC will support on-site GIS requirements at the customer's request. Travel and accommodations for the first two weeks (consecutive weeks) is covered under the fee terms of this contact. All additional travel which is required will be approved in advance and paid for by the customer. Standard Per Diem rates will apply to alllSC travel. 16) ISC will work with the City to acquire additional data from various sources such as the Utility Companies, Miami Dade County, the USGS, US Census Bureau, various Academic institutions, the Department of Homeland Security, the National Weather Service, and the National Geospatial Agency. 17) Invoices. ISC will invoice South Miami on a monthly basis. 18) Insurance and Indemnities. ISC will meet the requirements for all insurance and indemnity requirements as specified by the South Miami City Purchasing Department. This proposal shall be governed by the laws of the state of Florida, venue for all purposed shall be in Miami-Dade County, Florida, all licenses and software necessary to operate the system being installed shall be issued in the name of the City or shall be transferrable to the City and shall be transferred to the City, along with possession of the software installation programs and all other related programs necessary to run and maintain the system upon termination or expiration of this agreement. Sincerely, J~4 President, Immersive Solutions Corporation Immersive Solutions Corporatioll 3 EXHIBIT#I "Scope of Services" GIS Services Background The City of South Miami (hereinafter referred to as the "City") is governed by a five (5) member Commission comprised of a Mayor and four (4) Commissioners all of which are elected at-large. The City's Commission-Manager form of government vests administrative responsibilities with the City Manager and appointment of the City Manager, the City Attorney and the City Clerk with the City Commission. The City is a small municipality within Miami-Dade County, Florida. As of the Census of 20 I I, the City's population was 11,657, a population change of 8.53% from the 2000 Census. Total housing units increased by 16.09% to 5,174 over the 2000 -20 I 0 period. The City is seeking proposals from qualified individuals or Companies (hereinafter referred to as the "Respondent") to provide ongoing maintenance services of the existing system and development of new features to improve the City's GIS capabilities. The City has a basic GIS system. The desktop and data component is composed of GIS template data and Map Documents that have been created and stored on the server which provide the City staff with a template from which to print, export maps or create custom maps. All the template data is read-only in order to ensure quality of the data. However, all the datasets and map documents can be saved as a writable copy into a separate folder on the City's main server to give users the ability to create custom maps and analysis tools from the template data. Users access this data through ESRI products such as ArcGIS server, ArcGIS desktop and Arc View. Scope of Work The scope of work includes on-going maintenance services of the eXisting system and development features to improve the City's GIS capabilities. The City has budgeted $24,000, a not to exceed amount, for FY 2013 for GIS Services. The City will provide a high performance PC which will be remotely accessible to the successful respondent 2417. A GIS technician selection will be added as an option to the City's IT help desk software and all requests for service will be submitted through the help desk ticket system. The ticket system is web based and utilizes email as the communications methodology. Submitted tickets must be responded to in a 24 hour period Monday through Friday with an estimated time for completion. The City shall obtain the subscriptions to the Miami-Dade GIS data, aerial photographs and property appraiser records at no cost to the Contractor. Page lof3 The Contractor shall furnish all labor, materials, supervision, equipment, supplies and incidentals required to perform the scope of work as in the detailed specifications listed below and shall invoice the City on a monthly basis. The City will issue a Purchase Order for a one-year period. the term ending on September 30, 2013. All deliverables listed below will be completed by the Contractor by September 30, 2013: A. Ongoing maintenance services include but are not limited to: • Regular maintenance and updates to the GIS database. • Create and maintain all City shapefiles (layers). • Maintain "ALF" and "Group Home" Maps. • Create and maintain digital Emergency Evacuation Assistance Program Maps. • Maintain the digital Code Compliance Officer District Map • Maintain the Flood Zones. • Street Annotation Layer. • Address Annotation Layer. • Physical address layer which contains all addresses in the City of South Miami, including those parcels that have their addresses blocked. This layer will also be used be used with the Web GIS solution for populating mailing labels for parcels that have their addresses blocked. • Create digital incident locations map for the Police Department. • Create digital maps for "Zoning Workshops" or "City Commission Meetings", if necessary. • Creation of digital custom maps (zoning, land use, flood zones, aerial photos, etc.) when requested by City staff. • Weekly updates to the system using Miami-Dade County property appraiser records or information provided by the City. • Updates to drainage water and sewer data as needed using Miami-Dade GIS data or information provided by the City. • Generation of digital mailing labels upon request by City staff. • Ad-hoc generation of digital maps, updating of mapping templates. • Continued assessment and provision of miscellaneous administrative tasks required of the ongoing functionality and availability of the GIS system software and hardware. • NOTE: (All digital maps to be print ready to be printed at the city) B. This section shall be designated and known as the "City of South Miami Conflict of Interest and Code of Ethics Ordinance." This section shan be applicable to all city personnel as defined below, and shall also constitute a standard of ethical conduct and behavior for all autonomous personnel, quasi-Judicial personnel, advisory personnel and departmental personnel. The provisions of this section shan be applied in a cumUlative manner. By way of example, and not as a limitation, subsections (c) and (d) may be applied to the same conjract or transaction. (b) Definitions. For the purposes of this section the following definitions shall be effective: (1) The term "commission members" shall refer to the mayor and the members ofthe city commission. (e) Prohibition on transacting business with the cily. No person included in the terms defined in paragraphs (b)(1) through (6) and in paragraph (b){9) shall enter into any contract or transact any business in which that person or a member of the immediate family has a financial interest, direct or indirect with the city or any person or agency acting for the city, and any such contract, agreement or business engagement entered in violation of this subsection shall render the transaction voidable. Willful violation of this subsection shall constitute malfeasance in offICe and shall effect forfeiture of office or position. Nothing in this subsection shall prohibit or make megal: (1) The payment of taxes, special assessments or fees for services provided by the city government; (2) The purchase of bonds, anticipation notes or other securities that may be issued by the city through underwriters or directly from time to time. Waiver of prohibition. The requirements of this subsection may be waived for a particular transaction only by four affirmative votes ofthe city commission after public hearing upon finding that: (1) An open-to-all sealed competitive proposal has been submitted by a city person as defined in paragraphs (b)(2), (3) and (4); (2) The proposal has been submitted by a person or firm offering services within the scope of the practice of architecture, professional engineering, or registered land surveying, as defined by the laws of the state and pursuant'to the provisions of the Consultants' Competitive Negotiation Act, and when the proposal has been submitted by a city person defined in paragraphs (b)(2), (3) and (4); (3) The property or services to be involved in the proposed transaction are unique and the city cannot avail itself of such property or services without entering a transadion which would lIiolate this subsection but for waiver of its requirements; and (4) That the proposed transaction will be in the best interest of the city. Additionally, no person included in the term defined in paragraph (b)(1) shall vote on or participate in any way in any matter presented to the city commission if that person has any of the following relationships with any of the persons or entities which would be or might be directly or indirectly affected by any action of the city commission: (e) (1) Officer, director, partner, of counsel, consultant, employee, fiduciarY or beneficiarY; or (2) Stockholder, bondholder, debtor, or creditor, if in any instance the transaction or matter would affect.the person defined In paragraph (b)(1) in a manner distinct from the manner in which it would affect the public generally. Should any person Included in the terms defined in paragraphs (b)(1) through (6) be employed bya corporation, firm, partnership or business entity in which that person or the immediate family does not have a controlling financial interest, and should the corporation, firm, partnership or business entity have substantial business commitments to or from the city or any city agency, or be subject to direct regulation by the city or a city agency, then the person shall file a sworn statement disclosing such employment and interest with the clerk of the city. (0) Exploitation of official position prohibited. No person included in the terms defined in paragraphs (b)(1) through (6) shall corruptly use or attempt to use an official position to secure special privileges or exemptions for that person or others. (h) Prohibition on use of confidential information. No person included in the tenns defined in paragraphs (b)( 1) through (6) shall accept employment or engage In any bUsiness or professional activity which one might reasonably expect would require or induce one to disclose confidential information acquired by reason of an official position, nor shall that person in fact ever disclose confidential information gamered or gained through an official pOSition with the city, nor shall that person ever use such information, directly or indirectly, for personal gain or benefit (/) Conflicting employment prohibiled. Generally prohibited. No full·time city employee shall accept outside employment, either incidental. occasional or otherwise, where city time, equipment or material is to be used or where such employment or any part thereof Is to be perfonned on city time. b, When pennitted. A full-tIme city employee may accept Incidental or occasional outside employment so long as such employment Is not contrary, detrimental or adverse to the interest of the city or any of its departments and the approval required In subparagraph c. is obtained. c. Approval of department head required. Any outside employment by any full-time city employee must first be approved in Writing by the employee's department head who shall maintain a complete record of such employmenl d. Penalty. Any person convicted of violating any provision of this subsection shall be puniShed as provided In section 1-11 of the Code of Miami-Dade County and, in addition shall be subject to dismissal by the appointing authority. The city may also assess against a violator a fine not to exceed $500.00 and the costs of investigation incurred by the city. (2) All full-time cily employees engaged in any outside employment for any person, firm, corporation or entity other than the city, or any of its agencies or instrumentalities, shall file, under oath, an annual report indicating the source althe outside employment, the nature of the work being done and any amount of money or other consideration received by the employee from the outside employment. City employee reports shall be filed with the city clerk. The reports shall be available at a reasonable time and place for inspection by the pubnc. The city manager may require monthly reports from individual employees or groups of employees for good cause. (k) Prohibited investments. No person included in the terms defined in paragraphs (b)(1) through (6) or a member of the immediate family shall have personal Investments in any enterprise which will create a substantial conflict between private interests and the public interest. (I) Certain appearances and payment prohibited. (1) No person included in the terms defined in paragraphs (b)(1), (5) and (6) shall appear before any city board or agency and make a presentation on behalf of a third person with respect to any matter, license, contract, certifICate, ruling, deCiSion, opinion, rate schedule, franchise, or other benefit sought by the third person. (n) Acquiring financial interasts. No person Included in the tenns defined in paragraphs (b)(1) through (6) shall acquire a financial interest in a project, business entity or property al a time when the person believes or has reason to believe that the financial interest may be directly affected by official actions or by official actions by the city or city agency of which the person is an official, officer or employee. (0) Recommending professional services. No person included in the terms defined in paragraphs (b)(1) through (4) may recommend the services of any lawyer or law firm, architect or architectural firm, public relations firm, or any other person or firm, professional or otherwise. to assist in any transaction involving the city or any of its agendes, provided that a reeommendation may properly be made when required to be made by the duties of office and in advance ata public meeting attended by other city offiCials, officers or employees. (2) The provisions of the subsection shall not apply to persons who become employed by governmental entities, 501(c)(3) non-profrt entities or educational institutions or entities, and who lobby on behalf of those entities in their official capacities. (3) The provisions of this subsection shall apply to a/l persons described in paragraph (p)(1) whose city service or employment ceased after the effective date of the ordinance from which this section derives. (4) No person described in paragraph (p)(1) whose city service or employment ceased within two years prior to the effective date of this ordinance shall for a period of two years after his or her service or employment enter into a lobbying contract to lobby any city official in connection with any subject described in paragraph (p)(1) in which the city or one of its agencies is a party or has any direct and substantial interest; and in which he or she participated directly or indirectly through decision, approval, disapproval, recommendation, the rendering of advice, investigation, or otherwise, dIning his or her city service or employment. A person participated "directly" where he or she was substantially involved in the particular subject matter through decision, approval, disapproval, recommendation, the rendering of advice, investigation, or otherwise, during his or her city service or employment. A person participated "indirectly" where he. or she knowingly participated in any way in the particular subject matter through decision, approval, disapproval, recommendation, the rendering of advice, investigation, or otherwise, during his or her city service or employment. All persons covered by this paragraph shall execute an affidavit on a form approved by the city attorney prior to lobbying any city official attesting that Ihe requirements of this subsection do not preclude the person from lobbying city offICials .. (5) Any person who violates this subsection shall be subject to the penalties provided in section SA-2(p). (ql City attomey to render opinions on request. Work involved, complete model update of the 4-step travel demand model, including model calibration and validation process, development of User Guide and Documentation conforming to the VDOT standard modeling platform. Petoskey Regional Travel Demand Model, Petoskey, MI, Lead Modeler: • Developed and completely recalibrated the Petoskey travel demand model, for the Petoskey Area Transportation Study. Work involved TransCAD based model development, calibration process to reflect the peak-season travel in this summer resort area. Work also involved alternatives analysis, including several proposed improvements and testing 2004-2007 Piedmont Authority for Regional Transportation (PART), Greensboro, N.C.: Transportation Modeler. Mr. Varanasi served as key modeler in the Piedmont Triad Regional Model (PTRM) development. He developed innovative techniques in creating region-wide master highway network development and area type sub model development. He served as a key member in model calibration and validation activities. Mr. Varanasi processed Census auto ownership, income data for the use in PTRM. He also processed the PTRM onboard travel survey data for use in mode choice development of PTRM. Project Engineer for Rail Grade Separation Studies. As the on-call consultant for INDOT's office of Corridor Mobility, Ms. Hoch assisted in the preparation of engineering scoping studies for potential grade separations at eight high· volume at- grade rail crossings in northern Indiana -five in the LaPorte District and three in the Fort Wayne District. The studies investigated the feasibility of replacing at-grade rail crossings with grade separations. Ms. Hoch gathered project information from various geographic information system (GIS) sites and researched Federal Railroad Administration data sources and design requirements. Project Engineer for the SR 61 Boonville Bypass. This project consists of a four- mile, two-lane bypass around the western side of the City of Boonville in Warrick County, Ind. Ms. Hoch assisted with the preparation of the Environmental Assessment by measuring the anticipated impacts on environmental resources for the more than 15 preliminary alternatives. The scope of work as presented in the invitation to quote (ITQ) identifies the following three primary phases: 1. Ongoing Maintenance Services 2. Geographic Information System (GIS) Development Services 3. GIS Data Conversion Services The following is the Corradino Team approach to each of the three phases. It is understood that the city has existing layers that it uses. These will be checked for accuracy and completion and then maintained quarterly. In the second phase, we will assist in building a customized system. We can help install and configure the Arcview system, we will assure that the maps are useable on the City's website and we will compile various data into customized layers showing building, permitting and zoning archives. In the third phase, we will be able to create new layers from various data sources. Finally, we will be available for special projects as needed whether it is the collection of individual data sets, evaluating new technologies, or performing special analyses. As such we have included hourly rates for our lead GIS expert/programmer, GIS technician and GIS administrative support. PHASE 1: ONGOING MAINTENANCE SERVICES As Corradino has done in the past, this phase will develop the GIS database essential to fulfill the City's GIS mapping needs. The tasks will encompass, an internal review of the existing system, creating and/or updating existing GIS shapefiles (layers) as need be for the City. In doing so, the team will coordinate with the City, the county, the state, any other government agencies, and utility companies in order to keep the most up-to- date layers on the database. Task 1. Create and maintain the City's $1,614 All GIS maps have consistent layers which are essential to the identification of the City's new maps. The following layers are identified as background GIS layers: a. Street Annotation Layer CORRADINO I RFP No. 12-01 City OF South Miami GEOGRAPHIC INFORMATION SYSTEMS (GIS) PROFESSIONAL SERVICES It is assumed that current street layers from the Miami-Dade County will form the basis for this item of the GIS database. The layers from the county can be merged and then separate layers for federal interstates, federal highways, state highways, county highways, local roads, arterial city streets and neighborhood city streets can be generated. Corradino will update the layer as needed with new development. The layer will be update with the understanding and approval of the City's staff. b. Water Features Layer It is also assumed that current water layers from the Miami Dade County will be the basis for this item of the GIS database. City's Boundary Layer The City's Boundary Layer will be updated and maintained with the understanding and approval from the Town's staff. c. The City's Aerial Layers Aerials layers will be obtained from the Miami-Dade County and the Florida Department of Transportation aerial system and will be maintained and updated as provided. Task 2. Create and Maintain the City's $13,182 The GIS feature layers are created to identify certain data throughout a geographical area. The feature layers will be split into three items as follows: 2.7-Quarterly Updated GIS Layers These feature layers and maps will be updated on a quarterly bases and as specified by the City's staff. The following layers and maps will be updated quarterly: a. "Assisted Living Facility" (ALF) and "Group Home" layer. As successfully done in other local municipalities, Corradino will provide the ALF and Group Homes layer that would display all the ALF and Group Homes located within the City. With the provided information of the ALF and Group Home facilities by the City, the data for this layer will be updated on a weekly basis and would help enforce the City's buffer area between such facilities. b. Incidents locations layer for Police Department. The team will coordinate with the City's Police Department in order to create and update the incidents layer. The team will coordinate with the county's property appraiser's office for updates done within the City. d. Update of Land Use & Zoning Layers Corradino will use the same successful approach as used in other local municipalities when updating and maintaining the Land Use & Zoning layers. The layer will be updated with the understanding and approval of the City's staff. e. Update of Flood Zones Layer When producing the Comprehensive Master Plan for other municipalities in Miami-Dade County, Corradino has created this layer. Corradino will continue to update and maintain the layer with coordination from the County and the Federal Emergency Management Agency whenever an update is conducted. f. Updates to Water and Sewer Layer It is assumed that the County and Town will provide the current or future layer of the Town's Water and Sewer system. The layer will be updated with coordination from the Miami-Dade County Water and Sewer Management Department and the City's staff. g. Code Compliance Officer District Layer It is assumed that the City will provide the current Code Compliance Officer District map. The layer would be updated and maintained with the understanding and approval from the City's Code Compliance Officer. h. Emergency Evacuation Assistant Program Layer As mentioned in part b, Corradino will update and maintain the layer with coordination from the County and the Federal Emergency Management Agency whenever an update is conducted. f. Public Transportation Layers Being involved in numerous Transportation Master Plans, Corradino has created and updated many public transit layers. PHASE 2: GIS DEVELOPMENT SERVICES $6,725 2.1 -Historical building permits, zoning documents, and Code Compliance Information Layers The City has a growing need to develop a GIS database to better keep track of historical building permits, zoning documents and code compliance information. Corradino would create a database using the City's historical records and with assistance from the City's staff. 2.2 -Zoning Informational Interactive Web Access Corradino will coordinate with the City's IT Coordinator and Web Developer to create a more interactive way for the public to access the City's zoning information through the web. 2.3 -Mapping Software Corradino can install and configure the Arcviewer program and create a customized GIS system. It is assumed that the Town will want ArcView licenses to utilize the developed GIS database. These can be purchased as single-use licenses or concurrent- use licenses. The type of licenses supplied will depend on how the GIS database will be used and by which staff member and how often it will be accessed. Corradino will provide written and on-site training in the use of the software and GIS database. Corradino provides similar services for concurrency management, transit agencies and other asset management clients. PHASE 3: GIS DATA SERVICES $2,152 Corradino has experience in Geo-referencing GIS data in many projects around the South Florida Area. As mentioned before, Corradino has developed inventory analysis of signs for Tri-Rail and other transit authorities. With this same procedure, Corradino would be able to adapt any geo-reference data the City needs; such as the City's facilities signs and trees; to have analyzed for any City project. This section shall be designated and known as the "City of Sou til Miami Conflict of Interest and Code of Ethics Ordinance." This section shall be applicable to all city personnel as defined below, and shall also constitute a standard of ethical conduct and behavior for all autonomous personnel, quasi-judicial personnel. advisory personnel and departmental personnel. The provisions of this section shall be applied in a cumulative manner. By way of example, and not as a limitation, subsections (c) and (d) may be applied to the same conjract or transaction. (b) Definitions. For the purposes of this section the following definitions shall be effective: (1) The term "commission members" shall refer to the mayor and the members of the city commission. (2) The term "autonomous personnel" shall refer to the members of autonomous authorities, boards and agencies, such as the city community redevelopment agency and the health facilities authority. (3) The term "Quasi-judicial personnel' shall refer to the members of the planning board. the environmental review and preservation board, the code enforcement board and such other individuals, boards and agencies of the city as perform quasi-judicial functions. (4) The term "advisory personnel" shall refer to the members of those city advisory boards and agencies whose sale or primary responsibility is to recommend legislation or give advice to the city commission. (5) The term "departrpentat personnel" shall refer to the city clerk, the city manager, department heads, the city attomey, and al/ assistants to the city clerk, city manager and city attorney, however titled, (6) The term "employees" shall referto all other personnel employed by the city. (7) The term "compensation" shall refer to any money, gift. favor, thing of value or financial benefit conferred, orto be conferred, in return for services rendered orto be rendered. (8) The term "controlling financial interest" shall refer to ownership. directly or indirectly, of ten percent or more of the outstanding capital stock in any corporation or a direct or indirect interest of ten percent or more in a firm, partnership, or other business entity at the time of transacting business with the city. (9) The term "immediate family" shall refer to the spouse, parents, children, brothers and sisters of the person involved. (10) The term "transact any business" shall refer to the purchase or sale by the city of specific goods or services for consideration and to submitting a bid, a proposal in response to a RFP, a statement of qualifications in response to a request by the city, or entering into contract negotiations for the proviSion on any goods or services. whichever first occurs. (e) Prohibition on transacting business with the city. No person included in the terms defined in paragraphs (b)(1) through (6) and in paragraph (b)(9) shall enter into any contract or transact any business in which that person or a member of the immediate family has a financial interest, direct or indirect with the city or any person or agency acting for the city, and any such contract, agreement or business engagement entered in violation of this SUbsection shall render the transaction voidable. Willful violation of this subsection shall constitute malfeasance in office and shall effect forfeiture of office or position. Nothing in this subsection shall prohibit or make illegal: (1) The payment of taxes, special assessments or fees for services provided by the city govemment; (2) The purchase of bonds, anticipation notes or other securities that may be issued by the city through underwriters or directly from time to time. Waiver of prohibition. The requirements ofthis SUbsection may be waived for a particular transaction only by four affirmative votes of the city commission after public hearing upon finding that: (1) An open-to-all sealed competitive proposal has been submitted by a city person as defined in paragraphs (b)(2), (3) and (4); (2) The proposal has been submitted by a person or firm offering services within the scope of the practice of architecture, professional engineering, or registered land surveying, as defined by the laws of the state and pursuant to the provisions of the Consultants' Competitive Negotiation Act, and when the proposal has been submitted by a city person defined in paragraphs (b)(2}, (3) and (4); (3) The property or services to be involved in the proposed transaction are unique and the city cannot avail itself of such property or services without entering a transaction which would violate this subsection but for waiver of its requirements; and (4) That the proposed transaction will be in the best interest of the city. This subsection shall be applicable only to prospective transactions, and the city commission may in no case ratify a transaction entered in violation of this subsection. Provisions cumulative. This subsection shall be taken to be cumulative and shall not be construed to amend or repeal any other law pertaining to the same subject matter. No pe~on included in the terms defined in paragraphs (b)(1) through (6) and in paragraph (b)(9) shall enter into any contract or transact any business through a firm, corporation, partnership or business entity in which that person or any member of the immediate family has a controlling financial interest, direct or indirect, with the city or any person or agency acting for the city, and any such contract, agreement or business engagement entered in violation of this subsection shall render the transaction voidable .. The remaining provisions of subsection (c) will also be applicable to this subsection as though incorporated by recitation. Additionally, no person included in the term defined in paragraph (b)(1) shall vote on or participate in any way in any matter presented to the city commission if that person has any of the following relationships with any ofthe persons or entities which would be or might be directly or indirectly affected by any action of the city commission: (e) (1) Officer, director, partner, of counsel, consultant. employee, fiduciary or beneficiary; or (2) Stockholder, bondholder, debtor, or creditor. if in any instance the transaction or malter would affect the person defined in paragraph (b)(1) in a manner distinct from the manner in which it would affect the public generally. Any person included in the term defined in paragraph (b)(1) who has any of the specified relationships or who would or might, directly or indirectly, realize a profit by the action of the city commission shall not vote on or participate in any way in the malter. Gifts_ (1) (2) (3) Definition. The term "gift" shall refer to the transfer of anything of economic value. whether in the form of money, service, loan, travel, entertainment, hospitality, item or promise. or in any other form, without adequate and lawful consideration. Exceptions. The provisions of paragraph (e)(1) shall not apply to: a. Political contributions specifically authorized by state law; b. Gifts from relatives or members of one's household. unless the person is a conduit on behalf of a third party to the delivery of a gift that is prohibited under paragraph (3); c. Awards for professional or civic achievement; d. Material such as books, reports, periodicals or pamphlets which are solely informational or of an advertiSing nature. Prohibitions. A person described in paragraphs (b)(1) through (6) shall neither soliCit nor demand any gift. It is also unlawful for any person or entity to offer. give or agree to give to any person included in the terms defined in paragraphs (b)(1) through (6), or for any person included in the terms defined in paragraphs (b)(1) through (6) to accept or agree 10 accept from another person or entity, any gift for or because of: a. An official publiC action taken. or to be taken. or which could be taken, or an omission or failure to take a public action; b. A legal duty perfonmed or to be perfonmed. or which could be performed, or an omission or failure to perform a legal duty; c. A legal duty violated or to be violated. or which could be Violated by any person included in the term defined in paragraph (b)(1); or d. Attendance or absence from a public meeting at which official action is to be taken. (4) Disclosure. Any person included in the term defined in paragraphs (b)(1) through (6) shall disclose any gift, or series of gifts from anyone person or entity, having a value in excess of $25.00. The disclosure shall be made by filing a copy of the disclosure form required by chapter 112, Florida Statutes, for "local officers" with the city clerk simultaneously with the filing of the form with the clerk of the county and with the Florida Secretary of State. (f) Compulsory disclosure by employees offirms doing business with the city. Should any person included in the terms defined in paragraphs (b)(1) through (6) be employed by a corporation, firm, partnership or business entity in which that person or the immediate family does not have a controlling financial interest, and should the corporation. firm, partnership or business entity have substantial business commitments to or from the city or any city agency, or be subject to direct regulation by the city or a city agency, then the person shall file a sworn statement disclosing such employment and interest with the clerk of the city. (g) Exploitation of official position prohibited. No person included in the terms defined in paragraphs (b)(1) through (6) shall corruptly use or altempt to use an official position to secure special privileges or exemptions for that person or others. (h) Prohibition on use of confidential infonnation. No person included in the terms defined in paragraphs (b)(1) through (6) shall accept employment or engage in any business or professional activity which one might reasonably expect would requite or induce one to disclose confidential information acquired by reason of an official position, nor shall that person in fact ever disclose confidential infonmation gamered or gained through an official position with the city. nor shall that person ever use such information, directly or indirectly, for personal gain or benefit (i) Conflicting employment prohibited. No person included in the terms defined in paragraphs (b)(1) through (6) shall accept other employment which would impair independence of judgment in the performance of any public duties. (1) No person included in the terms defined in paragraphs (b)(6) shall receive any compensation for services as an officer or employee of the city from any source other than the city, except as may be permitted as follows: a. Generally prohibited. No full-time city employee shall accept outside employment, either incidental, occasional or otherwise, where city time, equipment or material is to be used or where such employment or any part thereof is to be performed on city time. b. When permitted. A full-time city employee may accept incidental or occasional outside employment so long as such employment is not contrary, detrimental or adverse to the interest of the city or any of its departments and the approval required in subparagraph c. is obtained. c. Approval of department head required. Any outside employment by any full-time city employee must first be approved in writing by the employee's department head who shall maintain a complete record of such employment. d. Penally. Any person convicted of violating any provision of this subsection shall be punished as provided in section 1-11 ofthe Code of Miami-Dade County and, in addition shall be subject to dismissal by the appointing authority. The city may also assess against a violator a fine not to exceed $500.00 and the costs of investigation incurred by the city. (2) All full-time city employees engaged in any outside employment for any person, firm, corporation or entity other than the city, or any of its agencies or instrumentalities, shall file, under oath, an annual report indicating the source of the outside employment, the nature of the work being done and any amount of money or other consideration received by the employee from the outside employment. City employee reports shall be filed with the city clerk. The reports shall be available at a reasonable time and place for inspection by the public. The city manager may require monthly reports from individual employees or groups of employees for good cause. (k) Prohibited investments. No person included in the terms defined in paragraphs (b)(1) through (6) or a member of the immediate family shall have personal investments in any enterprise which will create a substantial conflict between private interests and the public interest. (I) Certain appearances and payment prohibited. (1) No person included in the terms defined in paragraphs (b)(1), (5) and (6) shall appear before any city board or agency and make a presentation on behalf of a third person with respect to any matter, license, contract, certificate, ruling, deciSion, opinion, rate schedule, franchise, or other benefit sought by the third person. Nor shall the person receive any compensation or gift, directly or indirectly, for services rendered to a third person, who has applied for or is seeking some benefit from the city or a city agency, in connection with the particular benefit sought by the third person. Nor shall the person appear in any court or before any administrative tribunal as counselor lega! advisor to a party who seeks legal relief from the city or a city agency through the suit in question. (2) No person included in the terms defined in paragraphs (b)(2), (3) and (4) shall appear before the city commission or agency on which the person serves, either directly or through an associate, and make a presentation on behalf of a third person with respect to any matter, Ucense, contract, certificate, ruling, decision, opinion, rate schedule, franchise, or other benefit sought by the third person. Nor shall such person receive any compensation or gift, directly or indirectly, for services rendered to a third party who has applied for or is seeking some benefit from the city commission or agency on which the person serves in connection with the particular benefit sought by the third party. Nor shall the person appear in ahy court or before any administrative tribunal as counselor legal advisor to a third party who seeks legal relief from the city commission or agency on which such person serves through the suit in question. (m) Actions prohibited when financial interests involved. No person included in the terms defined in paragraphs (b) (1) through (6) shall participate in any official action directly or indirectly affecting a business in which that person or any member of the immediate family has a financial interest. A financial interest is defined in this subsection to include, but not be limited to, any direct or indirect interest in any investment, equity, or debt. (n) Acquiring financial interests. No penson inCluded in the terms defined in paragraphs (b)(1) through (6) shall acquire a finanCial interest in a prOject, bUSiness entity or property at a time when the penson believes or has reason to believe that the financial interest may be directly affected by official actions or by official actions by the city or city agency of which the person is an offiCial, officer or employee. (0) Recommending professional services. No person included in the terms defined in paragraphs (b)(1) through (4) may recommend the services of any lawyer or law firm, architect or architectural firm, public relations firm, or any other person or firm, professional or otherwise, to assist in any transaction involving the city or any of its agencies, provided that a recommendation may properly be made when required to be made by the duties of office and in advance at a public meeting attended by other city officials, officers or employees. (PI Continuing application after city service. (1) No penson included in the terms defined in paragraphs (b)(1), (5) and (6) shall, for a period of two years after his or her city service or employment has ceased, lobby any city official [as defined in paragraphs (b)(1) through (6)] in connection with any judicial or other proceeding, application, RFP, RFQ, bid, Municode Page 4 of4 request for ruling or other determination, contract, claim, controversy, charge, accusation, arrest or other particular subject matter in which the city or one of Its agencies is a party or has any interest whatever, whether direct or indirect. Nothing contained in this subsection shall prohibit any individual from submitting a routine administrative request or application to a city department or agency during the two-year period after his or her service has ceased. (2) The provisions of the subsection shall not apply to persons who become employed by governmental entities, 501(c)(3) non-profit entities or educational institutions or entities, and who lobby on behalf of those entities in their offiCial capacities. (3) The provisions of this subsection shall apply to all persons described in paragraph (p)(1) whose city service or employment ceased after the effective date of the ordinance from which this section derives. (4) No person described in paragraph (p)(1) whose city service or employment ceased within two years prior to the effective date of this ordinance shall for a period of two years after his or her service or employment enter into a lObbying contract to lobby any city official in connection with any subject described in paragraph (p)(1) in which the city or one of its agencies is a party or has any direct and SUbstantial interest; and in which he or she participated directly or indirectly through decision, approval, disapproval, recommendation, the rendering of advice, investigation, or otherwise, during his or her city service or employment. A person partiCipated "directly" where he or she was substantially involved in the particular subject matter through decision, approval, disapproval, recommendation, the rendering of advice, investigation, or otherwise, during his or her city service or employment. A person participated "indirectly" where he or she knowingly participated in any way in the particular subject matter through decision, approval, disapproval, recommendation, the rendering of advice, investigation, or otherwise, during his or her city service or employment. All persons covered by this paragraph shall execute an affidavit on a form approved by the city attorney prior to lobbying any city official attesting that the requirements of this subsection do not preclude the person from lobbying city officials.
