11" 1 RESOLUTION NO. _____ _ 2 3 A Resolution authorizing the City Manager to enter into a three-year 4 contract with LexisNexis to provide online legal pUblications. 5 6 WHEREAS, the City currently has a contract with West to provide the Human Resource 7 Department with legal publications devoted to labor related issues; and 8 9 WHEREAS, the City also has a need to provide its legal department with legal 10 publications relating to labor law, land use and other governmental issues; and 11 12 WHEREAS, LexisNexis, a division of Reed Elsevier, Inc., and West are the primary 13 legal publication companies that provide the type of legal publications needed by the Legal and 14 Human Resource Departments of the City; and 15 16 WHEREAS, LexisNexis is a sole source for the online legal researching tools that it 17 makes available to its customers, as well as for some of the online legal publication that it 18 provides. 19 20 NOW, THEREFORE, BE IT RESOLVED BY THE MAYOR AND CITY 21 COMMISSION OF THE CITY OF SOUTH MIAMI, FLORIDA: 22 23 Section 1. The City Manager is hereby authorized to enter into the attached a three-year 24 contract with Reed Elsevier, Inc., through a division of the company known as "LexisNexis" 25 to provide the Legal and Human Resource Departments with legal publications for an amount 26 not to exceed $3,180.00 the first year, $3,339.00 the second year and $3,506.04 the third year. 27 The contract sum shall be expended from account # 001-1330-513-5410 with a current balance 28 of $3,400. 29 30 Section 3. If any section clause, sentence, or phrase of this resolution is for any reason 31 held invalid or unconstitutional by a court of competent jurisdiction, the holding shall not affect 32 the validity of the remaining portions of this resolution. 33 34 Section 4. Upon release, the Lexis Advance offering may be designed primarily for specific types of users wtthin Customer's organization whom,LN may recommend as the target user group, but ()s will be progressively released throughout the organization as additional functionality and content is made available. To the extent available in Lexis Advance, Customer w ill have access to the same content in Lexis Advance as it currently has access to under this Agreement, including Customer's access to materials outside Its subscription (e.g., if Customer currently has access to out-of-plan usage, Customer will have access to content on a transactional basis in Lexis Advance). If Customer has access to out- of-plan content In Lexis Advance, Customer agrees to pay the then-current transactional charges for such content as such charges are available to Customer in the Lexis Advance user interface at the time the document is accessed. ("LN") and City of South Miami rSubscriber") for access to and use of the Online Services, including any and all amendments thereto (collectively the "Agreemenr). 1. Term. The term of this Addendum (the "Addendum") shall be coterminous with the Agreement. 2. Governing Law; Applicable Law. Notwithstanding anything to the contrary in the Agreement, the Agreement shall be governed by the law of the Slate in which Subscriber is located ("Subscriber's State"). LN agrees to comply with all applicable laws of Subscriber's State in the performance of its obligations under the Agreement. Furthermore, any provision of the Agreement which is contrary to the law of Subscriber's State shall be deemed to be modified to the extent necessary to be permissible under Subscriber's State law. 3. Non-Appropriation of Funds. If sufficient funds are not appropriated or allocated for payment under the Agreement for any current or future fiscal period, then Subscriber, at its option, may terminate the Agreement on the last day of any calendar month upon ten (10) days prior written notice to LN, without future obligations, liabilities, or penalties to LN, except for amounts due up to the time of termination. In addition, Subscriber shall certify and warrant in writing that sufficient funds have not been appropriated to continue the Agreement for the next fiscal year. 4. Miscellaneous.
