DBA O'F ARRILL LEARNING CENTER FOR THE USE OF CITY OF SOUTH MIAMI BUILDING LOCATED AT 6121 SW 68 111 STREET BACKGROUND & ANALYSIS: On March 15 1983, the City entered into an agreement with Miami-Dade County for the use of the City building located at 6121 SW 68 th Street. The 4,555 square feet space has since been used by the County for the purpose of conducting the Head Start Program under the supervision of Miami-Dade County Community Action Agency. Since 1983, the agreement has been amended once (March 15, 1985). In 2003, the annual cost of providing services to the building, our cost was estimated at approximately $40,000. This included the cost for utilities (electricity, water and sewer), janitorial supplies and services and cost of contractual extermination services. After much discussion/negotiation with the county in 2003, the county agreed to pay for all utility bills (electricity, water and sewer), cleaning supplies to be used at the building and contractual exterminating service fee, effective October 1, 2003. In addition, the county was required to continue to pay the $22,000 annual rental and the county was given full occupy the entire Page 1 of2 building space of 5,460 square feet. The negotiated amendment to the agreement was intended to reduce the City's expenses by approximately $18,000 a year. Miami-Dade County has now outsourced the Head Start Programs and desires to sub-lease the property to Lliraff 0., Inc. dba O'Farrill Learning Center RECOMMENDATION: It is recommended that the City Commission approve the ordinance. D/B/A O'Farrill 5 Learning Center for the use of a City of South Miami Building located at 6 6121 SW 68 th Street. 7 8 WHEREAS, on March 15 1983, the City entered into an agreement with Miami-Dade 9 County for the use of the City building located at 6121 SW 68th Street, South Miami, Florida. 10 The 4,555 square feet space has since been used by the County for the purpose of conducting the 11 Head Start Program under the supervision of Miami-Dade County Community Action Agency. 12 Since 1983; and 13 14 WHEREAS, on February 2, 1984, by Miami-Dade County Resolution No. R-179-84, 15 adopted by the Board of County Commissioners, the Board of County Commissioners authorized 16 an amendment to the lease, which was later executed on March 15, 1985, for that certain 17 property located at 6121 SW 68th Street, South Miami, Florida and consisting of approximately 18 5,460 square feet of air-conditioned space; and 19 20 WHEREAS, Miami-Dade County have outsourced the running of the Head Start 21 Program to Lliraff 0., Inc. d/b/a O'Farrill Learning Center and wish to sub-lease the property in 22 question to them; and 23 WHEREAS, both landlord and tenant are desirous of sub-leasing the property to for the 24 purpose of conducting a Head Start Program in South Miami and for the continuation of the 25 payment by Miami-Dade County of $22,000.00 annually in rent. The Sub-Tenant shall maintain 26 and purchase the electricity, water and sewer, exterminating, emergency back up lighting and 27 cleaning supplies to be used by the Sub-Tenant.; and 28 29 WHEREAS, the Mayor and City Commission of the City of South Miami, Florida, 30 wishes to allow Miami-Dade County to sub-lease the City's building located at 6121 SW 68th 31 Street, South Miami, Florida, to Lliraff 0., Inc. d/b/a O'Farrill Learning Center; and 32 33 NOW, THEREFORE, BE IT ORDAINED BY THE MAYOR AND CITY 34 COMMISSION OF THE CITY OF SOUTH MIAMI, FLORIDA: 35 Section 1: The City Manager is authorized to enter into the attached Sub-Lease with 36 Miami-Dade County and, Lliraff 0., Inc. d/b/a O'Farrill Learning Center for the use of City 37 property located at 6121 SW 68th Street, South Miami, Florida. 38 39 Section 2. ARTICLE II COMPLIANCE WITH LEASE AGREEMENT Except as otherwise set forth herein, or expressly modified hereby, the Lease Agreement terms are incorporated herein by reference as fully as if the terms and provisions thereof were set forth herein. In no event shall TENANT be deemed to have assumed the responsibilities of the LANDLORD under the Page 2 of14 Lease Agreement except as specifically provided herein, nor shall TENANT be responsible for the compliance of the LANDLORD with the provisions of the Lease Agreement or the SUB TENANT with this Sub Lease Agreement. SUB-TENANT shall be responsible for janitorial and custodial services, trash disposal, dumpster, cable TV, telephone and data equipment and any other applicable utility. Nothing contained herein shall release the TENANT from any obligation to the LANDLORD as set forth in the Lease Agreement. Page 3 of14 ARTICLE V ALTERATIONS BY SUB-TENANT SUB-TENANT may not make any alterations, additions, or improvements in or to the Demised Premises without the written consent of TENANT and LANDLORD. Any such SUB-TENANT installed improvements, fixtures and finishes in the Demised Premises are at the~lJB-TENANT'-s sole cost. ARTICLE VII NO LIABILITY FOR PERSONAL PROPERTY All personal property placed or moved in the Demised Premises above described shall be at the risk of SUB-TENANT or the owner thereof. TENANT shall not be liable to SUB-TENANT for any damage to said personal property unless caused by or due to the sole negligence of TENANT, TENANT's agents or employees, subject to all limitations of Florida Statutes, Section 768.28. The LANDLORD must be named as additional "named" insured for all policies, except Workers' Compensation, and reflect the indemnification and hold harmless provision contained herein The certificate shall provide for 30 days advance written notice to the LANDLORD of any policy modification or cancellation, including cancellation for non-payment of premIUms. The policies shall contain waiver of subrogation against LANDLORD where applicable, shall Page 10 of14 expressly provide that such policy or policies are prImary over any other collective insurance that LANDLORD may have.
