INSURANCE REQUIREMENTS 3

1.0 EARTH LEARNING shall purchase insurance from and shall maintain the insurance with a 5
company or companies lawfully authorized to do business in the state of Florida as will protect 6
EARTH LEARNING from claims as set forth in this document which may arise out of or result 7
from EARTH LEARNING’s operations under the Agreement and for which EARTH 8
LEARNING may be legally liable, whether such operations be by EARTH LEARNING, a 9
vendor or by a Subcontractor or by anyone directly or indirectly employed by any of them, or by 10
anyone for whose acts any of them may be liable. EARTH LEARNING shall provide and 11
maintain in force for the duration of the Market Agreement the insurance coverage for the types 12
of claims set forth below: 13
1.0.1 claims under workers' compensation, disability benefit and other similar employee 14
benefit acts which are applicable to the Work to be performed; 15
1.0.2 claims for damages because of bodily injury, occupational sickness or disease, or 16
death of EARTH LEARNING's employees; 17
1.0.3 claims for damages because of bodily injury, sickness or disease, or death of any 18
person other than EARTH LEARNING's employees; 19
1.0.4 claims for damages insured by usual personal injury liability coverage; 20
1.0.5 claims for damages, other than to the Market itself, because of injury to or 21
destruction of tangible property, including loss of use resulting there from; 22
1.0.6 claims for damages because of bodily injury, death of a person or property damage 23
arising out of ownership, maintenance or use of a motor vehicle; 24
1.0.7 claims for bodily injury or property damage arising out of completed operations; 25
and 26
1.0.8 claims involving contractual liability insurance applicable to EARTH LEARNING's 27
obligations under the Agreement. 28

1.1 Liability Insurance: EARTH LEARNING shall provide and maintain in force for the duration 30
of the Market Agreement the insurance coverage set forth below: 31
1.1.1 Worker's Compensation insurance at the statutory amount as to all employees in 32
compliance with the "Workers' Compensation Law" of the State of Florida and all applicable 33
federal laws. In addition, the policy(ies) must include: Employers' Liability at the statutory 34
coverage amount. EARTH LEARNING shall further insure that all of its Subcontractors 35
maintain appropriate levels of Worker's Compensation Insurance. 36
1.1.2 Comprehensive General Liability with minimum limits of $1,000,000.00 per 37
occurrence combined single limit for Bodily Injury Liability and Property Damage Liability and 38
$2,000,000.00 in the aggregate. In addition, EARTH LEARNING shall carry a $10,000,000.00 39
umbrella as well as $10,000,000.00 in excess coverage. Coverage must be afforded on a form no 40
more restrictive than the latest edition of the Comprehensive General Liability policy, without 41
restrictive endorsements, as filed by the Insurance Services Office, and must include: 42
(a) Premises and Operation 43
(b) Independent Contractors 44
(c) Products and/or Completed Operations Hazard 45
(d) Explosion, Collapse and Underground Hazard Coverage 46

(e) Broad Form Property Damage 1
(f) Broad Form Contractual Coverage applicable to this specific Agreement, including 2
any hold harmless and/or indemnification agreement. 3
g) Personal Injury Coverage with Employee and Contractual Exclusions removed, with 4
minimum limits of coverage equal to those required for Bodily Injury Liability and 5
Property Damage Liability. 6
1.2 Business Automobile Liability. EARTH LEARNING shall provide and maintain in force for 7
the duration of the Market Agreement the insurance coverage with minimum limits of Two 8
Million Dollars ($2,000,000.00). plus an additional Ten Million Dollar ($10,000,000.00) 9
umbrella per occurrence combined single limit for Bodily Injury Liability and Property Damage 10
Liability and Ten Million Dollar ($10,000,000.00) in excess coverage. Coverage must be 11
afforded on a form no more restrictive than the latest edition of the Business Automobile 12
Liability policy, without restrictive endorsements, as filed by the Insurance Services Office, and 13
must include: 14
(a) Owned Vehicles. 15
(b) Hired and Non-Owned Vehicles 16
(c) Employers' Non-Ownership. 17
1.3 Before starting the Market, EARTH LEARNING shall file with the CITY a copy of the 18
policies as well as certificates of such insurance, acceptable to the CITY, the name, address and 19
telephone number of the insurance agent or broker through whom the policy was obtained; these 20
certificates shall contain a provision that the coverage afforded under the policies shall not be 21
canceled or materially changed until at least thirty (30) days prior written notice has been given 22
by the insurer the CITY by certified mail. The insurer shall be rated A.VII or better per A.M. 23
Best’s Key Rating Guide, latest edition and authorized to issue insurance in the State of Florida. 24
EARTH LEARNING agrees that if any part of the workings of the Market under the Agreement 25
is sublet with the consent of the City or pursuant to the Agreement, the subcontract shall contain 26
the same insurance provision as set forth in section 1.1 and 1.2 above substituting the word 27
Subcontractor for the word EARTH LEARNING where applicable. 28
