MURRAY PARK POOL OPERATING AGREEMENT THIS AGREEMENT is made between Swim Gym Aquatics, Inc., a Florida corporation, ( "Operator ") and the City of South Miami, a Florida municipal corporation, ( "City "), on this day of , 2011. WHEREAS, City desires to design and build a community swimming pool facility ( "Facility ") at Murray Park located at 5800 S.W. 66th Street, South Miami, Florida; WHEREAS, Operator desires to participate in the design of the Facility community swimming pool, and supporting amenities, such as a reception area, office, staff area, changing area, bathrooms, viewing area, pump room, chemical room, pool room and outdoor area for the outdoor pool, all necessary to conduct swimming programs and teaching at the Facility; WHEREAS, Operator possesses the requisite skills, training, experience, knowledge, and ability to operate and conduct swimming programs and teaching at the Facility and City does not possess such skills; WHEREAS, City agreed to design and build the Facility at its sole expense and Operator agreed to serve as a consultant on the City's Design/Build Team for selection of a mutually agreeable design and construction based on the same and, subsequently, to operate and maintain the Facility at its sole expense with receipt of all revenue from the operation of the Facility as its compensation; and NOW, THEREFORE, in consideration of the mutual promises and agreements hereinafter set forth, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows: 1. CONDITIONS PRECEDENT: This Operating Agreement ( "Agreement ") shall only take effect upon the occurrence of all of the following events: A. Operator's participation in the design/build process of the Facility, with the Operator consulting and advising the City's Design/Build Team, inclusive of the City - selected design/build firm, and signing -off approval for the Facility's construction at the fifty percent (50 %) state of completion, seventy -five percent (75 %) state of completion, and one - hundred percent (100 %) state of completion; B. The design of the Facility substantially complies with both the design parameters as recommended and provided by the Operator and set forth herein as Agreement Exhibit "A" and the sketch of the land as set forth herein as Agreement Exhibit «B,5. C. The Operator provides detailed guidelines for the Facility including, but not limited to, operations, maintenance, repairs, life safety, security, upkeep, management, etc. as set forth herein as Agreement Exhibit "C." D. The Operator provides a detailed manual for the Facility including, but not limited to, a schedule of hours, programs, classes, fees, etc. as set forth herein as Agreement Exhibit "D." E. The Facility is enclosed by a fence and excludes the parking area for the Facility and the remainder of Murray Park which shall not be considered part of the Facility for purposes of this Agreement, and F. The Facility is constructed and approved for occupancy and use by all applicable government authorities, evidenced by the issuance of a certificate of occupancy by the City, upon completion of the project including, but not limited to, any and all extensions provided for the project's multiple funding sources, whichever of the aforementioned is the latter with no financial consequence or obligation to either party and return of any and all deposits paid. In the event that these conditions precedent are not met within two (2) years of the effective date of this Agreement as defined herein, this Agreement shall become null and void; and thereupon all parties shall be released of any and all obligations under this Agreement and this Agreement shall terminate. 2. TERM: The term of this Agreement shall be for a period of five years commencing on the date that the Facility receives its certificate of occupancy. City shall deliver notice of the issuance of the certificate of occupancy within five business days of its issuance. 3. DESIGN, CONSTRUCTION, AND EQUIPAGE: City shall bear all costs and be solely responsible for the design and construction of the Facility. 4. ACCESS AND UTILITIES: The City will permit and maintain free access to the pool site and, if City changes locks at the pool site, three (3) sets of keys should be supplied to Operator within one (1) working day. City further agrees to furnish the Operator with the following utilities and, upon assuming control of the pool operations, the Operator agrees to assume full responsibility for payment of the monthly usage costs: A. Water Page 2 of 18 B. Electricity C. 110 volt electrical outlet in pump room 5. OPENING: Operator agrees to make pool "ready to swim" by completing the following services, where applicable: A. Provide a pre- season "Pool Data" report of pool facility. ( "Pool Data" report available upon request). Report will cover the following items: 1. Type of equipment 2. Condition of pool 3. Gallons of water 4. Filter type and status 5. Pool pump type and status 6. General condition of pool structure 7. Electrical equipment type and status B. Clean pool (pool bottom must be visible) C. Clean pool decking D. Inspect chemical feed pumps E. Inspect all filtration equipment F. Inspect flow meters, pressure gauges, and valves G. Mount diving boards, guard chairs, and ladders, if applicable H. Clean bathhouse I. Inspect water - testing supplies J. Inspect underwater lights K. Clean, fold, and store pool cover(s) L. Order, store, and inject all necessary chemicals to establish proper levels to meet all State, County, City, and other applicable requirements. Page 3 of 18 M. Set out and clean deck furniture. N. Start up filtration system. O. Perform requisite repair work as required herein this Agreement. NOTE: Operator will automatically install and /or replace those items necessary to meet county code requirements. P. Inspect all skimmers Q. Inspect vacuum system R. Inspect return inlets S. Inspect pump room valve system T. Operator shall maintain all landscaping within the fenced area of the Facility 6. VANDALISM: the Operator shall be completely responsible for any and all cleanup required as the result of vandalism up to the amount ONE THOUSAND DOLLARS ($1,000.00). 7. PERMITS: The Operator shall be completely responsible for applying for and obtaining from the local health department or other regulatory agency a swimming pool operating permit for the City prior to opening. Operator will pay for, in advance, all fees associated with obtaining the permit. The Operator shall advise and assist the City regarding the permit, and will make any necessary repairs and provide those parts and items required to satisfy health department requirements. These repairs will be made in accordance with all the provisions herein this Agreement. 8. MINIMUM SAFETY STANDARDS: The Operator shall bring the City's pool into compliance with minimum standards in the following areas: A. Safety warning signs on pool deck. B. Tile depth marking at water line and on pool deck. C. Safety equipment: ring buoy(s), rescue tube(s), shepherd hook(s), first aid kit, safety rope with buoys, and Automated External Defibrillators (AED). D. GFI circuit breakers for underwater pool lights. E. The Operator shall provide a lightning early warning system. Page 4 of 18 9. POOL OPERATIONS: Operator agrees to furnish certified lifeguards trained in LGT (Lifeguard Training), Community CPR, and First Aid to operate the pool on a schedule as determined by the Operator and approved by the City Manager. Operator represents and warrants it has specific knowledge of all applicable laws, codes and regulations, whether State, County, Municipality, or otherwise, regarding the pool(s) operation and maintenance including, without limitation, providing the required number of properly trained lifeguards, and will ensure that its employees, agents and other parties follow all applicable laws, codes and regulations. At any time a lifeguard is not on duty, the Operator will ensure the pool is not open to the public. NO CHANGE IN DATES OF OPERATION OR HOURS OF OPERATION CAN BE ACCEPTED UNLESS WRITTEN AUTHORIZATION FROM THE CITY MANAGER IS RECEIVED THIRTY (30) DAYS PRIOR TO CHANGE REQUEST. 10. WADING POOL (if applicable): Operator agrees to maintain the wading pool and, where applicable, to maintain water chemistry. 11. PERSONNEL: All Operator personnel who will work at the City's pool in fulfilling the terms of this Agreement, including all lifeguards, shall be employed solely by the Operator and be employees of the Operator. NO LIFEGUARDS SHALL BE ENGAGED BY THE OPERATOR AS AN "INDEPENDENT CONTRACTOR" TO FULFILL THE TERMS OF THIS AGREEMENT. A. The Operator agrees to pay the following for Operator employees, including all lifeguards: 1. wages 2. income tax withholdings 3. Social security withholdings 4. State unemployment insurance 5. Federal unemployment insurance 6. Workmen's compensation insurance Page 5 of 18 B. While the Facility is under Construction, the Operator shall seek City of South Miami residents to train and prepare for the lifeguard and other personnel positions the Operator will require. C. All of the Operator's personnel, without exception, shall submit to and pass a Level II Background Check as defined by Florida Statutes §1012.312 and a Drug Test in order to work at the Facility and proof of the same shall be provided to the City. D. The Operator shall train personnel. Personnel not performing up to the standards of the City will be replaced by the Operator immediately. E. Personnel employed by the Operator shall have Basic Life Guarding Certificates, Lifeguard Training Certificates, or the equivalent, as well as Red Cross CPR and First Aid. F. Personnel employed by the Operator shall go through the Operator's orientation training, onsite training, and an annual guard training review. G. Personnel will be trained in the area of blood borne pathogen and provided a blood borne pathogen exposure control kit. H. Lifeguards shall have the authority to expel swimmers and any and all other persons within the pool facility, within their best judgment and sole discretion consistent with the published and posted rules of the Operator and minimum safety standards as established herein. I. Certified Pool Operators (CPO) will train all management personnel on independent mechanical operation of City's facility. J. Operator's full time management staff will supervise personnel. Operator supervisors will inspect the City's facilities no less than two (2) times each week to check the Facility. The Operator shall provide the City's Parks and Recreation Director or designee with monthly maintenance reports. 12. PERSONNEL RESPONSIBILITIES: Operator personnel responsibilities shall include, but not be limited to, the following duties: A. Life guarding any and all pools the Facility may have. B. Checking water chemistry and record readings a minimum of three (3) times a day or as per State and County requirements. C. Maintaining chemical balance of pool water Page 6 of 18 D. Cleaning tiles around pool edge E. Back washing filtration system as needed F. Cleaning pump system strainer basket G. Cleaning bathhouse daily, and inspect same each hour H. Cleaning swimming pool area daily I. Vacuuming pool a minimum of two (2) times per week or as needed J. Emptying trash receptacles and placing receptacles within the fenced area at the curb on trash days K. Straightening deck furniture L. Replenishing janitorial supplies in bathhouse M. Enforcing the Operator's rules for the safety and convenience of all patrons N. Maintain mechanical equipment O. Report all medical or disciplinary action to the Operator (copies of reports available to City upon request). P. Contacting the City Manager prior to opening for instruction on City's rules and regulations. Q. Lock and secure facility upon closing. R. Demonstration of safety rescue procedures upon request by the City. S. Report and document all action that may jeopardize the spirit and content of this agreement. 13. RAIN DAY: On rain days the Operator will keep one (1) lifeguard at the Pool Facility at all times. Closing of the pool operations due to inclement weather shall be the responsibility of the Pool Operator. Regularly scheduled time permitting, the pool operations will resume immediately thereafter the inclement weather has dissipated and the Operator deems it safe to do so. Operator will inform the City's Parks and Recreation Director or designee of any such closing and reopening. Closing of the Pool Facility for more than four (4) hours for any reason shall require approval from the City's Parks and Recreation Director. Page 7 of 18 14. WATER QUALITY: At no time will the water chemistry cause a failure of permission to operate the pool granted by the State, County, City, or other applicable regulatory body. If, in the discretion of the Operator, it is determined that the water quality is insufficient to properly operate the pool, the Operator shall have the right to close the pool for such period of time as shall be necessary to correct the water quality. Any work performed by Operator shall be subject to the terms and conditions herein this Agreement. 15. CHEMICALS AND SUPPLIES: Operator agrees to supply, at its expense: A. All chemicals for safe and clean pool water throughout the summer. Chlorine Calcium chloride Sodium bicarbonate Stablilizer Algaecides Metal remover Soda ash Pool clarifier Acids Diatomaceous earth Chemicals, other than the above referenced, or substitutions, shall require approval from the City's Parks and Recreation Director. B. The following bathhouse supplies: Soap Disinfectant Deodorizers Toilet Tissue Paper Towels Trash Can Liners C. The following cleaning supplies: Mops Toilet Bowl Brush Brushes Scrubbies Dust Pan Sponges Buckets Page 8 of 18 D. Normal incandescent light bulbs for the bathrooms, pump room, and lifeguard room. The Operator shall be responsible for the cost of replacing all light bulbs. E. Operator shall also be responsible for providing the following equipment: Water Hoses Algae Brushes Pool Vacuum Heads Leaf Net Pool Poles Shepherd Hook Pool Vacuum Hoses Pool Rule Signs Ring Buoys Trash Receptacles Rescue Tubes Water Test Kit Safety Rope and Buoys First Aid Kit F. Operator agrees to supply, at its expense the following: First aid supplies: Band -aides Gauze pads Antibacterial cream Bee sting swabs 16. REPAIR WORK: The Operator shall be responsible for the performance of any and all repair work needed during the term of this agreement and shall provide the City with quarterly reports concerning the same. 17. INSURANCE/LIABILITY: A. Required insurance for the Facility shall include the following: 1. Operator will provide participant liability insurance reasonably satisfactory to City to insure against any claims for negligence arising out of or related to the Operations and will provide City with evidence of such insurance at the time this Agreement is executed. Operator will provide City with a Certificate of Insurance listing the City of South Miami as an additional insured. Page 9 of 18 2. City will supply Operator with a Certificate of Property and Casualty Insurance as to the Facility, confirming the existence of coverage. B. Operator shall maintain and keep in full force the following coverage: 1. Worker's Compensation insurance covering all persons engaged on behalf of the Operator in the performance of the terms of this agreement. 2. General liability insurance in the amount of $5,000,000.00 for each accident and $5,000,000.00 for each person. 3. Professional liability insurance on the lifeguards in the amount of $5,000,000.00. Operator agrees to supply copies of certificates of insurance to the City verifying the above - mentioned insurance coverage. Operator agrees to list City as an Additional Insured of the Operator's General and Professional liability insurance and shall provide the City quarterly reports concerning any and all claims. 18. MISCELLANEOUS: A. City shall require Operator to display signs, at least 8 %2" x 11 ", at all entrances to the pool premises, in plain view, designating the responsibility of the Operator for the pool staff, and, shall seek approval for the same from the City Manager and the City's Environmental Review and Preservation Board (ERPB). B. City agrees to communicate any comments, suggestions, or complaints concerning the pool, pool staff, or management service directly to the Operator management as well as the pool manager. 19. ANNUAL WALK THROUGH: The Operator and the City will complete an annual inspection of the City's facility. It is the intention of the Operator to provide the City with a detailed and specific account of the condition of the Facility. Upon inspection, the Operator will provide a written report sent to the City. At the City's request, Operator will perform any repairs listed in the report, in accordance with this Agreement. 20. OPERATIONS OF THE FACILITY: Operator shall bear all costs and be solely responsible for the operations of the Facility ( "Operations "). Operations shall include the following: Page 10 of 18 A. FACILITY: Operator shall operate and be responsible for the Facility which shall include only the area enclosed by a fence consisting of one outdoor pool, one indoor pool, a reception area, office, staff area, changing areas, bathrooms, viewing area, pump room, chemical room, pool room and outdoor area for the outdoor pool. Operator shall not operate nor be responsible for the area not enclosed by the fence including of the parking area for the Facility and the remainder of Murray Park. B. SCHEDULING AND PROGRAMMING OF THE FACILITY: Operator shall have exclusive control over and be responsible for the scheduling and programming of the Pool Facility. 1. Swimming programs shall include, at a minimum, recreational /open swim, swimming lessons by the Operator, lap swimming, and community rentals. 2. Operator shall determine the scheduling of all programs offered at the Facility. The Operator shall provide open swim sessions in no less than twenty five percent (25 %) of the Facility pool(s) during weekday operating hours and no less than fifty percent (50 %) of the Facility pool(s) during weekend operating hours. 3. Operator shall provide reasonable public access and community use of the Facility so as not to interfere with Operator's programs. 4. Program fees will be reasonable and comparable to rates and fees charged by similar public facilities in the surrounding area. 5. Free open swim sessions on a not to interfere basis shall be provided to children who reside within the City and reduced rate swimming lessons will be available for City residents. C. RISK MANAGEMENT: The Operator shall provide and maintain at all times the liability coverage required by the City. D. SIGNS: The Operator shall provide and maintain all necessary and required signage for the Pool Facility. E. OPERATING COSTS AND EXPENSES: Operator shall bear all costs required to carry out the Operations of the Facility. Operator shall pay for all metered utilities required to operate the Facility such electricity, gas, and water. Page 11 of 18 F. MAINTENANCE OF THE FACILITY: Responsibility for the maintenance of the Facility shall be allocated as follows: 1. Should some aspect of the Pool Facility require repair or special maintenance the Operator shall promptly pay for and address the same. 2. The Operator shall keep records related to the maintenance and submit quarterly reports concerning the same. 21. REVENUE: Operator shall charge reasonable rates and fees for use of the Pool Facility by patrons and is entitled to all revenue generated by such rates and fees. Operator shall provide the City with a fee schedule and those fees associated with City or membership discounts shall be approved by the City. 22. TAXES: Operator shall be responsible for all payments of federal, state, and /or local taxes related to the Operations, inclusive of sales tax if applicable. 23. SECURITY: At its sole expense, Operator shall install and maintain any and all security and alarm systems necessary for the proper safeguarding of the Facility and City's residents including, but not limited to, contracting with a monitoring company and assuring said applicable systems are directly connected with the Police Department. 24. IMPROVEMENTS: Should Operator install or improve the Facility beyond the original design of the Facility as evidenced by the approved plans required to issue the certificate of occupancy, Operator shall have the right to remove and retain those improvements after termination of this Agreement provided that such removal does not cause structural damage to the Facility. 25. INDEPENDENT CONTRACTOR: Operator is an independent corporate entity under this Agreement and nothing herein shall be construed to create a partnership, joint venture, or agency relationship between the parties. 26. DUTIES AND RESPONSIBILITIES: Operator agrees to provide its services during the term of this Agreement in accordance with all applicable laws, regulations, and health and safety standards. 27. LICENSES AND CERTIFICATIONS: Operator shall secure all necessary business and professional licenses at its sole expense prior to undertaking the Operations. Page 12 of 18 28. CANCELLATION: The City shall have the right to cancel this Agreement for cause upon ninety (90) days written notice to Operator. Upon cancellation for cause, the Operator shall forfeit any and all rights to its Deposit or Bond and said funds shall become the sole and exclusive property of the City. Should the City cancel the Agreement for convenience, the City shall return to the Operator any and all deposits it paid. 29. ENTIRE AGREEMENT, MODIFICATION, and BINDING EFFECT: This Agreement constitutes the entire agreement of the parties and supersedes any prior agreements, understandings or negotiation, written or oral. This Agreement may not be modified or amended except in writing, signed by both parties hereto. This Agreement shall be binding upon and ensure to the benefit of the City and Operator and so their respective heirs, successors and assigns. 30. SEVERABILITY: If any term or provision of this Agreement or the application thereof to any person or circumstance shall, to any extent, be invalid or unenforceable, the remainder of this Agreement, or the application of such term or provision to persons of circumstances other than those to which it is held invalid or unenforceable, shall not be affected thereby and each term and provision of this Agreement shall be valid and enforceable to the fullest extent permitted by law. 31. NONWAIVER: City and Operator agree that no failure to exercise and no delay in exercising any right, power or privilege under this Agreement on the part of either party shall operate as a waiver of any right, power, or privilege under this Agreement. 32. NO DISCRIMINATION: No action shall be taken by the Declarant, the Association, the Board of Directors or Operator which would discriminate against any person on the basis of race, creed, color, national origin, religion, sex, familial status or disability, including, but not limited to times of "Adult Swim" and restricting usage of the pools to anyone over the age of thirteen (13) at any time. 33. INDEMNIFICATION: Operator hereby covenants and agrees to indemnify and hold harmless the City from and against any and all losses, damages, costs and expenses, including, without limitation, attorney's fees and court costs, that may be incurred or suffered by City as a result of any claim, including, without limitation, a claim for negligence, being asserted against City by any party which arises from, results from relates directly or indirectly to, or is in any way whatsoever connected with Operator's obligation and duties under this Agreement. Page 13 of 18 34. TERMINATION: Upon a material breach of any of the terms of this Agreement by either party or for reasons outside of either party's control, both parties shall have a duty to attempt to resolve the breach as provided for herein this Agreement. In the event that such a breach may not be resolved, either party shall have the right to terminate the Agreement and provide notice of such termination within ninety (90) days of the breach. Upon termination due to Operator's breach of Contract, the Operator shall forfeit any and all rights to its Deposit or Bond and said funds shall become the sole and exclusive property of the City. Should the City terminate the Agreement for convenience, the City shall return to the Operator any and all deposits it paid. Additionally, in the event that this Agreement is not renewed, it shall be considered terminated and the City shall return to the Operator any and all deposits it paid. 35. MODIFICATION OF THIS AGREEMENT: No waiver or modification of this Agreement, in whole or part, will be valid unless in writing and duly executed by each of -the parties. Any waiver of any term, condition or provision of this Agreement will not constitute a waiver of any other term, condition or provision hereof, nor will a waiver of any breach of any term, condition or provision constitute a waiver of any subsequent or succeeding breach. 36. GOVERNING LAWS: This Agreement and the performance of services hereunder will be governed by the laws of the State of Florida, with exclusive venue for the resolution of any dispute being a court of competent jurisdiction in Miami -Dade County, Florida. 37. ALTERNATIVE DISPUTE RESOLUTION: Any claim or dispute arising out of or related to this Agreement shall be subject to informal mediation and, if need be, arbitration. The parties shall share equally the mediator and, if need be, the arbitrator fees and any such other filing fees as may be applicable. The mediation and, if need be, the arbitration shall be held in Miami -Dade County, Florida and shall provide an enforceable settlement. A. When initiating mediation and upon a mediator being chosen by both parties, the mediation shall take place at the Mediator's first available opportunity and both parties shall share equally in the cost. If the mediation fails to achieve a mutually agreed upon resolution or settlement for the dispute, and either party so desires, the parties may file a demand for arbitration and select an arbitrator from the American Arbitration Association (AAA). Said demand would be filed within seven (7) business days of the Mediator's declaration of an impasse. Page 14 of 18 B. The arbitration shall be conducted under the rules of the AAA. The Arbitrator shall have jurisdiction and authority to decide the dispute solely arising from the specifications of this Agreement. The Arbitrator shall have no authority to change, amend, add to, subtract from or otherwise alter or supplement this Agreement, or any part thereof, or any amendment hereto. 1. The City and the Operator shall mutually agree in writing as to the statement of the matter to be arbitrated prior to the arbitration and the Arbitrator shall confine the decision to the particular matter specified. 2. Each party shall bear the expense of its own witnesses and representatives and shall bear equally in the cost of the impartial Arbitrator, including, but not limited to, any applicable retainer fee. The party desiring a transcript of the meeting shall bear the cost of the same. 3. Copies of the arbitration award made in accordance with the jurisdiction and authority provided by this Agreement shall be furnished to both parties within thirty (30) days of the hearing and shall be final and binding on both. 38. ATTORNEYS' FEES: In the event of any litigation between the parties arising out of or relating in any way to this Agreement or a breach thereof, each party shall be responsible for its own attorneys' fees and costs. 39. ENTIRE AGREEMENT.: This Agreement contains that complete agreement of the parties and will supersede any and all other agreements, understandings and representation by and between the parties hereto pertaining to the subject matter hereof. 40. AUDIT: Upon request and during regular business hours, the Operator shall allow the City or its consultant to audit, inspect, and examine the facility for safety and contractual compliance. In an effort to confirm such information, the City may communicate directly with service providers and providers of pool maintenance goods. Additionally, the Operator shall keep complete and accurate books and records of accounts and business operations in accordance with generally accepted accounting principles for a period of three (3) years. 41. DEPOSIT: The Operator shall provide the City a deposit equal to the cost of six (6) months of maintenance of the Facility in the amount of SIXTY THOUSAND DOLLARS ($60,000.00). The City shall hold the deposit and in the event that the City terminates the Agreement, the deposit shall be returned to the Operator. In the event that the Operator terminates the Agreement, the deposit shall be retained as the agreed upon Page 15 of 18 liquidated damages due to the difficulty of ascertaining actual damages at this pre - design/build stage. It is the intention of the parties that in addition to the matters set forth above, the referenced SIXTY THOUSAND DOLLARS ($60,000.00) shall also serve as a security deposit which the City can utilize to enforce any and all terms and conditions of this Agreement should the Operator fail to comply with the same. 42. ASSIGNMENT: Operator shall not assign or transfer its rights under this Agreement without the express written consent of the City including, but not limited to, the sale of its stock, assets, or any and all other licenses, permits, and rights it may possess at the time of this Agreement's execution. In turn, and upon its approval, the City will not unreasonably withhold and /or delay said consent. 43. EFFECTIVE DATE: This Agreement shall not become effective and binding until it has been executed by both parties hereto and the Operator has paid the City its Deposit as required herein the Agreement. THIRD PARTY BENEFICIARY: It is specifically understood and agreed that no other entity shall be a third party beneficiary hereunder, and that none of provisions of this Agreement shall be for the benefit of or be enforceable by any other than the parties hereto, and that only the parties hereto shall have any rights hereunder. 45. Swim Gym's creators Robert Strauss, a 1972 Olympic Swimmer, and wife Jennie Strauss founded the organization with the premise that every person, regardless of age, become a water - wise, competent swimmer. Because of Coach Strauss' diligent work ethic and network within the swimming world, the brand has received global recognition. Coach Strauss' industry expertise has been sought for lecture at aquatics and fitness conferences in Australia, New Zealand, Norway, Sweden, Spain, Germany, France, Colombia, Argentina, Brazil, Costa Rica, Mexico, and Japan. With the growing health and fitness boom in South Florida and the fact that Miami is home to Swim Gym, it is only natural to continue to target its local base with expanding programming. Both Robert and Jennie Strauss graduated from the University of Miami with Masters Degrees, Robert in the School of Education and Jennie in the School of Music. Three years ago, son Jonathan Strauss joined the family business to implement a clearly defined plan for programmatic expansion. Jonathan graduated from the University of Florida in 2004 with an undergraduate degree in Sport Management. During his 4 years at Florida, he also swam on the varsity team and was selected as team captain in his final 2 years. He received a Masters Degree in Sport Administration from the University of Miami in 2007. Consider the fact that SGA's training centers are centrally located within population dense sectors of Miami -Dade County, which alone yields a customer base of over 2.5 million residents. The goal of SGA is to foster the continuous development of sport practitioners at the grassroots level, but also develop elite athletes in competitive aquatic sports. Since 1984 we have worked with Down's syndrome, Muscular Dystrophy, Angel Face Syndrome, and Autism that has steadily grown since the 90's and exponentially since the turn of the century, at present we service approximately 75 children. We are also currently seeking funding to help create a study that demonstrates that waterplay and aquatic development does enrich the lives of those with special needs and disabilities. a. Coral Rock Elementary and The Carrie Brazer school for autism have been partner programs of Swim Gym over the last 4 years. 6. Policies and Procedures in effect are what are set forth in the Dade County Health Department for Public Pool Use. 7. Safety Program is an all staff on -going education program a. Swim Gym is an Authorized Provider by American Red Cross Health and Safety Department: every member on staff is CPR and AED Emergency Response Certified. b. Swim Gym Pool Personnel: additionally hold WSI, LT, and CPR for pro certifications c. OSHA procedures are posted and also part of our on -going staff education. 8. Community Access and Outside Organization Rental Requests a. The community residents will always have access to the aquatic facilities, special event programming will always provide an opportunity for residents to still be allowed to utilize the facilities. The reason for this is that the community is an integral part of the success of the aquatics center. If the community does not have access, they will end up using other facilities instead. This will create loyalty within the community. 9. Scheduling Conflicts or multiple requests a. A Master Calendar will be developed and handled on a first come, first served basis via submission of a special events request. Each Special Events requests will have fees associated in order to offset any revenues lost due to the limited ordinary operation that may be conflicting. E. Staffing and Management 1. Provide organizational structure for the site: We will replicate the already successful programs at the JCC and City of Miami Rowing Center when applicable, please see staffing. 21 2 Ll 5 0 Basic Staffing Aquatics Director: Has full responsibility for day to day operation of the aquatics area, approves scheduling proposed by Head Guard and Lead Teacher. Directly responsible for receptionist help as needed for the busier seasons and times of the day, as well as supervision of coverage for swim pool life guard and swim school services. Liaison to City of S. Miami Head Guard: — Responsible for pool maintenance includes chemical orders and equipment checks; lifeguard staffing as needed for different seasonal and daily needs. Reports to Site Manager Swim School Director /Lead Teacher: — Responsible for: programming, teacher hiring supervision and training. — Swim School Teachers, Coaches and Life Guards are part time employees hired to meet seasonal demand. Maintenance: — `CLEAN IS EVERYONE'S JOB' Ratios of Teachers to students in the learn to swim stages range from private lessons 1 on 1 instruction to group sessions where the number of students is governed by the age of the students. In a class of 3 and 4 year olds 3 to 4 students with one teacher; in a class of 5 and 6 year olds 5 to 6 students with one teacher at a time, and so forth. Adults who cannot swim or are afraid prefer to take private or semi - private instruction and then join the Adult Fitness classes. Life Guard Ratios are as recommended by Dade County Health Department: 25 swimmers to 1 guard. Our employee recruitment has always been very successful via referrals from past employees and partnerships with local high schools and universities that Swim Gym currently has. In addition all prospective employees must attain a certified letter from the Miami Dade Police department stating a clean criminal record; fingerprints and background checks performed by a private agency. Performance evaluation and retention are based on the skills development and skills sheets filled out by the instructors and advancement of students through levels. If students are not improving during random checks that technical staff conducts, teachers will be asked to review methodology of reviewing Swim Gym's staff manual and guide. (Enclosed) Staff Training: All swim instructors hired are required to do 2 to 4 weeks of assistant teaching (depending on experience), also required is the Swim Gym Swim Teachers Handbook, and 2 DVD's Why Swim, If You Can Fly ?! + My 22 N First 15 Months of Aquatic Life; additionally, twice per year Coach Strauss does staff training for swim school staff and once a year re -cert in CPR and 15t Aid. In house training and re -cert for life guard staff, is mandatory. Annual attendance to a teaching /coaching seminar is also recommended. Staff Handbook: Every staff member receives a Swim Gym certified Staff Handbook and Manual showcases all teaching methodology as well key job descriptions and expectations. Due to its proprietary nature and length (40 pages), we have not included in the RFP but can be present upon request. All staff members are tested via practical and situational analysis based on the skills discussed within the handbook. The staff member is allowed to keep the manual and handbook until termination. Upon termination of employment, each staff member is required to return his /her manual. Key Personnel a. The co-founder and Chairman of the corporation is Mr. Robert Strauss Coach Strauss has dedicated his life to "child development through aquatic play" and to teaching and coaching swimmers of all ages, including high school and college elite athletes how to swim faster effectively and efficiently. Most educators choose a classroom to raise children; Robert Strauss chose swimming pools with water temperature 27.5° to 31° C. His main goal is to help people of all ages to become water wise; drowning is one of the leading causes of accidental death in the United States for children under the age of 3, and teens 13 to 16. He has also taught and coached in three high schools: Ransom Everglades from 1978 to 1981, MAST Academy from 1994 to 1997 and Palmetto Sr. in 1999 and 2000. In the first two schools the teams under his direction won the Water Polo State Championship during his second year; at the same time the swim team in those schools went from no ranking at all to top 5 at Ransom, and top 12 at MAST, and all three schools won the Swimming District Championship, at Palmetto High one of the athletes won I" and 2nd places in individual events at the Florida High School State Championship, in the past 10 years 3 of his athletes won Miami Herald MVP: in 1997, son Alan in water polo, in 2000 son Jonathan in swimming and in 2003 Sam Holtzman in swimming. In 1983, Swim Gym Swim School was born and it operated until 1997 in a warehouse in Coral Gables. Since that time, Coach Strauss and staff moved to the Jewish Community Center of Kendall where it became easier to teach and coach people of all ages and to continue certifying water safety instructors and lifeguards for the American Red Cross. Starting in June 2007, the City of Miami invited Swim Gym to be the Aquatics Safety Provider at the City of Miami Rowing Center that includes a complete learn to swim program as well as swim training and racing programs for triathletes, adults and children all ages. 23 Coach RS opened the doors of the Swim Gym Aquatic Sports Camp in 1995, in the summer of 2009, the camp will be host to approximately 1000 children that participate in a program that includes: learn to swim competitive skills, wake skate and wake board "Grinch" skiing, kayak, canoe, sail and fish, water -polo, water bike, open water swimming, log rolling, introduction to scuba diving, snorkeling and monofin, rock climbing, Indo board, trampoline, dodge ball, sand volley and sand soccer, the summer of 2009 will mark the 151h edition of SGASC. Since 1979, Coach Strauss has lectured in Mexico, Colombia, Panama, Venezuela, Brazil, Costa Rica, Guatemala, Ecuador, Canada, Peru, Argentina, Puerto Rico, Dominican Republic, France, Spain, Germany, Norway, Sweden, Australia, New Zealand, Japan and the United States. b. Swimming has been a part of his life sice the day he was born, Swim Gym opened its doors only 11 months after Jonathan was born, and continued to swim throughout College competitively. International Competitions include the South American Championships for the Colombian National Team in 2004, and the World Maccabi Games for the US National Team in 2005. Communication between participants is approached in several different avenues: a. The most important is Swim Gym's connection to Social Media, the Swim Gym Facebook and Twitter pages are a top priority within the organization to remain updated and in touch with our clientele b. A monthly newsletter via icontact.com is sent out to our database of over 6,000 customers, as well as special notices about the organization whenever special events present themselves. 2. Our philosophy is to Swim For Life and our retention rate is about 85 %, once a customer tries our program during the last 30 years, they generally repeat and continue to grow through the program and all the different skill levels. Because Swim Gym has taught well over 30,000 students, word of mouth to the programs is very good. In addition, we advertise in South Florida Parenting Magazine, the Miami Herald, NPR, and other social media alternatives such as Groupon.com, GiltCity.com, and Facebook. 3. Registration for our programs can be done online or in store. Everyone must fill out a registration form with family information, emergency contact, email address, and payment information. All packages are prepaid. No refunds are provided but credit is issued should a customer become unhappy with performance of lessons. We have a makeup policy where cancellations are allowed up to 24 hours prior to the lesson. If cancellations are made within 24 hours, a nominal $5 rescheduling fee is charged. 4. After each season, surveys are sent out to customers via email and are returned in order to field complaints or satisfaction from all customers. We strive to correct complaints immediately during the next season. We monitor student progress via daily progress charts and forms supplied by the American Red Cross and require that all teachers fill these out. 5. Managing a crisis requires proactive planning and preparation, especially when working with the media to disseminate factual information and utilize media outlets as a resource, not an enemy. As an organization, SGA has a dedicated spokesperson and action plan. All communication with media outlets is funneled through the spokesperson or via a media release issued solely and at the discretion of the spokesperson. Swim Gym's main objectives are: not to comment on speculative information as it may relate to a crisis, provide information based on accuracy, need for sensitivity for those involved, and with the intent to provide information that will help media advance a story. Assistance from City The most important assistance from the City of South Miami is to help reach out to all neighborhood schools to provide opportunities of learn to swim for all Pre - School and Elementary aged children for learn -to -swim. Via the H2Os foundation, these PE programs can be subsidized but is necessary that the facility be used a minimum of 6 hours daily with programming at least 4 days a week. Mutual Cooperation to bring facility to XXIS` Century World Standards, Swim Gym is willing and able to produce to the city a concept that has been proven very successful in Europe and other places in South America. Our facility needs to be able to serve all segments of the community; this might even represent the building of two separate pools: a. One for instruction and for recreation, special needs, therapy, elderly, all the patrons that have the need for higher water temperatures. b. One multi purpose for lap and competition swimming J. Augmentations to the Scope of Service If Swim Gym is awarded a longer term contract (minimum 10 years), we would help enhance the facility with extra attractions that will promote the concept of Aquatic Development through water play which has proven so successful; We will incorporate and implement small water slides and a stationary wave system called `Flowrider'. With or without the long term contract, the City of South Miami should consider investing in these types of attractions that will increase daily entry fee traffic which will help to improve and subsidize the facility in the future. 30 31
