Res No 118-14-14212RESOLUTION NO.118-14-14212 A Resolution authorizing the City Manager to enter into contract with R.C.Systems,Inc.for professional installation of Recreation Business Management Software. WHEREAS,R.C.Systemisa software company that produces and releases products solelyfor the ParksandRecreationindustryand currently supports approximately two hundred fifty (250)municipal customers across forty five(45)different states;and, WHEREAS,the City needs to acquirea software system that can accommodate the growing community,aswellas the growing number ofactivities,events,programs,and services that are offeredby the Parksand Recreation Department;and, WHEREAS,the City submitted aninvitation to quote,ITQ #PR20l4-07,onApril23,2014,for Recreation Operations Management Software;and, WHEREAS,staff researched software programs that will help reduce alarge number ofstaffhours required to input customer information into the system,aswellas consulted with other localmunicipalities as to handson experience;and, WHEREAS,R.C.System's software contains the necessary modules to support the features that the Cityidentifiedin the ITQ;and, WHEREAS,four (4)submittals were received;R.C.Systems,Inc.was the lowest bidder andisin compliance with the terms ofITQ #PR20l4-07;and, NOW,THEREFORE,BE IT RESOLVED BY THE MAYOR AND CITY COMMISSION OF THE CITY OF SOUTH MIAMI,FLORIDA THAT: Section I.The CityManageris authorized to enter intoa contract withR.C.Systems,Inc.for professionalinstallationof Recreation BusinessManagementSoftwareforan amount not to exceed $13,800.00.Funding forthis project will come fromtheParksandRecreationCapital Improvement account 301-2000-572-6450,witha current balanceof$202,694.96.Acopyofthe contract isattached. Withinforty-five(45)tosixty(60)days ofthecurrent contract expiring,RCS will submit aninvoicetothe Organizationthat will includetheAnnualSupportamountforthenext12monthcoverageperiod.Annual Supportamountsare subject toamaximumoftenpercent (10%)Increaseeverythree(3)years withthefirst increasecominginyearsix(4).PaymentsfortheAnnualSupportContractareexpectedtobemadepriortothe existingcoverageperiod expiring.In theeventthe Organization doesnotwanttorenewAnnualSupport,the Organization MUST notify RCSin writing atleastninety(90)calendardaysinadvanceofthe Expiration Dateof thecurrent coverage periodoftheOrganization'sintentnottorenewtheAnnualSupport. Waiver ofprohibition.The requirements ofthis subsection may bewaived for a particular transaction only by four affirmative votesofthe city commission after public hearing upon finding thac (1)An open-to-all sealed competitive proposal has been submitted by a city person as defined in paragraphs (b)(2), (3)and(4); (2)The proposal has been submitted by a person or firm offering services within the scope ofthe practice of architecture,professional engineering,or registered land surveying,as defined bythe laws ofthestate and pursuant tothe provisions ofthe Consultants'Competitive Negotiation Act,and when the proposal has been submittedbyacityperson defined in paragraphs (b)(2),(3)and (4); (3)The property or services tobe involved inthe proposed transaction are unique and the city cannot avail itself ofsuchpropertyor services without entering a transaction which would violate this subsection but forwaiverofitsrequirements;and (4)Thatthe proposed transaction will beinthebest interest ofthe city. This subseaion shall be applicable only to prospective transactions,and the city commission may in no case ratify a transaction entered in violation of this subsection. Noperson included intheterms defined in paragraphs (b)(1)through(4)may recommend the services ofany lawyerorlaw firm,architectorarchitectural firm,public relations firm,oranyotherpersonor firm,professional or otherwise,toassistinanytransaction involving thecity or anyofitsagencies,provided that arecommendation may properly bemadewhen required tobemadeby the dutiesof officeandinadvanceatapublicmeeting attended by other city officials,officers or employees. (p)Continuing application after city service. (1)Nopersonincludedinthe terms definedinparagraphs (b)(1),(5)and(6)shall,foraperiodoftwoyearsafter his or hercityserviceoremploymenthasceased,lobbyanycity official [asdefinedinparagraphs (b)(1)through(6)]inconnectionwithany judicial or other proceeding,application,RFP,RFQ,bid,request for ruling or other determination,contract,claim,controversy,charge,accusation,arrest or other particularsubject matter inwhichthecity or one ofitsagenciesisaparty or hasany interest whatever,whether direct or indirect. Nothing contained inthis subsection shall prohibit anyindividualfromsubmittinga routine administrative request or application to acity department or agencyduringthetwo-yearperiodafterhis or her servicehasceased. (2)Theprovisionsofthesubsectionshallnotapplytopersonswhobecomeemployedbygovernmentalentities, 501 (c)(3)non-profit entities or educationalinstitutionsorentities,andwholobbyonbehalfof those entitiesin their officialcapacities. (3)Theprovisionsofthissubsectionshallapplytoallpersonsdescribedinparagraph (p)(l)whosecityserviceor employment ceased after the effective date ofthe ordinance fromwhichthis section derives. (4)Nopersondescribedin paragraph (p)(l)whosecityserviceor employment ceased within twoyearspriorto the effective dateofthisordinanceshallforaperiodoftwoyearsafterhisorherserviceoremploymententer intoa lobbying contracttolobbyanycity official inconnectionwithanysubjectdescribedin paragraph (p)(l)in which the city or oneofitsagenciesisapartyorhasany direct andsubstantialinterest;andinwhichhe or she participateddirectly or indirectlythrough decision,approval,disapproval,recommendation,therenderingof advice,investigation,orotherwise,during his orhercityservice or employment.Aperson participated "directly" whereheorshewas substantially involved inthe particular subject matter through decision,approval,disapproval, recommendation,the rendering of advice,investigation,or otherwise,during his orher city service or employment.A person participated "indirectly"whereheorshe knowingly participated in any way inthe particular subjectmatterthrough decision,approval,disapproval,recommendation,therenderingof advice,investigation,or otherwise,duringhisorhercityserviceor employment.All personscoveredbythis paragraph shall executean affidavit onaform approved bythe city attorneypriorto lobbying any city official attesting thatthe requirementsofthissubsectiondonotprecludethepersonfrom lobbying city officials. (5)Any person who violates this subsection shall be subject tothe penalties provided in section 8A-2(p).
