Res No 081-14-14175RESOLUTION NO.81-14-14175 A Resolution waiving any conflict concerning the business relationship between Mariano Corral and Metro South Senior Apartments,pursuant to Florida Statute,and appointing Mariano Corral to the Environmental Review and Preservation Board (ERPB). WHEREAS,theCity Commission placesahigh emphasis on protecting and enhancing theurban landscape andthusfindsit desirable tohavetwo landscape architects ontheERPBso that if oneis conflicted ona particular application,the other may continue to provide expertise on applications relating to landscape;and WHEREAS,landscape architect Mariano Corral served on the South Miami ERPB for most of a two year term that was scheduled toend March 5,2014;and WHEREAS,during hisservice,MarianoCorralprovidedtheERPBwith valuable advice, expertise,and judgment particular tolandscapeprotectionandimprovement;and WHEREAS,the South MiamiCode of Ordinances Section 8A-1(I)(3),as amended Dec. 3,2013,permitsdesignprofessionalsontheERPBtorecusethemselvesfromvotingonspecific applications presenting a conflict of interest,inamanner consistent withhow Florida Statute 112.3143 andCountyCode of OrdinancesSec.2-11.1 treatsconflict of interestonalldesign review boards;and WHEREAS,commencing withappointmentsmadeafterJanuary1,2009,Sec.2-22 "TermLimits"of theCode of Ordinancesprovidesthat,appointeesarelimitedtotwo(2) consecutive two-year terms of membershiponaspecificcommission,board,orcommittee.After servingamaximum of two(2)consecutiveyearterms,anappointeeshallnotbereappointedtothe samecommission,boardorcommitteeunlessatleastoneyearhaselapsedbetweentheterm limitedpositionandtheeffectivedate of commencement of theproposedappointmentforanew term;and WHEREAS,Sec.2-22"TermLimits"of theCode of Ordinances,asamendedby OrdinanceNo.06-14-2184,datedApril15,2014,providesthattheappointer,orhisorher successorinoffice,mayextendthetermlimits of hisorherappointmentwiththeadviceand consent of a majority oftheCity Commission;and WHEREAS,pursuant toSec.2-22 "Term Limits"of the Code of Ordinances,this will be Mr.Corral's first two-year term of thetwo(2)consecutiveyearterms;and WHEREAS,the Miami-Dade Ethics Commission hasopinedthatadesign professional with ongoing professional business underthe purview ofthe ERPB maybe appointed tothat board providedtheCitycomplieswithapplicablestatestatutes;and WHEREAS,Section 112.313(7)(a),FloridaStatutes,prohibitsaBoardmembersfrom being employed byor having contractual relationships witha business entity ifthe entity is doing business withorissubjecttothe regulation oftheCity,oriftheir employment or contractual relationships create continuing or frequently recurring conflicts between theirprivate interests and the performance oftheir public duties or impediments tothe full and faithful discharge oftheir public duties;and Res.No.81-14-14175 WHEREAS,Section 112.313(12),Florida Statutes,contains an exemption for the prohibitions contained in 112.313(7),Florida Statuteswhere(1)the ongoing business relationship is disclosed ata public meeting,(2)theCity Commission votesto waive a particular conflict of interest of a Board member uponfull disclosure bytheBoard member of the transaction or relationship on Florida Commission onEthicsForm 4A prior tothe waiver and(3)theCity Commission resolved to waive the conflict byan affirmative vote of two-thirds of its members. WHEREAS,Mr.Corral has filed the Florida Commission on Ethics Form 4A with the CityClerk indicating thatheisretainedastheregisteredlandscape architect ontheMetroSouth SeniorApartmentsproject("MetroSouth")andhisongoingbusinessrelationshipwithMetro Southhasbeendisclosedatthispublicmeetingwherethisresolutionisbeingaddressed;and NOW,THEREFORE,BE IT RESOLVED BY THE MAYOR AND CITY COMMISSION OF THE CITY OF SOUTH MIAMI,FLORIDA,THAT: Section 1.Therecitalssetforthaboveareherebyadoptedaspart of thisresolutionby reference andhavebeenfoundbytheCityCommissiontobetruestatements of thefacts. Section 2.TheCity Commission herebywaivesanyconflictthatMarianoCorralhasdue tohisbusinessrelationshipwithMetroSouthSenior Apartments projectandherebyappoints MarianoCorraltotheEnvironmentalReviewandPreservationBoard(ERPB). Section3.Ifanysectionclause,sentence,orphraseofthisresolutionisforanyreason heldinvalidor unconstitutional byacourtof competent jurisdiction,theholdingshallnotaffect the validity of the remaining portions of thisresolution.
