WHEREAS, the City, through a contractor, operates youth soccer programs at Downrite/South Miami Park; and WHEREAS, the City issued a Request for Proposal to solicit interested parties for the operation and management of youth soccer programs at Downrite/South Miami Park; and WHEREAS, the City received two sealed proposals for the management of soccer programs at Downrite/South Miami Park and South Miami United F.e. Inc., submitted a responsive and responsible proposal that was the highest ranked proposal by a Selection Committee. WHEREAS, the City Manager hereby recommends that the contract be awarded to South Miami United F.e. InC. NOW, THEREFORE, BE IT RESOLVED THE MAYOR AND CITY COMMISSION OF THE CITY OF SOUTH MIAMI, FLORIDA: Section 1. The City Manager is authorized to enter into a three (3) year contract with South Miami United F.C. Inc., for the management of youth soccer programs at Downrite/South Miami Park who will pay the City a fee of $105,000 to utilize the complex at Downrite/South Miami Park over the three (3) year term. Section 2. Severability. If any section, clause, sentence, or phrase of this resolution is for any reason held invalid or unconstitutional by a court of competent jurisdiction, this holding shall not affect the validity of the remaining portions of this resolution. Alexander, City Manager March 18,2014 A Resolution authorizing the City Manager to enter into a three (3) year contract with South Miami United F.C. Inc., for the management of youth soccer programs at Downrite/South Miami Park. The City issued a Request for Proposal for the management of youth soccer programs at Downrite/South Miami Park. The RFP was posted on the City's website, Demand Star and advertised in the Daily Business Review. The City received two (2) proposals that were reviewed by a Selection Committee. The Committee was comprised of: Darryl Morrison, Parks and Recreation Board Member; Quentin Pough, Assistant Parks Director; and Shari Kamali, Assistant City Manager. Based on a thorough review of the proposals, the Selection Committee is recommending for the award, the highest ranked, responsible and responsive proposal, South Miami United F.e. Inc. It must be noted, an additional proposal was received from the South Miami Grey Ghosts Soccer Club, who has an outstanding balance to the City in excess of $85,000, but was rejected pursuant to Administrative Order #2-14 that states: Prior to issuance of any permit, contract, license, franchise or acceptance of any bid proposal or quotation, the City's Finance Department shall certify that there are no outstanding fines, monies, fees, taxes, liens or other charges owed to the City by the applicant/permittee and/or the business establishment/restaurant. A permit, contract, license, and franchise will not be issued nor will any bid proposal or quotation be accepted until all outstanding debts to the city are paid in full. The Selection Committee was unanimous in their scoring and ranking and determined South Miami United F.e. Inc., had the most experience and certified resources in the operation of youth soccer leagues and programs of the two proposals that were received. WHEREAS, the City desires to contract with a Contractor to perform soccer program management services within the City boundaries at Downrite/South Miami Park. NOW, THEREFORE, in consideration of the mutual promises and agreements hereinafter set forth, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows: SCOPE OF SERVICES Refer to Scope of Services as Exhibit" I." CONTRACT DOCUMENTS This contract and all of the solicitation documents including the Request for Proposal ("RFP") and the Proposal shall become a part of this contract and referred to collectively as the Contract Documents. In the event of a conflict among these Contract Documents, this contract shall take precedence. If there is a conflict between the RFP and the Proposal, the RFP shall take precedence. SITE DESCRIPTION The City has identified the following park site for this solicitation: Downrite/South Miami Park, 4300 SW 58 Avenue, South Miami FI, 33143, hereinafter referred to as Downrite/South Miami Park and/or Soccer Complex. Downrite/South Miami Park, has the geographic capacity and existing infrastructure (parking and limited utilities,) in close proximity or adjacent thereto. Site maps for the above facility are included as Exhibit "2". The site is provided in as-is condition. The site consists of 9 existing fields that will accommodate various levels of youth and adult soccer programs. At all times, a minimum of one soccer field 80 yards long and 60 yards wide shall be reserved for the YMCA so long as it has a lease with the City, and for the City's residents when said field is not in use by the YMCA All information provided (such as site maps, surveys, etc.) is for information and reference purposes only; it is the Contractor's responsibility to conduct due diligence and verify field conditions for accuracy. The Contractor agrees that it hereby accepts the condition in its as in condition. RESPONSIBILITIES OF THE PARTIES Contractor Responsibilities: The Contractor shall: a) provide continuous, scheduled soccer programming at least six (6) days per week during each year of the term of this agreement, and b) provide the Parks and Recreation Director with a written program schedule prior to each season, the dates of which shall be recommended by the Contractor and approved by the City Manager, and create soccer leagues, and c) schedule and coordinate requests from outside organizations to hold soccer games and tournaments at the Complex. However, the Contractor shall be entitled to be paid a fee to cover the Contractor's costs for scheduling and coordinating such requests. IIC City with evidence of the cost of such services to the satisfaction of the City. d) ensure that employees of the Contractor are distinctively uniformed so as to be distinguishable as the selected Contractor staff and not City employees and ensure that all personnel and volunteers wear identification approved by the City and "must" be in a position to show this identification at the request of City of South Miami personnel. e) provide drinking water for the Managed Soccer Program and portable toilets, at quantities and levels sufficient for patrons of the Soccer Complex. The costs of drinking water and all costs associated with the portable toilets, induding their maintenance and disposal of waste, shall be at the Contractor's expense. f) maintain sufficient documentation to establish that soccer programs offered by the Contractor are open to the general public and all program fees are consistently and fairly applied for the proper and efficient management and operation of the Soccer Complex. g) maintain the Soccer Complex in a safe, clean, sanitary, and workable condition. h) provide a qualified, full-time on-site manager or designee who shall be available during normal business hours and be on call, at all times, for emergencies or other matters related to the Complex. i) offer soccer programs to non-City and City residents who shall be hereinafter referred to as Participants. j) reserve, at all times, a minimum of one soccer field; 80 yards long and 60 yards wide; for the YMCA and/or City residents in a location that is easily accessible to them. k) turn off all temporary and permanent lights, if any, at or before 8:00 p.m. The Contractor may erect temporary lights on the fields deSignated for soccer; however, the Contractor may not connect to the City electric power or to install anything on the property including an electrical facility, such as a power pole, without written permission from the City. The Contractor shall be required to pay, in addition to all other payments owed to the City pursuant to this Agreement, for\the cost of any lighting facility or electricity as may be provided or authorized by the City. All improvements made to the premises by the contractor shall become the property of the City upon termination of the contract. I) secure all necessary permits and comply with applicable Miami-Dade County and City of South Miami code requirements. m) provide a minimum of fifteen (15) soccer scholarships designated for South Miami residents each soccer season that shall enable the recipients to participate in the soccer program free of charge. n) maintain sufficient documentation to establish that soccer programs offered by the Contractor are open to the general public and all program fees are consistently and fairly applied for the proper and efficient management and operation of the Soccer Complex. 0) maintain the premises in a safe, clean, sanitary. and workable condition. p) prevent any and all of its personnel, including volunteers, from engaging in any related activities without having passed a background screening to the satisfaction of the City; and q) ensure that the Contractor, all of its personnel and anyone affiliated with the Contractor, including but not limited to its clients, and their family and friends, shall vacate the premises, including the parking lots, after the ending of the Park's operating hour each day. r) comply with all of the requirements of the RFP. s) comply with the other requirements of this contract as set forth below. City's Responsibilities The City shall: a) maintain the soccer fields, and associated grounds, including mowing, line-trimming. b) maintain all athletic field turf, fencing, storage facilities, bleachers, etc. c) furnish existing City owned storage facilities at the Soccer Complex for the purpose of accommodating Contractor operation. d) Perform all maintenance of the soccer fields and associated grounds, including the mowing and line-trimming of the soccer fields. e) maintain all athletic field turf, fencing, storage facilities, etc. Notice of Default and Right to Cure: If a party breaches the terms of this Agreement, other than for the payment of money, the non- breaching party shall have no right to take any action against the defaulting party until the non- breaching party ("the Sender") gives written notice of the breach. Upon receipt of a notice of breach (default), the breaching (defaulting) party ("the Recipient") shall have fifteen (15) days ("a Reasonable Period") to cure the default ("Time to Cure"). The Recipient of the default notice shall have the Time to Cure within which to cure the default. If the default is timely cured, or if the Recipient takes all available action and proceeds diligently and with all due haste and without delay and, after the expiration of the Time to Cure, provides the Sender with daily written reports of the Recipient's action being taken to cure the default, then, provided the daily written reports are continued to be delivered to the Sender until the default has been cured, the time to cure shall be extended for the amount of time necessary to complete the cure ("the Reasonable Time to Cure"). Substantial Breach: The failure to timely pay money ('Financial Default") as required to be paid by this agreement is a substantial breach. In addition, the failure to cure a default within fifteen (15) days of receipt of written notice of default, or within the Reasonable Time to Cures, if applicable, shall be considered a substantial breach. If a second (2nd) Non-Financial Default occurs for the same or substantially similar default, the Recipient shall immediately be deemed to be in substantial breach of the Agreement and the Recipient shall not have the right to cure such subsequent defauit uniess authorized in writing by the Sender. If the Recipient has been given five (5) notices of Non-Financial Default of any nature, any subsequent default of any nature (the sixth default) shall be considered to be a substantial breach of the Agreement and the Recipient shall not have any right to cure any such subsequent default unless the Sender gives written authorization to cure. The granting of time to cure the sixth or a subsequent default shall not waive the Sender's right to declare an immediate substantial breach without granting any time to cure due to any further defaults. Contractor, upon receipt of the notice of termination for a substantial breach, shall immediately vacate the premises and assign all of its agreements with its Participants to the City upon request by the City. The City shall have the right, following the delivery bye-mail, facsimile transmission or United States mail, of the notice of termination, to solicit any or all of the Contractor's Participants for the purpose of establishing a City operated soccer program or to assign these Participants to another Contractor. Should the Contractor fail to timely meet its financial obligations under the terms of this Agreement, it shall, upon request by the City, provide to the City, for the City'S review, a current financial statement of the Contractor prepared by an independent Certified Public Accountant firm. The City reserves the right to direct an independent audit. At the Contractor's request, or in the event that the Contractor has failed to make timely bi- annual payments, the City may provide an adjusted schedule for the payments due under the terms of this Contract; provided, however, that if the Contractor does not meet the adjusted schedule for any payment, the City will therefore have grounds for immediate termination without any notice, in its sole discretion, or the City may collect payment directly from the Participants, at the City's sole discretion. If the City commences collection of the payments from the Participants pursuant to this provision without terminating the Contract, the Contractor shall not seek to collect any money or other consideration from the Participants. In the event that the City has not terminated the Agreement but is collecting payment from Participants, the failure of a Participant to make payment to the City under these circumstances shall cause the Contractor to prevent further participation by such Participant in the Managed Soccer Program. Should the City, in its sole discretion, incur or pay for any costs or expense necessary to provide any of the goods and/or services that are the obligations of the Contractor, the City may repay itself from any fees that it collects from Participants. After deducting the amount owed to the City pursuant to this Agreement from the Participant's payments, including amounts owed to the City for expenses incurred or paid by the City due to any default by the Contractor, the remaining balance, if any, shall be paid to the Contractor, provided the City has not terminated the Agreement. Failure of Contractor to comply with any of the provisions of this Agreement concerning payments to the City shall be grounds for immediate termination of this Agreement for cause. BACKGROUND SCREENING All personnel and volunteers that will provide any service at the Soccer Complex or related activities must be in compliance with Level " Background Screening and fingerprinting requirements as per Exhibit 3, Florida Statute 435.04, Chapter 435, Employment Screening, prior to the scheduled start of any employee or volunteer. PAYMENTS TO THE CITY The fee to be paid by the Contractor is set forth on the Proposed Pricing Sheet which has been marked as Exhibit "5", attached hereto and made a part hereof by reference. The Annual Payment shall be provided to the City at two specific dates. First payment, consisting of 50% of the agreed annual amount, due on or before September 5th of each year of the agreement by 4:00 PM. Second Payment, consisting of the remainder (50%) of the agreed annual amount, due on or before February r h of each year of the agreement by 4:00 PM. All Payments must be provided to the City's Finance Department located at City Hall, 6130 Sunset Drive, South Miami, FI 33143. TERM The term of this contract is three (3) consecutive years, commencing on the effective date, with one (I) Option-to-Renew for a two-year (2) period; the Option-to-Renew is at the discretion of the City Manager, and shall commence on the first calendar day of the month immediately subsequent to the notice of award. The effective date for this agreement is June 2, 2014, if the fields are not in use by the current soccer management company. If the fields are in use by the current soccer management company, the effective date for this agreement is June 9, 2014. TRANSISTION Should the City, pursuant to the terms of this Agreement, have the right in any given year to select a new Contractor to use the Soccer Complex during that year's upcoming season, and if the City has not terminated this Agreement, it shall inform the Contractor of such intended change in April of that year. Subsequent to this notification, the Contractor shall not schedule a Summer Program of any sort and shall relinquish its rights, responsibilities and control of the Soccer Complex to the neW' contractor or program on June 9 of any year, as determined by the City. PERSONNEL: All personnel fulfilling the terms of this Agreement, shall be employed solely by the Contractor and be employees of the Contractor. Contractor agrees to pay the following for Contractor employees: Wages Income tax withholdings Social security withholdings State unemployment insurance Federal unemployment insurance Workmen's compensation insurance Contractor shall train personnel. Personnel not performing up to the standards of the City shall be replaced by the Contractor immediately upon being given vvritten notiCe of the deficiency. DOCUMENTS & MARKETING MATERIALS. Any documents and marketing materials to include, but not limited to, flyers, banners, advertisements created by Contractor under this Agreement shall be submitted to Parks and Recreation Director for approval prior to distribution. TARDINESS & CANCELLATIONS. Any planned soccer programming cancellations or changes must be approved by CITY. CITY reserves the right to terminate this Agreement for tardiness or unapproved cancellations. DEFAULT IN FINANCIAL OBLIGATIONS The failure of the Contractor to meet its financial obligations in the first 12 months of the contract period with the City and/or its failure within 10 days of receipt of a written demand sent by the City to Contractor (which may be sent bye-mail, facsimile transmission or United States mail) to provide the financial statements requested by the City or its failure to provide the books and records that the City may demand for an audit, shall warrant the immediate termination of this Agreement. SPECIFIC PERFORMANCE The City shall have the right to specific performance of this entire Agreement with regard to all obligations of the Contractor and of the Participants. APPLICATIONS FOR PARTICIPATION All applications for participation in the Managed Soccer Program and any existing Participant's agreement shall be amended to contain a clause, satisfactory to the City, that incorporates these terms and that authorizes and directs the Participant to pay such fees directly to the City upon demand of the City. INSURANCE and INDEMNIFICATION: The Contractor shall maintain and keep in full force and affect the coverage as set forth in Exhibit "2". TAXES: Contractor shall be responsible for all payments of federal, state, and/or local taxes related to the Operations, inclusive of sales tax if applicable. DRUG FREE WORKPLACE: The Contractor shall comply with the Drug Free Workplace policy set forth in attachment # 2 which is made a part of this agreement by reference. INDEPENDENT CONTRACTOR: Contractor is an independent entity under this Agreement and nothing herein shall be construed to create a partnership, joint venture, or agency relationship between the parties. DUTIES AND RESPONSIBILITIES: Contractor agrees to provide its services during the term of this Agreement in accordance with all applicable laws, rules, regulations, and health and safety standards of the federal, state, and City, which may be applicable to the service being provided. LICENSES AND CERTIFICATIONS: Contractor shall secure all necessary business and professional licenses at its sole expense prior to executing the Agreement. TERMINATION: The City shall have the right to terminate this Agreement with or without cause upon one hundred twenty (120) days written notice to Contractor. Upon termination, the Contractor shall be entitled to a refund of any monies paid for any period of time subsequent to date of termination. The City may, at its sole option, terminate this agreement immediately if it discovers that the Contractor made any misrepresentation in any of its responses to the City's RFP or if it misrepresented any facts contained in the affidavits that are part of the RFP or upon failure of the Contractor to meet any of the obligations as set forth in this Agreement. ENTIRE AGREEMENT, MODIFICATION, and BINDING EFFECT: This Agreement constitutes the entire agreement of the parties and supersedes any prior agreements, understandings, representation or negotiation, written or oral. This Agreement may not be modified or amended except in writing, signed by both parties hereto. This Agreement shall be binding upon and inure to the benefit of the City and Contractor and to their respective heirs, successors and assigns. CUMULATIVE REMEDIES: The duties and obligations imposed by the ccontract documents herein referred to as the bid documents, if any, and the rights and remedies available hereunder, and, in particular but without limitation, the warranties, guarantees and obligations imposed upon Contractor by the Contract Documents and the rights and remedies available to the City hereunder, shall be in addition to, and shall not be construed in any way as a limitation of, any rights and remedies available by law, by special guarantee or by other provisions of the Contract Documents. In order to entitle any party to exercise any remedy reserved to it in this Agreement, or existing in law or in equity, it shall not be necessary to give notice, other than such notice as maybe herein expressly required. The City shall have the right to specific performance of all of the terms of this agreement as well as damages that cannot be remedied by specific performance. CLAIM PERIOD: Should the Contractor suffer injury or damage because of any error, omission, or act of the City or of any of its officers, employees or agents or others for whose acts it is legally liable, the Contractor shall serve notice of its claim in writing to the City within twenty one (21) days of the first observance of such injury or damage. The parties hereby agree that any claim that is not timely made in accordance with this paragraph is irrefutably presumed to have been abandoned and waived. PUBLIC RECORDS Contractor and all of its subcontractors, if any, are required to comply with public records laws and the Contractor agrees to incorporate this paragraph in all of its subcontracts for this Project. Contractor and its subcontractors are specifically required to: a. Keep and maintain pubiic records that ordinarily and necessarily would be required by the public agency in order to perform the service. b. Provide the public with access to public records on the same terms and conditions that the. public agency would provide the records and at a cost that does not exceed the cost provided in this chapter or as otherwise provided by law. c. Ensure that public records that are exempt or confidential and exempt from public records disclosure requirements are not disclosed except as authorized by law. d. Meet all requirements for retaining public records and transfer, at no cost, to the public agency all public records in possession of the contractor upon termination of the contract and destroy any duplicate public records that are exempt or confidential and exempt from public records disclosure requirements. All records stored electronically must be provided to the public agency in a format that is compatible with the information technology systems of the public agency. JURY TRIAL: City and Contractor knowingly, irrevocably voluntarily and intentionally waive any right either may have to a trial by jury in any state or federal court proceedings in respect to any action, proceeding, lawsuit or counterclaim arising out of this Agreement or the performance of the Work thereunder. VALIDITY OF EXECUTED COPIES: This agreement may be executed in several counterparts, each of which may be construed as an original. RULES OF INTERPRETATION: Throughout this agreement the male pronoun may be substituted for female and neuter and the singular words substituted for plural and plural words substituted for singular, and vice versa, wherever applicable. SEVERABILITY: If any term or provision of this Agreement or the application thereof to any person or circumstance shall, to any extent, be invalid or unenforceable, the remainder of this Agreement, or the application of such term or provision to persons or circumstances, other than those to which it is held invalid or unenforceable, shall not be affected thereby and each of the remaining terms and provisions of this Agreement shall be valid and enforceable to the fullest extent permitted by law. NON-WAIVER: City and Contractor agree that no failure to exercise and no delay in exercising any right, power or privilege under this Agreement on the part of either party shall operate as a waiver of any right, power, or privilege under this Agreement. No waiver of this Agreement, in whole or part, including the provisions of this paragraph, may be implied by any act or omission and will only be valid and enforceable if in writing and duly executed by each of the parties to this agreement. Any waiver of any term, condition or provision of this Agreement shall not constitute a waiver of any other term, condition or provision hereof, nor shall a waiver of any breach of any term, condition or provision constitute a waiver of any subsequent or succeeding breach. NO DISCRIMINATION: No action shall be taken by the Contractor which would discriminate against any person on the basis of race, creed, color, national origin, religion, sex, familial status, ethnicity, sexual orientation or disability. The Contractor shall comply with the Americans with Disabilities Act EQUAL EMPLOYMENT:_ln accordance with Federal, State and Local law, the Contractor shall not discriminate against any employee or applicant for employment because of race, color, ethnicity, religion, sex, sexual orientation, national origin or handicap. The Contractor shall comply with all aspects of the Americans with Disabilities Act (ADA) during the performance of this contract. GOVERNING LAWS: This Agreement and the performance of services hereunder will be governed by the laws of the State of Florida, with exclusive venue for the resolution of any dispute being a court of competent jurisdiction in Miami-Dade County, Florida. ATTORNEYS' FEES AND COSTS: In the event of any litigation between the parties arising out of or relating in any way to this Agreement or a breach thereof, each party shall bear its own costs and legal fees. AUDIT: Upon request and during regular business hours, the Contractor shall allow the City or its consultant to audit, inspect, and examine the facility for safety and contractual compliance. In an effort to confirm such information, the City may communicate directly with Contractor's providers of goods and services. Additionally, the Contractor shall keep complete and accurate books and records of accounts and business operations in accordance with generally accepted accounting principles for a period of three (3) years following termination of this Agreement. UNAUTHORIZED ALIENS: The employment of unauthorized aliens by the Contractor is considered a violation of Federal Law. If the Contractor knowingly employs unauthorized aliens, such violation shall be cause for unilateral cancellation of this Agreement. This applies to any sub-contractors used by the Contractor as well. ASSIGNMENT: Contractor shall not assign or transfer its rights under this Agreement without the express written consent of the City. The Contractor shall not assign any of its duties, obiigations and responsibilities. The City will not unreasonably withhold and/or delay its consent to the assignment of the Contractor's rights. The City may, in its sole discretion, allow the Contractor to assign its duties, obligations and responsibilities provided the assignee meets all of the City's requirements to the City's sole satisfaction, executes all of the Contract Documents and the Contractor remains jointly and severally liable for any breach of the Agreement by the assignee. EFFECTIVE DATE: This Agreement shall not become effective and binding until it has been executed by both parties hereto and the effective date shall be the date of its execution by the last party so executing it. THIRD PARTY BENEFICIARY: It is specifically understood and agreed that no other person or entity shall be a third party beneficiary hereunder, and that none of provisions of this .Agreement shall be for the benefit of or be enforceable by anyone other than the parties hereto, and that only the parties hereto shall have any rights hereunder. CONSTRUCTION: This Agreement shall not be construed more strongly against either party hereto, regardless of who was more responsible for its preparation. All activities and occupation of the park and its parking lots shall cease at the closing of the park's operating hours. EXHIBIT 2 INSURANCE AND INDEMNIFICATION Insurance and Indemnification A. The FIRM accepts and voluntarily incurs all risks of any injuries, damages, or harm which might arise during the work or event that is occurring on the CITY's property due to the negligence or other fault of the FIRM or anyone acting through or on behalf of the FIRM. B. The FIRM shall indemnify, defend, save and hold CITY, its officers, affiliates, employees, successors and assigns, harmless from any and all damages, claims, liability, losses, claims, demands, suits, fines, judgments or cost and expenses, including reasonable attorney's fees, paralegal fees and investigative costs incidental there to and incurred prior to, during or following any litigation, mediation, arbitration and at all appellate levels, which may be suffered by, or accrued against, charged to or recoverable from the City of South Miami, its officers, affiliates, employees, successors and assigns, by reason of any causes of actions or claim of any kind or nature, including claims for injury to, or death of any person or persons and for the loss or damage to any property arising out of a negligent error, omission, misconduct, or any gross negligence, intentional act or harmful conduct of the FIRM, its contractor/subcontractor or any of their officers, directors, agents, representatives, employees, or assigns, or anyone acting through or on behalf of any of them, ariSing out of this Agreement, incident to it, or resulting from the performance or non-performance of the FIRM's obligations under this AGREEMENT. C. The FIRM shall pay all claims, losses and expenses of any kind or nature whatsoever, in connection therewith, including the expense or loss of the CITY and/or its affected officers, affiliates, employees, successors and assigns, including their attorney's fees, in the defense of any action in law or equity brought against them and arising from the negligent error, omission, or act of the FIRM, its Sub-Contractor or any of their agents, representatives, employees, or assigns. and/or arising out of, or incident to, this Agreement, or incident to or resulting from the performance or non-performance of the FIRM's obligations under this AGREEMENT. D. The FIRM agrees and recognizes that neither the CITY nor its officers, affiliates, employees, succe.ssors and assigns shall be held liable or responsible for any claims. including the costs and expenses of defending such claims which may result from or arise out of actions or omissions of the FIRM, its contractor/subcontractor or any of their agents, representatives, employees, or assigns, or anyone acting through or on behalf of the them, and arising out of or concerning the work or event that is occurring on the CITY's property. In reviewing. approving or rejecting any submissions or acts of the FIRM, CITY in no way assumes or shares responsibility or liability for the acts or omissions of the FIRM, its contractor/subcontractor or any of their agents, representatives, employees, or assigns, or anyone acting through or on behalf of them. E. The FIRM has the duty to provide a defense with an attorney or law firm approved by the City of South Miami, which approval will not be unreasonably withheld. The CONTRACTOR/COMPANY shall maintain during the term of this Agreement the following insurance: A. Professional Liability Insurance on a Florida approved form in the amount of $1,000,000 with deductible per claim if any, not to exceed 5% of the limit of liability providing for all sums which the CONTRACTOR/COMPANY shall become legally obligated to pay as damages for claims arising out of the services or work performed by the CONTRACTOR/COMPANY its agents, representatives, Sub-Contractors or assigns, or by any person employed or retained by him in connection with this Agreement. This insurance shall be maintained for four years after completion of the construction and acceptance of any Project covered by this Agreement. However, the CONTRACTOR/COMPANY may purchase Specific Project Professional Liability Insurance, in the amount and under the terms specified above, which is also acceptable. B. Comprehensive general liability insurance with broad form endorsement, on a Florida approved form including automobile liability, completed operations and products liability, contractual liability, severability of interest with cross liability provision, and personal injury and property damage liability with limits of $1,000,000 combined single limit per occurrence and $2,000,000 aggregate, including: • Personal Injury: $1,000,000; • Medical Insurance $25,000 per person; • Property Damage: $500,000 each occurrence; • Automobile Liability: $1,000,000 each accident/occurrence. C. Umbrella Commercial General Liability insurance on a Florida approved form with the same coverage as the primary insurance policy but in the amount of $1 ,000,000 per claim. The City must be named as additional "named" insured for all except Workers' Compensation, and reflect the indemnification and hold harmless provision contained herein. Policy must specify whether it is primary or excess/umbrella coverage. City must receive 10 days advance written notice of any policy modification and 30 days advance written notice of cancellation, including cancellation for non-payment of premiums. All insurance must remain in full force and effect for the duration of the contract period with the City. The CONTRACTOR/COMPANY must provide not only a "certified copy" of the Binder but also the Policy itself with the name, address and phone number of the agent and agency procuring the insurance. D. Workman's Compensation Insurance in compliance with Chapter 440, Florida Statutes, as presently written or hereafter amended. E. The policies except for Section lOA shall contain waiver of subrogation against City where applicable, shall expressly provide that such policy or policies are primary over any other collective insurance that City may have. The City reserves the right at any time to request a copy of the required policies for review. All policies shall contain a "severability of interest" or "cross liability" clause without obligation for premium payment of the City. F. All of the above insurance required to be provided by the CONTRACTOR/COMPANY is to be placed with BEST rated A-8 (A-VIII) or better insurance companies, qualified to do business under the laws of the State of Florida on approved Florida forms. The CONTRACTOR/COMPANY shall furnish certified copies of all "Binders" or certificates of insurance to the City prior to the commencement of operations, which "Binders" or certificates shall clearly indicate that the CONTRACTOR/COMPANY has obtained insurance in the type, amount, and classification as required for strict compliance with this Section and that no reduction in limits by endorsement during the policy term, or cancellation of this insurance shall be effective without thirty (30) days prior written notice to the CITY. Compliance with the foregoing requirements shall not relieve the CONTRACTOR/COMPANY of his liability and obligations under this Section or under any other portion of this Agreement. CONTRACTOR/COMPANY agrees to supply copies of certificates of insurance to the City verifying the above-mentioned insurance coverage. CONTRACTOR/COMPANY agrees to list City as an Additional Insured of the CONTRACTOR/COMPANY's General liability insurance and shall provide the City quarterly reports concerning any and all claims. I would like to provide some background about the former soccer club I helped to stmi and rUll, South Miami United, and tell you why I believe my ne,~! organization -South Miami United FC -is the best qualified group to run soccer at South Miami Park starting in the summer of20l4. From 2010 to 2012, South Miami United ran one of the largest recreational soccer programs in all of South Florida. Each season, SMU had upwards of 500 recreational players, playing in U4, U6, U8, U10 and U12 age groups. SMU was an extension of the community: teams were parent-coached mld soccer players and families from surrounding neighborhoods sought us out. Saturdays at South Miami Parle brought together hWldreds of Iuds to play soccer, there was a positive energy and goodwill for all involved. While there are other stTong, community-based soccer programs in the vicinity -Coral Gables Youth Center, Pinecrest Premiere, Mimni Lakes -SMU was a destination for families in South Miami, Coconut Grove, Coral Gables, and Kendall. South Miami United's recreational soccer program was always affordably priced, plus SMU featured more games and longer seasons. Dick Ward, involved in South Miami Parks & Recreation for over 30 years, with Ludlam A venue named after him because of this long-standing contributions to youth sports and his civic activism in South Miami, called SMU "the most successful recreational sports progrmll in the history of South Miami." Lou Confessore, one of the original members inducted into the Florida Youth Soccer Hall of Fame --and someone responsible for introducing the sport of soccer to our state -was on record in describing SMU as the best, most organized recreational soccer program in the area. South Miami United was the only area soccer program to offer U4 soccer (for children under 4 years old), ane! became recognized as the place for YOlUlg parents to introduce their sons and daughters to the sport. SMU's goal was for all participants, U4 to U12, was to have fun, to improve and develop their soccer skills and understanding of the game, and to provide a safe environment where every player received an equal chance. South Miami United ~.c., Inc. Page 1 SMU invested in a high quality website, where all teams had individual web pages, and could contact their coach or the league. SMU's website posted weather updates, league news, and was the central platform where families had access to information or to ask questions. One of the natural bypro ducts of a strong recreational soccer program is developing yotmg boys and girls who can move onto travel soccer -a more competitive, more ambitious level. SMU was the first organization in South Miami to create a travel soccer program for older players U9- U14. In 2011-2012, SMU featured approximately ten travel soccer teams that won tournaments in Miami, Naples, West Palm Beach and Orlando. Travel teams featured licensed coaches and intensive training. As a vendor, South Miami United was a responsible and reliable partner. Payments were made in a timely fashion. SMU contributed to charitable causes and was involved in soccer" unifollli and cleat giveaways. SMU provided need-based scholarships to players and families. SMU gave local travel soccer players the 0ppoliunity to referee recreational games on weekends, and allowed school and church groups to sell food and drinks for charitable causes. How South Miami United came to be: in the fall of2008, local soccer parents mobilized to help the City of South Miami stmi up the City of South Miami Grey Ghost Soccer program. People were dissatisfied with the YMCA's soccer progran1, which had operated out of at South Miami Park for many years. The City controlled 90% of the :5eld space at South Miami Park and decided they could offer a better product for residents and paliicipants. The City'S new program had the full SUppOlt of all of the former YMCA teams, parents and families. From the winter of 2009 tlu'ough the spring of 2010, our local parents worked alongside the City of South Miami to help run the City's soccer program. Volunteer coaches were recruited, teams were formed, and scheduling was done by the parents. This was a collaborative effort in aU regards. After two fll11 years as a city-run program, the city of South Miami decided they lacked the time and personnel to continue its soccer program. They asked the original parents who worked with them over two years, to take responsibility for the program -thus South Miami United was born. I believe the record will show that no soccer program at South Miami Park was as successful as South Miami United's. Both in size and in spirit. When a spOlis program is formed tlu"ough shared effOli and community goodwill, when people work together for a common cause, the result is an enormous benefit for a city and its residents. An outstanding local soccer program is a feature for South Miami to showcase: it enhances the quality of life, and makes our city a more attractive place to live. South Miami United FC will again focus on a community-based, grassroots soccer program. As before, we expect recreational soccer to be our foundation. We will strive to bring together families, and to make sure everyone is welcome. We'll make a concerted effort to reach out to the under-served popUlations and to provide scholarships. Page 2 South Miami United Fe will be a professional organization that responds to both recreational and travel soccer. We'll have an infrastructure that includes licensed coaches for travel teams, and academy-style training available for younger rec players who want a more intensive soccer experience. We'lJ provide information and coaching sessions to recreational coaches, so they can run successful practices and teach their teams the fundamentals of soccer. Qualifications and Experience Robert Maseri As a longtime resident of the City of South Miami, I was proud to be part of a spolis program that enhanced the quality of life in this city. I was a coach at South Miami Park from 2006 to 2011. Previous to my move to Miami, I coached youth soccer in Tallahassee fi'om 1994 to 2000. I am cU1l'ently the Head Soccer Coach at The Cushman School and I am employed as the Ul3 Boys Head Coach at Coral Estates Soccer Club, which has been in existence since 1965. In addition, I am also a vollmteer coach for the City of Coral Gables Recreation center as Head coach for the UI 0 Toros team. As the Program Director for the Travel Soccer Program at South Miami United, I lead the effOlis that transitioned recreational players to travel. I partiCUlarly enjoyed coaching and working with younger kids, 8-12, for both travel and recreational soccer. This stage of their life is crucial developmentally. It's also an age where children are eager to absorb new ideas. They ar'e growing physically, mentally and emotionally. My degree from Florida State University is in Psychology (with a focus on child psychology), so in addition to my lifelong passion for soccer, I coach soccer so that kids can enjoy themselves in a social setting and they can continue to learn outside a school environment. It is important to me that they work t together as a group and maximize their potential. I pride myself in taldng a leadership role in making SUl'e my programs communicate these goals to all of my coaches, both rec and travel. The most important thing here is not soccer, but the positive contributions we make to the development of young kids. South Miami United never lost sight of the fact that it ran a conununity based organization. I intend for South Miami United F.C. to follow in these footsteps. Understanding and Approach South Miami United F.C. hlC., has adopted the following Mission Statement; Soutlt Miami United F.e. strives to provide a youth soccer program to Ollr community where children can learn, enjoy and develop in the sport of soccer. Our program emphasizes the values of sportsmanship and teamwork, Ive provide an environment where all participants and families will have a positive experiel1ce. South Miami United F.e. offers both recreational and travel soccer programs, with diverse opportunities for eveJY type of player. In recreational soccer, available to children ages 3-12, all players are guaranteed equal playing time. The focus is on having fun, developing soccer skills, and learning the fundamentals of the game. Travel socceJ~ a more competitive level, is open to players ages 8 and older, who want to play the sport at a more rigorous level. The foclls with travel is 011 player development, with training from licensed coaches and staff who focus on technical skills, and then tactical understanding, as the foundations of a player's future success. Travel soccer teams lvith South Miami United F.C, Inc. Page 4 South lJ1iami United F.e. are determined by tryouts, and playing time on teams is merit- based. South Miami United F. C. Website South Miami United F.C. will invest significant amount of time and effort in building its website. 'The website will be the portal to the club and will contain all relevant information to the programs at South Miami United F.C., including both the Recreational Program and the Travel Program. The website will also serve as the platform for online registration, which serves as a fast and convenient way to register for the program by creating player profiles which are reactivated for each season of pmiicipation. ImpOliant information will be provided to all members of South Miami United F.C. by postings on the website. This will include such peliinent infonnation as field status, upcoming events, as well as schedules for upcoming grunes. Each South Miami United F.C. team, both Recreational and Travel, will be provided with a team page which contains a roster page, coach's contact information, manager's contact information, as well as a variety of other information such as practice times, terun pictures, and other information to help foster the sense of team and community. The Laws of the Game for each Age Group along with other per6nent infonnation and documents m'e also published on the website. In addition to the website, South Miami United F.C. will regularly communicate with all registered members through email blasts advising its members of upcoming events and the various accomplishments of the South Miami United F.C. teams. This fast and convenient means of real time communication with the hundreds of members will bc just one of the many examples of South Miami United F.C. 's commitment to its members and customer service. RECREATTONAL SOCCER To achieve its goals of providing a safe and fun environment where kids can learn the sport of soccer in a positive atmosphere, South Miami United F.C. will operate a Recreational League, which consists of two ten game seasons, commendng in the fall (September to December) and again in the spring (March to May). The teams pmticipating in the recreational league are divided into age groups from Under 4, Under 6, Under 8, Under 10 and Under 12. Begilming in the Under 8 age group teams will be split by gender into a boys division and a girls division, with girls allowed to play on boy's teams which compete as coed teams in the boys division. Onc of the tenets of the Recreational Program is equal playing time for all players. To help accomplish this goal, coachcs, managers, and parents are advised of tlus basic principal and everyone is encouraged to abide by the spirit of this rule. Scores me not kept in the recreational league in order to foster a less competitive envirolIDlent, and there are no playoffs. This encourages coaches to play players equally and focus on the development of players rather than just coaching to win. All participants in the Recreational Program receive a seasonal pmticipation award. South Miami United F.C., Inc. Page 5 South Miami United F.C. will host mandatory coaches meetings prior to the commencement of each season. These meetings are a means of commlmicating with all the coaches regarding not only the Laws of the Game for each age group, but more impoltantly the spirit of the game and what we are hoping to accomplish as volunteer soccer coaches in developing not only soccer players but good citizens. Coaches are invited to provide feedback on ways to improve the Recreational Program by Rules Changes, scheduling, divisions, as well as community outreach. South Miami United F.C. will also makes various reSOlU'ces available to the coaches in the Recreational Program. Each registered player in the U4 age groups will be provided with their own ball. Teams in the Under 6 and older divisions will be provided with tru:ee size appropriate balls for each season to facilitate practices with a ball at each player's feet, as well as cones and other training aids. All the Coaches in the travel program will be made available to the recreational coaches program to offer assistance and guidance with respect to age appropriate training styles and methods. South Miami United F.C. will provide all registered players with a complete uniform for each season. All schedules for the Recreational League will be posted on the website and on each team page. South Miami United F.C. has been committed to publishing schedules for the entire season well in advance of the start of the season, providing a balanced season of play with all the teams in the age / gender division. Schedule changes will be allowed to accommodate other activities and commitments, with time set aside for re~scheduled games. In preparing the season schedules, South Miami United F.C. is aware of the sUl1'0lmding neighborhood and the concern with parking and traffic flow. Schedules will be created to minimize the flow of traffic on the sUl1'0unding neighborhood, as well as in such a way that parking does not overflow out of the designated parking area. Fees for the Recreational Program at South Miami United F.C. will be one of the most economical in the area. While most other clubs charge considerably more, they provide significantly less in terms of service and quality. South Miami United F.C. is partnered with Niky's Sports to provide a line of logo apparel including t-shilts, hoodies, hats, caps, and other training apparel, as well as field equipment. Recreational Referees South Miami United F.C. will make arrangements with experienced Travel Soccer Players from various local Clubs and Licensed referees to referee games in the Recreational Program. . According to the USYSA, as a recreational program, there is no requirement for Grade 8 referees. However, we will attempt to bring in the highest quality referees who understand the learning process of a recreational player. South Miami United F.c., Inc. Page 6 Field Mctrshall South Miami United F.C. will have a designated Field Marshall at South Miami Park during all hours of operation. Dm'ing Recreational Games, the Field Marshall can be identified by a bright yellow / green vest. During practices, members of South Miami United F.e. will present. Summer League South Miami United F.C. plans on offering additional recreational soccer opportunities as well as academy style training for the youth in the community. South Miami United F.C. is prepared to offer these additional services for the benefits and emic1unent of those in the community interested in developing as soccer players. Soccer Camps South Miami United F.C. will also host Summer Soccer Camps tlu'oughout the summer and at other appropriate times tlu'oughout the year to provide both an excellent learning and training environment for players of all levels and ages. South Miami United F.e. will meet with several coaches interested in helping rml soccer camps at South Miami Park, including representatives D.-om major European soccer clubs. With the extended availability of the park throughout the summer, South Miami United F.C. is confident that it will be able to host quality soccer camps for the children in the surrounding area at a competitive price. Travel Soccer With competitive travel teams ranging from Under 8 Future Stars to U14 Boys/Girls, South Miami United F.C. will establish itself in the South Florida Youth Soccer Community. Teams from South Miami United F.C. will compete in the Dade Youth Soccer League, South Florida United Soccer Association as well as the Florida United Girls Soccer Association Travel soccer provides a more competitive form of soccer but remains open to players of all skill levels. South Miami United F.C. will host open tryouts for players of all ages, regardless of slall level or gender. All players attending tryouts at South Miami United F.C. will be evaluated by licensed coaches and placed on teams according to their ability and assigned to coaches best suited to the team's interest and level. It is our belief that by fairly evaluating players and placing them on teams with other players with similar skill levels and interest in the spOli training efforts will be maximized and players will learn, progress, and above all enjoy the sport 111ore. The coaches involved in the South Miami United F .C. Travel program will all be Licensed Coaches who have attended various licensing courses and seminars and above all have a passion for teaching the game of soccer. All the travel coaches will bring a wealth of experience and insight to the program that will be shared amongst the coaches to ensure that all the coaches have the best possible approach to training and coaching. Coaches will be encomaged to attend seminars and expand their level of licensure. Tbl'ough its Affiliation with US Club Soccer, all coaches will have access to the variety of coaching materials available on the US Club Soccer website. Our Affiliation with US Club soccer also entitles the coaches to membership in the South Miami United F.C, Inc. Page 7 National Soccer Coaches Association of America, an organization which also provides coaching resources and continuing education for coaches at all levels of the game. Training in the South Miami United F.C. Travel program will be focused on four fundamental areas, technical development, physical fitness, tactical awareness, as well as the psychological development of the individual player. Although the emphasis of training sessions varies according to age level and skill level, all players will be trained in each of the four critical areas of development in an age appropriate and skill level appropriate manner. Players are encouraged and challenged to exceed their own abilities in an environment of positive reinforcement. South Miami United F.C. will focus on player development, rather than coaching to win. Our basic belief is that by teaching the kids the proper technical aspects of the game, and combining those with a tactical understanding of the game, physical fitness, and a positive attitude, the wins will come. South Miami United F.C. intends on building a successful Travel Soccer program by continuing its approach of player development in the four fundamental aspects discussed above. Scholarships South Miami United F.e. will offer at least 15 players scholarships to join the club. South Miami United F.C. is committed to the ideal that no player should be prevented from playing based on a financial inability to pay. Scholarships will be provided on an as needed basis. C0l11J11unity Outreach Coordinator will visit schools and local community centcrs to offer soccer clinics to encourage kids that are not exposed to the sport to get involved. We hope to pruiner with the South Miami Parks & Rec Director and the Gibson Bethel Community Center for transportation for interested lads in the afterschool programs to have the opportunity to participate in our soccer programs. Concessions In the past, the ability to provide concessions at South Miami Park have not been available. With the prospect of the ability to sell concessions, South Miami United F.C. is committed to contracting vendors in accordrulce with City Requirements to sell concessions during the operation of the program. In addition, South Miami United F.C. will malce available the ability to sell concession to the various Travel Teams as a means of fundraising to attend tournaments or otherwise expand their soccer experience. Picnic Area South Miami United F.C. would also be interested in a designated area of the park as a picnic area to be available to the parents and siblings of the program's pmticipants. The area would include picnic tables and trash receptacles. South Miami United F.e. would also be interested in the installation of some form of shade or shelter at its expense, which would require the permission of the City and its Building Department.
