A Resolution authorizing the City Manager to execute a 3 -year maintenance
agreement with AM Electronics, Inc. for the total amount not to exceed $14,400.00 to
be charged to the Police Department's Contractual Services Account, #001- 1910 -521-
3450.
Whereas, a maintenance contract is necessary for the ongoing inspection, maintenance and
repair of the security access and Closed Circuit Televisions (CCTV) systems in the Police Department and
City Hall; and
Whereas, AM Electronics, Inc has proven their ability to provide satisfactory service on these
systems; and
Whereas, this vendor provided the lowest bid for the maintenance contract compared to two
other vendors; and
NOW, THEREFORE, BE IT RESOLVED BY THE MAYOR AND CITY COMMISSION OF THE CITY OF
SOUTH MIAMI, FLORIDA THAT:
Section 1. The City Manager is authorized to execute a 3 -year maintenance contract with Alfi
Electronics, Inc., which begins in March, 2012 and expires in March, 2015, in an amount not to exceed
$14,400.00.
Section 2: That the expenditure be charged to the Police Department's Contractual Services
Account #001 - 1910 - 521 -3450, with a current balance in this year's budgeted account of $39,103.64.
Section 3: If any section clause, sentence, or phrase of this resolution is for any reason held
invalid or unconstitutional by a court of competent jurisdiction, the holding shall not affect the validity of
the remaining portions of this resolution.
Section 4: This resolution shall become effective immediately upon adoption by vote of the City
Commission.

Subject: A Resolution authorizing the City Manager to execute a 3 -year maintenance agreement

Background: The Police Department is in the process of getting State Accredited, which requires
many building improvements such as the enhancement of the security cameras systems,
which provides accountability and security throughout the Police Department and City
Hall. The Maintenance Contract is necessary for the ongoing repairs and inspection of the
CCTV systems. Alfi Electronics has proven their ability to provide above satisfactory
service on these systems and is the lowest bid compared to two (2) other vendors.
Expense: $14,400.00 ($4800.00 per year), to be charged to budgeted account #001- 1910 -521-
3450, Contractual Services, with a current balance of $39,103.64.

YEARLY MAINTENANCE
AND TECH SUPPORT(MDI MANUFACTURE)
Agreement between ALFI ELECTRONICS, INC., herein known as
"Company" and THE CITY OF SOUTH MIAMI, POLICE DEPARTMENT
herein known as "Subscriber ". This agreement will encompass the
equipment throughout the Police Department and City Hall Building located at
6130 Sunset Drive, South Miami, Florida.
The COMPANY will provide the SUBSCRIBER maintenance service for the
Access Control System and CCTV System. The COMPANY will provide
materials and labor necessary to maintain the system. Service will be
provided within 24 HOURS of the service call, Monday thru Friday, 8:30am
thru 5 :00pm. PRIORITY for EMERGENCY SERVICES will be provided. The
Campo y will provide a 24 Hour emergency telephone number in the event
of an emergency. Service for maintenance will include, but limited to
checking all readers, cleaning read heads where needed, checking all
electric locks and adjusting where needed. Service Schedule will be at a
frequency of at least every six months.
MAINTENANCE CHARGES: The Subscriber agrees to pay the Comuaav
the sum of $14,400 FOR 3 years. Billing procedure: $ 1,200.00 per billed
quarter following the installation of the Access Control System and CCTV
System. ($I,200.00 x 12 quarters for the year = $14,400.00) All payments are
due by the 15t` of the first month for that quarter. For example... (Jan. - Mar.
billing period) - payment must be received by the 1ST" day of January.
WARANTY: Any material and labor required to repair or replace defective
equiprngnt only will be supplied free of charge for the term of this
agreement.
The company will provide a "CERTIFICATE OF INSURANCE" with the carrier
acceptable to The City of South Miami Police Department, providing liability
coverage of $ 1,000,000.00.

resulting from accidents, acts of God, alterations, misuse, tampering, abuse,
electrical components or other security system

components not provided by the Compaav under this agreement, or
unauthorized repairs, failure to the Subscriber to properly follow
operating instructions provided by the Compaav at the time of installation or
at a later date, trouble due to interruption of commercial power, telephone
lines or equipment, or batteries, lightning damage is specifically not covered
by this warranty.
This warranty will no longer be valid or enforceable for said eg4i mp ent if
serviced by another other than the Company, or if other security system
components not provided by the Company are installed or used in
conjunction with said equipment provided under this contract.
DISCLAIMER: Company does not represent or warrant the ACCESS
CONTROL SYSTEM AND CCTV SYSTEM may not be compromised or
circumvented, or that the system will prevent any loss by burglary, hold up,
or otherwise, or that the system in all cases provided the protection for which
it is installed or intended.
The initial term of this agreement shall begin on March 2012 (per signed
agreement) and will end on March 2015. The City of South Miami Police
Department may elect to renew this agreement for an additional ONE 1
YEAR term(s) by giving Alfi Electronics, Inc. notice of its intent to renew
within THIRTY (30) DAYS of the expiration of the then current term. Either
party may cancel this agreement at any time by giving the other party
THIRTY (30) DAYS' written notice.
Upon acceptance of this service agreement, AM Electronics, Inc. will perform
a complete inspection of all system components and parts to be covered
under this agreement at no cost to The City of South Miami Police Department.
Any components found not to meet manufacturer's specifications and /or not
functioning properly will be repaired or replaced at the expense of The City
Of South Miami Police Department. This agreement will begin only after all
repairs or replacements are complete, or the nonfunctioning equipment is
noted as such and not included with this agreement.

Agreement between J &D SECURITY and THE CITY OF SOUTH MIAMI, POLICE DEPARTMENT. This
agreement is forthe equipment throughout the Police Department and City Hall Building located at

J &D SECURITY will provide THE CITY OF SOUTH MIAMI, POLICE DEPARTMENT maintenance service
for the existing Access Control System and CCTV System. Service will include checking all readers,
cleaning read heads where needed, checking all electric locks and adjusting where needed.
MAINTENANCE CHARGES:
THE CITY OF SOUTH MIAMI, POLICE DEPARTMENT agrees to pay the sum of $6,400.00 a year. You
have a choice to pay the fee yearly / every six months / or quarterly. All payments are due by the
first month for that quarter.
We will provide a CERTIFICATE OF INSURANCE with the carrier acceptable to The City of South
Miami Police Department, providing of $1,000,000.00 in liability coverage.
CONDITIONS AND SYSTEMS NOT COVERED BY WARRANTY:
Damage resulting from accidents, acts of God, alterations, misuse, tampering, abuse.
