A Resolution authorizing the City Manager to pay SunGard Public Sector, Inc. with
approved Edward Byrne Memorial Justice Assistance Grant (JAG) funds for an electronic
arrest form application, in the amount of $11,364.00 from account #120 - 3405 -521 -4634, and
a multi -year service agreement with an annual maintenance expenditure amount of
approximately $1,800.
WHEREAS, the South Miami Police Department ( "SMPD ") is one of SunGard Public Sector,
Inc. ( "SunGard ")'s customers. The SMPD is required by Miami -Dade County to use an electronic arrest
form ( "A- Form ") provided by the county and SMPD needs to create a means to import the arrest data into
the county electronic arrest form from SMPD RMS system, and
WHEREAS, interfacing of the SMPD's RMS system with the County's automated A -Form will
allow South Miami officers to enter arrest information in on -line and off -line modes from a mobile or
desktop environment, and
WHEREAS, the objective of this A -form Interface Project is to expedite the booking process by
having arrest information available at the detention facilities by the time the officer arrives with the
arrestee by automating the arrest affidavit, and
WHEREAS, the South Miami Police Department RMS vendor (SunGard) is the sole source for
the development of the program code needed to create the interface between the Thinkstream A -Form
Automation Solution and the existing SMPD RMS system for arrest and statute information.
NOW, THEREFORE, BE IT RESOLVED BY THE MAYOR AND CITY COMMISSION
OF THE CITY OF SOUTH MIAMI, FLORIDA:
Section 1: The City Manager is authorized to use approved Edward Byrne Memorial Justice
Assistance Grant (JAG) funds to pay SunGard Public Sector for the creation and installation of the A-
form interface application in the amount of $11,364.00, using account #120- 3405 -521 -4634, with a
current balance of $11,364.00. A copy of the contract with SunGard is attached.
Section 2: If any section clause, sentence, or phrase of this resolution is for any reason held
invalid or unconstitutional by a court of competent jurisdiction, the holding shall not affect the validity of
the remaining portions of this resolution.
Section 3: This resolution shall become effective immediately upon adoption by vote of the City
Commission.

Background: The South Miami Police Department is one of SunGard's customers, which are
being required by Miami -Dade County to use an electronic arrest form provided
by the county, to create a means to import the arrest data that is entered into the
county electronic arrest form into their RMS system. The automated A -Form
application will allow South Miami officers to enter arrest information in on -line
and off -line modes from a mobile or desktop environment.
Furthermore, the City's approved OSSI maintenance agreement via resolution
9135 -11 -13449 will increase annually by approximately $1,800 to pay for the
maintenance and support of the A -form interface project commencing the second
year.

<INSERT CUSTOMER NAME> (Customer) has requested that SUNGARD PUBLIC SECTOR INC.
(SunGard) provide a written quote and Scope of Work (SOW) ordering SunGard to
undertake the application software <INSERT EITHER "modification" OR
"development" OR "conversion "> project more fully described herein (also
referred to as "work" or "project" or "implementation ").
The purpose of this document is to provide a written SOW for this project that
defines all SunGard deliverables, criteria for acceptance, resulting annual
maintenance, hardware and infrastructure requirements, implementation schedule
and other implementation considerations.
Items, features or functionality not specifically included in this document
shall be considered outside of the SOW. Any future change will require a
written Change Order approved by both parties, shall be subject to additional
charges, and will likely have an impact on the implementation schedule. Change
Orders shall not delay the implementation, acceptance, or payment in full of
the accepted base functionality proposed within this document.
Please refer to the Section entitled, "Parties Responsibilities" which
documents each party's responsibilities, any project dependencies and other
important related issues.
SunGard is providing the implementation services related to the application
software only to meet the specifications contained in this SOW. All other
components required for a successful implementation are the responsibility of
the customer.
Client Responsibilities
Software / Hardware
The Customer is responsible for providing the following:
1. All equipment, system software and other components to meet the
needs of this project.

2. All required hardware, cable and connectors and personnel to
facilitate installation thereof.
Infrastructure
1. The customer shall assign a full -time primary System
Administrator (SA) and a backup System Administrator. This
primary System Administrator will be SunGard's contact for all
operational issues that require SunGard support. In addition,
the Customer's System Administrators shall provide first line
support to their own users for all application software.
Development Customer Testing
1. Customer agrees to
participate
in
a
customer
test period
requiring Customer to
test functionality
outlined
in this SOW.
In addition, Customer
understands
that
the
customer
test release
version may also contain other
new
and
unrelated
development
items that are also in
a customer
test
stage.
SunGard Responsibilities
1. Provide the Customer with a detailed SOW for the proposed work.
2. Deliver related application software /utilities to meet the
specifications agreed upon in the detailed SOW.
3. Provide a project manager and assigned staff for the project.
4. Provide a Quality Assurance Representative to serve as the point
person for technical issues associated with this SOW.
SunGard customers in Miami -Dade County are being required to use an electronic
arrest form provided by the county and created by Thinkstream. SunGard
customers require a means to import the arrest data that is entered into the
county electronic arrest form into their individual RMS systems.
SunGard will provide the following to meet the needs of the customer:
1.0 Overview
SunGard will provide a one -way interface for the purposes of importing A-
form data into the RMS Arrest Module. The interface will consist of the
following components:
1.1 A communications piece to utilize the supplied Web Service to
request data from the Miami -Dade server.

1.2 A user interface where an authorized RMS Arrest user can:
a. Initiate the import process
b. Select records to import
c. Name Candidate the incoming name records
d. Geo- verify the incoming address information
e. View summary arrest data and verify charges
f. Import records that have gone through the above processes.
g. View Audit information and History
1.3 A user interface where an authorized RMS Arrest user can maintain
the statute table cross - references. From this interface the user
will be able to:
a. Download the latest statute table updates from the Miami -
Dade server
b. Compare their agency's statute table with the Miami -Dade
statute table
C, Configure cross references to existing statutes in the agency
statute table.
d. Use information from the Miami -Dade statute table to create a
new entry in the agency statute table.
e. View and correct statute import errors

2.0 General Interface Specifications
2.1 Interface Access
2.1.1 A button will be added to the RMS Arrest module which will
allow a user to launch the Arrest Import Interface.
2.1.2 The Arrest Import Interface button will only be visible to
customers that are licensed for the Miami -Dade arrest
import interface.
2.1.3 RMS Arrest module users that have Add /Modify rights will
be able to access the Arrest Import Interface and import
records into RMS.
2.1.4 Access to the Statute maintenance /cross - reference function
of the interface will require the user have
Add /Delete /Modify rights to UCR to Statutes Table,
2.1.5 This interface needs to be multi - agency compatible.
2.2 Interface Functionality
2.2.1 When the user launches the Arrest Import Interface, it
will check for new arrest reports to import using the web
service function provided by Thinkstream.
a. The user will be alerted that arrest forms will be
imported that are newer than <last query date /time >.
The user will be given the option to change the
<last query date /time >. After verifying the <last
query date /time >, the user will have the option to
click OK which will launch the new query or click
Cancel which will put the user back to the Arrest
Import Interface screen without downloading new
arrest forms.

b. The interface will store the <last query date /time>
when the web service last accessed the arrest forms
for the agency and the query will pass the <last
query date /time> as a parameter so it will only
request arrest forms that are more current than the
<last query date /time> the interface downloaded
from the Miami -Dade server.
C, If the <last query date /time> value is blank, the
user will have to enter a value for the <last query
date /time> before the OK button becomes available.
If a user chooses a day that would result in a query
pulling more than 30 days of arrest reports, the
user will be alerted that the query could take long
and ask if they wish to continue. If the user
continues, the interface will process the request.
If the user Cancels, the user can change the <last
query date /time> value.
2.2.2 Arrest forms pending import will be displayed. The view

2.2.3 If multiple arrest forms exist for the same name, the name
will show up once for each arrest form being imported.
Only one of the records with the same name will need to go
through the Name Candidate process. Upon import, separate
arrest records will be created to correspond to each
arrest form.
3.0 Name Candidate Process and Charge Importing
3.1 All the records received from the Arrest Import Interface will
be required to go through the Name Candidate Process. SunGard
will attempt to auto -match arrestee names with names existing
within the RMS master names database. SunGard will use three
queries to locate a single matching name.

3.2 Auto -match process
3.2.1 SunGard will first check if the CIN (County ID number) for
the arrestee name matches an existing record in the master
names database. If a unique match occurs, the matched
name will be used.
3.2.2 SunGard will make a second attempt to automatically
identify a matching name in RMS by using a combination of
the following name related data elements: (exact match)
First Name
Last Name
Race
Sex
DOB
SSN
If a single name is not located in the RMS Master Name
Database, a secondary auto -match query will be attempted.
3.2.3 Third attempt query by (exact match):
First Name
Last Name
Race
Sex
DOB
OLN
OLN State
3.2.4 If there is no match from the above three attempts, the
user will be required to use the manual name candidate
process.
3.3 Manual Name Candidate Process
3.3.1 The user will interactively candidate arrestee names that
were not automatically matched by the system. Rows
requiring interactive candidating will appear with a white
background color. The user will double click on each
respective name in the grid that was not automatically
matched to launch name candidating. Potential matches
will be displayed using SunGard's standard name
candidating methodology.
3.3.2 If the user determines the name already exists in the
master name database, the user will not be required to re-
key the information. If there are fields that are
included in the Data Map (Appendix A) that are blank in
RMS, the RMS fields will be updated with the data from the
import file. If there are existing RMS name record
fields that are included in the Data Map (Appendix A) that
are different from the values from the Arrest Form, the
RMS name record information will be updated with the

values from the Arrest Form XML file. Fields that are
history enabled will have the previous values saved as
history. Audit records will reflect that the change was a
result of an Arrest Form import and will also include the
user and workstation name of the person running the import
process.
3.3.3 If the user determines that the name does not exist in the
master name database, the user is prompted to create a new
name using the name data obtained from the Arrest Form,
All Arrest Forms imported must have a validated name
before being imported into RMS. Only data elements listed
in Appendix A will import into RMS.
3.4 Record Import:
The
user will
be
given three
options for doing
the final
import
of
records.
The
options are:
3.4.1 Individual record import: Each record will have an import

record is imported, it will be removed from the Name Listing
view. The record will be flagged as Processed. Records
which were not imported will remain in the Name Listing view.
Names will exist in the Name Listing view until they are
imported by one of the processes or deleted from the view by
the user. (See delete record section for details)
3,4 *2 Batch record import: The user will be able to select
multiple records via an import record checkbox or some other
type of record selection method. An import selected button
will exist to do a batch import of all selected records.
Records will be flagged as processed once imported. Any
records that were not selected will remain in the Name
Listing View,
3.4.3 Delete record: The user will have the option to choose to
delete a record from the Name Listing view. Deleting a
record from the Name Listing view will prevent the data
for that record from being imported into RMS. In
addition, the record will be flagged for deletion.
3.5 Record Import Guidelines
3.5.1 Only data elements defined in Appendix A of this document
will .import into RMS. Any defaults or other settings in
the Arrest tab of Agency Configuration in RMS will apply
to new Arrest records created by the interface.
3.5.2 Data elements in Appendix A that are highlighted in yellow
are required fields in the RMS Arrest module. If required
data elements are not provided in the arrest form XML, the
user will be notified which required fields are missing

3.5.3 The final mapping of how Arrest Type will be populated
will be determined during the development process. Three
possible ways to match arrest type are to have customers
verify all possible combinations for arrest types are
defined in their RMS table, have the import user select
upon import, use a default type.
3.5.4 Imported addresses will be required to go through the geo-
verification process.
3.5.5 Prior to creating a new arrest record, the interface will
do a check to see if there is already an existing arrest
record for the person with the same Thinkstream ID
(INC ID). There are two possible outcomes of this check:
a. There IS NOT an existing arrest record for the
person with the same Thinkstream ID. In this
instance a new arrest record will be created as
defined in this SOW.
b. There IS an existing arrest record for the person
with the same Thinkstream ID (INC ID). The
interface will alert the user that there is an
existing arrest record. The user will be given the
option to not import the record or to import and
overwrite the existing record. If they choose to
overwrite, the data values will be updated in RMS
and any fields that are history enabled will have
the old values saved to history and a tracking
record will be created that shows the values that
were changed by the Arrest Import Interface. If
they choose not to import, no data will be changed
and the import arrest record will be flagged as
processed.
3.5.6 The interface will create the following involvements when
importing .records:
AR /NM (for arrestee and any related names like co-
defendants)
AR /LO (location involvement)
AR /VH (vehicle involvements)
3.6 Charge Import Information

3.6.1 When importing charges from the Arrest Form Interface, the
value sent for <STATUTE> will be checked for an EXACT
MATCH to the Chapter (statute) field in the Statutes -
IBR/UCR code table setup. If the customer has the Chapter
field defined with a statute number followed by a pipe
delimited and then some text, the search for an exact
match will only look at the values in front of the pipe
delimiter. Customer needs to verify that there are not
duplicate values preceding the pipe character in the
IBR /UCR Charge table. For example, 777.041DRUGS and
777.041DRUGS would both be considered an EXACT MATCH. In
the event there are values that are not unique, the search
will look at the Court Statute Equivalent fields for an
exact match.
3.6.2 Only statutes defined in the customer's RMS system with a
Type of A= Arrest or where Type is left blank will be able
to be imported into the Arrest module.
3.6.3 If there is not an EXACT MATCH to the charge from the
Arrest Form Import, the interface will next look at the
Court Statute Equivalent and then the Court Statute
Equivalent 2 fields defined on the page 2 tab of the
Statutes - IBR /UCR code table maintenance screen for each
statute.
3.6.4 If no match is found for the statute that is attempting to
import, the user will be alerted that there is no match.
That record will not be able to be imported until a
statute match is found or a new statute entry is created.
The record will be held in a Statute maintenance queue so
appropriate actions can be taken using the Statute
Maintenance portion of the interface. Because Statute
maintenance uses a separate security right, it is possible
the user doing the import will not be able to complete the
import process until someone with rights to Statute
maintenance makes the appropriate changes. Records that
have already gone through the Name Candidate Process and
Geo- verification will not have to go through those
processes again for the next attempt to import the arrest
record following the statute correction. Details of
Statute Maintenance will be described in a later section.
4.0 Statute Maintenance Interface
Overview: To accommodate all agencies different Statute - IBR /UCR
tables, SunGard will provide a Statute Maintenance section to the
Arrest Form Import Interface with its own security rights. The

customer will be able to use the provided Statute Maintenance program
to do the following functions:
4.1 Statute Comparison: The customer can use the interface to do a
comparison between their existing Statute - IBR /UCR table and the
Statute table downloaded from the Thinkstream system.
4.2 Statute Cross - Reference: The customer can use the interface to
establish a cross- reference relationship between statutes in
their Statute - IBR /UCR table and the statutes imported from the
Thinkstream system.
4.3 Statute Creation: The customer can use the interface to create
a new entry in their Statute - IBR /UCR table using data from the
statutes imported from the Thinkstream system.
4.4 Statute Candidating: The customer will be able to see a listing
of statutes that have been imported into new arrest records that
were not able to be matched automatically. From this view, the
customer will be able to compare, cross - reference, and create
statutes in their Statute - IBR /UCR table. Once statute match
errors are corrected, the statute information for the arrest
records will have its status changed to verified so the RMS user
responsible for the Arrest Import process can complete the
import process.
5.0 Auditing and Clean -up
5.1 Interface Auditing
5.1.1 An Audit tab will be created in the interface. The Audit
tab will allow the user to see the following summary
information:
Date
Number of arrest reports processed (imported)
Number of arrest reports deleted
- Number of errors encountered
Specific error information (Including the arrest
report number)
- User that ran the interface
Console on which the interface was run
5.1.2 There will not be any detailed arrest report information
stored in the audit log.
5.2 A history view will be available to the user. This history view
will have the same summary fields listed that are part of the
main import screen. The user will be able to switch between a
listing of records flagged as processed and records flagged as
deleted.

5.3 Interface Clean -up options
5.3.1 When the interface is closed, an automatic clean -up
process will start.
5.3.2 Audit data older than the defined value in the interface
configuration (default =30 days) will be purged from the
Audit log.
5.3.3 Downloaded records from Thinkstream flagged as processed
or deleted will be purged from the working table if the
status date is older than the value defined in interface
configuration. (default =30 days)
5.3.4 Downloaded records that have NOT been flagged as processed
or deleted will NOT be purged from the working table
regardless of how long they have been in the table.
6.0 Interface Configuration
6.1 There will be a field for the customer to enter the Agency ID
used to identify their agency to the Thinkstream system. (Need
ability to define more than one agency ID for customers using
multi - agency functionality)

1. Any data fields in the Miami -Dade A -form XML that have values
longer than the fields in SunGard RMS will be truncated to fit the
SunGard field upon import.
2. Matching of some data fields (i.e. Physical Characteristics fields)
will require the customer to verify their table values against the
values used for the Miami -Dade electronic A -form and add new values
or cross reference existing values. Any data fields where there is
not a matching code or cross - reference value found will be ignored
and not imported.

3. Functionality not specifically listed in this document is
considered to be out of scope. Additional functionality may
require additional development funding.
4. SunGard reserves.the right to make final cosmetic and functional
design changes necessary to meet the objectives outlined in this
document and to preserve current functionality within the product.
5. SunGard is only providing a custom software enhancement to SunGard
applications. Customer agrees to be responsible for any additional
hardware or software that may be required.
6. Functionality described in this document is dependent on associated
processes beyond SunGard's control. SunGard cannot guarantee 100%
functionality as a result of third party equipment or software. In
cases that are beyond SunGard's control, the customer will be
responsible for contacting and managing resolution with their third
party software /hardware provider.
7. Any third party costs required for the completion of the project
have not been included in SunGard's pricing.
8. It is the customer's responsibility to ensure they have the
required network connection to the Miami -Dade network in order for
the web service to be able to communicate.
9. SunGard expects the Thinkstream ID
(INC ID)
will
be unique and the
value will be stored in a read -only
field in
the
arrest record.
10. SunGard will develop the interface based on the specifications
documents that are current as of the SOW signed date.
Specifications changes made after that date may not be included in
the final interface.
11. SunGard reserves the right to make changes to the data map during,
the development process without notice to Customer.
SunGard will perform its responsibilities under this SOW for a one -time
fee of $11,364.00
Annual maintenance is available for the software application code created
hereunder. The initial term of annual maintenance is included in the fee
listed above. The fee to be billed for the second term of annual
maintenance shall be equal to $1800.00. Subsequent terms of annual
maintenance shall be billed at SunGard's then prevailing rate.
The above quote is exclusive of any tax or any travel & living expense
which may be applicable.
Pricing herein is valid for 45 business days after Customer has received
this written SOW.

SunGard is proposing to deliver the files necessary to fulfill the
functionality described in this SOW as part of the 10.5.0 customer test
version.
Proposed delivery dates assume that this SOW is signed by an authorized
representative of Customer and returned to SunGard no later than
September 7, 2012. Failing to return the signed SOW by this date may
result in this project being pushed to the next subsequent customer
release.
The project detailed within this SOW shall be governed by the existing
Contract and Agreement between Customer and SunGard plus the terms
below which shall supersede any conflicting terms in the Contract and
Agreement. As applicable for certain customers, the term "Contract
and Agreement" is defined as the Software License & Services Agreement
and the Licensed Program Support Agreement between the parties hereto.
1. SunGard is the sole owner of the Source Code, design specifications
and associated documentation herein which relate to SunGard's
Licensed Programs and which constitute the proprietary information
and trade secrets of SunGard and are protected under the terms of
the Contract and Agreement.
2. No warranty is provided for any product or service provided herein.
If applicable, any code created hereunder will be licensed to
Customer under the terms of a separate addendum to the Contract and
Agreement.
3. SunGard's liability for damages to Customer for any cause
whatsoever under this SOW, regardless of the form of action, is
limited to the total amount of fees paid by Customer under this
SOW. In no event will SunGard be liable for any consequential,
incidental, or special damages even if SunGard has been advised of
their possibility.
4. Unless otherwise specified herein, payment terms are: 50% due upon
execution hereof and 50% due upon completion. Travel and living
expenses are in addition to the prices quoted herein and will be
invoiced as incurred and shall be governed by the SunGard Corporate
Travel and Expense Reimbursement Policy. Applicable taxes are not
included, and, if applicable, will be added to the amount in the
payment of invoice(s) being sent separately
5. If mentioned in the Pricing section above, optional maintenance is
available for the software application code created herein,
provided Customer has paid the annual maintenance fee. Maintenance
of any software application code created hereunder is not mandatory
for continuation of the license. Any maintenance services shall be
pr_ovided.under the terms and conditions related to maintenance and
Support Services in the Contract and Agreement. The initial term

of maintenance, to be paid in advance, begins upon execution of
this SOW and extends for a twelve (12) month term. Subsequent
terms of maintenance will be for twelve (12) month periods,
commencing at the end of the prior support period.
6. Preprinted conditions and all other terms not included in this SOW
or in the Contract and Agreement, stated on any purchase order or
other document submitted hereafter by Customer are of no force or
effect, and the terms and conditions of the Contract and Agreement
and any amendments thereto, shall control unless expressly accepted
in writing by SunGard to Customer.

As an authorized representative of Customer, I hereby agree to the terms

A Resolution authorizing the City Manager to execute fiscal year 2012/2013
grant agreement with Miami -Dade County for the South Miami A -Form
Interface Contract for the purchase and installation of software for the
Miami -Dade County Association of Chiefs of Police (MDCACP) Countywide
Prisoner Processing Project.
WHEREAS, the County has been awarded federal funds from the Edward Byrne
Memorial Justice Assistance Grant (JAG) Program — American Recovery and Reinvestment Act
of 2009 (the "ACT "); and
WHEREAS, Miami -Dade County entered into a contract with IT vendor, Thinkstream to
develop the automated A -Form Automation Solution; and
WHEREAS, the City of South Miami will provide technology development and

WHEREAS, the City of South Miami has a grant award for the purchase and installation
of software for the Police Department in the amount of $11,364 from Miami -Dade County; and
WHEREAS, the City of South Miami shall maintain sufficient financial resources to
meet the expenses incurred during the period between the provision of services and payment by
the County; however a Cash Match is not required for this grant term; and
WHEREAS, the Mayor and the City Commission wish to accept the grant agreement
with Miami -Dade County for the South Miami A -Form Interface Contract with an effective term
from March 2, 2012 to February 28, 2013,
NOW, THEREFORE, BE IT RESOLVED BY THE MAYOR AND CITY
COMMISSION OF THE CITY OF SOUTH MIAMI, FLORIDA THAT:
Section 1: The City Manager is hereby authorized to execute the grant agreement with
Miami -Dade County for the'Edward Byrne Memorial Justice Assistance Grant for the purchase
and installation of software for the Miami -Dade County Association of Chiefs � of Police

IHIS AGREEMENT is entered into between SunGard Public Sector and Customer on the Execution
Date,
SunGard Public Sector and Customer have
entered into a
Software License
and Services Agreement
dated as of the Execution Date (the "License Agreement)
for the Software.
Customer
desires that
SunGard Public Sector provide Maintenance
and Enhancements for and new
releases of
the Baseline
Software Identified in Exhibit 1 on the terms
and conditions
contained in this
Agreement,
and for the
Custom Modifications identified in Exhibit 1 on
the terms and
conditions of this
Agreement.
Accordingly,
the
parties
agree as follows:
1. Incorporation By Reference, Sections 1
(Definitions), 8 (Confidential Information) and
11 through 16, Inclusive Notices Force
Ma'eure, Assignment, No Waiver and Choice
of Law Severa bfiify. respectively) of the.
License Agreement are incorporated into this
Agreement by this reference as fully as if
written out below. If any provision
incorporated by reference from the License
Agreement conflicts with any provision of this
Agreement, the provision of this Agreement
will control.
2, ddltionai Definitions.
"Commencement Date" means the
date specified in Exhibit 1 , as the
"Commencement Date."
"Contract Year" means, with respect to
each Baseline Component System and
Custom Modification, each one (1) year period
beginning on the Commencement Date or the
anniversary thereof, and ending one (1) year
thereafter.
"Custom Modification" means a change.
that SunGard Public Sector has made at
Customer's request to any Component
System in accordance with a SunGard public
Sector- generated specification, but without
any other changes whatsoever by any person
or entity. Each Custom Modification for which
SunGard Public Sector will provide Customer
with Improvements is identified in Exhibit 1.
"Defect' has the meaning ascribed to
that term in the License Agreement, and
further, With regard to each Custom
Modification, means a material deviation
between the Custom Modification and the
SunGard Public Sectorwgenerated
specification and documentation for such
Custom Modification, and for which Defect
Customer has given SunGard Public Sector
enough information to enable SunGard Public Sector
to replicate the deviation on a computer configuration
that is both comparable to the Equipment and that is
under SunGard Public Sector's control.
"Enhancements" means general release (as
opposed to custom) changes to a Baseline
Component System or Custom Modification which
increase the functionality of the Baseline Component
System or Custom Modification in question.
"Improvements" means, collectively,
Maintenance, Enhancements and New Releases
provided under this Agreement.
"Maintenance" means using reasonable efforts
to provide Customer with avoidance procedures for or
corrections of Defects. The hours during which
Maintenance will be provided for each Component
System, the targeted response times for certain
defined categories of Maintenance calls for each
Component System and Custom Modification, and
other details and procedures (collectively, the
"Maintenance Standards"} relating to the provision of
Maintenance for each Component System and Custom
Modification are described in attached Exhibit 2.
"New Releases" means new editions of a
Baseline Component System or Custom Modification,
as applicable. .
"Notification" means a communication to
SunGard Public Sector's help desk by means of (i)
SunGard public Sector's web helpline; (ii) the
placement of a telephone call; or (iii) the sending of an
e -mail, in each case, in accordance with SunGard
Public Sector's then- current policies and procedures
for submitting such communications. .
$. Services.
(a) hypes of Services. During the term of this
Agreement, SunGard Public Sector will provide
Customer with Maintenance for, Enhancements of,
and New Releases of each Baseline Component

identified in Exhibit 1.
(b) Limitations. All Improvements will be
part of the applicable Baseline Component
System /Custom Modification, and will be
subject to all of the terms and conditions of
the License Agreement and this Agreement.
SunGard Public Sector's obligation to provide
Customer with Improvements for Baseline
Component Systems owned by parties other
than SunGard Public Sector Is limited to
providing Customer with the Improvements
that the applicable third party owner provides
to SunGard Public Sector for that Baseline
Component System. Customer must provide
SunGard Public Sector with such facilities,
equipment and support as are reasonably.
necessary - for SunGard Public Sector to
perform its obligations under this Agreement,
including remote access to the Equipment.
4. Payment and Taxes.
Improvements, Custarrier wi11 pay SunGard
Public Sector the amount provided -for in
Exhibit I as the "Payment Amount" for years
two -- five (2 -5). For each Contract Year
subsequent the fifth Contract Year, SunGard
Public Sector reserves the right to increase
the Improvements fees. Fees for
Improvements for a Baseline Component
System /Custom Modification are due on the
first day of the first month of the Contract Year
for that Baseline Component System /Custom
Modification.
(b) Additional Costs. Customer will also
reimburse SunGard Public Sector for actual
travel and living expenses that SunGard
Public Sector incurs in providing Customer
with improvements under this Agreement, with
reimbursement to be on an as- incurred basis.
Such travel and living expenses will be
governed by SunGard Public Sector's
Corporate Travel and Expense
Reimbursement Policy, will be invoiced on a
monthly basis in arrears and due within thirty
(30) days from the date of invoice. Customer
will also reimburse SunGard Public Sector for
all charges incurred in connection with
accessing Equipment.
(c) Taxes. Customer is responsible for
paying all takes (except for tuxes based on
SunGard Public Sector's net income or capital
stock) relating to this Agreement, the

Improvements, any services provided or payments
made under this Agreement. Applicable tax amounts
(if any) are NOT included in the fees set forth in this
Agreement if Customer is exempt from the payment
of any such taxes, Customer must provide SunGard
Public Sector with a valid tax exemption certificate;
otherwise, absent proof of Customer's direct payment
of such tax amounts to the applicable taxing authority,
SunGard Public Sector will invoice Customer for and
Customer will pay to SunGard Public Sector all such
tax amounts.
(d) Late Charges. Customer will pay each
SunGard Public Sector invoice by no later than thirty
(30) days after receipt. Late payments are subject to a
late charge equal to the lesser of: (1) the prime lending
rate established from time to time by Citizens Bank,
Philadelphia, Pennsylvania plus three percent (3 0/6); or
(ii) the highest rate permitted by applicable law.

6. Disclaimer of Warranties. Customer agrees and
understands that SUNGARD PUBLIC SECTOR
MAKES NO WARRANTIES WHATSOEVER,
EXPRESSED OR IMPLIED, WITH REGARD TO ANY
IMPROVEMENTS ANDIOR ANY OTHER MATTER
RELATING TO THIS AGREEMENT, AND THAT
SUNGARD PUBLIC SECTOR EXPLICITLY
DISCLAIMS ALL WARRANTIES OF
MERCHANTA131LITY AND FITNESS FOR A
PARTICULAR PURPOSE, FURTHER, SUNGARD
PUBLIC SECTOR EXPRESSLY DOES NOT
WARRANT THAT A COMPONENT SYSTEM, ANY
CUSTOM MODIFICATION OR ANY
IMPROVEMENTS WILL BE USABLE BY
CUSTOMER IF THE COMPONENT SYSTEM OR
CUSTOM MODIFICATION HAS BEEN MODIFIED
BY ANYONE OTHER THAN SUNGARD PUBLIC
SECTOR, OR WILL BE ERROR FREE, WILL
OPERATE WITHOUT INTERRUPTION OR WILL BE
COMPATIBLE WiTH ANY HARDWARE OR

7, Termination. A party has the right to'
terminate this Agreement If the other party
breaches a material provision of this
Agreement.. Either party has the right to
terminate this Agreement at any time while an
event or condition giving rise to the right of .

Agreement, the party seeking termination
must give the other party notice'that describes
the event or condition of termination in
reasonable detail. From the date of its receipt

If the event or condition giving rise to the right
of termination is not cured within that period,
then the party seeking to terminate this
Agreement can effect such termination by

will be without prejudice to the terminating
party's other rights and remedies pursuant to
this Agreement,
8. LIMITATIONS OF LIABILITY.
(a) LIMITED LIABILITY OF SUNGARD
PUBLIC SECTOR. SUNGARD PUBLIC
SECTOR'S LIABILITY IN CONNECTION
WITH THE IMPROVEMENTS OR ANY
OTHER MATTER RELATING TO THIS
AGREEMENT WILL NOT EXCEED THE
FEES THAT CUSTOMER ACTUALLY PAID
TO SUNGARD PUBLIC SECTOR FOR THE
IMPROVEMENTS FOR THE YEAR THAT SUCH
LIABILITY ARISES.
(b) EXCLUSION OF DAMAGES.
REGARDLESS OF WHETHER ANY REMEDY SET
FORTH HEREIN FAILS OF ITS ESSENTIAL
PURPOSE OR OTHERWISE, IN NO EVENT WILL
SUNGARD PUBLIC SECTOR BE LIABLE TO
CUSTOMER FOR ANY SPECIAL, INCIDENTAL, OR
CONSEQUENTIAL DAMAGES, WHETHER BASED
ON BREACH OF CONTRACT, TORT (INCLUDING
NEGLIGENCE), PRODUCT LIABILITY, OR
OTHERWISE, AND WHETHER OR NOT SUNGARD
PUBLIC SECTOR HAS BEEN ADVISED OF THE
POSSIBILITY OF SUCH DAMAGE.
(c) JAASiS OF THE BARGAIN. CUSTOMER
ACKNOWLEDGES THAT SUNGARD PUBLIC
SECTOR HAS SET ITS FEES AND ENTERED INTO
THIS AGREEMENT IN RELIANCE UPON THE
LIMITATIONS OF LIABILITY AND _ THE
DISCLAIMERS OIL WARRANTIES AND DAMAGES
SET FORTH IN THIS AGREEMENT, AND THAT THE
SAME FORM AN ESSENTIAL BASIS OI° THE .
BARGAIN BETWEEN THE PARTIES.
J. Entire Agreement.. This Agreement contains the
entire understanding of the parties with respect to its
subject matter, and supersedes and extinguishes all
prior oral and written communications between the
parties about its subject matter. Any purchase order
or similar document which may be issued by
Customer in connection with this Agreement does not
modify this Agreement. No modification of this
Agreement will be effective unless it is in writing, is
signed by each party, and expressly provides that it
amends this Agreement.

Improvements fees are due thirty (30) days prior to the commencement of the Contract Year for which such lees are

Maintenance Standards
1. Hours !Turing Which SunGard Public Sector's Telephone Support Will be Available to Customer in
Connection with the provision of Maintenance. As indicated in the "Support Type" column In Exhibit 1.
"7x24" means Seven (7) days per week, 24 hours per day. "5x11" means Monday through Friday, 79.00 A.M.
to 6:00 P.M. Continental US• Local Time excluding holidays.
117 Targeted Response Times. With respect to SunGard Public Seotor's Maintenance obligations, SunGard
Public Sector will use diligent, commercially reasonable efforts to respond to Notifications from Customer
relating to the Baseline Component Systems /Custom Modifications Identified in Exhibit I of this Agreement in
accordance with the following guidelines with the time period to be measured beginning with the 'first•
applicable SunGard Public Sector "Telephone Support" hour (that Is, based upon whether SunGard Public
Sector provides 7x24 or 5x11 Support for the Baseline Component System/Custom Modification in question)
occurring after SunGard Public Sector's receipt of the Notification:
A support issue Is considered Urgent when it produces an 7 hour
emergency situation in which the Component Systems) is not
performing a process which has caused a complete work stoppage
and no workaround exists, revenue is Impacted, or data is
corrupted.
A support issue is considered High when it prevents the completion 2 hours
of critical processes where an "acceptable" workaround is NOT
available. "Acceptable" is defined as a workaround that is not
cumbersome or time- consuming,

completion of a critical process where an "Acceptable" workaround
Is available. An issue that is non - critical and no workaround is
available will be considered Medium priority.
4 -Low A support issue is considered Low when it does not affect
processing. This may include cosmetic issues, general questions,
and how to use certain features of the system.
Notes: (1) For purposes of these targets, a "response" will mean as an initial contact from an SunGard
Public Sector representative to Customer to begin evaluation of the problerri reported under one of the
categories of calls identified above; (2) As a prerequisite to SunGard Public Sector's obligation to respond to
Customer, Customer must follow SunGard Public Sector's then - current processes (such as the dialing of a
particular phone number, the categorization of a particular problem, etc.) when submitting its Notification.
