RESOLUTION NO. 1 1 -1 3 -1 3 8 2 9 A Resolution authorizing the City Manager to enter into a three -year contract with LexisNexis to provide online legal publications. WHEREAS, the City currently has a contract with West to provide the Human Resource Department with legal publications devoted to labor related issues; and WHEREAS, the City also has a need to provide its legal department with legal publications relating to labor law, land use and other governmental issues; and WHEREAS, LexisNexis, a division of Reed Elsevier, Inc., and West are the primary legal publication companies that provide the type of legal publications needed by the Legal and Human Resource Departments of the City; and WHEREAS, LexisNexis is a sole source for the online legal researching tools that it makes available to its customers, as well as for some of the online legal publication that it provides. NOW, THEREFORE, BE IT RESOLVED BY THE MAYOR AND CITY COMMISSION OF THE CITY OF SOUTH MIAMI, FLORIDA: Section 1. The City Manager is hereby authorized to enter into the attached a three -year contract with Reed Elsevier, Inc., through a division of the company known as "LexisNexis" to provide the Legal and Human Resource Departments with legal publications for an amount not to exceed $3,180.00 the first year, $3,339.00 the second year and $3,506.04 the third year. The contract sum shall be expended from account # 001 - 1330 -513 -5410 with a current balance of $3,400. Section 3. If any section clause, sentence, or phrase of this resolution is for any reason held invalid or unconstitutional by a court of competent jurisdiction, the holding shall not affect the validity of the remaining portions of this resolution. ( "LN") and City of South Miami ( "Subscriber") for access to and use of the Online Services, including any and all amendments thereto (collectively the "Agreement"). 1. Term. The term of this Addendum (the "Addendum ") shall be coterminous with the Agreement. Z. Governing Law; Applicable Law. Notwithstanding anything to the contrary in the Agreement, the Agreement shall be governed by the law of the State in which Subscriber is located ( "Subscriber's State "). LN agrees to comply with all applicable laws of Subscriber's State in the performance of its obligations under the Agreement. Furthermore, any provision of the Agreement which is contrary to the law of Subscriber's State shall be deemed to be modified to the extent necessary to be permissible under Subscriber's State law. 3. Non - Appropriation of Funds. If sufficient funds are not appropriated or allocated for payment under the Agreement for any current or future fiscal period, then Subscriber, at its option, may terminate the Agreement on the last day of any calendar month upon ten (10) days prior written notice to LN, without future obligations, liabilities, or penalties to LN, except for amounts due up to the time of termination.
