NOTICE TO CURE
RE: Lease dated october 5, 201l ('Lease") by and between Shops at Sunset Mallowner, LLC, ('Landlord"), and rhe pizzz prace cafe Food rnc., dlb/a Tlne pizza prace
Cafe ('Tenanf).
Dear Tenant:
Landlord received the enclosed Notice that Tenant has not resolved a civil infraction from theCity of South Miami for a current business license. Tenant is in breach of the Lease due to itsfailure to comply with City of South Miami ordinances.
Please refer to Section 8.4 ofthe_Lease, entitled "operation of Business,,' wherein Tenant agreesthat it will at all time conduct its business in accordance with all laws.
Tenant covenants and agrees that it will:. . . comply with all laws,
recommendations, ordinances, rules and regulations of govemmental, public,private and other authorities and agencies,
Further, pursuant to Article XVIII of the Lease relative to.,Default by Tenant,,, section lg.lprovides in pertinent part that if Tenant fails, within ten (10) days after written notice, to perform
the terms, provisions or covenants of the Lease, Tenant shall be in default.
The following shalt be considered for all purposes to be defaults under and
breaches of this Lease: (a) any failure of Tenant to pay any rent or other amount
when due hereunder; @) any failure by Tenant to perform or observe aay other of
the terms, provisions, conditions and covenants of this Lease for more than ten
( I 0) days after written notice of such failure . . .

Consequently, Tenant's failure to maintain a cunent business license from the City of South
Miami shall result in Tenant being found in default of the kase.
Lastly, please refer to Section I 1.6 entitled "Indemnification," which reads as follows:
Tenant shall save harmless, indemnifu and at Landlord's option, defend Landlord,
its agents and employees, and mortgagee, if any, from and against any and all
liability, liens, claims, demands, damages, expenses, fees, costs, fines, penalties,
suits, proceedings, actions and causes of action of any and every kind and nature
arising or growing out of or in any way connected with Tenant's usq occupancy'
management or control of the Premises or Tenant's operations, conduct or
activities in the Center.
Given the above, Landlord demands that Tenant hold Landlord harmless ftom and against any
and all fines related to this matter. Landlord further demands that Tenant immediately resolve
the enclosed invoice before the City of South Miami takes additional action.
Tenant's failure to immediately correct said violation shall force Landlord to take such steps
deemed necessary to protect its interest, including but not limited to, placing Tenant in default of
the Lease.
This letter does not constitute a complete statement of Landlord's rights in connection with this
matter, and nothing contained herein shall be construed to constitute an express or implied
waiver of any rights, remedies or defenses of Landlord either under the Lease, at law or in
equity, all of which are expressly reserved.
